MARCH MEETING “Internal Audit’s Role in Mergers, Acquisitions, and Due Diligence”

Scott Carruthers Description: Mergers and acquisitions (M&A) are a popular business strategy often presented to stakeholders as a panacea of value creation, synergy, and problem solving. However, M&A transactions bring significant risk to all stakeholders involved. We’ll discuss how Internal Audit can help to mitigate M&A risk and ensure the success of these strategic transactions through due diligence and other means. Speaker Bio Scott Carruthers is a partner in RyanSharkey’s Risk and Compliance Advisory Services practice with more than 18 years of professional and private industry experience. His extensive background – with a special interest in internal audit and financial planning and analysis – and financial leadership expertise serves as the platform for how he manages his practice and develops his team. Scott’s knowledge and dedication has afforded him the opportunity to work with clients across a variety of industries. The combination of his 13 years of general business experience within Fortune 50 (General Electric and Sprint-Nextel) and six years of experience in professional services coupled with his internal audit and corporate finance/FP&A background, uniquely enhances Scott’s ability to serve his clients by providing practical, value-added advice and consultation. His experiences allow him to provide proactive consulting to his clients, including: internal audit outsourcing and co-sourcing, including Sarbanes-Oxley compliance, mergers & acquisitions due diligence, corporate finance and related executive decision support, risk management, and business process improvement. While working in private industry, Scott was a Senior Manager in Sprint-Nextel’s internal audit organization, where he obtained the Certified Internal Auditor designation. Scott’s other certifications include Certified Information Systems Auditor and a Master of Business Administration degree.
