NOTICE INVITING TENDER (NIT)
NIT No. MCAB/HO/ADMIN/UPS/2019 Dated: 24th June, 2019
The Meghalaya Cooperative Apex Bank Ltd., having its Head Office at Shillong in Meghalaya invites sealed tender under two bid system (Technical and Financial Bids) from the UPS vendors for supply, installation, testing and commissioning of 5 KVA and 7.5 KVA and 10 KVA UPS with Single phase output at various offices and branches of the Bank as per the following details:

“www.megcab.com”. The sealed tenders shall be submitted to the “General Manager, Meghalaya Co-operative
Apex Bank Ltd., Mahatma Gandhi Road, Shillong – 793001, Meghalaya” so as to reach on or before 10th July,2019 by 2:00 p.m. The tenders will be opened on 10th July, 2019 at 3:00 pm for Technical bid and on 10th July, 2019 at 3:30 pm for Financial bid. Sealed tenders should be submitted only by dropping the same in the Box placed specially for this purpose at “The Meghalaya Co-operative Apex Bank Ltd, Head Office, M.G. Road Shillong 793001”.
The Bank is at liberty to reject or accept any or all offers without assigning any reason thereof. The decision of the Bank in this regard shall be final and binding.
In addition, all intimations meant for the bidders, if any by the Bank, in context of this tender will be displayed on the Bank’s website only.

1. DEFINITION: Boldface type is used to identify defined terms. a) The Bank means The Meghalaya Co-operative Apex Bank Limited. b) The Vendor or Bidder means the Manufacturer/Dealer/Authorised Vendor/Firm
who is interested to submit the bids. c) Party means the Bank or the Vendor, as the context requires. d) The Bid/Quotation/Tender is the completed bidding document submitted by the
vendor to the Bank. e) The Letter of Acceptance means the formal acceptance by the Bank of the Bid. f) The Letter of Undertaking means the formal acceptance by the vendor to
undertake and accept the terms and conditions. g) The Contract Amount means the amount accepted in the letter for the execution
and completion of the Works and the remedying of any defects. h) Days are calendar days, months are calendar months. i) OEM means Original Equipment Manufacturer. j) Defects are any part of the works not completed in accordance with this Tender. k) UPS means Uninterrupted Power Supply. l) NIT means Notice Inviting Tender. m) EMD means Earnest Money Deposits. n) AMC means Annual Maintenance Contract. o) GST means Goods and Services Tax.
2. GENERAL INSTRTUCTIONS TO THE VENDOR: a) Each page of the tender document shall be signed by the vendor. b) The tender document shall be signed by person/persons on behalf of the vendor
having necessary authorisation/Power of Attorney to do so. c) If the space in this form is insufficient for furnishing full details, such information
may be continued on separate sheets of paper, stating therein the part of the form and serial number. Separate sheets shall be used for each part and a proper reference with page number must be indicated in the main form of application.
d) In case of false and/or inadequate information, tenders are liable for rejection. e) Clarifications, if any required, may be obtained from the General Manager, Meghalaya
Co-operative Apex Bank Ltd, M.G Road, Shillong-793001, during office hours. No request for clarification will be entertained by the Bank if such request is received after the office hours of 29th June, 2019.
f) The minimum general Pre-qualification criteria shall be as stipulated in this document. However, fulfillment of minimum eligibility criteria will not entitle for Pre-qualification as Pre-qualification will be done after taking into account various parameters including receipt of satisfactory reports from clients, in case the Bank deems it necessary to do so.
g) Applicants shall furnish documentary evidence/certificates in support of their claims of work undertaken and work in hand, failing which the application will be liable for rejection.
h) Decision of the Bank with regard to pre-qualification of vendor shall be final. The Bank reserves the right to reject any or all applications without assigning any reason thereto.

3. IMPORTANT DATES:
In case, any of the aforesaid mentioned dates is declared a holiday, then the same
time on the next working date will be the scheduled time and date for receiving/opening of
bids.
4. THE VENDOR/BIDDER ELIGIBILITY CRITERIA: a) The bidder should be a profitable registered company / firm / sole proprietorship /
cooperative society involved in UPS related business for at least five (5) years or more
(Copies of relevant documents in support of the same should be provided).
b) The bidder should have presence in Meghalaya. They must have their service
centre/Resident Engineers in at least two places in Meghalaya including Shillong
(Copies of relevant documents in support of the same should be provided).
c) The bidder should be OEM of UPS Systems or should enclose Manufacturers' Authorisation Letter / Dealership Certificate from the Original Equipment Manufacturer (OEM) for the relevant UPS systems along with the Technical Bid (Copies of relevant documents in support of the same should be provided).
d) The bidder should have supplied at least 150 UPS systems of capacities five (5) KVA or
higher during the last three years in single PO or one hundred (100) UPS systems of
similar capacity in two (2) or more PO’s for Government Data Centres, Government
Departments / PSUs / Banks / Reputed organisations as on 31.3.2019 (Copies of relevant
documents in support of the same should be provided).
e) Bidder must have completed the project for installation of UPS systems in PSU / Rural
Bank with minimum any one of three criteria mentioned below in the last three financial
years ended 31st March, 2019:-
i) Single Purchase Order of value Rs.2.5 Cr. or more ii) Two Purchase Orders of value Rs.1.5 Cr. or more each iii) Three Purchase Orders of value Rs.1 Cr. or more each

f) The bidder should have "Annual Turnover" or "average annual turnover" of at least
Rupees twenty four crores only in each of last three financial years, i.e., 2016-17, 2017-
18 and 2018-19 from UPS business and their net profit in each of these three years
should be positive. (Audited Balance Sheets and Profit & Loss statements for the
financial years 2016-17, 2017-18 and 2018-19. In case audited financial statements have
not been published, unaudited ones should be submitted along with a declaration to
submit the audited statements once they are available. Turnover Certificate to also be
provided from a Chartered Accountant as per Annexure – VI.
g) The bidder should not be a defaulter with nor blacklisted by any government, government organisation, semi-government entity, bank, insurance company, etc.,

operating in India as on the date of submission of the bid. Affidavit in this regard should be submitted as per format in Annexure – VII.
h) The bidder must quote single brand of batteries. The batteries OEM must have manufacturing facility in India (Documentary evidence from the OEM along with OEM manufacturing authorisation for this specific tender are to be provided).
i) Purchaser reserves the right to test the UPS after installation from any National Accreditation Board for Testing and Calibration Laboratories (NABL) accredited LAB, the cost for which should be borne by the vendor.
j) Vendor should be capable to offer services in all the locations of the Bank’s offices and branches as specified in Clause-14.
k) Vendor should indicate GSTIN No. (Copy of GST registration to be enclosed) and Permanent Account Number (copy of PAN card to be enclosed)
l) Bidders should note that they shall have to furnish a valid Trading License from the Autonomous District Councils concerned of Meghalaya while submitting their tender. Alternately, the vendor may submit an undertaking that the Trading License will be submitted before award of the supply order within a time frame to be specified by the Bank. Members of the Scheduled Tribes who are exempted from the same will require to submit a copy of their Scheduled Tribe Certificate.
5. TECHNICAL BID (COVER 1): Technical bid in a separate envelope – Cover 1, should contain the following
documents: a) Sealed and signed Tender Form Annexure – I along with necessary enclosures. b) Sealed and signed Letter of Acceptance Annexure – II c) Demand Draft/Banker’s Cheque for Tender Fee as stated in Clause-9 of this tender
document. d) Demand Draft/Banker’s Cheque for EMD as stated in Clause-10 of this tender
document. e) Letter of authorisation in case of representatives. f) Relevant certificates such as experience certificate of 5 KVA and above only. g) Details of service centres / Resident Engineers in Meghalaya. h) Copy of GST registration i) Copy of PAN Card j) Bidders should note that they shall have to furnish a valid Trading License from the

k) Test Parameters – Annexure -IV NOTE: Tender will be rejected if the tenderer fails to submit the required EMD along with the above documents and certificates and the financial bid will be returned without being opened.
6. FINANCIAL BID (COVER 2): Financial bid in a separate envelope – Cover 2, containing the price bid in prescribed
rate schedule format – Annexure-V has to be submitted by the vendor. Rates are to be

quoted in both figure and words in the prescribed format and shall be inclusive of all, i.e., cost of item, delivery charges, installation charges, transportation, loading-unloading and all prevailing taxes.
The cost for the above UPS systems should include 4 (four) years comprehensive AMC charges for UPS and 3 (three) years AMC charges for Batteries after the warranty period. The vendor shall quote separately the rates for UPS and AMC post warranty period in the price bid. The AMC rates quoted shall be inclusive of all prevailing taxes.
7. SUBMISSION OF BIDS: a) Sealed tender shall be submitted in two separate closed/sealed envelopes - one
superscribed as “Technical Bid - Cover 1” and the other: “Financial Bid – Cover 2”. Both these envelopes shall be kept in a separate envelope superscribed “Tender for supply Installation, testing and commissioning of 5 KVA, 7.5 KVA and 10 KVA UPS with Single phase output” and be addressed to “General Manager, Meghalaya Cooperative Apex Bank Ltd, Head Office, M. G. Road, Shillong 793001” to be dropped in the Box placed specially for this purpose at “The Meghalaya Co-operative Apex Bank Ltd, Head Office, M. G. Road Shillong 793001”.
b) Tenders sent through post or email will be rejected, only sealed tenders dropped in the Box as mentioned above will be accepted.
c) Vendors are to enclose relevant and desired documents along with technical bid only. Overwriting, if any, is to be authenticated. The rate will be specified in financial bid.
d) No tender will be accepted after the last date and time. It is the responsibility of the Vendor to make sure that the required documents shall be submitted in time.
e) The Bank is at liberty to reject or accept any or all offers without assigning any reason thereof. The decision of the Bank in this regard shall be final and binding.
f) The Bank may also cancel this NIT without assigning any reason thereof and no liability, financial or otherwise, will be borne by the Bank in this regard.
8. OPENING OF BIDS: a) Technical Bids will be opened on 10th July, 2019, at 3.00 pm. b) Financial bid of a vendor will be opened, only if technical bid is found to be
satisfactory. c) Financial Bids of the eligible vendors will be opened on 10th July, 2019, at 3.30 pm. d) If there is holiday on the date of opening of bids, then the bids shall be opened at the
same time on next working day.
9. TENDER FEE: Tender Fee of Rs.500/- (Rupees five hundred) only in the form of Demand
Draft/Banker's Cheque in favor of “The Meghalaya Cooperative Apex Bank Ltd.”, payable at Shillong.
10. EARNEST MONEY DEPOSIT (EMD): a) Earnest Money deposit would be Rs.10,000/- (Rupees ten thousand) only in the form of
Demand Draft/Banker’s Cheque in favour of “The Meghalaya Cooperative Apex Bank Ltd.”, payable at Shillong. EMD should be valid for at least 6 (six) months.
b) EMD of all the unsuccessful vendors will be returned to them after finalisation of the tender. EMD of the successful vendor(s) will be returned only after completion of

commissioning of the UPS systems. c) The amount of EMD is liable to be forfeited if the tenderers refuses the offer after
submission of the tender or after the acceptance of the offer by the Bank. d) No interest will be paid by the Bank on the EMD deposited.
11. SECURITY DEPOSIT: a) Five (5) % of contract amount will be retained as Security Deposit till the end of
warranty period. a) Security Deposit will be refunded without interest. b) Security Deposit will be forfeited if the vendor fails to perform/abide by any of the
terms or conditions of the contract.
12. PERIOD OF VALIDITY OF TENDER: The bid will remain valid for 180 (one hundred and eighty) days from the date of
opening as prescribed by the Bank.
13. SCOPE OF WORK: a) Supply – Supply of UPS as per the technical specification and applicable standards as
mentioned in Annexure – III. b) Installation – Installation of UPS system as per specifications mentioned in the Annexure
–III at the locations mentioned in Clause-14 of this tender document. c) Testing & Commissioning –
I. Testing and commissioning of all installed UPS in all the locations mentioned in Clause-14 of this tender document.
II. The vendor shall have facilities to carry out all the tests at factory centre, and tests will have to be satisfactorily carried out before acceptance.
d) Warranty and Annual Maintenance Contract(AMC)- I. The vendor shall support the product and its associated items/components
including battery, OS/firmware during the period of warranty and AMC. II. The vendor after warranty period must provide Comprehensive AMC for UPS as
well as batteries. III. The vendor shall ensure that services of professionally qualified personnel are
available for providing comprehensive on-site maintenance of the product and its components as per the Bank’s requirements. Comprehensive maintenance shall include, among other things, day to day maintenance of the system, reloading of firmware, etc., when required or in the event of system crash/malfunctioning, arranging and configuring facility as per the requirements of the Bank, fine tuning, system monitoring, log maintenance, etc.
IV. The vendor shall provide services of an expert engineer at locations wherever required, whenever it is essential. In case of failure of product (UPS and Batteries, system or any of its components), the Bidder shall ensure that product is made operational to the full satisfaction of the Bank within the given timelines.
V. During the warranty and AMC periods, the vendor must support the Bank in case of shifting of premises and install it thereof urgently, the vendor shall be informed of the same immediately. The Bank shall bear the charges for such shifting and the vendor shall provide necessary arrangement to Bank in doing so.

VI. The service personnel should visit and check the UPS systems once in every calendar quarter for periodical maintenance during the warranty period and during AMC and submit the service report regarding the healthiness of system, back-up time, Specific gravity readings of battery, voltage.
VII. During such quarterly visits, the vendor must, without any further cost on the Bank, verify all vital and running parameters of UPS sets, repair leakages, undertake battery maintenance with verification of tightness of battery connection, cleaning of external surface & components, application of petroleum jelly on battery terminals, verification of specific gravity, topping of distilled water and electrolyte for Tubular model, replacement of major internal components such as Transformers, Chokes, semiconductor devices like IGBT, MOSFET, Diodes, SCR and DC capacitor, etc., due to failure of system due internal factors and ageing. The vendor shall take over the defective material at the time of their replacement. No claim whatsoever shall lie on the Bank for the replaced goods thereafter. If the vendor fails to replace the defective goods within a reasonable period, the Bank may proceed to take such remedial actions as may be necessary, at the vendor’s risk and expense.
VIII. The vendor should attend to all breakdown calls within eight (8) hours and upon receipt of notice in writing from the Bank for defective material, the vendor shall within ten (10) days of receipt of the notice, replace the defective material, free of cost at the destination. The vendor shall take over the defective material at the time of their replacement. No claim whatsoever shall lie on the Bank for the replaced goods thereafter. If the vendor fails to replace the defective goods within a reasonable period, the Bank may proceed to take such remedial actions as may be necessary, at the vendor’s risk and expense.
IX. Charges for AMC for four (4) years after expiry of warranty period will be calculated for tender evaluation purpose after multiplying quoted rates with Discount factor, i.e., after discounting annual cost @ 10% per annum.
X. The AMC payment will be disbursed quarterly at the end of each quarter.

15. LIQUIDATED DAMAGES: The date of delivery and quality of item(s) stipulated in the letter for execution of the
work should be deemed to be essence of the contract and delivery must be completed not later than the dates specified therein. Extension will not be given except in exceptional circumstances. If the delivery is not done within the stipulated time period, a penalty of 0.5% of the contracted value per week subject to a ceiling of 5% of contract amount will be levied to UPS vendor.
16. PAYMENT TERMS: The payment will be made after successful delivery/installation of the item(s) at
respective locations on production of the following documents:- a) Bills in triplicate should be sent and the payment shall be released only after it is
ensured that the materials and quality of the materials supplied are to the entire satisfaction of the Bank. If any items is found to be defective, or not of the desired quality etc., the same shall be replaced by the vendor(s) immediately for which no extra payment shall be made.
b) No advance is payable. c) On receipt of complete materials with satisfactory test reports at site installation,
testing and commissioning and receipt of Installation Certificate from the Officer concerned in the respective locations, i.e., Branch Manager at branches, Ninety five (95) % of cost will be paid and the balance of five (5) % of cost will be treated as Security Deposit which will be released after the warranty period from the date of commissioning of the system.
d) However, where delivery has been made but installation, testing commissioning could not be carried out due to the site not ready/clear, 80 (Eighty) % of cost will be paid. Further, fifteen (15) % will be paid on completion of installation, testing and commissioning. The balance of 5 (five) % of cost will be treated as Security Deposit which will be released after the warranty period from the date of commissioning of the system.
e) Bills would be cleared only on submission of the duly endorsed Warranty Documents that fulfill all the Warranty conditions as per specification(s) and no payments shall be released unless the satisfactory test certificates are produced.
17. TERMINATION FOR INSOLVENCY: The Bank may at any time terminate the Contract by giving a written notice to the
awarding firm, without compensation to the vendor, if the vendor becomes bankrupt or otherwise insolvent as declared by the competent Court, provided that such termination will not prejudice or affect any right of action or remedy, which has accrued or will accrue thereafter to the Bank.
18. WARRANTY OF QUALITY AND QUANTITY: a) The vendor shall give warranty that the materials are as per specification(s),
conforming to the specified design and there are no defects in the process of manufacturing, packaging, transportation and delivery.
b) Warranty Card should be separate for each location, where the UPS is installed. c) UPS should carry a minimum warranty of one (1) year from the date of

commissioning while the batteries should carry a minimum warranty of two (2) years from the date of commissioning.
19. FORCE MAJEURE: a) Should any force majeure circumstances arise, each of the contracting parties be
excused for the non-fulfillment or for the delayed fulfillment of any of its contractual obligations, if the affected party within fifteen (15) days of its occurrence informs in a written form the other party
b) Force Majeure shall mean fire, flood, natural disaster or other acts such as war, turmoil, sabotage, explosions, epidemics, quarantine restriction, strikes, lockouts, i.e., beyond the control of either party.
20. ARBITRATION: In the event of any question, dispute or difference arising between the Bank and the
vendor relating to any matter arising out of or connected with the manufacturing packaging and delivery, job assigned to the firm for execution under the contract, the same shall be referred to the sole arbitration of an officer to be nominated by the Chairman of the Bank. The decision of the arbitrator shall be final and binding on both the parties to the agreement.
Legal jurisdiction for any disputes, if arise, is subject to exclusive jurisdiction of competent courts in Shillong (Meghalaya) only.
21. GENERAL TERMS AND CONDITIONS: a) In case the vendors/successful vendor(s) are found in breach of any condition(s) at
any stage of the tender, Earnest Money/Performance Security Money, deposited shall be forfeited after giving proper opportunity through Show Cause Notice.
b) The Bank reserves the right to accept or reject any or all the tenders in part or in full, without assigning any reason thereof.
c) The Bank reserves the right to relax /amend/withdraw any of the terms and conditions contained in the Tender Document without assigning any reason thereof.
d) Vendor shall be responsible for the behaviour and conduct of his workers. No worker with doubtful integrity or having a bad record shall be engaged by the vendor
e) No advance payment will be made in any case. f) Conditional tenders shall not be considered. g) All materials shall be as per technical specification and standards mentioned in
Annexure III. h) Vendor should specially take note of all the addendum/corrigendum related to the
tender published on the website of the Bank and no separate intimation for the same will be issued by the Bank.
i) The UPS system shall conform to the Bank’s standard specifications supplied with this notice and any deviation will be suitably penalized.
j) In case of any deviation, a separate detailed deviation statement may be enclosed. If no deviation statement is enclosed, then it will be deemed that the tenderer has accepted all our terms and conditions and the rates quoted accordingly.
k) Test Certificates should be provided from Society for Applied Microwave Electronics Engineering & Research (SAMEER)/ (Electronic Regional Test laboratory (ERTL) / Electronics Test & Development Centre (ETDC)/NABL accredited Government Lab. Test

report shall be submitted for same model complying with the technical specifications along with the tender which has to be conducted not earlier than one year prior from the date of tender opening. Test required for UPS are mentioned in Annexure- IV.
l) No payments shall be released unless the satisfactory test certificates are produced. m) If the UPS does not conform to specifications either during factory test or at site, the
Bank reserves the right to reject the same. The successful tenderer shall then have to remove the same at his cost from site and supply a new piece conforming to the specifications. In case any document is to be signed for the purpose, the same may be obtained by the vendors representative from the specified office/branch of the bank and the same will be signed and returned by the Bank after due verification.
n) If any vendor offers any components / parts / equipment of higher capacity than that specified it will be considered as equivalent and no weightage will be given.
o) Please note that if the technical bid contains the price bid or copy of the same or any indication to the quoted price, the tender will be rejected outright.
p) Failure to enclose any / all of the necessary documents and to submit the tender in the required format, etc., may disqualify the tender.
q) Bank reserves the right to ask the vendor to divert the ordered equipment for a particular site to a different location / city / site, if the situation so warrants.
r) The vendor shall provide such packing of the products as is required to prevent its damage or deterioration during transit thereof to the location given by the Bank. The packing shall be sufficient to withstand, without limitation, rough handling during transit and exposure to extreme temperature, salt and precipitation during transit and open storage. Size and weight of packing cases shall take into consideration, where appropriate, the remoteness of the Products final destination and the absence of heavy handling facilities at all transit points.
s) Delivery, installation and commissioning of the equipment shall be made by the vendor in accordance with the system approved / ordered and within the time schedule given.
t) The delivery will be deemed complete when the equipment / components/ associated / firmware are received in good working condition at the designated locations, mentioned in clause 14 of this document.
u) The installation will be deemed to be completed, when the product including all the UPS and Batteries, accessories /components, firmware / system and other associated items and services have been supplied, installed and operationalised as per the technical specifications and all the features as per the technical specifications are demonstrated and implemented as required, on the systems, to the satisfaction of the Bank. The vendor has to resolve any problem faced during installation and operationalisation.
22. STATUTORY PROVISIONS: a. Vendor shall comply with all the statutory provisions as laid down under
Laws/Acts/Rules in force from time to time. In case of any violation of such statutory
provisions applicable by the vendor, there will be no liability on the Bank.
b. Vendor should remit all statutory payments to Government authorities periodically.
In case of any failure, the Bank reserves the right to retain the Performance Security
or withhold payments, till clearance of such statutory dues.

Testing
a) A list of tests parameters prescribed are enclosed in Annexure-IV. b) If the UPS does not conform to specifications either during factory test or
at site, the Bank reserves the right to reject the same. The successful vendor shall then have to remove the same at his cost from site and supply a new piece conforming to the specifications.
c) The Bank reserves the right to randomly decide to carry out testing of a few UPS systems at site after installation at the cost of UPS vendor, who will be required to arrange for all the requisite variacs, meters, loads, etc. and carry out the tests through vendor’s personnel in the presence of Bank’s Officials.
The bills would be cleared only on submission of the duly endorsed
