The CFO job can be overwhelming. It is important that the CFO continue focusing on the proper priorities as those priorities change. Join our experienced panelists as they dive into questions concerning what the Board needs from the CFO and what the CFO needs from the Board. Robert Uhlaner - Moderator, is a core member of McKinsey’s Corporate Finance Practice, where he leads the Transactions group for the Americas as well as the firm’s West Coast Industrial group. Robert’s clients include established companies in the high-tech, electric power, natural gas, and industrial sectors. He is well known for his design and implementation of value-capture programs—generally undertaken in the context of M&A or other restructuring efforts—which he has applied successfully to sev- eral notable transactions. Robert leads McKinsey’s knowledge-building in merger management and integration. Sigmund “Sig” Cornelius, 58, retired at the end of 2010 as Senior Vice President, Finance and Chief Financial Officer from ConocoPhillips after serving over 30 years with the company in a variety of assignments in the Midstream, Upstream and Corporate segments of the business in both domestic and international locations. He currently serves on the public company Board of Directors for Carbo Ceramics, USEC, Parallel Energy, NiSource and Western Refining. He also serves on three non- profit boards; Citizens for Animal Protection (CAP), Theatre Under the Stars (TUTS) and Lutheran Social Services of the South (LSS). Additionally he is engaged in part- time consulting work in the natural gas industry. W. Benjamin “Ben” Moreland, was appointed President and CEO of Crown Castle International in July 2008. Crown Castle, a NYSE-listed provider of wireless infrastructure in the US and Australia, operates over 31,000 towers and Distributed Antenna System (DAS) facilities and was added to the S&P 500 in 2012. Prior to his current role, Moreland served as Executive Vice President and Chief Financial Officer of Crown Castle since 2000. He joined Crown Castle in 1999 after 15 years with Chase Manhattan Bank, primarily in corporate finance and real estate investment banking. Moreland serves on the Boards of Crown Castle International and Calpine Corporation, as well as the Spring Branch Education Foundation. The CEO and Board have generally increased their expectations of the CFO over the last decade depending on the stage of evolution and particular circumstances of a company.  The CEO, Board and CFO all need a clear alignment and prioritization of expectations, which might range from strong controller skills to a strategic partner of the CEO to an M&A deal generator. The CFO job can be overwhelming. It is important that the CFO continue focusing on the proper priorities as those priorities change. Join our experienced panelists as they dive into questions concerning what the Board needs from the CFO and what the CFO needs from the Board.

Greetings,

Our April meeting marks a number of firsts for our chapter; it is a morning meeting, and a joint meeting with the tri-city chapter of the National Association of Corporate Directors, (NACD). At the beginning of this chapter year the leadership pledged to increase member value through varied programming. Many members are challenged to make our evening meeting and by starting the day with FEI we hope to allow different members to make a chapter meeting. FEI has many dual members with NACD and has similar goals and interests. By partnering

with NACD on this meeting we are offering a program on CFO board relations through a great panel and a nationally recognized moderator. With his joint meeting we hope to further educate Houston area directors on the mission and goals of FEI. If we find value in this meeting time we may consider additional offerings in the future.

At our March meeting the slate of new officers and directors were presented for election to their respective positions. On behalf of our current officers and directors we offer congratulations to the incoming team for fall 2013 and will support them in continuing the success of FEI in Houston.

At the March professional development session, George Brown did a fantastic job of explaining cloud computing. The main points of the presentation were the projected 10X cost reduction over traditional in-house computing and that adoption will reach an inflection point within 3 years with half of all companies utilizing cloud computing in their enterprise. Our dinner speaker, Brent Longnecker demonstrated why he is considered a thought leader on executive compensation. Brett’s rapid fire coverage of SEC registrant’s Compensation Disclosure and Analysis issues along with other current issues in proxy statement disclosure issues was a great clinic for all.

UHY is the Platinum sponsor in April and we appreciate their high level of engagement and support for our chapter including cooperating with NACD on the upcoming breakfast meeting. Over the summer months we will work with UHY to provide additional CPE opportunities for members.

The Houston Chapter Golf Tournament will be held on Tuesday afternoon, April 23rd at Blackhorse Golf Club in northwest Houston. The cost is $75 per member (a $200 value) and includes lunch, driving range, greens fee, snacks, beverages and dinner with open bar. Your first guest is free; second and third guests are $75 each. This is a fun event for golfers of all abilities (or no abilities). There are cart goodie bags for all golfers (including the ever popular bottle of wine), a putting contest, awards and raffle prizes.
