ADAC at a glance
With over 19 million members, ADAC e.V. is Germany's largest auto-mobile club. Based in Munich, the club’s key service is breakdown and accident assistance for its members. As an association with idealistic objectives, ADAC can engage in commercial activities to a certain extent in order to optimally organise membership benefits. Any surpluses from the commercial activities mostly accrue to the club’s core service units, for instance the ADAC road patrols.

Association with idealistic objectives pursuing public benefit and commercial activities
Based in Munich, ADAC e.V.’s legal status is that of an association with idealistic objectives. According to rulings from the highest German courts, it may pursue commercial activities to a certain extent. The idealistic objectives are the domain of the club. It is engaged in the area of mobility, consumer protection, assistance, advice and protection for its over 19.15 million mem-bers. On the commercial side, an ADAC holding1), founded in 1981, provides an umbrella for the essential commercial ventures. Both ADAC e.V., Munich, and all of its subsidiaries and affiliates are governed by the applicable legal and regulatory requirements and necessities. Any surpluses from its commercial activities are used to reinforce and safeguard long-term efficiency of ADAC e.V.’s key member benefits.
In 2014, the club’s extraordinary General Assembly voted for a realignment of the ADAC organisation. The essential activities of the existing ADAC will be grouped in an association with idealistic objectives, an unquoted European public limited company (SE) and a charitable foundation. The final organisational structure is to be adopted by mid-2016 and implemented by the end of the year. As at 31 December 2015, ADAC e.V. had 46 direct and indirect holdings. They were founded over the past few decades to provide a high-level organisati-onal structure for the variegated service and assistance portfolio for members and operate the entities accor-ding to business principles. Overall, more than 9,200 staff work for ADAC e.V, its group companies and the regional clubs.
ADAC lives up to its role as a corporate citizen by opera-ting charitable helicopter emergency medical services2)and two charitable foundations: the sport foundation3) and its yellow angel foundation4).
Regional and local clubsADAC’s structure is federal, made up of the Munich headquarters organisation and 18 regional clubs. The regional clubs are independent legal entities and are autonomous in the disposition of their assets. As laid down in the ADAC Articles of Association, the regional clubs are entitled to 37% of the revenue from mem-bership fees. Individual members can form local clubs. Nation-wide, 1,767 local clubs are active today.
The automobile club was founded in Stuttgart on 24 May 1903. It is now headquartered in Munich where it is entered in the register of associations under the name of Allgemeiner Deutscher Automobil-Club. The object of ADAC includes the representation and promotion of motoring, motor sport and tourism. In their currently valid version, the ADAC Articles of Association were entered into the register of associa-tions at the Munich local court on 6 July 2015.

2016 – year of the realignment
The reform for trust programme to realign ADAC is scheduled to be concluded successfully by the end of 2016. In the future, ADAC will have an organisational structure based on three pillars: the association with idealistic objectives, a public limited company (unquo-ted) and a charitable foundation. And this will make it a modern, transparent and viable organisation.
Sending a strong signal for more openness, a new corporate culture and more intensive member invol-vement, the delegates to the General Assembly in May 2016 in Lübeck passed both the reform package adop-ted by the ADAC governing bodies and the new ADAC strategy.
The key decisions in detail: As an association with idealistic objectives, ADAC e.V. will continue to cover key areas for its 19.24 million members (as at March 2016) such as roadside as-sistance, consumer protection, tourism, legal services (member advice), transport, motor sport and provide the ADAC club magazine.
All ADAC commercial activities, including financial services, insurance and ADAC publishing will be pla-ced under the umbrella of a public limited company, clearly separated and independent of the association. To ensure this reinforced independence of commercial activities from purely member-oriented activities, what is now the ADAC holding (ADAC Beteiligungs- und Wirtschaftsdienst GmbH/BuW) will be transformed into a European public limited company (ADAC SE). The choice of incorporation as an EU public limited company (SE) will ensure the integration of ADAC staff outside Germany, for instance those working in the
international ADAC assistance centres. A newly set-up charitable ADAC foundation (ADAC Stiftung) will hold a blocking minority share in the SE. The new foun-dation’s objectives will include life-saving and rescue services, assistance to the victims of accidents, research in the area of mobility and safety in non-professional motor racing.
The three pillars are to be fully implemented by the end of 2016. The reorganisation will not result in job cuts or loss of employee rights, entitlements and benefits. A decision of the competent Munich registry court is pending on ADAC e.V.’s status as an association with idealistic objectives.
In addition to the new structure, the Lübeck General Assembly also adopted a new overall strategy for the entire ADAC organisation. This and the Guiding Prin-ciples and Mission statement introduced in early 2015 will provide the framework policy applicable to all the units operating under the ADAC brand.
Consistently based on our members’ individual needs in terms of mobility, the new strategy clarifies ADAC’s basic orientation, defining the primary aim of all of ADAC’s activities, with the members at their centre.

Headquartered in Munich, ADAC e.V. is an association with idealistic objectives. While not legally required to do so, it publishes annual ac-counts certified by independent accountants. Membership levels rose slightly in 2015. As at 31 December 2015, ADAC had 19,152,063 members.

Membership in 2015: at 19.15 million
ADAC membership rose slightly over the last year. As at 31 December 2015, ADAC e.V. had 19,152,063 members – a plus of more than 228,000. 13,047,539 members have the ADAC Plus membership plan – 68.1%. Currently, the average ADAC mem-ber is 49.8 years old and remains an ADAC
member for 21 years. The average age of first-time ADAC adherents is 34.9 years. Women make up 39% of the membership.

Largely, the membership fees are allocated to assistance
The total revenue from membership fees rose by €17.4 million to €1,179.2 million thanks to a slight increase in member recruitment. Under the ADAC Articles of Association, a 37% share of the fees goes to the regio-nal clubs. The ADAC e.V. share in membership fees amounted to €743.2 million (2014: €724.8m). After
deducting the premiums for the Plus membership plan and en-route cover for partners, the ADAC e.V. fee income was €483.2 million (2014: €463.4m). An important part of this income, approx. €321.5 million, was allocated to breakdown and accident assistance and to the operation of the ADAC assistance centres.

2015 annual surplus approx. over €4.0 million
ADAC e.V. closed the 2015 business year on an annual surplus of over €4.0 million (16.9m in 2014). In spite of the augmented membership numbers and higher members-hip revenue in the aftermath of the 2014 increase in membership fees, the result was clearly impacted by the significantly higher cost in all business areas. In addition to the general wage increases, there was a signifi-cant increase in the provisions for the ADAC pension fund due to long-term low interest rates. These effects were more than com-
pensated by the positive financial results. The annual profit includes a disbursement of €17.0 million from ADAC Beteiligungs- und Wirtschaftsdienst GmbH to ADAC e.V., Munich. This money is used mainly to cover the expenses resulting from the encompas-sing reform programme for the realignment of ADAC.

ADAC Beteiligungs- und Wirtschaftsdienst GmbH (BuW), founded in 1981, provides an umbrella for the club’s essential commercial ventu-res. With respect to the ADAC subsidiaries and affiliates, the BuW is the holding entity. The BuW and the association are separate legal entities.

In 2015, the overall earnings rose by €42.1 million
In 2015, ADAC Beteiligungs- und Wirt-schaftsdienst GmbH (group) realised an annual surplus of €86.0 million, i.e. €18.5 million less than the previous year. This reduction in surplus was owed to material costs of €56.7 million which were dispro-portionately high compared with sales revenues. The costs stem mostly from subs-
tantially higher claims settlement costs for insurance. Overall earnings rose by €42.1 million to €1,161.5 million. The revenue is based mostly on insurance premiums, sales in the aviation/air transport business, the magazine and book business and B2B roadside assistance services.

The 18 ADAC regional clubs
ADAC is a democratic, federated organisation structu-red in 18 regional clubs. Their borders are not identical with the borders of the 16 German federal states. By statute, members belong to the regional club on whose territory they reside. The 18 regional clubs em-
ploy 2,829 people. The regional clubs are responsible for operating 182 ADAC local offices. In addition, the regional clubs support 148 ADAC representations and 16 call centres (as at the end of 2015).

ADAC members residing outside Germany
As at 31 December 2015, ADAC e.V. counted 139,506 members who were not residents of Germany. They do not belong to any of the 18 regional clubs. For the most part, such members are expatriates, military personnel formerly stationed in Germany or students who return
to their home countries after studying in Germany. They decided to remain ADAC members even after their change of residence.

Charitable commitment
ADAC serves the community in many ways. Its HEMS helicopters and crews rescue injured persons all over Germany and its charitable yel-low angel foundation takes care of people injured in accidents. The ADAC sport foundation supports the next generation in motor racing.

Fast help on wings
Racing against the clock to save lives. This is the credo of ADAC Luftrettung gGmbH, the largest civilian HEMS organisation in Germany. When you deal with severely injured or gravely ill persons, the golden rule is: The faster the patients are attended to and taken to an adequate hospital for
treatment, the better are their chances of survival. Since 1980, ADAC has contributed over €300 million to support this essential social function.

Assisting accident victims in need. Promoting accident prevention
Helping as a service to the community has always been a core concern within ADAC. This was the motivation for establishing the ADAC yellow angel foundation in 2007. The central aim of the yellow angel founda-tion is to improve protection and safety for all road users. The ADAC Stiftung „Gelber Engel“ gGmbH assists the victims of acci-
dents who have fallen on hard times and are dependent on the assistance of others. Further, the foundation funds accident re-search projects at universities and institutes of technology for the benefit of children and the young generation.

Supporting and helping the motor sport community
Since 1999, the ADAC sport foundation has provided support to increase safety in motor sport and helped severely injured non-professional racers. Also and chiefly, it assists young talents with their career development. The foundation fellows receive grants to fund their season in motor
sport, racing and practice equipment as well as seminars in which they learn about development, e.g. about fitness, nutrition, media work.
