When Who Pays How
Subscription fees are due on the same day every month. For example, customer signs up with TradeRev May 10th. The first invoice would be May 10th and the next invoice would be June 10th. Subscription Fees are not pro-rated for partial months and are not refundable.
Transaction Fees are paid when a vehicle is sold and are calculated on a per vehicle basis.
Sell Fees occur when a vehicle is committed and moves to the Won state.
Launch Fees are paid when a vehicle is launched (i.e. listed) for sale in the TradeRev System. If no bids are generated during the Launch, then no Launch Fees are charged.

Pro Rebate
Relaunch Fees are paid when a vehicle is launched for sale (same VIN and same owner) more than once in the TradeRev System. If no bids are generated during the Relaunch, then no Relaunch Fees are charged. If the TradeRev System automatically forces a relaunch due to a change in information contained in a vehicle history report, then no Relaunch Fee is payable. However, if the relaunch is initiated by the customer due to a listing error, the Relaunch fee is payable.
Won to Lost fees are paid if a vehicle that was launched for sale on the TradeRev system is marked Lost from the Won or Arrived stage.
Negotiate Fees are paid when a Seller initiates the negotiate feature on the TradeRev App to negotiate directly with a bidder regarding the tendered bid price.
Every vehicle offered for sale on the TradeRev system is required to have a current Vehicle History Report.
Customers who sell more than 10 vehicles in a month (Tier 1) or 20 vehicles per month(Tier 2) and subscribe to TradeRev Pro are eligible to receive the rebates described above. Rebates are calculated on a calendar month basis and are not pro-rated. On the first of each month, the number of vehicles sold resets to zero. Rebates are not cumulative and are not retroactive. Here are the rebate tiers. First 10 vehicles sold: No Rebate Payable. 11 Vehicles sold: Tier 1 hit and the dealer qualifies, payable on vehicles 1 through 20. 21 Vehicles sold: and the dealer qualifies for Tier 2. For rebate calculation purposes, a vehicle is considered sold when TradeRev has been paid in full for the vehicle and the transaction has not been cancelled or reversed due to arbitration or other causes.

Seller who participates in the Standard TradeRev Dealer plan. Negotiate Fees are waived for Pro Dealer Plan Sellers.
Seller is responsible to settle any balance owing on their Carproof Account.
Buyer will be responsible for a Vehicle History Report Fee with every Vehicle purchased on TradeRev.
Customers who subscribe for the TradeRev Pro Plan

Rebates will be paid by TradeRev by way of EFT deposit within 30 days of the end of each calendar month. TradeRev reserves the right to deduct any amounts owing to TradeRev from the rebate amount payable to Customer.

Thetermsandconditionssetoutinthisdocument(the“TermsandConditions”)createabindinglegalagreementbetweenyou,yourbusiness,yourrepresentatives(collectively,“you”“your”or“Customer”)andNthGenSoftware,Inc.operatingasTradeRev(“we”,“our”or“TradeRev”).
TheTermsandConditionsgovernyouraccesstotheTradeRevSystemandservicesandareimpliedtermsandconditionsofeveryagreementthatyouenterintowithTradeRevandwitheverybidder,buyerandsellerofvehiclesusingTradeRev’sSystemorservices.WemayamendtheseTermsandConditionsatanytimebypostingtheamendmentsonourwebsiteatwww.traderev.com.Youwillbenotifiedofanychanges to theTermsandConditionswhenyou logon to theTradeRevSystemoraccesstheTradeRevApp.ByusingoraccessingtheTradeRevSystemand/orservices,youagreetobeboundbythethencurrentTermsandConditions.
GENERALTERMS1. ScopeandPurpose.TradeRevprovidesareal-timelivebiddingonlineauctionserviceandrelatedmobileapplications
andservices(collectively,the“TradeRevSystem”orthe“Auction”)forlicensedmotorvehicleremarketerstolist,sell,bidonandbuyusedmotorvehicles(“Vehicles”).TheseTermsandConditionsareforthebenefitofTradeRevand,asthird party beneficiaries, ADESA Auctions Canada Corporation, ADESA Montreal Corporation, ADESA QuebecCorporation, Openlane Canada, Inc., AutoVIN Canada Inc. and Automotive Finance Canada, Inc. (collectively, the“TradeRevPartners”). ByparticipatingintheAuctionoraccessingtheTradeRevSystemyouagreetobeboundbytheseTermsandConditionsasmaybeamendedand/orrelocatedontheapplicableTradeRevwebsitefromtimetotime. Breachof theseTermsandConditionsmay result in theassessmentofpenalties,and/or the temporaryorpermanentsuspensionofyouraccesstotheTradeRevSystem.
2. Definitions.InadditiontotermsdefinedelsewhereintheseTermsandConditions,thefollowingdefinitionsapply:
“Arrived”meansthataWonVehicle isgroundedattheSeller’s location,availableforpick-upbytheBuyerandnotedassuchintheTradeRevSystem.
“AutoPay”meansanarrangementwherebyCustomerauthorizesTradeRevtoautomaticallydebitCustomer’sbankaccount (orpre-approved floorplan financing account) for fundsowed if payment is not receivedby4:00PMEasterntimethedayaftertheVehicleismarked“Arrived”intheTradeRevSystem.
“AuthorizedUser”meanstheindividualsdesignatedbyyouandapprovedbyTradeRevtolist,bidonand/orbuyVehiclesonyourbehalfviatheTradeRevSystem.
“Buyer”meanstheCustomerwhobidsonand/orpurchasesaVehicleviatheTradeRevSystem.
“Delivered”meansaVehiclethathasbeenpickedupfromtheSeller’slotbyBuyerandhasbeenmarkedassuchintheTradeRevSystem.
“Seller”meanstheCustomerwholistsaVehicleforsaleviatheTradeRevSystem.
“Web Information”meansall informationandmaterialsdisplayedonoraccessiblevia links fromtheTradeRevwebsitesincluding,withoutlimitation,theADESAMarketGuide®.
“Won”meansaVehiclethat,uponbeingmarkedArrived,theSellerhascommittedtoselltothetopbidderandhasbeenmarkedassuchintheTradeRevSystem.
3. CustomerEligibility. OurAuction salesare intended forprofessionalVehicle remarketersonly. You representandwarrant thatyouarea licensed retailorwholesaledealerofVehicle(s)and/orabusiness that isotherwise legally

eligibletopurchaseorsellVehiclesatwholesaleautoauctions.YouagreethattheseTermsandConditionsshallapplytoalltransactionsconductedbyyouandyourAuthorizedUsersontheTradeRevSystem.TradeRevreservestherighttorefuseaccesstotheTradeRevSystemoranyserviceorfeatureprovidedbyTradeRevtoanyonewhobreachestheseTermsandConditionsorotherwiseinterfereswithorviolatesTradeRev’srightsortherightsofothers.
4. ReserveAuction.Unlessotherwiseindicated,allVehiclesofferedforsalearesubjecttoareserveprice.Ifbiddingdoesnot reach the reserve price, the Sellermay elect to decline all bids and/orwithdraw the Vehicle listing from theTradeRevSystem.
5. Registration. To access the TradeRev System, youmust complete TradeRev’s online registration package. (SomeTradeRev services aremanaged on behalf of TradeRev by one or more TradeRev Partners. Youmay need to beregisteredwithAuctionACCESS® inordertoaccessthoseservices.)Uponreceiptandapprovalofyourregistrationdocuments,youandyourAuthorizedUserswillbeissueduniqueusernamesandpasswordstoaccesstheTradeRevSystem.Youareliableandresponsibleforallactions,omissionsandanyfailuretoactofyourAuthorizedUsers.YourepresentandwarrantthatallinformationthatyouprovidetoTradeRevisaccurateandcompleteandthatyouwillnotify us in writing of any changes to the information provided. You hereby authorize TradeRev to share theinformationyouprovidetous(including,withoutlimitation,financialinformation)withTradeRevPartners.YouagreenottogiveanyoneaccesstotheTradeRevSystemotherthanyourAuthorizedUsers.
6. Data. You agree that all information and records, whether oral, written, visual, electronic, digital or tangibletransmitted, uploaded, received or stored on the TradeRev System or using the systems, equipment, computers,servers,orpremisesofTradeRevoranyTradeRevPartner (collectively“Data”) is thepropertyofTradeRevand/orTradeRevPartners.Youagreethatwehavetherighttoreceive,use,disseminate,controlaccessto,aggregate,modify,package,derivebenefitfrom,remove,destroyorsellDatainwholeorinpart.Notwithstandingtheforegoing,DatathatcontainspersonallyidentifiableinformationwillonlybeusedanddisclosedinaccordancewithTradeRev’sPrivacyPolicy.
7. Ownership.YouacknowledgeandagreethattheTradeRevSystem,relatedservices,DataandWebInformation(asdefinedbelow),includingallcopyrightandrightstopatent,industrialdesignandtrademarkprotection,tradesecretsandallotherintellectualpropertyrights(collectively,the“TradeRevIP”)areownedbyTradeRevoritslicensorsandareprotectedbyCanadianandinternational intellectualpropertylawsandtreaties.Subjecttothelimitedrightsofaccessexpresslygrantedhereunder,TradeRevreservesallrights,titleandinterestinandtotheTradeRevIP.NorightsaregrantedtoyouotherthanthelimitedrightsexpresslysetforthintheseTermsandConditions.Youacknowledgeandagreethatyoudonotown,andshallnotacquire,anyright,titleorinterestintheTradeRevIPandthat,ifnecessary,youagreetoperformanyactsthatmaybereasonablynecessarytotransferorconfirmownershipofanyright,title,andinterestinortotheTradeRevIP.
8. Licenses. It is your responsibility to acquire, provide andmaintain at your own expense licenses for all software,hardware, equipment, connections, facilities, services andother supplies necessary for you to access anduse theTradeRevSystem.
9. PermittedUse.YouagreethatyouwillusetheTradeRevSystemsolelyforyourinternalbusinesspurposesandwillnot:(i) license,sublicense,sell,resell,rent, lease,transfer,assign,distribute,timeshareorotherwisecommerciallyexploitormaketheTradeRevSystemavailabletoanythirdparty,otherthantoyourAuthorizedUsersorasotherwiseexpresslypermittedbytheseTermsandConditions;(ii)sendspamorotherwiseduplicativeorunsolicitedmessagesinviolation of applicable laws; (iii) send or store infringing, obscene, threatening, libelous, or otherwise unlawful ortortiousmaterial,includingmaterialthatviolatesthirdpartyprivacyrights;(iv)sendorstoremaliciouscodeorviruses;(v) interferewithordisrupttheintegrityorperformanceoftheTradeRevSystemortheDatacontainedtherein;or(vi)attempttogainunauthorizedaccesstotheTradeRevSystemoritsrelatedsystemsornetworks.Youfurtheragreethatyouwillnot(i)modify,copyorcreatederivativeworksbasedontheTradeRevSystem;(ii)frameormirroranycontentformingpartoftheTradeRevSystem;(iii)reverseengineerordecompiletheTradeRevSystem;(iv)accesstheTradeRevSysteminorderto(A)buildacompetitiveproductorservice,or(B)copyanyideas,features,functionsorgraphicsoftheTradeRevSystem;or(v)permitorauthorizeanythirdpartytodoanyoftheforegoing.Youagreethatall Data transmitted by you through the TradeRev Systemwill be free frommalicious software, including viruses,worms,Trojans,softwarethatbypassesnormalauthenticationmechanismsorexploitsorattackssoftwaresecurityorany software or data designed to disable,modify or damage the TradeRev System. Youwill not use any device,softwareorroutinetointerfereorattempttointerferewiththeproperworkingoftheTradeRevSystem.Youwillnot

takeanyactionthatimposesanunreasonablyordisproportionatelylargeloadonTradeRev’sinformationtechnologyinfrastructure.
10. Sharing of Username/Password. Sharing or lending of usernames or passwords is strictly prohibited. You areresponsibleformaintainingtheconfidentialityandsecurityoftheusernamesandpasswordsissuedtoyouandyourAuthorized Users. You will be liable and responsible for all actions, omissions, failures to act, and transactionsconductedwiththeusernameandpassword issuedtoyouoranyofyourAuthorizedUsers. Youwill immediatelynotifyusinwritingofanyunauthorizeduseofausernameandpassword.
11. Compliance. You represent and warrant to TradeRev that: (a) you and your Authorized Representatives are incompliancewithand shall complywithall lawsand regulations thatapply toyourbusiness;and (b) youandyourAuthorizedRepresentativeshavesecuredandwillmaintainallpermits,licensesandgovernmentalapprovalsrequiredtooperateyourbusinessincluding,withoutlimitation,asrequiredtoaccessandparticipateintheTradeRevSystem.Wereservetherighttotemporarilyorpermanentlysuspendyouraccessrightsand/ortheaccessrightsofanyofyourAuthorized Users at any time. Breach of these Terms and Conditionsmay result in the permanent or temporarysuspensionofyourrighttoaccesstheTradeRevSystem.
12. CreditHistory.YouherebyauthorizeTradeRevoritsauthorizedagentto:(a)investigateyourcredithistory,includingobtaining,fromtimetotime,credithistoryreportsofyourprincipalsandAuthorizedUsers(collectively,the“CreditHistoryReports”),and(b)sharetheCreditHistoryReportsandrelatedinformationwithTradeRev’sPartners.
13. ElectronicSignatures.YouwillpermitTradeRev tocaptureyour signature inelectronicordigital form.YouherebyauthorizeTradeRevandtheTradeRevPartnerstoapplyyourelectronicsignaturetodocumentsnecessaryorincidentaltoyouruseofTradeRev’sservices,including,withoutlimitationbillsofsale,odometerdisclosurestatements,invoices,acknowledgements, approvals, and title documents. You agree that your electronic signature is intended toauthenticatethedocumenttowhichitisappliedandshallhavethesameforceandeffectasamanualsignature.
14. TradeRev’sRole.TradeRevisaproviderofonlineauctionandvehicleappraisalsoftwareservices.WedonotownortaketitletotheVehicleslistedforsaleviatheTradeRevSystem.TradeRevisneithertheBuyernortheSelleroftheVehicles listedforsale.Rather,TradeRevprovidessoftwareservicestofacilitatetheexchangeofVehiclesbetweenBuyersandSellers.TradeRevdoesguaranteepaymenttotheSellerprovidedthattheSellerprovidesTradeRevwithoriginal Vehicle ownership documentswithin 48 hours of the date theVehicle ismarkedArrived in the TradeRevSystem.TradeRevdoesnotguaranteetheaccuracyofinformationregardingVehicleslistedforsaleviatheTradeRevSystem.Asasophisticatedcommercialparty,youareexpectedtosatisfyyourselfregardingtheconditionandvalueoftheVehicleandthetermsofsalebeforebidding.TradeRevisnotapartytotheVehiclesalecontract,butisathirdparty beneficiary of the contract, entitled to the parties’ performance and to seek legal remedies for the parties’breach.Youagreethatanylegalclaimsarisingoutofatransactionwillbebetweenyouandtheotherparty(eitherBuyer or Seller) in the transaction and not against TradeRev or any TradeRev Partner. TradeRev makes norepresentation,warrantyorguaranteeastotheaccuracyorcompletenessoftheappraisal,description,equipment,warranty,servicepolicy,title,history,odometerreadingordisclosurespertainingtoVehiclesofferedforsaleviatheTradeRevSystem.
15. Fees. In consideration of access to the TradeRev System, you agree to pay TradeRev and TradeRev Partners (asapplicable)allfeesandchargesassessedbyTradeRevand/ortheTradeRevPartnersforaccesstotheTradeRevSystemandservicesprovidedbyTradeRevPartners(collectively,the“Fees”).Feesaresubjecttochangewithoutnotice.YouagreethatTradeRevmaydeducttheFeesandanyotheramountowingbyyoutoTradeRevoraTradeRevPartnerfromanyamountsthatmaybepayabletoyouincludingVehiclesaleproceeds.ThepurchasepriceoftheVehicle,servicecharges,plusallapplicabletaxesandFeespayablebyBuyerinconnectionwithatransactionisthe“TotalPaymentAmount.”AllFeesnotdeductedfromthesaleproceedsaredueandpayablewithinseven(7)daysafterthechargeispostedtoyouronlineaccount.
16. PaymentTerms.CustomershallpayTradeRevorTradeRevPartner(ifapplicable)theTotalPaymentAmountby4:00PM(Easterntime)thedayaftertheVehicleismarked“Arrived”intheTradeRevSystem(the“PaymentDueDate”).ForCustomerswhoelecttoparticipateintheTradeRevPromonthlysubscriptionplan,subscriptionfeesaredueandpayableinadvanceonthesign-update(the“SubscriptionFeeDueDate”).(Forexample,ifyousignedupforTradeRevProonthe14thofMay,yourfirstpaymentwouldbedueonMay14thandallotherpaymentswouldbedueonthe14thof eachmonth thereafter..) TradeRev Pro subscribers will automatically be charged themonthly subscription in

accordancewiththeircreditcardauthorizationinstructions.TheSubscriptionFeeisnotpro-ratedforpartialmonths.For all other amounts owing, payment shall bemade in Canadian dollars by electronic funds transfer, by a pre-approved floor plan financing arrangement acceptable to TradeRev, or such other paymentmethod approved byTradeRevortheSeller(eacha,“PaymentInstrument”).ForCustomerssignedupforAutoPay,fundsowingwillbeautomaticallydebitedusingthedefaultpaymentmethodselectedbytheCustomerifpaymentisnotreceivedbythePaymentDueDateForCustomersnotsignedupforAutoPay,TradeRevwilldeducttheamountsviaEFT.TradeRevreservestherighttospecifythetypeofPaymentInstrumentitwillacceptfromCustomerwherepaymentismadetoTradeRevoraTradeRevPartner.Inadditiontowhateverrightsofset-offTradeRevmayhaveinanyjurisdictionwhereVehiclesaresold,ifCustomeroranypartyaffiliatedwithCustomer(eacha“CustomerAffiliate”)failstopayFeesorotheramountsowingwhenduetoTradeRevoranyTradeRevPartner,TradeRevwillbeentitledtoimmediatelysetofftheamountowedbyCustomerand/orCustomerAffiliate fromany fundsowingbyTradeRev toCustomerand/orCustomerAffiliate.Inaddition,ifyoufailtopaytheTotalPaymentAmountbythePaymentDueDateorthemonthlysubscriptionfeebytheSubscriptionFeedueDate,wemay:(a)electronicallydebityourbankaccountorfloorplanaccount inaccordancewiththedefaultpaymentmethodselectedbyyouunderyourAutomaticPaymentPlan; (b)deducttheamountowingfromanyamountspayablebyTradeRevtoyou;(c)retainpossessionofanyVehiclesownedorcontrolledbyCustomerorCustomerAffiliate;(d)withholdtitledocumentsuntilallamountsowedhavebeenpaid;(e) cancelthesaletransaction;(e)chargelatepaymentfees,and/orchargeinterestonanypastdueamountsattherateofoneandonehalf(1.5%)percentpermonth(18%peryear)orthemaximumrateallowedbylaw,whicheverisless;and/or(f)pursueanyotherremedyorreliefpermittedbylaw.AnyPaymentInstrumentwithdrawn,rejectedorreturnedfornon-sufficientfunds(“NSF”)mustbesettledandreplacedimmediately.NSFtransactionswillbesubjecttoaservicechargeuptothemaximumamountallowedbylawandshallbeimmediatelydueandpayable.Youagreetopayallcostsincluding,withoutlimitation,legalfeesanddisbursements,courtcostsandotherexpensesreasonablyincurredbyTradeRevoraTradeRevPartnertocollectanymoniesowingbyyou.
17. Security Interest/Hypothec. CustomerherebygrantstoTradeRevacontinuingsecurity interestandhypothec inallVehiclespurchasedbyCustomerthroughTradeRevandinallCustomerVehiclesthatareinthepossession,custodyorcontrolofTradeRevoraTradeRevPartner,whereverlocated,andallproceedsfromthesalethereoftosecurepaymentofallFees,debts,liabilitiesandobligationsofCustomertoTradeRevoraTradeRevPartner.IfCustomerfailstopayTradeRevoraTradeRevPartneranyamountwhendue,TradeRevandTradeRevPartnerswillbeentitledtoexercisetherightsandremediesofasecuredcreditorassuchrightsandremediesmaybeprovidedbystatute,commonlaw,equityorotherwise.DespiteanyallegedcompetingsecurityinterestintheCustomer’sVehicleswhichmaybeassertedby a third party, Customer acknowledges that as between Customer and TradeRev, the security interest will beenforceableastoanylistedorpurchasedVehicle,andTradeRevshallbeentitledtoalloftherightsandremediesofasecuredpartyasprovidedbylaw,includingbutnotlimitedtotherightofself-helprepossession.Notwithstandinganyother language in these Terms and Conditions, if Customer defaults in any obligation imposed upon Customer inconjunctionwithanyTradeRevtransaction,CustomeragreesthatTradeRevshallbeentitledasthirdpartybeneficiaryofthesalescontracttoenforceagainstCustomeralllegalandequitableremediesavailableto“Seller”or“Buyer”ofgoods,asappropriatetotheparticulartransaction.
SALEPROCESS18. BiddingProcess.PleaseseeouronlineuserguidesandbestpracticeguidespostedintheSupportareaoftheTradeRev
website.Ifyoudonotunderstandthebiddingprocess,pleaseaskoneofourcustomerservicerepresentativestoassistyou.
19. 22. BuyerVehicleInspectionObligations.BuyerorBuyer’sagentshouldcarefullyinspecttheVehicleatthetimeitispickedup from the Seller’s location. Any concerns must be noted on the Bill of Lading which should be signed by arepresentative of the Seller. In addition, Buyer is required to communicate any concerns to TradeRevwithin thearbitrationperiod.
23. Post-Sale Inspection Services. Customer may request that a post-sale inspection be performed on a Vehicle bycontacting TradeRev or selecting this service on the applicable section of the TradeRev website. All post-saleinspectionsaresubjecttothetermsandconditionsassociatedwiththetypeofinspectionselected.
24. Transportation. ForVehiclessoldthroughtheTradeRevSystem,aBuyermayrequestthatTradeRevoraTradeRevPartnerarrangetransportationonBuyer’sbehalf.TradeRevandtheTradeRevPartnersprovidethisserviceforaFeeandasaconvenienceforBuyers;however,TradeRevandtheTradeRevPartnersdonotwarrantorotherwiseendorsethe services provided by third party transportation companies. By requesting TradeRev or a TradeRev Partner toarrangeforthetransportationofaVehicle,BuyeragreestothetermsinthisSection:
a) ByelectronicallyorverballyrequestingtransportationservicesforaspecificVehicle,BuyerauthorizesanddirectsTradeRevoraTradeRevPartnertoarrangethetransportationofsuchVehicleonBuyer’sbehalfwithathirdpartycarrier.
b) BuyerwillpayTradeRevortheTradeRevPartnerthetransportationFeeasshownontheapplicablewebpageorasotherwisecommunicatedtoBuyeronorbeforethepaymentduedate.TransportationwillnotbearrangeduntilBuyerhaspaidallFeesincludingalltransportationcharges.
c) Anydeliverydatesprovidedareestimatesonly.NeitherTradeRevnortheTradeRevPartnersguaranteethattheVehiclewillbedeliveredwithintheindicatedtimeframeandarenotliableforanycostsorlossesassociatedwiththelatedeliveryofanyVehicle.
d) RiskoflossforaVehicleremainswiththeSelleruntilthetransportationcompanypicksuptheVehiclefromtheSeller’slocation,atwhichpointtheriskoflossfortheVehicleistransferredtotheBuyer.IftheVehicleisdamagedintransit,TradeRevorTradeRevPartnerwill,asaconveniencetoBuyer,usecommerciallyreasonableeffortstoassistBuyerinmakingaclaimagainsttransportationcompanyoritsinsurer,butneitherTradeRevnorTradeRevPartnersareliableforanydamagethatoccurstotheVehicleintransitoranyotherliabilityorclaimthatmayariseorrelatesinanywaytothetransportoftheVehicle.TradeRevandTradeRevPartnersarenotresponsibleforprosecutingaclaimagainstthecarrieroritsinsureronBuyer’sbehalf.
e) Buyer agrees to indemnify and hold harmless TradeRev and TradeRev Partners and each of their officers,employees,andagentsfromanyandallclaims,expenses,lossesandcostsassociatedwithanypersonalinjury,propertydamageordelay,thatmayoccurorthatrelatesinanywaytothetransportationofVehicles.
25. PostSaleInspection.AllBuyersarestronglyencouragedtoarrangeforapost-saleinspectionofallVehiclepurchases.IfaVehiclesaleiscancelledduetoarbitration,TradeRevmay,initsdiscretion,limitthelossesrecoverablebyBuyer(includingVehicletransportationcosts)onanyVehiclesoldwithoutapost-saleinspection.

VehicleHistoryReports.Vehiclehistoryreportsfromanacceptedindustrysourceregardingthehistoryandconditionofavehicle(“VehicleHistoryReports”)arerequiredonallVehicleslistedforsaleontheTradeRevSystem.TradeRevis not responsible for the accuracy of Vehicle History Reports. Vehicle History Reportsmustmeet the followingminimumstandards:
a) InsuredclaimshistoryofAccidentRepairfromeachprovincewherevehiclehasbeenregisteredincludingclaimamount;

b) SellerwillberequiredtouploadtotheTradeRevSystemacopyoftheVehicleownershipregisteredinthenameof the Seller and send the original ownership document (excluding Vehicles registered in Alberta andSaskatchewan)toTradeRevbeforereceivingpayment.
c) Sellershallnot releaseaVehicle to theBuyeror its representativeuntil theBuyerhaspaid theSeller for theVehicleor,ifpaymentismadetoTradeRevoraTradeRevPartner,untiltheSellerhasreceivedconfirmationthatthefundshaveclearedtheBuyer’sbank.TradeRevandTradeRevPartnersdonotguaranteepaymentfromtheBuyer.TheSellerwillbeliableforallLossesduetotheunauthorizedorprematurereleaseofaVehicle.

e) WhenaVehiclehasbeenmarkedasArrivedintheTradeRevSystem,theSellerwillmaketheVehicle(withatleastonesetofworkingkeys)availableforpick-upatthelocationspecifiedontheVehiclelistingpage.IftheSellerfailstodoso,TradeRevmayatitsdiscretion:(i)chargetheSellerapenaltyfee,(ii)requireSellertopaysomeorallofBuyer’sFeesandcosts,includingbutnotlimitedtotransport,“dryrun”fees,floorplanfinancinginterestchargesand/or service charges, and/or (iii) cancel the transaction and require Seller to refund all sale proceeds toTradeRev,whichwillrefundtheBuyer.
TRADEREVARBITRATIONPOLICY34. Arbitration Policies. TradeRev offers an arbitration service to resolve disputes between Buyers and Sellers. Our
arbitrationserviceisgovernedbythetermsandconditionsinSections34to53(collectively,the“TradeRevArbitrationPolicy”). The TradeRev Arbitration Policy may be managed on behalf of TradeRev by ADESA Auctions CanadaCorporationand/orOpenlaneCanada,Inc.(collectively,“ADESA”),bothTradeRevPartners.Accordingly,referencesintheTradeRevArbitrationPolicytoTradeRevshallalsoincludeADESA.Thearbitrationprocessisdesignedtobefair,impartial,quick,andeconomical.
35. Acknowledgement.ByaccessingtheTradeRevSystemorotherwiseusingTradeRev’sservices,youacknowledgeandagreethatanydisputearisingduetothepurchaseorsaleofaVehiclewillberesolvedinaccordancewiththeTradeRev

Arbitration Policy. You hereby appoint TradeRev to serve as Arbitrator and empower it to render a final, bindingdecisioninsettlementofallClaimssubmittedforarbitration.
36. Definitions.InadditiontothetermsdefinedelsewhereintheseTermsandConditions,thefollowingdefinitionsapply:
“Arbitrator” means the TradeRev personnel responsible for adjudicating disputes and managing the disputeresolutionprocesscontemplatedinthisPolicy.
“As-Is”meanstheVehicleisbeingsoldwithlimitedarbitrationrights.
“Claim”meansaclaimsubmittedbytheBuyerofaVehicleforarbitration.
“MajorDeception”meansanact,representationoromissionthatmateriallyaffectsthevalueoftheVehicleand,having regard to all of the circumstances, would reasonably be regarded as misleading, unprofessional, orunethical.
“Policy”or“Policies”meantheTradeRevArbitrationPolicy.
37. BuyerObligations.BeforebiddingonaVehicle,BuyerisrequiredtoknowthearbitrationrulesinplacefortheVehicle.Inaddition,Buyershouldcarefullyreviewalldisclosedinformationincludingdescriptions,photos,videos,conditionreportsandvehiclehistoryreports.Topreservearbitrationrights,BuyersarestronglyencouragedtobediligentintheirinspectionandresearchofVehiclepurchaseswithintherelevantarbitrationperiod.
38. As-IsVehicles.ArbitrationrightsarelimitedforAs-IsVehicles(seeSection49).Vehiclesthatare10ormoreyearsolderthanthecurrentmodelyearorthathavebeendriven160,000kilometersormorewillautomaticallybelistedAs-IsbytheTradeRevSystemunlesstheSellerelectstooverridethe“As-Is”label.
39. MakinganArbitrationClaim
a) StartArbitrationClaim.BeforestartingaClaim,BuyermustpayallamountsowingfortheVehicleincludinganytransportationcosts.BuyerstartsarbitrationClaimbysubmittingappropriateinformationanddocumentationonline to TradeRev’s arbitration department through TradeRev’s Customer Service Portal or by email [email protected] beforetheexpiryofthearbitrationperiod.Buyersubmitsthefollowinginformation:Buyer’s name and telephone number; contact person and telephone number; Vehicle VIN,model and year;DeliveryTime;andadescriptionoftheissue(s)tobearbitrated.
b) SubmitSupportingDocumentation.Nolaterthan2businessdaysafterstartingtheClaim,Buyerisrequiredtosubmitsupportingdocumentationincludingbutnotlimitedto:(i)theoriginalonlinedescriptionoftheVehicle(condition report, Vehicle detail page, etc.) (ii) digital photographs of the defect(s) underlying the Claim, (iii)wholesale(notretail)repairestimatesfromanindependentandreputablesource;and(iv)billoflading,transportreleaseform,orotherformofdeliveryreceiptfromtransportationcompany,ifapplicable.
40. Buyer’sObligations.BuyerwillnotuseanyVehiclethatissubjecttoanarbitrationClaim.BuyermaylosetherighttomakeorcontinueaClaimifBuyerdrivesVehicleotherthanfortest-drivingpurposes(nottoexceed20kms).PendingafinaldecisionontheClaim,Buyermust,atitsownexpense,takereasonablestepstocarefor,preserve,secureandstoretheVehicleuntiltheVehicleisproperlyreturned.Buyerisnotentitledtochargeanyparking,marshallingorotherfeesinconnectionwithitspreservationoftheVehicle.Buyerwillbechargedthecostofdamagerepairand/orassessedapenaltyfeeforanybreachofthisprovision.
41. ArbitrationPeriods.DependingonthenatureoftheClaim,theArbitrationperiodwilleitherbeRegularorExtended.TheRegular arbitrationperiod is two (2) businessdays after theVehicle is pickedupby theBuyer. TheExtendedarbitrationperiodisseven(7)calendardaysfromthedatetheVehicleispickedupbytheBuyer.ABuyerisrequiredtopickuptheVehiclenolaterthan5businessdaysaftertheVehicleismarkedArrivedintheTradeRevSystem.Failuretodosocanresultinlossofarbitrationrightsand/orassessmentofstoragefeesatTradeRev’sdiscretion.
42. VehicleHistoryReportDisclosures.ArbitrationisnotavailablefordisclosuresinaVehicleHistoryReport.PleaseensurethatyoureviewtheVehicleHistoryReportcarefullybeforetheexpirationofthearbitrationperiod.
43. LengtheningtheArbitrationPeriod.TradeRevreservestherighttolengthenthearbitrationperiodwhen,intheopinionofTradeRevitwouldbefairandreasonabletodoso.AlthoughtheSellerisrequiredtomakeallapplicableDisclosures,theBuyerisalsorequiredtobediligentinitsinspectionandresearchofitsVehiclepurchases.Thus,if,byexercising

reasonablediligence,theBuyercouldhavediscoveredapotentialarbitrationissuewithintheapplicabletimeperiod,itisunlikelythatanexceptiontothearbitrationtimelimitswillbemade.
44. Investigation. The Arbitratorwill review only issues identified in the initial Claim. The Arbitratormay, but is notrequired to, consult with the Buyer, Seller or both parties to gain a better understanding of the issue(s) underarbitration.Dependingontheissue,theArbitratormayalsoseektheadviceofmechanics,trainedvehicleinspectorsorotherautomotiveprofessionals.Whenappropriate,theArbitratormayrefertheVehicletoanexternalresourcesuchasaspecialtyshopforconsultation.
45. Decision.Aftercompletingtheinvestigation,theArbitratorwilldecidewhetherthearbitrationClaimisvalid.Beforedecidingwhattheremedyshouldbe,theArbitratormayattempttomediatearesolutionbetweentheBuyerandtheSeller.Ifagreementcannotbereached,theArbitratorwilldecidetheappropriateremedy,ifany.
46. Remedies.TheArbitratorhasabroaddiscretiontograntanyremedyorreliefthathe/sheconsiderstobefairandreasonable in the circumstances. The purpose of the arbitration remedy is to ensure that the Buyer is fairlycompensatedforitsloss.Insomecircumstances,suchaswhereaDisclosuredoesnotaffectthevalueoftheparticularVehicle,theremaybenolossandthusnoremedy.Remediescouldinvolve:cancellationofthesaleandrefundofthepurchaseprice,reimbursementofcostsand/orexpensesincurredincludingtransportationcosts,partialrefundofthepurchaseprice,repairofdefectatSeller’sexpense,repairofdefectwiththecostsapportionedbetweentheBuyerandtheSeller,nofinancialorothercompensation,orsimilarremedies.
47. ArbitrationFeesandCosts.TradeRevreservestherighttoassessanarbitrationFeeagainsttheBuyerand/orSeller.IfTradeRevincurscostsaspartofitsinvestigation(e.g.referraltoanexternalresource,towing,transportation,etc.)theArbitrator,aspartoftheremedyimposed,willdetermineliabilitytopaythecostsincurred.ArbitrationsthatresultinthecancellationofaVehiclesalemaybesubjecttoavoidFeeatTradeRev’sdiscretion.
48. Finality. The decision of theArbitrator and the remedy imposed is final and binding on the Buyer and Seller. Byaccessing theTradeRevSystem, theBuyerandSelleragree toparticipate inTradeRev’s arbitrationprocessand toobserve,performandbeboundbythedecisionoftheArbitrator.UponfulfillingtheArbitrator’sdecision,theBuyerand Seller are deemed to release each other from all claims and demands in respect of thematters referred toarbitration.
49. ReturnProcess.Ifthesaleiscancelled,BuyerandSellerwillfollowtheinstructionsprovidedbytheArbitratorregardingarrangementsforpick-upanddeliveryoftheVehicle.Usually,BuyerwilldelivertheVehicletotheSeller’slot.IfVehicleisreturnedtoanADESAauctionlocation,theVehiclewillnotbeconsideredreturneduntilitisreceived,inspectedandapprovedforreturnbyADESAauctionmanagement.AreturnedVehiclemustbeinthesameorbetterconditionaswhenitwassold.AnexcesskilometresfeemaybeassessedagainstreturnedVehicles.
50. LimitationsontheAvailabilityofArbitration

a) Noactionor legalproceedingswillbecommencedorprosecutedbytheBuyerortheSelleragainsttheotherconcerning:(i)AnymatterthatisorwasthesubjectofarbitrationunlesstoenforcethetermsorconditionsoftheArbitrator’sdecision;or(ii)AnymatterforwhicharbitrationisnotavailableundertheTermsandConditionsunlessarbitrationisnotavailablebecauseandonlybecausethetimelimitforsubmittingthemattertoarbitrationincludinganyextensionofthetimeperiodhasexpired.
b) NoactionorlegalproceedingwillbecommencedorprosecutedbytheBuyerortheSelleragainstTradeRevoranyTradeRevPartnerforanymatter,causeorthingdirectlyorindirectlyrelatedtoTradeRevSystemorservices,includingbutnotlimitedtoarbitrationservices.TheBuyerandtheSellerreleaseandwaiveallrights,remedies,claims, andcausesof actionagainstTradeRevandTradeRevPartners fromany claimor remedywhatsoever,whetherknownorunknown, fororbyreasonofusing theTradeRevSystem,servicesorservicesprovidedbyTradeRevPartnersincludingbutnotlimitedtoarbitrationservices.

b) CUSTOMER AGREES THAT THE TRADEREV PARTIES SHALL HAVE NO LIABILITY WHATSOEVER, ACTUAL OROTHERWISE, TO CUSTOMER OR AUTHORIZED USERS BASED ON ANY OF THE FOLLOWING: (i) ANY DELAY,INTERRUPTIONINUSEOF,FAILUREINORBREAKDOWNOFTHETRADEREVSYSTEMORERRORSORDEFECTSINTRANSMISSION OCCURRING IN THE COURSE OF ACCESSING OR USING THE TRADEREV SYSTEM; (ii) ANYUNLAWFULORUNAUTHORIZEDUSEOFTHETRADEREVSYSTEM;(iii)ANYLOSSOFORDAMAGETOCUSTOMER'SRECORDS OR INFORMATION; OR (iv) ANY CLAIM RESULTING FROM THE TERMINATION OF ACCESS TO THETRADEREVSYSTEMORANYRELATEDSERVICES.
57. Indemnity.Customerherebyagreestoindemnify,defendandsaveharmlesstheTradeRevPartiesfromandagainstallliabilities,losses,suits,claims,demands,costs,finesandactionsofanykindornaturewhatsoevertowhichaTradeRevPartyshallormaybecomeliable,orwhichaTradeRevPartymaysuffer(eachan“IndemnifiedClaim”)byreasonof(i)Customer’s breach of the Terms and Conditions or any other obligation hereunder or any agreement betweenCustomerandaTradeRevParty;(ii)Customer’snegligenceorwilfulmisconduct;(iii)TransportationLosses;(iv)anypersonal injury or property damage that Customer or any person forwhom Customer is responsible causes to aTradeRevParty;(v)Customer’suseoftheTradeRevSystemoranyservicesorproductsprovidedbyaTradeRevParty;(vi)anyactions,omissionsorfailurestoactrelatedtoaTradeRevParty’srelianceonCustomer’sauthorizationassetoutinSection64.
58. Transportation.Ifrequested,TradeRevoraTradeRevPartnermaytransportorarrangethroughthirdpartiesforthetransportofWonVehicles.Weprovidethisserviceforafee.Wedonotwarrantorotherwiseendorsetheservicesprovidedbythirdpartytransportationcompanies.ByselectingthetransportationoptionviatheTradeRevSystemorothermeans,youauthorizeTradeRevoraTradeRevPartnertoarrangetransportationofyourVehiclewithathirdpartytransportationcompany.Inaddition,youagreetothefollowingtermsandconditions:
a) Buyerwillpay theTradeRevPartner the transportation fee indicatedonTradeRevwebpageonorbefore thePayment Due Date. Transportation will not be arranged until Buyer has paid the Total Payment Amount toTradeRevandthetransportationfeetotheTradeRevPartner.
b) Anydeliverytimesprovidedareestimatesonly.WedonotguaranteethattheVehiclewillbedeliveredwithinthetimeframeindicated.NeitherTradeRevnoranyTradeRevPartnerwillbeliableforanycostsorlossesassociatedwiththelatedeliveryofaVehicle.
c) Risk of loss for a Vehicle remainswith the Seller until the transportation company picks up theVehicle (the“VehiclePickUpTime”),atwhichpointtheriskoflossfortheVehicleistransferredtotheBuyer.IftheVehicleisdamagedintransit,theTradeRevPartnerwill,asaconveniencetoBuyer,usecommerciallyreasonableeffortsto assistBuyer inmaking a claimagainst the transportation companyor its insurer. This assistancedoesnotinvolveinitiatingorprosecutinglegalactionagainstthetransportationcompanyoritsinsureronyourbehalf.Youagree that TradeRev and the TradeRev Partners are not liable for any theft, conversion, loss, injury, death,damage,claim,expense,suitordemandinanywayarisingoutoforrelatingtothetransportationofVehicles(“TransportationLosses”).
d) To obtain assistance in making a claim for transportation damage, you should follow the claims proceduredescribed on the applicable TradeRev Partner’swebsite or contact your TradeRev representative for furtherinformation.
59. Export Transactions. If a Vehicle is to be exported, Buyer is responsible for verifying that it satisfies all exportrequirementsoftheoriginatingcountryandallimportrequirementsofthedestinationcountry.TradeRevisnottheimporterorexporter,andisnotresponsibleforsupplyingexportorimportdocumentation.
60. Investigations. TradeRev cooperates fully with all investigations conducted by regulatory, government and policeauthorities(collectively“InvestigativeAuthority”).BydoingbusinessatTradeRev,youauthorizeustocomplywithallreasonable requests from any Investigative Authority for information and/or documents concerning you, your

business,and/ortransactionhistory.AnyVehicleinthecustodyorcontrolofTradeRevmaybesubjecttoinspectionbyInvestigativeAuthoritieswithoutpriornoticetoyou.
61. WebInformation.AllWebInformationisprovidedasacourtesyandforinformationalpurposesonly.AlthoughwetrytoensurethatWebInformationisaccurate,errorsmayoccur.Inaddition,someWebInformationmaybedependenton subjective interpretation or opinion. Neither TradeRev nor any TradeRev Partnerwarrants or guarantees theaccuracyorreliabilityofWebInformation.
62. SalesTax.TheCustomercertifiesthattheCustomerholdsacertificatelicenseorotherpermit,issuedbythesalestaxauthorityof theprovinceand, ifnecessary, the localityof theCustomer’sbusinessorbusinesseswhichcertificate,licenseorpermitexempts theCustomer fromthepaymentofprovincial sales taxwith respect to thepurchaseofvehiclesandbearsthenumberornumberssetforthintheCustomerregistrationapplication.AnyVehiclespurchasedbytheCustomeratTradeRevarepurchasedforresaleintheformoftangiblepersonalpropertyintheregularcourseofbusiness,andareofthesortusuallypurchasedbytheCustomerforresale.Intheeventthatthepropertyisusedforanypurposeotherthanforresale,theCustomerwillpaydirectlytothepropertaxingauthoritiessuchsaleorusetaxasmaythenaccrueandbedueandpayable.
63. GST/QSTElection.CustomerwillexecuteGSTelectionformspursuanttosubsection177(1.3)oftheExciseTaxActandQSTelectionformspursuanttosubsections41.0.1,41.2and41.2.1ofTheActRespectingtheQuebecSalesTax.
64. Authorization.CustomerherebyappointsTradeRevPartnerstobeitsagentandtoactonCustomer’sbehalfandinCustomer’snameforthepurposesofcompletingandexecutingVehicletransferofownershipdocumentsandsalesagreementsandtodoallthingsandexecutealldocumentsandreceiptsasCustomer’sagentrelatingorincidentaltothem.TradeRevandTradeRevPartnersmay,initsdiscretionuseanelectronicsignatureinaccordancewithOntario’sElectronicCommerceAct,2000,S.O.2000,andsimilarprovincialandfederallaws.CustomerauthorizesTradeRevandTradeRev Partners to capture and apply Customer’s digital or electronic signature to sale and ownership transferdocuments.
65. Self-Dealing. Self-dealing is strictly prohibited. “Self-dealing” means activities by any person or entity selling orpurchasingviatheTradeRevSysteminwhichboththeSellerandBuyerarethesameorrelatedentities,and/orshareAuthorizedRepresentativesorprincipals,whereTradeRevdeterminesinitssolediscretionthattheintentand/ortheresult of such dealing is an artificial manipulation of the TradeRev process to create an unfair advantage ordisadvantageortoimposeundueriskuponTradeRevorothers.
66. ConductingBusiness.TradeRev:(i)mayrelyandactuponanypurportedsignaturewhetheroral,written,orelectronicandothercommunicationinconnectionwiththeTradeRevSystemorservicespurportedlysentbyCustomerand/oranyAuthorizedUser or person purporting to be an agent or employee of Customer, and (ii) has no obligation toscrutinize,inquire,orconfirmanysignatureorcommunicationwithCustomer,anyAuthorizedUserorotherpersonpurporting tobeanagentoremployeeofCustomer. TradeRevmayconductbusinesswithCustomer throughthe(nonexclusive)useof electronic, computer, digital, orotherpaperlessmeans, including thegood faith relianceonelectronic mail, facsimile transmittal, telephonic or other usual and regular forms of communication withoutconfirmation or authentication of the communication by receipt of an original signature, document, paper orotherwise.
67. Termination.Youhavetherighttoceasedoingbusinesswithuswheneveryouwishandwehavetherighttoceasedoingbusinesswithyouwheneverwewish.Sections6,7,54,55,56and57oftheseTermsandConditionswillcontinueafteryouceasedoingbusinesswithus.
68. Governing Law. These Terms and Conditionswill be governed by, interpreted under, construed and enforced inaccordancewith the lawsof theProvinceofOntarioand the federal lawsofCanadaapplicable in theProvinceofOntario. The parties attorn to the exclusive jurisdiction of the courts of the Province of Ontario and all courtscompetenttohearappealsfromthem.
69. GoverningLanguage.ThepartieshaveagreedthatthegoverninglanguagefortheseTermsandConditionsshallbeEnglish,regardlessofwhetherthereisanycurrentorfuturetranslationofthisAgreementandregardlessofwhethermultiplelanguageversionsofthisAgreementhavebeenexecuted.AlldocumentsandcommunicationscontemplatedtherebyorrelatingtheretobedrawnupintheEnglishlanguage.Lespartiesconfirmentavoirrequisquecetaccord,ainsiquetouslesdocumentsetcommunicationsquiysontrelatifssoientrédigésenanglais.

70. Miscellaneous.Nowaiverof theprovisionshereof shallbeeffectiveunless inwritingandsignedbyanauthorizedrepresentativeofTradeRev. Ifanytermorsectionof theseTermsandConditions isheld invalidorunenforceable,under any statute or court decision, or any governmental rule or regulation, the remainder of these Terms andConditions shall remain effective. These Terms and Conditions shall bind the respective heirs, executors,administrators,successorsandassignsofCustomerandinuretothebenefitofTradeRevanditssuccessors,assignsandsubrogees.
