PURPOSE: Horry County, SC is soliciting written sealed proposals for the purpose of contracting for its annual requirements for the printing, processing, and mailing of electronic forms for the Assessor, Auditor and Treasurer Departments. Proposals will be received in the Office of Procurement until the time shown in the timeline below. Any proposal received later than the specified time or date will NOT be accepted or considered. No facsimile or telephone proposals will be accepted.

GENERAL INFORMATION:
SECTION A GENERAL INSTRUCTION TO OFFERORS (PROPOSERS)
Sealed proposals must be enclosed and sealed in an envelope or package and clearly marked/identified on the outside of the envelope or package as: RFP 2018-17-001 “Print/Process/Mail Electronic Forms”, along with your firm’s name and mailed/delivered to:

No other information shall be placed or written on the outside or the bid envelope/package. Horry County cannot be responsible for unidentified proposals. Hand delivered proposals should be delivered to the same address shown above. Proposals must be received no later than the due date shown in the timeline on page three (3). Proposals received later than the deadline will be considered “LATE PROPOSALS.” Examination of Proposal Document – Prior to submitting a proposal, each offeror shall carefully examine the proposal document, study and thoroughly familiarize himself with the specifications and requirements thereof and notify the County of all conflicts, errors, or discrepancies.

The offeror must sign his proposal correctly. All offers shall be entered in ink or typewritten. Proposals may be rejected if any omissions, alteration of form, additions not called for, or any irregularities of any kind are shown. The proposal shall remain firm for not less than sixty (60) calendar days from the date established for receipt of proposals.
The offer’s name and solicitation number shall be included when specifications or descriptive papers are submitted with the proposal.
By submission of a proposal, the offeror guarantees that all goods and services meet the requirements of the solicitation.
Informational Flyers/Brochures – If available, proposals shall include applicable brochures (IE: latest printed specifications and advertising literature) describing the product(s) offered in such fashion as to permit ready comparison with the specifications on an item-by-item basis.
When applicable, Horry County pays eight percent (8%) sales tax. The sales shall be shown as a separate entry in the proposal if applicable.
Changes in Specifications – Written consent from the Director of Procurement must be submitted should any changes in specifications be made after the purchase order/contract has been awarded; otherwise, the responsibility for such changes shall be with the bidder. Verbal information obtained will not be considered in awarding of any contract.
Questions – Questions must be submitted in writing to [email protected] attention Kyle Prufer, Procurement Manager. Proper reference to the solicitation is required. Deadline for questions is as shown in the timeline on page three (3). All changes in specifications shall be in writing in the form of an addendum and furnished to all potential offerors. Verbal information obtained will not be considered in awarding of any contract.
Addendum to RFP – If it becomes necessary to revise any part of this request for proposals, an addendum will be provided in writing to all offerors receiving this request. All amendments issued by Horry County must be acknowledged in writing by the offeror.
Deviations – Any deviations from the specifications indicated herein must be submitted in writing and clearly noted and explained in detail on a separate form and attached to the proposal, otherwise it will be considered that items offered are in strict compliance with these specifications and successful offeror shall be held responsible thereto. County Rights – Horry County reserves the right to reject any or all proposals. It further reserves the right to waive technicalities and formalities in proposals as well as to accept in whole or in part such proposal(s) where it deems it advisable in protection of the best interest of the County of Horry, South Carolina. The County will be the sole judge as to where proposals submitted meet all requirements contained in this solicitation. This solicitation does not commit the County of Horry to award a contract, to pay any costs incurred in the preparation of the proposal, or to procure or contract for goods or services listed herein.

Sample Contract – The successful offeror will be expected to agree to the provisions contained in the attached Contract for Professional Services by executing a copy of that contract. A sample copy is included in this solicitation. Certificate of Liability Insurance from Contracted Professional Services or Providers- When Horry County enters a contract or agreement for service or equipment, all contractors (such as construction and professional service companies) that provide the service shall indemnify Horry County against general liability claims and shall maintain workers' compensation coverage while performing the service. Departments requesting the contracted service or products must obtain the appropriate certificate of insurance from the vendor/contractor prior to contract execution and submit it to Procurement with contract and copy it to Risk Manager.
A. Certificate of Insurance Requirements:
1. Workers' Compensation: is required in all County contracts if the contractor/vendor has employees (with the rule of thumb being 4 or more employees). Employer's Liability insurance shall be provided in amounts not less than $100,000 per accident.
2. Commercial General Liability coverage shall be provided with minimum liability limits of $1,000,000 per occurrence, Combined Single Limit for Bodily Injury and Property Damage. This shall include coverage for: premises/operations, products/completed operations, contractual liability, independent contractors and vehicles used in premises/operations.
3. Professional Liability insurance shall be provided with minimum liability limits of $1,000,000 per occurrence (in addition to Commercial General Liability insurance) by professional services such as accountant, attorney, architect, design, engineering and most consultants that involve errors and omissions exposure protection.
B. Special Requirements:
1. The County of Horry shall be named as an Additional Insured on all General Liability policies and expressed on the Certificate of Liability Insurance. The County of Horry shall be given thirty (30) days notice prior to cancellation or modification or reduction in limits of any stipulated insurance.
2. An appropriate Indemnification Clause shall be made a provision of the contract. Contracts shall express that it is the responsibility of the vendor/contractor to ensure that all subcontractors comply with all insurance requirements.
C. Builder's Risk Insurance Needed for Construction Projects: (Not Applicable)
D. Umbrella Liability Insurance Alternative:
A combination of Umbrella/Excess and primary limit may be used to provide coverage for the amounts required.
Grievance – Any actual or prospective offeror, who is aggrieved in connection with solicitation or award of a contract may protest to the County Administrator. The protest shall be submitted in writing with fourteen-(14) days after such aggrieved person knows or should have known of the facts giving rise thereto provided that grievance has been made in accordance with proposal requirement. Any grievance by an offeror shall be made known prior to receipt of proposals in accordance with the solicitation.

Freedom of Information Statement – Procurement information shall be a public record to the extent required by Chapter 3 of Title 30 (The Freedom of Information Act), South Carolina Code of Laws, 1976, with exception that commercial or financial information obtained in response to a “Request for Proposals” which is privileged and confidential if so designated by the offeror shall not be disclosed. Such information must be clearly marked as “CONFIDENTIAL” by the offeror for each section of information so affected. Privileged and confidential information is information in specific detail not customarily released to the general public, the release of which might cause harm to the competitive position of the party supplying the information. Examples of the type of information would include:
1. Customer lists; 2. Design recommendations and identification of prospective problem
areas under a proposal; 3. Design concepts, including methods and procedures; and 4. Biographical data on key employees of the bidder.
Legal Statement - The offeror shall in its proposal disclose any litigation within the last five (5) years in which a claim has been made against you or your company asserting a cause of action other than:
1. Employment issues, 2. Lis Pendens, or 3. Contracts not related to your professional work.
PIGGYBACK CLAUSE – If, during the Contract period, another governmental entity or agency gives notice to the parties that it wishes to purchase the goods and services specified in the Contract, in accordance with the terms and conditions delineated therein, and both parties to the original Contract agree, then that party shall execute a bilateral agreement with the supplier to give effect to that intent.
SECTION B
SCOPE OF SERVICES
I. Purpose
It is the intent of this Request for Proposals (RFP) to select a firm to provide printing and mailing services for Horry County, Offices of Treasurer, Auditor and Assessor.
II. Background
In conjunction with other duties, the Offices of Treasurer, Auditor and Assessor have the responsibility of notifying the businesses and citizens of Horry County of monies due the County. The primary method of providing that notification is by use of printed documents mailed through the U.S. Postal Service (USPS). The documents include, by may not be limited to, the following shown in Section D of this RFP.

III. Approach
The proper production and handling of tax notices, ancillary forms, and envelopes is paramount for effective and accurate communication with taxpayers. The resulting uninterrupted revenue stream is essential to continued government functions and services. The County will carefully consider the capacity of each proposer in their ability to both communicate and demonstrate their ability to perform as required.
IV. Scope of Work A. General
1. The Contractor shall provide printing and mailing services for the requirements shown in Section D of this RFP.
2. Mailing of the items is time sensitive. The exact mailing date for each of the jobs
will be provided at the time of transmission of information. Ample time will be provided by the County between transmission and mail date. The submitted job is processed, printed and mailed with single items mailed out efficiently and multi-items mailed correlated by zip code, address and name correctly.
3. Contractor must be capable of consolidating two (2) or more sets of data files into
one notice and/or consolidating two (2) or more sets of notices into one (1) envelope for mailing.
4. Contractor shall furnish all labor, supervision, materials equipment and quality
control procedures required for completion of the mailing project in a superior and professional manner.
5. The County must review and approve a completed sample or proof of each type of
mailing prior to the actual printing of such mailings.
B. Computer Processing
1. The County shall furnish the Contractor with the information data for each account and the current mailing address by means of a compressed data transfer. The successful Contractor must have the capability to retrieve this information. Contractor shall process the information data received through a Coding Accuracy Support System (CASS) to certify the list and code of each record with the carrier route, zip code plus four, and Delivery Point Barcode (DPBC). Contractor shall standardize records, remove punctuation, and enhance lists where reasonably possible. Contractor will process submitted data file through the National Change of Address Service provided by the United States Postal Service, when requested by the County.
2. The Contractor shall provide a project visibility, control and tracking system that
provides real-time, interactive information on document production projects indicating the production status of a production job and providing process reports on demand to the County. The Web-based process control system should allow the

County to initiate job activity electronically and to transfer data files, add/delete new jobs, monitor design and production output, review data and images processing, approve final production, pull and/or hold final job production and delivery, and view all Unites States Postal Service mailing reports. Web- based production control system should be zero footprint and require no special hardware or software products by the County.
3. The Contractor must provide access to archive submitted jobs via the Internet with
the ability to email and/or print an exact replica of the submitted documents(s). Contractor shall maintain the necessary computer equipment to transfer data, and shall make all necessary software changes for computer processing and printing at no additional cost.
C. Sample Availability
PDF formatted samples are attached hereto as Appendix A. Actual sample documents are available upon request sent to [email protected], and will be available for pick-up or mailed if time permits. The samples indicate the source files provided by the County and suggest formats for each type of correspondence required. The County may consider reformatted configurations to fit 8½” x 11” paper. The Contractor shall provide, at no extra charge, minor design changes as requested by the County. Input fields are mapped to the sample forms. Where input lengths exceed output lengths, the logic should be as follows: (1) for alphanumeric fields, left justify and truncate, and (2) for numeric fields, right justify and remove leading zeros. As the Contractor, equipment and capability may vary, Proposers should regard the sample outputs as guidelines, and provide responses that include samples to be produced. Font types and sizes may vary, but the font should be uniform within a section of correspondence. OCRV Scan line must be in exact position for items having scan line using the standardized OCR a and or B fonts. The vendor must have the ability to format the bill to properly account for all data and be able to do calculations, build graphs, etc. and not just take the direct data and print it out on the form. This may require building pie charts, OCR numbering, or amounts due through software calculations based on the county’s data where the county doesn’t provide specific data for those things. The vendor must have the ability to create and print separate data fields and graphs on the form using data that is not given to them specifically for that reason.
D. Printing All transmitted information jobs and envelopes must be printed on a high quality laser printer using “OCR” fonts for a remittance processor, postal fonts with bar codes for addresses and “UPC” fonts for bar codes to work with scanners. The Contractor shall maintain the ability to print variable messages on the requested job, when such messages are provided and to change message(s) on a submitted job when requested in writing by the County.

E. Supplies Contractor must provide:
1. Sufficient stationery (type as noted on “Pricing Sheet”) on which to print
transmitted job.
2. Mailing window envelope with appropriate return address. This may be a customized envelope. Special wording may be included on back of envelope on instruction from the County.
3. Return custom window envelope with three lines for return address and back printing as designated by the County.
4. The printing of any inserts as designated by the County which is to be included in the mailing. Content and paper color specifications to be provided by the County. NOTE: the County may elect to provide pre-printed inserts.
5. Necessary equipment and supplies for completion of each submitted job in time frame provided. NOTE: County shall not be charged for supplies not related to submitted jobs. Contractor shall be responsible for the cost of the supplies until the supplies are used for a submitted job. Record of costs of supplies shall be submitted to the County each month.
F. Postal
The Contractor must:
1. Maintain the necessary postal equipment to affix postage to each item.
2. Maintain the necessary software essential to receive the largest postage discounts and shall maintain up-to-date knowledge to all United States mail regulations regarding First Class postage.
3. Utilize POSTNET (Postal Numeric Encoding Technique) and arrange/sort the mail to qualify for the lowest postage rate consistent with the United States Postal Service standards.
4. Maintain the necessary documentation and equipment to track the submitted job from the time transmission from County to delivery to the Unites States Postal Service.
5. Provide a monthly manifest showing details of total number of notices
printed and mailed with the total monies charge for postage and service.
6. Notify County within a reasonable time frame, when mail exceeds postal weight requirements with estimated postal charges to be incurred with mailing.

7. Be responsible for application of postage, coordination, required preparation and designated business day delivery of the County billing statements to the United States Postal Service.
G. Handling
Contractor shall have the ability to print and handle all jobs, as noted above. Contractor will fold, perforate and insert notices with a return envelope, and any inserts as directed by the County. The Contractor shall seal the envelope, insure the address is visible through the window envelope, meter the envelope with appropriate postage, sort, bundle, tray and deliver to the United States Postal Service on mail date designated by the County.
H. Quality
Every notice will be printed and mailed with the highest level of quality. Contractor shall implement safeguards and checks to avoid double notices, incorrect addresses, improper dates and other erroneous data. Any submitted job not presentable, as determined by the County, or having incorrect information, not supplied by the County will be reprinted and mailed at the Contractor’s expense. Date for this mailing to be determined by the County. The sample forms attached to this solicitation serve as the standard for quality for printed forms ordered under the contract.
I. Security
Contractor must define and demonstrate security procedures that are in place regarding transmission and safety of confidential information. County requires both network and physical security of information. County information, statements and documents are to be made available only to the Contractor and parties approved by the County. The Contactor must demonstrate and document that these security measures are in place. No data will be transmitted without consent of the County. Contractor shall not use, disperse or sell information provided by County for printing and mailing of submitted jobs.
J. Disaster Recovery Procedures
Contractor must have a demonstrated disaster recovery program (hardware and software) addressed in their proposal that ensures prompt and complete recovery. The detail of this plan should include off-site storage of information, data recovery procedures, timing in which back-up will occur, equipment failure process, alternate FTP sites, etc. The offeror shall detail their solution to ensure no significant interruption of service and any cost(s) that may be charged to the County for availability of these services.

SECTION C
Specifications and Estimated Annual Quantities
1. Horry County desires a vendor to print/process/mail Real Estate and Vehicle Tax Notices, receipts, Delinquent Tax Notices, Delinquent Tax Sale Notice of Levy, Certified Tax Notices and related Tax Digest Books.
2. All offerors shall be required to process a file and provide documentation on postage costs as a part of their proposal.
3. Tax forms shall be 8½” x 11”. Forms shall be inserted into a No. 10 window envelope with a No. 9 return envelope. In addition, the selected vendor may be required to print “on demand,” an insert to be inserted into the outgoing tax envelope.
4. Tax forms shall be printed on front and back as per the available samples. Envelopes shall be printed as per the available samples.
5. The data for the forms/notices shall be delivered to the vendor electronically via file transfer, or as otherwise mutually agreed upon by both parties, and will be printed by laser on the pre-printed tax forms per the prearranged schedule.
6. The County requires the selected vendor to print/process/mail receipts for paid tax notices. The
County shall deliver files to the vendor on a daily basis and vendor shall print and mail receipts with twenty-four 24) hours after receipt of file. The vendor may be required to print small quantities of these files, even down to a single receipt per daily file.
7. Vendor shall be required to print /process/mail Certified Tax Notices with a pre- arranged schedule. Vendor must supply the County with a data file listing certain mailing information immediately upon mailing Certified Tax Notices.
8. Vendor must have the capability to furnish the County with plastic-coil bound taxpayer digest books, printed front and back.
9. Vendor must have the capability to print OCR characters and code 3 or 9 or 128 standard barcode on required forms.
10. Vendor shall be responsible for Postnet bar coding, sorting, traying, strapping and barcode labeling each tray to receive the lowest possible postage.
11. Vendor must have the capability for inserting notices utilizing Intelligent inserting to combine multiple tax notices with exact match of taxpayers’ names and address into one- (1) outgoing envelope, beginning with two- (2) or more notices.
12. Vendor must have the capability for selective insertion such as inserting particular inserts into certain taxpayer envelopes, but not into other taxpayer envelopes.
13. Vendor must have the capability to build and print with highlight color, variable information pie-
chart graphs and variable information graphs on individual taxpayer notices.

14. Vendor must have the capability to print certain variable tax information in spot- color onto forms
as notices are being printed for mailing.
15. Vendor must have the capability to electronically transmit vehicle information to the Department of Motor Vehicles for processing vehicle tag decals.
16. Vendor must have National Change of Address (NCOA) certification services.
17. Addresses identified as unqualified or bad must be pulled rather than mailed.
18. Vendor must be accessible to assist Horry County in design of various forms if changes are requested by Horry County prior to the printing of the forms.
19. Vendor must confirm with Horry County the content and accuracy of final draft copies prior to proceeding with actual printing of the final forms.
20. Vendor must supply the County by CD, Travel Drive, or other electronic data transfer as may be mutually agreed upon by both parties a PDF replica of each taxpayer notice mailed.
21. Vendor must obtain a permit with the Conway, SC Post Office; however, the notices may be mailed from any post office.

Note #1: Real Estate & Personal Property notices use the same form; Real Estate & Personal property notices use the same out-going window envelope; Reminder Notices use the same form as Real Estate & Personal Property notices, but have the word Reminder printed across the body of the form; the Assessment Form has added form information printed on it at the time variable information is printed.
Note #2: The estimated number of forms per fiscal year is the County’s best good-faith estimate. The
offeror may wish to use a ten percent (10%) plus or minus variance from these figures when determining proposed prices. The fact that the estimated quantities may not materialize shall not serve as a basis for the successful contractor to seek a price adjustment during performance of the contract. If, after the initial contract period, the actual quantities exceed the variance, the successful contractor may request a contract adjustment in price. If the parities cannot agree to an adjusted price that is fair and reasonable to both parties, the contract may be terminated.

PROPOSAL SUBMISSION INSTRUCTIONS
Delivery of Proposals
1. An original hard copy and one (1) .PDF formatted digital copy on disc or travel drive of your proposals shall be delivered or mailed in a sealed envelope addressed to Procurement Services, the County Procurement Office, 3230 Hwy 319 East, Conway, SC 29526-5425 prior to the specified date and time. Proposals submitted must show the proposal number on the outside of the package. The original hard copy must contain all original documentation and original signatures. The PDF copy must contain a digital format of all pages included in the hard copy, including signature copies where designated.
2. In order to provide each evaluator with a package of your Sample of Work, the County must receive six identical (6) packages for redistribution. The proposal responses will be distributed electronically.
3. Offerors must complete all forms included in this RFP. Failure to include all
forms may result in disqualification of the offeror’s proposal.
4. All proposals should be concise and clear, and should convey all of the information requested by the County, in the order requested.
5. Proposals should be prepared simply and economically. All proposals shall be
complete and effective to satisfy the requirements of the RFP. Emphasis should be on completeness and clarity of content.
6. There is no intent to limit the contents of proposals; however, the County does not
desire voluminous proposals. Offerors may include any information deemed pertinent in addition to that outlined below. Failure to provide all required information may result in the proposal being rejected. If your proposal includes any information or materials other than the information requested in the Request for Proposals, you are to include this information as a separate appendix to your proposal.
7. The County of Horry reserves the right to reject any or all proposals, in whole or
in part.

It is extremely important that the offeror’s proposal be organized as required by Section D, Proposal Submission Instructions, to facilitate the evaluation of proposals. Failure to do so may be cause for rejection of the proposal.

The Vendor should include a description of how the project team will be structured, its roles and responsibilities, location within the company’s organizational framework and chain of command.
c. Technical Response – This section should set forth the proposed technical solution in response to this RFP. The Vendor must demonstrate to the sole satisfaction of Horry County that the Vendor can successfully deliver services of the type and scope set forth in this RFP. The Vendor should provide the equipment that is to be used to complete this contract including location of equipment. If any equipment being used is not under the control of the Vendor, including signed statements by the equipment owner that the production dates stated in this proposal have been reserved for Horry County Tax Assessor/Collector Tax Statement printing.
3. Section 3 – References a. Submit at least three (3) vendor references, other than Horry County, who
can verify your performance as a vendor. 4. Section 4 – Samples of Previous Work
a. Provide samples of previous work similar in scope to this project.
5. Section 5 – Price Proposal a. Proposed Financial Response Form should be placed in a separate,
sealed envelope and clearly marked with the Respondent’s name and RFP number. Sealed envelope with Proposal Price Form should be included in envelope/box with proposals for shipping.
b. The Proposal Price Form must set forth all costs associated with the proposed response to this RFP. Any contract signed will be a fixed cost contract and no other costs will be allowed for performance of proposed solution.

III. AWARD
A. Horry County reserves the right to award to the highest-scoring Respondent meeting the specifications. Horry County also reserves the right to not award to any Respondent.

SECTION F Special Contract Provisions
CONTRACT TERMS
Period The initial contract period will be for a one-year period.
Renewal At the County’s sole discretion, the contract may be renewed in increments of one (1) year for four (4) additional one-year periods, not to exceed a total of five (5) years.
Price Escalation/De-escalation Pricing for optional renewal periods shall be based on the unit price, as awarded for the initial contract period and each subsequent renewal period. Only the unit prices amount shall be escalated or deescalated, on an annual basis if renewal options are exercised. The maximum amount of price escalation or de-escalation shall be calculated using the Consumer Price Index (CPI) for All Urban Consumers (CPI-U), U.S. city average, All Items, Not Seasonally Adjusted, and base period 2017-18 = 100 (series ID CUUR0000SA0, CUUS0000SA0), as indicated in the attached chart.

Cancellation of Contract Either party may cancel any resulting contract at any time by giving one-hundred and twenty (120) days written notice. The contract may be canceled without notice for Contractor non-performance. Cancellation shall not release the Contractor from legal remedies available to the County. See the “Early Termination of Contract” provision contained in the attached sample Contract for Professional Services.
Subcontracts No portion of the work shall be subcontracted without prior written consent of Horry County. In the event that the Contractor desires to subcontract some part of the work specified herein, the Contractor shall furnish the County with the names, qualifications and experience of their proposed subcontractors. The Contractor shall, however, remain fully liable and responsible for the work to be done by its subcontractor(s) and shall assure compliance with all requirements of the contract.
Method of Payment Unless otherwise negotiated, payment will be made not more frequently than monthly, with Invoice Terms of Net 30.
Trade Secrets/Proprietary Information Trade Secrets or Proprietary Information submitted by an offeror, or contractor in connection with a procurement transaction shall not be subject to public disclosure under the South Carolina Freedom of Information Act; however, the offeror or contractor must invoke the protections of this section prior to or upon submission of data or other materials to be protected and state the reasons why protection is necessary. Information leading to the decision to award, including prices and other factors, shall be made public.

Insurance Requirements The following insurance is required by the County for any company providing services or deliveries on County premises on a recurring basis.
Certificate of Liability Insurance from Contracted Professional Services or Providers: When Horry County enters a contract or agreement for service or equipment, all contractors (such as construction and professional service companies) that provide the service shall indemnify Horry County against general liability claims and shall maintain workers' compensation coverage while performing the service. Departments requesting the contracted service or products must obtain the appropriate certificate of insurance from the vendor/contractor prior to contract execution and submit it to Procurement with contract and copy it to Risk Manager. A. Certificate of Insurance Requirements:
1. Workers' Compensation: is required in all County contracts if the contractor/vendor has employees (with the rule of thumb being 4 or more employees). Employer's Liability insurance shall be provided in amounts not less than $100,000 per accident.
2. Commercial General Liability coverage shall be provided with minimum liability limits of $1,000,000 per occurrence, Combined Single Limit for Bodily Injury and Property Damage. This shall include coverage for: premises/operations, products/completed operations, contractual liability, independent contractors and vehicles used in premises/operations.
3. Professional Liability insurance shall be provided with minimum liability limits of $1,000,000 per occurrence (in addition to Commercial General Liability insurance) by professional services such as accountant, attorney, architect, design, engineering and most consultants that involve errors and omissions exposure protection.
B. Special Requirements:
1. The County of Horry shall be named as an Additional Insured on all General Liability policies and expressed on the Certificate of Liability Insurance.
2. The County of Horry shall be given thirty (30) day notice prior to cancellation or modification or reduction in limits of any stipulated insurance.
3. An appropriate Indemnification clause shall be made a provision of the contract. 4. Contracts shall express that it is the responsibility of the vendor/contractor to ensure
that all subcontractors comply with all insurance requirements. Builder's Risk Insurance Needed for Construction Projects:
(Not Used) Umbrella Liability Insurance Alternative: A combination of Umbrella/Excess and primary limit may be used to provide coverage for the amounts required.
Contract Administration Upon award of the contract, the Horry County Offices of the Treasurer, Auditor and

PROFESSIONAL SERVICES CONTRACT No. _______________
This Contract for Professional Services (“Contract”), with an effective date
of____________, is hereby entered into between HORRY COUNTY, a political subdivision
of the State of South Carolina, whose Administrative Office is at 1301 Second Avenue,
Conway, SC 29526 (“County”); and ______________________________ (“Provider”), a
corporation organized and existing under the laws of the State of _______________ and
authorized to conduct business in the County of Horry and in the State of South Carolina.
1. GENERAL TERMS OF CONTRACT
1.1. Headings: Headings to paragraphs in this Contract shall not interpret or alter the
meaning of the words in the respective paragraph, nor any other provision of this
Contract.
1.2. Time of Performance: The timely performance by Provider of the services
described in this Contract is of the essence, and shall commence on the Effective
Date. Failure to perform timely, except for cause occasioned by Act of God, shall
permit County to declare this Contract voided and of no further effect.
1.3. Arbitration: This contract is not subject to arbitration.
1.4. Dispute Resolution: If the parties hereto cannot settle any difference arising
between them without litigation, any such litigation shall take place in the South
Carolina Circuit Court in Conway, South Carolina.

1.5. Merger, Amendment, and Waiver: This Contract contains all the terms of all
agreements, oral or written, between the parties, and is the only document containing
all such terms. This Contract merges all prior contracts, agreements, and
understandings between County and Provider concerning the scope of work
described herein. The Scope of Services described in this Contract, and all other
terms of this Contract, shall not be amended or varied except by a written instrument
signed by a duly authorized signatory of County and Provider. Forbearance by
County from enforcing the strict terms of this Contract shall not be a waiver of any
other term of this Contract, nor shall such forbearance entitle Provider to rely upon
such forbearance in the event of another similar breach by Provider of the terms of
this Contract. Any variance to the terms of this Contract shall be attached as an
Exhibit hereto, and shall have effect as from the effective date thereof as set forth on
such Exhibit.
1.6. Compliance with EEOC and other State and Federal Laws: To the extent set
forth in the respective statutes, Provider shall comply with the provisions of:

315 of the Fair and Accurate Credit Transactions Act (FACTA) of 2003; the
South Carolina Act 190 of 2008; Financial and Identity Theft Protection Act;
and the Horry County Privacy / Identity Theft Policy.
1.7. By entering into this Contract, Provider affirmatively warrants that Provider is
currently in compliance with such laws, and further warrants that during the term of
this Contract, Provider shall remain in compliance therewith.
2. SCOPE OF SERVICES:
2.1. Provider shall perform those tasks set forth in Exhibit “A”, attached hereto and
incorporated herein by reference. The anticipated scope of work shall be considered
the minimum service to be provided under this Contract. If any term contained in
Exhibit “A” shall conflict with any of the terms of this Contract, then such term as
set forth on Exhibit “A” shall not bind County.
2.2. All services to be performed by Provider under this Contract shall be performed
within the term set forth on Exhibit “A”, not to exceed five (5) years.
3. PAYMENT FOR SERVICES:
3.1. The costs of services are set forth in Exhibit “B” of this Contract. The total projected
cost of $__________ shall be a guaranteed maximum price (GMP) for the services
to be provided. Provider’s invoice to County will be on a basis of net 30 days after

3.2. Services not included in the Scope of Services constitute additional charges to
County, at rates and intervals to be agreed upon between County and Provider in a

4. WARRANTIES OF PROVIDER AND COUNTY:
4.1. County warrants that:
4.1.1. County has the lawful authority required under State law and County’s
Ordinances to enter into and perform this Contract;
4.1.2. County shall not offer employment to any employee of Provider for a period
of two (2) years after the termination, except for cause, of this Contract.
4.2. Provider warrants that Provider has:
4.2.1. All necessary licenses and consents required for Provider to enter into and
fully perform the Scope of Services set forth on Exhibit “A”, and is in good
standing in the State of South Carolina;
4.2.2. All required insurances, including Worker’s Compensation Insurance and
General Liability Insurance, to indemnify County against any and all claims
arising under or as a result of the performance of this Contract, in at least the
following amounts (or in those amounts, if specified, as set forth in County’s
Invitation to Bid or Request for Proposals, that formed the basis of the Scope of
Services of this Contract):
Worker’s compensation shall include a minimum limit of $100,000 per accident and comprehensive general liability coverage shall provide minimum limits of liability of $1,000,000 per occurrence Combined Single Limit for Bodily Injury and Property Damage. This shall include coverage for premises/operations, products/completed operations, contractual liability, errors and omissions

4.2.3. No conflict of interest with any other contract with a third party that might
cause a claim to arise against County by the entry into or performance of this
Contract by Provider.
4.3. Provider warrants that Provider shall throughout the term of this Contract:
4.3.1. Perform all tasks required under the Scope of Services with a degree of skill
and care of reputable members of the same profession in South Carolina;
4.3.2. Maintain all insurances required by law or this Contract, including worker’s
compensation, premises liability, general liability, and professional malpractice
coverage in those amounts set forth herein;
4.3.3. Properly withhold from all wages, commissions, salaries, and fees paid by
Provider to third parties or employees, agents, or sub-contractors of Provider,
all amounts required by State or Federal law to be withheld for or on account of
taxes, social security payments, or other withholdings mandated by law or
regulation;
4.3.4. Ensure that any third party, employee, agent, or sub-contractor of Provider
shall comply with the terms of this Contract concerning employment
discrimination, insurances, and withholdings, so far as concerns this Contract;

4.3.5. Comply with all lawful demands made pursuant to the South Carolina
Freedom of Information Act, S.C. Code § 30-4-10 et seq. or the Federal Freedom
of Information Act, 5 U.S.C.S. § 552;
4.3.6. Make no offer of employment to any County employee for a period of two (2)
years after the termination of this Contract.
5. OWNERSHIP OF PROJECT MATTER: Unless otherwise agreed between
County and Provider, and approved by County’s attorney:
5.1. All plans, reports, surveys, and other professional work product of Provider
concerning this Contract (but not internal working files, drafts, memoranda, and
equipment) shall become the property of County during and at the completion or
termination of this Contract;
5.2. All materials supplied or loaned by County to Provider during the term of this
Contract shall remain the property of County;
5.3. All intellectual property provided to County by Provider and originating from this
Contract shall become and remain the property of County, and Provider shall not,
without the written consent and license from County, use such intellectual property
for another commercial purpose;
5.4. County shall not become the owner, assignee, or licensee of any standard routine,
programs, development tools, techniques, interfaces, texts, or other work existing
prior to the date of this Contract that may be used by Provider in providing the
services or intellectual property subject to this Contract, except as may be specifically
agreed in writing between the parties.

6. EARLY TERMINATION OF CONTRACT: County and Provider shall have the
right, upon sixty (60) days written notice, to terminate this Contract, and thereafter
County shall have no obligation to pay for services provided to County except up to the
effective date of termination of this Contract. In the event Provider exercises its right to
terminate this Contract, Provider will not cease services for a reasonable period of time,
not to exceed One-Hundred Twenty (120) days, to allow County to procure another
provider.
7. INDEPENDENT CONTRACTOR STATUS: Provider shall not, by entering into this
Contract, become a servant, agent, or employee of County, but shall remain at all times
an independent contractor to County. This Contract shall not be deemed to create any
joint venture, partnership, or common enterprise between Provider and County, and the
rights and obligations of the parties shall not be other than as expressly set forth herein.
8. NOTICES TO PARTIES: All notices to each party to this Contract, except routine
notices of performance of the Scope of Services during the Contract term, shall be in
writing, and sent as follows:

9. INDEMNIFICATION AND HOLD HARMLESS AGREEMENT: The Provider will indemnify and
hold harmless the County and its agents and employees from and against all claims, damages,
losses and expenses, including attorney's fees arising out of or resulting from the performance
of the Work provided that any such claims, damage, loss, or expense is attributable to bodily
injury, sickness, disease or death, injury to or destruction of tangible property, including the loss
of use resulting therefrom, and is caused by any negligent or willful act or omission of the
Provider, and anyone directly or indirectly employed by it or anyone for whose acts any of them
may be liable. In any and all claims against the County or any of their agents or employees by an
employee of the Provider, and anyone directly or indirectly employed by any of them, or anyone
for whose acts any of them may be liable, the indemnification obligation shall not be limited in
any way to the amount or type of damages, compensation or benefits payable by or for the
Provider under the workman's compensation acts, disability benefit acts, or other employee
benefit acts. The obligation of the Provider under this paragraph shall not extend to the liability
of the County or its agents or employees arising out of reports, surveys, change orders, designs,
or specifications that are un-attributable to the Provider.
10. ASSIGNMENT: Provider shall not assign, permit the assumption of or in any manner transfer
any interest in this Contract, or any part thereof, without the prior written consent of the County.
If Provider assigns, permits the assumption of or in any manner attempts a transfer of its interest
in this Contract, County, in its sole discretion, may declare this entire Contract null and void.

Section 12-37-900 states that every person required by law to list property shall, annually, between the first day of January and April 30th, file a Return with the Auditor of the county in which the property is to be taxed. Section 12-54-44 (B) (1) of the South Carolina Code of Laws provides: “A person who willfully attempts in any manner to evade or defeat a tax or property assessment imposed by a title administered by the department or the payment of that tax or property assessment, in addition to other penalties provided by law, is guilty of a felony and upon conviction, must be fined not more than ten thousand dollars or imprisoned no more than five years, or both, together with the cost of prosecution.” An estimated assessment may be used in cases where insufficient values are filed or no Return is filed at all. Section 12-37-800 provides an additional 25% penalty for willfully attempting to evade a property tax.
5. As a courtesy, in most cases, this office does annually mail out Personal Property Tax Returns pre-populated with name and last known address of the property owner together with the property’s account number, legal description, map-block-parcel number and tax district. HOWEVER, THE RESPONSIBILITY FOR LISTING THE PROPERTY ANNUALLY WITH THE AUDITOR’S OFFICE LIES SOLELY UPON THE OWNER OF THE PROPERTY REGARDLESS OF WHETHER OR NOT YOU RECEIVE A PRE-PRINTED RETURN. Go to http://www.horrycounty.org/depts/finance/auditor.asp#Forms to download a blank Personal Property Return (FormPR-26). When filing the downloaded Return, be sure to provide the account / ID number for existing accounts and other identifying information that appears on your tax bill. Please list the name exactly as it appears on your property deed.
6. Tax notices are issued October 1st each year. Should you fail to receive a tax notice by November 1st, contact the Auditor’s Office at (843) 915-5054 to avoid penalty issues.
7. If this property is owned by an LLC, LP or LLP, and if you have not previously done so, please attach a copy of the Articles of
Organization or other document identifying each member/partner and the stated purpose for the entity’s existence.
