I. NOTICE INVITING TENDER

Kerala Tourism Development Corporation Ltd (KTDC), the largest hotel chain in

Kerala, owns the India’s first full-fledged Marina at Bolgatty Island at Kochi, Kerala.

The Marina is having 36 berths with state of the art facilities and is located at the

eastern coast of Bolgatty Island in the Premises of Bolgatty Palace & Island Resort

under KTDC. The Marina is having an exotic ambiance and is adjacent to a 9 hole

golf course. The waters in the marina are usually subject to minimum tidal

variations and are close to the international maritime route at the south west coast

of Indian Peninsula.

The Marina is located in the vicinity of Marine Drive, commercial hub of Kochi, one

of the top tourist destinations in the world with a world class natural Port and an

International Airport.

KTDC propose to license the commercial operations of Marina including the general

maintenance, its operation and promotion for a period of three years. Selected

Marina management services providers have to promote the services of Marina,

operate with all the required manpower and KTDC will provide just the space for

operation.

KTDC invites Tender from Marina Management Service Providers having hands on

experience in providing responsible operation of marina with excellent quality of

services to consumers/guests and promote such services in the national/

international market. Interested parties should be capable of providing unsurpassed

marina management services customized to fit the requirements of KTDC and shall

have proven track record to bring the best of the expertise in marina operations,

environmental and regulatory practices in marina management, promotion and

sales of Marina services etc. They shall be responsible for the entire operations of

the Marina.

The tariff can be fixed on mutual consent as per the demand & supply situation,

competition from other destinations etc. Therefore the bidders are requested to

mention the sharing of income (ratio) with regard to slip rentals which is the

dominant income.

Those who have exposure in managing the entire operations of an organized

Marina for at least two years and have exposure in marketing such services

internationally need only apply. The general features of the tender are:

1. The tender is under two bid system (1 part I: Techno commercial bid and Part

II Financial bid).

2. The bidder shall essentially fulfill the pre-qualification criteria specified in

the techno-commercial bid document and the financial bid will be opened

only if the Techno-commercial bid is accepted.

3. The revenue from Marina (berthing) will be shared between the successful

bidder and KTDC Ltd at the agreed ratio of income.

4. The bidders are required to undertake a site inspection before submitting

their bids and the bidder will have to submit the bid anticipating that the

infrastructure facility will be available on ‘as is where is condition’.

5. “Marina” means: Marina located at the eastern side of Bolgatty Palace &

Island Resort otherwise known as Kochi International Marina having 36

berths with state of the art facilities.

6. Full details of works have been given in the section ‘Scope of Work’. The

bidder should be technically and financially sound fulfilling the qualifying

requirements in the pre-qualifying conditions.

7. A demand draft for an amount of Rs.2,100 ( Rupees two Thousand one

Hundred) towards the cost of tender document (including VAT @ 5% ) and a

demand draft of Rs.1,00,000 (one lakh) as Earnest Money Deposit both

drawn separately in favour of ‘ KTDC Ltd’ payable at Thiruvananthapuram

should be submitted along with the techno commercial bid.

8. Successful bidder should submit a interest free security deposit of

Rs.1,00,000 (Rupees one lakh) as DD and provide a bank guarantee which

incorporates both financial and performance guarantee for Rs.5 lakhs

(Rupees five Lakhs) from a nationalized or scheduled bank.

holiday, the tender will be opened on the next working day at the same time

and place.

5. KTDC reserves the right to accept or reject any or all the bids received

at its absolute discretion without assigning any reason whatsoever.

6. Incomplete tenders will not be considered and are liable to be rejected.

KTDC will not be responsible for postal delays when tenders are sent by post.

V. PRE-QUALIFICATION CRITERIA FOR MARINA OPERATIONS &

MANAGEMENT:

Companies/Partnership Firms who intend to participate in the tender must fulfill

the following eligibility criteria:

A. GENERAL CRITERIA

1. The bidder should be a company or Partnership firm competent to enter into

contract for license as per Indian law for the operation of Marina (General

commercial operation, general maintenance and marketing).

2. Credible testimonial from law enforcing agencies and clients are compulsory.

3. The average annual financial turnover during the last two financial years of

the bidder should be a minimum INR.2 crore (Rupees two core) or more as

per the audited balance sheet.

B. TECHNICAL CRITERIA

1. Since the license includes the maintenance of marina facilities, the Bidder

must be able to demonstrate its competency in marina building and

management.

2. The bidder should have a minimum 2 years of exposure in managing and

maintaining at least one Marina unit having more than 20 berths and should

also be currently in the field of Marina operation.

3. The bidder should have brochure/flyer (digital or print) intended for

promoting the Marina projected as exposure.

4. Availability of sufficient technical manpower in the muster roll of the bidder

as on the date of notification for Marina is compulsory.

5. All the aforementioned criteria should be substantiated with credible

evidences/testimonials/ certificate from appropriate agencies etc and should

be enclosed along with the technical bid.

6. The bidder should have experience in promoting this Marina internationally.

MARINA INCLUDING ITS GENERAL MAINTENANCE, ITS OPERATION AND

PROMOTION.

Sir,

I undertake to perform the following jobs in connection with the operation of

Marina from June 1st, 2014 to May 31st, 2017 against slip rental charges shared

mutually between KTDC and me/us.

Scope of Work

1. General Requirements

a. All the works will be performed in a professional manner by experienced and

well trained personnel, utilizing equipment of the latest and most efficient

design.

b. The practices and procedures employed will be according to the accepted

industry standards; installations and applications will be made with technical

expertise; all vehicles and equipment will be operated both skillfully and

safely within the area of the Marina.

c. To ensure that the work performance comply with the relevant occupational

Safety and Health Act.

d. Training of the crew members to abide by the laws of the local waters and

safe Maneuvering of their vessels within the limits of the Marina.

e. The Successful bidder will arrange all labour, material consumables and

equipment for the performance of the marina operations.

f. The Successful bidder shall liaise with the Cochin Port Trust, Customs, Police,

Inland waterways Department/Port Department and all other relevant

departments for the operation of Marina.

g. Sub-contracting of any part of Marina Operation/Whole of the Marina

Operation will not be permitted.

2. Maintenance I. Cleaning

a. To undertake waste disposal viz chemical/hazardous waste disposal (Oils,

etc) and bio/non-biodegradable trash.

b. To check periodically (to be discussed and decided) for sea/backwater

growth on submerged components of the Marina and will be responsible to

scale off any growth with the desired tooling and an assurance of no physical

damage to the components.

II. Planned Component Maintenance a. Service Bollards: To check periodically (to be discussed and decided) for

Corrosive coatings, electrical terminal ends and safety of Splash proof power

outlets.

b. Electrical Services: Cables to be checked for snagging and damage due to the

flexible nature of the Marina. Power supply to be checked monthly for surges

and irregularities if any.

c. Fresh Water Services: All Fresh water lines will be checked monthly for

leaks and snags. Inline pumps to be checked for regulated pressure.

d. Fire Hose Connections/Reel: Hoses will have to check periodically (to be

discussed and decided) for holes and weathering. Water lines to be checked

for excessive salt deposits and stagnation.

e. Sewage Pump Out: All line to be flushed with an Environmentally Non-

hazardous Chemical once in every 3 months to assure no blockages in the

line. Discharge reservoirs to be cleared by Successful bidders every week or

in event of reaching the limit.

f. Illumination and Beacons: Indication Beacons will be checked regularly for

light source and shield Clarity.

g. Mooring Cleats: to be checked for fractures due to overloading and suitable

location for mooring.

h. Fasteners. All Pontoon and Gangway fasteners will be checked periodically

(to be discussed and decided) and tightened to secure a long life for the

Marina.

3. Pest Control a. The Successful bidder will inspect the Marina periodically (to be

discussed and decided) for indications of pest problems.

b. Upon confirmation of a specific problem requiring treatment, the

Successful bidder will apply pesticides as needed and only in affected

spots, whenever possible using the least toxic, effective pesticide. No

pesticide will be applied to Marina designated areas without the

express approval of KTDC.

c. All applications of pesticides will be performed when temperatures are

below 90°F and wind drift is negligible.

d. The Successful bidder will keep records on pests identified and

treatment(s) rendered for control.

e. Pesticide applications will be made in accordance with the rules and

regulations governing use of pesticides in Kerala.

4. Unplanned Maintenance

a. Damage Control: in event of damage caused due to climatic condition etc, a

diagnostic report will be made up on inspection of the affected area and a cost

of repair inclusive of manpower and material will be submitted to KTDC

representative for approval before works can be carried out.

i. Damaged areas will be cornered off with safety barriers and the designated

area will be closed off till such time that works are in progress.

ii. The Successful bidder will be required to provide a schedule of works

assuring a timely completion.

iii. The Successful bidder will carry out repairs on the designated area with

minimal disruption to every day operations of the Marina.

b. Weathering: in event of deterioration due to ageing similarly to the above

(Damage Control) a diagnostic report will be made up and submitted along with a

cost of Manpower and materials to the KTDC representatives for approval before

commencement of works.

c. Optional Service Issues: All optional services will be by supplemental written

agreement of the KTDC/ representative and that agreement will specify the extent

and cost of the proposed work. All such work, however, will satisfy these general

requirements.

5. Scope of works (to be undertaken by the successful bidder)

a. The successful bidder will inspect and test water and electrical devices

and other components monthly and shall reset manually according to

seasonal changes.

b. Minor adjustments and repairs such as cleaning or replacement of

filters repair small leaks, and minor adjustments shall be made by the

Successful bidder.

c. Once a year, the Successful bidder will recalibrate meters and Gauges

allowing for accurate reading.

d. During monthly maintenance checks, the Successful bidder will note and

report to KTDC any symptoms of inadequate or excessive supply of

electrical, water or drainage etc.

e. All routine maintenance works will be carried out by the Successful

bidder at their own expense.

6. Inspection and Acceptance of Work

a. The Successful bidder shall be responsible for notifying KTDC all the

works prior to and after execution.

b. An inspection will be made by the KTDC representative and the

Successful bidder representative, within 48 hours of notification by the

Successful bidder that work has been performed. A snag list if needed

will be executed.

c. All work must meet the specifications and KTDC will be the final

authority on acceptance.

7. Marketing & Promotion

a. The licensee shall be responsible for promoting the services of Marina

in all the appropriate national and international forum.

b. KTDC will also promote it through all the avenues available like

website, brochures trade fairs etc.

8. Insurance, Licenses, Permits, and Liability

a. The Successful bidder will carry liability amounts and worker's

compensation coverage required by law on his/her operators and

employees and provides proof of same to the KTDC /representative.

b. The Successful bidder will carry general liability insurance in

connection with the operation of Marina and such other third party

Insurance.

9.The contract will be governed by the laws of India.

10.Situations which the Successful bidder deem responsibility for: a. Any damage due to the operation of equipment in performing the

contract, to include damage to Marina components, or any device on

the Marina.

b. Failure to comply with all laws pertaining to the pollution of the

environment and spillage, Labour laws pertaining to the employee

engaged by the Successful bidder and all applicable laws which deem

to have a direct bearing on the Successful bidder.

c. Improper replacement or retrofitting of components.

All the relevant license/permits for the operation of Marina shall be obtained by the Successful bidder. Any other matter required for the operation of Marina can be finalized on mutual consent. Termination Clause If the Successful bidder omit/neglect to execute the work properly or in time, or fail

to perform any provision of this contract, the Corporation after one month written

notice to the Successful bidder may without prejudice to any other remedy he may

have, make good such deficiencies and may deduct the cost from the

payment/Caution Deposit/invoking the performance guarantee or through such

other appropriate means.

In the event of contract being terminated by the Corporation the Successful bidder

shall have no claim for any compensation for any loss that may accrue from

materials he may have collected or engagements countered into, or by execution of

any work under this contract.

In case of any dispute or difference between the parties of the contract, other during

or after the completion of the work or after termination, abandonment, or breach of

contract, or as to the interpretation of the provisions of the contract or as to any

matter for this arising there under except as to any matter left to the sole discretion

of the Corporation under the clause of the contract, such dispute or difference shall

be referred to the Civil Court of Trivandrum and the jurisdiction of such matters will

be continued in courts of Trivandrum only.

I/We hereby agree to take up the license for the commercial operations of Marina

including the general maintenance, its operation and promotion at Bolgatty Island

and agree to share and pay KTDC the following ratio. I/We certify that there are no

corrections in the figures and words quoted below.
