TENDER FOR Comprehensive Annual Maintenance Contract of Medical

Gas Supply System and Operation of Gas Plant Equipments

INSTRUCTION TO TENDERERS

1 Sealed tender should be submitted on the original document only in the office of the Director (SSPH&PGTI), RSD Cell, 1st Floor, Super Speciality Paediatric Hospital & Post Graduate Teaching Institute, Sector-30 Noida by Registered/Speed post/Courier only in two parts as under, failing which the tender shall be treated invalid and shall not be considered.

2. Putting up the unsealed Technical Bid and Financial Bid within the same envelope shall result in cancellation of the tender. Financial bid will only be opened if one qualifies the technical bid.

3. Technical Bid should contain the following: -

(A) INSTRUCTIONS FOR TECHNICAL BID (a) Earnest money deposit (EMD) of Rs. 50,000/= (Rs. Fifty thousand) only in the form of FDR of any

nationalized bank in the name of Director SSPH&PGTI, Noida payable at Noida. (b) Tender fee will be Rs. 3000/- (three thousand only) which is not refundable. (c) Service tax Registration Certificate, Service Tax clearance certificate, Trade Tax registration and

Income tax clearance certificate/ Assessment copy for the last two years i.e. for year 2014-2015, 2015-2016, in original or photocopies attested by a Gazetted Officer be enclosed with tender.

(d) Tenderer should enclose affidavit duly certified by a Notary for the following:

(i) That tenderer has never been blacklisted in the past.

(ii) That there is no ongoing police case/vigilance enquiry against the Tenderer or/and its Partners/Directors of the Company and he/she has never been convicted or punished by any Hon'ble Court of Law.

(iii) That the tenderer is/are neither an Institute employee nor a relative of Institute employee/officer.

(e) The Tenderer must duly have numbered, sign on each page of the Technical Bid including all

enclosures and proofs. (f) The Tenderer shall submit the information regarding the Tender on the format Part—A (Annexure-I)

as a part of Technical Bid.

(g) If tenderer is partnership firm, all the partners of the firm shall sign the tender.

(h) If tenderer is Company, Director of the Company who is authorized to sign the tender on behalf of

Company. Authorization letter duly signed must be submitted.

4. ELIGIBILITY OF TENDERER (i) Tenderer should have atleast 5 (Five) years’ experience in the field of Centralized Medical Gases

Pipeline System in a large Hospital having at-least 300 beds. (ii) Tenderer should have an annual turnover of Rs. 1(one) crores in the field of Maintenance and

operation of Centralized Medical Gases Pipeline System in preceding two years i.e. for year 2014-2015, 2015-2016.

FINANCIAL BID (Annexure-II and III)

5. INSTRUCTIONS FOR FINANCIAL BID (a) “Financial Bid" should contain information on the format enclosed with tender as "Annexure No

II and III” in separate sealed cover. Submission of the unsealed financial bid will be rejected. (b) The tender be clearly filled in ink legibly or type written giving full address of the Tenderer (s).

The Tenderer (s) should quote in figure as well as in words, the rates, and amount tendered by him/them. Cutting, if any, unless legibly attested by the Tenderer(s) with their full signature shall invalidate the tender.

(c) The Tenderer should take care that the rates are written in words and figure in such a way that interpolation is not possible. No blank space should be left, which would otherwise make the tender liable for rejection.

(d) Quoting minimum rate just for acquiring the tender will not be the only criteria for award of contract. Therefore, Tenderer should carefully assess the work before offering the rates.

(e) Failure to fulfill any of the conditions given above shall render the tender liable for rejection.

General Terms and Conditions 1 The Tenderer submitting his tender would be deemed to have considered and accepted all the

terms and conditions of tender. No verbal or written enquiries shall be entertained in respect of acceptance or rejection of the tender.

2 Any tender received after the prescribed date and time in the Notice Inviting tender will be rejected.

3 The tenders shall remain valid for a period of 120 days from the date of opening of tender. 4. The incomplete tender in any respect or not complying with the terms and conditions are liable to

be summarily rejected. 5 Terms and conditions of the contract may be modified with the written consent of the Tenderer

by the Super Speciality Paediatric Hospital & Post Graduate Teaching Institute, Sector-30 Noida (hereinafter referred to as "Institute") as and when necessary without affecting the basic nature of this tender.

6 The tender must be submitted in prescribed format. The tender not submitted in prescribed format is liable to be rejected.

7 The Successful Tenderer shall have to follow all the instructions given to him/them from time to time by the Competent Authority or person nominated by him.

8 The Successful Tenderer shall maintain a register for the routine instructions. 9 The Successful Tenderer will furnish the full particulars (Brief resume) of the staff engaged by him

in the gas plant with in fifteen days from the commencement of work. 10 The Successful Tenderer shall provide uniform and identity cards to his workers within one month

from the date of commencement of work at its own cost. The worker shall always possess the identity card while at work and produce the same on demand.

1 1. The Successful Tenderer shall be liable to pay compensation for any loss or damage caused to the property of the Institute under the contract.

12. The Successful Tenderer shall comply with all instructions/direction /rules and regulations of any statutory authority and discharge all obligations, imposed upon him by the statutory authorities or under any law and shall indemnify the Institute and officers/employees from any claim or consequences/damages for any lapse or non-compliance thereof.

13 The Successful Tenderer will be responsible for any accident or mishap or death of workers engaged by the Successful Tenderer and any claim made on this account will be paid by the Successful Tenderer, who will also indemnify the Institute from any claim in this regard.

14 The successful tenderer and his worker shall abide by the rules and regulations of the Institute as well as direction/instructions issued by the Director of Institute or on his behalf by the authorities from time to time and violation of which may result in cancellation of the contract.

15 In the event of infringement of any law by any of the workers engaged by the Successful Tenderer, Tenderer shall be under obligation to change the worker immediately on the instruction of the Institute authorities.

16. The Institute Employees or their relative shall not participate in the Tendering process. 17. DISPUTE: -

(i) If any dispute or difference arises between the parties relating or concerning to interpretation of the contract or any alleged breach thereof or any matter relating to the contract, the same shall be settled by the parties as far as possible by mutual discussions and consultation between themselves, whether the same has arisen during the subsistence of the contract or thereafter.

In the event of any dispute or differences arising in connection with the contract arising out of this tender whether during the subsistence of the contract or there after not being settled in aforesaid manner, the matter shall be referred to the Director, SSPH&PGTI, Noida or any person/ committee nominated by the Director, SSPH&PGTI NOIDA, for arbitration whose decision shall be final and binding on both the parties. The proceedings before the arbitrator would be governed by the provision of the ARBITRATION AND CONCILIATION ACT, 1996

(ii) The Court of Noida shall have exclusive jurisdiction in all matters arising out of this tender. 18 The workers of the Successful Tenderer shall not be treated as employees of the Institute in any

case and Successful Tenderer will be solely responsible for their affairs and will be under obligation to comply with the statutory obligations. These workers will have no claim what so ever, to be treated as employees of the Institute.

19. The Successful Tenderer will have to abide by the Minimum Wages Act-1948 and other statutory labour laws, rules and regulations as applicable in the state of Uttar Pradesh. Any liability arising on the Institute as principal employer shall be deducted from the bills of the Successful Tenderer and the full amount shall be recovered from the security money and subsequent monthly bills of the Successful Tenderer who is awarded the contract.

20 All necessary requirements under the Explosive Act, 1884, Explosive Substances Act, 1908 and Drugs (Control) Act, 1950 for the performance of the contract if required will have to be arranged by the Successful Tenderer. The Institute in no way will be responsible for any violation of these acts. In case the tenderer has the required certificates, under the provision of said Acts he may enclose the copy of the same with the tender.

21 The Tenderer are suggested to carefully go through the terms and conditions of the document before offering his/their rates. The tenderer is also advised to take a round of the entire gas pipeline system at the Institute during working hours to know existing setup.

22 The Successful Tenderer will have to take over the entire medical gas pipeline system including pipeline accessories and plant equipments on "As is where is basis".

23. PERIOD OF CONTRACT: -

The contract will be awarded for a maximum period of 5 (Five) years from the date of execution of agreement. However, initially the contract shall be for a period of one year and renewed further on yearly basis subject to satisfactory performance report and recommendation for the same from the Medical Superintendent/Incharge of Gas Supply System of the Institute on the written request of the contractor three months before the expiry of the contract. The satisfaction of the Institute in this regard shall be final.

The Successful Tenderer will have to continue the work even after the completion of contract till the time new arrangement is made by the institute. The Institute will forfeit the security deposit in the event of abandonment of contract by the -renderer before the one year from the date of execution of Agreement.

24. TAXES AND DUTIES: -

The total value of operational and AMC charges should be inclusive of all taxes except Service Tax levied by the Central Government shall be paid on actual by the Institute subject to the production of documentary evidence/challan of deposit in the bank/ statement of service tax account submitted to the service tax authorities against the receipts of payments received from the Institute by the Successful Tenderer.

25. PLACE

The place of maintenance of the equipments will be the installation site at the Institute. In the event of any major break down, when repairs cannot be carried out at the Institute, the defect will be got rectified at any service center as the Successful Tenderer may think proper after approval of the Institute but dismantling, packing, forwarding, transportation and insurance charges etc., if any, would be borne by the Successful Tenderer.

26. EARNEST MONEY (EMD) Earnest money of Rs.50, 000/- (Rs. Fifty thousand only) valid for one year shall be paid in the shape of FDR of a nationalized bank drawn in favour of Director, SSPH&PGTI, Noida payable at Noida be enclosed with Technical Bid of the tender. The earnest money will be refunded to unsuccessful bidders with in three month of finalization of tender. The EMD as stipulated in the notice may be returned back to Successful Tenderer, after receipt of security deposit, before signing of the agreement, as per clause No (26).

27. SECURITY DEPOSIT: -

10% (minimum 5 lacks) of the annual contract value shall be submitted by the Successful Tenderer as security deposit in the form of Bank Guarantee of any nationalized bank in favour of Director,

SSPH&PGTI, Noida for a period of 66 months within 15 (Fifteen) days from the date of award of

bid by the Institute. The Institute shall be entitled to claim/adjust any due amount from the said security deposit on or before completion of contract period.

28. PAYMENT: -

a. The payment will be made on quarterly basis on the recommendation of Nodal Officer, to be nominated by the Director, of the institute (herein referred as Nodal Officer) subject to satisfactory performance during the quarter.

b. No claim for any price escalation during one year of contract shall be entertained.

c. Increase in the value of contract charges may be considered after one year if i Labour wages is increased by Government of India or State Government of Uttar Pradesh ii RBI, WP Index recognises the increase in price of spare parts.

29. SCOPE OF WORK: - i. The detail of equipment for Annual Maintenance Contract and operation is given in Financial

Bid ANNEXURE-II. ii. The repair/reconditioning of spares shall be allowed in exceptional circumstances after

approval from the Nodal Officer. iii. The equipments covered under the contract shall be repaired and rectified on site as and

when the same is out of order. The cost of the original spares required for maintenance of equipment shall be borne by the Successful Tenderer.

iv. The Successful Tenderer will ensure the preventive maintenance of all the equipment and accessories as per the schedule of the manufacturer of the equipment. In case schedule for any of the equipment is not available, the maintenance work will be carried out as per the instructions of the Nodal Officer or the person nominated by the Nodal officer.

v. The Successful Tenderer will attend all type of minor or major breakdown immediately. vi. The service engineer of the Successful Tenderer shall be required to enter each and every

repair done in the logbook duly counter signed by Nodal officer or his nominee. vii. The Successful Tenderer will submit the complete list of all type of spare parts within 15 days

from the date of execution of Agreement and will ensure the supply of spares during tenure of contract.

viii. The routine maintenance shall be carried out in the day shift in presence of Nodal Officer and shall be recorded in the logbook.

ix. Separate logbook for each equipment shall be maintained. The logbooks and all other register shall be put up to the Nodal Officer every day.

x. The Successful Tenderer shall have to arrange at site all the necessary tools, measuring devices, plants etc. necessary for the repair of the equipments.

xi. The complaints regarding medical gases from various Departments of the Institute shall be recorded daily on the complaint register to be maintained by the Successful Tenderer.

xii. The Successful Tenderer shall make his own arrangement to distribute every type of gas cylinder from the gas plant to different areas of the Institute. The tenderer will have to check all medical gas cylinders available at different areas of the Institute for pressure and leakage. The Successful Tenderer shall immediately change the cylinder, if found defective.

xiii. The battery limit will be from the main electrical supply panel inside the gas plant. The cost of all the electrical spares related to equipment and accessories including repairing of electrical motors etc. will be borne by Successful Tenderer.

30. DUTIES OF STAFF: - The operation, supply and distribution (including maintenance) of medial gases system shall be carried out round the clock in three shifts. The Successful Tenderer shall arrange the duties of their staff in consultation with Nodal officer. The Successful Tenderer shall post the following minimum manpower for the work. For Medical Gas Supply System 1. Engineer- Duly Qualified for this purpose 1(General Shift)

2. Supervisor (Dip. / Exp. ITI. Holder) 3 Nos.

3. Experienced Operator / Technician 3Nos

4. Helper 3Nos.

31. DOWN TIME: - I. For the purpose of calculation of down time, breakdown time shall be calculated on hourly

basis. II. Payment of Annual Maintenance Contract (herein after referred as "AMC") will not be

made for the period specific equipment remains out of order for more than 48 hours in a month due to any reason.

III. The Successful Tenderer shall be given total breakdown time of 48 hours for each equipment in a month. This period shall not be accumulated to next months. Also three days shall be allowed to successful tenderer in a year for overhauling of equipment from Sl. No. 01 to 04 of Financial Bid (Annexure-II) only. The Successful Tenderer shall have to plan and intimate the date for overhauling to authorities of the Institute well in advance.

IV. The Successful Tenderer will have to keep spare oxygen flow meters, F. A. Valves suction assemblies, outlet points, and regulators so as to replace immediately for the purpose of repair. The Successful Tenderer shall place it back after repairs.

32. PENALTY: - (1) The Penalty shall be charged as follows in case of failure of any of the following systems.

I. Oxygen supply through Oxygen Manifold For I. to IV.

Rs.5000.00/= for first 24 hrs. and

Rs.10000.00/= per day thereafter till

System for 7 days*.

II. Vacuum Pump Supply System

III. Nitrous Oxide System

IV. Medical Air System

V. Any failure in the distribution pipe line, outlet point, valve,

suction Assembly, regulator, oxygen flow meter/F.A. Valve

etc.

For V.

In case, the Successful Tenderer does

not replace the attachment/accessory

within 02 hrs., a penalty of Rs.5000.00

per Day for first day and Rs.10000.00 per

day thereafter for 7 days*.

*Further action to be decided by MGPS Installation Committee.

(2) The breakdown of stand by units (For I. to IV.) is allowed up to 48 hrs. only. Beyond 48 hrs. the penalty of Rs. 5000/- (Rupees Five Thousand) for first 24 hrs. and Rs. 10000/- (Rupees Ten Thousand) per day thereafter for 7 days shall be imposed on the Successful Tenderer and if the units will not be rectified within 8 days, the Successful Tenderer will be liable for necessary action as decided by the MGPS Installation Committee.

(3) Any colour coding paint, as per standard, must be maintained by the successful tenderer. (4) Operational charges shall not be payable to Successful Tenderer during the period of breakdown

of any system. In case the Successful Tenderer fails to maintain supply of medical gases up to the user end due to any reason then the operational charges shall not be payable for that period.

(5) If the system failure occurs due to electrical fault after the battery limit, the penalty shall not be levied.

33 STAMP DUTY: -

Stamp duty leviable on agreement to be executed between the Institute and Successful

Tenderer shall be borne by the Successful Tenderer. 34. NOTICE PERIOD FOR ABANDONMENT OF CONTRACT: -

Neither party shall be entitled to abandon the contract during initial period of one year. However, if after one year the contract is renewed either party shall be entitled to abandon the contract after serving three-month notice in writing to the other party regarding abandonment of contract. However, the Successful Tenderer given the contract shall have to continue the work even after expiry of the notice period of three months till an alternative arrangement is made by the Institute. No compensation or claim in the event of such abandonment shall be admissible to the Successful Tenderer.

35. TERMINATION OF AGREEMENT: -

(i) After giving opportunity of being heard to the Successful Tenderer, Institute may terminate/cancel the agreement on the following grounds. -

A- Breach of any or all terms and conditions of agreement. B- Non-performance or unsatisfactory performance of work executed by the Successful

Tenderer. C- If at any time document or information furnished with tender is found forged or fabricated

during the subsistence of the contract. (ii) Notwithstanding to any provision of the contract, if the contract is terminated by the Institute

and the Institute has to award the work to other party on higher rate, the Successful Tenderer has to compensate the difference of cost for entire remaining period of contract to the Institute

36. SUBMISSION OF TENDER DOCUMENTS: -

TENDER FOR OPERATION AND MAINTENANCE OF MEDICAL GAS PLANT AND CENTRAL SUPPLY PIPE LINE SYSTEM shall be submitted separately in two parts: (1) Technical Bid (Annexure-I) in envelope 'A' and (2) Financial Bid (Annexure II and III) in envelope 'B'. Both the parts should be sealed separately, mentioning the name of the Bid. Both the bids must be sealed together in the large envelope C, addressed to "The Director (SSPH&PGTI), RSD cell, 1st Floor, SSPH&PGTI, Sector-30, Noida (UP)-201303." mentioning on the top "TENDER FOR MEDICAL GAS PLANT PIPELINE OPERATION AND MAINTENANCE”.

37. The tender with particulars and enclosures must reach the Director, RSD Cell, 1st Floor, SSPH&PGTI, Sector-30, Noida (UP)-201303 upto 23/08/2017, 4.00 PM. The Tenderers or their authorized representatives, if they so desire, may attend the opening of the tender. Institute shall not be responsible for any postal delay. In case the date for opening the tender declared to be

holiday, the tender will be opened on the next working day at the same place and time. Tender received after the last date and time will be rejected.

38. Director reserves right to cancel or reject in full or in part of all tenders received without assigning any reason in lieu thereof.

39. If the Successful Tenderer fails to take the work in stipulated time as per award letter of the Institute, the award letter stands cancelled and EMD will be forfeited.

40. Technical Bid shall be accompanied with following statement of affirmation. 41. The Successful Tenderer must maintain adequate reserve of the equipments and consumables at all

the time.

ACCEPTANCE
