4. PRESENTATION OF SC SERVICIILE COMERCIALE ROMANE SA PIATRA NEAMŢ

4.1. Historical insight

SC SERVICIILE COMERCIALE ROMANE SRL (ROMANIAN COMMERCIAL SERVICES), the first company of the Group, was constituted in 1993, having five founders (Vuza Ştefan -45% of shares, Popa Ioan - 25% shares, Orcheanu Lidia -20%, Vuza Eduard -5% and Strajeru Constantin - 5% of shares).

In March 1994, the first 'Non Stop' grocery shop was opened in Buhuşi. On the 17th of May SC EUROHOUSE COM SRL was formed. In August of the same year, a partner contract was signed with S.C. DURAU S.A. for the administration of Dochia Chalet. On the 9th of December the juridical status of the company is changed and SC SERVICIILE COMERCIALE ROMANE SRL now becomes SC SERVICIILE COMERCIALE SOMANE SA. At the end of the year, the first commercial centre 'FAVORIT ROMAN' is opened having 35 stands of wood and glass.

In March 1995 SC EUROHOUSE SRL opens a new branch in Iaşi with 3 new commercial centers. SC EUROHOUSE SRL keeps its target for opening new commercial centers in the country, so two more centers are opened: one in Paşcani and one in Roman. In august, SC SERVICIILE COMERCIALE ROMANE SA signs two of the most important rental contracts for the future of the company: Commercial Centre “Paltinis”, 1.700 sq. meters in a two-story building in Tg. Jiu and Commercial Centre “Zimbru”, another commercial space of 2800 square meters in Suceava, in a hall that used to be a textile mill, very close to the city center.

In March 1996 SC EUROHOUSE SRL opens a branch in Cluj and rents another space from SC Napocom SA for another commercial center. In the same year another three commercial centers are inaugurated in Suceava, Sibiu and Tg. Mureş. In October, a rental agreement is signed with SC Metex SA Dej, for the commercial center “BIG” Dej.

Despite the fact that in December 1996 the contract concerning Dochia Chalet was cancelled, the involvement in tourism is taken to a greater scale. This way, the acquisition, transforming and trading all the specific products of every factory of the Group has to be done in efficient and dynamic way. The factors related to the market integration of goods, trading contracts and supplier costs will have a vital link with all the production factors (capacity and flexibility of the unit, production rate and technological processes). A major issue consists in promoting the image of the Group, the quality and variety of products and the distribution network.

The organization’s philosophy is oriented to human values with high potential and professional expansive qualities. We try to identify the individual aspirations of our team with the Group’s interests, thus achieving a constructive alliance, which is mirrored by the economic-financial results of the group and the competitive top spots we are seeking.

"We are here because of you" - the 10 year celebration slogan clearly reflects this issue – Acknowledging all the efforts of the individuals involved in the process.

Prospecting the axes of evolution of the group, we tend to gain a global view of the future ahead and all the factors involved (economic, social, technological). We try to profoundly analyze and take chances and risks, privileging the human resources we have.

Economic prospects allow us to define general situations in a very firm way. This is one of the reasons we hold half-yearly meetings with our staff. These gatherings are meant to strengthen the bond between the members of the team and add more value to the sum of individual efforts.

7. PRESENTATION OF SC SINTEROM SA CLUJ NAPOCA

7.1. Historical insight

SC SINTEROM SA was established in 1936 under the name of “Uzina Triumf”, a manufacturer of chemical products.

In 1948 it has started the fabrication of car spark plugs with mica insulator and from 1955 a serial production of spark plugs with ceramic insulator.

Further, the product range was extended, including glow plugs, ignition electrodes and various superaluminous ceramic products.

In 1970 SC SINTEROM SA has started, under “Metafram France” license, the fabrication of sintered parts of ferrous and non ferrous metal powders, such as mechanical sintered parts for automobiles and other industrial branches, self lubricating sintered bearings and, later on, disks with sintered friction linings and sintered filter elements made of bronze powder.

Under “CAV England” license, in 1972, SC SINTEROM SA has started the fabrication of thermostarters for starting the cold DIESEL engines.

In 1974, the company's name was changed from Triumf to Sinterom, due to an ever-increasing share of sintered parts related to the whole production.

A new development stage in the company's evolution started in 1979, when the fabrication of Al Ni Co cast magnets has started and further, in 1980, with some other new products, i.e. the sintered alloy contacts. The same year, it was acquired the “TOHO KINZOKU” Japan license, allowing the production of the first W and Mo wires.

Since 1984, the manufacturing of special tools and devices required by the powder metallurgy has started. From 1984 up to the present a continuous development of fabrication capacities and modernization of technological flow where performed. During the last years the glow plugs production was diversified and SC SINTEROM SA is now manufacturing quick start and super quick start type glow plugs for DIESEL engines and bimetallic electrode plugs and resistor plugs for spark ignition engines.

In 1998 it was purchased a 250 t hydraulic press from Germany - DORST type used for manufacturing of high complexity sintered parts and mainly of pieces for car gear box. February 10th 1999 was a milestone in Sinterom's evolution: TÜV MANAGEMENT SERVICE GmbH certified its Quality Assurance System.

10.6.Business opportunities

SC IAŞITEX SA has the following strategic business units: Weaving Department – it cannot function independently because of the demand for raw fabric is small and highly fluctuating. As a result, this section must operate integrated with the chemical finishing department. The technical equipment is partly appropriate, the department having both competitive weaving machines and morally and physically used weaving machines.  Chemical Finishing Department – it may function independently as a finished fabric supplier, the supply of raw fabric being provided from Turkey, China, India and Pakistan. The technical equipment is at an adequate level, except for the starches sector, where the dry-starched frames and the condensed machine are below the performance level. An impediment in terms of finishing the imported raw fabrics is the long period of time necessary for the supply which affects negatively the production flexibility.  Ready-made Clothing Department –it may function independently by importing the necessary finished fabrics or by working in lohn system and in this case the fabric is provided by the beneficiary. The department has advanced technical equipment but it is somewhat specialized on the interior decorating.  Energetic Mechanical Department – it cannot function independently because its activity is specialized on very narrow areas: ensuring the utilities for the manufacturing sections, wastewater treatment of chemical pollutants and to maintain and repair the textile machinery.

13.6.Business opportunities

The development strategy of SC SOMES DEJ SA has been adapted to the current economic crisis. The strategic activity in this moment is the paper manufacturing, the pulp becoming unprofitable. As a consequence the pulp line has been stopped (put in stand-by) and the production activity has been set on paper manufacturing. Paper has always been the main profit generating product of the company representing 70% of the profit from sales.

Most of the final products of SC SOMES DEJ SA are exported, the Romanian producers being forced to rise to the standards imposed by other foreign producers. Customer needs and purchasing criteria are about the same but the domestic and foreign markets for paper will be analyzed globally.

For the next period, in its short term strategy, SC SOMES DEJ SA intends to become a zonal player on the paper market delivering its products on local and regional market.

The long-term strategy foresees the modernization of the production lines, including increasing the capacity of pulp and paper production. There are included complex projects whose realization depends on the evolution of pulp and paper market during the international economic crisis.

The position of the company as unique producer on domestic market of paper packing made of virgin fiber (bleached, unbleached) gives the products a major advantage in terms of quality. This does not mean that the introduction of the recycled fiber in certain production recipes is not an important goal, but the products will be segmented according to the customer requests.

The degree of substitution of plastic packaging with paper packaging (according to European legislation) is increasing and this fact should be exploited by the paper manufacturers. In addition these products have short life cycle, which means a continuous and rhythmic demand.
