a)“AmerenIllinois”shallmeanAmerenIllinoisCompanyd/b/aAmerenIllinois.

b)“Application”shallmeantheCustomercompleteddocumentusedtoapplyforcashincentives,programTermsandConditions,andanyotherappropriateapplication-specificdocumentation.

c)“ApplicationGuide”shallmeanthedownloadablefile(PDFformat)thatincludes:directionsforcompletingtheApplication,Customereligibilitycriteria,andanyotherappropriatedocumentation.

h)“Facility”shallmeanasinglepremisethat,ingeneral,consistsofacontiguoustractoflandseparatedbynothingmorethanastreet,alley,orrailroadright-of-way,whereallbuildingsand/orenergy-

consumingdevicesareownedbyasingleCustomer.

i)“NewConstruction”shallincludeconstructionofnewbuildings,change-of-useofexistingbuildingsorland,additionstoexistingbuildings,orwhentwoormorebuildingsystemsarerenovated,suchas

shellandheating,heatingandlighting,etc.

j)“Pre-approval”shallmeanwrittennotificationtoCustomerofamaximumpre-approvedincentiveamountthroughaPre-approvalletter,whichAmerenIllinoisissuesafterreviewoftheCustomer’s

Application.

k)“QualifyingEnergyEfficiencyMeasures(EEMs)”shallmeaneither(i)standardgasorelectricEEMs(i.e.,measuresfoundonanyoftheStandardInitiativeapplications:Lighting,VFD,HVAC,SpecialtyEquipment,SteamTrap,andLeakSurveyandRepair);or(ii)measureseligibleundertheCustomInitiativeapprovedbyAmerenIllinois;or(iii)measuresfoundintheStreetlightingorRetro-commissioning

InitiativeasidentifiedinofficialprogrammaterialsfoundontheAmerenIllinoisEnergyEfficiencywebsite.Technologiesthatpurporttosaveenergythroughreductionofvoltage,demand,orpower

conditioningarenotQualifyingEEMs.EEMsthatdisplaceelectricalenergyuseornaturalgastoanotherfuel(i.e.,fuelswitchingproposals)arenotQualifyingEEMs.Otherthangeothermalprojects,

renewableenergyprojects(solar,windpower,etc.)arealsonoteligibleforincentivesunderthisprogram.Unlessexplicitlypre-approved,EEMsmustbenewandcoveredbywarranties.NaturalGas(gas)

incentivesdonotincludepropaneorbutanemeasures.

l)“StandardInitiative”shallmeanthoseprojectsassociatedwithStandardgasorelectricEEMs.StandardInitiativeincludesthefollowing:Lighting(notNewConstructionLighting),VFD,HVAC,SpecialtyEquipment,SteamTrapand/orLeakSurveyandRepair.SeetheAmerenIllinoisEnergyEfficiencywebsiteforapplications(AmerenIllinoisSavings.com).

2.OWNERSHIPOFCAPACITYAND/ORENVIRONMENTALCREDITS:

a)EEMspurchasedandinstalledinpartthroughincentivesprovidedbythisprogramarethepropertyoftheCustomer,subjecttoanylimitationscontainedwithintheseTermsandConditions.

b)Notwithstandingtheabove,unlessotherwiserequestedinwritingbytheCustomerpriortoinstallationoftheEEMs,AmerenIllinoisholdssolerightstoanysystemcapacitycreditsandenvironmental

creditsthatmaybeassociatedwithEEMsforwhichincentivesfromAmerenIllinoiswerereceived,andAmerenIllinoiscandisposeofthesecreditsinanymannerauthorizedbylaworregulation.

c)InnoeventshallactivityassociatedwithanyenergyorenvironmentalcreditsnotedinSection2(b)resultininterferencewiththeCustomer’ssolediscretiontooperateEEMsasapprovedinhis/her

incentiveaward.

3.PRE-APPROVAL

ForallApplications,AmerenIllinoisisnotobligatedtoawardanyincentivepaymentunlessPre-approvalisgranted.Further,AmerenIllinoiswillnotpayincentivesforanyEEMsorderedoranypurchase

ordergeneratedpriortothedateofthePre-approvalletter,UNLESS,therequestedincentiveislessthan$10,000onanyStandardInitiativeApplication(see1.jabove).Pre-approvalreservesincentivefunds

foraperioduptotheEstimatedCompletionDateprovidedinthePre-approvalletter.AftertheEstimatedCompletionDate,AmerenIllinoismayrevokethePre-approvalletterandassociatedincentive

funds.CustomerisresponsibleforensuringapplicationisaccurateandequipmentmeetseligibilityrequirementsinordertoreceivethePre-approvalincentivepayment.

4.POST-INSTALLATIONVERIFICATION:AmerenIllinoisisnotobligatedtomakeanyincentivepaymentuntilithasperformedasatisfactorypost-installationverification.Thisprovisionmaybewaivedatthe

solediscretionofAmerenIllinois.

5.INCENTIVEPAYMENTAMOUNTS:

a)Incentivecaps(perprogramyearforafacility)aredefinedasfollows:

i)Standard,Custom,andRetro-Commissioningapplications:Electricincentivesarecappedat$500,000perproject.Gasincentivesarecappedat$100,000perproject.

ii)IncentivesawardedundertheStaffingGrantwillbepro-ratedbasedupontheenergysavingsachievedcomparedtotheacceptedsavingsinthestaffinggrantpre-approvalletter,uptothepre-

approvedstaffinggrantincentiveamount.SeetheStaffingGrantApplicationforfurthercriteria.

iii)NewConstructionLightingincentivesarecappedat$100,000.

iv)FeasibilityStudy–themaximumincentivepaymentforasingleFeasibilityStudyiscappedat$20,000.SeetheFeasibilityStudyapplicationforfurtherdetails.

v)LeakSurveyandRepair–thecappedincentiveis$20,000foracompressedairLeakSurveyandRepairproject.SeetheLeaksSurveyandRepairapplicationforfurthercriteria.

vi)Metering&Monitoring–themaximumtotalincentivepaymentforMetering&Monitoringis$22,000.SeetheMetering&Monitoringapplicationforfurtherdetails.

6.MONITORINGANDEVALUATIONFOLLOW-UPVISITS:CustomergrantsAmerenIllinoisandanyofitsagents,therighttomakefollow-upvisits,inspectionsorsurveysoftheCustomer’sfacilityduringthe

36monthsfollowingthecompletiondateoftheprojectatatimeconvenienttotheCustomer.IfAmerenIllinoisdiscoversthattheEEMswerenotactuallyandproperlyinstalledorweresubsequently

disconnectedwithin36monthsafterinstallation,AmerenIllinoisshallbeentitledtomoneydamagesequaltothetotalamountofincentivepaymentsmadeplusinterest.

7.CHANGESIN/CANCELLATIONOFTHEPROGRAM:

a)AmerenIllinoismaychangetheprogramrequirements,incentives,ortheseTerms&Conditionsatanytimewithoutnotice,includingsuspendingacceptanceofApplications,denialofApplicationsalready

received,orterminatingtheprogram.

b)Intheeventofprogramchange,ApplicationsthathavebeengrantedPre-approvalwillbeprocessedtocompletionundertheTerms&ConditionsineffectatthetimeofPre-approvalbyAmerenIllinois.

c)CashincentivesundertheAmerenIllinoisprogramsareofferedonafirst-come,first-servedbasisandaresubjecttoprojectandCustomereligibility,andtheavailabilityoffunds.

9.NOWARRANTIES:AmerenIllinoisdoesnotguaranteetheenergysavingsanditsparent,affiliates,employees,andagentsdonotmakeanyrepresentationsorwarrantiesofanykindregardingtheresults

tobeachievedbytheEEMsortheadequacyorsafetyofsuchmeasures.AmerenIllinoisanditsparent,affiliates,employees,andagentsdonotendorse,guarantee,orwarrantanyparticularmanufacturer,

contractororproduct,anditprovidesnowarranties,expressedorimplied,includinganyimpliedwarrantyofmerchantabilityorimpliedwarrantyoffitnessforanyproductorservices.AmerenIllinoishasno

obligationsregardinganddoesnotendorseorguaranteeanyclaims,promises,work,orequipmentmadeperformedorfurnishedbyanycontractorsorequipmentvendorsthatsellorinstallEEMs.

10.CUSTOMERSHALLPAYALLTAXES:IncentivepaymentsreceivedbytheCustomeroranyThirdPartyPayeeunderthisAgreementmaybetaxablebythefederal,state,andlocalgovernment.The

Customerisresponsiblefordeclaringandpayingallsuchtaxes,regardlessofwhoreceivestheincentive.

a)Exceptasexpresslyprovidedherein,ifeitherAmerenIllinoisortheCustomerdesirestomodifytheseTermsandConditions,themodificationmustbeinwritingandsignedbyanauthorizedrepresentative

ofthepartyagainstwhichenforcementofthemodificationissought.

11.REMOVALOFEQUIPMENT:TheCustomeragrees,asaconditionofparticipationintheprogram,toremoveanddisposeofanyequipmentbeingreplacedbytheEEMsinaccordancewithallapplicable

laws,rules,andregulations.TheCustomerfurtheragreesnottoreinstallanyofreplacedequipmentanywhereinIllinois,ortransferittoanyotherpartyforinstallationinIllinois.

12.CHOICEOFLAWANDDISPUTES.

a)THESETERMSANDCONDITIONS,ORANYOTHERREQUIREMENTOFTHEAPPLICATIONGUIDEORCONDITIONOFINCENTIVEAWARDWILLBEGOVERNEDINALLRESPECTSBYTHELAWS,STATUTES,AND

REGULATIONSOFTHESTATEOFILLINOIS.AMERENILLINOISANDCUSTOMERHEREBYIRREVOCABLYANDUNCONDITIONALLYWAIVEANYRIGHTEITHERSUCHPARTYMAYHAVETOATRIALBYJURYORTO

INITIATEORBECOMEAPARTYTOANYCLASSACTIONCLAIMSINRESPECTOFANYACTION,SUITORPROCEEDINGDIRECTLYORINDIRECTLYARISINGOUTOFORRELATINGTOTHISPROJECT.
