    LEAVE AND LICENSE AGREEMENT.

    THIS AGREEMENT OF LEAVE AND LICENSE is made and enteredinto at MumbaithisBETWEEN.S/ois Indian Inhabitant of

    Mumbai, having Office address at :, hereinafter

    called as THE LICENSOR (which expression shall, wherever the context so requires or

    admits, mean and include his legal heirs, executors, administrators and permitted assigns) of

    LICENSEE (which expression shall, wherever the context so requires or admits, mean andinclude its all stake holders, Officers, and administrators and successors, permitted assigns) of

    WHEREAS the Licensor is seized and possessed of the Premises, admeasuring about Ground

    floor Sq. Ft., first floor Sq. Ft with mazement situate at :

    , hereinafter referred as " Premises"

    AND WHEREAS the Licensee being in need of Premises have approached theLicensor with a request to give on Leave and License basis the said Premises for occupation

    and use of commercial activities by the Licensee, for which request the Licensor has agreed.

    NOW THIS AGREEMENT OF LEAVE AND LICENSE THEREFORE

    WITNESSETH AND IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES

    HERETO AS FOLLOWS:

    1. The License shall be for a period of .Years commencing from., 2012

    to., 2018.

    2. The monthly Rent for the occupation and use of the said Commercial Premises shall

    be Rs. (Rupees ..Only) per month. The ..months monthly

    rent have been paid in advance ofRs. ..(Rupees ..Only)

    through vide Cheque No: Dated:..,2012 in favour

    of. The on completion of first nine months thereafter for every

    six months advance rent will be paid through out the lease period. The on completion

    of every year there will be an % increment in the monthly rent.

    3. The Licensee shall, throughout the term of the License hereby created, deposit and

    keep deposited with the Licensor as and by way of interest free Security Deposit a total

    sum of Rs. (Rupees Only) through vide Bank Cheque

    No: Dt .. 2012 in favour ofat the time ofsigning of this agreement. The said security Deposit shall be refunded by the Licensor

    to the Licensee on the expiry or sooner termination of the License but alter adjusting

    therefrom towards unpaid electricity, telephone payments and unpaid the monthly rent

    if any in respect of the Licensed period in respect of Premises.

    4. In addition to the monthly rent, as stipulated above, the Licensee shall pay for the

    electricity, water, telephone. used in the premises as shown by separate meter and as

    billed by the concerned Firm/Competent Authorities in each. However, the Licensor

    will pay Property related taxes or any other taxes or charges levied by the

    Government Authorities in respect of the said premises.

    5. The Licensor has "No Objection" for the installation of telephone, internet

    connection, other statutory registration like Sales Tax, and other Government

    registration required or to be applied by the Licensee with the Government Authority

    or Authorities concerned. All the necessary documents if required pertaining to the

    premises will be provided by the Licensor to be Licensee. However, all the cost and

    expenses thereof shall be borne and paid by the Licensee only. All the legal and

    financial liabilities will be born by the Licensor only pertaining to above mentioned

    registration and expenses.

    6. The Premises shall be used for commercial activities for the storage and selling of

    leather and synthetic footwear, bags, luggage, footwear components and footwear

    accessories. However, the same premises will be used for Godown and Office

    purpose also and for any Industrial activities legally permitted under the law.

    7. The Licensee undertake not to carry on in the premises any act, which is illegal,

    unlawful and contrary to the laws of the land. The Licensor shall not be responsible

    for any unlawful or illegal activity carried out with the premises by the Licensee.

    8. It is hereby specifically recorded that the Licensee shall not and will not be deemed

    to be in full or exclusive possession of the said Premises and the use and occupation

    of the Licensee will be permissive as a bare only and this agreement shall not in any

    manner be considered as any lease, sub-lease, tenancy, sub-tenancy or confer any

    right, title or interest, whether legal or equitable or beneficial or of whatsoever nature

    in the said premises shall always remain and be deemed to remain in full and absolute

    ownership and in possession of the Licensor.

    9. The Licensee shall keep the interior of the premises, fixtures and fittings, including

    electrical, sanitary and plumbing fixtures therein, if any, in good condition, however

    owing to the use of premises, the reasonable wear and tear including painting will bethere in the premises and its fixture which will be acceptable to the Licensee at the

    time of handling over the premises by the Licensor. The Licensee shall not be

    responsible for any damage by tempest, earthquake, fire, military, mob violence, act

    of God or any other accident due to irresistible force beyond the control of the

    Licensee.

    10. The Licensee shall not make any structural alterations of any kind and also not erect

    or build or permitted too be erected or built on the said premises any constructions

    without the prior permission in writing of the Licensor.

    11. The Licensee shall not do any act or deed which may cause nuisance and annoyanceto the Licensor or to other occupants of the premises in the building wherein the

    premises are situated.

    12. The Licensor shall not be responsible or liable for any theft, loss, damage or

    destruction of any property of the Licensee or of any other person lying in the said

    premises not for any bodily injury or harm to any person in the premises from any

    cause whatsoever.

    13. The License hereby granted is for the Licensee and the Licensee shall not assign,

    transfer or part with the possession of the said Premises or any portion thereof to any

    other person or party.14. The Licensee shall not any time put any claim of tenancy or sub-tenancy or any other

    right or title in or in respect of the Premises under any law presently in force and any

    laws which may be enacted hereafter and this Agreement shall not be construed to

    create any such right whatsoever in favour of the Licensee.

    15. The Licensor shall at all time have the right to enter upon the said premises after

    giving a reasonable in advance intimation in writing during the working hours for the

    purpose of inspection or otherwise and inspect the premises in the presence of the

    Licensee or its authorized representative

    16. At the time of the Licensee vacating the said premises, the Licensee shall be entitledto remove all items of machinery, equipments, goods, furniture, and fixtures and

    fittings belonging to the Licensor and brought into the said premises from time to-3- ( P.T.O )

    time.

    17. On the termination of this Agreement by notice as aforestated, or on the expiry of the

    agreement period. The Security Deposit along with the refund of monthly rent balance

    if any remained with the Licensor will be refunded to the Licensee by the Licensor

    strictly just at the time of handing over the physical possession back to the Licensorand vacate the said premises simultaneously. In case the Licensor is unable to return

    the full security Deposit on the date of handing over and along with refund of paid

    rent being the termination period of vacating the premises by the Licensee to the

    Licensor, in that case possession will be retained by the Licensee till the Security

    Deposit is returned and for this period of retention no monthly rent will be payable to

    the Licensor by the Licensee however at the time of vacating the premises.

    18. The Licensee shall be entitled to during the subsistence of this Agreement terminate

    this Agreement by giving to the Licensor a Sixty days notice in writing, and this

    Agreement will stand terminated on the expiry of the said period of notice from the

    date of giving at the notice.

    19. The possession of the premises has already been handed over to the Licensee as per

    Annexure No. 1 in duplicate enclosed along with the Agreement, which contains the

    lists of fixtures and fittings in the premises duly signed by both the parties giving

    time and date of handing over the physical possession of the premises to the Licensee

    by the Licensor in the presence of two witnesses. One copy each of the Annexure I

    mentioned herein will be kept safe by both the parties till the time of expiry of the

    License.

    IN WITNESS WHEREOF both the Parties hereto have ready and agree on all the terms and

    conditions and subscribed their respective signatures the day, month and the year hereinabove

    written in presence of witnesses.
