1.00 AFFILIATIONS

Softball New Brunswick is an affiliated member of both the Softball Canada and the Eastern Canadian Softball Championship Associations.

2.00 MEMBERSHIP

2.01 All membership into S.N.B. Inc. will be conducted through the regional directors by submitting a request to the same, except for officials who must register through the Provincial Umpire-in-Chief. Membership forms are available by dates listed in the calendar of events.

2.02 Membership Fee Structures:

Membership fee structures will be as follows:

a. [i] Team registrations will be $60.00.

[ii] Affiliated membership fees will be $20.00.

b. Provincial registration will be:

[i] Provincials leading to Nationals in senior, junior and midget fastpitch,plus senior, co-ed and masters slo-pitch: $300.00.

[ii] Provincials leading to Eastern Canadians, adult major: $250.00.

[iii] Provincials leading to Eastern Canadians minor: $250.00.

[iv] Provincial only (not leading to Nationals or Eastern Canadians) major: $225.00 and minor: $200.00.

c. Umpire registrations will be $70.00 per umpire.

EXCEPTION – First year umpires will pay $55.00. Novice Umpires (17 years and under) $25.00

NOTE: Cheques or money orders made payable to S.N.B. Inc. will be accepted for payment of fees; cash will only be accepted when receipts are given.

2.03 Membership Registration Dates:

a. All teams, associations and leagues who want to take part in provincials must be members by July 1st.

b. Registration forms for major and minor provincial must be received by July 1st.

c. Players lists for minor/major provincials must be presented to the S.N.B. Inc. representative at the coach and mangers meeting or before teams play their first game. Attendance at the Coach/Manager Meeting is mandatory.

d. Failure to comply with the above dates will result in teams not being eligible for provincials.

e. Late registrations for provincials are solely at the discretion of the executive/technical director in liaison with the appropriate coordinator and must include a $ 25.00 late registration fee if accepted. That appropriate fines or penalties be imposed upon teams who drop out of Provincial championships on short or no notice. If there is no tournament because of a team dropping out, the other teams get their money back.

3.00 REGULATIONS

3.01 GENERAL REGULATIONS

a. RULES OF PLAY

The rules of play shall be governed firstly by S.N.B. Inc. constitution an by-laws and then by the official rules as set down by Softball Canada.

b. REFERENCES

[iv] Division -Refers to major or minor

[v] Class -Refers to caliber of play (e.g. intermediate “A”)

[vi] Section -Refers to part of a class.

c. PARTICIPATION

[i] All games played in New Brunswick by a registered team are under the jurisdiction of S.N.B. Inc. if a registered umpire is used.

[ii] All umpires must be currently registered with S.N.B. Inc. to participate as officials in provincials.

[iii] All provincial games must have two umpires; all provincial championship games leading to Easterns or Nationals must have three (3) umpires, if available.

(1) Teams registering to participate in provincials will be classified by the regional director from their region and/or the technical director and/or the appropriate provincial coordinator.

(2) Teams that have been reclassified for provincials shall have a right to a hearing; the decision of the three person committee shall be final. All parties involved shall be responsible for their expenses.

[iv] Each team participating in provincials must pay their own expenses.

[v] (1) For provincials, players and teams may register both fastpitch and orthodox and any categories of SloPitch. If successful must choose which Eastern to attend.

EXCEPTIONS – Any player of Junior age or below will be allowed to sign two (2) provincial cards. Intermediate teams will be allowed to sign five (5) or less of these players per team.

(2) Use of illegal player penalty; if a player is found to have participated in two provincials in the same category, then the player and any coach and manager of that player’s team in the second provincial will be immediately suspended for the following two years. If such a player is discovered while participating in their second provincial, all games in which that player participated shall be forfeited to the nonoffending teams.

[vi] All teams are permitted to register seventeen (17) players, with a minimum of eleven (11) for provincials.

EXCEPTION – Masters Men/ Co-ed/ Slo-Pitch (20 players). For insurance purposes 20 names are permitted.

[vii] S.N.B. Inc. will decide proper equipment, helmets and balls for use in provincial play.

NOTE: All major teams going to a provincial leading to an Eastern or National and all minor teams going to provincials must wear the double earflap helmets.

[viii] All teams participating in provincials must have matching numbered tops. Individuals who don‘t comply with this rule can’t play in provincials. If sufficient players necessary to participate in that game don’t have matching numbered tops, then that team won’t be allowed to participate in that game or the balance of that provincial and all games not played shall be forfeit.

NOTE: Exceptions can be granted by the S.N.B. Inc. representative for special circumstances.

[ix] Teams travelling to participate in Nationals must be dressed according to Softball Canada Guidelines.

[x] No elite teams such as Canada Summer Games teams are allowed to participate in provincials.

[xi] Any coaches selected for S.N.B. Inc. elite teams, (e.g. Canada Summer Games teams) must be picked from coaches actively coaching in provincial softball. Coaches for Canada Summer Games teams must be picked three (3) years prior to the Canada Summer Games.

[xii] Participation in Eastern Canadians require:

(1) If the S.N.B. Inc. champion and/or runner-up are unable to attend the Easterns the third (3rd) place team may be invited to attend. The decision to attend minor Easterns must be made within twenty-four (24) hours after the completion of the provincial. The decision to attend major Easterns the following year must be made by JUNE 6th of the following year. This information is to be confirmed by the executive/technical director and provincial coordinator of S.N.B. Inc. and applies to all classes. Teams not fulfilling their commitments will be dealt with by the disciplinary committee (see article 18.03 of the constitution).

(2) Pick-ups for Easterns are a one (1) at a time basis (e.g. provincial winner picks one (1); then next runner-up picks (1) and so on. Players refusing to go shall lose their right to be picked up a second time: also their team loses their turn in the rotation. Pick-ups for minor Easterns must be declared within seventy-two (72) hours of completion of provincials. Pickups for major Easterns must be made by JUNE 6th of the following year.

PLEASE NOTE: Teams from New Brunswick attending MINOR EASTERNS may be ALL-STAR teams.

(3) Orthodox, Slo-Pitch and Fast Pitch major classes will play this year to represent the province the following year at the Easterns.

[xiii] Participation in Nationals require:

(1) To participate in a National teams must register for the appropriate provincial.

(2) Teams picking up players for Nationals must notify the executive/technical director of the names of said players. Notification to be made by the team manager, additions can only be made after winner has been declared, except Senior Men’s. (See Softball Canada Special Operating Rules.)

[xiv] Hosting nationals:

S.N.B. Inc. will decide which teams will play in the Nationals and in which section. The hosting area will be the host team. (See Softball Canada Special Operating Rules.)

3.02 PROVINCIAL REGULATIONS

a. All provincial fastpitch and orthodox games will end after three innings of play if there is a difference of (15) fifteen runs; four and one half or five innings of play if their is a difference of (7) seven runs.

EXCEPTION (i) Slo-pitch=10 (ten) runs after (5) innings.

(ii) Minor Provincial Championships not leading to a National or Eastern Championship, a difference of ten (10) runs after four and one-half or five innings of play.

All Provincial Minor Tournament games must play a minimum of four and one-half or five innings.

b. Home game advantage will be determined by the toss of a coin prior to game time only during the round robin play. After round robin play home game advantage will go to the team with the best won loss record and if tied the higher position will be decided by the tie breaker rule.

c. The tie breaking rule shall be enforced thusly:

[i] If two teams are tied, the team with the win over the other will be declared the higher position.

[ii] If three teams are tied, the positioning of the teams will be declared by the following method:

1. The difference plus or minus of total runs scored between the games of tied teams with a limit of seven runs plus or minus per game. In 4,5,6,7,8 etc. inning games, revert back to 4,5,6,7,8 etc. full innings.

2. If three teams are still tied, the method in (1) will be used for all games played

3. If three teams are still tied the team who has scored the most runs between the tied team games will be declared the higher position.

4. If still tied the most runs scored in all games will declare the higher position.

5. If at any time the highest or lowest positions declared, the remaining two teams will be declared by 3:02 c (i).

[iii] If four teams are tied the tie breaking procedure will follow (3.02 c. [ii]) until the tie is broken to three or two teams. If three teams remain follow (3.02 c. [ii]). If two teams remain follow (3.02 c. [i]).

d. NO TIEBREAKER GAMES will be played for a playoff position; all positions will be decided by the tiebreaker rule 3.02 c.

e. Formats for provincial play shall be:

[i] Two teams – Best of three series to declare champion. Flip for first home game, winner of first game gets second game as home game and must be defeated twice for championship. If third game for championship is necessary, flip for Home Team.

[ii] Three teams – Single round robin; second and third play off, the winner must defeat the first place team twice if undefeated in round robin play.

[iii] Four teams – Single round robin with the bottom team dropping out; team 1 gets a bye; team 2 and 3 playoff, the winner must defeat the first place team twice, if the first place team went through the Round Robin undefeated.

[iv] Five teams – Single round robin with first place team from the round robin getting a bye to the final. Second and third place teams play off, loser gone. The winner plays the first place team for the championship in a one game sudden death final.

EXCEPTION: In provincials leading to Canadian National Tournaments 1st place team must be beaten twice for championship if undefeated in round robin play.

[v] Six teams – two sections of three teams with a single round robin in each section. Next both second place teams from each section play the third place teams from the opposite sections for the last playoff spots, losers out.

Playoffs:

Game 1. Two first place teams from each section play, winner goes to finals and if undefeated must be beaten twice for championship.

Game 2. Winners of the second and third place crossover games play, loser gone.

Game 3. Loser of game 1 versus winner of game 2, loser gone.

Game 4. Winner of game 1 versus winner of game 3 for championship; unless 1st loss for winner of game 1, then repeat of game 4 for championship.

[vi] Seven teams – Two sections, one of three and one of four teams; in section of three teams – single round robin with an extra game between second and third place teams for last playoff spot in that section; in section of four teams – single round robin with top two teams making the playoffs.

Playoffs:

Game 1. Two first place teams from each section play, winner goes to finals and if undefeated must be beaten twice for the championship.

Game 2. Two second place teams from each section play, loser gone.

Game 3. Loser of game 1 versus winner of game 2, loser gone.

Game 4. Winner of game 1 versus winner of game 3, for championship; unless first loss for winner of game 1, then repeat of game 4 for championship.

[vii] Eight teams – Two sections of four teams with a single round robin in each section. Top two teams from each section go to the playoffs.

Playoffs:

Game 1. Two first place teams from each section play, winner goes to final and if undefeated must be beaten twice for the championship.

Game 2. Two second place teams from each section play, loser gone.

Game 3. Loser of game 1 versus winner of game 2, loser gone.

Game 4. Winner of game 1 versus winner of game 3 for championship; unless first loss for winner of game 1, then repeat of game 4 for championship.

[viii] Nine teams – Two sections, one of four teams and one of five teams; single round robin in each section with top two teams from each section going to the playoffs.

Playoffs:

Game 1. Two first place teams from each sections play, winner goes to finals and if undefeated must be beaten twice for the championship.

Game 2. Two second place teams from each section play, loser gone.

Game 3. Loser of game 1 versus winner of game 2, loser gone.

Game 4. Winner of game 1 versus winner of game 3 for championship; unless first loss for winner of game 1 then repeat of game 4 for championship.

[ix] Ten teams – Two sections of five teams, single round robin in each section with the top two teams from each section making the playoffs.

Playoffs:

Game 1. Two first place teams from each section play, winner goes to final and if undefeated must be beaten twice for the championship.

Game 2. Two second place teams from each section play, loser gone.

Game 3. Loser of game 1 versus winner of game 2, loser gone.

Game 4. Winner of game 1 versus winner of game 3 for championship; unless first loss for winner of game 1 then repeat of game 4 for championship.

[x] Should eleven or more teams attend; then S.N.B. Inc. will provide the format.

NOTE: Provincials will only be held for four or more teams unless the provincial leads to an Eastern or a National.

f. [i] All games for fast pitch and orthodox provincials should be played on fast pitch fields.

[ii] Fields for provincials and Easterns should be as close to regulation size as possible; fields for Nationals shall be according to Softball Canada Guidelines.

[iii] Commencing time for provincial games must not be later than 5:00pm or two hours before sundown unless the facility provides lights. Any playoff game starting after 5:00pm or two hours before sundown, and a regulation game where five innings has been played with NO protest on the game due being called to late starting, will be accepted by the association.

g. [i] The successful bidders for a provincial shall abide by the hosting guidelines as set down by S.N.B. Inc.

[ii] S.N.B. Inc. representative and the hosting area is responsible to set up a three man protest committee. One of the three has to be the S.N.B. Inc. representative of that tournament.

h. Hosting guidelines for provincials and Easterns are:

[i] Suitable fields, including backup in case of delays. Written confirmation for using fields for provincial and rain date. Designate one field as central.

NOTE: Provincials only- fields must be available Friday night.

[ii] All field fees.

[iii] Scorekeepers.

[iv] Proper canteen and washroom facilities. (If required to do so.)

[v] Bases and proper field maintenance.

[vi] Place for coaches and managers to meet prior to the start of the provincial.

[vii] Approval by S.N.B. Inc. of all provincial sponsors.

[viii] Approval by S.N.B. Inc. of all gate fees. (S.N.B. Inc. reserves the right to share in all gate receipts.)

[ix] Travel and meals of the officials if qualified officials don’t exist in the hosting area.

[x] In conjunction with the S.N.B. Inc. representative have a member on the three man protest committee.

[xi] Must supply someone to chase home run and foul balls, if possible.

[xii] Host committee may provide individual awards.

S.N.B. Inc. is responsible for (provincial only):

[i] Schedule.

[ii] Awards for winner and runner-up teams.

[iii] Appointment of S.N.B. representative who will: (1) conduct coaches and managers meetings, (2) make all schedule changes and (3) be a member of the protest committee.

[iv] Appointment of an umpire in chief who will: (1) schedule all officials in liaison with S.N.B. Inc. and (2) attend coaches and managers meetings.

[v] Balls for provincial.

[vi] Payment of game fees to officials.

[vii] All protests.

[viii] Decide whether the field is playable prior to provincial and during the provincial in liaison with the designated U.I.C.

[ix] Liaison between sponsors and host committee.

[x] Closing ceremonies will consist of the two finalists lining up along their respective baselines and the S.N.B. Inc. provincial representative presenting the awards (Runner-up award presented first).

i. All awards will be determined by S.N.B. Inc. board of directors on a yearly basis.

J. The S.N.B. Inc. provincial representative shall have one (1) day to send the provincial report to the executive/technical director of S.N.B. Inc. with copies going to APPROPRIATE CO-ORDINATORS from the technical director.

3.03 MINOR REGULATIONS:

a. [i] Minor classes for both boys and girls are as follows; Mites, Squirts, Peewee, Bantam and Midget. Mites and squirts may be co-ed in the boys classes. Minor Co Ed Teams must have a minimum of five (5) girls, with a minimum of three (3) on the field at any given time.

[ii] 1. All classes of softball with age classifications will follow the Softball Canada rule book guidelines.

2. In minor provincials, a team may use a maximum of five players from a lower age level as affiliated players. These players must be designated on the provincial players registration form. All affiliated players must play in their own class if the two provincials fall on the same weekend.

3. All minor teams must have a fully certified softball level 1 coach to participate in provincials leading to Easterns and Nationals.

[iii] 1. In any minor provincial leading to a National, the winner will be declared one year in advance.

2. Any class of minor ball that will be sending a S.N.B. Inc. representative to a National and/or Eastern Canadian playoff, will conduct an open provincial for that class to select REPS. The winner of the provincial plaque will be declared the S.N.B. Inc. champion in that class; the champion and the runner-up may attend the appropriate championships.

[iv] a. When twelve teams or more are registered a “B” division of play will be set up if warranted.

b. Where tournaments are utilized, the following pitching restrictions stand on the use of a pitcher in a one day stand:

Mite and Squirt……………………….eleven (11) innings

Peewee…………………………………..fourteen (14) innings

Bantam…………………………………..seventeen (17) innings

One pitch is the minimum required to constitute an inning pitched. Special exceptions may be given by the assigned S.N.B. Inc. representative. Championship game or games will be open.

c. Minor teams will adhere to the Softball Canada rulebook, By-laws, Special operating rules, Equipment and Playing rules.

EXCEPTION: (i) A maximum of five (5) runs only may be scored in each half of the first four innings. If five runs are scored before three outs, the half inning is over. If three outs occur before five runs are scored, the half inning is over.

(ii) Two hour time limit on Minor Orthodox Provincial Championship Games.

(iii) Squirt Orthodox, no stealing permitted. PeeWee Orthodox, stealing when the ball crosses the plate. Bantam Orthodox, stealing when the ball leaves the pitchers hand.

3.04 MAJOR REGULATIONS:

a. Residence rules:

[i] No player will be eligible to play for any team of S.N.B. Inc. who hasn’t been a continuous resident of their region by may 1st of the current year (exceptions: Resident and Nonresident imports). All players be they resident or imports must be Canadian citizens.

[ii] Players must play for teams within their regions. If no teams exist in the region in which a player resides, they can play with any team in that class.

[iii] Service personal and dependants such as penitentiary guards, mounted police or armed forces personnel transferred into New Brunswick after July 1st are to be allowed to play in provincials; subject to review by the board of directors of S.N.B. Inc. The deadline for these players to register is August 1st.

[iv] Students from in the province are residents of their region of education, unless they return to the region of their parents or if married then the region of their spouse by June 1st.

[v] Out of province New Brunswick students are residents of the region in which their parents reside; if married then the region of their spouse. They must be a continuous resident of New Brunswick.

b. Provincial Import rules:

[i] Teams may have only three imports; only one of which can be a nonresident import; only one of which may be a pitcher.

[ii] A resident import is a player (Junior and above) playing outside their region and advises, in writing, the president of S.N.B. Inc. by June 1st. Any player who makes their intentions known in writing with a team outside their region, must play all provincial ball with that team. The resident import rule doesn’t apply to players in Senior “A” fastpitch provincials.Resident import must put on two Minor Development Clinics if requested by Softball New Brunswick Inc.

EXCEPTION: Any Junior and Midget aged players have the right to play in their classification for provincials. Teams within their region have the first right of refusal. If no team exists in region of habitation then the player may register with one team in classification and then return to their region of residence and play for an intermediate team.

[iii] A nonresident import is a player who wishes to play in New Brunswick but lives in Canada outside of New Brunswick. This player must advise, in writing, S.N.B. Inc.’s president and be in the province by June 1.

[iv] To be eligible for provincials, a player must be a member of S.N.B. Inc. and signed by July 1st.

v. Any team that has a non-resident import must pay Softball New Brunswick Inc. two hundred fifty dollars ($ 250.00), money to used for minor development. Non-resident import must be available to put on two clinics, sites to be determined by Softball New Brunswick Inc.

c. CATEGORIES:

[I] There will be three (3) categories of softball within the structure of S.N.B. Inc.; these categories are fastpitch, orthodox and slo-pitch.

[ii] Each category will develop their own levels of competition; (i.e. classes).

d. SENIOR FORMATS:

[i] In men’s fastpitch the format for Senior “A” ball will be

1. Only teams that register Senior “A” are allowed to compete Senior “A” provincials. Teams aren’t allowed to compete as a team in any other classification; players that register with Senior “A” teams may also register with competitive intermediate teams. A competitive intermediate team may sign no more than three (3) of these players.

2. Teams that qualify for the Senior “A” fastpitch provincial are permitted one (1) pickup from a registered team within their region. Team management must notify the executive technical director forty-eight hours prior to the start of the provincial who their pickup is. All pickups have the right to return and play provincial ball with their club team.

[ii] In women’s fastpitch the format for Senior “A” ball will be:

1. The provincial is open to all teams (no limit on entries). Provincial winner goes to the Senior “A” National the following year.

2. Teams have the right to be ALL-STAR teams; players have the right to return to their club teams for intermediate provincials.

e. COMPETITIONS

[i] Major fastpitch shall have the following classes of provincial ball:

1. Senior “A” Men’s – Open provincial to all Senior “A” registered men’s teams. See by-law 3.04 d. [i].

Senior “A” Women’s – Open provincial to all registered women’s all-star or club teams. See by-law 3.04 d. [ii]

2. Intermediate Men’s has two classes; competitive and recreational. The Competitive Intermediate is an open provincial for team’s competing for the right to represent S.N.B. Inc. at Eastern Canadian Championship.

1st and 2nd place are the Eastern “A” representative.

3rd and 4th place are the Eastern “B” representative.

5th and 6th place are the Eastern “C” representative.

The recreational intermediate is an open tournament for teams competing for a provincial championship only.

Intermediate Women’s is an open provincial to declare winners in three classes of competition; if required. More classes could be added depending upon the amount of teams registered. The regional directors are to classify their teams, subject to the approval of the executive technical director and appropriate coordinator.

Intermediate “A” winner and runner-up to attend Eastern Canadian the following year.

3. Junior Mens/Womens: Open provincial for all Junior teams to declare National representatives for the following year.

4. ORTHODOX

Men’s competition:

Men’s orthodox has open provincials to declare provincial champions in six (6) classes from “A” – “E” and Masters. Winner and runner-up of the “A” provincial both go to the Easterns the following year.

Women’s competition:

Women’s orthodox is an open provincial to declare provincial winners. More classes could be added depending on number of teams registered. Winner and runner-up of the “A” provincial both go to the Easterns the following year.

[ii] SLO-PITCH:

Slo-pitch shall have the following classes of provincial ball.

Senior “A” MENS/WOMENS: Open provincial to be played between August and September for all Senior teams to declare provincial Slo-pitch Champion; with rights to represent the province at the following years National.

Intermediate Men’s/Women’s Competitive leading to out of province competition: Open provincial to be played in July for all intermediate teams not in the Senior classification. Winner and runner-up to attend the Eastern Canadians the following year. Co-ed Slo-pitch; An open provincial to be played between August and September for all Co-ed slo-pitch teams, who qualify under the Softball Canada Guidelines; to declare a provincial champion with rights to represent the province at the following years National.

Masters: An open provincial to be played between August and September for all masters Slo-pitch teams who qualify under the Softball Canada Guidelines to declare the provincial Masters champion with rights to represent the province at the following years Nationals.

Intermediate Men’s/Women’s competitive for provincial only:

An open provincial to all intermediate Slo-pitch teams to declare a provincial winner.

Intermediate Men’s/Women’s Recreational:

An open provincial to all teams who haven’t competed in any competitive provincials.

Intermediate Recreational Slo-pitch:

An open provincial in which deviation of the playing rules will be permitted.

4.00 PROTESTS

[i] All protests, except on interpretation of playing rules , must be made at the coaches/mangers meeting. NO EXCEPTIONS

[ii] Provincial protests are to be decided by the Provincial Protest Committee at the time of the protest.

[iii] All protests must be accompanied by a certified cheque, money order or cash in the amount of One Hundred and Fifty Dollars ($ 150.00) made payable to S.N.B. Inc.

[iv] If the protest is won the money is to be refunded.

[v] All protests should be handled as per Softball Canada Guidelines

[vi] The Association is not to accept collect telephone calls or wires. It shall be the responsibility of the Executive member, to whom the protest is directed to forward itemized statements of protest handled by the association to the manager of the protesting team, if upheld.

[vii] Under no circumstances will S.N.B. Inc. consider itself liable for claims arising from any cause.

[viii] All protests, regarding playing rules, must be made to the plate umpire at the time of the infraction. See Softball Canada RuleBook.

[ix] Teams involved in protest situations, either as protester or protestee, shall provide all information requested by the Provincial Protest Committee.

5.00 SUSPENSIONS AND EXPULSIONS

[i] Any member of S.N.B. Inc. violating the Constitution and Bylaws, or refusing to abide by the decision of the Board of Directors, shall be expelled or suspended.

[ii] Suspension/expulsion shall be considered for anyone betting or improper conduct by players or officers at games under the jurisdiction of the Association.

[iii] Suspension/expulsion shall be considered for anyone offering, agreeing, attempting, or conspiring to lose any S.N.B. Inc. game, or being interested in any pool or wager thereon.

[iv] Suspension/expulsion shall be considered for anyone playing with a team that has been suspended or expelled.

[v] Suspension/expulsion shall be considered for anyone knowingly giving on its list of players any disqualified players. Any player on being reported to the Board of Directors or having demanded money for their service may, if found guilty, be suspended from competition with any affiliated team in this association, and their case, with particulars, reported to Softball Canada authorities. Teams and players who knowingly play against ineligible players and who willingly conceal this knowledge from the association until it shall suit their convenience to use in any protest that may arise, shall then be dealt with accordingly by S.N.B. Inc.

[vi] Suspension/expulsion shall be considered for anyone who:

(1) strikes a S.N.B. Inc representative – PENALTY- They shall be suspended for the (minimum) remainder of the season plus one (1) year.

(2) physically abuses or makes threats to a representative of S.N.B. Inc. – PENALTY – This shall result in an immediate suspension pending investigation by the association and/or Disciplinary Committee of the Association.

[vii] S.N.B. Inc. will recognize suspensions laid down by its members. Such suspensions are open to appeal.

[viii] The suspension of an individual(s) or team(s) by a league, Board of Director member, or under the Umpires Contract of Services, will be recognized, adopted, and enforced by S.N.B. Inc. upon written notification being given to S.N.B. Inc. Notification to be made to Technical Director, Coordinator of the category, Regional Director where incident took place, within twenty-four (24) hours of the decision. A hearing for said party to be held within seventy-two (72) hours. Any such suspension may be immediately appealed to the Disciplinary Committee who will review the matter as soon as possible after notice of the hearing is received by a board member. If no immediate appeal is made the suspension will be reviewed by the Disciplinary Committee at the Annual General Meeting, whichever occurs first.

[ix] Any team that forfeits or any player ejected from a game, in S.N.B. Inc. provincials, possible suspension from the remaining portion of the provincial is at the discretion of the S.N.B. Inc. representative.

6.00 APPEALS

[i] All costs of the appeal shall be paid to the Treasurer of S.N.B. Inc. prior to any hearing. A certified cheque or money order made payable to S.N.B. Inc. in the amount of Three Hundred Dollars (.00) shall accompany the appeal.

[ii] All money shall be returned if any appeal is won.

[iii] A suspension may be appealed by the person(s) under suspension.

[iv] Decisions concerning the Bylaws of S.N.B. Inc. may be appealed using the same format as suspensions.

[v] An appeal Committee, comprises of three (3) of five (5) impartial persons selected by the President or his/her delegate, will meet to hear the appeal. The chairperson of the appeal committee shall be the executive/technical director of S.N.B. Inc. Voting members of the appeal committee may be the vice president, provincial umpire in chief, appropriate coordinator, appropriate regional director, a member of the regional association, a registered officer of the league in good standing or a coach or manager of a team in good standing.

[vi] Members making the appeal must be notified of the date, time, and place of the hearing. Other members who request, or are required to appear at the hearing should be notified as well.

[vii] All evidence for the hearing may be presented in verbal form, but also must be in written form.

[viii] After hearing all the evidence, the Chairman of the hearing shall take whatever action he/she deems appropriate in accordance with the Constitution and Bylaws of S.N.B. Inc. The appealing member and all Board Members shall be advised in writing of the decision within forty-eight (48) hours.

[ix] If the decision of the Appeal Committee is not in accordance with the Constitution and By-laws, and challenged; the Board of Directors have the right to refuse the Appeal Committee’s decision.

7.0 BY-LAW CHANGES

The board of directors, and members wanting to make changes and/or additions to the by-laws must:

[i] Submit same in writing to the executive/technical director thirty (30) days prior to the Annual General Meeting. All proposed by-law changes or additions must have a mover and a seconder with rationale.

[ii] S.N.B. Inc. By-Law changes or additions can only be enacted by the board at the winter board meeting of S.N.B. Inc. on odd numbered years.

EXCEPTION: Housekeeping changes can be made whenever deemed necessary by the board of S.N.B. Inc.

1:00 NAME

1:01 The name of the organization shall be “Softball New Brunswick Inc.” (in French: Balle Molle Nouveau Brunswick Inc.) and herein the Constitution referred to as the “Association”.

2:00 JURISDICTION

2:01 The Association recognizes all amateur sports and plans jurisdiction over and recognizes its responsibilities as the governing body of Softball, which includes Fast-Pitch, Orthodox and Slo-Pitch softball as played by members of this Association in New Brunswick or in such places as may be designated by the Association.

3:00 AIMS AND OBJECTIVES

3:01 Foster, develop, promote and regulate the playing of amateur Softball.

3:02 Provide the game of Softball with proper safeguards in accordance with the spirit of true sportsmanship.

3:03 Encourage all eligible potential members to affiliate with the Association.

3:04 Establish and maintain by allied membership, alliances with associations devoted wholly or partially to the promotion of the game of Softball.

3:05 Establish a set of uniform rules for the playing of Softball throughout New Brunswick. The rules of Play shall be governed firstly by S.N.B. Inc. Constitution and Bylaws; then by official Rules as set down by Softball Canada.

3:06 Instigate, promote, and regulate Provincial Championships.

3:07 Represent New Brunswick on Softball councils or associations where deemed practical and necessary.

3:08 Do all such things as may be deemed necessary for the proper promotion and jurisdiction of Softball throughout New Brunswick.

3:09 Assist in the establishment of Regional bodies in the Province (See Art. 26:00)

3:10 The Association shall be carried on without the purpose of gain to its members and any profit or other accreditation to the Association shall be used in promoting its objectives.

3:11 Members of the Board of Directors and the Regional Board of Directors must conduct themselves in a proper and sober manner at all times while in the Public eye during Softball functions and performing official duties.

4:00 MEMBERSHIP

4:01 Membership shall be granted to all who agree to abide and comply with Constitution and By-Laws of the Association.

4:02 The term of membership shall begin upon registration and payment of annual fees and exist until the next registration date (February 1 – January 31).

4:03 Anyone elected to the Board of Directors shall be a member of the Association.

4:04 All affiliated players, coaches, managers, and umpires shall be members of the association.

4:05 Anyone receiving a Lifetime Membership in the Association, shall be a member.

4:06 Anyone elected to a League or Regional Association, who is affiliated, shall be a member.

4:07 Anyone elected to a National or International Softball Association, shall be a member.

4:08 Any member of the Association may terminate their membership by forwarding a registered letter indicating such an intent to the Office of the Provincial Association.

4:09 If a member is under suspension by the Association, notification of membership termination by the member does not alter the term of suspension. Termination does not entitle the member to any refund of membership fees.

5:00 LIFE MEMBERSHIP

5:01 Life Membership may be awarded to the individuals who have rendered exceptional services in the Association.

5:02 All recommendations for Life Membership are to be filed with and must be in the hands of the Executive Director thirty (30) days prior to the Annual General.

5:03 Life Membership may be awarded on the approval of two-thirds (2/3) of the voting members in attendance at an Annual General Meeting.

5:04 Life Members have no vote nor shall they be entitled to receive expenses for attendance at Annual General Meetings.

6:00 MEMBERSHIP DUES

6:01 Membership fees shall be determined by the Annual General Meeting as directed by the Annual General Meeting, and shall be in an amount as is deemed necessary to carry out the continued operations of the Association. Such dues shall be published in the By-Laws of the Association.

6:02 All registration fees be adjusted, if applicable, to the Goods and Services Tax (GST). Umpires included.

6:03 Umpire registration and game fees are to be approved by the Softball New Brunswick Board of Directors.

7:00 BORROWING POWERS

7:01 The Association may exercise any borrowing powers conferred upon it by any Act of Parliament governing this body corporate without share capital and only with the approval of seventy-five percent (75%) of the Board of Directors, at any Board of Directors meeting.

8:00 CUSTODY AND USE OF SEAL

8:01 The Seal of the Association shall remain in the custody of the Treasurer.

8:02 The Seal of the Association shall not be affixed to any contracts, documents, or any instruments in writing requiring the signature of the Association except in the Presence of:

(a) The President and other Members of the Board of Directors.

(b) The President or such other Officer of the Association that may be authorized from time to time by resolution of the Board of Directors.

9:00 SIGNATURE AND CERTIFICATION OF DOCUMENTS

9:01 Contracts, documents, or any instruments in writing requiring the signature of the Association, shall be signed by the President and such other Officers of the Association that may be authorized from time to time by resolution of the Board of Directors, and all contracts, documents and instruments in writing so signed shall be binding upon the Association without further authorization or formality.

9:02 The Administrative Branch (Past President, Vice President as Chairperson, Provincial Umpire-in-Chief, Executive/Technical Director, Minor, Fast Pitch, Orthodox, Slopitch, Coordinators) shall

have the power from time to time by special resolution to appoint an Officer or Officers on behalf of the Association either to sign contracts, documents in writing generally or to sign specific contracts, documents and instruments in writing.

10:00 AUDIT OF BOOKS (See Art. 21:03 f.)

10:01 The books and records of the Association shall be kept by the Treasurer and/or his/her appointee under strict supervision of the Treasurer.

10:02 The books and records shall be presented each year thirty (30) days prior to the Annual General Meeting for auditing by an independent auditor.

10:03 The independent auditor shall be designated by the Board of Directors at its first regular meeting following the Annual General Meeting.

11:00 BOOKS AND RECORDS

11:01 The books and records of the Association may be inspected by members of the Association by appointment made through the office of the President, at the Provincial Office of the Association. The expenses of travel, housing, and loss of time inspecting the books shall be borne by the requesting member.

11:02 In the event of dissolution or winding-up of the Association, all its remaining assets, after payment of liabilities, shall be distributed to one or more recognized charitable organizations in the Province as determined by the former Board of Directors of Softball New Brunswick Inc.

12:00 AMENDMENTS OF CONSTITUTION

12:01 Amendments to the Constitution shall be made by resolution from member or Officer or duly appointed Board of Directors.

12:02 A Notice of Motion to amend the Constitution must be forwarded in writing to the Executive Director thirty (30) days prior to the start of the Annual General Meeting.

12:03 A two-thirds(2/3) majority of registered eligible voting members at the Annual General Meeting.

13:00 PROVINCIAL OFFICE

13:01 The Provincial Office of Association shall be in the Province, and at such place as the Board of Directors may from time to time determine.

14:00 REMUNERATION OF EXECUTIVE

14:01 The remuneration, if any, to be paid to the Executive and/or Technical Director(s) of the Association shall be in the amount as the Board of Directors of the Association may from time to time determine.

15:00 PERIOD OF OFFICE

15:01 Members of the Board of Directors of the Association shall continue office until their respective successor is duly elected or appointed as provided in the Constitution of the Association.

16:00 UMPIRES

16:01 The objective is to bring Softball Officials (Umpires) closer to the Sports Governing Body as recommended by Softball Canada. In addition, transferring administrative and financial matters on to the Association – greater effort to further improve the caliber of umpires and officiating can be made.

17:00 CHAMPIONSHIPS

17:01 Provincial Championships shall be governed by the By-Laws and Constitution of the Association.

18:00 DUTIES OF TECHNICAL AND ADMINISTRATIVE BRANCHES

18:01 The technical and Administrative Branches shall conduct the business of the Association between the Annual General Meetings of the Association.

18:02 The Branches shall carry out such duties as required by Letters Patent, the Constitution and By-Laws.

18:03 The Discipline Committee, comprised of three (3) of the following four (4) Board members: Vice-President, Technical Director, Provincial Umpire-in-Chief, and/or appropriate Co-ordinator, may suspend players, managers, coaches, or umpires which are members of the association that don’t abide by the Association’s Constitution and/or By-Laws.

19:00 APPEALS

19:01 All requests for appeals must be done, in writing, through the Softball New Brunswick Inc. provincial office, to the President.

19:02 All appeals will be conducted in accordance with Softball New Brunswick Inc. By-Law No. 13:00.

20:00 BOARD OF DIRECTORS AND DUTIES

20:01 The Officers of the Board of Directors shall be immediate Past-President, President, Vice-President, Treasurer, Umpire-in-Chief, Fast Pitch Co-Ordinator, Minor Co-Ordinator, Orthodox Co-

Ordinator, Slo-Pitch Co-Ordinator, Technical Director, Executive Director, and the eight (8) Regional Directors. Softball New Brunswick Inc. Board of Directors shall meet:

-At the beginning of the season (to establish priorities and give direction- Jan meeting)

- Mid June to evaluate the years operations to date and prepare for Provincial Tournaments

-Prior to the start of S.N.B. Inc. Annual General Meeting

-After the S.N.B. Inc. Annual General Meeting to complete softball activities for the current year.

-If necessary as provided in Article 22:00

20:02 The Board of Directors shall send all expense reports to the President for approval (provincial expenses only).

20:03 The Board of Directors shall promote Softball in every region at all levels.

20:04 The Board of Directors shall be responsible for the establishment of policies and priorities of the Association.

20:05 The Board of Directors shall make amendments to the By-Laws where deemed necessary.

20:06 The Board of Directors shall co-ordinate the operation of Softball within each region (with a view towards the yearly evaluation).

20:07 The Board of Directors shall recommend projects based on the identified needs within each region.

20:08 The Board of Directors shall make decisions which are in the best interests of Softball in the Province; they must avoid all conflict of interest situations.

20:09 The Board of Directors shall be prepared to be involved in committee work.

21:00 OFFICERS AND DUTIES

21:01 PRESIDENT

(a) The President shall be elected at the Annual General Meeting for a two (2) year term beginning and ending on odd number years.

(b) The President shall be an officer of the Board of Directors of Softball New Brunswick Inc. without voting privileges unless there is the event of a tie. Exception: The President shall be allowed an independent vote for the election of officers.

(c) The President shall preside at annual, executive, board, or committee meetings and be an ex-officio member of all committees.

(d) The President shall oversee the development and administration of Softball in the Province of New Brunswick.

(e) The President shall have the authority to appoint any executive member to assist or carry out his/her duties.

(f) The President shall have the authority to appoint honorary officers, without voting powers to assist him/her in his/her duties.

(g) The President shall appoint any person on an interim basis to fill any vacancy on the Board of Directors.

(h) The President shall act as a delegate and represent Softball New Brunswick Inc. at Softball Canada meetings with expenses paid by Softball New Brunswick Inc.

(i) The President shall co-ordinate agendas for all meetings.

(j) The President shall attend Regional functions as requested.

(k) The President shall prepare a written report on Softball matters thirty (30) days prior to the Annual General Meeting.

(l) The President shall be responsible for the enforcement of Softball New Brunswick Inc.’s Constitution and By-Laws.

(m) The President must fill any vacant position on the Board of Directors within sixty (60) days of the position becoming vacant.

1:02 VICE-PRESIDENT

(a) The Vice-President shall be elected at the Annual General Meeting for a two (2) year term beginning and ending on even number years.

(b) The Vice-President shall be a member of the Board of Directors of Softball New Brunswick with full voting privileges.

(c) The Vice-President shall assist the President in the discharge of his/her duties. In the absence or disability of the President, he/she shall act in his/her place.

(d) The Vice-President shall be assigned certain duties with regard to the business of Softball New Brunswick Inc.

(e) The Vice-President shall have the authority to appoint honorary officers, without voting powers, to assist him/her in his/her duties.

(f) The Vice-President shall prepare a written report on Softball matters thirty (30) days prior to the Annual General Meeting.

21:03 TREASURER

(a) The Treasurer shall be elected at the Annual General Meeting for a two (2) year term beginning and ending on odd years.

(b) The Treasurer shall be a member of the Board of Directors of Softball New Brunswick Inc. with full voting privileges.

(c) The Treasurer shall keep an accurate record of all monies received and spent, with a dual signature bank account. The other signing officer to be the President or Vice-President.

(d) The Treasurer shall submit annually the financial records and receipts of disbursements to an accredited accounting firm for audit, thirty (30) days prior to the Annual General Meeting.

(e) The Treasurer shall be bonded, and submit his/her audited financial report to Softball New Brunswick Inc.’s Annual General Meeting.

(f) The Treasurer shall have the authority to appoint an honorary officer(s), without voting powers, to assist him/her in his/her duties.

21:04 REGIONAL DIRECTORS

(a) A Regional Director for each region of Softball New Brunswick Inc., shall be elected at the Annual Meeting of the Regional Association for a two (2) year term. Regional meetings must be held prior to Softball New Brunswick Inc. Annual General Meeting. Failure to hold meeting as required may result in Regional Director position becoming vacant and will be filled by President of Softball New Brunswick Inc. in accordance with Article 21:01(m).

(b) Regional Directors shall be members of the Board of Directors of Softball New Brunswick Inc. with full voting privileges.

(c) Regional Directors shall promote, supervise, and oversee all matters pertaining to Softball within their respective regions.

(d) Regional Directors shall co-ordinate and supervise regional competitions leading to Provincial Softball Championships.

(e) Regional Directors shall encourage team umpire registration.

(f) Regional Directors shall be responsible for the classification of teams within their respective regions, subject to Softball New Brunswick Inc. technical committee approval.

(g) Regional Directors shall be responsible for their Regional Profile and Profile meeting.

(h) Regional Directors shall prepare a written report on Softball matters pertaining to their respective region thirty (30) days prior to the Annual General Meeting of Softball New Brunswick Inc.

(i) Regional Directors shall provide Softball New Brunswick Inc. with financial statement, as part of their annual report, prior to receiving funds from Softball New Brunswick Inc.

(j) Regional Directors shall submit a Regional Development Profile to the Executive/Technical Director of Softball New Brunswick Inc. by the Winter Meeting; in order to receive fifty percent (50%) funding for approved Regional Projects.

(k) Regional Directors shall submit an itemized Annual Report of Regional Development Activities to the Executive Director of Softball New Brunswick Inc. by the thirtieth (30) of September each year to receive remainder of Regional Funding approved for Regional Projects.

(l) Regional Directors must form a Regional Association if requested to do so by Softball New Brunswick Inc. Board of Directors

21:05 UMPIRE-IN-CHIEF

(a) The Umpire-in-Chief shall be elected by the Umpires Division of Softball New Brunswick Inc. at the Annual General Meeting for a two (2) year term. Beginning and ending in even years.

(b) The Umpire-in-Chief shall be a member of the Board of Directors of Softball New Brunswick Inc. with full voting privileges.

(c) The Umpire-in-Chief shall be the playing rules and equipment interpreter for Softball New Brunswick Inc.

(d) The Umpire-in-Chief shall enforce the Constitution and By-Laws of the Umpires Division.

(e) The Umpire-in-Chief shall be responsible for the development of officials in the Province. He/she shall be responsible to see that all programs are properly carried out.

(f) The Umpire-in-Chief shall co-ordinate the scheduling of clinics and other officiating programs throughout the Province.

(g) The Umpire-in-Chief shall liaise with Softball Canada to ensure the best delivery of services.

(h) The Umpire-in-Chief shall liaise on a regular basis with the Technical Directors for approval.

(i) The Umpire-in-Chief shall present annual programs to the Board of Directors for approval.

(j) The Umpire-in-Chief shall have the authority to appoint officers without voting powers, to assist him/her in his/her duties.

(k) The Umpire-in-Chief shall be responsible for registered umpires doing all provincial play-offs.

(l) The Umpire-in-Chief shall prepare a written report on all Softball matters pertaining to the Umpires Division thirty (30) days prior to the Annual General Meeting of Softball New Brunswick Inc.

21:06 COORDINATORS (FAST PITCH, ORTHODOX, SLO-PITCH, MINOR)

(a)coordinators shall be elected at their respective workshops at the Annual General Meeting with full voting privileges for a two (2) year period with Minor and Slo-Pitch Coordinators elected on even numbered years and Orthodox and Fast Pitch Coordinators on the odd numbered years.

(b) Coordinators shall be members of the Board of Directors of Softball New Brunswick Inc. with full voting privileges.

(c) Co-ordinators shall reside at their respective Workshop/Meetings.

(d) Co-ordinators shall oversee and recommend all Provincial Play-off structures.

(e) Co-ordinators shall set the dates for all Provincial Play-off formats.

(f) Co-ordinators shall co-ordinate regional participation at the Provincial level for skill programs.

(g) Co-ordinators shall present their annual program as directed by their respective workshops to the Board of Directors of S.N.B. Inc. at the January Board Meeting for consideration and possible implementation.

(h) Co-ordinators shall liaise on a regular basis with the Technical Director for information exchange.

(i) Co-ordinators shall co-ordinate and contribute information regarding their respective categories for inclusion in Softball New Brunswick Inc.’s Newsletter.

(j) Co-ordinators shall prepare written reports of projects as required.

(k) Co-ordinators shall prepare a written report on softball matters pertaining to their respective categories thirty (30) days prior to the Annual General Meeting of Softball New Brunswick Inc.

(l) The appropriate Pitch Co-ordinators shall be member of the Selection Committee Responsible for selection of Coaches and Managers for elite teams.

21:07 TECHNICAL DIRECTOR

(a) The Technical Director shall be hired each year from May to April. He/she shall report directly to the President.

(b) The Technical Director shall be member of the Board of Directors of Softball New Brunswick Inc. with no voting privileges.

(c) The Technical Director shall be paid an honorarium and shall perform duties as laid down in his/her job description.

(d) The Technical Director’s job description and honorarium shall be updated yearly prior to his/her hiring.

(e) The Technical Director shall be responsible for the day-to-day operations of the Technical Branch of the Board of Directors.

(f) The Technical Director shall ensure effective and expedient decision making.

(g) The Technical Director shall be the media liaison regarding Softball New Brunswick Inc. operation procedures.

(h) The Technical Director shall ensure equitable representation of all Softball at the Provincial level.

(i) The Technical Director shall supervise an implement all Technical Programs of Softball New Brunswick Inc.

(j) The Technical Director shall prepare all Play-Off schedules based on the input of the Co-ordinators of their respective categories in accordance with the By-Laws with final approval.

(k) The Technical Director shall prepare a monthly report of his/her expenses pertaining to the Board of Directors and forward same to the President.

(l) The Technical Director shall prepare a written report on technical matters thirty (30) days prior to the Annual General Meeting of Softball New Brunswick Inc.

(m) The Technical Director shall be responsible to declare all player eligibility for out of Province competition as required.

21:08 EXECUTIVE DIRECTOR

(a) The Executive Director shall be hired each year from May to April. He/she shall report directly to the President.

(b) The Executive Director shall be a member of the Board of Directors of Softball New Brunswick Inc. with no voting privileges.

(c) The Executive Director shall be paid an honorarium and shall perform duties as laid down in his/her job description.

(d) The Executive Director’s job description and honorarium shall be updated yearly prior to his/her hiring.

(e) The Executive Director shall oversee the administration of all estates of Softball.

(f) The Executive Director shall keep accurate record of teams, players, leagues, and umpires registration.

(g) The Executive Director shall keep an updated and accurate mailing list.

(h) The Executive Director shall produce reports on matters pertaining to registration upon request by the Board of directors.

(i) The Executive Director shall be bonded.

(j) The Executive Director shall be responsible for inventory of supplies of Softball New Brunswick Inc.

(k) The Executive Director shall prepare a monthly report of his/her expenses pertaining to the Board of Directors and forward same to the President.

(l) The Executive Director shall prepare a written report on administrative matters thirty (30) days prior to the Annual General Meeting of Softball New Brunswick Inc.

(m) The Executive Director is responsible for the compiling of reports from the Board of Directors and compiling of same for the Annual General Meeting.

22:00 MEETINGS

22:01 The Annual General Meeting of Softball New Brunswick Inc. shall be held prior to Thanksgiving for the purpose of bringing information back from Softball Canada’s Annual General Meeting. Regional Association meetings to be held prior to Annual General Meeting.

22:02 The Annual General Meeting shall rotate its location from zone to zone, from year to year as follows: West – South – North – East.

22:03 The President of Softball New Brunswick Inc. shall preside at all meetings of Softball New Brunswick Inc., with usual privileges.

22:04 All elections shall take place at Softball New Brunswick’s Annual General Meeting. Nominations to office of Softball New Brunswick Inc. shall be made from the floor with the term of office as described in Article 21:00. Nominees may be present. If not present Nominee must give

letter of approval to let their name stand for election to Executive Director. There shall be no Proxy Vote Procedures; (voting members must be present).

22:05 At the Annual General Meeting fifteen (15) members shall form a quorum. At Board of Directors meetings, ten (10) shall form a quorum.

22:06 The President can call a special general meeting of Softball New Brunswick Inc. at any time, or must do so at the request of nine (9) registered voting members on receipt of written reason for said meeting duly signed by the voting members. The special general meeting shall be called within seven (7) days of receipt of such letter. (All expenses shall be paid by the requesting voting members in advance).

22:07 The Minutes of all meetings shall be sent to all registered voting members of Softball New Brunswick Inc. no later than six (6) weeks after the meeting. This includes the Annual General Meeting and Board of Directors meetings.

23:00 VOTING MEMBERS

23:01 Each member of the Board of Directors, per Article 21:00, shall have one (1) vote each at all meetings, except the technical Director and Executive Director.

23:02 Each registered team in good standing shall have one (1) vote each at each meeting.

23:03 Each Registered League in good standing, whose teams are all members, shall have one (1) vote.

23:04 Each elected member of a Regional Association is to have one (1) vote at Softball New Brunswick’s Annual General Meeting excluding Regional Umpire Associations. (See Umpires Constitution 2:02)

23:05 A Nominating Committee of Softball New Brunswick Inc. will be formed to bring forth names for various elected positions.

24:02 Written reports that were received and duplicated prior to the Annual General Meeting are to be circulated upon registering as a voting delegate.

25:00 RULES OF ORDER

The following are the regulations for the governing of the Association during the time of business, and business shall be disposed of in the following order:

25:01 NO PERSON SHALL BE PERMITTED TO SPEAK AT THE ANNUAL GENERAL MEETING UNLESS THEY ARE REGISTERED AS AN OFFICIAL VOTING DELEGATE OR GIVEN PERMISSION BY THE CHAIR.

25:02 All motions shall be decided by a majority of votes, except where a two-thirds (2/3) vote governs. In the cases of a tie, the Presiding Officer shall have a casting vote.

25:03 No delegate shall speak twice on the same subject without permission of the chair, unless in explanation, or mover of the reply.

25:04 A delegate desiring to speak or submit a motion shall rise and remain standing until recognized by the chair. Upon being recognized the delegate shall respectively address that chair stating his name and shall confine his remarks to the question and shall not be interrupted unless on a point of order.

25:05 Upon a point of order being raised while a delegate is speaking or when called to order by the Presiding Officer, the delegate shall at once take his seat when the point of order shall then be stated by the delegate objecting. The Presiding Officer shall decide, without debate, on the point of order. He will then instruct the delegate.

25:06 No amendment to a motion shall be in order after an amendment to an amendment.

25:07 When a motion is under debate, no motion shall be entertained except to lay on the table, or amend, and these motions shall take precedence in the order named.

25:08 an amendment which changes entirely the subject of the original motion shall not be entertained as an amendment or substituted for the motion under debate.

25:09 No delegate, except one who has voted with the majority, shall be allowed to move for a reconsideration and in this connection the word “majority” shall apply to the vote by which the question was first decided.

25:10 After the motion has been stated by the Presiding Officer, it becomes the property of the Association, but may be withdrawn at any time previous to amendment upon agreement of mover and seconder.

25:11 There shall be no debate upon any question after it has been put to a vote by the Presiding Officer.

25:12 when a vote is called it shall be taken by each delegate holding up his right hand, unless a standing vote be called for. On a standing vote, the Presiding Officer shall count aloud those standing against and the vote shall be decided by the majority.

26:00 REGIONAL ASSOCIATIONS

26:01 Softball New Brunswick Inc. promotes the concept of eight (8) Regional Associations within the Province. Any region with over fifty (50) members must form a Regional Association.

26:02 Each Regional Association will develop their own Executive conduct their own meetings, open their own bank account, develop inter-zone programs and events, and act as the Softball New Brunswick Inc. agent in terms of provincial affairs.

26:03 The Regional Association will select their own Regional Director for a two year term beginning and ending on odd number years.

26:04 The Regional Director will present an annual report at the Softball New Brunswick Inc. Annual General Meeting – see Article 21:04 (j).

26:05 The Regional Association, upon receipt of their Annual Report and Financial statement, shall receive monies due to be returned to the Region.

1.00 AFFILIATIONS

Softball New Brunswick is an affiliated member of both the Softball Canada and the Eastern Canadian Softball Championship Associations.

2.00 MEMBERSHIP

2.01 All membership into S.N.B. Inc. will be conducted through the regional directors by submitting a request to the same, except for officials who must register through the Provincial Umpire-in-Chief. Membership forms are available by dates listed in the calendar of events.

2.02 Membership Fee Structures:

Membership fee structures will be as follows:

a. [i] Team registrations will be $60.00.

[ii] Affiliated membership fees will be $20.00.

b. Provincial registration will be:

[i] Provincials leading to Nationals in senior, junior and midget fastpitch,plus senior, co-ed and masters slo-pitch: $300.00.

[ii] Provincials leading to Eastern Canadians, adult major: $250.00.

[iii] Provincials leading to Eastern Canadians minor: $250.00.

[iv] Provincial only (not leading to Nationals or Eastern Canadians) major: $225.00 and minor: $200.00.

c. Umpire registrations will be $70.00 per umpire.

EXCEPTION – First year umpires will pay $55.00. Novice Umpires (17 years and under) $25.00

NOTE: Cheques or money orders made payable to S.N.B. Inc. will be accepted for payment of fees; cash will only

be accepted when receipts are given.

2.03 Membership Registration Dates:

a. All teams, associations and leagues who want to take part in provincials must be members by July 1st.

b. Registration forms for major and minor provincial must be received by July 1st.

c. Players lists for minor/major provincials must be presented to the S.N.B. Inc. representative at the coach and mangers meeting or before teams play their first game. Attendance at the Coach/Manager Meeting is mandatory.

d. Failure to comply with the above dates will result in teams not being eligible for provincials.

e. Late registrations for provincials are solely at the discretion of the executive/technical director in liaison with the appropriate coordinator and must include a $ 25.00 late registration fee if accepted. That appropriate fines or penalties be imposed upon teams who drop out of Provincial championships on short or no notice. If there is no tournament because of a team dropping out, the other teams get their money back.

3.00 REGULATIONS

3.01 GENERAL REGULATIONS

a. RULES OF PLAY

The rules of play shall be governed firstly by S.N.B. Inc. constitution an by-laws and then by the official rules as set down by Softball Canada.

c. PARTICIPATION

[i] All games played in New Brunswick by a registered team are under the jurisdiction of S.N.B. Inc. if a registered umpire is used.

[ii] All umpires must be currently registered with S.N.B. Inc. to participate as officials in provincials.

[iii] All provincial games must have two umpires; all provincial championship games leading to Easterns or Nationals must have three (3) umpires, if available.

(1) Teams registering to participate in provincials will be classified by the regional director from their region and/or the technical director and/or the appropriate provincial coordinator.

(2) Teams that have been reclassified for provincials shall have a right to a hearing; the decision of the three person committee shall be final. All parties involved shall be responsible for their expenses.

[iv] Each team participating in provincials must pay their own expenses.

[v] (1) For provincials, players and teams may register both fastpitch and orthodox and any categories of SloPitch. If successful must choose which Eastern to attend.

EXCEPTIONS – Any player of Junior age or below will be allowed to sign two (2) provincial cards. Intermediate teams will be allowed to sign five (5) or less of these players per team.

(2) Use of illegal player penalty; if a player is found to have participated in two provincials in the same category, then the player and any coach and manager of that player’s team in the second provincial will be immediately suspended for the following two years. If such a player is discovered while participating in their second provincial, all games in which that player participated shall be forfeited to the nonoffending teams.

[vi] All teams are permitted to register seventeen (17) players, with a minimum of eleven (11) for provincials.

EXCEPTION – Masters Men/ Co-ed/ Slo-Pitch (20 players). For insurance purposes 20 names are permitted.

[vii] S.N.B. Inc. will decide proper equipment, helmets and balls for use in provincial play.

NOTE: All major teams going to a provincial leading to an Eastern or National and all minor teams going to provincials must wear the double earflap helmets.

[viii] All teams participating in provincials must have matching numbered tops. Individuals who don‘t comply with this rule can’t play in provincials. If sufficient players necessary to participate in that game don’t have matching numbered tops, then that team won’t be allowed to participate in that game or the balance of that provincial and all games not played shall be forfeit.

NOTE: Exceptions can be granted by the S.N.B. Inc. representative for special circumstances.

[ix] Teams travelling to participate in Nationals must be dressed according to Softball Canada Guidelines.

[x] No elite teams such as Canada Summer Games teams are allowed to participate in provincials.

[xi] Any coaches selected for S.N.B. Inc. elite teams, (e.g. Canada Summer Games teams) must be picked from coaches actively coaching in provincial softball. Coaches for Canada Summer Games teams must be picked three (3) years prior to the Canada Summer Games.

[xii] Participation in Eastern Canadians require:

(1) If the S.N.B. Inc. champion and/or runner-up are unable to attend the Easterns the third (3rd) place team may be invited to attend. The decision to attend minor Easterns must be made within twenty-four (24) hours after the completion of the provincial. The decision to attend major Easterns the following year must be made by JUNE 6th of the following year. This information is to be confirmed by the executive/technical director and provincial coordinator of S.N.B. Inc. and applies to all classes. Teams not fulfilling their commitments will be dealt with by the disciplinary committee (see article 18.03 of the constitution).

(2) Pick-ups for Easterns are a one (1) at a time basis (e.g. provincial winner picks one (1); then next runner-up picks (1) and so on. Players refusing to go shall lose their right to be picked up a second time: also their team loses their turn in the rotation. Pick-ups for minor Easterns must be declared within seventy-two (72) hours of completion of provincials. Pickups for major Easterns must be made by JUNE 6th of the following year.

PLEASE NOTE: Teams from New Brunswick attending MINOR EASTERNS may be ALL-STAR teams.

(3) Orthodox, Slo-Pitch and Fast Pitch major classes will play this year to represent the province the following year at the Easterns.

[xiii] Participation in Nationals require:

(1) To participate in a National teams must register for the appropriate provincial.

(2) Teams picking up players for Nationals must notify the executive/technical director of the names of said players. Notification to be made by the team manager, additions can only be made after winner has been declared, except Senior Men’s. (See Softball Canada Special Operating Rules.)

[xiv] Hosting nationals:

S.N.B. Inc. will decide which teams will play in the Nationals and in which section. The hosting area will be the host team. (See Softball Canada Special Operating Rules.)

3.02 PROVINCIAL REGULATIONS

a. All provincial fastpitch and orthodox games will end after three innings of play if there is a difference of (15) fifteen runs; four and one half or five innings of play if their is a difference of (7) seven runs.

EXCEPTION (i) Slo-pitch=10 (ten) runs after (5) innings.

(ii) Minor Provincial Championships not leading to a National or Eastern Championship, a difference of ten (10) runs after four and one-half or five innings of play.

All Provincial Minor Tournament games must play a minimum of four and one-half or five innings.

b. Home game advantage will be determined by the toss of a coin prior to game time only during the round robin play. After round robin play home game advantage will go to the team with the best won loss record and if tied the higher position will be decided by the tie breaker rule.

c. The tie breaking rule shall be enforced thusly:

[i] If two teams are tied, the team with the win over the other will be declared the higher position.

[ii] If three teams are tied, the positioning of the teams will be declared by the following method:

1. The difference plus or minus of total runs scored between the games of tied teams with a limit of seven runs plus or minus per game. In 4,5,6,7,8 etc. inning games, revert back to 4,5,6,7,8 etc. full innings.

2. If three teams are still tied, the method in (1) will be used for all games played

3. If three teams are still tied the team who has scored the most runs between the tied team games will be declared the higher position.

4. If still tied the most runs scored in all games will declare the higher position.

5. If at any time the highest or lowest positions declared, the remaining two teams will be declared by 3:02 c (i).

[iii] If four teams are tied the tie breaking procedure will follow (3.02 c. [ii]) until the tie is broken to three or two teams. If three teams remain follow (3.02 c. [ii]). If two teams remain follow (3.02 c. [i]).

d. NO TIEBREAKER GAMES will be played for a playoff position; all positions will be decided by the tiebreaker rule 3.02 c.

e. Formats for provincial play shall be:

[i] Two teams – Best of three series to declare champion. Flip for first home game, winner of first game gets second game as home game and must be defeated twice for championship. If third game for championship is necessary, flip for Home Team.

[ii] Three teams – Single round robin; second and third play off, the winner must defeat the first place team twice if undefeated in round robin play.

[iii] Four teams – Single round robin with the bottom team dropping out; team 1 gets a bye; team 2 and 3 playoff, the winner must defeat the first place team twice, if the first place team went through the Round Robin undefeated.

[iv] Five teams – Single round robin with first place team from the round robin getting a bye to the final. Second and third place teams play off, loser gone. The winner plays the first place team for the championship in a one game sudden death final.

EXCEPTION: In provincials leading to Canadian National Tournaments 1st place team must be beaten twice for championship if undefeated in round robin play.

[v] Six teams – two sections of three teams with a single round robin in each section. Next both second place teams from each section play the third place teams from the opposite sections for the last playoff spots, losers out.

Playoffs:

Game 1. Two first place teams from each section play, winner goes to finals and if undefeated must be beaten twice for championship.

Game 2. Winners of the second and third place crossover games play, loser gone.

Game 3. Loser of game 1 versus winner of game 2, loser gone.

Game 4. Winner of game 1 versus winner of game 3 for championship; unless 1st loss for winner of game 1, then repeat of game 4 for championship.

[vi] Seven teams – Two sections, one of three and one of four teams; in section of three teams – single round robin with an extra game between second and third place teams for last playoff spot in that section; in section of four teams – single round robin with top two teams making the playoffs.

Playoffs:

Game 1. Two first place teams from each section play, winner goes to finals and if undefeated must be beaten twice for the championship.

Game 2. Two second place teams from each section play, loser gone.

Game 3. Loser of game 1 versus winner of game 2, loser gone.

Game 4. Winner of game 1 versus winner of game 3, for championship; unless first loss for winner of game 1, then repeat of game 4 for championship.

[vii] Eight teams – Two sections of four teams with a single round robin in each section. Top two teams from each section go to the playoffs.

Playoffs:

Game 1. Two first place teams from each section play, winner goes to final and if undefeated must be beaten twice for the championship.

Game 2. Two second place teams from each section play, loser gone.

Game 3. Loser of game 1 versus winner of game 2, loser gone.

Game 4. Winner of game 1 versus winner of game 3 for championship; unless first loss for winner of game 1, then repeat of game 4 for championship.

[viii] Nine teams – Two sections, one of four teams and one of five teams; single round robin in each section with top two teams from each section going to the playoffs.

Playoffs:

Game 1. Two first place teams from each sections play, winner goes to finals and if undefeated must be beaten

twice for the championship.

Game 2. Two second place teams from each section play, loser gone.

Game 3. Loser of game 1 versus winner of game 2, loser gone.

Game 4. Winner of game 1 versus winner of game 3 for championship; unless first loss for winner of game 1 then repeat of game 4 for championship.

[ix] Ten teams – Two sections of five teams, single round robin in each section with the top two teams from each section making the playoffs.

Playoffs:

Game 1. Two first place teams from each section play, winner goes to final and if undefeated must be beaten twice for the championship.

Game 2. Two second place teams from each section play, loser gone.

Game 3. Loser of game 1 versus winner of game 2, loser gone.

Game 4. Winner of game 1 versus winner of game 3 for championship; unless first loss for winner of game 1 then repeat of game 4 for championship.

[x] Should eleven or more teams attend; then S.N.B. Inc. will provide the format.

NOTE: Provincials will only be held for four or more teams unless the provincial leads to an Eastern or a National.

f. [i] All games for fast pitch and orthodox provincials should be played on fast pitch fields.

[ii] Fields for provincials and Easterns should be as close to regulation size as possible; fields for Nationals shall be according to Softball Canada Guidelines.

[iii] Commencing time for provincial games must not be later than 5:00pm or two hours before sundown unless the facility provides lights. Any playoff game starting after 5:00pm or two hours before sundown, and a regulation game where five innings has been played with NO protest on the game due being called to late starting, will be accepted by the association.

g. [i] The successful bidders for a provincial shall abide by the hosting guidelines as set down by S.N.B. Inc.

[ii] S.N.B. Inc. representative and the hosting area is responsible to set up a three man protest committee. One of the three has to be the S.N.B. Inc. representative of that tournament.

h. Hosting guidelines for provincials and Easterns are:

[i] Suitable fields, including backup in case of delays. Written confirmation for using fields for provincial and rain

date. Designate one field as central.

NOTE: Provincials only- fields must be available Friday night.

[ii] All field fees.

[iii] Scorekeepers.

[iv] Proper canteen and washroom facilities. (If required to do so.)

[v] Bases and proper field maintenance.

[vi] Place for coaches and managers to meet prior to the start of the provincial.

[vii] Approval by S.N.B. Inc. of all provincial sponsors.

[viii] Approval by S.N.B. Inc. of all gate fees. (S.N.B. Inc. reserves the right to share in all gate receipts.)

[ix] Travel and meals of the officials if qualified officials don’t exist in the hosting area.

[x] In conjunction with the S.N.B. Inc. representative have a member on the three man protest committee.

[xi] Must supply someone to chase home run and foul balls, if possible.

[xii] Host committee may provide individual awards.

S.N.B. Inc. is responsible for (provincial only):

[i] Schedule.

[ii] Awards for winner and runner-up teams.

[iii] Appointment of S.N.B. representative who will: (1) conduct coaches and managers meetings, (2) make all schedule changes and (3) be a member of the protest committee.

[iv] Appointment of an umpire in chief who will: (1) schedule all officials in liaison with S.N.B. Inc. and (2) attend coaches and managers meetings.

[v] Balls for provincial.

[vi] Payment of game fees to officials.

[vii] All protests.

[viii] Decide whether the field is playable prior to provincial and during the provincial in liaison with the designated

U.I.C.

[ix] Liaison between sponsors and host committee.

[x] Closing ceremonies will consist of the two finalists lining up along their respective baselines and the S.N.B. Inc. provincial representative presenting the awards (Runner-up award presented first).

i. All awards will be determined by S.N.B. Inc. board of directors on a yearly basis.

J. The S.N.B. Inc. provincial representative shall have one (1) day to send the provincial report to the executive/technical director of S.N.B. Inc. with copies going to APPROPRIATE CO-ORDINATORS from the technical director.

3.03 MINOR REGULATIONS:

a. [i] Minor classes for both boys and girls are as follows; Mites, Squirts, Peewee, Bantam and Midget. Mites and squirts may be co-ed in the boys classes. Minor Co Ed Teams must have a minimum of five (5) girls, with a minimum of three (3) on the field at any given time.

[ii] 1. All classes of softball with age classifications will follow the Softball Canada rule book guidelines.

2. In minor provincials, a team may use a maximum of five players from a lower age level as affiliated players. These players must be designated on the provincial players registration form. All affiliated players must play in their own class if the two provincials fall on the same weekend.

3. All minor teams must have a fully certified softball level 1 coach to participate in provincials leading to Easterns and Nationals.

[iii] 1. In any minor provincial leading to a National, the winner will be declared one year in advance.

2. Any class of minor ball that will be sending a S.N.B. Inc. representative to a National and/or Eastern Canadian playoff, will conduct an open provincial for that class to select REPS. The winner of the provincial plaque will be declared the S.N.B. Inc. champion in that class; the champion and the runner-up may attend the appropriate championships.

[iv] a. When twelve teams or more are registered a “B” division of play will be set up if warranted.

b. Where tournaments are utilized, the following pitching restrictions stand on the use of a pitcher in a one day stand:

Mite and Squirt……………………….eleven (11) innings

Peewee…………………………………..fourteen (14) innings

One pitch is the minimum required to constitute an inning pitched. Special exceptions may be given by the assigned

S.N.B. Inc. representative. Championship game or games will be open.

c. Minor teams will adhere to the Softball Canada rulebook, By-laws, Special operating rules, Equipment and Playing rules.

EXCEPTION: (i) A maximum of five (5) runs only may be scored in each half of the first four innings. If five runs are scored before three outs, the half inning is over. If three outs occur before five runs are scored, the half inning is over.

(ii) Two hour time limit on Minor Orthodox Provincial Championship Games.

(iii) Squirt Orthodox, no stealing permitted. PeeWee Orthodox, stealing when the ball crosses the plate. Bantam Orthodox, stealing when the ball leaves the pitchers hand.

3.04 MAJOR REGULATIONS:

a. Residence rules:

[i] No player will be eligible to play for any team of S.N.B. Inc. who hasn’t been a continuous resident of their region by may 1st of the current year (exceptions: Resident and Nonresident imports). All players be they resident or imports must be Canadian citizens.

[ii] Players must play for teams within their regions. If no teams exist in the region in which a player resides, they can play with any team in that class.

[iii] Service personal and dependants such as penitentiary guards, mounted police or armed forces personnel transferred into New Brunswick after July 1st are to be allowed to play in provincials; subject to review by the board of directors of S.N.B. Inc. The deadline for these players to register is August 1st.

[iv] Students from in the province are residents of their region of education, unless they return to the region of their parents or if married then the region of their spouse by June 1st.

[v] Out of province New Brunswick students are residents of the region in which their parents reside; if married then the region of their spouse. They must be a continuous resident of New Brunswick.

b. Provincial Import rules:

[i] Teams may have only three imports; only one of which can be a nonresident import; only one of which may be a pitcher.

[ii] A resident import is a player (Junior and above) playing outside their region and advises, in writing, the president of S.N.B. Inc. by June 1st. Any player who makes their intentions known in writing with a team outside their region, must play all provincial ball with that team. The resident import rule doesn’t apply to players in Senior “A” fastpitch provincials.Resident import must put on two Minor Development Clinics if requested by Softball New Brunswick Inc.

EXCEPTION: Any Junior and Midget aged players have the right to play in their classification for provincials. Teams within their region have the first right of refusal. If no team exists in region of habitation then the player may register with one team in classification and then return to their region of residence and play for an intermediate team.

[iii] A nonresident import is a player who wishes to play in New Brunswick but lives in Canada outside of New Brunswick. This player must advise, in writing, S.N.B. Inc.’s president and be in the province by June 1.

[iv] To be eligible for provincials, a player must be a member of S.N.B. Inc. and signed by July 1st.

v. Any team that has a non-resident import must pay Softball New Brunswick Inc. two hundred fifty dollars ($ 250.00), money to used for minor development. Non-resident import must be available to put on two clinics, sites to be determined by Softball New Brunswick Inc.

c. CATEGORIES:

[I] There will be three (3) categories of softball within the structure of S.N.B. Inc.; these categories are fastpitch, orthodox and slo-pitch.

[ii] Each category will develop their own levels of competition; (i.e. classes).

d. SENIOR FORMATS:

[i] In men’s fastpitch the format for Senior “A” ball will be

1. Only teams that register Senior “A” are allowed to compete Senior “A” provincials. Teams aren’t allowed to compete as a team in any other classification; players that register with Senior “A” teams may also register with competitive intermediate teams. A competitive intermediate team may sign no more

2. Teams that qualify for the Senior “A” fastpitch provincial are permitted one (1) pickup from a registered team within their region. Team management must notify the executive technical director forty-eight hours prior to the start of the provincial who their pickup is. All pickups have the right to return and play provincial

[ii] In women’s fastpitch the format for Senior “A” ball

1. The provincial is open to all teams (no limit on entries). Provincial winner goes to the Senior “A” National the following year.

2. Teams have the right to be ALL-STAR teams; players have the right to return to their club teams for intermediate provincials.

e. COMPETITIONS

[i] Major fastpitch shall have the following classes of provincial ball:

1. Senior “A” Men’s – Open provincial to all Senior “A” registered men’s teams. See

Senior “A” Women’s – Open provincial to all registered women’s all-star or club teams. See

2. Intermediate Men’s has two classes; competitive and recreational. The Competitive Intermediate is an open provincial for team’s competing for the right to represent S.N.B. Inc. at Eastern Canadian Championship.

1st and 2nd place are the Eastern “A” representative.

3rd and 4th place are the Eastern “B” representative.

5th and 6th place are the Eastern “C” representative.

The recreational intermediate is an open tournament for teams competing for a provincial championship only.

Intermediate Women’s is an open provincial to declare winners in three classes of competition; if required. More classes could be added depending upon the amount of teams registered. The regional directors are to classify their teams, subject to the approval of the executive technical director and appropriate coordinator.

Intermediate “A” winner and runner-up to attend

3. Junior Mens/Womens: Open provincial for all Junior teams to declare National representatives for the following year.

4. ORTHODOX

Men’s competition:

Men’s orthodox has open provincials to declare provincial champions in six (6) classes from “A” – “E” and Masters. Winner and runner-up of the “A”

Women’s competition:

Women’s orthodox is an open provincial to declare provincial winners. More classes could be added depending on number of teams registered. Winner and runner-up of the “A”

[ii] SLO-PITCH:

Slo-pitch shall have the following classes of provincial ball.

Senior “A” MENS/WOMENS: Open provincial to be played between August and September for all Senior teams to declare provincial Slo-pitch Champion; with rights to represent the province at the following years

Intermediate Men’s/Women’s Competitive leading to out of province competition: Open provincial to be played in July for all intermediate teams not in the Senior classification. Winner and runner-up to attend the Eastern Canadians the following year. Co-ed Slo-pitch; An open provincial to be played between August and September for all Co-ed slo-pitch teams, who qualify under the Softball Canada Guidelines; to declare a provincial champion with rights to represent the province at the following years National.

Masters: An open provincial to be played between August and September for all masters Slo-pitch teams who qualify under the Softball Canada Guidelines to declare the provincial Masters champion with rights to represent the province at the following years Nationals.

Intermediate Men’s/Women’s competitive for provincial only:

An open provincial to all intermediate Slo-pitch teams to declare a provincial winner.

Intermediate Men’s/Women’s Recreational:

An open provincial to all teams who haven’t competed in any competitive provincials.

Intermediate Recreational Slo-pitch:

An open provincial in which deviation of the playing rules will be permitted.

4.00 PROTESTS

[i] All protests, except on interpretation of playing rules , must be made at the coaches/mangers meeting. NO EXCEPTIONS

[ii] Provincial protests are to be decided by the Provincial Protest Committee at the time of the protest.

[iii] All protests must be accompanied by a certified cheque, money order or cash in the amount of One Hundred and Fifty Dollars ($ 150.00) made payable to S.N.B. Inc.

[iv] If the protest is won the money is to be refunded.

[v] All protests should be handled as per Softball Canada Guidelines

[vi] The Association is not to accept collect telephone calls or wires. It shall be the responsibility of the Executive member, to whom the protest is directed to forward itemized statements of protest handled by the association to the manager of the protesting team, if upheld.

[vii] Under no circumstances will S.N.B. Inc. consider itself liable for claims arising from any cause.

[viii] All protests, regarding playing rules, must be made to the plate umpire at the time of the infraction. See Softball Canada RuleBook.

[ix] Teams involved in protest situations, either as protester or protestee, shall provide all information requested by the Provincial Protest Committee.

5.00 SUSPENSIONS AND EXPULSIONS

[i] Any member of S.N.B. Inc. violating the Constitution and Bylaws, or refusing to abide by the decision of the Board of Directors, shall be expelled or suspended.

[ii] Suspension/expulsion shall be considered for anyone betting or improper conduct by players or officers at games under the jurisdiction of the Association.

[iii] Suspension/expulsion shall be considered for anyone offering, agreeing, attempting, or conspiring to lose any S.N.B. Inc. game, or being interested in any pool or wager thereon.

[iv] Suspension/expulsion shall be considered for anyone playing with a team that has been suspended or expelled.

[v] Suspension/expulsion shall be considered for anyone knowingly giving on its list of players any disqualified players. Any player on being reported to the Board of Directors or having demanded money for their service may, if found guilty, be suspended from competition with any affiliated team in this association, and their case, with particulars, reported to Softball Canada authorities. Teams and players who knowingly play against ineligible players and who willingly conceal this knowledge from the association until it shall suit their convenience to use in any protest that may arise, shall then be dealt with accordingly by S.N.B. Inc.

[vi] Suspension/expulsion shall be considered for anyone who:

(1) strikes a S.N.B. Inc representative – PENALTY- They shall be suspended for the (minimum) remainder of the season plus one (1) year.

(2) physically abuses or makes threats to a representative of S.N.B. Inc. – PENALTY – This shall result in an immediate suspension pending investigation by the association and/or Disciplinary Committee of the Association.

[vii] S.N.B. Inc. will recognize suspensions laid down by its members. Such suspensions are open to appeal.

[viii] The suspension of an individual(s) or team(s) by a league, Board of Director member, or under the Umpires Contract of Services, will be recognized, adopted, and enforced by S.N.B. Inc. upon written notification being given to S.N.B. Inc. Notification to be made to Technical Director, Coordinator of the category, Regional Director where incident took place, within twenty-four (24) hours of the decision. A hearing for said party to be held within seventy-two (72) hours. Any such suspension may be immediately appealed to the Disciplinary Committee who will review the matter as soon as possible after notice of the hearing is received by a board member. If no immediate appeal is made the suspension will be reviewed by the Disciplinary Committee at the Annual General Meeting, whichever occurs first.

[ix] Any team that forfeits or any player ejected from a game, in S.N.B. Inc. provincials, possible suspension from the remaining portion of the provincial is at the discretion of the S.N.B. Inc. representative.

6.00 APPEALS

[i] All costs of the appeal shall be paid to the Treasurer of S.N.B. Inc. prior to any hearing. A certified cheque or money order made payable to S.N.B. Inc. in the amount of Three Hundred Dollars (.00) shall accompany the appeal.

[ii] All money shall be returned if any appeal is won.

[iii] A suspension may be appealed by the person(s) under suspension.

[iv] Decisions concerning the Bylaws of S.N.B. Inc. may be appealed using the same format as suspensions.

[v] An appeal Committee, comprises of three (3) of five (5) impartial persons selected by the President or his/her delegate, will meet to hear the appeal. The chairperson of the appeal committee shall be the executive/technical director of S.N.B. Inc. Voting members of the appeal committee may be the vice president, provincial umpire in chief, appropriate coordinator, appropriate regional director, a member of the regional association, a registered officer of the league in good standing or a coach or manager of a team in good standing.

[vi] Members making the appeal must be notified of the date, time, and place of the hearing. Other members who

request, or are required to appear at the hearing should be notified as well.

[vii] All evidence for the hearing may be presented in verbal form, but also must be in written form.

[viii] After hearing all the evidence, the Chairman of the hearing shall take whatever action he/she deems appropriate in accordance with the Constitution and Bylaws of S.N.B. Inc. The appealing member and all Board Members shall be advised in writing of the decision within forty-eight (48) hours.

[ix] If the decision of the Appeal Committee is not in accordance with the Constitution and By-laws, and challenged; the Board of Directors have the right to refuse the Appeal Committee’s decision.

7.0 BY-LAW CHANGES

The board of directors, and members wanting to make changes and/or additions to the by-laws must:

[i] Submit same in writing to the executive/technical director thirty (30) days prior to the Annual General Meeting. All proposed by-law changes or additions must have a mover and a seconder with rationale.

[ii] S.N.B. Inc. By-Law changes or additions can only be enacted by the board at the winter board meeting of S.N.B. Inc. on odd numbered years.

EXCEPTION: Housekeeping changes can be made whenever deemed necessary by the board of S.N.B. Inc.

1:00 NAME

1:01 The name of the organization shall be “Softball New Brunswick Inc.” (in French: Balle Molle Nouveau Brunswick Inc.) and herein the Constitution referred to as the “Association”.

2:00 JURISDICTION

2:01 The Association recognizes all amateur sports and plans jurisdiction over and recognizes its responsibilities as the governing body of Softball, which includes Fast-Pitch, Orthodox and Slo-Pitch softball as played by members of this Association in New Brunswick or in such places as may be designated by the Association.

3:00 AIMS AND OBJECTIVES

3:01 Foster, develop, promote and regulate the playing of amateur Softball.

3:02 Provide the game of Softball with proper safeguards in accordance with the spirit of true sportsmanship.

3:03 Encourage all eligible potential members to affiliate with the Association.

3:04 Establish and maintain by allied membership, alliances with associations devoted wholly or partially to the promotion of the game of Softball.

3:05 Establish a set of uniform rules for the playing of Softball throughout New Brunswick. The rules of Play shall be governed firstly by S.N.B. Inc. Constitution and Bylaws; then by official Rules as set down by Softball Canada.

3:06 Instigate, promote, and regulate Provincial Championships.

3:07 Represent New Brunswick on Softball councils or associations where deemed practical and necessary.

3:08 Do all such things as may be deemed necessary for the proper promotion and jurisdiction of Softball throughout New Brunswick.

3:09 Assist in the establishment of Regional bodies in the Province (See Art. 26:00)

3:10 The Association shall be carried on without the purpose of gain to its members and any profit or other accreditation to the Association shall be used in promoting its objectives.

3:11 Members of the Board of Directors and the Regional Board of Directors must conduct themselves in a proper and sober manner at all times while in the Public eye during Softball functions and performing official duties.

4:00 MEMBERSHIP

4:01 Membership shall be granted to all who agree to abide and comply with Constitution and By-Laws of the Association.

4:02 The term of membership shall begin upon registration and payment of annual fees and exist until the next registration date (February 1 – January 31).

4:03 Anyone elected to the Board of Directors shall be a member of the Association.

4:04 All affiliated players, coaches, managers, and umpires shall be members of the association.

4:05 Anyone receiving a Lifetime Membership in the Association, shall be a member.

4:06 Anyone elected to a League or Regional Association, who is affiliated, shall be a member.

4:07 Anyone elected to a National or International Softball Association, shall be a member.

4:08 Any member of the Association may terminate their membership by forwarding a registered letter indicating such an intent to the Office of the Provincial Association.

4:09 If a member is under suspension by the Association, notification of membership termination by the member does not alter the term of suspension. Termination does not entitle the member to any refund of membership fees.

5:00 LIFE MEMBERSHIP

5:01 Life Membership may be awarded to the individuals who have rendered exceptional services in the Association.

5:02 All recommendations for Life Membership are to be filed with and must be in the hands of the Executive Director thirty (30) days prior to the Annual General.

5:03 Life Membership may be awarded on the approval of two-thirds (2/3) of the voting members in attendance at an Annual General Meeting.

5:04 Life Members have no vote nor shall they be entitled to receive expenses for attendance at Annual General Meetings.

6:00 MEMBERSHIP DUES

6:01 Membership fees shall be determined by the Annual General Meeting as directed by the Annual General Meeting, and shall be in an amount as is deemed necessary to carry out the continued operations of the Association. Such dues shall be published in the By-Laws of the Association.

6:02 All registration fees be adjusted, if applicable, to the Goods and Services Tax (GST). Umpires included.

6:03 Umpire registration and game fees are to be approved by the Softball New Brunswick Board of Directors.

7:00 BORROWING POWERS

7:01 The Association may exercise any borrowing powers conferred upon it by any Act of Parliament governing this body corporate without share capital and only with the approval of seventy-five percent (75%) of the Board of Directors, at any Board of Directors meeting.

8:00 CUSTODY AND USE OF SEAL

8:01 The Seal of the Association shall remain in the custody of the Treasurer.

8:02 The Seal of the Association shall not be affixed to any contracts, documents, or any instruments in writing requiring the signature of the Association except in the Presence of:

(a) The President and other Members of the Board of Directors.

(b) The President or such other Officer of the Association that may be authorized from time to time by resolution of

the Board of Directors.

9:00 SIGNATURE AND CERTIFICATION OF DOCUMENTS

9:01 Contracts, documents, or any instruments in writing requiring the signature of the Association, shall be signed by the President and such other Officers of the Association that may be authorized from time to time by resolution of the Board of Directors, and all contracts, documents and instruments in writing so signed shall be binding upon the Association without further authorization or formality.

9:02 The Administrative Branch (Past President, Vice President as Chairperson, Provincial Umpire-in-Chief, Executive/Technical Director, Minor, Fast Pitch, Orthodox, Slopitch, Coordinators) shall have the power from time to time by special resolution to appoint an Officer or Officers on behalf of the Association either to sign contracts, documents in writing generally or to sign specific contracts, documents and instruments in writing.

10:00 AUDIT OF BOOKS (See Art. 21:03 f.)

10:01 The books and records of the Association shall be kept by the Treasurer and/or his/her appointee under strict supervision of the Treasurer.

10:02 The books and records shall be presented each year thirty (30) days prior to the Annual General Meeting for auditing by an independent auditor.

10:03 The independent auditor shall be designated by the Board of Directors at its first regular meeting following the Annual General Meeting.

11:00 BOOKS AND RECORDS

11:01 The books and records of the Association may be inspected by members of the Association by appointment made through the office of the President, at the Provincial Office of the Association. The expenses of travel, housing, and loss of time inspecting the books shall be borne by the requesting member.

11:02 In the event of dissolution or winding-up of the Association, all its remaining assets, after payment of liabilities, shall be distributed to one or more recognized charitable organizations in the Province as determined by the former Board of Directors of Softball New Brunswick Inc.

12:00 AMENDMENTS OF CONSTITUTION

12:01 Amendments to the Constitution shall be made by resolution from member or Officer or duly appointed Board of Directors.

12:02 A Notice of Motion to amend the Constitution must be forwarded in writing to the Executive Director thirty (30) days prior to the start of the Annual General Meeting.

12:03 A two-thirds(2/3) majority of registered eligible voting members at the Annual General Meeting.

13:00 PROVINCIAL OFFICE

13:01 The Provincial Office of Association shall be in the Province, and at such place as the Board of Directors may

from time to time determine.

14:00 REMUNERATION OF EXECUTIVE

14:01 The remuneration, if any, to be paid to the Executive and/or Technical Director(s) of the Association shall be in the amount as the Board of Directors of the Association may from time to time determine.

15:00 PERIOD OF OFFICE

15:01 Members of the Board of Directors of the Association shall continue office until their respective successor is duly elected or appointed as provided in the Constitution of the Association.

16:00 UMPIRES

16:01 The objective is to bring Softball Officials (Umpires) closer to the Sports Governing Body as recommended by Softball Canada. In addition, transferring administrative and financial matters on to the Association – greater effort to further improve the caliber of umpires and officiating can be made.

17:00 CHAMPIONSHIPS

17:01 Provincial Championships shall be governed by the By-Laws and Constitution of the Association.

18:00 DUTIES OF TECHNICAL AND ADMINISTRATIVE BRANCHES

18:01 The technical and Administrative Branches shall conduct the business of the Association between the Annual General Meetings of the Association.

18:02 The Branches shall carry out such duties as required by Letters Patent, the Constitution and By-Laws.

18:03 The Discipline Committee, comprised of three (3) of the following four (4) Board members: Vice-President, Technical Director, Provincial Umpire-in-Chief, and/or appropriate Co-ordinator, may suspend players, managers, coaches, or umpires which are members of the association that don’t abide by the Association’s Constitution and/or By-Laws.

19:00 APPEALS

19:01 All requests for appeals must be done, in writing, through the Softball New Brunswick Inc. provincial office, to the President.

19:02 All appeals will be conducted in accordance with Softball New Brunswick Inc. By-Law No. 13:00.

20:00 BOARD OF DIRECTORS AND DUTIES

20:01 The Officers of the Board of Directors shall be immediate Past-President, President, Vice-President, Treasurer, Umpire-in-Chief, Fast Pitch Co-Ordinator, Minor Co-Ordinator, Orthodox Co-Ordinator, Slo-Pitch Co-Ordinator, Technical Director, Executive Director, and the eight (8) Regional Directors. Softball New Brunswick Inc. Board of Directors shall meet:

-At the beginning of the season (to establish priorities and give direction- Jan meeting)

- Mid June to evaluate the years operations to date and prepare for Provincial Tournaments

-Prior to the start of S.N.B. Inc. Annual General Meeting

-After the S.N.B. Inc. Annual General Meeting to complete softball activities for the current year.

-If necessary as provided in Article 22:00

20:02 The Board of Directors shall send all expense reports to the President for approval (provincial expenses only).

20:03 The Board of Directors shall promote Softball in every region at all levels.

20:04 The Board of Directors shall be responsible for the establishment of policies and priorities of the Association.

20:05 The Board of Directors shall make amendments to the By-Laws where deemed necessary.

20:06 The Board of Directors shall co-ordinate the operation of Softball within each region (with a view towards the yearly evaluation).

20:07 The Board of Directors shall recommend projects based on the identified needs within each region.

20:08 The Board of Directors shall make decisions which are in the best interests of Softball in the Province; they must avoid all conflict of interest situations.

20:09 The Board of Directors shall be prepared to be involved in committee work.

21:00 OFFICERS AND DUTIES

21:01 PRESIDENT

(a) The President shall be elected at the Annual General Meeting for a two (2) year term beginning and ending on odd number years.

(b) The President shall be an officer of the Board of Directors of Softball New Brunswick Inc. without voting privileges unless there is the event of a tie. Exception: The President shall be allowed an independent vote for the election of officers.

(c) The President shall preside at annual, executive, board, or committee meetings and be an ex-officio member of all committees.

(d) The President shall oversee the development and administration of Softball in the Province of New Brunswick.

(e) The President shall have the authority to appoint any executive member to assist or carry out his/her duties.

(f) The President shall have the authority to appoint honorary officers, without voting powers to assist him/her in his/her duties.

(g) The President shall appoint any person on an interim basis to fill any vacancy on the Board of Directors.

(h) The President shall act as a delegate and represent Softball New Brunswick Inc. at Softball Canada meetings with expenses paid by Softball New Brunswick Inc.

(i) The President shall co-ordinate agendas for all meetings.

(j) The President shall attend Regional functions as requested.

(k) The President shall prepare a written report on Softball matters thirty (30) days prior to the Annual General Meeting.

(l) The President shall be responsible for the enforcement of Softball New Brunswick Inc.’s Constitution and By-Laws.

(m) The President must fill any vacant position on the Board of Directors within sixty (60) days of the position becoming vacant.

1:02 VICE-PRESIDENT

(a) The Vice-President shall be elected at the Annual General Meeting for a two (2) year term beginning and ending on even number years.

(b) The Vice-President shall be a member of the Board of Directors of Softball New Brunswick with full voting privileges.

(c) The Vice-President shall assist the President in the discharge of his/her duties. In the absence or disability of the President, he/she shall act in his/her place.

(d) The Vice-President shall be assigned certain duties with regard to the business of Softball New Brunswick Inc.

(e) The Vice-President shall have the authority to appoint honorary officers, without voting powers, to assist him/her in his/her duties.

(f) The Vice-President shall prepare a written report on Softball matters thirty (30) days prior to the Annual General Meeting.

21:03 TREASURER

(a) The Treasurer shall be elected at the Annual General Meeting for a two (2) year term beginning and ending on odd years.

(b) The Treasurer shall be a member of the Board of Directors of Softball New Brunswick Inc. with full voting

privileges.

(c) The Treasurer shall keep an accurate record of all monies received and spent, with a dual signature bank account. The other signing officer to be the President or Vice-President.

(d) The Treasurer shall submit annually the financial records and receipts of disbursements to an accredited accounting firm for audit, thirty (30) days prior to the Annual General Meeting.

(e) The Treasurer shall be bonded, and submit his/her audited financial report to Softball New Brunswick Inc.’s Annual General Meeting.

(f) The Treasurer shall have the authority to appoint an honorary officer(s), without voting powers, to assist him/her in his/her duties.

21:04 REGIONAL DIRECTORS

(a) A Regional Director for each region of Softball New Brunswick Inc., shall be elected at the Annual Meeting of the Regional Association for a two (2) year term. Regional meetings must be held prior to Softball New Brunswick Inc. Annual General Meeting. Failure to hold meeting as required may result in Regional Director position becoming vacant and will be filled by President of Softball New Brunswick Inc. in accordance with Article 21:01(m).

(b) Regional Directors shall be members of the Board of Directors of Softball New Brunswick Inc. with full voting privileges.

(c) Regional Directors shall promote, supervise, and oversee all matters pertaining to Softball within their respective regions.

(d) Regional Directors shall co-ordinate and supervise regional competitions leading to Provincial Softball Championships.

(e) Regional Directors shall encourage team umpire registration.

(f) Regional Directors shall be responsible for the classification of teams within their respective regions, subject to Softball New Brunswick Inc. technical committee approval.

(g) Regional Directors shall be responsible for their Regional Profile and Profile meeting.

(h) Regional Directors shall prepare a written report on Softball matters pertaining to their respective region thirty (30) days prior to the Annual General Meeting of Softball New Brunswick Inc.

(i) Regional Directors shall provide Softball New Brunswick Inc. with financial statement, as part of their annual report, prior to receiving funds from Softball New Brunswick Inc.

(j) Regional Directors shall submit a Regional Development Profile to the Executive/Technical Director of Softball New Brunswick Inc. by the Winter Meeting; in order to receive fifty percent (50%) funding for approved Regional Projects.

(k) Regional Directors shall submit an itemized Annual Report of Regional Development Activities to the Executive Director of Softball New Brunswick Inc. by the thirtieth (30) of September each year to receive remainder of

Regional Funding approved for Regional Projects.

(l) Regional Directors must form a Regional Association if requested to do so by Softball New Brunswick Inc. Board of Directors

21:05 UMPIRE-IN-CHIEF

(a) The Umpire-in-Chief shall be elected by the Umpires Division of Softball New Brunswick Inc. at the Annual General Meeting for a two (2) year term. Beginning and ending in even years.

(b) The Umpire-in-Chief shall be a member of the Board of Directors of Softball New Brunswick Inc. with full voting privileges.

(c) The Umpire-in-Chief shall be the playing rules and equipment interpreter for Softball New Brunswick Inc.

(d) The Umpire-in-Chief shall enforce the Constitution and By-Laws of the Umpires Division.

(e) The Umpire-in-Chief shall be responsible for the development of officials in the Province. He/she shall be responsible to see that all programs are properly carried out.

(f) The Umpire-in-Chief shall co-ordinate the scheduling of clinics and other officiating programs throughout the Province.

(g) The Umpire-in-Chief shall liaise with Softball Canada to ensure the best delivery of services.

(h) The Umpire-in-Chief shall liaise on a regular basis with the Technical Directors for approval.

(i) The Umpire-in-Chief shall present annual programs to the Board of Directors for approval.

(j) The Umpire-in-Chief shall have the authority to appoint officers without voting powers, to assist him/her in his/her duties.

(k) The Umpire-in-Chief shall be responsible for registered umpires doing all provincial play-offs.

(l) The Umpire-in-Chief shall prepare a written report on all Softball matters pertaining to the Umpires Division thirty (30) days prior to the Annual General Meeting of Softball New Brunswick Inc.

21:06 COORDINATORS (FAST PITCH, ORTHODOX, SLO-PITCH, MINOR)

(a)coordinators shall be elected at their respective workshops at the Annual General Meeting with full voting privileges for a two (2) year period with Minor and Slo-Pitch Coordinators elected on even numbered years and Orthodox and Fast Pitch Coordinators on the odd numbered years.

(b) Coordinators shall be members of the Board of Directors of Softball New Brunswick Inc. with full voting privileges.

(c) Co-ordinators shall reside at their respective Workshop/Meetings.

(d) Co-ordinators shall oversee and recommend all Provincial Play-off structures.

(e) Co-ordinators shall set the dates for all Provincial Play-off formats.

(f) Co-ordinators shall co-ordinate regional participation at the Provincial level for skill programs.

(g) Co-ordinators shall present their annual program as directed by their respective workshops to the Board of Directors of S.N.B. Inc. at the January Board Meeting for consideration and possible implementation.

(h) Co-ordinators shall liaise on a regular basis with the Technical Director for information exchange.

(i) Co-ordinators shall co-ordinate and contribute information regarding their respective categories for inclusion in Softball New Brunswick Inc.’s Newsletter.

(j) Co-ordinators shall prepare written reports of projects as required.

(k) Co-ordinators shall prepare a written report on softball matters pertaining to their respective categories thirty (30) days prior to the Annual General Meeting of Softball New Brunswick Inc.

(l) The appropriate Pitch Co-ordinators shall be member of the Selection Committee Responsible for selection of Coaches and Managers for elite teams.

21:07 TECHNICAL DIRECTOR

(a) The Technical Director shall be hired each year from May to April. He/she shall report directly to the President.

(b) The Technical Director shall be member of the Board of Directors of Softball New Brunswick Inc. with no voting privileges.

(c) The Technical Director shall be paid an honorarium and shall perform duties as laid down in his/her job description.

(d) The Technical Director’s job description and honorarium shall be updated yearly prior to his/her hiring.

(e) The Technical Director shall be responsible for the day-to-day operations of the Technical Branch of the Board of Directors.

(f) The Technical Director shall ensure effective and expedient decision making.

(g) The Technical Director shall be the media liaison regarding Softball New Brunswick Inc. operation procedures.

(h) The Technical Director shall ensure equitable representation of all Softball at the Provincial level.

(i) The Technical Director shall supervise an implement all Technical Programs of Softball New Brunswick Inc.

(j) The Technical Director shall prepare all Play-Off schedules based on the input of the Co-ordinators of their respective categories in accordance with the By-Laws with final approval.

(k) The Technical Director shall prepare a monthly report of his/her expenses pertaining to the Board of Directors and forward same to the President.

(l) The Technical Director shall prepare a written report on technical matters thirty (30) days prior to the Annual General Meeting of Softball New Brunswick Inc.

(m) The Technical Director shall be responsible to declare all player eligibility for out of Province competition as required.

21:08 EXECUTIVE DIRECTOR

(a) The Executive Director shall be hired each year from May to April. He/she shall report directly to the President.

(b) The Executive Director shall be a member of the Board of Directors of Softball New Brunswick Inc. with no voting privileges.

(c) The Executive Director shall be paid an honorarium and shall perform duties as laid down in his/her job description.

(d) The Executive Director’s job description and honorarium shall be updated yearly prior to his/her hiring.

(e) The Executive Director shall oversee the administration of all estates of Softball.

(f) The Executive Director shall keep accurate record of teams, players, leagues, and umpires registration.

(g) The Executive Director shall keep an updated and accurate mailing list.

(h) The Executive Director shall produce reports on matters pertaining to registration upon request by the Board of directors.

(i) The Executive Director shall be bonded.

(j) The Executive Director shall be responsible for inventory of supplies of Softball New Brunswick Inc.

(k) The Executive Director shall prepare a monthly report of his/her expenses pertaining to the Board of Directors and forward same to the President.

(l) The Executive Director shall prepare a written report on administrative matters thirty (30) days prior to the Annual General Meeting of Softball New Brunswick Inc.

(m) The Executive Director is responsible for the compiling of reports from the Board of Directors and compiling of

same for the Annual General Meeting.

22:00 MEETINGS

22:01 The Annual General Meeting of Softball New Brunswick Inc. shall be held prior to Thanksgiving for the purpose of bringing information back from Softball Canada’s Annual General Meeting. Regional Association meetings to be held prior to Annual General Meeting.

22:02 The Annual General Meeting shall rotate its location from zone to zone, from year to year as follows: West – South – North – East.

22:03 The President of Softball New Brunswick Inc. shall preside at all meetings of Softball New Brunswick Inc., with usual privileges.

22:04 All elections shall take place at Softball New Brunswick’s Annual General Meeting. Nominations to office of Softball New Brunswick Inc. shall be made from the floor with the term of office as described in Article 21:00. Nominees may be present. If not present Nominee must give letter of approval to let their name stand for election to Executive Director. There shall be no Proxy Vote Procedures; (voting members must be present).

22:05 At the Annual General Meeting fifteen (15) members shall form a quorum. At Board of Directors meetings, ten (10) shall form a quorum.

22:06 The President can call a special general meeting of Softball New Brunswick Inc. at any time, or must do so at the request of nine (9) registered voting members on receipt of written reason for said meeting duly signed by the voting members. The special general meeting shall be called within seven (7) days of receipt of such letter. (All expenses shall be paid by the requesting voting members in advance).

22:07 The Minutes of all meetings shall be sent to all registered voting members of Softball New Brunswick Inc. no later than six (6) weeks after the meeting. This includes the Annual General Meeting and Board of Directors meetings.

23:00 VOTING MEMBERS

23:01 Each member of the Board of Directors, per Article 21:00, shall have one (1) vote each at all meetings, except the technical Director and Executive Director.

23:02 Each registered team in good standing shall have one (1) vote each at each meeting.

23:03 Each Registered League in good standing, whose teams are all members, shall have one (1) vote.

23:04 Each elected member of a Regional Association is to have one (1) vote at Softball New Brunswick’s Annual General Meeting excluding Regional Umpire Associations. (See Umpires Constitution 2:02)

23:05 A Nominating Committee of Softball New Brunswick Inc. will be formed to bring forth names for various elected positions.

24:02 Written reports that were received and duplicated prior to the Annual General Meeting are to be circulated upon registering as a voting delegate.

25:00 RULES OF ORDER

The following are the regulations for the governing of the Association during the time of business, and business shall be disposed of in the following order:

25:01 NO PERSON SHALL BE PERMITTED TO SPEAK AT THE ANNUAL GENERAL MEETING UNLESS THEY ARE REGISTERED AS AN OFFICIAL VOTING DELEGATE OR GIVEN PERMISSION BY THE CHAIR.

25:02 All motions shall be decided by a majority of votes, except where a two-thirds (2/3) vote governs. In the cases of a tie, the Presiding Officer shall have a casting vote.

25:03 No delegate shall speak twice on the same subject without permission of the chair, unless in explanation, or mover of the reply.

25:04 A delegate desiring to speak or submit a motion shall rise and remain standing until recognized by the chair. Upon being recognized the delegate shall respectively address that chair stating his name and shall confine his remarks to the question and shall not be interrupted unless on a point of order.

25:05 Upon a point of order being raised while a delegate is speaking or when called to order by the Presiding Officer, the delegate shall at once take his seat when the point of order shall then be stated by the delegate objecting. The Presiding Officer shall decide, without debate, on the point of order. He will then instruct the delegate.

25:06 No amendment to a motion shall be in order after an amendment to an amendment.

25:07 When a motion is under debate, no motion shall be entertained except to lay on the table, or amend, and these motions shall take precedence in the order named.

25:08 an amendment which changes entirely the subject of the original motion shall not be entertained as an amendment or substituted for the motion under debate.

25:09 No delegate, except one who has voted with the majority, shall be allowed to move for a reconsideration and in this connection the word “majority” shall apply to the vote by which

25:10 After the motion has been stated by the Presiding Officer, it becomes the property of the Association, but may be withdrawn at any time previous to amendment upon agreement of mover and seconder.

25:11 There shall be no debate upon any question after it has been put to a vote by the Presiding Officer.

25:12 when a vote is called it shall be taken by each delegate holding up his right hand, unless a standing vote be called for. On a standing vote, the Presiding Officer shall count aloud those standing against and the vote shall be decided by the majority.

26:00 REGIONAL ASSOCIATIONS

26:01 Softball New Brunswick Inc. promotes the concept of eight (8) Regional Associations within the Province. Any region with over fifty (50) members must form a Regional Association.

26:02 Each Regional Association will develop their own Executive conduct their own meetings, open their own bank account, develop inter-zone programs and events, and act as the Softball New Brunswick Inc. agent in terms of provincial affairs.

26:03 The Regional Association will select their own Regional Director for a two year term beginning and ending on odd number years.

26:04 The Regional Director will present an annual report at the Softball New Brunswick Inc. Annual General Meeting – see Article 21:04 (j).

26:05 The Regional Association, upon receipt of their Annual Report and Financial statement, shall receive monies due to be returned to the Region.
