Dámy a pánové,

tato první ucelená zpráva skupiny AWT zachycuje období, které bylo pro naši skupinu jednímz klíčových milníků v historii.

V roce 2010 jsme vstoupili na mezinárodní trh pod novým jménem Advanced World Transport (AWT). Vyvrcholil tím proces rozsáhlé proměny, charakte-rizovaný sérií významných akvizic, jež z nás učinily předního hráče na dopravním a logistickém trhu střední a východní Evropy. Spravujeme rozsáhlý vozový park, více než 160 lokomotiv a 6 000 vozů, přepravujeme miliony tun průmyslového nákla-du stejně jako drobné cennosti či nebezpečný náklad. Působíme na více než 60 vlečkách.

Stali jsme se nejen největší soukromou dopravní firmouv České republice, ale také jedním z největších soukromých železničních dopravců v Evropě (podle tržeb i podle množství přepravených tun). Vytvoření skupiny s jednotným názvema společnou vizuální identitou bylo proto logickým krokem, který – jak se ukázalo – naši zákazníci i obchodní partneři jedno-značně ocenili. Nová výrazná značka AWT se na dopravním trhu stala velmi brzy známou a respektovanou.

Nezůstali jsme však jen u „vnějšího pláště“, ale pustili jsme se i do rozsáhlých vnitřních změn. V silniční dopravě se skupina AWT rozhodla soustředit pouze na spediční činnost, speciali-zaci a poskytování služeb s vyšší přidanou hodnotou. Zahájili jsme snižování počtu právních subjektů, kterých bylo na počát-ku ve skupině téměř 30. Navzdory doznívající ekonomické krizi jsme zvýšili objem přeprav po železnici.

Abychom plně využili potenciál nově vytvořené skupiny, roz-členili jsme naše služby do čtyř stěžejních divizí – Železniční dopravy, Spedice a logistiky (železniční, silniční, námořníi letecké), Správy a pronájmu vozidlového parku (ROSCO)a Rekultivací. Naším cílem bylo nejenom posunout skupinu AWT na vyšší úroveň v efektivnosti, ale chtěli jsme také ulehčit zákazníkům orientaci ve škále služeb, které je skupina AWT jako celek schopna nabídnout. Výsledný systém je nyní přehledný, efektivnější a vstřícný ke klientům.

Vedle poskytování co nejkvalitnějších služeb však máme i další ambice. Uvědomujeme si dopad nákladní dopravy na životní prostředí a snažíme se jej minimalizovat – přesunem zboží ze silnic na koleje, rozvojem kombinované dopravy i poskyto-váním našeho know–how při odstraňování bariér, které brání vytvoření jednotného dopravního trhu v EU a většímu využití zejména železniční dopravy.

Schopnost poskytovat zákazníkům komplexní moderní služby na klíč byla hlavním motivem, s nímž jsme se rozhodli skupinu AWT budovat. Jsme přesvědčeni, že jsme k našemu cíli v roce 2010 nakročili rázně.

This very first AWT Group report reflects on a period that amounts to a major milestone in our history.

The year of 2010 saw us enter the international mar-ket under a new name, Advanced World Transport (AWT). This was the culmination of a process of extensive transformation, characterised by a series of significant acquisitions which have turned us into a prominent player on the transport and logistics market in Central and Eastern Europe. We manage an extensive fleet of more than 160 locomotives and nearly 6,000 freight wagons, we transport milli-ons of tonnes of industrial cargoes as well as small valuables and hazardous goods. We also operate more than 60 rail sidings.

We have not only become the largest private transporter in the Czech Republic, we are by now also one of the largest private rail transpor-ters in Europe (by revenue as well as by weight shipped). The creation of a holding under a single name and a shared visual identity was the-refore the logical next step, which – as can be clearly seen – has most certainly been appreciated by our customers and business partners alike. The new distinct AWT brand has quickly become well known and respected on the transport and logistics market.

We have not, however, contented ourselves with simply addre-ssing our “outer casing”, we have also initiated extensive internal modifications. In road transport, the AWT Group decided to focus solely on forwarding, specialised activities and services with a higher added value. We also started to decrease the number of legal entities, of which the AWT Group originally contained nearly 30. Moreover, we managed to increase the volume of shipments by rail despite the persisting aftershocks of the economic crisis.

In order to achieve the maximum utilisation of the newly esta-blished Group’s potential, we divided our services into four core business lines – Rail Operations, Forwarding and Logistics (rail, road, sea and air), ROSCO (Rolling Stock Fleet Management and Hire) and Reclamation and Construction Works. Our driving ob-jective was not only to promote the AWT Group to a higher effici-ency level but also to make it easier for our customers to navigate their way through the range of services, which the AWT Group as a whole can offer. The consequent system is clearly arranged, more efficient and customer friendly.

Alongside our provision of the highest-quality services, we have further distinct ambitions. We are well aware of the impact of freight transport on the environment and we thus strive to minimise it – by shifting goods from road to rail, through the development of combined transport, with the application of our know–how in overcoming obstacles to the creation of a uniform transport mar-ket across the EU and through greater utilisation of rail transport.

Delivering on our ability to provide customers with complex and modern services tailored to their needs was the fundamental mo-tivation behind the decision to build the AWT Group. We believe we made a decisive step towards that goal in 2010.

The international transport and logistics AWT Group is based in Amsterdam, the Netherlands, and has provided its services interna-tionally for nearly 60 years. The AWT Group is directly represented in nine countries and is present at terminals of four key seaports: Rijeka, Koper, Szczecin and Gdynia.

The majority of the AWT Group’s business activities are directed from the Czech Republic, where the AWT Group employs most of its workforce. AWT also operates subsidiaries or branch offices in Slovakia, Poland, Hungary, Belarus, Romania, Croatia and Slovenia. Through a network of longstanding partners, the company can offer services across the whole territory of Europe as well as in the Middle East and in overseas destinations.

Where rail transport is concerned, the AWT Group is one of the largest private transporters in Europe by revenue as well as weight shipped. The Group operates an extensive fleet, owns and opera-tes a strategically positioned open container terminal in Ostrava--Paskov, and owns more than 400 km of railtracks. The AWT Group also operates 60 rail sidings in the Czech Republic, servicing nearly one quarter of all goods shipments that pass through sidings in the country. The ROSCO division provides freight wagons hire, and fleet maintenance and administration.

In addition to rail haulage, forwarding services offered by the holding en-compass road, sea and air transport. We can efficiently combine transport types to form shipping services tailored to our customers’ needs.

Besides its transport services, the AWT Group also possesses ex-tensive experience in land reclamation, landscaping and construc-tion works, the operation of landfills and waste management.

eFFiCient business lines struCtureFollowing numerous acquisitions, the AWT Group multiplied in size and became a prominent player, especially on the Central and Eas-tern European markets. The newly acquired market position imbu-ed the holding with considerable potential. In order to fully utilise this potential, it was decided to modify the internal management structure of the AWT Group to make it more efficient and coherent. Under a single company name, customers now engage in business with four business lines: Rail Transport, Forwarding and Logistics, ROSCO, and Reclamation and Construction Works.

The individual business lines concentrated the key business activities that are logically associated. The reduction in the number of separate legal entities, of which there were nearly 30 originally, assisted in this process. The fundamental principle behind the consequent mergers was a centralisation of identical or analo-gous activities, which were historically fragmented among various companies. The AWT Group has derived extra benefits from all these steps as well as a consolidation of its position on the highly competitive transport and logistics market.

Under the new business line´s arrangement, the top level AWT management focuses on strategy and the specification of objecti-ves, and defines rules for the whole Group. It also safeguards the reliable operation of all shared services and answers for the finan-cial results of the holding. The individual divisions are responsible for the provision of their respective services to customers and for achieving their specified objectives.

Nadnárodní dopravní a logistická skupina AWT má sídlo v ho-landském Amsterdamu a poskytuje své služby v mezinárodním měřítku už téměř 60 let. Má přímé zastoupení v devíti zemích světa a na terminálech ve čtyřech klíčových přístavech – Rijeka, Koper, Štětín a Gdyně.

Většina obchodních aktivit je řízena z České republiky, kde má skupina AWT rovněž největší počet zaměstnanců. Vedle toho má AWT dceřiné společnosti nebo pobočky také na Slovensku, v Polsku, Maďarsku, Bělorusku, Rumunsku, Chorvatsku a Slo-vinsku. Prostřednictvím sítě stálých partnerů může nabídnout služby pokrývající území celé Evropy, ale i Blízkého Východua zámoří.

Na železnici je dnes skupina AWT podle tržeb i přepravených tun jedním z největších soukromých dopravců v Evropě. Skupi-na disponuje širokým vozovým parkem, vlastní a provozuje stra-tegicky umístěný otevřený kontejnerový terminál Ostrava-Pas-kov a vlastní rovněž více než 400 km tratí. V České republice obsluhuje 60 vleček zabezpečujících téměř čtvrtinu veškerého zboží, které v tuzemsku přes vlečky prochází. Prostřednictvím divize ROSCO pak nabízí pronájem, údržbu a správu vozového parku.

V rámci spedice zajišťuje vedle železniční také silniční, námořní a leteckou přepravu. Jednotlivá odvětví dokáže efektivně kom-binovat, a nabízí tak zákazníkovi dopravu přímo na klíč.

Kromě přepravy má skupina AWT rozsáhlé zkušenosti takés rekultivačními, pozemními a stavebními pracemi, provozem skládek či nakládáním s odpady.

eFektivní diviZní strukturaSkupina AWT po řadě akvizic znásobila svoji velikost a stala se významným hráčem především na trhu střední a východní Evropy. Nově získané postavení přineslo skupině velký potenci-ál. Aby jej mohla naplno využít, rozhodla se upravit vnitřní řídící strukturu tak, aby byla efektivnější a přehlednější. Pod společ-ným názvem tak nyní vůči zákazníkům vystupují čtyři divize: Železniční doprava, Spedice a logistika, ROSCO a Rekultivační a stavební práce.

Jednotlivé divize pod sebe soustředily hlavní obchodní činnosti, které k sobě logicky patří. Došlo také ke zmenšení počtu právních subjektů tvořících celou skupinu, kterých bylo původně téměř 30. Základním klíčem ke slučování přitom byla centralizace stejných či podobných činností, které byly historic-ky roztříštěné mezi různé společnosti. Všechny tyto kroky přiná-šejí skupině další výhody a pomáhají upevnit její postavení na vysoce konkurenčním dopravním a logistickém trhu.

V novém divizním uspořádání se vedení skupiny AWT soustře-ďuje na strategii a stanovování cílů a tvoří jednotná pravidla pro celou skupinu. Současně zajišťuje fungování sdílených služeb a odpovídá za výsledky celé skupiny. Jednotlivé divize odpovídají za poskytování služeb zákazníkům a za splnění stanovených cílů.

dIVIzE ŽElEzNIčNí dOPRAVA

Veškerá železniční doprava, včetně kompletních služeb provo-zování vleček a traťových služeb, spadá v rámci skupiny AWT do divize Železniční doprava. Ta v sobě konsolidovala rovněž operátory schopné poskytnout přímé přepravní služby v želez-niční dopravě na území Česka, Slovenska a Maďarska.

Pronájmem moderních lokomotiv Siemens ER 20 rozšířila divize portfolio služeb zaměřené zejména na přepravu vlaků na česko-německém pomezí. Nové lokomotivy také v mnohých případech umožnily optimalizovat náklady na přepravu a její čas. Nižší ceny a celkově vyšší kvalitu služeb následně divize přenesla i na své zákazníky.

Dlouholeté zkušenosti z přeprav paliv a spolupráce s polskými partnery umožnily divizi navýšit její podíl na importu uhlí z Rus-ka. Jeho přeprava navíc přináší poptávku po celé řadě doplň-kových služeb, zejména skladování, celním odbavení a dalších.

Divize se snaží dále rozvíjet mezinárodní železniční přepravu, zvláště se zaměřením na region Česka, Maďarska, Polska a Sloven-ska. Dalším z jejích cílů je snaha o navýšení podílu na přepravách vlaků intermodálního charakteru, kde může divize Železničních služeb skupiny AWT zúročit vysokou kvalitu svých služeb.

vlakOvá dOpravaŽelezniční doprava je hlavní doménou skupiny AWT. V Evropě patří mezi největší soukromé nákladní železniční dopravce, na českém trhu má čtvrtinový podíl. Disponuje parkem s více než 160 lokomotivami a šesti tisíci železničními vozy. V roce 2010 přepravila více než 11 milionů tun zboží.

Skupina AWT zajišťuje vnitrostátní i mezinárodní dopravu,a to jak ucelenými vlaky, tak ve skupinách či jen jednotlivými vozy. Přepravní linky jsou pravidelné i jednorázové. Na zvlášť vytížených vozebních ramenech se dle přání zákazníků organi-zují také sběrné vlaky. Skupina AWT má bohaté zkušenostis organizováním dopravy mimořádných a kusových zásilek.

Největší objem přeprav se uskutečňuje na železniční síti České, Slovenské a Maďarské republiky. Vedle toho spolupracuje sku-pina AWT s dopravci z Polska, Německa, Rakouska, Rumunska, Bulharska, Itálie nebo Francie. Prakticky jakékoliv místo ležící na Evropské železniční síti zemí spadajících do Mezinárodní úmlu-vy o železniční dopravě COTIF je pro skupinu AWT dosažitelné.

prOvOZ vleČekSkupina AWT poskytuje komplexní služby na průmyslových vlečkách po celé zemi. Vlastní vlečková síť na Ostravsku dosa-huje téměř 400 kilometrů s více než tisícem výhybek a deseti vlečkovými stanicemi. Další širokou vlečkovou síť skupina pro-vozuje na Kladensku. Na obě sítě jsou napojené zpevněnéi nezpevněné skládkové plochy a v Ostravě-Paskově skladištěa kontejnerové překladiště. Dále skupina provozuje vlečky například ve Štětí, Ústí nad Labem, Plzni nebo Sokolově.

Drážní dopravu na vlečkách zajišťuje skupina AWT podle zá-kona č. 266/1994 Sb., o drahách. Provádí rovněž doprovodné služby – vykládku, nakládku, obsluhu pásové dopravy, provoz skládky uhlí, údržbu ploch, vystavování průvodních listin, vážení i balení zásilek, vnitrozávodovou silniční dopravu apod.

Kromě toho nabízí inženýring a poradenskou činnost v oblasti staveb na dráze a provozování drážní dopravy či tzv. bezpeč-nostního poradce při přepravě nebezpečných věcí po železnici (RID – International Rule for Transport of Dangerous Substances by Railway) i silnici (ADR – Accord Dangerouses Route).

Within the AWT Group, all rail transport, including the complete range of services related to rail sidings operation and rail track services, is managed and performed by the business line Rail Trans-port. This business line also has consolidated operators providing direct rail transport services within the territories of the Czech Republic, Slovakia and Hungary.

With the leasing of Siemens ER 20 modern locomotives, the division extended its portfolio of services, focused particularly on operating trains in the Czech-German border regions. The new locomotives have often resulted in an optimisation of the costs of transport and the cutting of delivery times. The business line has been able to pass on the lower prices, along with the overall higher service quality, to its customers.

Extensive experience in transporting fuels and a longstanding cooperation with its Polish partners have enabled the business line to increase its share in the business of importing coal from Russia. Moreover, the shipments have increased demand for a range of supplementary services, in particular storage and customs clearance.

The business line endeavours to develop its international rail transport, with a special emphasis on the territories of the Czech Republic, Hungary, Poland and Slovakia. Other objectives include increasing its share in the operation of intermodal shipment trains. In this sphere, the AWT Rail Transport business line can capitalise on the high quality of its services.

rail transpOrtRail transport is the core domain of the AWT Group. The Group ranks among the largest private rail freight transporters, with a market share of one quarter in the Czech Republic. It owns and operates more than 160 locomotives and nearly 6,000 freight wagons. In 2010, the holding shipped more than 11 million tonnes of goods.

The AWT Group operates national and international transport, by means of complete trains, groups of wagons or single wagons. The holding runs both regular and ad hoc shipping lines. Groupage trains are operated upon request on heavy-duty transport system branches. The AWT Group has extensive experience in organising shipments of special deliveries and individual items.

The majority of shipments are transported on the rail networks of the Czech Republic, Slovakia and Hungary. AWT also coope-rates with local forwarders in Poland, Germany, Austria, Romania, Bulgaria, Italy and France. It is able to reach practically any place on the European railway network operated under the Convention on International Carriage by Rail (COTIF).

Středisko traťových služeb pracuje s vlast-ními mechanizačními prostředky, např. automatickou strojní podbíječkou, kolejovými jeřáby a pluhem, vyhrnovačkou mezi--pražcových prostor nebo dvoucestnými bagry. Do jeho působ-nosti spadá také montážní základna kolejového materiálu pro montáže a demontáže kolejových polí a výhybek v Karviné.

dIVIzE SPEdICE A lOGISTIKA

Přepravní kapacity pokrývající díky síti obchodních partnerů prakticky celý svět se v rámci skupiny AWT koncentrovaly do divize Spedice a logistika. Jsou doplněné o další související služby s přidanou hodnotou, jako je celní deklarace, pojištěníči balení zásilek.

Tato divize se soustředí zejména na komplexnost služeb a chce zákazníkům nabízet optimální přepravní trasy v kombinaci že-lezniční, silniční, námořní a letecké spedice s možností překlá-dek a dlouhodobého skladování.

V silniční přepravě se spedice například v oblasti celovozů zaměřuje na rozšíření portfolia dodavatelů, aby službami pokryla maximum evropských destinací. Také v ostatních částech silničních přeprav se všechna realizovaná opatření zaměřují především na zvyšování spolehlivosti distribučního systému.

Další rozvojové aktivity směřují do terminálového překladištěv Paskově a obchodně posiluje i segment námořních přeprav.

V posledním roce se divizi Spedice podařilo získat a zorgani-zovat přepravy pro významné české strojírenské společnosti, které byly náročné jak na velikost a charakter zásilky, tak na vzdálenost destinace. Jako příklad může sloužit přeprava inves-

OperatiOn OF rail sidinGsThe AWT Group provides comprehensive services in the opera-tion of industrial rail sidings throughout the Czech Republic. The Group’s own network of sidings and sidetracks in the Ostrava region extends to nearly 400 km, with more than a thousand switch points and ten siding stations. Another extensive network is opera-ted in the Kladno region. Both networks include paved and unpaved unloading and storage areas, while at Ostrava-Paskov there is a ware-house and a container terminal. The Group furthermore operates rail sidings in the cities of Štětí, Ústí nad Labem, Pilsen and Sokolov.

The AWT Group operates the rail transport on the sidings and sidetracks in accordance with Act No. 266/1994 of Czech Legislation, on railways. The holding also provides auxiliary services, such as unloading, loading, operation of belt conveyors, operation of coal dumps, maintenance of surfaces, issuing of shipping documentation, weighing and packaging of consignments, intra-facility road transport, etc.

The Group also offers engineering and consulting services in the areas of railway construction and the operation of rail transport, and acts as a safety adviser in the transport of dangerous consign-ments by rail (RID – International Regulations for the Transport of Dangerous Merchandise by Railway) as well as by road (ADR – The European Agreement concerning the International Carriage of Dangerous Goods by Road).

railtraCk serviCesThe AWT Group provides expert services in the repair and main-tenance of rail track beds and formations, and communication and safety devices through its Railtrack Services Centre. Activities performed by the Centre also include the construction and restora-tion of tracks, road and pedestrian crossings, as well as special rail structures, such as crane, tram and narrow gauge tracks.

The AWT Group provides routine maintenance of rails, switch points and installations, maintenance and repairs of communica-tion and safety devices, and the installation of radio communica-tion equipment. The Group also builds paved surfaces, drainage systems and utility networks. The Railtrack Services Centre operates its own machinery, such as an automatic tamping machine, track cranes and a plough, a sweeper of inter-sleeper space and two-way excavators. The Centre also operates a track materials and assem-bly base, located in Karviná, for the installation and removal of railyards and switch points.

FORWARdING ANd lOGISTICSbUSINESS lINE

The AWT Group’s forwarding capacity, practically spanning the whole world through a network of business partners, has been consolidated within the Forwarding and Logistics business line, where it is supported by supplementary added value services, such as customs clearance, insurance and consignment packaging.

This business line primarily focuses on the provision of a compre-hensive range of services. It strives to offer its customers optimum transport routes through a combination of rail, road, sea and air shipments, with reloading and long-term storage available.

In road transport, the business line focuses for example on expan-ding its portfolio of full truckload suppliers in order to cover as many European destinations as possible. In other modes of road transport, all measures implemented are primarily aimed at impro-ving the reliability of the distribution system.

Other development activities take place at the transshipment termi-nal in Ostrava-Paskov, and within initiatives aimed at strengthening the sea transport segment.

In the past year, the Forwarding and Logistics business line succe-eded in winning contracts to organise shipments for major Czech

Terminál Ostrava-Paskov vedle vypravování ucelených vlakůi jednotlivých zásilek nabízí také překládku, svoz a rozvoz kontejnerů a jejich opravy a čištění. Dva moderní překladače – Hyster 45-24 IH a Kalmar DRF 450 – zvládnou manipulovat s kontejnery o hmotnosti několika desítek tun. Přímo v místě překladiště je i celní odbavení.

Stávající plocha terminálu 32 000 m2 bude během následují-cích let rozšířena na 47 000 m2. Zároveň se tak zvýší i dosavadní skladovací kapacita, která je v současnosti 1 400 TEU. Nejpoz-ději do poloviny roku 2012 by se měla kapacita zvýšit na 2 100 TEU a následným rozšířením plochy může dosáhnout až 3 100 standardizovaných, dvacet stop dlouhých kontejnerů (TEU).

lOGistiCké sluŽbySkupina AWT navrhuje logistická řešení od prvotních analýz přes průběžné plány až po optimalizace logistických operací.

V Praze, Dobrovízi, Olomouci a Bratislavě skupina disponuje téměř 30 000 m2 skladových ploch. Nabízí uskladnění paletizo-vaného zboží v regálech a policích, skladování na volné ploše, ale i ve speciálních režimech – v daňových a celních skladech či svobodném celním pásmu. Samozřejmostí jsou služby přidané hodnoty – balení, etiketování, štítkování, kompletace či třídění.

náMOřní přepravaNámořní přepravu zboží ze a do všech přístavů světa zajišťuje skupina AWT již téměř 60 let. Ve čtyřech evropských přístavech – Rijeka, Koper, Gdyně a Štětín – má přímé zastoupení. Zásilky přepravuje za použití integrovaného řetězce námořní a pozem-ní dopravy.

Vedle konvenční přepravy nabízí celokontejnerovou přepravu, spedici ve sběrných kontejnerech, přepravu těžkých a nad-rozměrných zásilek, nebezpečných nákladů nebo přepravu kolové/kolejové techniky speciálními loděmi. Mezi další služby skupiny AWT patří zajišťování lodního prostoru na bázi Char-ter-Party (nájem lodí pro konkrétní přepravu, zvláště pro zboží hromadné povahy), Cross-trades (přepravy, které nezačínají ani nekončí na území ČR), pojištění zásilek a celně-deklarační služby.

Ostrava-paskOv terMinalThe greatest advantage enjoyed by the Ostrava-Paskov terminal, one of the few open transshipment centres in the Czech Republic, lies in its strategic positioning. It is located in the heart of Europe while it is linked to other important European terminals and sea-ports on the shores of the Baltic, Adriatic and Black Seas. The termi-nal is located in the midst of large industrial zones in the Moravian--Silesian Region: Ostrava-Hrabová, Nošovice, Mošnov, Český Těšín and Třinec are all less than 50 km [31 miles] away. Of similar benefit is the proximity of a motorway and the Slovak and Polish borders. The terminal connects to the nationwide railway network via its own nine-track siding, serviced 24 hours a day by two locomotives.

In addition to dispatching complete trains as well as individual con-signments, the Ostrava-Paskov terminal also offers transshipment, the distribution and collection of containers, as well as container repairs and cleaning. Two modern reach stackers – a Hyster 45-24 IH and a Kalmar DRF 450 – can handle containers weighing dozens of tonnes. The transshipment section of the terminal also contains a customs clearance office.

The existing area of the terminal of 31,000 square metres will be expanded in the near future to 47,000 square metres. This expansi-on will be coupled with an increase in the existing storage capacity, which currently stands at 1,400 TEU [twenty-foot equivalent units]. The terminal capacity is expected to increase to 2,100 TEU by no later than mid-2012, with a subsequent additional increase to as much as 3,100 TEU.

lOGistiCs serviCesThe AWT Group is able to develop and propose logistic solutions, from initial analyses, through running plans to the optimisation of logistic operations.

The Group operates nearly 30,000 sqm of storage space in Prague, Dobrovíz, Olomouc and Bratislava. In its warehouses, the Group offers storage for palletised goods on racks and shelves, as well as free-space storage and special-regime storage in a customs warehouse or a duty-free zone. Services with added value, such as packaging, labelling, tagging, assembling and sorting, are a matter of course.

Silniční přeprava je rozdělena na tři základní segmenty služeb:

Celovozová spedice se soustředí zejména na přepravu plach-tovými kamiony v rámci celé Evropy. Na požadavek zákazníka však zajistíme i přepravu chladícími vozy, cisternami či přepravy kontejnerů po silnici.

Mezinárodní sběrná služba je zaměřena na přepravu kuso-vých zásilek po Evropě a do vybraných států Blízkého výcho-du a severní Afriky. Jedná se o ekonomicky výhodný způsob přepravy a vytěžování pravidelných kamionových linek, které několikrát týdně jezdí do jednotlivých zemí. Doplňkovou služ-bou jsou expresní přepravy SystemPlus, které zkracují dobu do-ručení zejména do významných průmyslových regionů Evropy.

vnitrostátní distribuční systém má strategicky rozmístěná překladiště umožňující přepravy kusových zásilek po celé Čes-ké republice do 24 hodin a na Slovensko v režimu 48 hodin.

kOMbinOvaná dOpravaPodle potřeb zákazníků skupina AWT dopravu efektivně kom-binuje. S intermodální dopravou má více než 15 let zkušeností. Skupina nabízí odbavení ucelených vlaků s možností překládky silničních návěsů a výměnných nástaveb. Zajistí lokomotivy, trakce, strojvedoucího i vozy, zboží se přepravuje v režimu tzv. Just in Time, zákazník může prostřednictvím službyTrack & Trace sledovat pohyb a polohu vlaku.

Ve střední Evropě je skupina největším a v České republice jediným operátorem kombinované dopravy v systému ACTS (Abroll-Container-Transport-System). Ten umožňuje překládku kontejnerů z tahače na železniční vůz a naopak bez použití speci-ální překládací techniky a specificky vybaveného kontejnerového překladiště. Systém tvoří tři základní prvky – odvalovací kontejne-ry ACTS (skupina jich vlastní v různých modifikacích 380), auto-mobilové nosiče/překladače kontejnerů ACTS (těch má deset)a plošinové železniční vozy (skupina vlastní 79 vozů řady Slps).

terMinál Ostrava-paskOvNejvětší výhodou terminálu Ostrava-Paskov, jednoho z mála ote-vřených překladišť v České republice, je jeho strategická poloha. Je umístěn v srdci Evropy a propojen s významnými evropskými terminály a přístavy Baltského, Jaderského a Černého moře. Leží ve středu velkých průmyslových zón v Moravskoslezském kraji – Ostrava-Hrabová, Nošovice, Mošnov, Český Těšín a Třinec nejsou vzdáleny více než 50 km. Stejně příznivá je i blízkost dálnicea slovenské a polské hranice. Přes vlastní vlečku, kterou tvoří de-vět kolejí a provoz na ní zajišťují 24 hodin denně dvě posunující lokomotivy, je terminál napojen na celostátní železniční síť.

rail FOrWardinGThe AWT Group is the largest rail forwarder in the Czech Republic, having been active in international transport for a considerable pe-riod of time. The holding itself has operated in this market for more than 15 years, while the experience of AWT Čechofracht reaches all the way back to 1952.

An indisputable advantage of the AWT Group lies in its cooperati-on with numerous hauliers in the Czech Republic as well as abroad. The company is the sole forwarder in the country that can guaran-tee the date of loading, while it also offers consignment tracking. Consecutive shipments are a matter of course, as is the creation of logistic chains. The AWT Group is one of the founding partners of the Carpáthia Express system train project. The holding also orga-nises ADRIA system trains, forwarding to and from countries of the former Soviet Union, including transshipments and re-forwarding (shipping mode changeover CIM/SMGS).

rOad FOrWardinGThe AWT Group also offers comprehensive services in road for-warding. Emphasis is placed on developing shipping and logistic solutions suited to each customer‘s needs.

Road forwarding divides into three basic service segments:

Full truckload shipments focus primarily on forwarding throughout Europe using tarpaulin-covered trucks. However, upon the request of a customer, we can ship road consignments using either refrige-ration, tanker or container vehicles.

an international groupage service is focused on forwarding indi-vidual items across Europe and to selected countries of the Middle East and Northern Africa. It is an economically advantageous form of forwarding and capacity utilisation on regular truck lines that service destinations in specified countries several times a week. The interna-tional groupage service also includes SystemPlus express shipments as a supplementary service. These express shipments reduce delive-ry times, with particular regard to key European industrial regions.

the intrastate distribution system is based on strategically positioned transshipment points that facilitate the forwarding of individual items to any destination in the Czech Republic within24 hours and to destinations in Slovakia within 48 hours.

interMOdal transpOrtThe AWT Group effectively combines various modes of transport in accordance with the customer‘s needs. The holding draws on more than 15 years of experience in using intermodal forwarding. The Group offers customs clearance of complete trains with the possibi-lity of reloading truck semitrailers and swap bodies. It furthermore provides the necessary locomotives, engine drivers and wagons, while the cargo is transported in the “Just in Time” regime, and customers can track the progress and location of the train using the Group’s Track & Trace service.

The Group is the largest operator of ACTS (Abroll-Container--Transport-System) intermodal transport in Central Europe and it is the only ACTS operator in the Czech Republic. The ACTS system enables the reloading of freight containers from a truck to a wagon and vice versa without the need for any special handling equip-ment and a specifically equipped container transshipment terminal. The system comprises four basic elements: roll-on/roll-off ACTS containers (the Group owns a total of 380 containers in various mo-difications), mobile container undercarriages/ACTS reloaders (10 are owned) and flatbed wagons (79 Slps-type cars are owned).

Zásilky přepraví ze všech a na všechna celní letiště po světě, expresní přepravy pak ve vybraných destinacích. Výjimkou není ani doprava nebezpečného, zkazitelného nebo cenného zboží.

Jako u všech ostatních typů dopravy, i v letecké zajistí pracov-níci firmy vyřízení celně-deklaračních povinností, pojištění, rozvozy a svozy zásilek. Zákazníkům umožní i krátkodobé skla-dování v celním skladu v prostorách letiště, v případě potřeby nabídnou poradenství.

Celní deklaraCeVýznamnou součástí komplexních logistických služeb pro přepravy mimo Evropskou unii jsou služby celní deklarace. Zajišťujeme celní odbavení leteckých, kontejnerových, kamio-nových a železničních zásilek, zastupujeme zákazníky v celním řízení, poskytujeme ručení za celní dluh a vystavujeme celní dokumenty potřebné k přepravě či uskladnění zboží. K celním službám nedílně patří i provozování daňového a celního skladu a svobodného pásma.

dIVIzE ROSCO – SPRáVA A PRONá-jEm VOzIdlOVéhO PARKU

Divize ROSCO (Rolling Stock Company) má ve správě více než 160 lokomotiv a téměř šest tisíc vozů. Většinu jejích kapacit využije skupina, zhruba 20 procent pak externí zákazníci. Po přechodu skupiny AWT na divizní strukturu se v divizi ROSCO centralizoval pronájem vozů a lokomotiv, práce s disponibilní-mi vozy, ale i veškeré související služby, včetně oprav a správy flotily. Veškeré procesy byly revidovány a nově nastaveny s důrazem na kvalitu a efektivitu.

V poslední době směřovaly investice především do vozidlové-ho parku: lokomotivy 753.7 a 740.3 a samovýsypné vozy Falls. Pronájem vozů i lokomotiv si kromě České republiky nachází zákazníky také na Slovensku, v Polsku, Maďarsku, Rakousku, Německu a v Rumunsku.

Jedním z důležitých cílů pro blízkou budoucnost je navýšení podílu externích zákazníků na příjmech divize. Z tohoto hledis-ka v sobě skrývají velký potenciál především flexibilní nabídka služeb čištění, oprav a údržby vagónů a lokomotiv.

sea transpOrtThe AWT Group has shipped goods by sea to and from all of the world’s seaports for nearly 60 years. The holding operates direct representative offices at four European ports: Rijeka, Koper, Gdynia and Szczecin. Consignments are forwarded using an integrated chain of sea and terrestrial transport.

In addition to conventional shipping, the Group offers its services in full container load shipments, groupage container forwarding, shipping of heavy and/or oversized consignments, and shipping of dangerous cargoes or of road/rail machinery using special ships. Other services in the AWT portfolio include the safeguarding of ship space by means of a Charter-Party (leasing a ship for particular shipping purposes, especially for bulk cargoes), cross-trades (shi-pments that neither initiate nor terminate in the Czech Republic), consignment insurance and customs clearance services.

air transpOrtThe AWT Group provides a complete range of air transport servi-ces directly from the SkyPort cargo terminal at the international airport Prague-Ruzyně. The Group forwards consignments to and from all airports of customs entry, with express shipments available for selected destinations. The range of the Group‘s offer does not fall short of including the transport of dangerous, perishable and valuable goods.

As with all the other forms of transport, AWT employees in the air transport segment take care of the customs clearance obligations, and the insurance, distribution and collection of consignments. Our customers can also benefit from short-term storage at the airport customs warehouse, as well as from consulting services.

CustOMs ClearanCeCustoms clearance forms a significant component of the complex range of logistics services associated with shipments to destinati-ons outside the European Union. We can secure customs clearance for airborne, container, truck and rail consignments, act as a proxy on behalf of a customer in the customs process, provide a guaran-tee for the customs liability and issue necessary documents for the transporting or the storage of goods. The operation of a tax and customs warehouse and a duty-free zone forms an integral part of the customs-related services offer.

ROSCO bUSINESS lINE – FlEET mANA- GEmENT ANd hIRE

The ROSCO business line (Rolling Stock Company) manages more than160 locomotives and nearly 6,000 freight wagons. The AWT Group utilises the majority of the business line’s capacity, while approximately 20 per cent of its capacity is available to external customers. Following the AWT transition to a business line structu-re, the ROSCO business line consolidated wagon and locomotive hire, and the management of available wagon capacity as well as all related services, including fleet management and repairs. All operational processes have been revised and configured anew with extra emphasis placed on quality and efficiency.

Investments have recently been directed predominantly into the fleet, with the introduction of locomotives 753.7 and 740.3, and the Falls hopper wagon with automatic discharge. In addition to the Czech Republic, the wagon and locomotive hire business serves cus-tomers in Slovakia, Poland, Hungary, Austria, Germany and Romania.

One important objective for the near future is to increase the ratio of external customers in the revenues of the business line. In this respect, the business line‘s flexible offer, which encompasses loco-motive and wagon cleaning, repair and maintenance services holds considerable potential.

Opravy ŽeleZniČníCh vOZŮ a lOkOMOtivSkupina AWT zabezpečuje údržbu, opravy a servis hnacích kolejových vozidel, nákladních železničních vozů, odvalovacích kontejnerů systému ACTS a výrobu svařovaných konstrukcí. Ve vlastních montážních a specializovaných dílnách používá moderní diagnostické a opravárenské techniky. Interní a externí údržbu či jednoduché neplánované opravy provádí také v loko-motivních depech.

Prona-jímá, spravuje a udržuje lokomotivy, kterých v současné době provozuje více než 160 (jde o lokomotivy různých řad). Správa železničních vozů zahrnuje jednak vlastní, jednak vozy exter-ních firem pronajaté pro interního zákazníka, vozy zajištěné pro externího zákazníka nebo vozy jiných přepravců.

Pronajímá především vysokostěnné, kryté, cisternové, výsypné a plošinové vozy. Vyspělé technologie pomáhají čistit železniční cisterny, autocisterny a kontejnery. Skupina AWT vlastní vypařo-vací a čisticí stanici pro železniční vozy a nákladní automobily. Umí zneškodňovat a nakládat s nebezpečnými odpady, čistit odpadní vody, k čemuž využívá elektroflotační metodus následným biologickým dočištěním.

dIVIzE REKUlTIVACEA STAVEbNí PRáCE

Divize Rekultivační a stavební práce skupiny AWT v sobě soustře-dila bohaté zkušenosti se sanací, revitalizací a rekultivací krajiny negativně ovlivněné lidskou činností. Naprostou samozřejmostí je pravidelná certifikace ISO 9001, 14001 a OHSAS 18001.

V roce 2012 oslaví divize 50 let od zahájení své činnosti na Ostravsku, kde rekultivuje a přírodě i lidskému využití navrací rozsáhlá území, pod nimiž probíhala a probíhá těžba černého uhlí. Revitalizační a rekultivační práce se realizují v úzké součin-nosti s obcemi a městy a v souladu s jejich územními plány, aby se realizovala právě taková opatření, která budou pro dotčený region přínosem.

FreiGht WaGOn and lOCOMOtive repairsThe AWT Group provides maintenance, repairs and servicing for rail engines, freight wagons and ACTS containers and the manufacture of welded structures. The Group’s assembly and specialised workshops are equipped with sophisticated diagnostic and repair technology. Maintenance for both internal and external customers or simple un-planned repairs are also performed at traction maintenance depots.

hire, ManaGeMent, MaintenanCe and CleaninG OFFreiGht WaGOns, lOCOMOtives and tank WaGOnsThe AWT Group has accumulated more than thirty years of ex-perience in the above-listed activities, making it one of the most prominent representatives in its industry. The Group hires, manages and provides maintenance for its locomotives, which number more than 160 in total (assorted types). Freight wagon management per-tains to the Group’s own stock as well as third party vehicles rented for internal customers, wagons secured for external customers and wagons of other transporters.

The AWT Group hires out primarily high-side cars, covered cars, tank, hopper and flatbed cars. The cleaning of tank wagons, tank trucks and containers is performed using advanced technology. The AWT Group owns a steaming and cleaning station for wagons and trucks. The Group can handle and dispose of hazardous waste, and treat wastewater using electro-flocculation with a subsequent biological final treatment.

REClAmATION ANd CONSTRUCTION WORKS bUSINESS lINE

The Reclamation and Construction Works business line of the AWT Group consolidates the Group’s rich pool of experience in decon-tamination, revitalisation and reclamation projects for landscapes negatively affected by human activity. Regular certifications in accordance with the standards ISO 9001, 14001 and OHSAS 18001 are a matter of course.

In 2012, the business line will celebrate the 50th anniversary of the commencement of its business activities in the Ostrava region, where it secures reclamations of extensive landscapes disturbed by former hard coal mining, enabling the return of nature and human use. Revitalisation and reclamation works take place in close cooperation with local municipalities and in accordance with their land use plans, in order to ensure that the measures implemented are beneficial for the affected neighbourhood.

Investments have recently been directed mainly towards the preparati-on of a biotic decomposition zone for the waste management business. Other investments support the continuous renewal and regeneration of the vehicle and machinery fleet. The business line also plans to acquire specialised machinery for decontamination processes.

Good standing knowledge of the landscapes above the former mines within the region, and of landscapes in relation to the industrial enterprises of the Ostrava region, and more recently of Central Bohemia as well (the Kladno area in particular), enable the business line of Reclamation and Construction Works to compete with large construction companies. At the same time, the business line actively seeks out new business leads and customers across the whole of the Czech Republic, as well as in border regions of Poland and Slovakia.

The company AWT Rekultivace a.s. is also a shareholder in Depos Horní Suchá, a.s., which deals in waste management.

COnstruCtiOn and reClaMatiOn WOrksThe business line performs extensive landscaping interventions, relocations of extensive volumes of earth, demolitions and the construction of new structures. The AWT Group possesses special technology and unique know-how which is utilised in locations where longstanding environmental burdens demand a solution.

V poslední době směřovaly investice především do přípravy biodegradační plochy v oblasti nakládání s odpady. Průběžně také dochází k obnově a regeneraci dopravně-mechanického parku. Do budoucna plánuje divize pořídit speciální stroje pro sanační technologie.

Znalost regionálního prostředí na poddolovaných územích ve vazbě na průmyslové podniky na Ostravsku a dnes i v regi-onech středních Čech (především Kladenska) dovolují divizi Rekultivace a stavební práce plně konkurovat velkým stavebním společnostem. Současně divize hledá nové příležitostia zákazníky po celém území České republiky, ale i v příhranič-ních oblastech Polska a Slovenska.

Společnost AWT Rekultivace a.s. je rovněž jedním z akcionářů společnosti Depos Horní Suchá, a.s., která se zabývá nakládá-ním s odpady.

stavební a rekultivaČní práCeDivize provádí rozsáhlé zásahy do terénu, přemísťování velkých objemů zeminy, demoliční zákroky i budování nových objek-tů. Skupina AWT má potřebnou speciální techniku a unikátní know-how, které nachází své využití i v lokalitách, kde je nutné řešit staré ekologické zátěže. Mezi činnosti skupiny patří mimo jiné ochrana přírody a krajiny, vytváření zeleně a úprava vod-ních toků, provoz skládek a zařízení k odstraňování a úpravě odpadů; v této oblasti skupina rovněž připravuje projekty.

likvidaCe ekOlOGiCkýCh ZátĚŽíSkupina AWT zřizuje a provozuje odvaly, výsypky a odkaliště, zajišťuje výstavbu skládek nebo likviduje průmyslový odpada dekontaminuje zeminu. Skupina sanuje staré zátěže a pomá-há obnovit funkci krajiny zasažené důlní činností. Zajišťuje také služby odpadového hospodářství, včetně provozování skládek.

Ke zneškodňování a využívání odpadů slouží rozsáhlý prostor mezi bývalými převýšenými odvaly důlní hlušiny Centrálního odvalu Zárubek v Ostravě. V tomto areálu provozuje na ploše 6,6 hektarů skládku odpadů skupiny S-NO pro odpady katego-rie nebezpečné a ostatní s využitelnou kapacitou 600 000 m3, dekontaminační středisko pro odpady znečištěné ropnými lát-kami a polyaromatickými uhlovodíky. Skupina zde má zařízení na recyklaci stavebních odpadů i zařízení k využití odpadů.

Activities of the Group thus include the protection of landscapes and the environment, the creation of green areas, modifications to watercourses, and the operation of landfills and facilities for the disposal and treatment of waste materials. The Group also provides project performance services in these areas.

reCtiFiCatiOn OF histOriCal envirOnMental burdensThe AWT Group establishes and operates spoil banks, tips and sett-ling pits, secures the construction of landfills, disposes of industrial waste and decontaminates soil. The Group decontaminates sites impacted by historical environmental burdens and helps to restore the functions of landscapes affected by previous mining activities. The holding also provides waste management services, including the operation of landfills.

The disposal and recycling of waste materials takes place at a large space situated among the former tips of the Central Spoil Banks Zá-rubek (COZ) facility in Ostrava. The Group operates a landfill where it deposits hazardous and other wastes on an area of 6.6 hectares [16.3 acres], with a capacity of 600,000 cubic metres. It also runs a decontamination centre for waste materials contaminated with oil and aromatic hydrocarbons. The Group furthermore operates a facility for the recycling of construction debris as well as a waste material reuse facility at the site.

GROUP STRUCTURE

The company Advanced World Transport B.V. (hereinafter the “Company”) directly held, as of the end of 2010, four subsidia-ries (Advanced World Transport a.s., AWT Čechofracht a.s, AWT Rekultivace a.s., and AWT Hungary Kft.) and indirectly controlled, through those subsidiaries, eight actively trading companies (the subsidiaries and indirectly owned active companies are referred to as “Affiliates”, while the Company and Affiliates are referred to as the “AWT Group” or “Group”). The AWT Group operated four distinct branches of business - business lines: Rail Transport, Forwarding and Logistics, ROSCO (leasing and maintenance of the rail transport fleet, namely freight wagons and locomoti-ves) and Reclamation and Construction works. The Company is 80%-owned by the firm BXR Logistics B.V., which is part of the group BXR Group B.V. (hereinafter „BXR Group“). The other 20 % is owned by the firm Hattisburg Enterprises Limited.

The AWT Group operates in 9 distinct countries in Europe.

bOARd OF dIRECTORS

The Board of Directors of the Company is the top-level mana- gement body of the Company and the AWT Group. The Board of Directors consists of 9 directors, whose profiles can be seen below. The diversity of the directors´ backgrounds and their professional careers serve as an anchor for their independence in their decision making and provide a depth of knowledge and experience in the managing of, and in maintaining an oversight over, the AWT Group‘s activities. The Company´s corporate bylaws give authority to the Board of Directors of the Company in all major and material matters that affect the business of the AWT Group and include, inter alia, all matters regarding any borrowings, the acquisition and disposal of assets of the Group and the hiring of key personnel. The Board of Directors meets in Amsterdam at least eight times in a year, where decisions are made. The activities and oversight of the Board of Directors is supported by two committees: the Finan-ce, Investment, Audit and Risk Management Committee and the Remuneration Committee.

Společnost Advanced World Transport B.V. (dále jen „Spo-lečnost“) byla ke konci roku 2010 přímým vlastníkem čtyř dceřiných společností (Advanced World Transport a.s., AWT Čechofracht a.s, AWT Rekultivace a.s. a AWT Hungary Kft.)a prostřednictvím těchto dceřiných společností nepřímo ovlá-dala osm aktivních obchodních společností (dceřiné společnos-ti a nepřímo ovládané společnosti se dále společně označují jako Přidružené osoby, přičemž Společnost a Přidružené osoby se společně označují jako „skupina AWT“ či „Skupina“). Skupina AWT provozovala svou činnost ve čtyřech samostatných oblas-tech – oborech činnosti: železniční doprava, spedice a logistika, ROSCO (správa a pronájem vozového parku) a rekultivacea stavební práce. Společnost je z 80 % vlastněná společností BXR Logistics B.V., která tvoří součást skupiny BXR Group B.V. (dále jen „BXR Group“), zbývajících 20 % vlastní společnost Hattisburg Enterprises Limited.

Skupina AWT má zastoupení v devíti evropských zemích.

PřEdSTAVENSTVO SPOlEčNOSTI

Představenstvo Společnosti představuje nejvyšší vedení Spo-lečnosti a Skupiny AWT. Představenstvo Společnosti se skládá z devíti ředitelů, jejichž profily jsou uvedeny níže. Rozmanitost osobních profilů a profesionální kvalifikace členů představen-stva jsou základem jejich nezávislosti v rozhodování a zaručují hluboké znalosti a zkušenosti v řízení a dohledu nad činností Skupiny AWT. Vnitřní předpisy Společnosti opravňují předsta-venstvo jednat ve všech významných a věcných záležitostech, které ovlivňují obchodní činnosti Skupiny AWT a mimo jiné zahrnují veškeré otázky týkající se půjček, pořizovánía nakládání s aktivy Skupiny a příjem klíčových zaměstnanců. Po návratu do Evropy se začal věnovat sek-toru těžby ropy a plynu a později byl zaměstnán ve finanční sféře jako finanční ředitel nizozemské finanční instituce IMC. Po určité době volna začal pracovat v BXR Group jako finanční ředitel zodpovědný za nemovitostní divizi skupiny. Členem představenstva společnosti Advanced World Transport B.V. byl jmenován 1. září 2008.

MiChael JasanskýČlen představenstva aWt bvMichael Jasanský vystudoval geofyziku na Univerzitě Karlově v Praze v roce 1994. Absolvoval i několik manažerských kurzů zaměřených především na finance. Začal pracovat pro společ-nost RPG poté, co koupila Karbon Invest, průmyslový holding zahrnující 58 společností činných v těžbě uhlí, výrobě koksu, přepravě, nemovitostech, energetice a dalších oborech. V le-tech 2005 až 2008 řídil a realizoval restrukturalizaci společnosti Karbon Invest. V současné době je Senior Partner ve společ-nosti BXR Group. Dříve byl zaměstnán ve společnostech Patria Finance, a.s., a Citibank a.s. Členem představenstva společnosti Advanced World Transport B.V. byl jmenován 16. září 2010.

After a sabbatical period, he joined BXR Group as CFO with responsibility for the Group’s real property division. He was appointed as a Member of Advanced World Transport B.V. Board of Directors on 1 Sep-tember 2008.

david prChalFinanČní ředitel skupiny aWtDavid Prchal působí jako finanční ředitel AWT od září 2010. Jeho úkolem je vést a strategicky řídit veškeré činnosti v oblasti financí a informačních technologií. Před příchodem do AWT působil ve vrcholovém vedení skupiny NWR jako ředitel pro finanční výkaznictví. Vystudoval ekonomii a od ukon-čení studia obor financí neopustil.

David Prchal je členem představenstva společností Advanced World Transport a.s., AWT Čechofracht a.s., AWT VADS a.s. (AWT ROSCO a.s.) a AWT Rail HU ZRt.

bOhuMil bOnCZekteChniCký ředitel skupiny aWtBohumil Bonczek strávil ve společnosti Advanced World Transport a.s. prakticky celou svou profesní kariéru. Více než 20 let pracuje v nejvyšších mana-žerských funkcích, od roku 1998 je místopředsedou představenstva společnosti AWT. Absolvoval Fakultu dopravy a spojů Žilinské univerzity. V roce 1974 rovněž dokončil studia oboru provoz a ekonomika železniční dopravy.

He has headed the AWT Group as CEO since that date. As a strategic advisor to share-holders he was involved to a notable extent in all the acquisitions that in the past three years have made the AWT Group one of the biggest private transporters. He studied economics and in recent years he has held various positions in the areas of investment banking and corporate finance.

david prChal aWt GrOup CFOMr. David Prchal has been CFO at AWT since September 2010. His task is to lead and strategica-lly manage all activities in the area of finance and information technology. Before he joined AWT, he worked in the top management of the NWR Group as the Director of Financial Reporting. He studied economics and he has not left the sphere of finance since he completed his studies.

bOhuMil bOnCZekaWt GrOup CtOMr. Bohumil Bonczek has been working at Advanced World Transport a.s. practically all his professional life. He has held various top management positions for more than 20 years, and since 1998 he has been the Vice Chairman of the AWT Board of Directors. He graduated from the Transport and Communica-tion Faculty at Žilina University. He also completed studies at the Faculty of Rail Transport Operation and Economics in 1974.

He is a Chairman of the Boards of Directors of AWT VADS a.s. (AWT ROSCO a.s.) and AWT Belterminal Ltd., a Vice Chairman of the Board of Directors of Advanced World Transport a.s. and a Member of the Board of Directors of AWT Rekultivace.

dana JanOWskápersOnální ředitelka skupiny aWtDana Janowská vystudovala Vysokou školu báň-skou-Technickou univerzitu Ostrava. Před příchodem do skupiny AWT vedla mimo jiné oddělení strategie a personalistiky společnosti Ostroj a.s. a působila ve společnosti Medicon.

petr JOnákředitel kOrpOrátní kOMunikaCe skupiny aWt Petr Jonák absolvoval Vysokou školu ekonomickou v Praze. Působil jako ekonomický redaktor České tiskové kanceláře (ČTK) a Hospodářských novina pracoval rovněž jako korespondent ČTK v Bruselu.V letech 2006 až 2009 byl zodpovědný za koordina-ci vnějších vztahů společnosti Škoda Auto. Ve skupi-ně AWT má Petr Jonák na starosti styk s veřejností, interní komunikaci, marketingovou komunikaci, korporátní identitu, vztahy s veřejnými institucemia společenskou zodpovědnost firmy.

Petr Jonák je rovněž členem správní rady Nadace OKD.

david kOstelníkředitel diviZe ŽeleZniČní dOpravy skupiny aWtDavid Kostelník je zaměstnancem společnosti Advanced World Transport a.s. od roku 1999. Od té doby ve společnosti působil v mnoha provozecha zastával řadu pozic. Je absolventem Dopravní fakulty Jana Pernera Univerzity Pardubice.

Martin vOštaředitel diviZe rOsCO skupiny aWtMartin Vošta vystudoval Fakultu dopravní Českého vysokého učení technického v Praze. Řadu let praco-val na Ministerstvu dopravy a následně v železniční přepravní společnosti Viamont Cargo. Působil jako koordinátor projektu integrace této společnosti do bývalé společnosti OKD, Doprava, (nyní Advanced World Transport a.s.) v roce 2009.

From 2006 to 2009 he coordinated external relations for the company Škoda Auto. Martin CetlFOrWardinG and lOGistiCs business line direCtOrMr. Martin Cetl studied law at Masaryk University in Brno. He gained extensive experience in transport and logistics in companies such as Transforwarding Rotterdam, P&O Trans European, ČSKD Intrans and Cargo-partner ČR.

He is a Vice Chairman of the Board of Directors of AWT Čechofracht a.s. and a Member of the Boardof Directors of Advanced World Transport a.s.

Martin vOštarOsCO business line direCtOrMr. Martin Vošta studied at the Faculty of Transport at the Czech Technical University in Prague. For many years he worked at the Ministry of Transport and then in rail transport company Viamont Car-go. He was the coordinator within the project to incorporate this company around the former OKD, Doprava (Advanced World Transport a.s.) in 2009.

He is a Vice Chairman of the Board of Directors of AWT VADS a.s. (AWT ROSCO a.s.).

andrZeJ santariusředitel diviZe rekultivaCe skupiny aWtAndrzej Santarius vystudoval Fakultu dopravy a spo-jů Žilinské univerzity, rovněž získal titul Ph.D. v oboru ekonomie. Od roku 1986 působil ve společnosti OKD, Doprava, a.s., kde od roku 1997 řídil zemnía rekultivační práce. Andrzej Santarius je kvalifikova-ným autorizovaným inženýrem v oboru dopravních staveb a je držitelem důlního osvědčení pro činnosti prováděné při těžbě nerostů.

zPůSOb SChVAlOVáNíA ROzdělENí PRAVOmOCí

Prostřednictvím stanoveného způsobu schvalování zaručuje představenstvo Společnosti přijímání příslušných rozhodnutí Při-druženými osobami na odpovídajících úrovních. Představenstvo například vyžaduje dodržování zásady dvou párů očí při schva-lování jakékoliv transakce s hodnotou převyšující 200 EUR, kdy však konečný zodpovědný ředitel příslušné divize má možnost kontrolovat každý jednotlivý souhlas. Představenstvo má za to, že uplatňováním těchto zásad schvalování je zajištěna potřebná rovnováha mezi efektivitou, dohledem a odpovědností.

STřET zájmů

Ředitelé a významní manažeři mají prostřednictvím smluv,a v některých případech ze zákona, zákaz jakékoliv činnosti, která by byla konkurenční vůči obchodním činnostem skupiny AWT. Tento zákaz je platný po dobu jejich působení ve Skupině a během šesti měsíců po jeho ukončení. Každý zaměstnanec Skupiny je v souladu s obecně platnými zákonnými ustanovení-mi povinen zamezit vzniku škody a oznámit jakýkoliv potenciál-ní střet zájmů, který by mohl skupině AWT škodu způsobit.

ETICKý KOdEx

Skupina AWT zavádí Etický kodex, který bude doplňovat poža-davek na striktní dodržování právních předpisů. Podle Etického kodexu se bude řídit jednání a vystupování zaměstnanců Sku-piny, přičemž hlavní důraz bude kladen na následující hodnoty: sounáležitost, odpovědnost, kvalitu, inovace a spokojenost zákazníků.

VNITřNí KONTROlA

Komise pro finance, investice, audit a řízení rizik představenstva Společnosti má na starosti vnitřní kontrolní funkci ve skupině AWT prostřednictvím interního auditora. Interní auditor je zod-povědný za tvorbu a dohled nad uplatňováním konzistentních vnitřních kontrolních postupů v rámci skupiny AWT, předkládá-ní plánů kontrol a zadávání auditů, přípravu statutů pro interní audity a výkaznictví interní kontroly řízení rizik v rámci Skupiny.

andrZeJ santariusreClaMatiOn and COnstruCtiOn business line direCtOrMr. Andrzej Santarius graduated from the Transport and Communications Faculty at Žilina University, he also finished his PhD in economics. Since 1986 he has worked in OKD, Doprava, a.s. where he has ma-naged ground and reclamation works since 1997. Andrzej Santarius is a qualified Authorised Engi-neer in transport construction and is the holder of a Mining Certificate for activities performed during mineral mining.

He is Chairman of the Board of Directors of AWT Rekultivace a.s.

APPROVAl POlICyANd dElEGATION OF AUThORITy

The Board of Directors of the Company ensures through a special approval policy that relevant approvals at its Affiliates are made at appropriate levels. The Board, for example, requires the observance of a two-pairs-of-eyes principle for any transaction approval relating to a value of more than EUR 200, while at the same time enabling the final responsible manager of a concrete Business Line to control each and every specific approval. The Board believes that through the approval policy, the right balan-ce between efficiency, control and accountability is ensured.

CONFlICTS OF INTEREST

Directors and key managers are barred, through contracts and, in some instances, by the application of the law, from any activity which would be competitive to the business of the AWT Group. They are barred throughout their engagement and for six months after their engagement with the Group is concluded. Each emplo-yee of the Group is under a general legal obligation to prevent the occurrence of damage, and to report any potential conflict of interest situation which could cause damage to the AWT Group.

COdE OF EThICS

The AWT Group is implementing a Code of Ethics which will stand alongside the requirement that demands the strict observance of legal regulations. The Code will govern the behaviour of the Group‘s employees, with a focus on the following values: fellowship, respon-sibility, quality, innovation and customer satisfaction.

INTERNAl AUdIT

The Finance, Investment, Audit and Risk Management Com-mittee of the Board of Directors of the Company oversees the internal auditing function in the AWT Group through the Group‘s internal auditor. The internal auditor is responsible for develo-ping and overseeing the implementation of consistent internal auditing policies within the AWT Group, delivering the audit plans and audit assignment, preparing internal audit charters and reporting on the Group‘s risk management internal control.

ŽIVOTNí PROSTřEdí

Vůči okolní krajině a lidem, kteří v ní žijí, se snažíme chovat ohleduplně. Naší hlavní doménou je železniční doprava, řadící se mezi nejekologičtější způsoby dopravy vůbec. Do-pady naší činnosti na životní prostředí snižujeme pravidel-nou modernizací vozového parku a efektivním využíváním kombinované dopravy. Dlouhodobě snižujeme spotřebu energií i produkci odpadů. Dokážeme rekultivovat poniče-nou přírodu. Principy udržitelnosti uplatňujeme ve všech činnostech naší skupiny.

spOtřeba enerGiíSpotřebu jednotlivých typů energií v našich provozech sle-dujeme dlouhodobě. Spotřeba elektrické energie postupně klesá, od roku 2005 přibližně o 18 procent. Snižuje se také spotřeba pitné a užitkové vody v přepočtu na počet zaměst-nanců, v posledních letech v průměru o tři procenta ročně. Spotřeba pohonných hmot je po mírném růstu souvisejícím s převzetím několika společností oproti roku 2009 také nižší.

ThE ENVIRONmENT

We strive to act responsibly towards the surrounding envi-ronment and the people living within it. Our core domainis rail transport, which ranks among the most environmenta-lly friendly means of transport. We reduce our environmen-tal footprint with the regular upgrading of our fleets and through the efficient utilisation of intermodal transport. We continue to reduce both our energy consumption and was-te production. We restore damaged natural resources. We implement sustainability principles throughout all aspects of our Group‘s business undertakings.

enerGy COnsuMptiOnWe monitor the energy consumption of our operations over the long term. Our electricity consumption has gradually decreased; since 2005, it has fallen by approximately 18 per cent. We also endeavour to reduce our consumption of potable and utility water per employee; in recent years, it has fallen by an annual average of three per cent. Following a slight increase associated with the acquisition of several companies, our year-on-year fuel consumption also dec-reased, in comparison to 2009.

OdpadyVelkého pokroku dosahujeme při nakládání s odpady. V po-sledních pěti letech klesla produkce odpadů (v přepočtu na výnosy společnosti) více než o polovinu. Podstatou našeho podnikání jsou přepravní služby, nikoliv výroba, dvě třetiny odpadů tak tvoří železný šrot v podobě starých vagónů, který lze znovu zpracovat a druhotně využít.

rekultivaČní práCeV rekultivacích krajiny máme padesátileté zkušenosti, potřebnou techniku a kvalifikované lidi, kteří umí vracet poničené přírodě život. Naše unikátní know-how nachází své využití i v jiných lokalitách, kde je nezbytné řešit staré ekologické zátěže. Zabýváme se ochranou přírody a krajiny, vytvářením zeleně a úpravou vodních toků, provozujeme skládky a zařízení k odstraňování a úpravě odpadů.

Skupina AWT se svými přibližně 2 800 zaměstnanci působí-cími na desítkách pracovišť po celé České republice patřík největším zaměstnavatelům v zemi. ObČanské sdruŽení svatá barbOraSkupina AWT je členem Občanského sdružení svatá Barbora. To pomáhá dětem, kterým zemřel jeden z rodičů na následky pracovního úrazu. Dbá na to, aby tyto děti nebyly finančně diskriminovány, a přispívá zejména na jejich výchovua vzdělání.

beZpeČnOst práCe ve skupinĚ aWt Vývoj sledovaných klíčových ukazatelů bezpečnosti ve skupině AWT v roce 2010 vykazuje příznivé hodnoty. Ve srovnání s rokem 2009 došlo k poklesu počtu registrova-ných pracovních úrazů o 24 procent.

Waste MaterialsWe have achieved significant progress in managing waste. Over the last five years, our production of waste materials has dropped by more than one half (adjusted to Group reve-nues). The essence of our business activities is transport and not production, thus two thirds of waste is scrap metal from disused wagons, which can be processed and recycled.

reClaMatiOn WOrksWe have amassed fifty years of experience in landscape reclamation, together with the necessary technology and qualified people, who can return life to previously ruined nature. Our unique know-how is readily applied in other locations where historical environmental burdens demand rectification. We engage in environmental and landscape protection, the creation of green areas and modifications of watercourses, as well as the operation of landfills and facili-ties for the disposal and treatment of waste materials.

CARING FOR OUR EmPlOyEES

With approximately 2 800 employees at dozens of locations across the Czech Republic, the AWT Group ranks among the largest employers in the country. We are well aware that the essential condition for success is the availability of a qualified and flexible workforce. That is why we invest in education and promoting the qualifications of our emplo-yees. We also offer our employees numerous benefits. Our Group cooperates with vocational schools, specialised schools and universities, in the form of internships, presen-tations by our experts at schools, open door days, lectures which are given at our workplaces, and joint research and development projects.

saint barbOra CiviC assOCiatiOnThe AWT Group is a member of the Saint Barbora Civic Association. The Association assists children who have lost a parent due to an occupational accident. It makes sure that these children are not discriminated against financially, and contributes primarily to their upbringing and education.

OCCupatiOnal saFety Within the aWt GrOupThe development of key safety indicator data monitored for the AWT Group showed positive trends in 2010. Compa-red to 2009, the number of reported occupational injuries decreased by 24 per cent.

V letech 2009 i 2010 došlo k jednomu smrtelnému pra-covnímu úrazu. V obou případech to bylo při provozování drážní dopravy a kvůli hrubému porušení pravidel bezpeč-nosti zaměstnancem.

Prioritou Skupiny AWT je proto dosažení zlepšení osobního přístupu každého jednotlivce k bezpečnému chování a zá- sadám bezpečné práce, a proto je nutné neustále všem zaměstnancům vštěpovat bezpečné chování formou školení, výchovou, osobním kontaktem při kontrolách pracovišť nebo pravidelnými příspěvky s bezpečnostní tematikou v interním časopise Kompas.

Zájmem Skupiny AWT je součinnost v oblasti bezpečnostia ochrany zdraví při práci (BOZP) se zaměstnanci, odborovými orgány, úřady a veřejností, založená na průběžné výměně in-formací k pochopení přijatých cílů a výsledků realizace progra-mů v oblasti BOZP a na rychlé reakci na vyslovené podněty.

Veškeré mimořádné události jsou analyzovány a jsou k nim přijímána opatření. Na základě analýz je rozvíjeno řízení BOZP ve využívání systému vzdělávání a výcviku zaměstnan-ců společností ke zvyšování jejich uvědomění a znalostív oblasti BOZP, s důrazem na prevenci a snižování rizik.

Je kladen důraz na bezpečný a provozuschopný stav do-pravních, mechanizačních a ostatních prostředků, splňující požadavky zákonných předpisů, norem a pokynů výrobců, což je nezbytnou podmínkou nasazení těchto prostředkův činnostech společností skupiny AWT.

spOlupráCe se škOlaMiVíce než 2 800 zaměstnanců znamená pro skupinu AWT velké nároky na pravidelný nábor nových pracovních sil. Snažíme se proto vychovávat naše budoucí zaměstnance již při jejich studiu a pomáhat školám, jejichž absolventi k nám dlouhodobě míří. Spolupracujeme s řadou vysokých škol, středních odborných škol a učilišť. Spolupráce s univerzi-tami a vysokými školami probíhá formou odborných stáží a praxí, exkurzí, vyučování přímo na provozech, přednášek a prezentací našich odborníků na školách, vedení baka-lářských a diplomových prací nebo realizací společných výzkumných a vývojových projektů.

AWT se rovněž pravidelně účastní veletrhů pracovních pří-ležitostí především v ČR, ale také v Polsku a na Slovensku.V roce 2010 se zúčastnila i 1. virtuálního veletrhu práce v ČR, který probíhal prostřednictvím internetu a umožnil oslovit zájemce ze všech regionů a následně s nimi aktivně komunikovat z jednoho místa.

míSTNí KOmUNITyA TRAdICE

Aktivity skupiny AWT už dávno překročily hranice Moravsko-slezského kraje i České republiky, stále jsme si však dobře vědomi, odkud jsme vzešli a odkud pochází většina našich zaměstnanců. Prostřednictvím Nadace OKD přispívámek rozvoji nejen tohoto regionu. Průmyslové dědictví Moravy a Slezska a také velký kus historie naší skupiny chráníme prostřednictvím podpory areálu Landek a Hornického muzea v Ostravě. Podporujeme také další společensky pro-spěšné projekty ve všech regionech, kde působíme.

nadaCe OkdSkupina AWT je pravidelným dárcem Nadace OKD, jednéz největších firemních nadací v České republice. Prostřed-nictvím našeho zástupce ve správní radě se aktivně podílí-me i na výběru projektů.

hOrniCké MuZeuM na landekuNa sklonku roku 2010 jsme obnovili spolupráci s ostrav-ským areálem Landek, který je proslulý svým Hornickým muzeem. Hornické muzeum odráží průmyslové dědictví severní Moravy a Slezska a také velký kus minulosti naší skupiny. V rozsáhlém areálu jsou k vidění například i naše historické vagóny nebo stroje těžké mechanizace.

kOntO bariéryMezi podporovatele projektu Konto Bariéry, který pomáhá tě-lesně postiženým občanům, patří již několik let i zaměstnanci společnosti AWT Čechofracht. Společně s odborovou organi-zací každým rokem vybírají nejen samotné finanční příspěvky, ale následně i konkrétní projekt, který bude podpořen.

pOvOdnĚPomoc při povodních se ve skupině AWT stala tradicí. Ved-le solidarity s postiženými regiony, ve kterých skupina AWT podniká a odkud pocházejí její zaměstnanci, dává skupina při likvidaci následků povodní k dispozici svou rozsáhlou těžkou techniku.

Při květnových povodních v roce 2010 se skupina AWT zapo-jila do budování protipovodňových hrází, odklízení vodních nánosů hrozících stržením mostů, odstraňování bahna a dal-ších následků povodní. Přispěla také na opravu infrastruktury vybraných obcí a pomohla s přepravou vysoušecích přístrojů do zaplavených oblastí. Mezi zaměstnanci skupiny AWT navíc proběhla sbírka, v rámci které bylo vybráno více než 350 tisíc korun. Prostředky byly využity na nákup nových pomůceka vybavení dobrovolných hasičů, část prostředků byla rozdě-lena mezi zaměstnance, kteří při povodni utrpěli škody.

lOCAl COmmUNITIESANd TRAdITIONS

Activities pursued by the AWT Group have long since moved beyond the borders of the Moravian-Silesian Region and even those of the Czech Republic. However, we never cease to bear in mind where our roots are and where most of our employees hail from. Through the OKD Foundati-on, we contribute to the development of our own region, and others. We protect the industrial heritage of Northern Moravia as well as a considerable part of our own history through support given to the Landek site and the Mining Museum in Ostrava. We also support other socially benefici-al projects in all regions where we operate.

Okd FOundatiOnThe AWT Group is a regular contributor to the OKD Foun-dation, one of the largest corporate foundations in the Czech Republic. We actively participate in the selection of the recipient projects through our representative on the Board of Directors of the Foundation.

MininG MuseuM at landekAt the end of 2010, we renewed our collaboration with the Landek site initiative in Ostrava, famous for its Mining Muse-um. The Mining Museum reflects the industrial heritage of Northern Moravia and a significant part of the history of our Group. The extensive museum compound displays for exam-ple some of our historical wagons and heavy machinery.

barriers aCCOunt (kOntO bariéry)Employees of AWT Čechofracht have contributed to the BARRIERS Account project, which has been helping people with disabilities, for several years now. In cooperation with the trade union, each year they not only collect the finan-cial contributions, but also select a particular project to be supported.

FlOOdsHelping people affected by floods has by now become a custom in the AWT Group. In addition to the demonstration of solidarity towards the flood-affected regions in which AWT operates and from where its employees come, the Group also provides its heavy machinery to assist in the clean-up.

During the floods of May 2010, the AWT Group became engaged in the construction of flood-protection dikes, the removal of waterborne material that threatened to damage bridges, and the removal of mud and other consequen-ces of the floods. The Group also contributed towards the repairing of damaged infrastructure and helped to trans-port heaters to flooded areas. In addition, AWT employees passed around a collection box, gathering more than CZK 350,000. Some of the money was subsequently used to purchase new gear and accessories for volunteer firefigh-ters, while a proportion of the resources went to those AWT employees who suffered flood damage.

There was one fatal injury in both 2009 and 2010, occurring in association with the running of rail transport. The cause of each accident was a gross breach of safety rules by the employee in question.

Improving the individual attitude of all our employees to safe conduct and occupational safety principles is thus a priority at AWT Group. There is an indispensable requirement to conti-nuously ingrain in all our employees the principles of safe be-haviour. This is achieved through training sessions, education, personal contact during workplace inspections and occupati-onal safety contributions in the internal bulletin “Kompas”.

AWT Group endeavours to achieve cooperation with employees, unions, authorities and the public in the area of occupational safety based on a continuous exchange of information. The purpose is to put across the declared objectives and the results obtained from Occupational He-alth and Safety (OHS) programmes, and to provide speedy responses to any suggestions made.

All exceptional events are thoroughly analysed and the relevant measures are subsequently adopted. Analyses also serve as the basis for the development of OHS mana- gement within the system of training and education of the Group’s employees, which is aimed at increasing the level of awareness and knowledge in the area of OHS, with a special emphasis placed on prevention and risk reduction.

We stress the importance of maintaining all vehicles, machi-nery and other technology in a safe and serviceable conditi-on, in line with the relevant requirements stipulated in legal regulations, standards and manufacturers’ instructions. Such maintenance is a fundamental condition for the use of such equipment in any activity pursued by the AWT Group.

COllabOratiOn With sChOOlsAWT‘s workforce of more then 2 800 people naturally me-ans there is a considerable demand for the regular recruit-ment of new employees. We therefore strive to educate our future employees even whilst they are still receiving schoo-ling and to assist educational institutions which produce graduates who may go on to become our employees. We collaborate with numerous universities, secondary vocatio-nal schools and training institutions.

Our cooperation with universities takes place in the formof internships, open door days, lectures conducted at ourworkplaces, lectures and presentations given by our ex-perts at schools, assistance in the development of theses and dissertations, and joint research and development projects.

AWT also regularly participates in job fairs, mostly in the Czech Republic, but also in Poland and Slovakia. In 2010, the Group took part in the first virtual job fair in the Czech Repub-lic. Held on the Internet, it reached out to potential job candi-dates from all regions, and provided a subsequent opportuni-ty to actively communicate with them from a single portal.

The management of Advanced World Transport B.V. (hereinafter the„Company“) hereby presents its key financials for the financial year ended 31 December 2010.

General inFOrMatiOn

The Company and its subsidiaries (hereinafter “the AWT Group”) have gone through a rebranding process as anticipated in the Directors’ report for the year 2009. Under the new name Advanced World Transport or abbreviation AWT the AWT Group wants to build upon its more than 60 years old tradition on the market.

The principal business of the AWT Group is freight transport, forwarding, rolling stock management and land reclamation and construction. Geographically the AWT Group is active in most Euro-pean countries with the main focus on the Czech Republic, Poland, Hungary and Slovakia.

The Company’s main objective is to act as a holding entity, to incor-porate, acquire, participate in, and manage and to have any other interest in other companies or enterprises of any nature in line with the AWT Group’s core business and its strategy. The Company may also raise funds by way of securities, bank loans, bond issues and notes and borrow in any other way, lend to provide guarantees, including guarantees for debts of other persons, assume commit-ments in the name of any enterprises with which it may be associa-ted within a group of companies and provide transport, forwarding and rental services.

The Company has a two-tier Board of Directors. The number of Directors in the Board decreased from 11 to 9 during 2010. The Supervisory Board has not been appointed. On 19 May 2011 the Members of the Board are:

The decision making of the Board is newly supported by two committees established by the Board in October 2010. The Finance, Investment, Audit and Risk Management Committee and the Remuneration Committee are governed by specific rules and responsibilities clearly specified and approved by the Board. The Board is being advised by the Committees but remains responsible for its decisions.

BXR Logistics B.V. holds 100% of the shares of the Company. The ultimate shareholder of the AWT Group is BXR Group Limited, replacing RPG Partners Limited as the previous ultimate sharehol-der. BXR Group limited owns indirectly 80% of shares in BXR Logis-tics B.V. The remaining 20% are held by HATTISBURG ENTERPRISES LIMITED.

business strateGy and restruCturinG

The unification of the AWT Group processes following the acquisition of the Čechofracht Group was supported by passing new internal rules respecting the intention to implement a common Corporate Governance Policy and common financial and operational manage-ment within the AWT Group. The Company seeks to implement and maintain international best practice in Corporate Governance.

The AWT Group has been newly divided into the following sustai-nable lines of business, which represents the segments of the AWT Group. Each business line is defined by its scope of business and consolidates all entities and business units of the AWT Group ope-rating in such field of business. The divisions are:

• rail transport (includes train transport, intermodal transport, sidings and track services centre)

• Forwarding and logistics (includes rail, road, sea, air forwarding, logistics terminals, customs clearance, logistics)

• rosco (rolling stock company includes rolling stock management, rentals and repairs)

• reclamation, Ground works (includes land reclamation, ground works, construction works, waste disposal activities and other related activities) • overheads

The restructuring process is still ongoing. The AWT Group is focu-sing on its core entities and seeks to limit the number of non-core subsidiaries.

The Board of the Company has decided to switch from an asset heavy road transportation business to road forwarding. This results in a restructuring process including the return of a number of assets to leasing companies and a reduction of the AWT Group’s headcount with potential savings and increased flexibility and an improved financial situation. The asset intensive road business was operated by business unit 02 in Advanced World Transport a.s. (a subsidiary of the Company, hereinafter “AWT a.s.”) and in AWT BlueTrucks s.r.o. (an indirect subsidiary of the Company, hereinafter “Blue Trucks”). The business unit 02 will be closed and the forwarding business will be transferred to AWT Čechofracht a.s. (hereinafter “Čechofracht”). Blue Trucks will merge with Čechofracht in the first half of 2011 (see below).

The AWT Group seeks to distinguish itself from other competitors mainly by providing a full range of complex high quality services to its customers and by focusing on specific needs of each customer. The AWT Group is able to satisfy any customer needs in the fields of logistics and transportation services.

leGal struCture OF the aWt GrOup

The following chart (page 35) presents the current legal structure of the AWT Group. The chart shows only consolidated entities and does not present all entities and participations owned.

In January 2011, the Board approved the intention to merge Čechofracht, Blue Trucks and AWT SPEDI-TRANS s.r.o. (hereinafter “Spedi-Trans”), with the effective date 1 January 2011. Through the merger AWT VADS a.s. (hereinafter “VADS”) will become a direct subsidiary of Čechofracht and subsequently will be transferred to the Company to become its direct subsidiary.

On 23 March 2011 the AWT Group acquired the remaining 10% stake in AWT Rail HU ZRt. Thus AWT Hungary Kft. became a 100% shareholder of AWT Rail HU ZRt.

eMplOyees

During the year 2010 the AWT Group employed an average of2 838 employees. The AWT Group’s headcount was reduced during the restructuring process, mainly due to the closing of the road business. The AWT Group’s headcount will decrease further as some of the restructuring changes, including the road business closing will be finalized only in 2011. The average wage development depends on negotiations with trade unions, which takes place generally once a year. All AWT Group’s entities reached agreements with their trade unions for the year 2011 ensuring an average salary in the Czech entities of the AWT Group above the average salary in the Czech Republic. The Company went through personnel changes at the top management level during 2010. Mr. Attila Boros, the Chairman of the Board of the Company and AWT Group CEO as well as Mr. Andrew Brookie, AWT Group CFO have resigned. Mr. Martin Frývaldský has been appointed as an interim CEO and as a Director A of the Board. Mr. David Prchal was appointed as the new AWT Group CFO. The Company is actively looking for a new CEO.

In accordance with the Collective Agreement the AWT Group provi-des to employees certain employees‘ benefits – pension contribu-tions, meals contributions, an additional week of vacation etc. The Company stresses the importance of the continuous education of employees. In addition to legally binding training, the Company supports college and university studies of employees. The AWT

Group will implement a continuous improvement program to mo-tivate employees on improvements in efficiency, productivity and safety during 2011.

FinanCial inFOrMatiOn and perFOrManCe indiCatOrs

During 2010 the AWT Group recorded consolidated revenues of EUR 375.1 million which represents an EUR 143.6 million increase compared to the previous year. Consolidated EBITDA for 2010 was EUR 22.5 million, compared to EUR 21.5 million in 2009.

As of 31 December 2010 the AWT Group operated a fleet of 167 locomotives, 5 923 railway wagons, 89 tippers and 70 groundwork machines.

inFOrMatiOn reGardinG FinanCial instruMents

The AWT Group’s principal financial instruments, other than deri-vatives, comprise bank loans and overdrafts, finance leases, trade payables and leasing contracts. The main purpose of these financi-al instruments is to raise finance for the AWT Group operations. The AWT Group has various financial assets such as trade receivables, cash, restricted cash and short and long term deposits.

The AWT Group’s activities are exposed primarily to the risks of fluctuations in foreign currency exchange rates, commodity prices and interest rates. Credit risk arises from the potential inability of debtors to meet their commitments as they fall due. The AWT Group regularly monitors the credibility of its customers to prevent excessive bad debts and aims to trade only with creditworthy parties. Market risk arises from the possible variations in the value of assets and liabilities due to fluctuation in foreign exchange rates, interest rates and prices of commodities such as electricity.

Foreign exchange risk is limited to f/x fluctuation of net balances denominated in other than functional currencies of EUR 5 270 thousand.

Interest rate risk is driven by the fluctuation of EURIBOR and PRI-BOR, as the AWT Group’s loans and finance leases are based on these rates. The aggregated balance of debt is EUR 102 322 thou-sand. The interest rate risk on the main long-term loans is 100% hedged by interest rate swaps held by the AWT Group.

envirOnMental inFOrMatiOn

The AWT Group has implemented and certified an Environmental management system ISO 14001:2005. All companies within the AWT Group concentrate on environmentally friendly technologies that comply with most up-to-date safety and environmental regula-tions. Employees of the AWT Group are regularly educated so they have awareness and skills to protect the working environment. The AWT Group has committed to comply with all environmental re-

gulations, systematic prevention of pollution, damage prevention, and minimization of emissions, noise and fuel consumption. A safe environment for the employees remains one of the most impor-tant goals of the AWT Group. The importance of safety is highly emphasized so the employees can easily avoid fatal injuries at their working place. The AWT Group believes that it will strengthen the relations not only with the employees but also with the regional, municipal and governmental authorities.

researCh and develOpMent inFOrMatiOn

The AWT Group does not have its own research and development activities. Nevertheless, the AWT Group participates in development projects – e.g. battery powered shunting locomotives and optimizati-on of logistic processes by using GPS technology as well as coopera-tion on customized development of software for railway operations. The AWT Groups also own several patents and industrial patterns. Other inFOrMatiOn

The Company has created an internal audit position, however the internal auditor has not been recruited yet. It is intended the in-ternal auditor is to set up best practice methods and standards for internal auditing and focus on the audit of main risks, identified in cooperation with the management and the Board of the Company. The internal auditor will report to the Finance, Investment, Audit and Risk Management Committee directly.

Future OutlOOk

The AWT Group is currently going through a restructuring and consolidation period. In 2011, management plans to focus on stabilizing the AWT Group and its internal management structure, and to focus on the development of currently operated businesses and achieve a significant improvement in financial performance by increasing efficiencies, introducing redundancies and a stronger fo-cus on the sales and operating cash flow. During 2011 a new AWT Group CEO should be appointed.

The management is not aware of any other events that have occurred since the balance sheet date that could have a significant influence on expectations concerning future activities, investments, financing, staffing and profitability.
