landlords, those servicing the indus-try—have become even more success-ful. Even in this, the deepest downturnsince the Great Depression, we seesigns that the industry will revive andthat though many existing companieswill disappear, others are expected totake their place, and that current op-erators may grow even bigger becauseof the opportunities available.

It is not a contradiction, say some,that many operators will expire, otherswill grow larger, and new companieswill be entering the field.

“We can’t talk of troubled compa-nies,” said one respected consultant,“without pointing to General GrowthProperties [a victim of $27 billion indebt due to past acquisitions and whohas missed several bond payment] whois trying to sell off some of its assets.And we see that Simon Property Groupand Kimco Realty are selling stock topay off their debt and put themselvesin a better financial position.”

Under-Valued PropertyThis also means, he continued,

that with the drop in value on realestate, “some properties are substan-tially under-valued and could be pickedup by these and other landlords andinvestors. The trend, therefore, is forlarge, successful developers to growlarger, and smaller operators now offthe radar, to join the mainstream.”

Alex Kopicki of Manekin LLC,traces GGP’s problems to its highlyleveraged purchase of The Rouse Com-pany. “I don’t think that anyone wouldconsider this consolidation (in hind-sight) a positive result of the last posi-tive real estate cycle. While this is areal estate industry trend on the owner/developer end I believe that you couldmake some similar comparisons onthe retailers end, i.e-Rite Aid. At theend of the day, the world is cracked,large or small, there will be opportu-nity for those who know where to takeadvantage of those imperfections.”

One smaller, Midwest developeris very concerned about larger land-lords moving into his market. “I havea dominant center in a limited area. Ifa guy with big pockets acquires a small

strip down the road, he has the re-sources to expand it, upgrade the ap-pearance and tenant list, knock me outof the game. I don’t have the dollarsavailable to acquire that competitor toprotect my project.”

John Fox of Fox Real Estate Advi-sory believes that “strip center space isripe for consolidation, but needs somecapital to free up to help make it hap-pen. Equity One and Ramco-Gershenson [a pending acquisition-merger] is an example. You are goingto see more of this. The time has comefor more consolidation like what yousaw in malls in the 1990s.”

New Companies FormedAlong these lines, a West Coast-

based developer noted that new com-panies have been formed recently toacquire distressed real estate, “andexisting, experienced operators haveestablished divisions to advise inves-tors for this purpose, or to buy on theirown. There will be great opportunitiesfor third-party management and land-lords from other areas to expand intoshopping centers and retail.”

James Dearsley, European salesmanager of Atlas International, doesnot consider himself an expert but “Iexpect that companies move in similarways. Certainly in the Residentialworld we have seen this happen with alot of smaller or [larger] companiesthat have leveraged themselves terri-bly, already disappear from the mar-ket. Personally I think that it is alwaysgood in our industry as it removes thedead wood and allows clients to dealwith the solid and trustworthy custom-ers. As the markets stagnate it bringson the ethos of Darwin with the stron-gest surviving and probably, becauseof an increase in market share, doingquite well.”

He pointed out that “As marketsrecover, smaller companies will againenter the market and keep the big boyson their toes and giving them a welltimed push to change once more toadapt to changing environments…Iwonder how the property industrywould be now had it not been for thesmall start up companies back in the

early 00’s who relied on the Internet...”Along the lines of changing envi-

ronments, as vacancies increase inshopping centers of all sizes, one ofthe leading trends are the changes tak-ing place in the tenant lineup and mer-chandise mix at the high end of theretail scale. With luxury-based retail-ers suffering as cash-starved consum-ers shop more extensively at thecounters of discounters and dollarstores, some real estate specialists arebasking in the glow of being on thereceiving end.

Said one Midwest discounter, “Ihave to admit, I’m enjoying now beingcourted by some landlords whocouldn’t bother to return my phonecalls just a year or so ago.”

With the closings of Circuit City,Linen’s n Things, Steve & Barry’s,there are substantial big-box units be-coming vacant, and being convertedto different uses: broken up into smallerstores, turned into offices, spas andgyms, churches, schools, and the like.

Restaurants, Fast-FoodRestaurants are hurting now,

caused in part by a substantial over-building in many markets—except inlimited area for casual dining and fastfood outlets. Such operators as PaneraBread, Buffalo Wild Wings, Chili’sGrill & Bar are taking advantage of theclosings of competing outlets to ex-pand into these units quickly and withbetter deals. Not all, however.

Chris Arnold of Chipotle Mexi-can Grill said that many of these loca-tions are sub-par. “We’re finding thatpeople who are closing restaurants tendto close bad locations and keep thegood ones. We’re not willing to makeconcessions.”

An interesting sidebar on this is-sue is that a large number of the grow-ing unemployed are unable to findjobs. Some have decided to hire them-selves, either as entrepreneurs becom-ing Moms and Pops in the retail indus-try, or buying a franchise. A goodnumber are turning to franchises in thefast-food category, one of the easiestniches to enter.

Bargaining PowerSize, whether it’s a tenant or a

landlord, is one of the most importantelements in any negotiation.

Ira Meislik & Meislik said that“Almost everything being a questionof ‘bargaining power,’ the current eco-nomic turmoil has caused some strongshifts in the balance. Today, moneyissues are getting more difficult…Ournational tenant clients are being mostsuccessful where they occupy mul-tiple locations with the same landlord.That allows for horse trading withoutgiving up very much.”

This has always been one of thebuilding blocks of this shopping cen-ter/retail chain industry, and it worksfor the developer with many shoppingcenters, and the tenant looking totiedown locations in several differentmarkets.

Though the behemoth landlordsmay, normally, provide themselveswith overwhelming leverage in nego-tiations, an established relationshipmay work also to the benefit of the tenant.

One Southern-based apparel chainstressed that dealing with that type ofa property owner can be “very helpfulwhen we expand into a new market ortry out a new concept in secondary ortertiary markets. This relationship canbe a win-win with our getting short-term leases, especially if the landlordhas a large number of vacancies sohe’s willing to work with us.”

One national retailer stressed thatthis is an ideal time for all in theindustry to be creative, to try some-thing different, to take chances. “Onedeveloper I know,” he said, “is tryingout a water-park in a vacant big-boxstore, ala West Edmonton Mall inCanada. With all the vacancies, if itworks, great. If it doesn’t, what haveyou lost, are you worse off?”

After The RecessionOne leading developer conceded

that he and other landlords have cutback and delayed “substantially” nu-merous new projects and expansionsbecause of the economy. “And, yeah,most economists and authorities arestressing that it will take years for us to

get out of this deep hole.“However,” he stressed, “even if

we have too many centers, too manystores, and that we’ve reached satura-tion in too many markets, all the pre-

Reacting to the demands to re-duce operating costs at the storelevel, shopping center owners andretailers have been cutting back onstore hours and and days. This wasthe topic discussed in Strolling theAgora in the April 6 issue of Shop-ping Center Digest.

It was also one of the mainsuggestions by leading dealmakersin the industry in an earlier issue asways landlords and tenants couldcooperate in the face of the currenteconomic crisis. Since then, fromthe larger mall operators down tothose developing and managingstrip centers, the movement hasspread.

Though a requirement in mostmall leases, retailers must agree todays and hours of operation de-manded by owners and managersof the shopping centers. This meansthat many retailers were forced tooperate seven days a week and openearlier, and close later when mostcustomers are not shopping.

Among landlords, this policywas loosened by such major com-panies as Simon Property Groupand Westfield, and such New Jer-sey centers as Bridgewater Com-mons, Menlo Park Mall, andWoodbridge Center; among retail-ers, Best Buy and Dick’s SportingGoods.
