The Commission announced that on June 14, 1993 the Honorable Kim C. Hammond, Judge of the Circuit Court for the Seventh Judicial District in Flagler County, Florida, adjudicated C. D. McClain alk/a C. Daniel McClain guilty of a one count information alleging he violated the Florida Communications Fraud Act, Florida Statutes §817 .034(4><a)1, a first degree felony. McClain was sentenced to two years of community control to be followed by eight years of supervised probation. The criminal information is based upon the same conduct underlying the Commission's complaintagainst McClain in SEC v. C.Daniel HcClain, USDC, ND Ga, Civil Action No. 1:93-CV-782-0DE.

The Commission's complaint alleged that McClain engaged in the fraudulent sale of securities of International Trading, Inc. (ITI). ITI is a defendant in a pendingsuit by the Commission and is the subject of a permanent injunction in that case. ITI offering materials distributed by McClain promised investors that for each share of ITI stock they purchased for $100, they would receive a warrant to be redeemed for $200,000. The exorbitant proceeds were purported to be paid from a fortune accumulated by a deceased European "financier" and claimed to be in excess of $1 trillion. ACTION FOR PRELIMINARY AND PERMANENT INJUNCTIONS FILED AGAINST JEFFREY NAVIN. BUS/LINEMEDIA, THE AMERICAN MUTUAL HOLDING CORP., DENNIS SANTIAGO AND MICHAEL SIMS

On July 21. the Commission announced the filing of a complaint in the U.S. District Court for the Northern District of California seeking preliminary and permanentinjunctions and other relief against Jeffrey Navin (Navin). Bus/Line Media (BLK).The American Mutual Holding Corp., (American Mutual). Dennis Santiago (Santiago), and Michael Sims (Sims) from violating. variously. the securities and broker-dealer registration and antifraud provisions of the federal securities laws.

The complaint alleges that from about January 1991 through May 1993 Navin and BLK,directly, and indirectly through American Mutual. Santiago and Sims fraudulentlyoffered and sold unregistered investment contracts. raising roughly $4.4 million from over 200 investors. The complaint further alleges that Navin and BtH misused investor funds pursuant to a Ponzi-like scheme and failed to disclose investment risks and BtH's poor financial condition.

Simultaneously with the filing of the complaint. American Mutual, Santiago and Sims, without admitting or denying the Commission's allegations. consented to be permanently enjOined from violating and/or aiding and abetting violations of Sections 5(a) and 5(c) of the Securities Act and Section l5(a) of the Exchange Act. The imposition of civil penalties against these defendants remains outstanding. [SEC v. ASSETS OF EDDIE ANTAR FROZEN IN ENGLAND

On July 28, the High Court of Justice, London, England, dismissed the application of Eddie Antar to set aside an injunction freezing assets hidden by Antar in London. The injunction. which has been in effect since July 8, 1992, was issued in connection with an action brought by the SEC to enforce the judgment granted by the U.S. DistrictCourt in 1990. [SEC v. PROPOSED RULE CHANGE

The Philadelphia Stock Exchange filed a proposed rule change (SR-PHLX-93-28) to amend the PHLX's minor rule violation enforcement and reporting plan by placing nine Floor Procedure Advices (Advices) on a three-year rolling cycle. Under the proposed three-year rolling cycle, a violation of one of the nine Advices which occurs within three years of the first violation of that Advice will be treated as a second occurrence, and any violation of an Advice within three years of the previous violation of that Advice will be subject to the next highest fine. Publication of the proposal is expected in the Federal Register during the week of August 2. (ReI. 34-32678)

APPROVAL OF PROPOSED RULE CHANGE

The Commission approved a proposed rule change (SR-CBOE-93-05) filed by the ChicagoBoard Options Exchange which amends CBOE Rule 24.9, "Terms of Index Option Contracts,"to allow the CBOE to list and trade reduced-value long-term index option series (LEAPS) on the Financial-Times Stock Exchange 100 Stock Index (Index). In addition, the eBO! amended its rules to provide that the current index value of a reduced-value LEAP is one-tenth (l/lOth) of the current index value of the related index option. Publication of the proposal is expected in the Federal Register during the week of August 2. (ReI. 34-32679)
