The Association continues to support theestablishment of a Single Scottish PoliceService and members look forward toworking towards the early implementation ofGovernment’s decision.In order to support the process of Reform,ASPS has taken early steps to ensure thatthe Association plays a key role in thedevelopment of the new Scottish PoliceService. As the senior strategic andoperational leaders of the new Service,Superintendent Ranks must be prepared todeliver policing across Scotland from Day 1and for these reasons a Management Groupand Project Team has been appointed whichincludes 3 Priority Lead Members in order toassist the smooth transition to the ScottishPolice Service as follows:

The Panel of Friends is a group of ‘Volunteer’members of ASPS who are trained to be a‘Friend’ to a colleague in need of support.They receive training annually through theAssociation and some members alsoundertake training with colleagues in Englandand Wales. We currently have at least one‘Friend’ from each Force although due toretirements and changing roles we arealways looking for new Volunteers to providethis important Service to ASPS Colleagues. The Constitution of theAssociation of ScottishPolice Superintendents

1. General1.1. The Association shall be called The

Association of Scottish PoliceSuperintendents.

2. Objectives/Functions2.1. The Association is instituted to

consider, advise and bring to thenotice of Chief Constables, PoliceAuthorities, The Scottish Ministers andthe Police Negotiating Board for theUK, matters affecting the welfare andefficiency of the service andAssociation’s members. In matters ofimportance a branch may appoint adeputation to make oral representationto the Chief Constable, the PoliceAuthority, Her Majesty’s Inspector ofConstabulary or the Scottish Ministers.

2.2. The Executive Committee may form asupport network known as the“Scottish Panel of Friends” consistingof members of the Association whowish to offer support to colleaguesunder scrutiny. No member will beformally appointed to the Panel offriends without first satisfactorilycompleting the agreed trainingprogramme.

3. Membership3.1. The Association shall consist of all

officers of Superintendent rank for thetime being of the Police Forces in

Scotland, including temporary holdersof rank and those membersundertaking extension of warrantedservice under the terms of 30++ orsimilar schemes.

3.2. Officers temporarily acting in the rankof Superintendent will be admitted tomembership of the Association asHonorary and subscribe at the samerate as full members of the Association.

3.3. Superintendents who retire from theScottish Police Service may beadmitted as Associate Members andthereafter become members of theASPS Retired Members Association.

3.4. The number of members of each forceof the Superintendent ranks shall forma branch of the Association and shallelect annually such Officer Bearers asare necessary.

3.5. Members of each branch shall electannually representatives to the AnnualMeeting of the Association as follows.a) Central Scotland Police – 3 membersb) Dumfries and Galloway

Constabulary – 2 membersc) Fife Constabulary – 3 membersd) Grampian Police – 3 memberse) Lothian and Borders Police

– 4 membersf) Northern Constabulary – 3 membersg) Strathclyde Police – 10 membersh) Tayside Police – 3 members

3.6. These elections shall take place in Marchof each year, unless some other month isfixed by the Executive Committee.

3.7. Each year the Branch Secretary will beinformed by the Secretariat that they

are required to call for nominations toelect their Branch Executive Committee.

3.8. All nomination forms must becirculated to all members of theBranch as soon as possible and nolater than 1st March annually.

3.9. Members will return their nominationforms with a signed proposer andseconder to the Branch Secretarywithin the set time frame.

3.10. In the event of there being more thanone nominee for a position, the BranchSecretary will write to membersinforming them of an impendingelection which will take place at theannual meeting of the Branch whichwill be held no later than 31st March.

3.11. Ballot papers will be circulated at themeeting and the General Secretary oran agreed substitute will collect andcount ballot papers prior toannouncing the election results.

3.12. Thereafter the candidate(s) with amajority of the votes cast at themeeting will take up the responsibilityof their Executive role(s).

3.13. No election will take place if there isonly one nominee for each position.

4. Management4.1. The strategic management of the

Association shall be conducted by theExecutive Committee.

4.2. The Executive Committee shall consistof 15 members, one member fromeach of the following forces; Central,Dumfries and Galloway, Fife,Grampian, Northern and Tayside, two

members from Lothian and Bordersand seven members from Strathclydewho shall be elected by therepresentatives of the forces at theAnnual Meeting of the Association toform this Committee.

4.3. At a meeting of the Committee, eightshall form a quorum.

4.4. A deputy in respect of eachrepresentative shall also be elected atthe Annual Meeting and any memberelected to the Executive unable toattend the meeting of the Committee,shall arrange to be represented bytheir deputy.

4.5. In the event of a tie in the election of amember or a deputy for any Force, theelection shall be made by all therepresentatives at the Annual Meeting,instead of by the representatives ofthe Force.

4.6. The Secretariat will call for thenominations from all ASPS Branches forthe positions of President, Vice President,Second Vice President, Treasurer andAssistant Treasurer at least 6 weeksbefore the Association’s AnnualConference and no later than 1st April.

4.7. The representatives at the AnnualMeeting shall appoint, from theMembers of the Executive Committee,the officials of the Association. Theseshall consist of a President, Vice-President, Second Vice-President,Treasurer and Assistant Treasurer.

4.8. Branches will meet to nominatecandidates for any or all of the abovepositions.

4.9. Branches will agree their preferredcandidate(s), formally proposing andseconding the nomination forms foreach candidate and returning them tothe secretariat no later than 1st May.

4.10. The Secretariat will write to all ASPSdelegates prior to conferenceinforming them of the nominees andany likely election.

4.11 In the event of there being more thanone nominee for a National OfficeBearer position, delegates toconference should canvas their branchmember’s views.

4.12 On day one of conference at themeeting of the Executive Committee,members will be notified of all thenominations received for the NationalOffice Bearer’s positions.

4.13. At the Association’s Annual GeneralMeeting, should there be more thanone candidate for any National OfficeBearer’s position, the Secretariat willdistribute ballot papers to all eligibledelegates and thereafter the Chair willdirect elections to take place on thebasis of the previously nominatedcandidates.

4.14 No nominations will be receivedfollowing the closing date of 1st May.

4.15. The General Secretary and Secretariatwill count the ballot papers and advisethe Annual General Meeting of theelection results. Thereafter thecandidate(s) with the majority of votescast will take up their elected position(s).

4.16. The Office Bearers of the Associationshall be appointed for a period of 2

years with the option to stand in thefollowing years for re-election.

4.17 Where the President of the Associationis elected from one of ASPS forceswith 1 representative to the NationalExecutive Committee, that Branchshall be eligible to appoint anadditional Executive Committeerepresentative who shall represent theviews of the Branch. That Branch willcontinue to have 1 voting position onthe Executive Committee.

4.18 The Executive Committee, may fromtime to time, as appropriate, co-opt amember of the Association to fulfil therole of Treasurer, Assistant Treasurer orother additional position as is deemednecessary. This co-opted OfficeHolder will attend meetings of theExecutive Committee but will not voteon any matters.

4.19 The Association shall be supported by aSecretariat, financed under commonpolice services agreements consistingof a General Secretary with otheradministrative support, responsible tothe Executive Committee.

5. Procedure5.1. The Official Year shall be from 1st April

until 31st March.5.2. The Annual General Meeting shall be

held not later than 31st May each year.5.3. Notice of the Annual General Meeting

shall be sent to members at least 28days prior to the meeting.

5.4. Any alterations to the Constitution ofthe Association shall be made whentwo thirds of any votes cast at the

Annual General Meeting support thechange. Proxy votes shall be allowed.Any proposals for the alteration of theConstitution shall be notified to themembers at least 28 days prior to theAnnual General Meeting.

5.5. The Executive Committee may regulateits own procedure, in the clearing ofthe appointment of representatives andtheir deputies to serve on the PoliceNegotiating Board for the UnitedKingdom and its committees and onany committee, board, working party,etc, requiring representation from amember of the Association.

6. Meetings6.1. The Association may hold, at public

expense, a programme of meetings atthe following scale.

6.2. Each branch may hold four one-daymeetings annually. Additionalmeetings may be held with thepermission of the Chief Constable if heis satisfied that such meetings arenecessary and that the business forwhich they are called cannotreasonably be deferred to the nextordinary meeting of the branch.

6.3. The Executive Committee may hold sixone-day meetings annually and oneAnnual Joint Meeting with theExecutive Committees of theSuperintendent’s Association ofEngland and Wales and NorthernIreland. Additional meetings may beheld with the permission of the ScottishMinisters if they are satisfied that suchmeetings are necessary in the public

interest and the business for whichthey are called cannot reasonable bedeferred until the next ordinarymeeting of the Committee.

6.4. The Association may hold an AnnualGeneral Meeting lasting not more thantwo days. The meeting shall takeplace in May unless some other monthis fixed by the Executive Committee.

6.5. Permission shall be given forattendance at all meetings duly heldexcept where in special circumstancesa Superintendent is required for dutyfor which no substitute is available.

7. Finance7.1. Attendance of the meetings of the

Association authorised underparagraphs 6.2 and 6.4 shall, asregards allowances and expenses, bedeemed to be an occasion of policeduty, and approved expenditurethereby incurred by a members orrepresentative shall be met as ordinarypolice expenditure of the force forwhich the member to which themember or representative belongs.

7.2. Attendance at the meetings of theExecutive Committee’s authorisedunder paragraph 6.3 the PoliceNegotiating Board for the UnitedKingdom or its Committee’s, orpreliminary meetings of the Staff Sideof the board for Scotland or any dulyappointed Committee’s of the PoliceAdvisory Board for Scotland orattendance at meetings of internationalpolice co-operations authorised under

Section 3 of the Police (CommonPolice Services) (Scotland) Order1989, shall, as regards allowances andexpenses be deemed to be occasionsof police duty and approvedexpenditure thereby incurred by amember or representative shall be metas a common police service.

7.3. The Association may raise funds by anannual subscription from its membersand any such funds shall beadministered by the ExecutiveCommittee of the Association, subjectto the following conditions:a) The Financial Year shall be from

1st April, to 31st March of theensuing year.

b) The Executive Committee shallpropose the amount of annualsubscription to members at theAGM and this will be approvedbased upon the voting of thosepresent at the AGM.

c) All monies received shall be paidinto a banking account(s) in thename of the Association and theseaccounts shall be operated by theTreasurer and Assistant Treasurer.This account shall be operated bythe Treasurer/Assistant Treasurer.

d) At the end of year the Fund shallbe audited by two personsacceptable to the ExecutiveCommittee. Those persons mustnot be members of the ExecutiveCommittee. The Treasurer shallpresent the Annual Report on theCapital Fund to the Capital Annual

General Meeting and a copy of theaudited and approved financialstatement will be sent to eachdelegate to the Annual Meeting.

e) The funds of the Association shallnot be used for contributingdirectly or indirectly to:

i) The funds of a Trade Unionii) The funds of a Political Partyiii) The election expenses of a

Parliamentary or LocalGovernment candidate

iv) The support of a member of anyPolice Force whom a criminalcharge or disciplinaryproceedings have been instituted.

Standing Orders

1. These Standing Orders shall apply toall meetings.

2. The Agenda for a meeting of theAssociation shall be issued to reachmembers at least 7 days before thedate of the meeting. At any meetingthe business will be dealt with in theorder set out on the Agenda unless themeeting agrees otherwise.

3. Written notice of motions dealing withmatters of policy should be receivedby the Secretary not later than 21 daysbefore the date of the meeting atwhich they are to be considered.Motions on any other matters may beadmitted by the Chairman, withoutnotice, at any stage of a meeting.

4. No motion or amendment shall bespoken on, except by the mover, untilit has been duly proposed at ameeting and seconded.

5. No motion or amendment, after beingproposed and seconded, shall bewithdrawn without the consent of themeeting.

6. When an amendement is underconsideration, no second amendmentshall be moved until the first has beendisposed of.

7. A representative shall not move orsecond more than one amendment toany motion.

8. If an amendment is carried it displacesthe original motion and becomes thesubstantive motion, whereupon afurther amendment may be moved.

9. If an amendment is not carried,another amendment to the motion thenunder consideration may be moved.

10. The mover of an original motion, butnot of an amendment, shall have theright to speak at the close of thedebate on such a motion, but themover shall not at that stage introduceany new material. After having spokenthe question will be put to the meetingwithout further debate.

11. If it is moved, seconded and carried‘that the meeting shall proceed to thenext business’, no further discussionwill take place on the motion oramendment which had been underconsideration and the meeting willimmediately move to the vote.

12. Voting shall be a show of hands at thecall of the Chairman.

13. Where voting on any matter shows thatrepresentatives are equally divided,the Chairman shall have a casting voteas well as a deliberative vote.

14. In all debate, the Chairman shall run thedebate on any motion, in accordancewith good business practice, allowing afair exchange of views and opinions,but not allowing any representativeunfair time advantage.

15. Where more than one representativewishes to speak at the same time theorder in which they will be allowed todo so will be decided by the Chairman.

16. When speaking, a representative shalladdress the chair and shall confineobservations to the subject which is forthe time being under discussion.

17. In the event of any representative notobeying the rule of the Chairman, it shallbe within the power of the Chairman toorder such a representative to retirefrom the meeting.

18. Standing Orders will be suspended if3⁄4 of the representatives present atthe meeting where the motion for suchsuspension is proposed vote in favourof the motion.

19. Standing Orders may be suspendedfor a further period immediatelyfollowing on the original period ofsuspension where the motion for thismust again have the vote of 3⁄4 of therepresentatives present.

20. Where Standing Orders have beensuspended by the machinery set out inStanding Order No. 18 or StandingOrder No. 19, the Chairman shall fixthe period of time of such suspensionbefore any debate commences.
