SALES CONTRACT

In Wenzhou, China on the 31th august 2011, we , the parties called as first Trading Company and exporter Zhejiang Enray Import & Export Co., Ltd, address; 3rd floor, No.15, Lane 99, First west, East Yandang Road, Wenzhou City, Zhejiang, China, represented by Mr. Xu Enxian as corporate president and register, in the second party as importer Amadeo Footwear Group., 10810 NW 138 St, #5, Hialeah Gardens, FL 33018, USA, represented by Mr. Ramon Eduardo Lopez.

All parties do hereby agree of what follows;

The first party has sold to the second party 4068 pairs of men/women PU upper shoes (being all the details as per orders forwarded in the attached invoice on page two of this contract). All shoes are stock shoes in several styles and colors at a cost of not more than $3.00 US dollars each pair, resulting a gross amount of $12,130.74 US dollars, payment will be effected in Chinese currency at exchange rate of 1 USD = 6.40000 CNY , The second party will pay to the first party 100% of the gross amount for a total of ¥77,636.73 CNY by bank transfer to the first party; Zhejiang Enray Import & Export Co., Ltd, amount they will receive as full payment to begin processing this order. Upon receive of this payment first party agree to finalize order and ship it to second party by sea freight to Miami port in USA being freight prepaid.

These goods have to be delivered to Ningbo port, China on the 11 th of September 2011. As per this agreement the parties do hereby engage, that upon the transfer is done, the first party undertakes to deliver goods ready to be shipped at Ningbo port by maximum 16th September 2011, also present to the second party transport document called Bill of lading as soon as it is available, If any fail from the first party would happen, the first party undertakes to discount the second party 3% each day of day delayed. If delivery would go after 17 th of September 2011, the order would be canceled automatically and the first party would return the amounts received, plus a 15% penalization for delay and losses incurred.

If any problem would come out of this sales contract, it should be solved by the parties in a friendly way, in case of not reaching to an agreement then the parties agree to summit their differences or disagreement or disputes to Foreign Trade Commission of the China Council for the Promotion of International Trade, Peking.

This Sales contract, can be sealed and signed and sent by email, the value will be as an original.
