    BYLAWSOFTHE

    ST. AGNES ACADEMY LEGAZPI ALUMNI ASSOCIATION, INC.

    ARTICLE I

    NAME,DOMICILEANDPURPOSES

    Section

    1.Name. ThisAssociation shallbeknownas the St.AgnesAcademy

    LegazpiAlumniAssociation, Inc.,hereinafterreferredtoastheAssociation.

    Section2.Domicile. Theprincipal or homeofficeof theAssociation shallbe

    located in St.AgnesAcademy,Barangay 17Rizal Street, LegazpiCity; andwhenever its

    activities require, the Corporationmay establish andmaintain such chapters, branches

    and/oraffiliatedorcorrespondentofficeselsewhereinandoutsidethePhilippines.

    Section3.Purpose. Thepurpose(s)ofthisAssociationarethoseenumeratedin

    ArticleIIoftheArticlesofIncorporation.

    ARTICLE II

    MEMBERSHIP

    Section 1.Regular

    Membership

    All

    graduates

    of

    the

    Elementary

    School,

    High

    School,andMusicDepartmentsareconsideredmembersofthisAssociationfromthedateoftheirrespectivegraduationssince1923.

    Section2. SpecialMembership AllformerstudentsofSt.AgnesAcademywho

    havehadaresidenceofatleasttwo(2)yearsbutdidnotgraduatefromthisAcademydue

    to transfermay, if theysodesire,andupon favorablerecommendationofat leastthree

    regularmembers,beadmittedintotheAssociationasspecialmembers withtheapproval

    ofthemajorityoftheBoardofTrustees.

    Section 3. All regular and special members are dutybound to send in their

    respective biodata to the home office for compilation, recording, and verification

    purposes.

    Section4. RightsanddutiesofMembers. EveryMembershall:

    a. HelppromoteandcarryouttheaimsandpurposesofthisAssociation;

    b. Abidebytherulesandregulationsset forth inthesebylawsandthepoliciesanddecisionsoftheBoardofTrusteesandtheGeneralAssembly;

    c. HavetherightandobligationtoattendmeetingsoftheAssociation;

    d. Have the right to vote and, if qualified, to be voted upon to any electivepositionintheAssociation

    e. Havetherighttorequestforannualaudit;and

    f. Upon reasonable request, to examine and inspect the books of accounts,minutebooksandotherrecordsandpropertyoftheAssociationatreasonable

    hours.

    ARTICLE III

    FEES,DUESANDFUNDS

    Section

    1. Every regular or specialmember shall pay an annual fee of ONE

    HUNDRED PESOS (P100.00) or a life membership fee of ONE THOUSAND PESOS

    (P1,000.00).

    Section2. Lifemembers shallbeentitled to such specialprivilegesasmaybe

    determinedbytheBoardofTrustees.

    Section 3. Special contributionsmay be assessed against regular and special

    membersastheneedarisestobedeterminedbytheBoardofTrustees.

    Section 4. The annual dues of the members, together with the voluntary

    contributions thatmaybegiven to theAssociation from time to timeandalsoamounts

    that may be realized from other sources, shall constitute the common fund of the

    Association.

    Section5.Nomoneyshallbepaidoutofthecommon fundoftheAssociation

    exceptpursuanttoanappropriationauthorizedbyadulyapprovedresolutionoftheBoard

    ofTrustees.

    ARTICLE IV

    BODIESINTHEASSOCIATION

    Section1.TheAssociationshallhavethefollowingbodies:

    a. TheGeneralAssemblyb. TheBoardofTrusteesc. TheAdvisoryCouncilandtheModeratord. CommitteeonAnnualGeneralAlumniDay

    Section 2.TheGeneralAssemblyofMembers. The supreme authority in the

    Association shall be vested in the General Assembly which shall be composed of all

    membersmentionedinArticleIIoftheseBylaws.

    TheGeneralAssembly shall elect the thirteen (13) directors of theAssociation,

    fromalistofnotmorethanforty(40)members,proposed,screenedandsubmittedbythe

    incumbentBoardofTrusteesand theAdvisoryCouncil,afterpriorconsultationwith the

    Moderator.

    Section3.TheBoardofTrustees. TheAssociationshallhaveaBoardofTrustees

    composed of thirteen (13) members who shall serve for a term of three (3) years

    commencingonthefirstdayofJunenextfollowingtheirelectionanduntiltheirsuccessorsare duly elected and qualified. Immediately after their election, the thirteen (13) new

    membersoftheBoardofTrusteesshallelect fromamongthemselvestheofficersofthe

    AssociationmentionedinArticleVofthesebylawswhoshallserveforatermofone(1)

    yearcommencingonthefirstdayofJunenextfollowingtheirelection.

    TheaffairsandcurrentbusinessoftheAssociationshallbeconductedunderthedirection

    of theBoardofTrusteeswhichshallprimarilybe thegoverningbodyof theAssociation,

    directly responsible to the members thereof and shall have full responsibility for the

    activitiesandcommitmentsof theAssociation,and shall laydownpoliciesanddrawup

    resolutionsfortheAssociation.

    Section4.VacancyintheBoardofTrustees. AnyvacancyoccurringintheBoard

    ofTrusteesotherthanbyremovalbythemembersorbyexpirationofterm,maybefilled

    bythevoteofat leastamajorityoftheremainingtrustees ifstillconstitutingaquorum,

    otherwise,saidvacancy/iesmustbefilledbythemembersinaregularorspecialmeeting

    calledforthatpurpose. Atrusteesoelectedtofillavacancyshallbeelectedonlyforthe

    unexpiredtermofhis/herpredecessorinoffice.

    Section

    5.TheAdvisoryCouncilandtheModerator. ThereshallbeanAdvisory

    Counciltobecomposedofclassandtownrepresentativesofallthedifferentgraduating

    classes,eachclassbeingentitledtoone(1)ormorerepresentativestobedeterminedand

    tobeappointedbytheModerator. TheAdvisoryCouncilshallserveasliaisonbetweenall

    membersandtheAssociationandtheirAlmaMater.

    TheModerator,whoshallactasAdvisertotheAssociationandasliaisonbetween

    theAssociationandtheAdministrationofSt.AgnesAcademy,shallbetheSisterSuperior,

    orherdulyauthorizedrepresentative.

    The Moderator may call a special meeting of the Board of Trustees and the

    AdvisoryCouncil,eitherjointlyorseparately,orageneralmeetingofthemembersofthe

    Associationwhennecessary. TheModerator,asprincipaladvisertotheAssociation,may

    alsosuggesttotheBoardandtheAdvisoryCouncil,theprovincialchaptersandthegeneral

    membership,suchactivitiesandprojectsasmayredoundtothebenefitoftheAssociation

    and/ortheSt.AgnesAcademy.

    Section6.CommitteeonAnnualGeneralAlumniDay.Everyyearonthe first

    SundayofMay,attheAnnualGeneralAlumniDayorimmediatelythereafter,aCommittee

    onAnnualGeneralAlumniDayshallbecreated.

    Itshallbecomposedofatleasttwo(2)representativesfromeachbatchofalumni

    whoshallbecelebrating their50th,40

    th,25

    th,etcanniversaries, respectively. The

    members of the committee shall elect from among themselves a Chairman and Vice

    Chairmanandsuchotherofficersasthecommitteeshalldeemfitandnecessary. Theterm

    ofofficeofthemembersoftheCommitteeshallbeone(1)yearandshallcommenceon

    thefirstdayofJunenextfollowingtheirselection.

    This Committee shall meet as often as may be necessary for the purpose of

    planningout theprogramsandactivities tobepresentedby thejubilarianson thenext

    forthcomingAnnualGeneralAlumniDay. TheCommitteemaymeetseparatelyorjointly

    withtheBoardofTrustees. ItshallpresenttheproposedplanofactivitiestotheBoardof

    Trusteesforfinalapproval.

    ARTICLE V

    OFFICERSANDTHEIRDUTIES

    Section1.TheAssociationshallhaveaPresident,aFirstVicePresident,aSecond

    VicePresident,aSecretary,anAssistantSecretary,aTreasurer,anAssistantTreasurer,an

    AuditorandaPublic/PressRelationsOfficer,andsuchotherofficersmaybeneededbythe

    corporation, allofwhomshallbeelectedinthemannerhereinprovidedforatermofone

    year.

    Section2.ThePresidentshallbetheheadoftheAssociation. Heshallpresideat

    allmeetings anddeliberations of theAssociation andof theBoardofTrustees. Unless

    otherwisespecificallyagreedupon,heshallrepresenttheAssociationonalloccasionsand

    inallmatterswhererepresentationmayberequiredoragreedupon.

    Section 3. The First VicePresident if qualified, shall take the place of the

    Presidentincaseofabsence,deathordisabilityofthelattertoperformthedutiesofthe

    office.

    Section 4. The Second VicePresident if qualified, shall take the place of the

    Presidentincaseofabsence,deathordisabilityofthelatterandtheFirstVicePresidentto

    performthedutiesoftheoffice.

    Section5.TheSecretaryshallkeeptheminutesofallmeetingsoftheAssociation

    andtheBoardofTrustees,andshallalsobethecustodianofallpapersandrecordsofthe

    Association.

    Section6.TheAssistantSecretaryshallperformsuchdutiesasmaybeassigned

    to him/her by the Secretary or Board of Trustees and shall act as Secretary in case of

    inability,

    absence

    or

    death

    of

    the

    Secretary.

    Section 7. The Treasurer shall collect all fees, dues or contributions from

    members as required by these ByLaws and asmay be agreed upon by themembers.

    He/sheshallreceiveanyandallaccountspayableorduetotheAssociationfromwhatever

    source, take charge of all funds, properties and accounts of the Association, render

    financial or property reports periodically and asmay be necessary, and shall be liable

    generallyasprovidedby law. He/she shallpostabond for suchamountandwith such

    sureties asmay be required by the Board of Trustees for the faithful performance of

    his/herduties.

    Section8.TheAssistantTreasurershallperformsuchdutiesasmaybeassigned

    to him/her by the Treasurer orBoard of Trustees and shall act as Treasurer in case of

    inability,absenceordeathoftheTreasurer.

    Section9.TheAuditor shallexamineandpass inauditall theaccountsof the

    Association and shall examine the books thereof periodically or as often as may be

    necessary.

    Section 10. The Public/Press Relations Officer shall endeavor to cause the

    publicationofnewsorinformationconcerningtheSt.AgnesAcademyAlumniAssociation,

    Inc.,developmentsorprojectsbeingundertakenoraccomplishedbytheirAlmaMater,the

    students, the facultyand thealumniwhichareormayenhanceor foster theAgnesians

    pridefortheiralmamater.

    Section11.TheTreasurerand theAuditor shallkeep complete recordsof the

    financialstatusoftheAssociation.

    ARTICLE VI

    MEETINGSANDELECTIONS

    Section 1. Themembers of the Association shall hold an ANNUAL GENERAL

    ALUMNIDAYotherwiseknownastheGeneralAnnualMeetingonthefirstSundayofMay

    forthepurposeofsuggestingandplanningactivitiesoftheAssociationfortheyearforthe

    guidance of the Board of Trustees and the Advisory Council, and also for the general

    electionofDirectors, ifalreadydueundertheseBylaws. TheBoardofTrusteesandthe

    Advisory Council shall have the final decision on the activities and the concerns to be

    implementedbytheAssociation,takingintoaccountthegeneralwelfareandinterestand

    convenienceofthegeneralmembershipandtheirAlmaMater.

    Section 2. The Board of Trustees and the Advisory Council shall hold ajoint

    meetingat leastonceevery six (6)months, thedate tobe fixedby thePresident,after

    prior consultationwith theModerator andmajority of the Board of Trustees, for the

    purpose of planning the activities, projects, and other business of the Association and

    carryingoutthesame.

    Section3.TheBoardshallmeetasoftenasthePresidentmaydeemnecessary,

    afterpriorconsultationwiththeModeratorandatleastfive(5)membersoftheBoard,at

    suchdateandtimemostconvenienttothem. IncaseoffailureorrefusalofthePresident

    toconvenesaidBoardwithoutvalidreasons,anygroupoffive(5)MembersoftheBoard,

    withtheapprovaloftheModerator,maycallameetingofsuchBoard.

    Section 4. In allmeetings of the Association and the Board ofDirectors, the

    Roberts Rules ofOrder shall be observed. However, uponmotion of aMember duly

    approvedbyamajorityvoteofthosepresentconstitutingaquorumoftheAssociationor

    theBoardasthecasemaybe,observanceofparliamentaryrulesmaybedispensedwith

    andthemeetingmaybeconductedas inan informaldiscussiongroup,withouthowever

    sacrificingproprietyanddecorum,bothinlanguageandgeneralbehavior,andbusinesslike

    dispatchinthetreatmentofallmattersbeforethebody.

    Section 5. In all meetings of the Board, the presence of at least seven (7)

    Membersshallbenecessarytoconstituteaquorumforthetransactionofthebusinessof

    the Association. Forjointmeetings of the Board and the Advisory Council, a simple

    majority of thejointmembership shall be necessary to constitute such quorum. The

    presenceofatleastonehundred(100)membersshallconstituteaquorumformeetingsofthegeneralmembership,andamajorityofsuchquorumshalldecideonanymatterexcept

    inthosecaseswherethecorporationcoderequirestheaffirmativevoteofagreatnumber.

    ARTICLE VII

    PUBLICATIONS

    Section 1. The Association shall undertake the publication of an Alumni

    SupplementtoTheAgnesian,whichshallserveasameansofdisseminatinginformationto

    allMembersinthedifferentplacesoftheactivitiesoftheAssociationandoftheindividual

    Members.

    Section 2. The Association shall undertake such other activities which shall

    develop and foster closer ties of friendship and sisterhood/brotherhood among the

    members and strengthen thebondsofunity and loyaltybetween theAlumni and their

    AlmaMater.

    ARTICLE VIII

    FISCALYEAR

    ThefiscalyearshallbefromMay1andendonApril30thefollowingyear.

    ARTICLE IX

    AMENDMENTS

    Section 1. The Board of Trustees, by amajority vote thereof and at least a

    majorityofthemembersofthecorporationconstitutingaquorum,ataregularorspecial

    meetingdulyconvenedforthepurpose,mayamendorrepealthesebylawsoradoptnew

    bylaws,providedthataprintedcopyoftheproposedamendment/sornewbylawsshall

    begiventothemembersatleastthree(3)hourspriortothestartofthegeneralassembly

    meeting.

    ARTICLEX

    EFFECTIVITYCLAUSE

    Section1.Thesebylawsshall takeeffectonlyuponapprovalby theSecurities

    andExchangeCommission.

    Section 2. This Association, as incorporated, shall succeed to all the rights,

    privilegesandobligationsoftheSt.AgnesAcademyAlumniAssociationexistingprior to

    theadoptionofthesebylawsanditsincorporation.

    ARTICLEXI

    CORPORATESEAL

    Section1.Thecorporatesealoftheassociationshallbeinsuchformanddesign

    asmaybedeterminedbytheBoard.

    Adoptedthis14th

    dayofApril,2011inLegazpiCity,ProvinceofAlbay,Philippinesbythe

    affirmativevoteoftheundersignedmembersrepresentingamajorityofthemembersof

    theassociationinaspecialmeetingdulyheldforthepurpose.
