(a) TheMembersofTheQueen’sClubaretogetheranunincorporatedassociationknownasTheQueen’sClubwhichisreferredtointheseRulesas“TheQueen’sClub”or“theClub”.TheClubisamembers’club.

(b) TheQueen’sClubLimited(“QCL”)isawhollyownedsubsidiaryofQueen’sClubHoldingsLimited(“QCHL”).QCLownsdirectlyorindirectlyalltheassetsutilisedbytheClubandemploysthestaffwhoservetheClub.TherelationshipbetweentheClub,QCL,QCHLandeachoftheMembersoftheClubisgovernedbytheseRuleswhichtakeeffectasacontractbetweenthem.

(c) ThemajorityoftheMembersoftheClubarealsoholdersofRedeemableSharesinQCHL.TherearetwoothershareholdersofordinarysharesinQCHL,namelytheAllEnglandLawnTennisandCroquetClubandtheTrustees,whoholdsharesinQCLthroughQCTrusteesLimited(“QCT”).TheAllEnglandLawnTennisandCroquetClubalsohasaspecialsharegivingitcertainpre-emptiverightsonadisposalandrelatingtotheTournament.TheTrusteesholdtheirsharesontrustfortheMembersoftheClub.

(d) TheseRulestogetherwiththeMemorandumandArticlesofAssociationofQCHLalsogoverntherelationshipbetweentheholdersoftheRedeemableSharesintheircapacityasshareholders.

(e) InthecaseofanydiscrepancybetweentheseRulesandtheMemorandaandArticlesofAssociationofQCL,QCHLorQCT,theseRulesshallprevailsofarasthisisnotprohibitedbyanyapplicablelegislationinforcefromtimetotime.

1.6 TheseRulesshallcomeintoeffectonthe1stdayofOctober2008insubstitutionforallpreviousrules.

1.7 Wherethewords“ExistingMember(s)”appearintheseRulesitshallbeconstruedasareferencetoFounderMembers.

1.8 WhereintheseRulesthereisareferencetoQueen’sClubpremisesitshallbeconstruedwherethecontextpermitsasareferencetoClubPremises.

8 RULES 1.1 – 1.8

2. Legal Structure of the Club and Obligations of QCL to Members

2.1 TheTrusteesholdonbehalfoftheMembersunderthetermsoftheDeedofTrustalltheissuedordinarysharesinQCT.

2.2 QCTholds1,750ordinarysharesof£1eachinthecapitalofQCHLallofwhicharefullypaid.TheAllEnglandLawnTennisGroundPLCholds45ordinarysharesof£1eachinthecapitalofQCHLallofwhicharefullypaid.EachShareholderMemberistheholderofoneredeemableshareof£1eachinthecapitalofQCHL(a“RedeemableShare”).ThetermsincludingthoseforpurchaseandredemptionoftheRedeemableSharesaresetoutintheArticlesofAssociationofQCHL.TheRedeemableSharesandOrdinarySharesinQCHLeachcarryonevote.

2.3 QCListhewhollyownedsubsidiaryofQCHLandQCGroundisthewhollyownedsubsidiaryofQCL.

2.4 TheQueen’sClubpremisesaresituatedatPalliserRoad,WestKensington,LondonW149EQandarethepropertyofQCGroundbyvirtueofaleasedated11December2006enteredintobyQCLandQCGroundandleasesdatedinMay2007betweenQCGroundandLTAHoldingsLimitedand/oritssubsidiaries.

2.5 NoMembershallobtainanyrightsorinterestinthepropertyofQCLotherthanasprovidedforintheseRulesandMembersshalltakeallsuchstepsasmaybenecessarytoensurecompliancebythemselvesandotherswiththeseRulesbothasMembersindividuallyandaspartoftheunincorporatedassociation,TheQueen’sClub.

2.6 QCLwillprovidetheMemberswithfacilitiesforlawntennis,realtennis,rackets,squashrackets,tabletennis,agymnasium,bridge,snookerandbilliardsandsuchotherfacilitiesastheBoardmaydecideareinkeepingwiththeaforementionedactivitiesinasociableenvironmentwithotheradvantagesandfacilitiesattheClubPremisesfromtimetotime.

2.7 OtherthanExistingMembers,nopersonovertheageof27onthe1stdayofOctoberinanyyearshallbeorremainaMemberuntilsuchtimeasheshallholdoneRedeemableShareinQCHL.Inthecaseofapersonwhoturns28whileaMemberunlessthatpersonholdsoracquiresaRedeemableSharebeforethe1stdayofOctobernextfollowinghis28thbirthdayheshallceasetobeaMember.AnyShareholderMembershallautomaticallyceasetobeaMemberonceasingtoholdaRedeemableShare.

2.8 OtherthanasprovidedhereinorintheBye-Laws,theMembersoftheClubareundernofinancialliabilitybyreasonoftheirmembershipoftheClubsavetheannualmembershipfeewhichshallbedeterminedashereinaftersetout.

2.9 TheMemorandumandArticlesofAssociationofQCLformpartoftheseRules.NodividendshallbepaidtotheShareholdersofQCLorQCHL(otherthanpursuanttotheprovisionsfortheredemptionoftheRedeemableShares).

2.10 AllMembersareboundtotheseRulesasacontract.QCLandQCHLhaveagreed

tobeboundbytheseRulesasacontract.TheTrusteeshavetheobligationssetoutintheDeedofTrustandareboundtotheseRulesinsofarastheseRulesdonotconflictwiththeirdutiesunderthatdeed.

3. Constitution of the Board of Directors of each of QCL and QCHL and the Trustees

3.1.1 SubjecttotheTransitionalArrangementssetoutinSchedule1(a)theBoardsofDirectorsofQCLandQCHLshalleachconsistof12members,allofwhomshallbeelectedassetoutinSchedule3(a)heretobytheMembers.

3.1.2 SubjecttotheTransitionalArrangementssetoutinSchedule1(b)andtheTrustDeedtheTrusteesshallbefourinnumberallofwhomshallbeelectedassetoutinSchedule3(b)bytheMembers.

3.2 AlltheDirectorsofeachofQCLandQCHLandalltheTrusteesmustbeMembers.

3.3.1 EachMemberDirectorshall(subjecttotheTransitionalArrangements,theArticlesofAssociationofQCLor,asthecasemaybe,ofQCHL)serveforaperiodofthreeyearscommencingonthefirstmeetingofDirectorsfollowingtheAGMatwhichheiselected.

3.3.2 NoDirectormaybeaTrusteeandviceversa,savethatfortheperiodtotheAnnualGeneralMeetingin2009notmorethantwoDirectorsmayalsoserveasTrusteesandfortheperiodfromtheAnnualGeneralMeetingin2009totheAnnualGeneralMeetingin2010oneDirectormayalsobeaTrustee.

3.3.3 IntheeventofavacancyontheBoard,theBoardmayappointanyMemberoftheClubtofillthevacancy.TheDirectorsoappointedshallstanddownatthenextAnnualGeneralMeetingoftheClubbuthisserviceduringanyperiodwhenhewasnotelectedshallnotcountforthepurposesofclause3.3.4.

3.3.4 NoMembershallservemorethantwoconsecutivetermsofthreeyearseachasaMemberDirector.

3.4.1 WithoutprejudicetotheirrightsundertherelevantArticlesofAssociation,theDirectorsofQCLor,asthecasemaybe,QCHLshallseparatelyelecttheChairmanoftheBoardofDirectorsofeachofQCLandQCHLineachyearatthefirstmeetingofDirectorsfollowingtheAnnualGeneralMeetingoftheClub.

3.4.2 TheChairmanoftheBoardofQCLshallbetheChairmanofTheQueen’sClub.FortheavoidanceofdoubttheChairmanoftheBoardofQCLandtheChairmanoftheBoardofQCHLneednotbethesameoneperson.

3.4.3 NoMemberDirectorshallservemorethanthreeyearsasChairmanofeitherQCLorQCHL.

3.5.1 WithoutprejudicetothetermsoftheTrustDeedtheTrusteesshallattheirfirstmeetingaftereachAnnualGeneralMeetingoftheClubappointoneoftheirnumbertobethechairmanoftheirmeetingsandmayatanytimeremovehimfromthatoffice.Thechairmansoelectedshallnothaveacastingvote.Saveasherein

providedtheChairmanoftheTrusteesshallbeentitledtoattendandspeakatallmeetingsoftheDirectorsofeachofQCLandQCHLbutshallnothaveavoteinhis/theircapacityasTrustee.TheChairman(orChairmen)oftheBoardsofQCLandQCHLshallalsobeentitledtoattendandspeakatallmeetingsoftheTrusteesbutshallnothaveavoteintheircapacityasDirectors.

3.5.2 SubjecttotheTransitionalProvisionsatSchedule1(b),noMembershallservemorethantwofouryeartermsasaTrustee.

3.6 Asfarasisreasonablypracticableandsubjecttoanyapplicablelaws,AnnualGeneralMeetingsofQCL,QCHLandtheClubtogetherwiththeelectionofanyTrusteeshallbeheldonthesamedayinMarchofeachyear.

3.7 TheBoardandtheTrusteesasthecasemaybeshallestablishcommitteesassetoutinSchedule5whichshalladvisetheBoardand/ortheTrusteesandwhichshallhavethepowerssetoutinSchedule5.

4. Membership Categories

4.1 TheClubshallconsistoftheRoyalPatronandthecategoriesofMemberssetoutinSchedule2.

4.2. TheFullMembersshallpaysuchannualsubscriptionastheBoardmaydeterminefromtimetotime.

4.3 AllothercategoriesofmembershallpayanannualsubscriptionequaltothatpercentageoftheannualsubscriptionforfullmembershipwhichappearsintherelevantcolumninSchedule2,subjecttoadjustmentastheBoardmaydeterminefromtimetotime.

4.4 ThemaximumnumberofMembersforeachcategoryshallbefixedfromtimetotimebytheBoard.

4.5 TheBoardshallhavepowertoelectMemberswithinthemaximumnumbersfixedunderRule4.4.TheBoardshalltakeintoaccountwhenelectingMembersanyexpectedtransitionofMembersfromonecategoryofmembershiptoanotherbyreasonofage.

4.6 AllMembersoftheClubshall,saveasotherwiseprovidedintheseRulesandBye-Laws,havetherighttousetheFacilitiesoftheClubandshallhavetheTournamentOpportunities.

4.7 TheBye-LawsshallbedeterminedbytheBoardandmustnotconflictwiththeseRules.AnyBye-LawsaffectingtherightsoftheUnder12Members,CountryMembersorOffPeakMembersintheirrespectivecapacitiesshallbenotifiedtothemnotlaterthan1stSeptemberineachyeartocomeintoeffectuponrenewaloftheirmembershipon1stOctoberineachyear.

4.8 RoyalPatronTheClubshallbyinvitationoftheDirectorshaveaRoyalPatron.ThecurrentRoyalPatronisHRHtheDuchessofGloucester.

RULES 3.5.1 – 4.8 11

5. Members

Allpersonsseekingmembershipofanycategory(otherthanUnder12category)shallrequireelectionand,onelection,shallbeentitledtousealltheFacilitiesoftheClubsaveasprovidedforintherespectivecategoriesreferredtoinrules6to26orelsewhereintheseRulesorBye-Laws.Theparent(s)orguardian(s)ofallMembersundertheageof18shallberesponsibleforensuringthatMember’sgoodbehaviourandcompliancewiththeseRules.

6. Full Members

FullMembersmustbeaged28ormoreonthe1stdayofOctoberineachyear.

7. Full Under 28 Members

7.1 Personsunder28yearsofageonthe1stdayofOctoberineachyearshallbeeligibletobecomeUnder28Membersandshallhavetherightsattributabletotherelevantmembershipcategory.

7.2 AnyMemberundertheageof28shallnotberequiredtoholdaRedeemableShare.

7.3 Uponattainingtheageof28,aMembermaybecomeaMemberintheappropriatecategoryprovidedheshallhavepurchasedaRedeemableShareonorbefore1stOctobernextfollowinghis28thbirthday.ExceptinthecaseofaFounderMember,failuretopurchaseaRedeemableShareshallresultinsuchpersonceasingtobeaMember.

8. Full Under 22 Members

8.1 Personsunder22yearsofageonthe1stdayofOctoberineachyearshallbeeligibletobeUnder22Membersintherespectivecategories.

8.2 AnyMemberundertheageof22shallnotberequiredtoholdaRedeemableShare.

8.3 Uponattainingtheageof22,suchMembersshallbetransferredtoanUnder28Membershiponthe1stdayofOctoberafterattainingthatage.

8.4 AnyMemberinthiscategorywhowasnotaholderofaRedeemableSharebeforethe1stMay2008andwhoattainstheageof18shallceasetobeeligibleforthiscategoryofmembershiponthe1stOctobernextfollowinghis18thbirthdayunlessheshallbeelectedinaccordancewithRules5and28savethattheBoardmaywaivetherequirementforinterview.

8.5 AnysuchMemberwhohasfailedtoapplyforelectionand/orwhohasfailedtobeelectedinaccordancewithRule8.4shallbedeemedtohaveceasedtobeaMemberoftheClub(andanyRedeemableShareheldbyhimshallberedeemablesubjecttotheArticlesofAssociationofQCHL).

8.6AnyMemberwhoshallhaveceasedorwillceasetobeaMemberoftheClubbyreasonofRules8.4and8.5mayappealtotheDisciplinaryCommitteeandbywayoffurtherappealtotheDisciplinaryAppealTribunalforareviewofhismembership.

12 RULES 5 – 8.6

9. Full Under 12 Members

9.1 Children(whetherbybirth,adoptionorguardianship)ofMembers,over6butunder12yearsofageonthe1stdayofOctoberineachyear,shallbeeligibletobeFullUnder12MembersonsuchconditionsasaresetoutintheBye-Lawsbutshallnot(exceptasreferredtoinRule27.1.1)havetheTournamentOpportunitiesunlesstheyalsoholdaRedeemableShare.

9.2 NoMemberundertheageof12shallberequiredtoholdaRedeemableShare,nortobeelectedinaccordancewithRule28.ShouldtheirparentorguardianceasetobeaMemberthechildmaynonethelesscontinue(attherequestofthepersonsoceasing)tobeaMemberiftheBoardshallinitsabsolutediscretionsodetermine.

9.3 Uponattainingtheageof12suchMembersshallsubjecttoRule8.4betransferredtoUnder22membershiponthe1stdayofOctoberafterattainingthatage.

10. Over 65 Members

Membersovertheageof65onthe1stdayofOctoberinanyyearfollowing20yearsofbeinganOrdinaryMemberareeligibletobecomeOver65Membersintherespectivecategories.OnlyExistingMembersaged60oroveronthe1stdayofOctober2007shallqualifyforthiscategoryandmaycontinuetoenjoytherightsofthiscategory.

11. Over 75 Members

Membersovertheageof75onthe1stdayofOctoberinanyyearfollowing30yearsofbeinganOrdinaryMemberareeligibletobecomeOver75Membersintherespectivecategoriesandmaycontinuetoenjoytherightsofthatcategory.

12. Full Country Members (including Under 28)

FounderMemberswithnoresidenceorplaceofbusinesswithin50milesoftheClubshallbeeligibletoremainasCountryMembers(includingUnder28andUnder22).SuchMembersarepermittedtoplayonsuchoccasionsanduponpaymentofsuchfeesastheBye-Lawsshallprovide.TheymustnotifytheCompanySecretaryifandassoonastheyceasetomeettheresidencequalificationofaCountryMember.TheDirectorsreservetherighttodeclinetoretainanyMemberonthelistofCountryMembers.Thereshallbenonewentriestothiscategory.

22.3 If,within14daysafterhisreturn,anOverseasMemberusingtheClubshallhaveneglectedtonotifythefactofhisreturntotheCompanySecretary,heshallceasetobeaMemberoftheClubunlesshecanexcusethedefaulttothesatisfactionoftheBoard,whoshallhavethepowertoreinstatehim.

22.4 AMember’ssubscriptionatnormalrates(asopposedtotherateapplicabletoOverseasMembers)shallbecomepayableasfromthedateofhisreturningtoresideintheUnitedKingdom,whetherheusestheFacilitiesoftheClubornot.

23. Social Members

23.1 Membersinanyothercategorymay,inspecialcircumstancesandwiththeconsentoftheBoard,transfertoSocialmembership.Thereafter,theymaynotplayLawnTennis,RealTennis,RacketsorSquashattheClubbutmayusetheGymnasiumandotherfacilitiesoftheClub.

23.2 FounderMemberswhoareorwhobecomeSocialMembersneednotholdaRedeemableSharebutshallbeliableforthe65%additionalsubscriptionpayablebyMemberswhodonotholdaRedeemableShare(butnotthe£750minimumfigurereferredtoinRule34.5).IfaFounderMemberdoesnotholdaRedeemableShareheshallnot(exceptasreferredtoinRule27.1.1)havetheTournamentOpportunities.

24. Staff Members

AnypersonwhoisrequiredbyhiscontractofemploymentorforserviceswithQCLtouseanyoftheplayingfacilitiesshallbeaStaffMemberintheappropriatecategorybutshallnothavetheTournamentOpportunities.

25. Honorary Playing Members

25.1 Thepersonsadmittedtothiscategoryshallbe:-

27. The Tournament Opportunities

27.1 DuringthecurrencyoftheTournamenttheBoardwillendeavourtoensure(butwithoutbeingobligedtodoso)thattheMembersshallhavethefollowingrights:-

27.1.1 ToentertheClubHouseoneachdayoftheTournamenttowatchthetennisfromthePavilionareaeitherbyoccupyingoneofthenon-reservedseatsorbystandingwherepermittedtodoso.

27.1.2 Toenter,togetherwiththeirapprovedguestsholdingaguestbadge,theMembers’Enclosure,beingsuchareaoftheClubastheBoardshallinitsabsolutediscretiondetermine,forthepurposesofpurchasinglunchandteaandofentertainingsuchguests.

27.1.3 Toapply,inprioritytomembersofthegeneralpublic,foramaximumof10seatsoverallintheTournamentweek,withamaximumof4ticketsonanyoneday.

27.1.4 Toapplyforpreferentialseatinginthesame2or4seatsforeachdayoftheTournamentsubjecttosuchrestrictionsastheBoardmayimposefromtimetotime.

27.1.5 ToapplyforguestticketstoentertaintheirguestsintherestaurantandcaféintheClubhouse.UntilsuchtimeastheyhaveaseparatededicatedDebentureHolders’LoungeasreferredtoinSchedule4,DebentureHolderswillhaveprioritybookinginrespectoftherestaurant.

27.1.6 Toapply(onafirstcomefirstservedbasis)forthepurchaseofguestbadgesthroughouttheweekoftheTournament,suchguestbadgespermittingentry(withtheMember)oftheapplicant’sguest(s)totheClubHouseandPavilionarea.

27.1.7 ToenteraballotforanyunallocatedRoyalBoxticketsasdescribedinRule27.2below.

27.2.1 TheChairmanandChiefExecutiveshall(subjecttoreviewbytheBoard)allocatethetwelveormoredailyplacesavailableintheRoyalBoxtosuchdistinguishedguestsastheymaytogetherconsiderappropriateintheinterestsoftheClub.

27.2.2 AnyplacesnotsoallocatedintheRoyalBoxshallbeplacedinaballottobeconductedbytheCompanySecretaryforallShareholderMemberswhoshallhaveappliedunderRule27.1.7andshallbeallocatedtothosesuccessfulintheballot.

27.2.3 AftercontractualprovisionfortheDebentureHoldersallotherticketswhichareavailablefortheCluborQCLshallbemadeavailabletotheMembersatapricetobedeterminedbytheBoardandshall(inanycasewheredemandexceedssupply)beallocatedbywayofballot.

27.3 AnyticketsreceivedfromtheAllEnglandLawnTennisandCroquetCluborothersourcesfortheWimbledonChampionshipsshallbemadeavailabletotheMembersatfacevalueinaballotconductedbytheCompanySecretary,savethatanumbertobedeterminedbytheBoardinitsabsolutediscretionmaybereservedtoClubstaff.

ThepricetobepaidbyMembersforeachoftheseprivilegesisintheabsolutediscretionoftheBoard.Thesearethe“TournamentOpportunities”.

28. Procedure for Election of Members

28.1 ApersonforelectioninanycategoryshallbeproposedbyoneMemberandsecondedbyanother,toeachofwhomhemusthavebeenpersonallyknownfornotlessthantwoyears.Suchcandidatureshallbesupportedbylettersfromboththeproposerandseconder,whomustfurnishtheBoardwithfullparticularsastothesuitabilityoftheircandidateforelection.NoMemberoflessthanoneyear’sstandingmayproposeorsecondacandidate.CandidatesshallonlybeproposedorsecondedbyMembersover18yearsofage.Candidatesshallnotbeproposedandsecondedbymembersofthesamefamily.Candidatesundertheageof18mayhavetheassistanceorhelpoftheirparentorguardianinallmattersunderthisrule.

28.6 Allcandidatesforelectionshallbeinterviewedastotheirsuitability.TheBoardshallappointapanelofMembersoflongstandingtoassistinthecarryingoutofthisfunction.Thisinterviewprocessshallnotbedelegatedfurther.

28.7 ElectionsofMemberstotheClubmaybebyamajorityoftheBoardtakenonopenvotebutanymemberoftheBoardmaydemandaballotinwhichcaseonevoteinfiveagainstshallexcludethecandidatefrombecomingaMember.NoelectiononopenvoteshallbevalidunlessatleastfiveDirectorsarepresentandvote.

28.8 AnycandidatewhohasbeenrejectedshallnotagainbeeligibleasacandidateuntiltwoyearshaveelapsedaftersuchrejectionandheshallnotbeadmittedtotheClubpremisesduringthatperiod.

28.9 WhenacandidatehasbeendulyelectedtheBoardshallsoinformhiminwritingandshallatthesametimesendtohimacopyoftheRulesandBye-Laws.Thecandidateshallberequiredtosubmitadirectdebitmandatetoprovideforthepaymentofsubsequentfees,subscriptionsandpurchasesmadeattheClubandothermoniesduetotheClub,togetherwithpaymentofthepriceforaRedeemableShareforallOrdinaryMembersandthesubscriptionforthecurrentyear.

28.10 Thecandidateshallnotbeentitledtothebenefits,privilegesoruseoftheFacilitiesoftheClubuntilhehaspaidsuchsumorsums,andcompletedandreturnedthedirectdebitmandateand,inthecaseofOrdinaryMembership,purchasedaRedeemableShare.

28.11 AcandidatewhoshallnothavepaidhissubscriptionandpurchasepricefortheRedeemableShare(ifany)withinonemonthafterthedateofhiselection,shallbedeemednottohavebeenelected.

29. Resignation of Members

AnyMemberintendingtoresignhismembershipoftheClubshallsignifyhiswishinwritingtotheCompanySecretaryonorbeforethe15thdayofSeptemberinanyyear,failingwhichheshallbeliableforhissubscriptionfortheensuingyear.

30. Transfer to a different Membership Category

SaveasotherwiseprovidedintheseRules,noMembershallautomaticallybe

entitledtotransferfromonecategoryofmembershiptoanotherbutmaydosowiththeapprovaloftheBoard.Suchtransfer,ifapproved,willtakeeffectfromthe1stdayofOctoberinanyyear.TransferatanyothertimeduringtheClubyearissolelyatthediscretionoftheBoard.

31. Members discontinuing to have no claim on the Club

SaveasotherwiseprovidedintheseRules,anypersonceasingtobeaMemberforwhateverreasonshallhavenoclaimuponorrightsinrelationtotheClub,QCL,QCHL,theBoardortheTrustees(otherthansuchasmayariseinrelationtohisRedeemableShareundertheArticlesofAssociationofQCHL).

32. Expulsion, Suspension and Caution of Members

32.1 AnymisconductofaMemberorhisguest,oranyinfractionoftheRulesorBye-LawsoftheClubbyaMemberwhichmaybeinjurioustothecharacterandinterestsoftheCluboritsmembersshallbereferredtotheDisciplinaryCommittee.TheDisciplinaryCommitteeshallbeappointedbytheBoardandshallconsistofatleastonedirectorandtwootherMembers,whomayalsobedirectors.NoTrusteeshallbeamemberoftheDisciplinaryCommittee.

32.2 TheDisciplinaryCommitteeifitconsidersanyMembertobeinbreachofRule32.1above,shallrequesttheMembertofurnishanexplanationtoit,eitherverballyorinwritingandshallconsidersuchotherevidenceasmayappeartothemappropriate.

32.3 Followingtheprovisionofsuchexplanation,theCommitteemayrecommendtotheBoardthatsuchMemberbeexpelled,orsuspendedfromtheprivilegesanduseoftheFacilitiesoftheClubforafiniteperiod.TheDisciplinaryCommitteeandChiefExecutiveshalladditionallyhavepowertocautionaMemberaseitherofthemshallseefit.

32.4 TheBoardmayacceptsuchrecommendationorsubstitutetheirowndecision.TheBoard’sdecisionwillbenotifiedtotheMemberinquestionthroughtheCompanySecretary.Subjecttoappealashereinafterprovided,suchdecisionshallbefinalandbindingontheMemberconcerned.NoTrusteeshalltakepartinthedecisionoftheBoard.

32.5 AnyMemberwhoisexpelledunderthisruleshallnotentertheClubasavisitororotherwise.AnyMemberwhoissuspendedunderthisruleshallnotentertheClubasavisitororotherwiseduringhisperiodofsuspension.

32.6 AllpaymentsalreadymadebysuchMembershallbeforfeitedbutthisshallnotaffectanyrightshemayhaveundertheArticlesofAssociationofQCHLinrelationtohisRedeemableShare.

32.7 AnymemberaggrievedbyadecisionoftheBoardmay,within28daysofthedecisionbeingmadeknowntohimathislastknownaddress,appealtotheDisciplinaryAppealTribunal.

32.7.1 SuchappealshallbemadeinwritingaddressedtotheTrusteesattheClub’saddress.

32.7.2 TheDisciplinaryAppealTribunalshallbeappointedbytheTrusteesandshallbenotlessthanthreeinnumber.ItshallconsistofatleastoneTrusteetogetherwithsuchotherFullMembers(whomayormaynotbeTrustees)astheTrusteesshallintheirabsolutediscretiondecide,ofwhomatleastonemustbelegallyqualified.

32.7.3 TheDisciplinaryAppealTribunalshalldetermineitsownrulesofprocedure.

32.7.4 TheDisciplinaryAppealTribunalshallreportinwritingtotheTrusteeswithitsrecommendations,andtheTrusteesshallhavetheabsolutediscretiontoallowanyappealinwholeorinpart.Suchdecisionmaybebymajoritydecision.

32.8 AnyMembermayberepresentedbeforetheDisciplinaryCommitteeandtheDisciplinaryAppealTribunalandmayinadditionbeaccompaniedbyafellowMember(ortheirparentorguardianifappropriate)beforetheDisciplinaryCommitteeandtheDisciplinaryAppealTribunal.

33. Defaulters

AnyMemberwho,afterduenoticehasfailedtopayanysumduetotheClub,shalluponthedecisionoftheBoardceasetobeaMemberoftheClub.

34. Subscriptions and Entrance Fees

34.1 TheDirectorsshallfromtimetotimeissueascheduleofsubscriptionsforthevariouscategoriesofMembersandascheduleoffeesfortheuseoftheFacilitiesoftheClub.

34.2 PaymentofthesubscriptionshallbedeemedtoconstituteacceptanceoftheseRulesandBye-Laws.

34.3 SaveasmaybeagreedbytheDirectors,allsubscriptionsshallbepayableonthe1stdayofOctobereachyearbydirectdebit.Paymentofanysubscriptionbyquarterlyinstalmentson1stOctober,1stJanuary,1stApriland1stJulywillonlybeacceptedbydirectdebitmandateandwillcarryinterestandadministrationfeesatsuchrateastheDirectorsshalldeterminefromtimetotime.

34.4 Ifthesubscriptionisnotpaidby15thdayofNovemberintherelevantyearorwithin14daysoftherelevantquarterlypaymentasabove,theMember,althoughstillliableforthesubscriptiondue,shalluponthedecisionoftheBoardceasetobeaMemberunlesshecanexcusesuchdefaulttothesatisfactionoftheBoard,whichshallhavethepowertorestorehismembership.

34.5 FounderMemberswhoarealsoOrdinaryMemberswhodonotsubscribebeforethe1stdayofSeptemberinanyyearforaRedeemableShareshallpayanadditionalsubscriptionequalto65%oftheusualsubscriptionfortherelevantcategoryofmembershipor£750,whichevershallbethegreater.ThisdoesnotapplytoHonoraryMembers,HonoraryPlayingMembersorLifeMembersandappliestoSocialMemberswithmodification(seeRule23.2).

34.6 AnyMemberwhoisaged18oroveronthe1stdayofOctoberineachyearmustcompleteorhavecompletedadirectdebitmandateinfavouroftheClubforthepaymentofallfees,subscriptionsandpurchasesmadeattheClubinsofarasthey

arenototherwisepaidfor.Theparent,grandparentorguardianofanyMemberundertheageof18onthe1stdayofOctoberineachyearmaycompleteadirectdebitmandateinfavouroftheClubforthepaymentofthatMember’sannualmembershipsubscriptions.Memberswhoareunder18onthe1stdayofOctoberinanyyearmustmakepaymentatthetimeofpurchaseofanygoodsorservicesbythem.TheBoardmayinitsabsolutediscretionpermitthechargingofthecostsofanygoodsorservicesbyapersonundertheageof18totheaccountofaFullMemberprovidedthatpermissionisgivenbysuchFullMemberinwriting.

35. Exceptional Hardship

AnyMemberwhofindshimselfunable,byreasonofexceptionalhardship,topayhissubscriptionmayapplytotheTrusteesfortheremissioninwholeorinpartofhisannualsubscription.TheTrusteesmaythenrecommendtotheBoard(buttheBoardshallnotbeboundtoaccept):

35.1 thatthesubscriptionfortheyearbewaivedinwholeorinpart;and/or

35.2 thatthesubscriptionfortheyearbeleftoutstandingasadebtduetoQCLnottobedemandeduntileithertheMember’scircumstancesimproveortheMember’sdeathandinsuchcircumstancestheMembershallenterintosuchagreementwithQCLforpaymentastheBoardshallreasonablyrequire.

36. Richard Tur Foundation/Charitable Activities

36.1 TheTrusteesmaywithintheirdiscretion,awardfundsbywayofsportsscholarshipfromtheRichardTurFoundation(afoundationestablishedbythetermsofsettlementoftheLitigation)toanypersonundertheageof28whoisresidentinthelocalcommunityandwhoappearstothemtomeetthecriterialaiddownbytheFoundation,suchfundstobeusedtosubsidisethatperson’sannualsubscriptionand/orcourtfeesinwholeorinpart.

36.2 TheBoardmayapplyMembers’subscriptionsforcharitablepurposes.

37. Guests

37.1 ExceptonsuchoccasionsastheBoardmaydecide,allMembersshallhavetherighttointroducegueststotheClubwithoutpayment.TheBoardmaywithdrawsuchrighttointroduceguestsduringtournaments,exhibitionsandmatches.

37.2 Abook,cardorelectronicsystemshallbekeptinwhichthenamesofguestsusingthefacilitiesforLawnTennis,RealTennis,RacketsandSquashRacketsmustbeenteredbytheMember,togetherwiththenameoftheintroducingMember.

37.3 AMembershallineverycaseberesponsibleforanyexpensesincurredbyhisguesttotheClubandfortheguest’sobservanceoftheseRulesandBye-Laws.

37.4 Noguestmay,exceptwiththeconsentoftheBoard,usethefacilitiesforLawnTennis,RealTennis,RacketsorSquashmorethan6timesinthe12monthperiodcommencingonthe1stdayofOctoberineachyear.

37.5 NoguestmayusetheGymnasium.

37.6 GuestfeesandtheconditionsgoverningthemwillbefoundinthescaleofchargesandintheBye-Laws.

38. Management of the Club

38.1 ThemanagementoftheClubshallbeinthecontroloftheBoardsubjecttotheseRulesandtheBye-Laws.ThescaleoffeesandchargesbothforMembersandguestsfortheuseofthefacilitiesoftheClubandallotherchargesshallbefixedbytheBoard.TheBoard,subjecttotheseRules,shallalsohavepowertoalter,vary,raiseorlowertheamountstobepaidbywayofcourtfeesandannualsubscriptions,providedthatinmakingsuchalterations,atleast28days’noticeexpiringonthe30thdayofSeptemberofanyyearshallbegivenbymeansofnoticespostedontheClubnoticeboard.

38.2 TheCompanySecretaryofQCLandQCHL,theChiefExecutiveandotherofficersandemployeesoftheCluband/orQCLand/orQCHLshallbeappointedbytherelevantBoard(whetherofQCLorQCHL,asthecasemaybe)whichshallalsodeterminetheirrespectivedutiesandallocatetothemsuchauthorityastherelevantBoardshalldeemexpedient.

38.3 TheBoardmaysuspend,withdraworimposeconditions(includingfinancialconditions)ontheuseoftheFacilitiesoftheClubbytheMembersasitshallinitsabsolutediscretionconsidertobenecessaryinthebestinterestsoftheClub.

38.4 TheBoardmaymake,suspendoralterBye-LawsthatdonotconflictwiththeseRules,providedthatanynew,suspendedoralteredBye-LawsshallbepostedontheClubnoticeboardforinformationandshallnotbedeemedtohavebecomebinding(or,asthecasemaybe,tohaveceasedtobecomebinding)untilsevendaysfromthedateofsuchposting.TheBye-Lawsshallbeinforceuntilsuspended,alteredorrevokedeitherbytheBoardoratanExtraordinaryGeneralMeetingorAnnualGeneralMeetingoftheClub.

44. Games and Gymnasium

44.1 TheregulationsaffectingthevariousgamesandtheuseoftheGymnasium,togetherwiththetimesforopeningandclosing,aresetoutintheBye-Laws.

44.2 ThefeesandchargesfortheuseofcourtsandtheservicesofprofessionalsandmarkersaresetoutinthescheduleofchargesdeterminedbytheBoard.

45. Unofficial Coaching

NoMembershallpayorreceivemoneyorotherbenefitofanynatureforplayingwithoragainstanyotherMemberorguestatanyofthegamesplayedattheClub,butthisshallnotprecludetheservicesofprofessionalsemployedorauthorisedbytheClub.AnybreachofthisrulemaybereferredbyanyMembertoaDirectorortheChiefExecutive.

46. Billiards and Snooker

TheregulationsaffectingtheBilliardRoomaresetoutintheBye-Laws.

47. Games of Hazard

47.1 Theonlygames(otherthanracquetssports,billiardandsnooker)permittedintheClubare:Whist,SoloWhist,Bridge,Piquet,Bezique,Cribbage,PatienceandCanasta.

48. Club not to be used for Business Purposes

NoMembershallcarryonhisprofessionorbusinessintheClubnoruseitsnameinanyadvertisement,prospectusordescription,norcauseanyletterstobeaddressedtohimattheClubotherwisethaninhisownpropername.NoMembershallusetheClubforthepurposeofinterviewingorengagingemployees.MembersmayhirethefacilitiesoftheClubfortheseandotherpurposesonsuchtermsastheBoardmaydeterminefromtimetotime.

49. Notices

NopaperorplacardwrittenorprintedshallbeputupintheClubwithoutthesanctionoftheChiefExecutive.

50. Club Address

NoMemberoftheClubshallallowhisnamewiththeaddressoftheClubattachedtheretotoappearinanyadvertisementwhatever,orintheprospectusofanypubliccompanyofwhichhemaybeadirectororofficer.

51. Members’ Addresses, Letters and Parcels

51.1 EachMembershallcommunicatehisaddress,hiselectronicaddressorthatofhisBankerorAgentfromtimetotimetotheCompanySecretary,andallnoticessenttosuchaddressshallbeconsideredasdulydelivered.IfaMemberleavesnoaddress,theClubshallbedeemedhislastknownaddress.

51.2 AddressesandtelephonenumbersofMembersshallnotbegivenbyanyemployeeoftheClubtoanyperson,otherthananotherMember.Communicationsinwriting(butnotparcels)addressedtoaMemberattheClubwillbeforwardedifpracticableattheMember’srisk.

51.3 NosuchcommunicationorparceladdressedtoaMembershallbegiventoanypersonexcepttheMembertowhomitisaddressedwithoutsuchMember’swrittenauthority.

51.4 EveryMembershallbeentitledtoknowthename,address,telephonenumberandelectronicaddress(ifany)ofeveryotherMemberbutshallnotcommunicatethisinformationtoanon-Member.IfsuchinformationissocommunicateditshallconstitutegroundsforexpulsioninaccordancewiththeprocedureinRule32.

52.1 Membersovertheageof18mayonlyobtaincreditattheClubbyusingtheirmembershipcardbackedbyadirectdebitmandate.TheDirectorsmaygrantfacilitiestoMemberstoobtaincreditbutintheeventoffailuretocomplywiththetermsthereof,aMembershallnotbeentitledtoanyofhisrightsasaMember.

52.2 InadditiontotheaboveallunpaidbillswillbearsuchinterestastheDirectorsshalldetermine.

52.3 TheBoardmayestablishafundforprovidingloanstoExistingMembersandprospectiveMembersforthepurposeofpurchasingRedeemableShares.

52.4 IfandtotheextentthatanyMemberowesanyamountforwhateverreasontotheClub(orasthecasemaybetoQCHLorQCLoranyothersubsidiaryofQCHL)thentheClub(orasthecasemaybeQCHLorQCLorsuchothersubsidiaryofQCHL)shallbeentitledtosetoffsuchamountagainstanyamountwhichanyofthoseentitiesisthenorbecomesobligedtopaytothatMember.

54. Employees

54.1 NoMembershallintimateorcausetobeintimatedtoanyQCLemployeehiswillingnesstotakeanysuchemployeeintohisservice.

54.2 MembersdesiringtheservicesofanyofQCL’semployeesoutsidetheClubpremisesmustmakeapplicationtotheChiefExecutive.Permissionforsuchserviceswillonlybegrantedinexceptionalcircumstances.

55. Suggestions or Complaints

55.1 AMemberhavingcauseforcomplaintorsuggestionstomakeshalladdressalettertotheCompanySecretary,givingtheparticularsthereof.TheCompanySecretaryshallreferthemattertotheChiefExecutiveortotheBoard,asappropriate.

55.2 InnocaseshallaMemberbethesubjectofapersonalreprimandformakingacomplaintagainstanofficialoremployee.

56. Dogs or any other Animals

NoMemberorguestshallbringadogoranyotheranimalintotheClubpremisesorbuildings.

57. Removal of Books, Newspapers etc.

NoMembershallremoveabook,newspaper,magazineorperiodicalofanydescriptionfromapublicroom,orremoveorpermittobetakenfromthe

58. Liquor

IntoxicatingliquormaybesoldtoMembersandotherpersonsinaccordancewiththeterms,fromtimetotime,oftheClub’sLicence.

59. Loss of Members’ Property and Exclusion of Liability

59.1 NoresponsibilityorliabilityshallattachtotheClub,QCLorQCHLinrespectofthepropertyofanyMember,orofhisguests,whichmaybelostintheClub.TheClubandQCLreservestherighttodisposeofanypropertyfound,butwhichremainsunclaimedafterthreemonths.

59.2 QCLanditsemployeeswillnotbeliableinanywayforthelossof,ordamageto,thepropertyofMembersor(totheextentsuchexclusionispermittedbylaw)forpersonalinjurytoordeathofanyMember,excepttotheextentthatsuchloss,damage,personalinjuryordeatharisesfromthewilfulact,neglectordefaultofQCLoranyofitsemployees.

60. Availability of Rules

AcopyoftheseRulesandtheBye-LawsshallberetainedinReceptionandnoMembershallbeabsolvedfromtheireffectbyanyallegationofnothavingreceivedthemorofignoranceoftheircontents.

61. Final Distribution Rules

ThisRuleismadepursuanttoclause1.2oftheDeedofTrust.ShouldtheClubbedissolvedorotherwiseceasetoexistthetrustpropertyshallafterpaymentofallliabilitiesbedistributedamongpastandthenpresentMembersastheTrusteesshallintheirabsolutediscretiondetermine.TheTrusteesshallattheexpenseofthetrustproperlycarryoutsuchenquiriesandconsultationsastheyshallintheirabsolutediscretionthinkfitandmayapplytothecourtfordirectionsorsanction.

62. Disclosure of Information

AllMembersshallbeentitledtoreceiveand/ortoinspecttheminutes,recordsandfinancialandotherinformationoftheClubatthetimesandonthebasisreferredtoinSchedule6.

Schedule 1(a) TransitionalprovisionsforelectionofDirectors

1. FouroutofthoseelectedasMemberDirectorsinSeptember2007shallstanddownattheAnnualGeneralMeetingin2009andfournewMembersshallbeelectedasMemberDirectorsinaccordancewithSchedule3.

2. Atthe2010AnnualGeneralMeetingtheremainingtwoMemberDirectorselectedin2007shallstanddownandtwooutofthesixelectedasDirectorsin2008shallstanddownandfournewMemberDirectorsshallbeelectedinaccordancewithSchedule3.

3. Atthe2011AnnualGeneralMeetingthebalanceoffourMemberDirectorselectedin2008shallstanddownandfournewMembersshallbeelectedinaccordancewithSchedule3.

Schedule 3(a) AppointmentofDirectorsofQCHLandQCL

1. TheDirectorsofQCHLshallbeappointedbytheordinaryshareholdersofQCHL.QCT,whichisasubstantialholderofordinarysharesofQCHL,shallvoteitssharesinaccordancewithsuchdirectionsasmaybereceivedbytheTrusteesfromtheMembersfromtimetotimeinaccordancewiththeseRules(MemberDirectors).

(c) TheMemberinwhosenamethecourtisbookedshouldconfirmhisbookingpriortoplay,onthedayofplay.ForMemberswithadirectdebitinforce,suchconfirmationconstitutesacceptancethattheappropriatecourtfeeshouldbechargedtotheMember’saccount.

(d) MemberswithadirectdebitinforcewhofailtoconfirmthecourtatReceptionwillbelevieda“noshow”charge,whetherornotthecourtisused.Memberswithoutadirectdebitinforce,whofailtoconfirmthecourt,willbeleviedthecourtfeeandthe“noshow”charge,togetherwithanadditionaladministrativecharge.SuchchargeshallbedeterminedbytheBoardfromtimetotime.

10. Real Tennis and Rackets Professionals

(a) MembersmaybooklessonsthroughtheofficeoftheRealTennisandRacketsProfessionals.Eachlessonwillbefortheperiodof55minutes.

(b) Lessonsmaybetakenbetween7.00amand5.30pmonMondaytoFridayandbetween8.00amand5.00pmonaSaturday,SundayandPublicHolidays.

(c) Cancellationoflessonsmustbemadeatleast48hoursbeforethelessonisdue,inwhichcasenofeesarepayable.Cancellationswithin48hourswillrequirepaymentofthecourtfees,unlesstheClubisabletoresellthecourt.

(d) MembersmaycalluponaProfessionaltomarkagame,ongiving24hoursnotice.Ahittingserviceisalsoavailable.

11. Squash

(a) ThelawsofthegameshallbethoseadoptedforthetimebeingbytheSquashRacketsAssociation.

(b) Thedresscodeisthateachitemofclothingmustbepredominantlywhite.

(c) CourtsmaybebookedbyMembersforperiodsof45minutesattheReceptiononanydayoftheweek,14daysinadvance,bytelephonefrom9.00amandinpersonfrom9.30am.

(d) Thenormaltimesofplayforuncoveredcourtsareasfollows:

(e) AMemberwhohasbookedacourtanddoesnotwishtouseitmustgiveatleast48hoursnoticetoReception.Otherwise,intheeventofthecourtnotbeingre-sold,hewillberequiredtopayforit.

12. Squash Professionals

(a) MembersmaybooklessonsdirectlywiththeProfessional.Eachlessonwilllastforaperiodof45minutes.

(b) ProvidedthattheProfessionalisavailable,lessonsmaybytakenbetween8.00amand6.45pmonMondaytoFridayandbetween8.00amand5.15pmonaSaturday.

(c) Cancellationoflessonsmustbemadeatleast48hoursbeforethelessonisdue,inwhichcasenofeesarepayable.Cancellationswithin48hourswillrequirepaymentofthecourtfee,unlesstheclubisabletore-sellthecourt.

13. Dress

(a) Onallcourts,predominantlywhiterecognisedclothing,(eacharticleofclothingtobeatleasttwothirdswhite)mustbeworn.

(b) Colouredtrack-suits(orjoggingtrousersandacceptedshirts)maybewornonallcourtsbetweenOctoberandAprilineachyear.Theymustbewornasanadjunctto,notasasubstitutefor,normaltennisclothing.

(c) Advertisingorletteringinanyform,otherthansmallapprovedmotifs,isnotpermitted.

(d) Thefollowingitemsbywayofexamplearenotaccepted:rugbytops,runningorjoggingshorts,leotards,legwarmers.

(e) Shoesandaccessoriesmaybecolouredbutmustbeappropriatefortheparticularsport.Theymustbeofadesignsoasnottomarkordamagethecourts.Studdedshoesarenotpermittedongrasscourts.

(f) Headgearorwristbandsshouldbepredominantlywhite.

14. Gymnasium

(a) NoMembermayusetheGymnasiumwithoutpriorassessmentbyamemberoftheGymnasiumstaff.

(b) NoMembershallatanytimeintroduceexercisestoanotherMember.

(c) Nopersonundertheageof16isallowedtousetheGymnasium.

(d) MembersmustsigninonenteringtheGymnasium.

(e) Foodanddrinkarenotpermitted.

(f) Membersmustbesuitablyattired.

(g) Nonmarkingshoesmustbeworn.

15. Snooker

(a) TheSnookerRoomwillbeavailableforplayfromMondaytoSundayfrom8.00amto10.00pm.

(b) AnyMembercuttingorinjuringtheclothshallpayaccordinglytothedamagedone,butnotlessthan£50.

(c) DamagedballsandcuesaretobepaidforatthecostpricebytheMemberwhocausedthedamage.

(d) Membersareresponsiblefortheliabilitiesincurred,oranydamagedone,byavisitorintroducedtotheClubbythem.

(e) ThetablemaybereservedforperiodsofonehourbyapplicationtotheattendantintheGentlemen’sDressingRoom,inpersonoronthetelephone.

(f) Areturnabledepositwillbepaidbythemember.Detailswillbeenteredintothe‘SnookerRoomBook’andasetofsnookerballswillbeprovided.

(g) Attheendofplay,theMembermustreturnthesetofsnookerballsandcuestotheGentlemen’sDressingRoomattendant,whowillrefundthedeposit.

(h) Inordertopreservethecloth,nofoodordrinkmaybeplacedonornearthetable.

16. Catering

(a) ThehoursofopeningandclosingofthecateringareasaregiveninBye-Law2.

(b) IntoxicatingliquorshallbeservedinaccordancewiththetermsoftheClub’sLicence.

(c) MembersandtheirguestsmaynotbringfoodintotheClubgrounds.

(d) PermissionmustbeobtainedbeforebringingwinesorspiritsintotheClubhouse.Corkagewillbepayableatchargesinforceatthetime.

17. Children in the Club

(a) Membersaccompanyingchildrenunder12yearsofageintotheClubareresponsiblefortheirsafetyandbehaviourandshouldbeincloseproximityatalltimes.

(b) Childrenundertheageof6arenotallowedinthepublicrooms,withtheexceptionofSundaysbetween11.00am–4.00pmonconditionthatchildrenbehaveinanappropriatemannerandareaccompaniedbyanadultatalltimes.

(c) Childrenaged8–11inclusivearepermittedtousetheTVRoomandtheCafé,aslongastheyareaccompaniedbyanadultatalltimes.

(d) Childrenaged12andovermayusetheCaféandTVRoomwithoutbeingaccompanied.Normallicensinglawsrestricttheiruseofthebars.

(e) Childrenunder12mayusethetennisandthenontennisfacilitiesoftheJuniorClub,aslongastheyareaccompaniedinthebuildingbyanadultatalltimes,theexceptionbeingwhenthechildistakingpartinacoachingorCluborganisedsession.

(f) ThenumberofchildrenattendingprivatefunctionsorpartiesattheClubmustbelimitedandremainwithintheroombookedandClubtoiletfacilities.TheMemberbookingtheprivatepartywillberesponsibleforthebehaviourofthe“party”childrenandadultguests.StaffmayinsistontheremovalofamisbehavingchildfromtheClubpremises.

(g) Juniorsunder12shouldusethechangingfacilitiesprovidedintheJuniorClub.TheymayonlyusetheClubDressingRoomsifaccompaniedbyanadultMember.Childrenover8yearsofageshouldonlyusethechangingroomfortheirrespectivegender.

(h) Children12yearsorolderusingtheClubfacilities,includingcourts,aresubjecttothesamerules,disciplinesandbehaviourexpectationsasadultMembers.

18. Under 12 members

(a) Aparent,grandparentorguardianofanunder12Membermay,onthechild’sbehalfandusingthechild’sname,bookanyoutdoorLawnTenniscourtotherthanagrasscourtinthesamemannerasaFullMember.

(b) Theparent,grandparentorguardianmaybook,onbehalfofthechildandusingthechild’sname,intheusualwayanyofthefouroutdoorcourtsdesignatedforuseasJuniorClubcourts,forwhichtherewillbenochargewhenusedbyanUnder12andUnder22categoryMember.

(c) Aparent,grandparentorguardianmay,onbehalfofachildandusingachild’sname,bookasquashcourt.Normalcourtbookingregulationsandpriceswillapply.

(d) Aparent,grandparentorguardianmay,onbehalfofachild,requestalessonwithaRealTennisprofessionalandmaybookacourt,forwhichnormalcourtfeeswillapply.

(e) NothinginthisBye-Lawshallpreventaparent,grandparentorguardianbookingand/orusinganycourtintheusualwayandplayingwithachildunder12providedthatpersonproperlysupervisesandisresponsibleforthechild.

(f) LawnTenniscoachesmayattherequestofaparent,grandparentorguardiangivelessonstoUnder12sinthesamewayasforallotherClubmembers.

19. Babies

AMemberbringingababyintotheClubpremisesmustberesponsibleforitswell-beingandensurethatitdoesnotdisturbothermembers.TheMembermustberesponsibleforthesafeandhygienicdisposalofnappies(andnotleaveittostaff).Breast-feedingshould,whereverpossible,takeplacediscreetlyintheLadiesDressingRoom.BabycarriagesshouldbeplacedatthesideoftheClubbuildingsandnotonthefrontagesorpassageways.

20. The Junior Club

TheJuniorClubhasbeenspeciallycreatedanddesignedforouryoungMembers.Childrenaged6-12yearsareexpectedtousetheJuniorClubtelevisionfacilityparticularlyonSundays.AdultsusingJuniorcourtswhenplayingwithajuniorareexpectedtopay.Parentsorlegalguardianswillberesponsibleforbookingcourtsforchildren.

21. Handheld Electronic Devices and Laptop Computers

(a) “HandheldElectronicDevices”(HED)includethefollowing:amobiletelephone,BlackberryorotherPDA,pager,iPod,iPad,EReader,Kindleandanysimilardeviceotherthanalaptopcomputer.

(b) SubjecttoBye-Law21(c)and21(e)allHEDandlaptopcomputersshallbeswitchedtosilentmodeonenteringtheClubPremisesandkeptsilentuntilleavingtheClubPremises.

(c) TelephonecallsusingHEDmayonlybemadeandreceivedin:

a.TheClubcarparks. b.Astationaryvehicle. c.CentenaryHouse. d.TheCommitteeRoomandthecorridorimmediatelyoutsidethatroom. e.TheClubDressingRooms.Suchcallsshouldbediscreetandshort.

(d) Notwithstanding(c)aboveHEDwhenusedotherwisethanforthemakingorreceivingoftelephonecallsmaybeuseddiscreetlyinallpartsoftheClubexcept:

a.TheMembers’Bar. b.TheRestaurant. c.ThePresident’sRoom.

(e) LaptopcomputersmayonlybeusedintheCommitteeRoom.

(f) ThisBye-LawdoesnotapplytoanyHEDwhichneedstobeusedbyamemberofstaffondutyinthecourseofofficialduties.

22. Smoking

SmokingisnotpermittedatanytimeintheClubPremisesorintheClubhouse,withtheexceptionofthedesignatedareaoftheterraceoutsideThePresident’sRoom,thesouthern2tablesunderthebalconyonthePavilionTerraceandbetweenthenorthernendofCentenaryHouseandthecemeterywall.Thosewhosmokearetousetheappropriatereceptaclesforash,cigaretteendsandotherlitter.

23. Lockers

AlimitednumberoflockersareavailableforhireintheDressingRoomsonanannualbasis.Daylockersareavailablefordailyuse;anypropertyleftovernightwillberemovedandafeeleviedforitsreturn.ApplicationfordressingroomlockersshouldbemadetotheSecurityManager.

24. Credit

UnlessaMemberhasaseparatemonthlydirectdebitinforcetocoverthecostofgoodsorservicespurchasedintheClub,allitemsmustbepaidforatthetimeofpurchase.

25. Breakages

BreakagesordamagebyaMemberorhisguestshallbepaidforbytheMemberresponsible.

26. Committees

26.1 TheBoardhasestablishedgamescommitteesforthesportsofLawnTennis,Rackets,RealTennisandSquash.AlsoaHealthandFitnessCommittee,aHouseCommittee,aProjectDevelopmentCommitteeandaFinanceCommittee.

26.2 AnymemberwishingtoserveonthesecommitteesshouldwritetotheChiefExecutiveproposinghimselfformembership.

26.3 AppointmentstothesecommitteeswillbebytheBoardofQCLandwilllastforamaximumofthreeyearswiththepossibilityofbeinginvitedtoserveforamaximumofafurtherthreeconsecutiveyearsonly.Membersmaybeaskedtoservelessertermssoastostaggerappointmentsandresignations.

26.4 SubjecttoratificationorotherwisebytheBoard,eachcommitteeshallappointitsownChairman.

27. Miscellaneous

27.1 AllMembersmustcompleteacontactinformationsheetwhenrequestedtodoso.

27.2 AllcomplaintsastotheeverydayrunningoftheClubshouldbemadetotheChiefExecutive,hisdeputyortheappropriatemanager.

27.3 AsummaryoftheBoard’sdecisionfollowingeachBoardmeetingwillbepostedontheClubnoticeboardprovideditisprudenttodoso.
