In Guatemala, Counterpart is acknowledged by the Ministry of the Interior as a non-profit entity,

according to the Ministerial Agreement No. 1860-2004, dated November 17, 2004. Therefore,

Counterpart cannot conduct activities for-profit business and economic activities that generate a

profit; however, it is allowed to implement projects or programs according to the nature of its

purpose.

Currently Counterpart International Inc. is the local implementer of two projects:

1.1.1.1. Food for Progress program (FFPr)Food for Progress program (FFPr)Food for Progress program (FFPr)Food for Progress program (FFPr) funded by United States Department of Agriculture. FFPr

objectives include increased agricultural production and trade by increasing the use of

improved agricultural techniques and technologies among target populations and

improving linkages between buyers and sellers.

2. Participación Cívica ProjeParticipación Cívica ProjeParticipación Cívica ProjeParticipación Cívica Project ct ct ct funded by the United States Agency for International

Development (USAID)1 for a total budget of $25 million. The overall goal of the

Participación Cívica Project is to strengthen and develop the capacity of Civil Society

Organizations (CSOs) in Guatemala to play a more effective role in addressing citizen

security, accountable governance, and corruption issues. The program started in 2015 and

it is scheduled to end in 2020.

Participación Cívica is a project executed under Cooperative Agreement entered into with

the US Agency for International Development (USAID) in Guatemala. This Cooperative

Agreement is made to Counterpart on condition that the funds will be administered in

accordance with the terms and conditions as set forth in the award.

Offerors should put forward their qualifications and price quote to support COUNTERPART in a

PROVISION OF LEGAL SERVICES. As a result of this RFQ, COUNTERPART anticipates issuing a TIME

AND MATERIALS CONTRACT.

1.1.1.1. SCOPE OF WORKSCOPE OF WORKSCOPE OF WORKSCOPE OF WORK

COUNTERPART seeks a professional firm to provide local legal counsel and services.

The selected applicant will be expected to meet and fulfill the following expectations in regards to

providing legal counseling to the Participación Cívica Project in the following areas:

1.1 COMPLIANCE WITH LOCAL LABOR LEGISLATION

September 1, 1954, all supplies, materials, equipment or funds entered into the country by the United States Government for

the purposes of accomplishing the USAID's program objectives are tax exempted.

As employers to national field staff, Counterpart must comply with all requirements stated by the

country’s local labor legislation. Therefore, Counterpart seeks a legal firm capable of providing

thorough and up to date counsel, regarding all labor compliance matters, including but not limited

to:

• Review, update internal Human Resources Manual in compliance with local labor

legislation

• Review labor contracts and amendments

• Draft, review, employee termination letters

• Advise on social benefits, accruals, payments, disciplinary actions, and all aspects of

recruitment from start to finish for local staff in Guatemala

• Guidance in employee termination processes

• Review and guidance in consultant hiring processes (review consultant agreement

templates, termination letters)

1.2 EXPATRIATE EMPLOYEES IN COUNTRY PROCESSES

As a U.S.-based organization, employees can be deployed to the field to fill key positions in the

project. Counterpart requires a firm with the capabilities to carry out various processes required

for these employees to perform their duties in country, including, but not limited to,

• Process temporary resident visas for project TCN/Expat employees plus dependents.

• Process work permit for project TCN/Expat employees.

• Provide guidance on compliance with local legislations for expats.

1.3 REGISTRATION, POWER OF ATTORNEY

As required, legal firm will update Power of Attorneys before local authorities. When necessary,

legal firm must also review registration processes carried out and update per local legislation or

Counterpart in house changes. This includes but is not limited to:

• Registering Counterpart International, a non-profit organization, in Guatemala, including

gathering and submitting the required documentation to the Guatemalan government,

monitoring and following up on the process, and providing additional information or

documentation requested

1.4 REVIEW PROJECT DOCUMENTS, PROVIDE LEGAL OPINION

The scope of work for the Participación Cívica Project includes a large component in its

implementation that consists of a subgrant program with local Civil Society Organizations. This

component involves providing support to local civil society organizations through different types

of sub grants. Counterpart requires a legal firm with the capacity to analyze and provide legal

opinion on various aspects related to the sub grant program. This includes but is not limited to:

• Review sub grants agreements.

• Provide legal opinion and analyses of local regulations for the operation of Civil Society

Organizations.

1.5 ANY OTHER LEGAL SERVICES REQUIRED BY COUNTERPART’S REPRESENTATIVE

Includes but not limited to:

• Review project documents such as, procurement forms (purchase orders, vendor

contracts) and any other legal consultation made by the field representative.

• Representing Counterpart in a court of law and before other government entities as

needed

• Review of lease agreements, draft, renovations, cancelations.

Offerors must show qualifications in the following areas

• Ten or more years of experience of providing legal services to companies and organizations

locally.

• Preferably, five or more years of experience providing legal counsel to USAID project

implementers.

• Officially registered with respective authorities and legally eligible to work in Guatemala.

• Demonstrated familiarity with providing counsel in compliance with local labor legislation

• Demonstrated familiarity with processing expatriate employees in country

• Demonstrated familiarity with processing registrations, powers of attorney

• Demonstrated familiarity with reviewing templates of legal and contractual documents

• Experience in providing legal services and analyses related to CSOs and NGOs in Guatemala

The anticipated period of performance for this scope is approximately 12 months, with possible

annual extension, commencing in July 2017.

Quotations in response to this RFQ must be priced on a fixed-price, all-inclusive basis, including

delivery and all other costs. Pricing must be presented in Guatemalan Quetzales (GTQ). Offers

must remain valid for not less than thirty (30) calendar days after the offer deadline. Offerors are

requested to provide quotations on official letterhead or format.

In addition, offerors responding to this RFQ are requested to submit the following:

• Organizations responding to this RFQ are requested to submit a copy of their official

registration or business license.

• Individuals responding to this RFQ are requested to submit a copy of their identification

card.

The award will be made to a responsible offeror whose proposal follows the RFQ

instructions, meets the eligibility requirements, and is determined via a trade-off analysis to

be the best value based on application of the following evaluation criteria.

The relative importance of each individual criterion is indicated by the number of points

below:

• Technical – 40 points: Presentation of the firm’s portfolio including, history, areas of

expertise, bios of legal experts, any other additional information that will provide a

clear idea on the scope of the firm’s abilities to respond to Counterpart’s requirements

in the field.

• References – 30 points: Offeror must include a list of references that can provide

information on the quality of the firm’s services, including but not limited to response

times, accuracy, and capacity to maintain updated services that respond to the

country’s changing legislation

• Price – 20 points: The overall cost presented in the offer.

• Delivery – 10 points: The speed of delivery.

Please note that if there are significant deficiencies regarding responsiveness to the

requirements of this RFQ, an offer may be deemed “non-responsive” and thereby disqualified

from consideration. Counterpart reserves the right to waive immaterial deficiencies at its

discretion.

Best-offer quotations are requested. It is anticipated that award will be made solely on the

basis of these original quotations. However, Counterpart reserves the right to conduct any of

the following:

• Counterpart may conduct negotiations with and/or request clarifications from any

offeror prior to award.

• While preference will be given to offerors who can address the full technical

requirements of this RFQ, Counterpart may issue a partial award or split the award

among various suppliers, if in the best interest of the Participación Cívica Project.

• Counterpart may cancel this RFQ at any time.

Please note that in submitting a response to this RFQ, the offeror understands that USAID is

not a party to this solicitation and the offeror agrees that any protest hereunder must be

presented—in writing with full explanations—to the Participación Cívica Project for

consideration, as USAID will not consider protests regarding procurements carried out by

implementing partners. Counterpart, at its sole discretion, will make a final decision on the

protest for this procurement.

You are requested to submit signed and dated offers to the office specified in this solicitation at

or before the exact time specified in this solicitation. Offerors must provide the following

information:

a. The solicitation/RFQ number;

b. The name, addresses (street, email, other), and telephone number of the offeror;

c. Brief qualifications of the consultant, organization or firm and its capacity to fulfill the

technical specifications including corporate capabilities;

d. Brief bios or CVs of key consultants who will undertake the work for COUNTERPART.

Further interviews with key staff are likely to ascertain fit.

e. Past performance information: include recent and relevant contacts for the same or

similar items and other references (including points of contact with telephone numbers

and email addresses);

f. Price quote

g. “Remit to” address, if different than mailing address.

It is contemplated that a TIME AND MATERIALS contract will be awarded to the responsive Offeror whose

offer has the highest evaluation score. COUNTERPART reserves the right to make an award based on initial

submission. COUNTERPART reserves the right to make no award if it is determined that the offers

submitted do not satisfy the needs of the organization. Offers shall be submitted via email and received

no later than on the closing date and time. Offers received after the specified time and date will be

considered late and will be considered only at the discretion of COUNTERPART. All written proposals

submitted must be valid for a period of not less than ninety (90) calendar days from the stated closing date.

COUNTERPART believes may be of interest to other offerors will be posted on COUNTERPART’s

website as an amendment to the RFQ.

Only the written answers posted by COUNTERPART will be considered official and carry weight in the

RFQ process and subsequent evaluation. Any verbal information received from employees of

COUNTERPART or any other entity should not be considered as an official response to any questions

regarding this RFQ.

VENDOR CONTRACT

This Vendor Contract (or “Contract”), by and between

Counterpart International, Inc. (hereinafter, “Counterpart”),

located at Zona Pradera, Boulevard Los Proceres 24-69, Zona

10, Empresarial Zona Pradera, Oficina 403, Torre III,

Guatemala City, Guatemala and xxxx, an organization

registered in Guatemala, is for services as set forth herein.

Vendor warrants that it possesses the capabilities and is

authorized to work in Guatemala. Accordingly, for good and

sufficient consideration, the parties hereby agree as follows:

1. Term. The term of this Contract shall commence on September 1, 2016 and shall continue in effect through

January 31, 2018, unless terminated in accordance with

Article 6, Termination, of this Contract.

2. Vendor’s Obligations. Vendor shall provide, to

Counterpart’s satisfaction, the services specified in

Attachment A, the Statement of Work/Specifications (the

Services). The Vendor will provide documentation of

work performed to xxxxx Counterpart’s Representative.

3. Counterpart’s Obligations. Counterpart agrees to

cooperate with Vendor, and shall provide Vendor with

additional instructions and information as Chief of Party

determines is necessary for Vendor to provide the

Services.

4. Compensation, Understanding and Method of Payment.

a) Rate and Limits. Counterpart will pay Vendor for

services within an amount not to exceed $xxx (USD) in accordance with Attachment B, the Price

List/Budget and Attachment C, Payment Schedule,

inclusive of all costs including labor, material

expenses, taxes, and fees.

b) Payment. Vendor will be paid within thirty (30) days

of submission and acceptance by Counterpart of the

deliverables in accordance with the Statement of

Work/Specifications. Vendor must submit an invoice

CONTRATO DE SERVICIOS

El presente Contrato de Suministro (en adelante “Contrato”)

por y entre Counterpart International, Inc. (en adelante,

“Counterpart”), ubicado en Zona Pradera Boulevard Los

Próceres 24-69, Zona 10, Empresarial Zona Pradera, Torre

III, Nivel 4 Oficina 403 Guatemala, Guatemala y xxxxxx,

siendo ésta una entidad registrada en la Ciudad de Guatemala,

Guatemala, para proveer los servicios descritos en el presente

documento. El Proveedor asegura contar con las capacidades

requeridas y con la autorización necesaria para trabajar en

Guatemala. Por consiguiente, y por su buena y suficiente

consideración, las partes acuerdan lo siguiente:

1. Plazo. El plazo del presente Contrato inicia el 01 de septiembre 2016 y seguirá vigente hasta concluir el 31 de enero 2018, al menos que se finalizara en conformidad

con lo que detalla el Artículo 6, Finalización, del presente

Contrato.

2. Obligaciones del Proveedor. El Proveedor entregará a

entera satisfacción de Counterpart todos los servicios

detallados en el Anexo A, denominado Alcance del

Trabajo/Especificaciones (para dichos Servicios). El

Proveedor deberá entregar a xxxx, la documentación

3. Obligaciones de Counterpart. Para que el Proveedor pueda

proporcionar los Servicios, Counterpart acuerda cooperar

con el Proveedor y proporcionar instrucciones adicionales

e información según lo considere necesario el

Representante de Counterpart.

4. Remuneración, comprensión y método de pago.

a) Tarifa y límites. Counterpart deberá pagar al

Proveedor un monto que no supere los $xxx (USD), en conformidad con lo que se detalla en el Anexo B,

Lista de Precios/Presupuesto y en el Anexo C,

Cronograma de Pagos, inclusive de todos los costos

incluyendo mano de obra, gastos de materiales,

impuestos y recargos.

b) Pago. El Proveedor recibirá el pago dentro de los

treinta días (30) posteriores a la entrega y aceptación

por Counterpart de los entregables detallados en el

Alcance de Trabajo/Especificaciones. Para cada pago

solicitado, el Proveedor deberá entregar la factura

correspondiente a xxxx Zona Pradera, Boulevard Los

Próceres 24-69, Zona 10, Empresarial Zona Pradera,

Torre III, Nivel 4 Oficina 403, Guatemala, Guatemala.

c) Notwithstanding the foregoing, prior to being paid,

the Vendor must provide to Counterpart a taxpayer

identification number by submitting the relevant,

required tax form (Attachment F), and bank account

information (Attachment E).

d) Program Code. Fees and expenses under this

Contract will be charged to Counterpart’s Program

Code xxxx, which should be referenced on all

invoices

5. Inspection and Acceptance. All equipment, materials,

supplies, software, and services provided hereunder are

subject to acceptance by the designated Counterpart

representative. Equipment, materials, services and

supplies that [i] are not found to be reasonably satisfactory

to Counterpart according to the specifications set forth in

the Scope of Work or [ii] fail to meet normal professional

standards, will be rejected by Counterpart or promptly

corrected by the Vendor at no additional cost to

Counterpart. All items shipped and under warranty must

be accompanied by valid shipping & warranty

documentation.

6. Termination. This Contract may be terminated in the

following circumstancesi:

(A) By Counterpart

i. Upon thirty (30) days written notice for

any reason; or

ii. At any time, upon notice to Vendor, if

Vendor fails to fulfill its obligations

under this Contract, or if project funding

is terminated or reduced.

(B) By mutual agreement of the parties.

Notwithstanding any other provision in this Contract,

Vendor understands and agrees that Counterpart has no

obligation to provide Vendor with work or any minimum

hours. This Contract shall not be deemed terminated as a

result of any lack of work. Termination or expiration of

5. Inspección y aceptación. Todo el equipo, materiales,

suministros, programas de cómputo y servicios

proporcionados por medio de la presente están sujetos a

ser aceptados por el representante nombrado por

Counterpart. Todo aquel equipo, materiales y suministros

que [i] no fueran debidamente entregados en forma

razonablemente satisfactoria a Counterpart en

conformidad con las especificaciones detalladas en el

Alcance de Trabajo o que [ii] no cumplieran con los

estándares profesionales normales serán rechazados por

Counterpart o deberán ser corregidos por el Proveedor con

prontitud y sin cargarle ningún costo adicional a

Counterpart. Todos los artículos embarcados y cubiertos

bajo garantía deberán acompañarse de la documentación

de embarque vigente y de los certificados de garantía

correspondientes.

6. Finalización. El presente Contrato puede darse por

finalizado en cualquiera de las circunstancias que se

detallan a continuación1.

(A) Por Counterpart:

i. A los treinta (30) días de la fecha de notificación

por escrito, por cualquier razón, y

ii. En cualquier momento al notificarle al Proveedor

o en caso dicho Proveedor dejara de cumplir con

sus obligaciones según se detallan en el presente

Contrato, o en el caso finalizara o fuera reducido

la financiación del Proyecto.

(B) Por mutuo acuerdo de las partes.

No obstante, alguna otra disposición en el presente

Contrato, el Proveedor da por entendido y en conformidad

con el hecho que Counterpart no tiene ninguna obligación

de otorgarle al Proveedor un trabajo o algún mínimo de

horas laborales. El presente Contrato no debe darse por

concluido como resultado de una falta de trabajo. La

this Contract shall not affect Vendor’s continuing

obligation under Articles 12, 13, 14, and 15 of this

Contract relating respectively to ownership of work

product, confidentiality and non-disclosure, and

indemnification.

7. Notices. Any Notice given by any of the parties will be

sufficient only if in writing and delivered in person, or

sent by telegraph, cable, fax, Email, or mail as follows:

8. Nature of Relationship.

a) Independent Contractor/No Agency. Vendor

acknowledges that it is acting as an independent

contractor in the performance of this Contract.

Vendor is not a partner, joint venturer, agent or

employee of Counterpart, and Vendor is not

authorized to enter into contracts on behalf of

Counterpart or to otherwise represent or

undertake any legal obligation on behalf of

Counterpart.

b) Duty of Loyalty. During the term, Vendor agrees

to act in the best interests of Counterpart, to

conduct all business on behalf of Counterpart in

a professional, transparent, and ethical manner

and to deal with third parties in a manner

calculated to enhance, and not to detract from,

Counterpart’s reputation.

c) Taxes. All taxes of every nature and kind,

including occupation, or property taxes, will be

the responsibility of the Vendor, and

Counterpart, without limitation, franchise, net or

gross income, license, will have no obligation to

the Vendor therefore. The Vendor will report

and pay, as an independent contractor, all taxes

8. Naturaleza de la relación.

a) Contratista Independiente/sin dependencia. El

Proveedor reconoce que actúa como contratista

independiente al momento de desempeñar lo

requerido en el presente Contrato. El Proveedor

afirma no ser socio, inversionista, agente o

empleado de Counterpart, ni se encuentra el

Proveedor autorizado para suscribir contratos en

representación de Counterpart, ni para

comprometerse de ninguna forma con alguna

obligación legal por parte de Counterpart.

b) Deber de lealtad. Durante el plazo de vigencia del

presente Contrato, el Proveedor acuerda actuar a

beneficio de los intereses de Counterpart y

gestionar todos los procesos que competen a

Counterpart de una manera profesional y ética,

así como de tratar con terceras personas para

mayor optimización, y sin perjudicar, la

reputación y buen nombre de Counterpart.

c) Impuestos. Todos los impuestos de cualquier

naturaleza y tipo, incluyendo los de ocupación o

impuestos sobre inmuebles, deberán ser la

responsabilidad del Proveedor y, por lo tanto,

Counterpart se exime sin limitación, franquicia,

ingresos netos o brutos, ni licencia frente a

cualquier obligación al respecto del Proveedor.

El Proveedor deberá declarar y pagar como

applicable to amounts received from Counterpart

hereunder.

d) Non-Liability. Counterpart does not assume any

liability with respect to any third party claims for

damages arising out of this Contract.

9. Conflict of Interest. The Vendor warrants that, as of the

effective date of this Contract, no conflict of interest exists

or is likely to arise in the performance of its obligations

under the Contract. If, during the term of the Contract, an

or potential conflict of interest arises, the Vendor agrees

to notify Counterpart immediately in writing of that

conflict or potential conflict, and to follow any steps

Counterpart requires of Vendor to address the conflict.

10. Gifts/gratuities/payments to third parties. The

Vendor will neither accept nor offer anything of value,

including, without limitation, any gifts, gratuities, meals

or entertainment, free trips, personal property, or any

other items or services of whatever nature from or to any

person or organization as an inducement to perform,

provide, or obtain any services of whatever nature on

behalf of or from Counterpart, or for any personal gain as

a result of the Vendor’s work for Counterpart under this

Contract.

11. Compliance with Law and Humanitarian Standards.

a) Vendor will provide the Services in full

compliance with Attachment D, Provisions

Applicable to U.S Government-funded Contracts,

all applicable laws, regulations, rules, and/or other

requirements of the country, state, region,

municipality, and other applicable jurisdiction or

authority where the Services are to be performed.

b) Vendor agrees to comply with all U.S. laws and

funding agency requirements applicable to Vendor

and/or the Services provided under this contract. In

particular, Vendor hereby agrees and certifies that:

i. Vendor will not pay, offer or promise to pay,

or authorize anyone else to pay or offer to pay

money or anything of value to a foreign

estipuladas en dicho Contrato. Si surgiera el caso durante

el plazo del presente Contrato de algún conflicto o se viera

la posibilidad que surgiera un conflicto de interés, el

Proveedor acuerda notificar a Counterpart en forma

inmediata sobre dicho conflicto o posible conflicto y

tomar cualquier medida razonable que Counterpart

considere necesaria para resolver el conflicto.

10. Regalos/propinas/pagos a terceros. El Proveedor deberá

abstenerse totalmente de aceptar u ofrecer cualquier

artículo de valor, incluyendo sin limitaciones, cualquier

tipo de regalo, propina, viaje, artículo personal u otro

servicio o mercancía de cualquier índole ofrecido por

cualquier persona u organización a manera de propiciar el

desempeño, proveer u obtener cualquier servicio de

cualquier naturaleza a beneficio de Counterpart o para

cualquier beneficio personal como resultado del trabajo del

Proveedor para Counterpart bajo el presente Contrato.

11. Cumplimiento con la ley.

a) El Proveedor deberá proveer los Servicios en pleno

cumplimiento con el Anexo D, Disposiciones

aplicables a los contratos financiados por el

Gobierno de los Estados Unidos de América, y con

todas las leyes, normas, reglas y/o otros

requerimientos aplicables a nivel nacional,

departamental, municipal o de cualquier otra

jurisdicción correspondiente o de autoridad que

rige en el lugar en el que se desempeñan los

Servicios. b) El Proveedor acuerda cumplir con todas las leyes

de los Estados Unidos de América y con los

requerimientos de la dependencia gubernamental

que financia el trabajo en cuanto se consideren

aplicables al Proveedor y/o a los Servicios

suministrados según el presente Contrato. En lo

official, political party or party official, or any

candidate for foreign political office, directly

or indirectly, including through agents or

intermediaries, with the intent to induce the

recipient to misuse his/her official position to

obtain or retain business for Counterpart, or to

direct business to any other person;

ii. Vendor understands and acknowledges that

U.S. Executive Orders and U.S. law prohibit

transactions with, and the provision of support

or resources to, individuals and organizations

associated with terrorism. It is the legal

responsibility of Vendor to ensure compliance

with these Executive Orders and law;

iii. Vendor understands and acknowledges that

Counterpart shall have the right to terminate

this award, without penalty, if the Vendor or its

employees, or any subcontractor or its

employees, engage in any of the following

conduct:

(1) Trafficking in persons (as defined in the

Protocol to Prevent, Suppress, and Punish

Trafficking in Persons, especially Women and

Children, supplementing the UN Convention

against Transnational Organized Crime)

during the period of this contract;

(2) Procurement of a commercial sex act

during the period of this contract; or

(3) Use of forced labor in the performance of

this contract.

For purposes of this provision, “employee”

means an individual who is engaged in the

performance of this award as a direct

employee, consultant, or volunteer of the

recipient or any subrecipient.

iv. Vendor will provide Counterpart, any U.S.

Government donor agency funding activities

under this contract, the Comptroller General of

the United States, or any of their duly

authorized representatives, access to any of the

Consultant’s books, documents, papers and

records which are directly pertinent activities

under this contract for the purpose of making

audits, examinations, excerpts and

transcriptions; and

v. Neither Vendor nor any of its principals is

excluded or disqualified from participation in

activities under this contract by any U.S.

federal department or agency.

ii. El Proveedor comprende y reconoce que tanto

los Decretos Ejecutivos del Gobierno de

Estados Unidos de América, como las leyes de

los Estados Unidos de América, prohíben

cualquier transacción, y el suministro de apoyo

o de recursos, a aquellas personas y

organizaciones vinculadas al terrorismo. El

Proveedor tiene toda la responsabilidad legal

de asegurar el cumplimiento con dichos

Decretos Ejecutivos y con la ley;

iii. El Proveedor comprende y reconoce que

Counterpart se reserva el derecho de finalizar

la presente concesión sin ninguna penalidad, en

caso el Proveedor o sus empleados, así como

cualquier subcontratista o sus empleados,

participaran de las conductas que se describen

a continuación:

(1) Trata de personas (según se describe en el

Protocolo para Prevenir, Reprimir y Sancionar

la Trata de Personas, Especialmente Mujeres y

Niños, el cual suplementa la Convención de las

Naciones Unidas contra el Crimen Organizado

Transnacional) durante el período de vigencia

del presente Contrato;

(2) Proporcionar un acto sexual en forma

comercial durante el período de vigencia de

este Contrato, o

(3) Utilizar la mano de obra forzada para el

desempeño del presente Contrato.

Para los propósitos de esta disposición,

“empleado” se define como una persona que

participa en el desempeño de la presente

concesión como un empleado directo,

consultor o voluntario del beneficiario o de

cualquier sub donatario.

12. Ownership of Work Product. Any work partially or

fully conceived, designed or produced at or by

Counterpart (including, without limitation, services,

deliverables, copyrightable works, technical or other data,

and tangible or intangible property of any kind)

(collectively, “Work Product”) prior to the effective date

of this Contract will be and remain the exclusive property

of Counterpart. Any Work Product developed in the

course of or as a result of Vendor’s performance of this

Contract, whether by Vendor alone or in collaboration

with others, will also be and remain the exclusive property

of Counterpart. Counterpart will be entitled to all

intellectual property and other proprietary rights including

but not limited to patents, copyrights, and trademarks with

regard to such Work Product. Vendor waives any rights,

including intellectual property rights, in all Work Product,

and will not distribute or make any other use of Work

Product outside Counterpart without Counterpart’s

express written authorization. Vendor hereby assigns to

Counterpart all right, title and interest in any Work

Product, and agrees to execute and deliver to Counterpart

any additional documents that may be necessary to

effectuate such assignment.

13. Confidentiality and Non-disclosure. Vendor agrees

to keep confidential and not to disclose, without the prior

12. Propiedad sobre el Producto de Trabajo. Cualquier trabajo

parcial o totalmente concebido, diseñado o producido en

o por Counterpart (incluyendo sin limitación los servicios,

entregables, trabajos con derechos de propiedad, datos

técnicos o de otra índole y la propiedad tangible o

intangible de cualquier tipo) (en adelante conocido en

conjunto como “Producto de Trabajo”) previo a la fecha

efectiva del presente Contrato será y seguirá siendo la

propiedad exclusiva de Counterpart. Counterpart tendrá la

propiedad exclusiva y la seguirá teniendo respecto a

cualquier Producto de Trabajo desarrollado durante el

transcurso del trabajo, ya sea por el Proveedor por sí solo

o en colaboración con terceros. Counterpart tendrá

derecho a toda la propiedad intelectual y a otros derechos

de propiedad incluyendo, pero no limitándose, a las

patentes, derechos de autor y derechos de marca con

respecto a dicho Producto de Trabajo. El Proveedor cede

todos los derechos, incluyendo los de propiedad

intelectual de todo Producto de Trabajo, y no distribuirá ni

hará otro uso del Producto de Trabajo fuera de Counterpart

al menos que contara con la expresa autorización por

escrito de Counterpart. Por medio de la presente, el

Proveedor asigna a Counterpart todos los derechos, títulos

13. Confidencialidad y la No divulgación. Al menos que

to Counterpart, including but not limited to any trade

secrets or information proprietary to Counterpart.

14. General Indemnification.

a) The Vendor will indemnify and hold harmless

Counterpart, including its directors, officers,

employees, licensees, consultants and agents,

and be solely responsible for payment for all

losses, claims, damages or liability of any kind,

including, without limitation, claims for the loss

of property, personal injury, death or otherwise,

and attorneys’ fees and other reasonable

expenses, arising out of any willful misconduct

or grossly negligent act or omission of the

Vendor or its agents and representatives in

connection with the Vendor's performance under

this Contract.

b) Counterpart will not indemnify the Vendor for

any loss, claim, damage or liability of any kind

arising under this Contract, except and to the

extent that such liability arises out of the willful

misconduct or grossly negligent act or omission

of Counterpart, its employees, agents or

representatives in connection with Counterpart’s

performance under this Contract.

15. Special Indemnification. The Vendor represents and

warrants that any work produced under this Contract will

constitute the original work of Vendor, and will not

infringe any copyright, patent, trademark, trade secret,

license, contract or other intellectual property, proprietary

or personal right of any person, and will be free of any

liens, encumbrances or other claims. Vendor, at Vendor’s

own expense, will defend, indemnify, and hold harmless

Counterpart, its directors, officers, employees, licensees,

consultants, and agents from any claim, demand, cause of

action, or liability whatsoever, including attorney’s fees

and other reasonable expenses, to the extent the Vendor

acted intentionally or negligently to infringe or violate the

copyright, patent, trademark, trade secret, license,

contract, or other intellectual property, proprietary or

personal right of a third party.

14. Indemnización general.

a) El Proveedor deberá indemnizar y eximir de

consultores y agentes para convertirse en el

único responsable del pago de todo reclamo,

pérdida, daños o responsabilidades de cualquier

índole, incluyendo, sin limitación, cualquier

reclamo por la pérdida de propiedad, daño

personal, fallecimiento u otros, así como los

honorarios de abogados y otros gastos

razonables que surgieran a partir de cualquier

falla intencional o por extrema negligencia u

omisión del Proveedor o de sus agentes y

representantes relacionados con el desempeño

del Proveedor bajo el presente Contrato.

b) Counterpart no deberá indemnizar al Proveedor

en caso de cualquier pérdida, reclamo, daño o

responsabilidad producto del presente Contrato,

exceptuando, y en la medida en que, dicha

responsabilidad se atribuye a una falta

intencional o un acto de extrema negligencia o

por alguna omisión de Counterpart, de sus

empleados, agentes o representantes respecto al

desempeño de Counterpart para el presente

Contrato.

15. Indemnización especial. El Proveedor representa y

garantiza que cualquier trabajo producido bajo el presente

Contrato, debe considerarse el trabajo original del

Proveedor sin infringir derechos de autor, patentes,

marcas registradas, secretos comerciales, licencias,

contratos u otra propiedad intelectual, derechos

propietarios o personales de cualquier persona y que se

encontrará libre de cualquier gravamen, impedimento y

otro tipo de reclamo. Costeado por el propio Proveedor,

éste deberá defender, indemnizar y eximir de toda

responsabilidad a Counterpart, así como a sus directivos,

funcionarios, empleados, licenciatarios, consultores y

agentes de cualquier demanda, causa de acción o

responsabilidad de cualquier índole, incluyendo

honorarios de abogados y otros gastos razonables, en la

medida en que el Proveedor actuó con intención o con

16. Assumption of Risks. The Vendor understands and

acknowledges that in the Vendor’s performance of the

Services under this Contract, the Vendor may incur risks

to life, limb and health, including but not limited to mental

health, and personal property. The Vendor acknowledges

to Counterpart to third parties, and to courts of competent

jurisdiction, that the Vendor assumes all of those risks,

except for risks resulting from the willful misconduct or

gross negligence of Counterpart.

17. Return of Property. At the end of the Term, or at any

time upon Counterpart’s request, Vendor will return all

documents or other materials, however stored, that belong

to Counterpart, contain Counterpart confidential or

proprietary information or Work Product, or relate in any

way to Counterpart, its activities or operations, or any of

its employees, and any other Counterpart property in

Vendor’s possession.

18. Non-Competition. During the Term, and for a period

of one (1) year thereafter, Vendor will not directly or

indirectly solicit or induce, or attempt to solicit or induce,

any Counterpart employee or consultant to leave his/her

employment or consultancy with Counterpart for any

reason whatsoever.

19. Force Majeure. The parties are released from their

obligations under this Contract for partial or complete

failure to carry out obligations if this failure results from

a “force majeure event”. Force majeure events will

include, but not be limited to, flood, drought, earthquake,

storm, fire, pestilence, and other natural catastrophes,

epidemic, war, riot, civil disturbance, strikes, other labor

disputes, or failure, threat of failure, or sabotage of any

facilities or equipment used in conjunction with this

Contract, or other causes beyond the control of the parties

and which could not have been reasonably foreseen or

prevented. The affected party will, within 7 working days

after such force majeure event first occurs, notify the other

16. Asumir los riesgos. El Proveedor comprende y reconoce

que, durante el desempeño de los Servicios detallados en

el Presente Contrato, el Proveedor puede incurrir en

riesgos a la vida, a las extremidades y a la salud,

incluyendo, pero no limitándose, a la salud mental y a la

propiedad personal. El Proveedor le reconoce a

Counterpart y a terceras personas y a los tribunales con

autoridad competente, que el Proveedor asume cada uno

de dichos riesgos, exceptuando aquellos riesgos producto

de una falta intencional o extrema negligencia de

Counterpart.

17. Devolución de propiedad. Al finalizar el período de

vigencia, o en cualquier momento que lo solicitara

Counterpart, el Proveedor deberá devolver todos los

documentos u otros materiales, ya sea que estuvieran

almacenados, que le pertenecen a Counterpart, que

contienen información confidencial o propietaria de

Counterpart o que incluyen Producto del Trabajo, o que se

relacionan en cualquier forma a Counterpart, a sus

actividades o a su funcionamiento, o a cualquiera de sus

empleados, así como cualquier otra propiedad de

Counterpart que estuviera en manos del Proveedor.

18. No competencia. Durante la Vigencia del presente

Contrato, así como por el plazo de un (1) año posterior a

dicha vigencia, el Proveedor se compromete a no solicitar

o inducir en forma directa o indirecta, ni hará el intento de

solicitar o inducir, a cualquier empleado o consultor de

Counterpart a que abandone su empleo o consultoría con

Counterpart por absolutamente ninguna razón.

19. Fuerza mayor. Se libera a las partes de sus obligaciones

contraídas respecto al presente Contrato por

incumplimiento parcial o total de sus obligaciones si dicho

incumplimiento es el resultado de un “evento de fuerza

mayor”. Los eventos de fuerza mayor incluyen, pero no se

limitan a, inundación, sequía, terremoto, tormenta,

incendio, pestilencia y otras catástrofes naturales, las

epidemias, guerras, motines, disturbios o manifestaciones,

disputas laborales o fallas, amenazas de fallas o sabotaje a

las instalaciones o equipo utilizado para fines del presente

Contrato, o por aquellas otras causas fuera del control de

las partes que no se pudieran prever o prevenir en forma

razonable. La(s) parte(s) afectadas deberán notificar por

escrito a la otra parte dentro de un plazo de los siete días

party in writing and describe how each or both may

overcome any difficulties resulting from such event.

However, in the event that either party is prevented by

such an event from fulfilling its obligations under this

Contract for a period of more than ninety (90) days, the

Contract may be terminated in accordance with Article 6,

Termination.

20. Governing Law. This Contract will be governed by

the laws of the Republic of Guatemala without regard to

the conflict of law provisions thereof.

21. Assignment/Subcontracting. Vendor will not assign

or subcontract this Contract, or any rights or obligations

hereunder, in whole or in part.

22. Claims and Disputes. In no event will Counterpart be

liable to Vendor for payments for any extra work

performed in addition to that required under this Contract

unless the Vendor performs such work by written

directive of Counterpart.

In the event of any dispute, a claim by the Vendor must be

made in writing and submitted to Counterpart for a written

decision. A claim by the Vendor is subject to a written

decision by Counterpart, who will render a decision

within 60 days of receipt of the Vendor’s claim. The

decision rendered will be considered final unless appealed

by the Vendor. The Vendor will proceed with

performance of this Vendor contract pending final

resolution of any claim.

23. Severability. If any of the provisions of this Contract

are held to be invalid, illegal, or unenforceable, the

validity, legality, and enforceability of the remaining

provisions will not in any way be affected or impaired

thereby.

24. Waiver. A waiver by one of the parties of any of the

provisions of the Contract (or of any default by the other

party in performing any of those provisions) will not

hábiles posteriores a ocurrido el evento de fuerza mayor;

dicha notificación deberá describir cómo una o ambas

partes se sobrepondrán a cada una de las dificultades

provenientes de dicho evento. No obstante, dado el caso

que cualesquiera de las partes se encontraran con

impedimentos a causa de dicho evento para cumplir con

las obligaciones contraídas bajo el presente Contrato por

un plazo que superara los 90 días, se puede dar por

terminado el Contrato según lo que se estipula en el

Artículo 6 denominado “Finalización”.

20. Legislación que rige. Las leyes del Estado de Guatemala

son las que rigen el presente Contrato, no obstante,

cualquier conflicto proveniente de las disposiciones

legales que originan en ellas.

21. Delegación/subcontratación. El Proveedor no deberá

delegar ni subcontratar el presente Contrato, ni los

derechos y obligaciones que provienen de éste, en forma

parcial o total.

22. Reclamos y disputas. En ningún momento se le atribuirá a

Counterpart responsabilidad hacia el Proveedor de

efectuar pagos referentes a cualquier trabajo adicional a lo

que se requiere por medio del presente Contrato, al menos

que el Proveedor llevara a cabo dicho trabajo en respuesta

a las instrucciones por escrito de Counterpart.

En el caso que surgiera alguna disputa, el Proveedor

deberá presentar un reclamo por escrito a Counterpart

solicitando una decisión por escrito. Dicho reclamo del

Proveedor se sujeta a una decisión de Counterpart por

escrito, quien comunicará dicha decisión dentro del plazo

de 60 días posterior a la fecha en que se recibiera el

reclamo del Proveedor. La decisión suministrada se

considera la última palabra al menos que lo apelara el

Proveedor. En lo que espera la resolución final de

cualquier disputa, el Proveedor deberá continuar con lo

que se requiere para desempeñar el trabajo requerido por

el presente Contrato.

23. Separabilidad. En caso alguna de las disposiciones del

presente Contrato se consideraran inválidas, ilícitas o

inaplicables, no afectaría, ni limitaría de ninguna manera

la validez, legalidad y aplicabilidad de las disposiciones

restantes.

24. Exención. El hecho que alguna de las partes quedara

exenta eferente a cualquiera de las disposiciones del

Contrato (o cualquier incomparecencia de la otra parte en

constitute a continuing waiver and will not prevent the

waiving party from subsequently enforcing such

provision(s) or any of the other provisions of this Contract

or from acting on any subsequent default.

25. Modification. Changes to the terms and conditions

of this Contract may be effected only by means of a

written modification to the Contract executed by both

Vendor and Counterpart.

26. Execution of Contract. This Contract may be

executed in more than one counterpart, each of which will

be considered an original and all of which taken together

will be considered a single Contract.

27. Complete Contract. This document together with all

attachments hereto constitute the complete and exclusive

Contract between the parties, superseding all

representations, proposals or promises whether oral or

written, and all other communications between the parties,

relating to the subject of this Contract.

28. Governing Language. This Contract is drawn up in

the English language. If this Contract is translated into

another language, the English language text prevails.

26. Ejecución del Contrato. Este Contrato podrá ser ejecutado

en más de una contraparte, cada una de las cuales se

considerará como original y todas, en conjunto, se deben

considerar un solo Contrato.

27. Contrato completo. El presente documento en

combinación con todos los Anexos a éste, constituyen el

Contrato completo y exclusivo entre las partes y sustituye

toda aquella representación, propuesta o promesa en

forma verbal o escrita, así como toda otra comunicación

entre las partes referente al tema que incumbe el presente

Contrato.

28. Idioma: El presente contrato fue redactado en el idioma

Ingles. Si el contrato es traducido a otro idioma, el texto

en ingles regirá las versiones del mismo.

Provisions Applicable to U.S Government-funded Contracts D.1 Executive Order No. 13224 Vendor is reminded that U.S. Executive Orders and U.S. law prohibits transactions with, and the provision of resources and support to, individuals and organizations associated with terrorism. It is the legal responsibility of Vendor to ensure compliance with these Executive Orders and Laws. This provision must be included in all subcontracts issued under this Contract. D.2 Debarment, Suspension, Ineligibility and Voluntary Exclusion Vendor certifies that neither it nor its principals is presently excluded or disqualified from participation in this transaction by any U.S. Federal department or agency, and neither Vendor nor principals have an “exclusion” associated with their names at www.sam.gov. D.3 Worker’s Compensation Insurance Pursuant to 42 U.S.C. 1651, et seq., Vendor is required to provide Worker's Compensation Insurance for persons employed outside the United States who are not United States citizens or residents, unless a U.S. Department of Labor waiver has been obtained, in which case Vendor shall provide adequate workers compensation protection for such persons in accordance with local law. A list of countries for which the U.S. Department of Labor has issued waivers can be found at http://transition.usaid.gov/policy/ads/300/302sap.pdf . D.4 International Air Travel and Transportation/Fly America (Open Skies) Act The USAID Mandatory Standard Provision “Travel and International Air Transportation (June 2012)” found

at http://transition.usaid.gov/policy/ads/300/303maa.pdf, is hereby incorporated by reference.

Vendor must comply with the requirements of the Fly America Act (49 U.S.C. 40118) which requires that all air travel must be made on U.S./EU flag air carriers to the extent service by such carriers is available. Regulations for this requirement may be found at 41 CFR Part 301-10, and are hereby incorporated by reference into this Contract. D.5 Audit and Records For the purpose of making audits, examinations, excerpts and transcriptions, Counterpart, the Cognizant, the Comptroller General of the United States, or any of their duly authorized representatives, shall have access to any books, documents, papers and records of the Vendor which are directly pertinent to the fees and expenses claimed for services performed under this Contract. D.6 Foreign Tax Reporting/VAT Vendor shall report any foreign taxes assessed by the host government on commodity purchase transactions of $500 or more made with funds received from this Contract. For the purposes of this Section, “commodity” means any material, article, supplies, goods, or equipment, and “foreign taxes” means value-added taxes (VAT) and custom duties

assessed by a foreign government on a commodity financed with U.S. assistance. It does not include foreign sales taxes. A sample VAT tracking form may be obtained from Counterpart. D.7 Equal Employment Opportunity Vendor shall comply with E.O. 11246, “Equal Employment Opportunity,” as amended by E.O. 11375, “Amending Executive Order 11246 Relating to Equal Employment Opportunity,” and as supplemented by regulations at 41 CFR Chapter 60, “Office of Federal Contract Compliance Programs, Equal Employment Opportunity, Department of Labor,” to the extent required by the foregoing.
