PLEASE TAKE NOTICE that on or about May 15, 2020, Victory International Inc. (“Victory
International”) served its written demand for reclamation of goods, along with documents related to
the subject goods, on the above-captioned debtors (the “Debtors’) and on the Debtors’ counsel at
Weil, Gotshal & Manges LLP via email. A copy of Victory International’s written demand is
attached hereto and incorporated herein by reference.
PLEASE TAKE FURTHER NOTICE THAT Victory International reserves all of its rights
with respect to the goods referenced in its written demand, and reserves the right to assert any
additional rights it may have under applicable law, including its right to administrative expense
payment status for goods received by the Debtors within twenty days of the petition date pursuant to
11 U.S.C. § 503(b)(9).

Dear All:
In accordance with section 2-702 of the Uniform Commercial Code and section 546(c) of the U.S. Bankruptcy Code, this letter constitutes a notice of demand for the return of all goods received by the debtors in the above-referenced Chapter 11 cases from Victory International Inc. (“Victory International”) on or after March 20, 2020 (i.e., 45 days before the commencement of these Chapter 11 cases), as identified on the attached Schedules A (for J. Crew) and B (for Madewell) (collectively, the “Goods”). The Schedules, which we reserve the right to modify after further investigation, specifically includes, but does not limit, the Goods subject to our reclamation claim.
The total for all goods claimed pursuant to this reclamation demand is approximately $1,070,881.08 in Schedule A and approximately $1,951,933.19 in Schedule B.
Further, we demand that the Goods currently in your possession be protected and segregated by you and not be used for any purpose whatsoever, except by agreement of Victory International or following notice and a hearing by the Bankruptcy Court. You may not sell, dissipate, or commingle the Goods with any other goods.
This reclamation demand is made without prejudice to any other rights or remedies available to us, at law or in equity, including our right to an administrative expense claim under section 503(b)(9) of the Bankruptcy Code.
