CONTRACT OF EMPLOYMENT

between the

Cleveland City Schools Board o Ed!cation

This Employment Contract is entered into January 28, 2016 by and between the Cleveland CitySchools oard o! Education, hereina!ter called the "#$%&" and &r' (artin %in)sta!!hereina!ter called the "&*%ECT#%'" The #$%& and the &*%ECT#%, !or the considerationherein speci!ied, a)ree as !ollows+

% Ter& o Contract# The oard, in accordance with its action as !ound in the (inutes o!its meetin) held on the thday o! -ebruary, 201, hereby o!!ers, and the &*%ECT#%hereby accepts employment as &*%ECT#% o! the Cleveland City School System !or aperiod o! !our ./ years commencin) on July 1, 201, and endin) on the June 0, 201'

' Proessional Certiication# The &*%ECT#% shall maintain and !urnish to the #$%&evidence o! his maintainin), throu)hout the li!e o! this Contract, a valid and appropriatecerti!icate to act as &*%ECT#% o! Schools o! this system in accordance with the laws o!the state o! Tennessee'

( Residency# The &*%ECT#% shall reside within the corporate limits o! the City o!Cleveland throu)hout the term o! this contract' This contract shall be considered voidand o! no !orce or e!!ect i! the &*%ECT#% does not, at any time durin) course o! thecontract, meet the residency re3uirement'

) "!ties#

$ The &*%ECT#% shall per!orm the duties speci!ied in Tennessee Code$nnotated, as well as those listed in the 4ob description !or the &*%ECT#% asadopted by the #$%&, or as may be amended !rom time to time durin) theterm o! this Contract' Such 4ob description is hereby incorporated in this Contractby re!erence as i! !ully restated herein'

The &*%ECT#% shall devote such time and ener)ies as are necessary toper!orm the duties speci!ied in the 4ob description' These duties will )enerally beper!ormed durin) normal business hours, but it is e5pressly a)reed that the dutieso! this position will re3uire the &*%ECT#% to wor durin) times other thannormal business hours'

*# Co&+ensation#

A# The #$%& shall pay the &*%ECT#% an annual compensation !or the !irst year o!this a)reement in the amount o! one hundred !orty thousand two hundred twenty

ei)ht dollars .71/0,228'00 in twelve .12 e3ual monthly installments in accordancewith #$%& policy'

B# The &*%ECT#% shall receive as a salary ad4ustment durin) the term o! thisa)reement the same annual percenta)e increase as the certi!ied sta!! is )rantedpursuant to the adopted bud)et o! the #$%&'

C# The &*%ECT#% shall receive the annual local step increase in the amount that iscommensurate with the percenta)e step increase based upon trainin) and e5periencein accordance with the system salary schedule' -or the purposes o! calculatin)entitlement under this part, the &*%ECT#% shall be credited with !i!teen .1 yearsservice upon his ori)inal employment date o! July 1, 2011'

"# The #$%& shall evaluate the &*%ECT#% annually and shall review the&*%ECT#%9S salary annually'

E# *n no event shall the &*%ECT#%9S salary be reduced e5cept as provided by law'F# *! an ad4ustment in salary is made durin) the term o! this Contract, it shall not be

deemed by either party that a new contact has been !ormed or that the terminationdate !or the e5istin) contract has been e5tended'

,# Salary ad4ustments enacted durin) the term o! this contract shall be sub4ect to there3uirements o! $rticle 2: herein'-# The #$%& shall pay to the &*%ECT#% one thousand dollars .71000 per month to

be used at the &*%ECT#%s discretion !or purchasin) an annuity or !or any otherpurpose that the &*%ECT#% shall elect'

.# A!to&obile and Technolo$y Entitle&ent#The #$%& shall pay to the &*%ECT#%the sum o! si5 hundred dollars .7600'00 per month as reimbursement !or use o! hisprivate vehicle within radley County' $ny travel outside radley County shall bereimbursed at the system per diem rate a!ter a claim !or milea)e has been submittedpursuant to the travel policy o! the #$%&'

same amount as is provided to employees o! the Cleveland City Schools' Should the&*%ECT#% elect no covera)e under the school system insurance plan, no other bene!itor salary shall be paid in lieu thereo!'

%3# Me&bershi+ "!es# The #$%& shall pay all dues to the !ollowin) pro!essional

societies, associations or civic clubs o! which the &*%ECT#% is an active memberincludin), but not limited to $$S$, T#SS, a civic club o! the &*%ECT#%s choosin)and the chamber o! commerce' The #$%& shall reimburse the &*%ECT#% !ore5penses in attendin) !unctions related to the memberships'

%%# Proessional Liability#The #$%& shall maintain liability insurance coverin) alle)edwron)!ul acts and omissions o! the #$%& and o! the &*%ECT#% in the scope o! hisemployment with the #$%&' The #$%& shall, to the e5tent permitted by law,directly or throu)h insurance, de!end the &*%ECT#%, bear de!ense costs, andindemni!y and hold the &*%ECT#% harmless on demands, claims, suits, and le)alproceedin)s brou)ht by third parties a)ainst the &*%ECT#% in his o!!icial capacity as

a)ent and employee o! the #$%&, e5cept that this obli)ation o! the #$%& shall note5ist with respect to violations o! criminal law, improper personal )ain, or will!ulmisconduct, and in no event will individual #$%& members be liable !orindemni!yin) the &*%ECT#% a)ainst such demands, claims, suits, and le)alproceedin)s'

%'# Proessional ,rowth#The &irector shall attend the pro!essional meetin)s approved bythe #$%&, the actual and necessary e5penses o! said attendance to be paid by theSchool System in accordance with #$%& policy'

%(# Leave#T?E &*%ECT#% shall be )ranted one day o! sic leave !or each month o!contractual employment' Sic leave days shall be cumulative' ;nused sic leave daysshall be trans!erred to the Tennessee Consolidated %etirement System !or retirementcredit in accordance with the policies o! the Tennessee Consolidated %etirementSystem' *n addition, the &*%ECT#% shall be entitled to twenty .20 vacation days andthree . personal leave days each year' $t the close o! each calendar year o! thiscontract, the &*%ECT#% shall be paid !or all accumulated and unused vacation days'

%.# Medical E6a&ination#The &*%ECT#% a)rees to submit to a comprehensive medicale5amination annually' $ physician9s statement certi!yin) to the physical and mentalcompetency o! the &*%ECT#% shall be !iled with the Chairman o! the #$%&'

%/# Renewal o E&+loy&ent Contract#The #$%& may e5tend the term o! this contractat any time with concurrence o! the &*%ECT#%' ?owever, unless the #$%& acts onor be!ore the 0thday o! June, 2018 such !ailure to act shall serve as notice to the&*%ECT#% that the #$%& does not intend to renew the contract'

%0# Ass!&+tion o "!ties#The &*%ECT#% shall assume responsibilities o! the position

under this contract o! employment e!!ective July 1, 201'

%1# Peror&ance Eval!ation# $nnually, but no later than the 1stday o! $pril each calendaryear durin) the term o! this Contract, the #$%& shall review and evaluate the&*%ECT#%9S per!ormance, the &*%ECT#%9S pro)ress towards )oals established bythe #$%& in consultation with the &*%ECT#%, the worin) relationships betweenthe &*%ECT#% and the #$%& includin) worin) relationships with the system sta!!,the students, and the community at lar)e, and any other matters relative to theemployment o! the &*%ECT#%' The #$%& shall consider input !rom the&*%ECT#% re)ardin) the evaluation document' The evaluation document shall beadopted by the #$%& prior to &ecember 1' The evaluation document, as it may beamended !rom time to time durin) the period o! this contract, is hereby incorporated inthis Contract by re!erence as i! !ully restated herein' The #$%& members will meetindividually with the &*%ECT#% and review their individual evaluations o! the&*%ECT#% be!ore such evaluations are compiled into a !inal evaluation document'

'3# Reerrals to "2RECTOR# The #$%& o! Education, collectively or individually,shall promptly re!er to the &*%ECT#% all criticisms, complaints, and su))estionscalled to their attention relative to the &*%ECT#% or the School &istrict !or the&irector9s study and recommendation'

'%# Loyalty# The &*%ECT#% shall devote !ull time, attention, nowled)e and sills solelyand e5clusively to the business and interests o! the #$%& o! Education and theCleveland City Schools' The &*%ECT#% may, however, undertae consultin) wor,speain) en)a)ements, writin), lecturin) or other activities which do not inter!ere withthe dischar)e o! the &*%ECT#%9S duties and responsibilities'

''# Ten!re Ri$hts# The &*%ECT#% shall not be )ranted tenure in any capacity in theschool district'

'(# Transer' The #$%& waives the ri)ht to trans!er the &*%ECT#% to any otherposition within the system !or the duration o! this contract and any e5tensions hereto'

')# Contract S!+erseded# This employment Contract sets !orth the terms o! employmento! the &*%ECT#% by the #$%& durin) the stated term, and supersedes any other

contract the #$%& may have hereto!ore ne)otiated with the &*%ECT#%'

'*# Contract Ter&ination# This employment contract may be terminated !or the !ollowin)reasons+

a (utual $)reement This Employment Contract may be terminated by mutuala)reement o! the partiesD retirement, disability or death o! the &*%ECT#%'

b -or Cause This Employment Contract may be terminated by the #$%& !orwill!ul cause upon proo! o! conduct unbecomin) to a member o! the teachin)pro!ession .unpro!essional conduct, ine!!icient service .includin) but not limitedto per!ormance evaluation scores, ne)lect o! duty, insubordination,

incompetence, or !ailure to !ollow board policies and directives' -or thepurposes o! this article, the de!initions !ound at Tennessee Code $nnotated, /AA01 shall applyD to wit+ Conduct unbecomin) to a member o! the teachin)pro!ession may consist o!, but not be limited to, one .1 or more o! the!ollowin)+ .$ *mmoralityD . Conviction o! a !elony or a crime involvin) moralturpitudeD .C &ishonesty, unreliability, continued will!ul !ailure or re!usal to payone9s 4ust and honest debtsD .& &isre)ard o! the teacher code o! ethics in part 10o! this chapter, in such manner as to mae one obno5ious as a member o! thepro!essionD or .E *mproper use o! narcotics or into5icantsD *ncompetence meansbein) incapable, lacin) ade3uate power, capacity or ability to carry out theduties and responsibilities o! the position' This may apply to physical, mental,

educational, emotional, or other personal conditions' *t may include lac o!trainin) or e5perience, evident un!itness !or service, a physical, mental oremotional condition main) the teacher un!it to instruct or associate withchildren or the inability to command respect !rom subordinates or to securecooperation o! those with whom the teacher must worD *ne!!iciency means bein)below the standards o! e!!iciency maintained by others currently employed by theboard !or similar wor, or habitually tardy, inaccurate or wantin) in e!!ectiveper!ormance o! duties' The de!inition o! ine!!iciency includes, but is not limitedto, havin) evaluations demonstratin) an overall per!ormance e!!ectiveness levelthat is "below e5pectations" or "si)ni!icantly below e5pectations" as provided inthe evaluation )uidelines adopted by the state board o! education pursuant to @

/A1A02D *nsubordination may consist o!+ 7A8%e!usal or continued !ailure toobey the school laws o! this state, to comply with the rules and re)ulations o! theboard or to carry out speci!ic assi)nments made by the board when the rules,re)ulations and assi)nments are reasonable and not discriminatoryD trainin)pro)ram as set up by the local board o! education and approved by the stateboard o! educationD Treason, or any e!!ort to sabota)e or overthrow the)overnment o! the ;nited StatesD or %e!usal by the teacher to disclose to theboard whether or not the teacher is, or has been, a member o! the communist or

any other party that advocates the overthrow o! the )overnment' *! the #$%&terminates this Contract !or cause, the &*%ECT#% shall be entitled to no !urtherbene!its or compensation' The &*%ECT#% shall, however, be entitled to ahearin) be!ore an independent hearin) o!!icer on the char)es' $ny hearin) o!!icerso chosen shall have no a!!iliation with the school system, speci!ically includin)

havin) a spouse or other relative who is employed by said school system' Suchhearin) o!!icer shall demonstrate the ability to compose !indin)s o! !act andconclusions o! law a!ter all proo! has been placed on the record o! this matter' $verbatim transcript o! the proceedin)s shall be ept and the #$%& shallassume responsibility !or the transcript and all costs associated therewith'

c %emoval !rom #!!ice This contract shall be terminated i! the State oard o!Education, in accordance with the provisions o! Title /, Chapter 1 o! TennesseeCode $nnotated as enacted or herea!ter amended, orders the removal o! the&*%ECT#%' *! such removal is ordered, the &*%ECT#% shall be entitled to no!urther bene!its or compensation under the terms o! the contract'

d ithout Cause The #$%& may terminate this contract without cause, at itsoption, provided that the #$%& provides the &*%ECT#% si5ty .60 dayswritten notice o! the e!!ective date o! termination' *n the event the #$%&elects to terminate this contract without cause, the #$%& shall pay to the&*%ECT#% all salary and bene!its due to the &*%ECT#% !rom the date o!termination until the e5piration o! this contractD provided, however, that the carallowance, the communications device, and the home computer costs will ceaseupon the e!!ective date o! termination' $ll property o! the school system shallbe returned to the system central o!!ice upon the e!!ective date o! thetermination' The payment provided !or herein shall, at the option o! the#$%&, be made in either re)ular monthly installments or in a lump sumpayment' ;pon complete payment as provided !or herein, the #$%& shallhave no !urther liability to the &*%ECT#% !or any payments whatsoever'

e ;nilateral termination by &*%ECT#% T?E &*%ECT#% may terminate thiscontract at any time, at his sole discretion, by )ivin) the #$%& si5ty .60days written notice o! his resi)nation' *n the event o! such termination, the&*%ECT#% shall have no ri)ht or entitlement to any severance pay and shallbe entitled to the salary and bene!its unpaid throu)h the e!!ective date o!resi)nation or retirement'

! &isability o! the &*%ECT#% *n the event the &*%ECT#% is unable to

per!orm his obli)ations and duties hereunder !or a period o! ninety .0 days orlon)er, due to mental or physical illness or incapacity, the #$%&, at itsoption, may terminate this a)reement and, upon so doin), shall be released !romall !urther obli)ations contained hereunder sub4ect only to the provisions o! the-ederal -amily (edical Feave $ct'

e5amination !or the purpose o! veri!yin) the accuracy o! criminal violation in!ormationas re3uired by TC$ /AA/06.a.1.$D and the &*%ECT#% a)rees to supply a!in)erprint sample and submit to a criminal history record chec to be conducted by theTennessee ureau o! *nvesti)ation' The costs incurred !or this investi)ation shall be paidby the #$%&'

'/# A&end&ents# $ny modi!ication to this contract shall be made by mutual a)reement o!both parties havin) interest in this Contract' To be en!orceable, such amendments shall bee!!ective only upon the submission o! a writin) that memorialiGes the lan)ua)e o! theamendment and upon which both parties have e5pressed written consent by a!!i5in) theirsi)natures thereto'
