1. OBJETO / CONDICIONES GENERALES
La relación legal entre Irauto S.A. (en adelante
indistintamente, el “Cliente” o “Comprador”) y el
Proveedor para la compra de productos
(“Productos”) y/o servicios (“Servicios”) se regirá
por los siguientes términos y condiciones
(“Condiciones Generales de Compra” o
“Condiciones Generales”) y en su caso cuantas
condiciones particulares sean acordadas entre el
Cliente y el Proveedor de forma escrita (“Contrato
o Pedido”).
El Cliente se reserva la facultad de actualizar las
presentes Condiciones Generales de Compra.
Las mismas estarán a disposición del Proveedor
en el sitio web del Cliente sito en el URL
www.grupoantolin.com indicando la fecha de la
última actualización, siendo responsable el
Proveedor de verificar la vigencia y/o actualización
de las mismas.
Estas Condiciones Generales revisadas y/o
actualizadas serán aplicables a los Pedidos o
revisiones de los mismos expedidos en o partir de
la fecha de publicación de la actualización de las
Condiciones en el sitio web del Cliente.
Por su parte, la modificación de las condiciones
particulares establecidas por Contrato, requerirá
el acuerdo escrito y firmado por ambas partes.
En caso de conflicto o contradicción entre estas
Condiciones Generales de Compra y las
particulares establecidas por Contrato, primarán
estas últimas sobre las primeras. Asimismo, se
aplicarán estas Condiciones Generales de
Compra aunque contradigan o difieran de las
Condiciones Generales de Venta que pudiera
tener el Proveedor, o de cualquier condición o
especificación que el Proveedor inserte en sus
presupuestos, notas de entrega, facturas u otros
documentos cruzados entre las Partes que no
hayan sido expresamente aceptados por el
1. OBJECT/GENERAL TERMS
The relationship between Irauto S.A. ( “Buyer ” or
“Purchaser”) and the “Seller or Supplier” related to
the purchase of products ( “Products”) and/or the
provision of services (“Services”) shall be
governed by these general terms of purchase
(“General Terms of Purchase” or “General Terms
and Conditions”) and, if necessary, by any other
specific terms that may be agreed by the
Purchaser and the Supplier in writing (“Contract” or
“Purchase Order”).
The Purchaser reserves the right to update these
General Terms of Purchase which shall be posted
in the web site of the Buyer at
www.grupoantolin.com showing the last update
date, being the Supplier responsible for verifying
the validity and/or update of the General Terms of
Purchase.
These General Terms and Conditions revised
and/or updated shall be applicable to the Purchase
Orders or revisions of the Purchase Orders issued
on or since the date of posting of the update of the
General Terms and Conditions on the web site of
the Buyer.
A change in any specific term of a Contract will
require a written agreement signed by both parties.
In the event of conflict or contradiction between
these General Terms of Purchase and any specific
terms contractually established, the latter will
prevail over the former. Furthermore, these
General Terms of Purchase will take preference
even if they contradict or differ from any General
Terms of Sale applied by the Supplier, or any
condition or specification that the Supplier has
included in its delivery slips, invoices or other
documents exchanged by the Parties, not
expressly accepted by the Purchaser.
Consequently, the Supplier hereby freely waives
the rights of the foregoing in the event of a conflict.

Cliente, por lo que en este acto renuncia
libremente a su aplicación en caso de conflicto.
2. CONFORMIDAD SOBRE LOS REQUISITOS
DEL CLIENTE
El Proveedor está obligado al cumplimiento de
todas las instrucciones que acompañan al Pedido
y a estas Condiciones Generales incluyendo entre
otras, especificaciones técnicas y de calidad,
estudios, planos y dibujos o cualquier otra. Toda
variación de los Productos o Servicios incluidos en
el Pedido deberán tener el previo y por escrito
consentimiento del Cliente.
Las obligaciones asumidas bajo el Pedido por el
Proveedor son obligaciones de resultado,
debiendo ejecutarse conforme a las
especificaciones particulares y generales, de
modo tal que resulten completas y respondan a su
fin.
El Proveedor está obligado al cumplimiento del
Manual de Proveedores MP01 de Grupo Antolin y
a estar al corriente y en posesión de las
actualizaciones futuras del mismo, así como de
los Requisitos Específicos de Grupo Antolin (CSR)
que están disponibles en www.grupoantolin.com.
Cualquier modificación sobre el Manual no será
aceptada salvo confirmación por escrito por parte
del Cliente.
El Proveedor debe introducir los datos de la
composición de los Productos suministrados, en la
aplicación informática IMDS (Internacional
Material Data System) en la dirección
www.mdsystem.com, siendo éste un requisito
previo a la presentación de las primeras muestras.
El Proveedor se compromete a aplicar el
Reglamento europeo REACH 1907/2006 CE y/o
cualquier otra norma que lo complemente,
modifique o sustituya; asimismo, debe asegurar
el cumplimiento de la POLITICA DE MINERAL
CONFLICT DE GRUPO ANTOLIN, basada en la
Dodd-Frank Wall Street Reform and Consumer
Protection Act, de 22 de agosto de 2012 (USA) y/o
2. CONFORMITY ON THE PURCHASER’S
REQUIREMENTS
The Supplier is obligated to comply with all the
instructions that come with the Purchase Order
and with these General Terms of Purchase
including but not limited to technical and quality
specifications, studies, plans and drawings or
anything else. Any variation of the Products or
Services included in the Purchase Order must be
previous written agreement of the Buyer.
The obligations assumed by the Supplier under the
Purchase Order are obligations of result, which
must be performed according to the specific and
general specifications so that they are complete
and comply with their purpose.
The Supplier is obligated to comply with the MP01
Suppliers Manual of Grupo Antolin and to be up to
date and in possession of any future versions
thereof, to include the Specific Requirements of the
Grupo Antolin (CSR), available at
www.grupoantolin.com. Any deviation from said
Manual will not be accepted unless the Purchaser
has provided written confirmation.
The Supplier shall enter the composition details of
the Products supplied, in the IMDS (International
Material Data System) computer application, at
www.mdsystem.com. The foregoing will constitute
a prior requirement for the presentation of initial
samples. The Supplier shall comply with the
European regulation REACH 1907/2006 CE
and/or any other rule complementing, amending or
replacing it; furthermore, the Supplier shall
guarantee compliance with the MINERAL
CONFLICT POLICY OF GRUPO ANTOLIN, based
on the Dodd-Frank Wall Street Reform and
Consumer Protection Act, of 22 of August, 2012
(USA), and/or any rule complementing, amending
or replacing it, undertaking to provide information

cualquier norma que la complemente, modifique o
sustituya, comprometiéndose a aportar
información relativa al uso y procedencia de estos
minerales y solicitar este requerimiento a su
cadena de suministro.
El Proveedor se compromete y se hará cargo a su
costa de cualquier prueba o análisis que sea
necesario para cumplir los requisitos de la norma
IATF 16949 y/o cualquier otra norma o standard
que el Cliente o los clientes de éste le requieran,
en Productos, componentes, materiales, sistemas
o procesos que incorporen cualquier Producto o
Servicio suministrado por el Proveedor al Cliente
independientemente de que el Proveedor esté
certificado o no.
El Proveedor declara expresamente que el
Producto no contiene “Minerales en Conflicto”
conforme se define en la “Norma de Minerales en
Conflicto” (Sección 1502 de la norma Dodd-Frank
Wall Street Reform and Consumer Protection Act
adoptada por la Securities and Exchange
Commision mediante la Rule 34-67716) y sus
eventuales modificaciones futuras. En el caso de
que el Producto contratado contuviera los
mencionados “Minerales en Conflicto” el
Proveedor deberá informarlo mediante
Declaración Jurada firmada por apoderado y
certificada ante escribano público, manifestando
expresamente el país de origen de los “Minerales
en Conflicto” al momento de la aceptación del
Contrato y si los “Minerales en Conflicto” fuesen
contenidos en Productos a ser entregados en
razón de una modificación de la especificación del
Pedido vigente, lo comunicará con idéntica
formalidad y en forma inmediata al momento en
que tome conocimiento de dicha circunstancia,
pudiendo el Cliente, a su exclusivo criterio, iniciar
una auditoria de información referida a dichos
“Minerales en Conflicto” y por su parte, el
Proveedor prestará amplia colaboración en el
marco de dicha auditoria. Se deja expresamente
establecido que en el caso de que el Producto
objeto del Contrato contuviese “Minerales en
Conflicto”, el Cliente podrá, a su exclusivo criterio,

parts, components, materials, systems, or
processes incorporating or involving any Product
or Service provided by Supplier to Purchaser
whether or not Supplier is or has been certified or
not.
The Supplier expressly declares that the Product
does not contain “Minerals in Conflict” as defined
in the “Rule of Minerals in Conflict “Section 1502 of
Dodd-Frank Wall Street Reform and Consumer
Protection Act adopted by the Securities and
Exchange Commission by Rule 34-67716) and its
eventual future changes. In the event that Product
contained the aforementioned “Minerals in conflict”
the Supplier shall inform immediately by affidavit
signed by proxy and certified by public notary,
stating expressly the country of origin of the
“Minerals in Conflict” at the moment of the
acceptance of the Contract and if the “Minerals in
Conflict” were contained in Products to be
delivered due to a change of the specification of
the current, Purchase Order, the Supplier shall
immediately inform it with identical formalities as
soon as it learns of such circumstance. In that
case, the Buyer, at its exclusive criteria, may begin
an information Audit related to such “Materials in
Conflict” and the Supplier shall provide extensive
collaboration with such audit. It is expressly stated
that in the event that the Product contained
“Minerals in Conflict”, the Buyer may, at its
exclusive criteria, terminate the Contract
immediately, without generating rights to claims by
the Supplier for said termination. Failure to comply
with the provisions of this section will enable the

decidir resolver el Contrato en forma inmediata, de
pleno derecho y sin que se generen derechos a
reclamos por el Proveedor por dicha resolución. El
incumplimiento de lo previsto en este apartado
habilitará al Cliente a decidir resolver el Contrato
de pleno derecho por culpa del Proveedor y a
decidir iniciar las acciones por incumplimiento
contractual y por los daños y perjuicios que
pudieran haberse ocasionado en virtud del
incumplimiento. El Proveedor declara conocer y
aceptar que en ningún caso existirá solidaridad
entre el Proveedor y el Cliente y asimismo, asume
la obligación de mantenerlo indemne de cualquier
reclamo y/o acción relacionada directa o
indirectamente con los “Minerales en Conflicto”,
en un todo de conformidad en estas Condiciones
Generales de Compra.
El Proveedor se compromete a facilitar al Cliente
la información financiera que éste le solicite para
acreditar su solvencia y, consecuentemente, la
adecuada ejecución del Pedido y de estas
Condiciones Generales de Compra.
3. PEDIDOS OEM EN PROVEEDORES
DIRIGIDOS/ALTAMENTE RECOMENDADOS
Cuando el Cliente OEM dirige al Cliente en la
utilización de material y/o componentes y/o
Servicios suministrados por un Proveedor elegido,
éste se obliga a cumplir todos los términos y
condiciones establecidos en un pedido o contrato
(en adelante denominado “Pedido OEM”) recibido
por el Cliente de un tercero (en adelante
denominado “Cliente OEM”) por el cual el Cliente
se compromete a suministrar bienes, Productos o
Servicios al Cliente OEM. El Cliente informará al
Proveedor en la medida de lo posible en relación
al Pedido del Cliente OEM, pero en cualquier
caso, el Proveedor será responsable de verificar
cualquier término o condición incluidos en el
Pedido OEM que pueda afectar al correcto
cumplimiento de la obligación contraída por el
Proveedor. Sin perjuicio de lo anterior, el
Proveedor, deberá adoptar todas las medidas,

The Supplier shall provide the Purchaser with any
financial data it may request, to guarantee the
Supplier’s solvency and, consequently, the
adequate performance of this agreement.
3. OEM REQUIREMENTS IN PURCHASE
ORDERS OF HIGHLY RECOMMENDED
SUPPLIERS
When the OEM Customer directs the Purchaser in
the utilization of Material and/or components
and\or services provided by a directed Supplier,
the Supplier shall comply with the terms and
conditions of any Purchase Order or other
agreement received by Purchaser from a third
party (which is referred to herein as “OEM
Customer” and whose order or other agreement
referred to herein as “OEM Purchase Order”)
whereby Purchaser agrees to supply to the OEM
Customer, or incorporated into goods supplied to
OEM Customer, goods or services Purchaser may,
from time to time, when possible, supply Supplier
with information regarding OEM Purchase Orders,
but, in any event, Supplier shall be responsible for
ascertaining any terms or conditions contained in
OEM Purchase Orders that may affect Supplier´s
obligations hereunder.

recabar toda la información y llevar a cabo
cualquier acción que puedan ser necesarias o
convenientes y estén dentro de su control para
permitir que el Cliente cumpla con las obligaciones
asumidas por este último con el Cliente OEM bajo
los Pedidos OEM. En el caso de que el Cliente
reduzca los precios de los Productos o Servicios
durante la vigencia del Pedido OEM, el Proveedor
deberá simultáneamente reducir sus precios para
los componentes, Productos o Servicios
implicados en el Pedido en igual forma. En caso
de conflicto entre lo establecido entre esta
cláusula y otra de estas Condiciones Generales
de Compra, el Cliente tendrá la facultad de que se
le aplique esta cláusula de forma preferente. Al
margen de cualquier posible disputa entre el
Cliente y el Proveedor, éste se compromete a
cooperar con el Cliente y con el Cliente OEM en
caso de controversia entre el Cliente y el Cliente
OEM relativa en cualquier modo a Productos o
Servicios vendidos o prestados al Cliente por el
Proveedor.
4. ACEPTACIÓN DEL CONTRATO
Los Contratos, las ofertas y su aceptación, así
como demás transacciones o cualquier
modificación, deberán expresarse por escrito.
Estos documentos podrán emitirse también por
vía electrónica o telemática o mediante cualquier
medio que permita acreditar su recepción.
El Proveedor dispondrá de quince (15) días
corridos, desde que recibe el Contrato, para
aceptarlo o rechazarlo total o parcialmente. La
aceptación del Contrato por parte del Proveedor
implicará la aceptación plena de estas
Condiciones Generales.
En su defecto, y transcurrido dicho lapso, se
considerará rechazado en todos sus términos.
El Cliente no reconocerá prestaciones ejecutadas
por el Proveedor no incluidas en el Pedido y de ser
realizadas dichas prestaciones, quedarán a
exclusivo costo, cargo y responsabilidad del

In the event Purchaser reduces its price for

of these General Terms of Purchase, Purchaser
shall have the right to have the provisions of this
paragraph prevail. ... Regardless of any dispute
between Purchaser and Supplier, Supplier agrees
to cooperate with Purchaser and Purchaser’s OEM
Customer in the event of any dispute between
Purchaser and Purchaser’s OEM Customer
relating in any way to Products or Services sold or
provided by Supplier.
4. ACCEPTANCE OF THE CONTRACT
All Contracts, offers and their acceptance,
including any other transactions or modifications,
shall be in writing.
These documents may also be issued by remote
and electronic means or by any other channel
which allows acknowledgement of receipt.
The Supplier will have fifteen (15) calendar days,
from receipt of the Contract, to accept or reject it in
whole or in part. Acceptance of the Contract by the
Supplier will imply full acceptance of these General
Terms of Purchase.
If not accepted during said period, it will be
considered rejected in all its terms.
The Purchaser will not recognize services or
products performed by the Supplier that are not
included in the Purchase Order and if said services
or products are performed, they will be at the sole
cost, charge, and responsibility of the Supplier
without generating rights to claims for
compensation of any kind in favor of the latter.

Proveedor sin que se generen derechos a
reclamos por resarcimientos de ningún tenor a
favor éste último. Asimismo, todo desarrollo de
prestaciones por el Proveedor sin respaldo de un
Pedido, será considerado como un obrar de mala
fe y un incumplimiento contractual grave/esencial
por el Proveedor. En ningún caso el Pedido se
integrará ni interpretará mediante usos y prácticas
que pudieran ser de aplicación, ni tampoco con
información y/o elementos no establecidos
expresamente en el Pedido y por lo tanto, los usos
y prácticas carecerán de validez y efectos si no
fuesen expresamente establecidos en el Pedido.
La existencia de tratativas de cualquier tenor (a
modo de ejemplo y sin tratarse de un detalle
taxativo: preliminares, precontractuales,
contractuales, entre otros y en todos los casos, de
cualquier naturaleza que fuesen y sin perjuicio de
la denominación y/o contenido de las mismas) no
serán consideradas por el Proveedor como
generación de expectativa precontractual o
contractual de ningún tenor, ni será/n
VINCULANTE/S para el Cliente.
Por lo aquí expuesto y en atención al proceso de
contratación acordado, el Cliente y el Proveedor
excluyen expresamente la aplicación de lo
previsto en el artículo 1011 y concordantes del
Código Civil y Comercial.
Las condiciones, aclaraciones, leyendas o notas
que el Proveedor incluyere en remitos,
Facturas/Recibos Facturas, recibos o
correspondencia, no tendrán efecto alguno, ni
alterarán de manera alguna las condiciones
establecidas en el Pedido y en estas Condiciones
Generales de Compra.
En atención a que todas las etapas de la selección
del Proveedor y celebración del Contrato son
negociadas entre el Cliente y el Proveedor, las
previsiones del art. 984, siguientes y concordantes
del Código Civil y Comercial no serán de
aplicación al Pedido ni a las presentes
Condiciones Generales de Compra.
Likewise, any performance of services or products
by the Supplier without endorsement of a Purchase
Order, will be considered as an act of bad faith and
a serious / essential contractual breach by the
Supplier. In no case will the Purchase Order be
integrated or construed through uses and practices
that may be applicable, nor with information and /
or elements not expressly established in the
Purchase Order and therefore, the uses and
practices will lack validity and effects if they were
not expressly established in the Purchase Order.
The existence of negotiations of any kind (including
but not limited to: preliminary, pre-contractual,
contractual, among others and in all cases, of
whatever nature they are and regardless of their
name and / or content) shall not be considered by
the Supplier as a generation of pre-contractual or
contractual expectation of any kind, nor will they be
BINDING for the Buyer.
For the reasons set forth herein and in attention to
the agreed contracting process, the Purchaser and
the Supplier expressly exclude the application of
the provisions of article 1011 of the Civil and
Commercial Code. and any other concordant rule
with it. The conditions, clarifications, legends or
notes that the Supplier may include in delivery
notes, Invoices / Receipts Invoices, receipts, or
correspondence, shall not have any effect, nor will
they alter in any way the conditions established in
the Purchase Order and in these General Terms of
Purchase.
Considering that all the stages of the selection of
the Supplier and the conclusion of the Contract are
negotiated between the Buyer and the Supplier,
the provisions of Section 984, following and
concordant articles of the Civil and Commercial
Code shall not apply to the Purchase Order or to
these General Terms of Purchase.

5. PROGRAMAS DE ENTREGA.
Las entregas han de efectuarse de acuerdo con
las cantidades y fechas especificadas en los
programas de entrega suministrados por el
Cliente. El Cliente no estará obligado al pago de
Productos o Servicios que excedan de las
cantidades especificadas en los programas de
entrega. Salvo indicación expresa detallada en el
Contrato, los gastos de transporte serán a cargo
del Proveedor.
El Cliente podrá cambiar periódicamente, y en
forma razonable, mediante notificación por escrito
al Proveedor en un plazo que sea suficiente en
función del cambio propuesto, los programas de
entrega u ordenar la suspensión temporal de
entregas programadas sin que ello implique una
modificación del precio ni de los términos y
condiciones del Contrato, ni dé derecho a
indemnización alguna a favor del Proveedor.
Es responsabilidad del Proveedor mantener el
stock de seguridad establecido por el Cliente en
sus Pedidos.
6. ENTREGA
El plazo de entrega del correspondiente pedido
será el establecido en el programa de suministro
que se entregará oportunamente al Proveedor.
Los plazos de entrega serán esenciales para el
Contrato, debiendo ser cumplidos con exactitud.
Los plazos previstos en estas Condiciones
Generales y/o en los Pedidos se consideran
pactados a favor del Cliente. No se admitirán
entregas anticipadas a los plazos acordados y en
caso de recepción, el Cliente estará autorizado a
devolver a costa del Proveedor aquellos
Productos que recibiera del Proveedor antes de la
fecha acordada o, si lo prefiere, a recibirlos, pero
pudiendo repercutir al Proveedor los gastos de
almacenamiento o de otro tipo en los que incurra.
El Cliente no estará obligado a aceptar entregas
parciales. No obstante, si el Cliente aceptara una
entrega parcial, el Pedido no se entenderá
5. DELIVERY SCHEDULES
All deliveries will be carried out in accordance with
the amounts and dates specified in the delivery
schedules provided by the Purchaser. The
Purchaser will not be obligated to pay for any
products or services that exceed the amounts
specified in the delivery schedules. Unless
expressly indicated in the Contract in detail, all
transportation costs will be borne by the Supplier.
The Purchaser may periodically and in a
reasonable manner change the delivery
schedules, by providing written notice to the
Supplier with sufficient time depending on the
change proposed, or may order a provisional
suspension of scheduled deliveries, without this
entailing a change in the price or in the terms and
conditions of the Contract or entitling the Supplier
to any indemnification whatsoever.
The Supplier will be responsible for maintaining the
back-up stock established by the Purchaser in his
Purchase Orders.
6. DELIVERY
The delivery deadline of the relevant order will be
the one established in the Contract’s delivery
Schedule.
All delivery deadlines are essential and must be
strictly met. The terms set forth in these General
Terms of Purchase and / or in the Purchase Orders
are considered agreed in favor of the Purchaser.
No deliveries will be accepted before the deadlines
agreed; if such deliveries are received, the
Purchaser will be entitled to return any products at
the Supplier’s costs received from the Supplier
prior to the date agreed or, if it prefers, to accept
them, albeit charging the Supplier for any storage
costs or any other kind of costs incurred. The
Purchaser will not be obligated to accept partial
deliveries. Nevertheless, if the Purchaser accepts
a partial delivery, the Purchase Order shall not be
finalized until its whole fulfilment.

El Cliente se reserva el derecho a rechazar o
devolver total o parcialmente cualquier pedido que
no se haya entregado en el plazo correspondiente,
pudiendo el Cliente reclamar al Proveedor los
daños y perjuicios que hubiera sufrido por el
retraso.
La mora en el cumplimiento de los plazos de
entrega es automática y se producirá por el mero
transcurso del tiempo, sin necesidad de intimación
extrajudicial o judicial previa alguna.
Asimismo, en el supuesto de incumplimiento de
los plazos de entrega, se interpondrá al Proveedor
una penalización equivalente a los costos internos
que determine razonablemente el Cliente con
arreglo a su propia contabilidad de costos
derivados del incumplimiento.
En caso de que los clientes del Cliente impongan
a este último, penalizaciones que tengan su origen
en el incumplimiento de los plazos de entrega por
el Proveedor, el Cliente repercutirá dichas
penalizaciones al Proveedor.
El Proveedor se compromete a cancelar las
penalizaciones previstas en este apartado dentro
de los treinta (30) días de notificado en tal sentido
por el Cliente y en la forma de pago que el Cliente
le indicare. El Cliente podrá compensar cualquier
de las penalizaciones previstas en estas
Condiciones Generales con sumas adeudadas al
Proveedor por cualquier concepto vinculado con el
Pedido.
7. MODIFICACIONES
El Proveedor no podrá modificar el Producto o
Servicio al que se refiere el Contrato (incluyendo
cambio alguno en sus especificaciones, diseño o
materiales), los procesos de producción y/o el
lugar de fabricación sin el previo consentimiento
por escrito del Cliente.
The Purchaser reserves the right to reject or return
in whole or in part any order, not delivered within
the relevant term, and the Purchaser may bring a
claim against the Supplier for any loss and damage
caused by this delay.
The delay in the fulfillment of the delivery deadlines
is automatic and will occur by the mere passage of
time, without the need for any prior extrajudicial or
judicial demand.
Furthermore, if delivery deadlines are not met, the
Supplier shall be imposed with a penalization
equivalent to the internal costs reasonably
determined by the Purchaser with adjustment to its
own accountancy of costs derived from the breach.
Should the Purchaser’s clients impose any
liquidated damages or penalizations on the
Purchaser arising from the Supplier’s failure to
meet the delivery deadlines, the Purchaser will
charge these damages to the Supplier.
The Supplier commits to pay the penalizations set
forth in this section within thirty (30) days of being
notified in this regard by the Purchaser and in the
form of payment indicated by the Purchaser. The
Buyer may compensate any of the penalizations
set forth in these General Terms of Purchase with
sums owed to the Supplier for any concept related
to the Purchase Order.
7. AMENDMENTS
The Supplier may not modify the product or service
referred to in the Contract (including any change or
modifications in its specifications, design or
materials), the production processes and/or
manufacturing site, without the Purchaser’s prior
written consent.

Toda modificación del Pedido que no contara con
el previo consentimiento por escrito del Cliente, se
tendrá por no escrita y no será vinculante ni
exigible al Cliente.
8. ENVÍOS
Todo Producto deberá estar adecuadamente
embalado y será enviado de acuerdo con los
requisitos normales de transportistas ordinarios en
forma tal, que garantice la protección con un
mínimo costo de transporte y sin que del mismo
puedan derivarse gastos adicionales para el
Cliente, salvo estipulación en contrario en el
Contrato. El Proveedor deberá asegurar los
Productos transportados con el alcance y
condiciones que se establezca en el Pedido o los
que sean de uso y práctica, salvo acuerdo en
contrario.
El Proveedor marcará debidamente cada paquete
según las Condiciones Logísticas establecidas por
el Cliente y el nombre del destinatario.
Cuando varios paquetes constituyan un único
envío, cada paquete deberá estar también
correlativamente numerado, indicando en este
caso, de forma clara, cuál de ellos contiene el
remito. En dicho remito se detallarán todas las
especificaciones que figuren en el Contrato
(fecha, número de pedido, emisor, solicitante,
cantidad, referencia y denominación del Producto
o Servicio, etc.).
Certificado de origen: En función de los acuerdos
comerciales en vigor, el Proveedor exportador
deberá, a petición del Cliente, entregar los
certificados de origen que se estimen necesarios.
En su caso, el Proveedor deberá incorporar en
cada envío toda la documentación legalmente
necesaria asociada a los Productos y/o Servicios
y la solicitada por el Cliente en base a los
requerimientos establecidos en el Contrato. Dicha
documentación deberá estar actualizada y
corresponder fielmente con los Productos y/o

8. DELIVERIES
All Products shall be adequately packaged and
sent in accordance with standard requirements
applied to ordinary carriers, in such a way that the
protection of the Products is guaranteed with a
minimum transportation cost, and without this
generating additional expenses to the Purchaser,
unless otherwise agreed in the Contract. The
Supplier shall insure the goods in transit, with the
scope and conditions set forth in the Purchase
Order unless otherwise agreed.
The Supplier will duly mark each parcel according
to the Logistic Terms established by the
Purchaser, including the addressee’s name.
If several parcels constitute a single delivery, each
parcel will also be correlatively numbered, in which
case the parcel containing the delivery note will be
clearly indicated. This delivery note will describe all
the specifications included in the Contract (date,
order number, issuer, applicant, amount, reference
and product or service name, etc.). Certificate of
origin: Depending on the commercial agreements
in force, the exporting Supplier, at the Purchaser’s
request, will provide any certificates of origin that
are deemed necessary.
As the case may be, the Supplier will include in
each delivery any documentation that is legally
necessary and associated to the Products and/or
Services, and any documentation requested by the
Purchaser based on the requirements set forth in
the Contract. This documentation will be updated
and will accurately correspond to the Products
and/or Services; being the Supplier´s responsibility
to ensure that the referred correspondence and
update.

referida correspondencia y actualización.
9. VERIFICACIÓN
La verificación de los Productos objeto del Pedido
(peso, cantidad y calidad), se realizará en el lugar
de destino o en el propio domicilio del Proveedor,
a elección exclusiva del Cliente. Previo
requerimiento del Cliente, el Proveedor facilitará el
acceso a sus instalaciones y a las de sus
proveedores, al Cliente y a los propios clientes de
este último.
La firma o sello de descarga de los Productos no
implica la aceptación definitiva sino tan sólo el
cumplimiento de la obligación de entrega por parte
del Proveedor.
Las devoluciones de Productos no conformes irán
a portes debidos, quedando el Proveedor obligado
a su sustitución inmediata y a portes pagados, sin
perjuicio de la posibilidad del Cliente de reclamar
por los daños ocasionados. Estas sustituciones se
facturarán como nuevas entregas no
admitiéndose por tanto ni reposiciones, ni notas
de abono, salvo a petición expresa por parte del
Cliente.
La denuncia de las diferencias de cantidad y de
los defectos o vicios (ocultos o aparentes) de los
Productos recibidos, podrá efectuarla el Cliente
tanto a la recepción, como en cualquier momento
posterior a la misma, dentro del plazo legal,
incluso si las facturas hubieran sido ya pagadas.
Asimismo, el Proveedor responderá del
saneamiento del Producto en caso de evicción.
Los Proveedores de máquinas especiales y/o
utillajes deberán entregar:
- Planos del Proyecto de Construcción y
Datos CAD (Conjunto y despieces)
- 2 manuales de instrucciones de uso
- Al menos un manual que contenga
descripción de esquemas completos,
9. VERIFICATION.
The verification of the Products under the
Purchase Order (weight, amount, and quality) will
take place at the destination point or at the
Supplier’s own address, at the sole discretion of
the Purchaser.
At the Purchaser’s prior request, the Supplier will
allow access to its facilities and to its suppliers’
premises, to the Purchaser and/or the latter’s own
clients. A signature or stamp of unloaded
merchandise will not constitute a final acceptance,
but just that the Supplier has fulfilled its delivery
obligation. A return of inadequate merchandise will
be delivered on a “freight collect” basis and is the
Supplier’s responsibility to immediately replace the
merchandise and pay the freight costs as well as
reimbursement for all damages incurred by
Purchaser. These replacements will be invoiced as
new deliveries, and no substitution or credit notes
will be allowed, unless this is expressly requested
by the Purchaser Any differences in amount and
hidden/apparent defects or vices in the Products
received may be reported by the Purchaser both
upon receipt and at any time thereafter, within the
legal timeframe, even if the invoices have already
been settled. Furthermore, the Supplier will be
liable for warranty of title over the Products. The
Suppliers of special machines and/or equipment or
tools must provide Purchaser with: - Drawings of
the Construction Project and CAD data (Assembly
and breakdown)
- 2 instructions of use manuals
- At least a manual containing complete
schematics, specifications, power supplies and
complete service/test instructions
- Preventive Provisional Maintenance
Conditions and a list of parts that are subject to
wearing.
- First Sample Reports and Capability
Studies (for the Manufacturing Means). -

Pliego de Condiciones.
Cualquier diseño y fabricación de útiles, equipo o
maquinaria comprada por, fabricada para o
pagada por el Cliente debe respetar estrictamente
las especificaciones del Cliente, cualquier cambio
en las mismas necesita previa autorización escrita
del Cliente. El Proveedor, en su caso, deberá
entregar al Cliente certificado de aseguramiento
de responsabilidad civil antes de proceder a
cualquier trabajo en las instalaciones Cliente,
como así toda documentación legalmente exigible
relativa a la registración y seguridad social del
personal que asigne al efecto.
10. RECAMBIOS
El Proveedor se compromete a entregar piezas de
recambio al mismo precio que se ha suministrado
la serie durante veinte años, salvo acuerdo en
contrario.
En el caso de Inversiones específicas adscritas a
un Proyecto / Vehículo (Moldes, Troqueles de
Corte, etc) el Proveedor se compromete a
suministrar los recambios de componentes no
estándar durante la vida del proyecto.
En el caso de Inversiones capacitivas (Prensas,
Maquinas de Inyección, etc) el Proveedor se
compromete a suministrar los recambios no
estándar durante la vida útil del proyecto.
En ambos casos, con la entrega de la instalación,
el Proveedor entregará la documentación

Any engineering design by Supplier with regard to
products, tooling, equipment or machines sold to,
or furnished or paid for by Purchase must fulfil
specifications from Purchaser and any change
requires the prior written approval of Purchaser.
Supplier will furnish Purchaser with a certificate of
Insurance for personal and property liability prior to
proceeding with work in Purchaser’s premises as
well as all legally required documentation related
to the registration and social security of the
personnel assigned to the task.
10. SPARE PARTS.
The Supplier shall deliver spare parts at the same
price at which the series has been supplied, over a
twenty-year period, unless otherwise agreed.
In the case of a specific investment attached to a
project/vehicle (molds, cutting dies, etc.) is the
Supplier’s responsibility to provide the
nonstandard components parts during the life of
the project.
In the case of capacitive investments (presses,
injection molding machines, etc.) the Supplier
commits to provide the non-standard component
parts during the life of the project. In either case,
once the installation is delivered, the Supplier shall
hand over the necessary documentation to enable
the manufacturing of specific spare parts.

11. PRECIO Y CONDICIONES DE PAGO
Los Productos y Servicios serán suministrados al
precio estipulado en el Pedido. Salvo pacto en
contrario, los precios son totales por lo tanto no se
podrán añadir otros cargos por parte del
Proveedor sin el consentimiento escrito del
Cliente, como por ejemplo gastos de transporte,
de embalaje, etiquetado, aranceles, impuestos,
almacenaje, seguros, empaquetado o traslados.
Asimismo, salvo acuerdo en contrario, el Contrato
es emitido sobre una base de “precios fijos e
invariables”, en el sentido de que el Cliente no
podrá verse obligado, durante el período de
vigencia del Pedido, a variar sus condiciones de
precio, aún en el supuesto de que el Proveedor
experimente incrementos de precio en su mano de
obra, materias primas, servicios o cualquier otro.
El Proveedor garantiza que los precios ofrecidos
al Cliente son y se mantendrán como mínimo
iguales que los ofrecidos por el Proveedor a
cualquier otro cliente por igual o similar Producto
o Servicio en unas condiciones contractuales
similares.
Asimismo, el Proveedor renuncia expresa e
irrevocablemente mente a invocar la teoría de la
imprevisión prevista en el art. 1091 del Código
Civil y Comercial de la Nación Argentina, y a
ejercer cualquier otra acción que tienda al reajuste
de las prestaciones a las que se ha obligado por
el Contrato; como también renuncia expresa e
irrevocablemente onerosidad sobreviniente,
lesión, o abuso de derecho, en orden a cumplir
con cualquiera de sus obligaciones bajo el
Contrato.
Salvo acuerdo en contrario, el pago se realizará
por transferencia bancaria en el plazo establecido
en el Contrato, respetando los plazos legales de
pago establecidos en cada país del Cliente a
contar desde la fecha factura (entendiéndose
como fecha factura la fecha en la que el Proveedor
11. PRICE AND CONDITIONS OF PAYMENT
The Products and Services shall be furnished at
the Price set forth in the Purchase Order. Unless
otherwise stated, prices are final, and no additional
charges, surcharges, premiums, or additional
charges of any type shall be added without
Purchaser’s written consent, including, but no
limited to, shipping, packaging, labelling, custom
duties, taxes, storage, insurance, boxing, crating,
drayage or containers. Also, unless otherwise
agreed, a Contract will be issued based on “fixed
prices”, meaning that the Purchaser will not be
obligated, during contractual performance, to
change its price terms, even in the event that the
Supplier incurs a higher price in labor, raw
materials, services or otherwise. Supplier
represents and warrants that prices offered to the
Buyer are, and will remain, no less favorable to
Purchaser than any price which Supplier presently,
or in the future, offers to any other customer for the
same or similar Products or Services under similar
contractual conditions.
Furthermore, the Supplier expressly and
irrevocably waives to invoke the doctrine of
unforeseen circumstances set forth in section 1091
of the Civil and Commercial Code of the Argentine
Republic, and to exercise any other action that
tends to readjust the obligations to which it has
been bound by the Contract; as well as expressly
and irrevocably waives hardship, “laesio enormis”,
undue profit or consideration, or abuse of rights,
related to the compliance with any of its obligations
under the Contract.
Unless otherwise agreed, all payments will be
made by bank transfer in the term set forth in the
Contract , according to the terms of payment
legally established in the Purchaser’s country.
Such terms shall be counted from the date on
which the invoice is issued (the invoice date being
understood as the date when the Supplier has
adequately supplied the Products or provided the
Services). Payment shall be made in the currency

realiza correctamente la entrega del Producto o la
prestación del Servicio).
El pago se realizará en la moneda determinada en
el Contrato, en caso de falta de determinación, el
pago se realizará en Pesos ($AR), o en la moneda
de curso que la reemplace o complemente.
El pago realizado por el Cliente no supone que
éste considere efectuado correctamente el
Contrato por parte del Proveedor, o que renuncie
a los derechos que pudieran corresponderle.
Asimismo, el Cliente se reserva el derecho a
pagar a través de sus compañías afiliadas o
matrices, o de compensar partidas deudoras o
acreedoras entre aquellas y el Proveedor, siempre
que lo permita la legislación aplicable.
Los derechos de crédito que pudieran generarse
a favor del Proveedor por causa de los pedidos del
Cliente no podrán ser cedidos a ningún tercero sin
el consentimiento expreso y por escrito del
Cliente. En consecuencia, el Cliente no deberá
realizar el pago de los precios a ningún tercero a
favor del que no haya consentido la cesión de los
derechos de crédito que motivan el mismo.
12. IMPUESTOS
Todos los impuestos que graven las operaciones
comerciales a las que estas condiciones
generales de compra se refieran, serán
soportados por las partes de acuerdo a lo
legalmente establecido. El contribuyente del
impuesto es responsable, en cada caso, de la
correcta tributación reflejada en los
correspondientes documentos contables.
EL Proveedor asumirá en forma íntegra y
exclusiva el monto correspondiente al pago del
impuesto de sellos en aquellos casos en que
resulte aplicable.

The payment done by the Purchaser does not
mean that the latter considers the Contract as
adequately performed by the Supplier, or that it
waives any rights it is entitled to. Furthermore, the
Purchaser reserves the right to make payment
through its affiliates or parent companies, or to set
off or compensate any debit or credit items
between these companies and the Supplier, as
long as this is permitted by applicable law. Any
credit rights that may be generated in favor of the
Supplier as a result of the Purchaser’s orders may
not be assigned to any third party without the
Purchaser’s express and written consent.
Consequently, the Purchaser will not settle the
payment of any prices in favor of any third party,
without the Purchaser having agreed to the
assignment of the resulting credit rights in writing.
12. TAXES
Any taxes levied on the commercial transactions
referred to in these General Terms of Purchase will
be borne by the parties in accordance with what is
legally established. In each case, the taxpayer will
be responsible for applicable taxes to be
adequately reflected in its accounting books. The
Supplier will fully and exclusively assume the
amount corresponding to the payment of the stamp
tax in those cases in which it is applicable.

13. GARANTIA. RESPONSABILIDADES.
13.1 Período de garantia.
Será de aplicación la legislación vigente en lo
referente a garantías de los Productos,
inversiones o Servicios suministrados, salvo que
se acuerden otras condiciones en Contrato o en
estas Condiciones Generales de Compra.
Salvo acuerdo en contrario por escrito en el
Pedido, el período de garantía será de sesenta
(60) meses , comenzando desde la puesta a
disposición del vehículo que incorpore el
Producto del Proveedor, al usuario final.
En relación a los Productos que no pueden ser
utilizados durante el trabajo de inspección y
reparación del Producto defectuoso, el periodo de
garantía se extenderá por un tiempo igual al
periodo en el que el Producto fuera inutilizable.
Si un Producto reparado muestra el mismo
defecto por el que fue reparado o un defecto que
sea consecuencia de la reparación, el periodo de
garantía comenzará de nuevo a contarse desde la
entrega del Producto con posterioridad a la nueva
reparación.
Todo lo anterior se entenderá sin perjuicio de los
derechos de las partes, en virtud del Contrato y de
la legislación aplicable, en relación al
incumplimiento del Contrato o a las obligaciones
por la otra parte.
El Proveedor se compromete durante el plazo de
vigencia de la garantía a mantener indemne al
Cliente de cualquier demanda, queja,
reclamación, campaña o cualesquiera otra acción
que sea consecuencia directa o indirecta de un
fallo y/o defecto de fabricación en las mercancías
atribuible al Proveedor, así como de cualquier otra
obligación asumida por el Proveedor bajo el
presente Contrato.
13. WARRANTY. RESPONSABILITIES.
13.1 Warranty term.
Current legislation on the warranty of Products,
investments or Services supplied will apply, unless
other terms are agreed in the Contract or in these
General Terms of Purchase.
Unless otherwise agreed in written in Purchase
Order, the warranty term shall be of sixty (60)
months, starting from the disposal of the vehicle
that incorporates the Supplier's Product, to the end
user.
Regarding the Products that cannot be used
during the inspection and repair of the defective
Product, the warranty term shall be extended for a
time equal to the period in which the Product was
unusable.
If a repaired Product shows the same defect for
which it was repaired or a defect that is a
consequence of the repair, the warranty term shall
start again since the delivery of the Product after
the new repair.
All of the foregoing shall be understood without
detriment to the rights of the parties under the
Contract and the applicable legislation, in relation
to the breach of the Contract or the obligations of
the other party.
During the warranty term the Supplier commits to
hold the Supplier harmless from any demand,
complaint, claim, campaign, or any other action
that is a direct or indirect consequence of a failure
and / or manufacturing defect in the products,
attributable to the Supplier, as well as any other
obligation assumed by the Supplier under this
Contract.

13.2 El Proveedor garantiza que:
(a) Los Productos y/o Servicios fueron ejecutados
en forma completa y conforme a los planos,
dibujos cantidades o etiquetas, especificaciones
técnicas y de calidad, muestras y /o descripciones
indicadas en el Pedido o dadas por el Cliente.
(b) los bienes no tienen defectos o fallas de
fabricación, material y/o mano de obra y el
material usado para ellos es nuevo, idóneo y de
máxima calidad.
(c) Que los Productos o instalaciones o resultados
de los Servicios prestados son originales y no
infringen derechos de propiedad industrial o
intelectual de terceros. En tal sentido, el
Proveedor asume directa y exclusivamente la
responsabilidad frente a cualquier demanda de
terceros que invocase que los bienes objeto del
Pedido violan marcas, patentes, licencias, diseños
o modelos industriales o propiedades intelectuales
o industriales registradas por terceros,
exonerando al Cliente y asumiendo en su caso el
costo de la defensa de esta y haciéndose cargo
de todos los gastos por tasas o cargos,
honorarios, peritajes, indemnizaciones o cualquier
otro concepto a pagarse a terceros, más los daños
y perjuicios ocasionados al Cliente de
conformidad con lo previsto en estas Condiciones
Generales de Compra.
(d) Que el Proveedor conoce la intención de uso
del Cliente sobre los Productos, Servicios o
instalaciones objeto del Pedido por lo que
garantiza que serán conformes, idóneos y
suficientes para cumplir los objetivos del Cliente y
carecerán de vicios o defectos que pudieran
afectar a los usos o aplicaciones de los mismos.
(e) Que el Proveedor es el titular legítimo de los
bienes y los componentes involucrados en el
Pedido, y tiene derecho de comercialización sobre
los mismos y los entrega al Cliente libres de
cargas y gravámenes, garantizándolo por evicción
13.2 The Supplier represents and warrants that:
(a) The Products and / or Services were fully

specifications, samples and / or descriptions
indicated in the Purchase Order or given by the
Purchaser.
(b) The goods have no manufacturing, material
and / or workmanship defects or failures and the
material used for them is new, suitable and of the
highest quality.
(c) The Products, facilities or the results of the
Services rendered are genuine in all respects and
do not break any industrial or intellectual property
right of a third party. In this sense, the Supplier
assumes direct and exclusive responsibility for any
third party claim that the goods under the Purchase
Order violate trademarks, patents, licenses,
industrial designs or models or intellectual or
industrial properties registered by third parties,
holding the Purchaser harmless and assuming,
where appropriate, the cost of defending the latter
and taking charge of all expenses for fees or
charges, expert opinions, compensation or any
other concept to be paid to third parties, plus the
damages and losses caused to the Purchaser in
accordance with the provisions in these General
Terms of Purchase.
(d) The Supplier knows the intention of use of the
Purchaser related to the Products, Services or
facilities that are the object of the Purchase Order,
so it warrants that they will be compliant, suitable,
and sufficient to meet the Purchaser's objectives
and will be free of vices or defects that could affect
the uses or applications thereof.
(e) That the Supplier is the legitimate owner of the
goods and components involved in the Purchase
Order and has the right to commercialize them and
deliver them to the Purchaser free of charges and
encumbrances, giving warrant of title and / or

y/o contra acciones que afecten su libre
disponibilidad por el Cliente.
(f) Que el Proveedor cumple con toda la
legislación aplicable para el desarrollo de su
actividad.
(g) Que el Proveedor asume a su cargo los daños
y perjuicios que pudieran producirse a personas o
bienes del Cliente, o de terceros, con motivo del
Producto o Servicio objeto del Contrato.
13.3 Corrección de fallas o defectos.
El Proveedor se obliga a sustituir la parte averiada
o defectuosa por una parte nueva y cuando esto
no fuese posible (y así lo demostrare el Proveedor
formalmente y por escrito), se obliga a reparar la
parte averiada o defectuosa a satisfacción del
Cliente, incorporando todos los elementos
necesarios para la completa y correcta ejecución
y terminación del Pedido sin que por dicha
circunstancia se generen gastos ni costos para el
Cliente. A menos que se indique expresamente lo
contrario en el Pedido, el plazo máximo para la
sustitución por una parte nueva o para la
reparación de la parte averiada o defectuosa, a
satisfacción del Cliente, será informado por el
Cliente en cada oportunidad.
No obstante el plazo a ser indicado por el Cliente,
el Proveedor se compromete a corregir en el
menor tiempo posible, dentro del plazo
mencionado, los defectos observados, o la
vulneración de las manifestaciones señaladas en
los puntos anteriores, mediante la asignación
prioritaria de sus propios recursos.
En caso de incumplimiento del Proveedor a esta
obligación, el Cliente podrá reparar a costa del
Proveedor el Producto defectuoso si fuera
necesario, para garantizar la continuidad de su
proceso de producción (o el de sus clientes). En
estos casos, todos los costos de tal reparación
serán facturados al Proveedor pudiendo ser
compensados con cualquier suma a él debida.

(f) The Supplier complies with all applicable
legislation governing the development of its
activity.
(g) The Supplier assumes responsibility for any
damages that may occur to persons or property of
the Buyer, or third parties, due to the Product or
Service under the Contract.
13.3 Correction of faults or defects. The Supplier
commits to replace the faulty or defective part with
a new part and when this is not possible (and the
Supplier formally demonstrates it in writing), it shall
repair the faulty or defective part to the satisfaction
of the Purchaser, incorporating all the necessary
elements for the complete and correct execution
and termination of the Purchase Order without
incurring expenses or costs for the Purchaser due
to said circumstance. Unless expressly stated
otherwise in the Purchase Order, the maximum
period for replacement by a new part or for the
repair of the faulty or defective part, to the
satisfaction of the Purchaser, will be informed by
the Purchaser in each case.
Notwithstanding the term being informed by the
Purchaser, the Supplier shall remedy as soon as
possible, within the aforementioned term, any the
defects observed, or the violation of the
manifestations indicated in the previous section, by
allocating its own resources on a priority basis.
In the event of breach of the above mentioned
Supplier´s obligation the Purchaser may repair the
defective product at the Supplier’s cost, if
necessary, in order to guarantee the continuity of
its production process (or that of its clients). In
these cases, any costs incurred in this repair will
be invoiced to the Supplier and may be set off
against any sum due to the Supplier.

Además, el Proveedor pagará los costos de
reparación adicionales que surjan de o en relación
con los defectos, especialmente los costes de
transporte, montaje y desmontaje, costos
administrativos y gastos de manipulación, así
como todos los demás costos relacionados con la
reparación del defecto (sus propios costos, los del
Cliente y los del fabricante de equipamiento
original “OEM en sus siglas en inglés”). No se
verán afectados por lo dispuesto en este párrafo
los derechos y obligaciones, legales o
contractuales, que puedan surgir en relación con
el suministro de Productos defectuosos.
13.4. Obligación de saneamiento
En todos los casos de contratación de Productos,
el Cliente podrá exigir al Proveedor el
saneamiento de los vicios ocultos que se
manifiesten con posterioridad al cumplimiento del
período de garantía establecido en estas
Condiciones Generales de Compra y/o en el
Pedido entendiéndose que, en tal sentido, se
consideran prorrogados tanto el aquí citado
período de garantía como los plazos establecidos
en los Artículos 1051 a 1058 siguientes y
concordantes del Código Civil y Comercial.
13.5. Indemnidad laboral.
El personal que utilice el Proveedor será de su
exclusiva dependencia.
El Proveedor deberá entregar mensualmente al
Cliente toda documentación que el Cliente le
solicite vinculado a su personal y se compromete
asimismo a dar estricto cumplimiento a lo
dispuesto en el artículo 30 de la ley 20.744
respecto a los contratistas y/o subcontratistas que
eventualmente contrate para la ejecución de sus
obligaciones bajo el Contrato.
El Proveedor reconoce que actúa como
independiente y por cuenta, nombre y riesgo
propio y no como empleado, agente,
representante o distribuidor del Cliente por lo que,
ni el Contrato, ni el cumplimiento de las

13.4. Latent defects
In all cases of contracting Products, the Purchaser
may require the Supplier to correct any hidden
defects that appear after the fulfillment of the
warranty term set forth in these General Terms of
Purchase and / or in the Purchase Order, being
understood that, both the warranty term and the
terms established in Articles 1051 to 1058 and the
following and concordant sections of the Civil and
Commercial Code, are considered extended.
13.5. Labor indemnity
The personnel hired by the Supplier shall be
employees of the latter, without any kind of
employment relationship with the Buyer.
The Supplier must deliver to the Purchaser on a
monthly basis, all documentation that the latter
requests concerning its personnel. Supplier also
commits to strictly comply with the provisions of
Section 30 of Law 20,744 regarding the contractors
and / or subcontractors that it eventually hires for
the performance of its obligations under the
Contract.
The Supplier acknowledges that it acts
independently and at its own expense, name and
risk and not as an employee, agent, representative
or distributor of the Purchaser, therefore, neither
the Contract, nor the performance of the agreed
obligations, imply an employment relationship

obligaciones contratadas, implican una relación
laboral entre el Proveedor y el Cliente ni entre el
personal del Proveedor y el Cliente. En su carácter
de prestador independiente, el Proveedor en
ningún momento tendrá la facultad de
comprometer al Cliente en contrato alguno, ni
contratar empleados en nombre o representación
de ésta. El personal que el Proveedor asigne a la
ejecución del Pedido no reviste la calidad de
personal del Cliente y el Proveedor asume total
responsabilidad por los actos y omisiones de
dicho personal. El Proveedor pagará los sueldos y
otros beneficios de sus empleados, debiendo
mantener dichos pagos al día y dentro de los
términos de la ley. EL Proveedor será
exclusivamente responsable por el estricto
cumplimiento de todas las normas laborales,
previsionales, de Seguridad Social, de Higiene y
Seguridad en el Trabajo, impositivas, etc.

vacaciones, jubilaciones, descanso semanal,
jornada legal, accidentes, etc., así como de todos
los gastos derivados de cualquier reclamo relativo
a su personal, liberando al Cliente de toda

permanecer debidamente inscripto ante todos los
organismos pertinentes, conforme a la legislación
aplicable, en especial los previsionales y de
seguridad social y mantener asegurados a sus
empleados contra todos los riesgos para los
cuales la legislación vigente exija la contratación
de seguros obligatorios. El Proveedor deberá
mantener inscriptos en legal forma y en tiempo
oportuno a sus empleados y dependientes,
manteniendo con relación a ellos la categoría de
“empleador”, de conformidad a lo previsto en la
normativa laboral vigente.
El Proveedor deberá mantener indemne al Cliente
y/o a sus directivos y/o sus subsidiarias, afiliadas,
vinculadas y/o controladas de cualquier reclamo,
acción o petición de origen laboral, civil, comercial,
de seguridad social y/o de cualquier otra índole
que eventualmente pudieran iniciar autoridades
administrativas, terceros, personal dependiente,

and keep its employees insured against all risks for
which current legislation requires the contracting of
mandatory insurance. The Supplier must keep its
employees and dependents registered in a legal
manner and in a timely manner, maintaining the
category of "employer" in relation to them, in
accordance with the provisions of current labor
regulations.
The Supplier must hold the Buyer and / or its
directors and / or its subsidiaries, affiliates, related

contratado y/o subcontratado, incluyendo a solo
título enunciativo, capital, honorarios, costas,
intereses y multas, respecto de contingencias
laborales y de seguridad social. Esta obligación
tendrá vigencia durante todo el tiempo de
prescripción de los derechos que se encuentren
involucrados en los reclamos que se realicen.
13.6. Obligación de indemnización. El Proveedor deberá indemnizar, defender y eximir de responsabilidad al Cliente en la medida máxima permitida por la ley aplicable, de cualquier demanda, causa, reclamo y contingencia, incluyendo daños y perjuicios, multas, intereses, penalidades y costos legales, que puedan ser sufridos, incurridos o pagados por el Cliente, como resultado de o en conexión con cualquier acción, omisión, incapacidad, negligencia, incumplimiento o error imputable al Proveedor, su personal, sus subcontratistas, en la ejecución de un Pedido, incluyendo pero no limitado al incumplimiento de estas Condiciones Generales de Compra. 13.7. Ausencia de solidaridad No existirá solidaridad entre el Cliente y el Proveedor y/o su subcontratista ante reclamos - extrajudiciales y/o judiciales - respecto de los cuales el Proveedor y/o su subcontratista se encuentre/n obligado/s a responder y/o que reconozcan su causa en incumplimientos y/o negligencia de éste/os último/s. En consecuencia, el Proveedor y/o su subcontratista se obliga/n a mantener al Cliente (incluyendo pero sin limitarse a sus empleados, asesores, agentes, accionistas, gerentes, funcionarios, directores, representantes, socios, entre otros, de cualquiera de las sociedades que integran el Grupo Antolin) indemne - extrajudicial, judicial y/o económicamente - afrontando en forma directa y exclusiva todos los reclamos - extrajudiciales y/o judiciales - que se generen, pagando tales conceptos en el plazo fijado para su cumplimiento. El incumplimiento de las obligaciones mencionadas en este apartado hará responsable al Proveedor y/o su subcontratista por todos los daños y perjuicios directos o indirectos que se ocasionen al Cliente.

13.6. Obligation to compensate.

subcontractors, in the execution of a Purchase
Order, including but not limited to breach of these

13.7. Absence of joint and several liability.
There will be no joint and several liability between
the Purchaser and the Supplier and / or its
subcontractors in the event of claims - extrajudicial
and / or judicial - for which the Supplier and / or its
subcontractors is / are liable and / or that they
recognize their cause in breaches and / or
negligence of the latter/s.
Consequently, the Supplier and / or its
subcontractor shall maintain the Purchaser
(including but not limited to its employees, advisors,
agents, shareholders, managers, officers, directors,
representatives, partners, among others, of any of
the companies that make up Grupo Antolin)
harmless - extrajudicial, judicial and / or financially -
directly and exclusively facing all claims -
extrajudicial and / or judicial - that are generated,
paying such concepts within the term set for
compliance.
Failure to comply with the obligations mentioned in
this section will make the Supplier and / or its
subcontractor responsible for all direct or indirect
damages caused to the Purchaser.

14. RESPONSABILIDAD POR PRODUCTOS
DEFECTUOSOS / INDEMNIZACION / SEGUROS
El Proveedor acuerda indemnizar y mantener
indemne al Cliente contra todas las reclamaciones
o demandas por lesiones o daños, incluido el lucro
cesante, a cualquier persona o propiedad, que
resulten de la ejecución del Contrato por parte del
Proveedor, sus empleados, agentes,
subcontratistas o representantes.
El Proveedor acepta mantener en plena vigencia
y efecto, a su costa y sin gasto alguno para el
Cliente, un seguro que cubra daños a la
propiedad, lesiones y responsabilidad civil a
terceros, incluida la responsabilidad civil por
Productos defectuosos y su retirada, por una
cantidad y cobertura que sean, como mínimo,
adecuados a las circunstancias de ejecución
exigidas por el Contrato. El Cliente podrá solicitar
al Proveedor que le sea certificada por la
Compañía de Seguros correspondiente la realidad
y el alcance de dichas coberturas.
15. BIENES PROPIEDAD DEL CLIENTE Y
OBJETOS EN COMODATO.
Las inversiones pagadas por el Cliente (utillajes,
contenedores, etc.) incluido su diseño y/o
derechos de propiedad industrial, en su caso, son
propiedad, salvo acuerdo expreso en contrario,
del Cliente.
El Cliente podrá cederlas en comodato al
Proveedor para la ejecución de un Pedido.
Serán por cuenta y a cargo del Proveedor, el
mantenimiento, conservación, custodia y
restitución de dichas inversiones específicas u
otros bienes de propiedad del Cliente entregados
en comodato al Proveedor y demás obligaciones
previstas en los artículos 1536, 1538 y
concordantes del Código Civil y Comercial de la
Nación. La vida de las inversiones específicas
será, al menos, la misma que la vida de sus piezas
incluidos los recambios.
14. LIABILITY FOR DEFECTIVE PRODUCTS
/INDEMNIFICATION / INSURANCE
The Supplier hereby agrees to indemnify and to
hold the Purchaser harmless against any claims or
suits brought for personal injury or damage,
including lost profit, suffered by any person or
property, resulting from the performance of this
agreement by the Suppliers, its employees,
agents, subcontractors, or representatives. The
Supplier hereby agrees to keep in full force and
effect, at its own cost and at no expense for the
Purchaser, insurance covering material damage,
personal injury and third-party civil liability,
including civil liability for defective products and
recall insurance thereof, for a minimum amount
and coverage that are adequate in the
performance circumstances required by this
agreement. The Purchaser is entitled to require the
Supplier an insurance certificate issued by the
insurance company detailing the scope of the
insurance coverages.
15. PURCHASER´S PROPERTY AND LOAN
FOR USE.
All property paid by the Purchaser (tools,
containers, etc.), including their design and/or
industrial property rights, if any, will be legally
owned by the Purchaser, unless otherwise
expressly agreed.
The Purchaser may assign said property to the
Supplier as loan for use, to perform a Contract. The
Supplier will bear the full cost of any maintenance,
conservation, custody and replacement of these
specific properties or other assets owned by the
Purchaser which are loaned for use to the Supplier
who shall comply with all obligations set forth in
Sections 1536, 1538 and other rules of the Civil
and Commercial Code. The life of any specific
property will be, at least, the same as the life of
their components, spare parts included.

Las inversiones específicas o los bienes
entregados en comodato por el Cliente, no podrán
ser transferidos, transformados, ni destruidos sin
autorización escrita del Cliente. Cuando el Cliente
lo solicite, el Proveedor deberá señalar el lugar de
ubicación de las mismas, estando en todo
momento a disposición del Cliente, perfectamente
identificados como propiedad del Cliente y le
serán entregadas en caso de que así lo solicite y
en el plazo que el Cliente establezca en cada
oportunidad.
Si el Proveedor debidamente autorizado por el
Cliente hubiera encomendado a un tercero la
fabricación de estas inversiones específicas o si
las mismas permanecen en el local de tal tercero
para la fabricación de los Productos o
componentes objeto del Contrato, el Proveedor se
obliga a suscribir un contrato con tal tercero que
otorgue los mismos derechos a favor del Cliente
respecto de las inversiones específicas que los
establecidos en esta cláusula.
El Proveedor por tanto será responsable por la
pérdida o daño que sufra cualquier bien propiedad
del Cliente o entregado en comodato por el Cliente
cuando el Proveedor lo tenga en su posesión o lo
hubiera entregado a un tercero conforme lo
establecido supra.
El Proveedor queda obligado a asegurar a
satisfacción del Cliente, las inversiones
específicas cedidas en comodato o los bienes de
los que sea depositario por valor de reposición, y
a entregar cuando lo solicite el Cliente, copia de
dichos seguros.
Ante cualquier diligencia de embargo contra el
Proveedor por parte de un tercero que pretendiera
trabarse sobre las inversiones específicas cedidas
en comodato, el Proveedor deberá manifestar tal
circunstancia. En el caso de que el embargo se
hubiese trabado a pesar de su oposición, el
Proveedor dará conocimiento inmediato al Cliente,
a fin de que pueda ejercitar la defensa de sus
derechos, debiendo asumir el Proveedor los
costos vinculados con tal defensa. Dichas

entrusted a third party with the manufacturing of
these specific property, or if they remain on the
third party’s premises for the manufacturing of
products or components covered by the Contract,

such third party, granting the same rights to the
Purchaser over the specific property as the ones
set forth in this clause.
Supplier bears all responsibility for loss of and
damage to any property, in Supplier’s possession,
owned by Purchaser or delivered by Purchaser.
The Supplier is obligated to insure, at the
Purchaser’s satisfaction, any specific property
assigned as loan for use or as deposit at its
replacement value. Supplier must deliver a copy of
these insurance policies, at the Purchaser’s
request.
Any seizure ordered against the Supplier by a third
party, wishing to encumber the specific
investments assigned as loan for use in its favor,
must be duly announced by the Supplier. If the lien
has been attached despite the Supplier’s
challenge, it will immediately inform the Purchaser
in order to enable the latter to uphold its rights. In
no event will such specific investments be included
in the Supplier’s assets as owned goods.
The Supplier will bear the responsibility and cost of
any component supply, checks, measurements
and any tests and trials that may be necessary to
guarantee that plans and specifications are
followed.

inversiones específicas en ningún caso deberán
ser incluidas en el activo del Proveedor como
bienes propios.
Para el suministro de piezas, los medios de
control, las mediciones y cuantas pruebas y
ensayos sean necesarios para asegurar el
cumplimiento de planos y especificaciones, serán
responsabilidad de y por cargo del Proveedor.
El Cliente se reserva el derecho de adquirir en
cualquier momento mediante el pago de la
cantidad pendiente de amortizar la propiedad y
posesión de las inversiones específicas
amortizadas en pieza.
En caso de resolución anticipada o terminación
del Contrato, el Proveedor deberá devolver los
bienes propiedad del Cliente de forma inmediata y
a su costa, debidamente identificados y
embalados de conformidad con las instrucciones
del Cliente. El Proveedor se compromete a
respetar los plazos de devolución establecidos por
el Cliente, siendo responsable ante él de cualquier
retraso que se pudiera producir, incluidos los
gastos que le sean repercutidos al Cliente por su
propio cliente como consecuencia del retraso. En
ningún caso el Proveedor gozará de derecho de
retención de los bienes del Cliente, ni aún en caso
de disputa relativa al cumplimiento de las
obligaciones especificadas en los Contratos,
incluido el supuesto de impago.
16. DISEÑO Y DOCUMENTACIÓN TÉCNICA
Los estudios, planos, proyectos, dibujos,
especificaciones y/o documentos de cualquier
clase proporcionados por el Cliente al Proveedor,
definidos o utilizados por el Proveedor, cualquiera
que sea su soporte, para la prestación de
Servicios o la fabricación de piezas, Productos,
utillajes o maquinaria objeto del Contrato serán,
salvo acuerdo en contrario, de la exclusiva
propiedad del Cliente y estrictamente

The Purchaser reserves the right to acquire, at any
time, by paying the amount pending repayment,
ownership, and possession of any specific
investments. In the event that Purchase Order is
cancelled or terminated, Supplier immediately and
at its expense will return such property owned by
the Purchaser, properly packed and marked in
accordance with the requirements of the
Purchaser. Supplier undertakes to comply with the
time-limits set by the Purchaser, remaining
responsible to Purchaser in the event of any delay
may occur, including the charges applied by
Purchaser’s customers as a result of the delay. In
no event shall Supplier retain the property of
Purchaser even in the event of a dispute relative to
the fulfilment of the Purchase Order’s obligations
including in the event of non-payment.
16. DESIGN AND TECHNICAL
DOCUMENTATION.
All studies, plans, projects, drawings,
specifications and/or other documents provided by
the Purchaser to the Supplier, defined or used by
the Supplier, irrespective of the medium, to
manufacture components, products, tools, or
machinery covered by this agreement will be,
unless otherwise agreed, the Purchaser’s
exclusive property and strictly confidential; the
Purchaser may request that these be returned
whenever deemed appropriate. The Supplier may
not use the studies, plans, projects, specifications

Proveedor, para cualquier tipo de relación con

17. PROPIEDAD INDUSTRIAL O INTELECTUAL
El Proveedor será responsable de garantizar que
los Productos, incluidos los resultados de los
Servicios prestados al Cliente, no infringen
derechos de propiedad industrial o intelectual de
terceros (en adelante “DPI”). Por tanto, el
Proveedor será responsable ante cualquier
infracción a DPI, o derivada del uso de los mismos
y se obliga a mantener indemne al Cliente y/o a
sus directivos y/o sus subsidiarias, afiliadas,
vinculadas y/o controladas de cualquier reclamo,
acción o petición de cualquier naturaleza que
pudieran iniciar autoridades administrativas, o
terceros, incluyendo a solo título enunciativo,
capital, honorarios, costas, intereses y multas,
derivadas de una infracción a DPI por parte del
Proveedor.
El Proveedor realizará las verificaciones
necesarias que prueben que los Productos no
infringen DPI, o bien, si los Productos incluyeran
DPIs de terceros, que se tienen las licencias para
su uso. El Proveedor deberá ser capaz de aportar
pruebas de lo anterior siempre y cuando el Cliente
lo requiera.
En caso de conflicto con un tercero por una
supuesta infracción de sus DPI relacionada con el
Producto o Servicio, el Proveedor informará al
Cliente tan pronto como tenga conocimiento de
ello.
En caso de litigio por infracción de DPI
relacionada con el Producto o Servicio, el
Proveedor asumirá la defensa del Cliente, así
como la de otros afectados, especialmente sus
clientes, asumiendo los gastos e indemnizaciones

17. INDUSTRIAL OR INTELLECTUAL
PROPERTY RIGHTS
The Supplier will be responsible for guaranteeing
that the Products, including the results of any
services provided to the Purchaser, do not breach
any industrial or intellectual property rights of any
third parties (“IPR”). Consequently, the Supplier
will be liable for any infringement of IPR or derived
from their use and it is obliged to hold the
Purchaser harmless and / or its directors and / or
its subsidiaries, affiliates, related and / or controlled
companies from any claim, action or request of any
nature that may be initiated by administrative
authorities, or third parties, including but not limited
to , capital, fees, costs, interests and fines, derived
from an infringement of IPR by the Supplier.
The Supplier will make the necessary verifications
to prove that the Products do not breach any IPR
or, if the Products include IPR that the necessary
licenses are held for their use. The Supplier must
be able to provide evidence of the foregoing, at the
Purchaser’s request.
In the event of a conflict with a third party for an
alleged infringement of its IPR related to a Product
or Service, the Supplier will inform the Purchaser
as soon as it becomes aware of the situation. In the
event of litigation due to an infringement of IPR
related to a Product or Service, the Supplier will
bear the cost of the Purchaser’s defense, as well
as of other affected parties, especially the
Purchaser´s customers, bearing any expenses
and indemnification related to the supply of the
Product or Service and fulfilment of all related
contractual obligations. It will also reimburse the
Purchaser for any expenses incurred as a result of
such infringement.

Servicio y el cumplimiento de las obligaciones
contractuales relacionadas, reembolsando
además al Cliente los gastos que haya incurrido
en relación con dicha infracción.
No obstante, el Cliente se reserva el derecho de
asumir el control de su defensa en cualquier
momento y siempre que lo considere oportuno,
igualmente con cargo al Proveedor.
No será de aplicación lo anterior si el Proveedor
suministra el Producto de acuerdo a dibujos,
modelos, o descripciones prescritas por el Cliente,
siempre y cuando el Proveedor no pueda saber
con antelación que el Producto infringe DPI.
El Proveedor informará al Cliente de cualquier
derecho de propiedad industrial anterior al
Contrato, relacionado con el Producto, sea público
o no, tanto si es de su propiedad, como si es de
un tercero y lo incluye bajo licencia de su titular.
El Proveedor otorga al Cliente licencia no
exclusiva, ilimitada, perpetua, irrevocable, y
gratuita, susceptible de cesión y de sub-licencia,
respecto de los derechos de propiedad industrial
del Proveedor necesarios para la reproducción y
la utilización del Producto.
Cuando el Producto conlleve un desarrollo a
medida, el Cliente será titular exclusivo de todos
los resultados de dicho desarrollo, incluyendo los
derechos de propiedad industrial asociados.
El Cliente se reserva el derecho unilateral y
exclusivo para registrar, defender y hacer valer
dichos derechos a su entera discreción.
En la medida que haya trabajos de desarrollo del
Producto sin completar, y se haya pagado al
menos parte de los mismos, el Proveedor otorgará
al Cliente una licencia gratuita, ilimitada,
irrevocable, susceptible de cesión y de sublicencia
de los derechos de propiedad industrial sobre los
resultados obtenidos hasta ese momento.
Nevertheless, the Purchaser reserves the right to
take over its defense at any time, whenever it
deems this appropriate, at the Supplier’s cost.
The foregoing will not apply if the Supplier supplies
the Product in accordance with the drawings,
models or descriptions specified by the Purchaser,
provided that the Supplier is unable to know in
advance that the Product infringes IPR. The
Supplier will inform the Purchaser of any industrial
property right prior to the Contract and related to
the Product, whether or not is public domain and
whether or not it is owned by the Supplier, or it
belongs to a third party or is included under a
license granted by its owner.
The Supplier hereby grants the Purchaser a
nonexclusive, unlimited, irrevocable, and cost-free
license, able to be assigned and sub-licensed, over
any industrial property rights held by the Supplier
that are necessary to reproduce and use the
Product. If the Product’s development is tailor-
made, the Purchaser will exclusively own all
development results, including any associated
industrial property rights.
The Purchaser hereby reserves a unilateral and
exclusive right to register, defend and uphold said
rights, at its sole discretion.
If there are Product developments tasks which are
not completed, and at least part of the price has
been paid, the Supplier will grant to the Purchaser
a cost free, unlimited, and irrevocable license, able
to be assigned and sub-licensed, over any
industrial property rights related to the results
obtained until then. If such developments are
interrupted for reasons attributable to the
Purchaser before the Purchaser is able to settle
their payment, the Supplier will own any results
obtained until then, and the Purchaser will be
entitled to the right of using them.
The aforementioned rights, acquired by the
Purchaser, in relation to the Product, will remain in

En caso de que dichos desarrollos se interrumpan
por causa imputable al Cliente y antes de que éste
llegue a satisfacer un pago por los mismos, el
Proveedor será el titular de los resultados
obtenidos hasta ese momento, dejando al Cliente
un derecho de uso sobre los mismos.
Los derechos adquiridos del Cliente, arriba
citados, con relación al Producto, se mantendrán
vigentes, incluso en caso de resolución anticipada
del Contrato con el Proveedor, y subsistirán a la
vigencia del Contrato.
En caso de que la legislación previera el pago de
una remuneración extraordinaria a favor de un
empleado como inventor de una patente
relacionada con el Producto será asumida por su
empleador, el Cliente o el Proveedor, según
corresponda.
18. CESION Y SUBCONTRATACION
Salvo acuerdo en contrario, se prohíbe
expresamente la cesión a terceros por el
Proveedor de los derechos y obligaciones
derivados de su Contrato.
El Proveedor se compromete a no delegar o
subcontratar la ejecución total o parcial del
Contrato sin autorización escrita del Cliente. En
caso de autorización del Cliente, el Proveedor
junto con el/los correspondiente/s subcontratista/s
seguirá siendo responsable solidario ante el
Cliente por cumplimiento de las obligaciones del
Contrato y de estas Condiciones Generales de
Compra. En caso de cambio de control, directo o
indirecto, de cesión o traspaso de todo o parte de
sus activos o fondo de comercio del Proveedor,
así como en caso de reestructuración interna del
Proveedor (fusión, escisión, disolución sin
liquidación), el Cliente se reserva el derecho a
rescindir el Contrato, sin que ello genere derecho
a reclamo ni indemnización alguna por parte del
Cliente.

18. ASSIGNMENT AND SUBCONTRACTING.
Unless otherwise agreed, the Supplier will be
expressly forbidden from assigning the rights and
obligations under this Contract to third parties.
The Supplier shall not delegate, subcontract or
outsource the performance of the Contract, in
whole or in part, without the Purchaser’s written
consent. If the Purchaser authorizes this, the
Supplier, along with the relevant subcontractor(s),
will still be jointly and severally liable vis-à-vis the
Purchaser for fulfilment of the obligations set forth
in the Contract and these General Terms of
Purchase. In the event of a change in direct or
indirect control, assignment of all or part of its
assets or goodwill of the Supplier, or in the event
of an internal restructuring process in the Supplier
(merger, spin-off, dissolution without liquidation),
the Purchaser reserves the right to terminate the
Contract without generating any right to claim
compensation in favor of the Supplier.

CONCURRENCIA.
El Proveedor así como sus subcontratista,
empleados o terceros que tengan relación con él
están obligado a mantener con carácter
estrictamente confidencial el Contrato y toda la
información que le transmita el Cliente u otras
sociedades de su grupo (incluyendo toda
información a la que tenga acceso y/o utilice, en
virtud de la celebración y ejecución del Contrato y
los Pedidos, como ser la información y/o datos y/o
know how, bases de datos, software y cualquier
documentación, fórmulas, diseños y otros
procesos de carácter secreto, inventos, proyectos
de inversión, costos, utilidades, mercados, ventas,
empleados, directores, clientes, proveedores,
tecnología, planes de negocios e información
comercial y cualquier otra información de
naturaleza similar relacionada con el Cliente,
cualquiera de sus empresas asociadas,
vinculadas, controladas y de cualquier modo
relacionadas, empleados, clientes, proveedores,
que llegare a conocimiento del Proveedor, ya
fuere de carácter comercial, operativo,
administrativo, contable, legal, técnico y/o de
cualquier otra índole a la que hubiere tenido, tenga
o pudiere tener acceso en el futuro ) y a tratar
dicha información como secreto comercial e
industrial, debiendo garantizar que ningún tercero
pueda tener acceso a la misma. Lo anterior no
será aplicable a la información que el Proveedor
pueda acreditar:
a) que es de dominio público.
b) que ha sido transmitida por un tercero con
facultad de hacerlo, por no estar sujeto a una
obligación de confidencialidad.
c) que ya estaba en su conocimiento antes de
que fuera comunicada.
Esta obligación de confidencialidad y restricción
de uso será aplicable durante el plazo de la

group companies, (including all the information to
which it has access and / or use, because of the
execution and performance of the Contract and the

and / or know-how, databases, software and any
documentation, formulas, designs and other secret
processes, inventions, investment projects, costs,
profits, markets, sales, employees, directors,
customers, suppliers, technology, business plans
and commercial information and any other
information of a similar nature related to the
Purchaser, any of its associated, controlled and in
any other way related companies, employees,
clients, suppliers, that the Supplier becomes aware
of, whether of a commercial, operational,
administrative, accounting, legal, technical and / or
any other nature to which it has had, has or may
have access in the future ) and to treat such
information as a commercial and industrial secret,
guaranteeing that no third party is able to access
such information. . The foregoing will not apply to
any information which the Supplier can prove:
a) Belonged to the public domain
b) Was transferred by a duly entitled third party, not
bound by a duty of confidentiality
c) Was already known before it was
communicated. This duty of confidentiality and
restricted use will apply during the term of the
commercial relationship between the parties and
for ten (10) years thereafter.
Supplier agrees not to solicit Purchaser`s
employees with which it had contact as result of the
Purchase, without Purchaser’s previews written

relación comercial entre las partes y durante un
periodo de (10) años tras su finalización.
De igual forma el Proveedor se compromete a no
contratar a los empleados del Cliente con los que
haya tenido relación como consecuencia de la
ejecución del Pedido, sin el previo consentimiento
del Cliente. El Proveedor será responsable de los
daños y perjuicios que su incumplimiento irrogue
al Cliente y del pago de una penalidad equivalente
al total de las remuneraciones de un año pagadas
por el Cliente a dicho empleado.
20. PUBLICIDAD.
El Proveedor se compromete a mantener
confidencial y a no hacer publicidad ni a divulgar,
directa o indirectamente, la celebración y
contenido del Contrato ni la existencia de la
relación contractual con el Cliente, sin el
consentimiento escrito del Cliente.
21. POLÍTICA DE PROTECCIÓN DE DATOS
En cumplimiento de los dispuesto en la Ley de
Protección de los Datos de Personales y/o en las
reglamentaciones o leyes que la complementen o
reemplacen y/o en su normativa de desarrollo, se
informa de que los datos de carácter personal
facilitados como consecuencia del Contrato entre
el Proveedor y el Cliente, serán susceptibles de
tratamiento estrictamente confidencial con la
finalidad de mantener la relación comercial y se
tratarán conforme a la política de privacidad
contenida en la página web de Grupo Antolin
(www.grupoantolin.com). Por su parte, el
Proveedor declara que los datos brindados al
Cliente deberán ser exactos y fidedignos. El
Proveedor podrá ejercer los derechos de acceso,
rectificación y supresión correspondientes.
22. AUDITORIAS.INSPECCION DE LAS
INSTALACIONES DEL PROVEEDOR
El Proveedor garantiza al Cliente y al cliente del
Cliente, el acceso a sus instalaciones,
documentación y registros al objeto de supervisar
el cumplimiento del Pedido, pudiendo realizar

20. PUBLICITY

between Supplier and Purchaser may be treated
on a strictly confidential basis in order to maintain
this commercial relationship, and will be processed
in accordance with the privacy policy displayed on
the Grupo Antolin website
(www.grupoantolin.com).
The Supplier declares that the data provided to the
Purchaser must be accurate and reliable. The
Supplier may exercise the corresponding rights of
access, rectification, and deletion.
22. AUDITS. INSPECTION OF SUPPLIER
PREMISES.
Supplier grants Purchaser and Purchaser´s
customer access to Supplier's premises and books
and records for the purpose of auditing Supplier's
compliance with the terms of the Purchase Order.
In this context the Purchaser and Purchaser´s
customer may make an inventory of finished
goods, work in progress, raw materials, and any of
Purchaser's property and all work or other items

inventarios de Productos terminados, semi-
terminados, materia prima, medios o inspeccionar
cualquier material o trabajo relacionado con el
Contrato. El Proveedor cooperará con el Cliente
facilitándole toda la información que éste le
solicite, incluida la financiera. Asimismo, se
compromete a conservar los registros
relacionados con la ejecución del Pedido durante
un periodo no inferior a un año desde la
finalización del mismo y/o en un plazo superior
determinado por el Cliente y/o por las normas
aplicables. Esta inspección no supondrá una
exoneración de responsabilidad por el
incumplimiento de las obligaciones del Proveedor,
ni supondrá una aceptación expresa ni tácita de
los Productos o Servicios.
23. SITIO WEB DEL CLIENTE
El sitio web del Cliente (o cualquier otra página
web a la que se acceda a través de enlaces
alojados en dicho sitio web) especificado al
comienzo de estas Condiciones Generales o en el
propio Pedido, podría exigir requerimientos
adicionales específicos para ciertos Productos o
Servicios regulados por un Pedido, relativos a
etiquetado, embalaje, requerimientos de
transporte, de calidad, de gestión o de entrega,
procedimiento direcciones y/o instrucciones que
serán considerados parte del Contrato o del
Pedido. El Cliente podrá actualizar
periódicamente dichos requerimientos a través de
la página web. En caso de contradicción entre el
Pedido y lo establecido en el sitio web,
prevalecerán las condiciones establecidas en el
Pedido, salvo que se establezca expresamente lo
contrario en el sitio web.
24. CANCELACION DEL PEDIDO
Salvo que se establezca de otro modo en forma
expresa en el Pedido, el Cliente podrá rescindir sin

23. PURCHASERS INTERNTE WEBSITE
Purchaser's internet website (or such other
website as may be directed through links available
on such website) as specified at the beginning of
these General Terms of Purchase or in the
Purchase Order may contain specific additional
requirements for certain Products or Services
covered by the Purchase Order, related to labeling,
packaging, shipping requirements, delivery,
management or quality specifications, procedures,
directions and/or instructions. Any such
requirements shall be deemed to form part of the
Purchase Order or Contract. Purchaser may
periodically update such requirements by post
revisions thereto on Purchaser's website. In the
event of any inconsistency between this Purchase
Order and Purchaser's website, the terms of this
Purchase Order shall prevail, unless the
requirements specified in Purchaser's website
expressly provide otherwise.
24. TERMINATION OF PURCHASE ORDER
Unless otherwise expressly established in the
Purchase Order, the Purchaser may terminate
without cause, in advance and with the effects of a
termination by mutual agreement, in whole or in
part, any Contract at any time during the validity of
the contract, being sufficient for the termination to

causa, en forma anticipada y con los efectos de
una rescisión por mutuo acuerdo, total o
parcialmente, cualquier Contrato en cualquier
momento de la vigencia de la contratación, siendo
suficiente para que opere la rescisión la
comunicación escrita de la decisión en tal sentido
en un plazo no menor a 30 (treinta) días de
anticipación a la fecha en que operará la misma y
sin que se generen derechos a reclamos ni
indemnizaciones para el Proveedor por dicha
circunstancia.
Sin derecho de rescisión por parte del Proveedor.
Los compromisos del Comprador con sus clientes
se basan en los compromisos con los
Proveedores bajo cada orden. El Proveedor no
tiene derecho a terminar o suspender el
cumplimiento del total o parte del contrato por
ninguna razón, incluyendo pero no limitando, la
inseguridad del Proveedor sobre el desempeño
del Comprador. En el caso de cualquier disputa
entre en Proveedor y el Comprador , surgiendo o
en conexión con cualquier orden de compra,
Comprador y Proveedor trabajarán para resolver
la disputa de buena fe; teniendo en cuenta que,
ninguna disputa eximirá al Proveedor de su
obligación con el Comprador, de suministrar los
bienes de forma ininterrumpida, en cantidad,
tiempo y forma, de acuerdo con los términos del
contrato.
25. INCUMPLIMIENTO
Sin perjuicio de la aplicación de las causales de
finalización anticipada del Pedido previstas en las
Condiciones Generales de Compra, el Cliente
podrá decidir resolver de pleno derecho el
Contrato, y en su caso, por culpa del Proveedor
encontrándose habilitada a iniciar las acciones por
incumplimiento contractual y por los mayores
daños y perjuicios ocasionados, sin necesidad de
interpelación judicial o extrajudicial y siendo

25. BREACH
Notwithstanding the application of the causes for
early termination of the Purchase Order set forth in
the General Terms of Purchase, the Purchaser
may decide to terminate the Contract, and where
appropriate, due to the Supplier's fault, being
entitled to file actions for contractual breach and for
damages and losses, without the need for judicial
or extrajudicial notice, being sufficient the written
communication of said decision of termination, and

de la ejecución de la/s garantía/s (si existiese/n)
en los siguientes supuestos:
(i) Si el Proveedor pidiese su propia quiebra, o
ésta le fuera decretada a pedido de terceros, si
esa presentación no fuese desistida o
desestimada en la primera oportunidad procesal;
y/o
(ii) Ante el concurso preventivo o cualquier otro
procedimiento bajo la ley aplicable en materia de
concursos del Proveedor salvo que el Proveedor
haya obtenido la autorización judicial que lo
autorice a continuar la contratación dentro de los
treinta (30) días hábiles de abierto el mismo y/o
(iii) Cuando el Proveedor se tornase insolvente o
dejara de pagar sus deudas en general a su
vencimiento o intentara efectuar una venta en
bloque de sus bienes o activos, o si se declarara
la disolución o liquidación del Proveedor a pedido
del Proveedor o de un tercero o cualquier
autoridad regulatoria dispusiera la suspensión de
las actividades del Proveedor, su intervención o la
revocación de cualquier autorización necesaria
para que el Proveedor pueda realizar su actividad
principal, y/o
(iv) Ante cualquier incumplimiento que pudiera ser
considerado incumplimiento esencial del Contrato
y/o ante cualquier incumplimiento a las normas
contenidas en estas Condiciones Generales de
Compra.
26. NULIDAD PARCIAL. INEXISTENCIA PACTO
PREFERENCIA.
26.1 En caso de que alguna cláusula sea o se
declare nula, ello no afectará a la validez y
aplicabilidad de las restantes cláusulas de estas
Condiciones Generales de Compra. Las Partes
acuerdan que cualquier cláusula nula deberá
sustituirse por otra que tenga validez y cuyos

(i) (i) If the Supplier requests its own bankruptcy, or
it is decreed at the request of third parties, if that
presentation is not withdrawn or rejected at the first

or any other proceeding or any other proceeding
under the applicable bankruptcy law unless the
Supplier obtains the judicial authorization which
allows it to continue with the contractual
relationship within thirty (30) business days of the

(iii) the Supplier becomes insolvent or stops
paying its debts in general when they are due or
attempts to carry out a block sale of its goods or
assets, or if the dissolution or liquidation of the
Supplier is declared at the request of the Supplier
or a third party or any regulatory authority would
order the suspension of the Supplier's activities, its
intervention or the revocation of any authorization
necessary for the Supplier to carry out its main
activity and/or
(iv) i the event of any breach that could be
considered an essential breach of the Contract and
/ or any breach of the rules contained in these
General Terms of Purchase.
26. PARTIAL NULLITY. ABSENCE OF
PREFERENCE AGREEMENT.
26.1 If any clause is or is declared null and void,
this will not affect the validity and applicability of the
other clauses of these General Terms of Purchase.
The Parties hereby agree that any null and void
clause will be replaced with another valid clause,
with commercial and legal effects that are as close
as possible to the replaced clause.

26.2 Salvo pacto expreso en contrario, se deja
constancia que no existe un pacto de preferencia
a favor del Proveedor, razón por la cual las
disposiciones del artículo 1182 y concordantes del
Código Civil y Comercial de la Nación no resultan
de aplicación a la relación contractual derivada del
Pedido.
27. FUERZA MAYOR
Cualquier retraso en el cumplimiento,
cumplimiento defectuoso o incumplimiento de las
obligaciones establecidas en el Pedido o en los
documentos contractuales por cualquiera de las
Partes, no será tenido en cuenta en los supuestos
en que el Proveedor no sea capaz de fabricar,
vender, prestar o suministrar o el Cliente no sea
capaz de aceptar, comprar o usar los Productos o
Servicios establecidos en los Pedidos, como
consecuencia directa de un hecho que no hubiera
podido preverse o que previsto fuera inevitable
(caso de fuerza mayor) incluyendo entre otros
resoluciones gubernamentales, incendios,
inundaciones, tormentas, explosiones, desastres
naturales, guerra, sabotaje o actos de terrorismo
siempre que la parte afectada comunique por
escrito la existencia del supuesto de fuerza mayor
en cuanto le sea posible y siempre en el plazo de
24 horas desde la ocurrencia del supuesto de
fuerza mayor, comunicando asimismo en su caso,
la previsible duración del incumplimiento.
A pesar del momento y las peculiaridades de los eventos de fuerza mayor, el Proveedor estará obligado a elaborar y mantener en vigor durante la vigencia del contrato planes de contingencia generalizados, para el caso de un posible evento de fuerza mayor. Estos planes de contingencia generalizados deberán estar por escrito y disponibles para el Comprador cuando los solicite.
Si el evento afectara al Proveedor, el Cliente
podrá a su elección, reducir o modificar los
pedidos suscritos con el Proveedor afectado y su

27. FORCE MAJEURE
Any delay in compliance, defective compliance or
failure to fulfil the obligations under the Purchase
Order or any contractual agreement by either party
will be excused to the extent that Seller is unable
to produce, sell or deliver or Purchaser is unable to
accept, buy or use, the goods or services covered
by the Purchase Order, directly as a result of an
event or occurrence could not have been foreseen
or if it could have been foreseen was unavoidable,
including, government orders, fires, floods,
windstorms, explosions, natural disasters, war,
sabotage or acts of terrorism; provided that written
notice of such force majeure event (including the
anticipated duration of the delay) has been given
by the affected party to the other party as soon as
possible and always during the first 24 hours after
the force majeure event occurs).
Notwithstanding the timing and peculiarities of actual force majeure events, Seller shall be obligated to draft and have in place during the contract generalized contingency plans in the event of a possible force majeure event. These generalized contingency plans shall be in writing and made available to Buyer upon request.
During the force majeure event affecting Supplier's
performance, Purchaser may, at its option, reduce
or modify its delivery schedule with the affected
Supplier and its replacement by another Supplier
or require Supplier to provide Products or Services

sustitución por otro Proveedor o solicitar al
Proveedor el suministro de Productos o Servicios
a través de otros proveedores en cumplimiento del
Contrato inicial.
El Proveedor se compromete a utilizar todos los
medios a su alcance para asegurar que los
efectos adversos del evento de fuerza mayor sean
los mínimos posibles para el Cliente y a continuar
con el perfeccionamiento del Contrato en el plazo
más breve. A tal efecto el Cliente podrá requerir
por escrito al Proveedor el compromiso de
reanudar la relación contractual en un plazo de 30
días, si esto no fuera posible o si requerido el
Proveedor éste no contestara por el mismo medio
en un plazo de 5 días, el Cliente podrá rescindir
inmediatamente el Contrato sin ninguna
responsabilidad por su parte y sin que le
corresponda al Proveedor ninguna indemnización.
28. LEY APLICABLE Y JURISDICCION
Las presentes Condiciones se rigen por la Ley del
domicilio del Cliente. Las Partes acuerdan
someter cualquier conflicto derivado de la
interpretación y/o ejecución del presente Contrato
a los Tribunales y Juzgados Nacionales de la
Ciudad Autónoma de Buenos Aires, República
Argentina, renunciando expresamente a cualquier
otro fuero que les pudiera corresponder.
29. VERSIONES
Este documento ha sido redactado en dos
versiones una en español y otra en inglés. En
caso de conflicto prevalecerá le versión en
español.

Supplier commits itself to use all available means
to ensure that the harmful effects of any force
majeure event are kept to a minimum for the
Purchaser and, as promptly as possible, resume
full performance under this contract. To this effect,
the Purchaser may request the Supplier in writing
the commitment to resume the contractual
relationship within 30 days. Failing that or, if
required, the Supplier does not reply by the same
means of communication within five days, the
Purchaser may immediately terminate the
Purchase Order without liability to Purchaser and
with no compensation right for Supplier.
28. APPLICABLE LAW AND JURISDICTION
This agreement will be governed by the applicable
law in the Purchaser’s jurisdiction. The Parties
hereby agree to submit any conflict derived from
the interpretation and/or performance of this
contract to the National Courts and Tribunals that
are competent in Ciudad Autónoma de Buenos
Aires, expressly waiving any other forum to which
they may be entitled.
29. VERSIONS
This document has been written in two versions
one in Spanish language and another in English
language. In case of disagreement, the Spanish
version shall prevail.
