Resolution on Liaison Members for Trustee Committees Intention: On June 22, 1984, the Board of the Trustees approved a resolution to set out the parameters for the appointment of Faculty and Student liaisons for Trustee Committees. This resolution is to amend and clarify the terms and length of service, how liaisons are to be selected, and the committees on which they will serve. The Trustees view liaison service as an experience which should be made available to as many undergraduate and graduate students as possible. For this reason, the terms for undergraduate and graduate student liaisons will be limited to single one-year terms. Faculty liaisons will also serve one-year terms, and will be eligible for reelection up to a maximum of three terms. The terms for these one-year non-voting liaison appointments will begin on July 1 and end June 30. The standing committees on which liaisons will serve are identified below. Undergraduate and graduate student liaisons will be nominated by their constituencies. Faculty liaisons will be nominated by the Committee on Committees of the Faculty Senate. The president of the Undergraduate Assembly will serve as the liaison for the Trustee Student Life Committee, even if he or she has already served as a liaison previously. All liaisons will abide by the liaison guidelines set by the Office of the University Secretary. RESOLVED, that two faculty members and two students (one undergraduate and one graduate/professional student) be appointed, subject to the approval of the chair of the Board of Trustees, as non-voting liaison members to each of the following Trustee committees: the Academic Policy; Budget and Finance; Facilities and Campus Planning; Local, National, and Global Engagement, and Student Life; that the liaison members be appointed to one-year terms effective July 1 each year; that faculty liaisons be eligible for reelection, up to a maximum of three terms, to their initial or another committee; that student liaisons be eligible to serve on only one Trustee committee, whether a standing committee or an ad hoc committee, during their undergraduate or graduate careers and that they are ineligible for reelection.

Resolution to Authorize the Human Capital Management Transformation Project in the Amount of $57,400,000

Intention: The Division of Human Resources, Division of Finance, Information Systems and Computing, and Office of the Provost wish to proceed with the implementation of a Human Capital Management (HCM) system. The goal of the HCM Project is to improve the University’s HCM processes and replace its supporting systems. The HCM project represents the end-to-end processes related to managing people resources. The scope of the project includes processes that enable HCM; including core support functions such as recruiting, onboarding, personnel administration, benefits administration, compensation administration, payroll, time management, reporting and workforce analytics, labor distribution, information management and self-service. The HCM Project spans almost 4 fiscal years with a 45 month duration. This project will upgrade and replace existing and disparate systems with software as a service or Cloud solution. The software, systems implementer, and program management consultant were selected through an RFP process that included extensive consultation with the community and our peers. Our current payroll system is 30 years old, built on code that is 40 years old. It is becoming increasingly difficult to find technical skills and payroll delivery is experiencing business continuity challenges. Keeping up with regulatory compliance is expensive, with fines and/or penalties for the risk of non-compliance. RESOLVED, that the HCM Project, estimated to cost $57,400,000, be and the same hereby is approved and that the Executive Vice President or Vice President for Finance and Treasurer or the Vice President for Facilities and Real Estate Services be and are authorized to take such actions, execute such contracts and incur such expenses and obligations – not, however, in excess of 110% of the estimated costs as presented to the Budget and Finance Committee – as may, in his or her judgment, be necessary or desirable to accomplish the purposes of this resolution. Any actions heretofore taken by any such officers in furtherance of the purpose of this resolution are hereby ratified and confirmed.

Resolution to Authorize Purchase of Cryo-Electron Microscope in the Amount of $6,250,000

Intention: The Perelman School of Medicine wishes to proceed with the purchase of a cryo-electron microscope to be maintained by the Biochemistry Biophysics department. The microscope will be located in the Krishna P. Singh Center for Nanotechnology. The equipment is being purchased as part of the establishment of the Beckman Center for Cryo-Electron Microscopy, which will support the research of at least 10 laboratories at the Perelman School of Medicine, as well as the research at several regional academic institutions and industrial entities. The equipment is estimated to cost $6,250,000 and will be funded by a grant and school special purpose funds.
