1.0 INTRODUCTION The Deer Lake Property of Spruce Ridge Resources is located in the southwestern portion of the Deer Lake Basin of western Newfoundland (Figure 1), an area currently undergoing robust levels of uranium exploration by several junior exploration companies including Altius Minerals, J&R Resources, and Metals Creek Resources. In 2006, Spruce Ridge reported high grade uranium (+ copper and silver) values ranging up to 3.73% U3O8, 1.05% Cu and 65.9 g/t Ag in grab samples from a zone measuring 800 meters in length along the banks of North Brook, near the town of Deer Lake. Since the summer of 2006, Spruce Ridge Resources has conducted airborne radiometric and magnetic surveying, prospecting, assaying, trenching, and diamond drilling, the bulk of which was reported and documented in the first year report and submitted by this author in 2007. This report documents previously unreported exploration activities completed by Spruce Ridge Resources in 2007, as well as recently completed work in 2008, and will focus on prospecting, rock sampling, trenching, diamond drilling, core sampling and airborne radiometric and magnetic surveys. The report also discusses field activities conducted by Spruce Ridge management in 2008 including property visits and due diligence sampling in efforts to attract a joint venture partner. As a result of the due diligence property visits, final terms for a multi-year exploration agreement with a third party are about to be signed and released to the public. The author did spend several days on the property with Spruce Ridge management examining several areas including the Incinerator Road mineralization both in the field in drill holes; the Amberlane zinc occurrence; and the North Brook mineralization and several North Brook drill holes. A brief examination of the North Brook area has raised the strong possibility that the program completed in 2007 did not test the high grade horizon because holes were collared either below the mineralization, or that holes were shut down too early. Detailed investigation of the North Brook area including a sophisticated GPS survey to accurately locate the surface mineralization and exact collar locations and elevations should be carried out.

2.0 LOCATION AND ACCESS The Deer Lake property is located immediately adjacent to as well as west and north of the community of Deer Lake in western Newfoundland and include portions of NTS map sheets 12H/03, 04, 05, 06 (Figure 2). The town of Deer Lake offers excellent infrastructure including an international airport and immediate access to the Trans Canada Highway and numerous secondary gravel access roads. Abundant power is available through the provincial grid with high voltage transmission lines located within a few kilometers of the property. The port city of Corner Brook lies 50 kilometers west of the claims. 3.0 CLAIM STATUS The licences covered by this report are currently in good standing and are 100% owned by Spruce Ridge Resources and James Rideout (Licences 12924M and 12925M), a Cormack based prospector. The claims are further detailed in Table 1 below. S. Hyde - various reports) The Carboniferous sedimentary sequences in western Newfoundland (Figure 3) were formed along extentional jogs along wrench faults which created a 4000 sq km intermontane rift in western Newfoundland. The oldest basin fill rocks are of the Anguille Group which sits in angular unconformity with the overlying Deer Lake Group and the underlying Pre-cambrian basement. In most places the Anguille Group lies unconformably upon Precambrian basement rocks whereas the younger overlying Deer Lake Group lies unconformably on the Anguille Group but can also lie unconformably upon Pre-cambrian basement. Rocks of the Deer Lake Group occur in two major northeast-southwest trending synclinal folds probably the result of dip slip movements on major northeast faults. 5.0 PROPERTY GEOLOGY AND MINERALIZATION The property lies largely within the Carboniferous Deer Lake Basin (Figure 4) and in part straddles the boundary with igneous rocks of the Long Range Inlier of Precambrian crystalline rocks. Licence 12924M is underlain largely by thick sequences of carbonate rock of the Cambro-Ordovician Port au Port Group while the northern portion of Licence 12925M is in part underlain by rocks of the Mid Proterozoic Long Range Gneiss Complex. Licences 12374M and 12565M are dominated by Carboniferous rocks of the Deer Lake Group, specifically the (from oldest to youngest), the North Brook Formation and the Rocky Brook Formations. Licence

12705M is underlain by a complex assemblage of mid Ordovician carbonates of the Table Head and St. George Groups. The Deer Lake Group generally sits unconformably on the Anguille Group, but can also sit unconformably on the older basement rocks without intervening Anguille Group rocks. The vast majority of uranium occurrences are associated with the Deer Lake Group rocks (ie. The Rocky Brook Formation) although the author suggests the mineralization at the Incinerator Road occurrences lies within limestone and limestone breccias of the middle Ordovician Table Head Group. Mineralization identified by Spruce Ridge Resources as well as previous workers, occurs mainly within the Rocky Brook Formation, the middle sequence of the Deer Lake Group, which consists of red siltstone and mudstone, gray siltstone and mudstone, gray calcilutite and calcarenite, and dark brown oil shale (Hyde, 1979). The lower part of the Rocky Brook Formation is known to host all of the mineralized occurrences on Licence 12374M, generally where gray mudstone overlies limestone, with the highest values associated with organic rich nodules or other organic matter in a gray, calcareous mudstone. Often associated with the highest uranium values are zones of enriched copper mineralization which often exhibits malachite staining along fracture surfaces. Geochemical results indicate that significant silver (up to 65.9 g/t – Spruce Ridge Resources press release) can also be associated with the strongest uranium and copper mineralization. The apparent association of uranium with organics may partially explain the lack of drilling success as the organics nodules and other organic matter does not form a uniformly consistent horizon. A new zinc occurrence, dubbed “Amberlane”, was discovered in the central portion of Licence 12924M suggesting potential for a Mississippi Valley type zinc deposit. Rock descriptions and assay certificates are attached in Appendices 3 and 4 respectively. 6.0 PREVIOUS WORK Exploration for uranium in the Deer Lake basin dates back to the 1970’s and early 1980’s with most of the work carried out by a joint venture between Westfeld Minerals, Northgate Exploration and Shell Canada. In the North Brook area, work consisted of geochemical, geological and geophysical surveying followed by a short (6 hole) drill program. The best result was 230 ppm U over 0.50 meters from DDH 81-156. Prospecting in North Brook located at least five uranium occurrences with the highest values from a showing named North Brook 3, which returned 4600 ppm U with 1.38% copper. Elsewhere in the basin, Westfield discovered high grade sandstone float along a tributary of the Upper Humber River, specifically Wigwam Brook. Assays in excess of 10% U3O8 with silver values in excess of 1200 g/t Ag were located in numerous sandstone float of the Humber Falls Formation. To this date, the source of this high grade mineralization has not been located. In 2006, Spruce Ridge Resources completed a major airborne radiometric and magnetic survey over a significant land package assembled earlier in the year. Follow up prospecting located several new showings including the Determination Zone in the northern reaches of the property near White Bay, and the Incinerator Road Zone northwest of Deer Lake in the southern portion of the property. Significant uranium, copper and silver mineralization was also located near the historical showings in North Brook, immediately west of Deer Lake (see table 2).

The 2007 drilling program in the North Brook and Incinerator Road areas consisted of 15 vertical holes (NB07-01 to NB07-15) of BQTK size core in the North Brook area as well as 14 holes of BQTK size in the Incinerator Road area (IR-07-1 to 14). All holes except IR-07-4 to 14 were reported in the 2007 assessment report, therefore, only work related to holes IR-07-4 to 14 are claimed for assessment in this report. The drilling was contracted to Petro Drilling (now Cabo Drilling) and the program which started May 27, 2007, was eventually completed on September 24, 2007. 7.0 EXPLORATION WORK This report covers exploration activities carried out in part in 2007 as well as in 2008 and will focus on prospecting, rock sampling, trenching, diamond drilling, core sampling and airborne radiometric and magnetic surveys. The report also discusses field activities conducted by Spruce Ridge management in 2008 including property visits and due diligence sampling in efforts to attract a joint venture partner. As a result of the due diligence property visits, final terms for a multi-year exploration agreement with a third party are about to be signed and released to the public within 2 to 3 weeks. Trenching was carried out in two areas of the Deer Lake property in 2007, within Licences 12705M and 12565M, where at least 5 trenches were dug. Only two trenches were visited by the author, while the locations of the others are uncertain and cannot be plotted at this time. The trenches that were examined, named Trench 1 and 2 for the purposes of this report, are in the Incinerator Road area. (See plates 1 and 2). The trenching was carried out by equipment and personnel under contract from ASK Prospecting of Benton/Gander, Newfoundland. To date, the trenches have not been mapped, but previous reported rock sampling has taken place as well as recent due diligence sampling by Spruce Ridge management.

7.1 Airborne Surveys In June and July of 2007, a 9415 line kilometer airborne radiometric and radiometric survey was flown over the Deer Lake and Turners Ridge blocks of the Spruce Ridge property near Deer

Lake, western Newfoundland, by NovaTem Incorporated of Mont Saint-Hillaire, Quebec. The survey was flown in two blocks, the Deer Lake and Turners Ridge blocks, of which a portion of the Deer Lake surveying covered wholly or in part, Licences 12924M and 12925M. Colour plots of the radiometrics (uranium only) and magnetic are shown as Figures 5 and 6 respectively and the NovaTem report is attached as Appendix 3.

7.2 Prospecting and Rock Sampling Prospecting efforts were largely focused on Licences 12924M and 12935M, where a new zinc showing, dubbed Amberlane (Figure 7), was discovered in 2008. The showing consisted of disseminated and stringer sphalerite and pyrite hosted by fractured, massive limestones and dolomites of the Cambro-Ordovician Port au Port Group. Assay values ranging up to 8% Zn were reported from the occurrence. In addition, highly anomalous platinum values of up to 372 ppb Pt and 325 ppm U were returned from a poorly exposed occurrence (outcrop?) of massive pyrite that appeared to be hosted by the carbonates. Prospecting also took place on Licence 12925M, but no samples were collected. Rock sampling was also carried at the major uranium occurrences at North Brook and Incinerator Road in Licences 12705M and 12374M, and other areas (Figure 7a) as part of a due diligence property visit conducted by Spruce Ridge management with potential joint venture partners. Rock descriptions and assays are attached as Appendices 4 and 5 respectively.

7.3 Trenching

Contract trenching was carried out in several areas of the Deer Lake as well as the Turner’s Ridge properties in 2007 but which was not reported in the 2007 assessment reports because the trenches were not mapped and the location details were not available. The trenching was carried out by equipment and personnel from ASK Prospecting of Benton/Gander, Newfoundland. The author, in the fall of 2008, visited and photographed (See Plates 1 and 2) two trenches in the Incinerator Road area, specifically within Licences 12705M and 12565M (Figure 8). Trench 1 exposed carbonate breccias of the Table Head Group returning anomalous radioactivity up to 4200 counts per second (cps) using a hand held scintillometer model type RS-120 Super Scint (manufactured by Radiation Solutions Inc.). Trench 1 is located in the vicinity of drill holes IR-07-6, 9 and 10 (Figure 8), which returned anomalous mineralized intervals hosted largely within spectacular carbonate breccias. Details of the drilling are discussed in 7.4. Trench 2, located approximately 1 kilometer south of Trench 1, exposed only weakly mineralized limestone/dolomite, which did not resemble the Trench 1 breccias. Due diligence sample H5948 (pers. comm. result of 27.9 ppm U) was collected from Trench 2 (Figure 7a). To date, the trenches have not been mapped, but previously reported rock sampling (2007) in the immediate vicinity of Trench 1 has returned values up to 807 ppm U - sample 171581) from “conglomerate”, breccias(?). Additionally, due diligence sampling carried out by Spruce Ridge personnel in 2008 (H5949 and H5950) also returned anomalous values (pers.comm) results of 342 and 115 ppm U respectively - official assay certificates were not available at time of writing.

7.4 Diamond Drilling In 2007, Spruce Ridge Resources carried out diamond drilling in two areas of the Deer Lake property, specifically the North Brook (15 holes) and Incinerator Road areas (14 holes). The full program at North Brook, as well as three holes of the Incinerator Road program (DDH’s IR-07-1 to 3), were reported in the 2007 first year assessment report. At the time the first year report was submitted, full details of the remaining 11 holes at Incinerator Road were not available, as a result, details including summary logs, and assays are now being submitted for assessment (Figure 8). A total of 344.55 meters were completed in 11 vertical drill holes numbered IR-07-4 to 14 at Incinerator Road (see Table 3) which are hereby reported for assessment credit including locations, logs (Appendix 6) and assay information (Appendix 7). The drilling completed at Incinerator Road was successful in intersecting highly anomalous values of uranium in three holes, specifically IR-07-6, 9 and 10 and summarized in the following table (drill logs are attached as Appendix 4 and assays as Appendix 5). A visit was made to the North Brook area in Licence 12374M where high grade surface mineralization (3.73% U3O8) was drill tested in 2007, and where the holes failed to intersect any significant mineralization. A significant topographic difference between the east and west sides of the brook was immediately apparent and suggests the possibility of an unobserved structure lying in bed of North Brook which may have caused some stratigraphic disruptions. However, bedding observations made by the author suggest that holes drilled on the west side of the brook may have collared in stratigraphy lying below the mineralized horizon in North Brook, consequently, holes drilled on the east side of North Brook may have stopped short of the target horizon due to the topographic increase. In order ascertain this possibility, all holes need to be

Diamond drill holes IR-07-6, 9 and 10, intersected uranium mineralization at shallow depths within what was generally described as brecciated limestone or conglomerate. The author examined the holes and observed the mineralization as occurring largely within a very distinctive limestone breccia unit. Significantly, the drilling is located near the edge of a prominent northeast-southwest trending radiometric anomaly (Figure 5), that could suggest the mineralization may have significant strike potential. 8.0 CONCLUSIONS and RECOMMENDATIONS The Deer Lake property is host to significant uranium mineralization as evidenced by the results of work carried out from late 2006 to the present. Additional work is warranted, but first, a full time geologist should be assigned to the project to ensure all data is properly recorded and utilized. Recommendations from the 2007 report went largely unanswered except for recent new core sampling, and additional sampling in other holes may be warranted. All trenches need to be located, mapped and sampled. Additional trenching and drilling southwest of Trench 1 is warranted to test for extensions to the Incinerator Road mineralization, radiometrics strongly suggests that mineralization does continue to the southwest. Examination of the North Brook zone also raised questions as to whether the target horizon was property tested, if at all, by the 2007 drilling. A differential GPS survey is recommended for the drill holes at North Brook as well as detailed stratigraphic mapping of the immediate area to determine whether the holes actually tested the horizon. Work done to date has been successful enough to attract the interest of a joint venture partner to the project. Terms will be announced shortly by Spruce Ridge management.
