11 IV 5.0GUARANTEE/ WARRANTY/DEFECT LIABILITY

PERIOD (Clause 5, Special Conditions of Contract)

Clause 5.2 to be modified as follows: Defect liability period

shall be 12 months from the date of handing over the

system to IGL i.e. installation and commissioning of RTU

panel unit post SAT (Site Acceptance Test) or 18 months

from the date of supply, whichever is earlier. NOTE TO

BUSINESS- these provisions should be thoroughly validated

and re-confirmed.

Clause 5.3 to be deleted as the same is not agreeable.

Last line of Clause 5.5 to be replaced with the following- In

the event of any correction of defects or replacement of

defective material during the warranty period, the warranty

for the corrected / replaced Goods or item or material shall

be extended to cover the unexpired portion of the original

warranty/guarantee’.

Propose the addition of the following clause: The foregoing

warranties do not apply to non-conformities caused by

Owner’s own change in design, modification or repair to the

materials other than as agreed in writing by the Contractor

or if the materials have been misused by the Owner or any

third party or otherwise operated contrary to operating

instructions agreed in writing with the Contractor.

To the extent permitted by applicable law, the Supplier

disclaims all implied warranties of merchantability,

satisfaction and fitness for a particular purpose. The

warranties set forth in this section constitute the Supplier’s

sole liability and the Purchaser’s exclusive remedy for any

breach of such warranties. THESE WARRANTIES ARE

Please consider TAS India Pvt. Ltd. Make GPRS MODEMs

as we have already installed the same make of MODEM in

our RTU panel installed at IGL CNG Stations. To meet the

Tender Requirement we have considered ATEX certified

Explosion Proof Panel as per the Tender Section-V Clause

no. 22.7: “General Technical Requirements” and also

Considered ATEX Approved Power Supply with Barriers for

making the system Intrinsically Safe.

Before the bidding, the compatibility testing has to

be done and certificate has to be provided along

with offer, without the compatibility certificate

Vendor’s offer shall not be considered for further

evaluation as per terms and condition of contract.

This condition is preposterous & limiting so as to only

favour certain company . If IGL wanted to limit the

tender then you should have released limited tender.

You cannot limit an open tender in the garb of

compatibility report that too also from another private

vendor who may have their own commercial interest

which will reduce this tender into nothing but a scam.

Why would these private companies allow others to

display their device data on their software . They will

allow only their cronies to succeed.

When the open protocol is already listed then there is

no question of compatibility test. You should ask the

vendors to accept responsibility for the protocol

support & if it is open protocol then definitely it will

work on SCADA too .This kind of condition is unheard

of .

Moreover, compatibility test is not possible before

bidding considering the current pandemic situation.

For RTU security we propose:

*The RTU shall have ISA Level2 security to avoid any

unwanted tampering of data and firmware.

*The RTU shall have secure boot feature to avoid any

tempering or unauthorized access of RTU Firmware.

*The RTU shall have IPsec and TLS security for

communication with SCADA system.

Secure communications is required when two entities

are communicating and do not want a third party to

listen in (i.e. avoid man in the middle attacks). For that

they need to communicate in a way not susceptible to

eavesdropping or interception.

We propose that the DLP shall be 12 months from the

date of handing over the system to IGL or 15 months

from the date of last supply, whichever is earlier.

We also propose

Bidder will, at its option, repair or replace defective

products, if returned to Bidder within the warranty

period, and re-perform defective services if notified to

Bidder during the warranty period. Products repaired

or replaced and services re-performed are warranted

for the remainder of the original warranty period or 90

days (for products) whichever is longer. Bidder is not,

and will not be, liable for defects attributable to: (a)

non- compliance with Bidder’s instructions, (b)

unauthorized alterations or repairs, (c) accident,

contamination, abuse, or negligence, or (d) damage

caused by failure of any item or service not supplied

by Bidder. WARRANTIES IN THIS SECTION ARE

EXCLUSIVE AND IN LIEU OF ALL OTHER

WARRANTIES, WHETHER WRITTEN, EXPRESS,

IMPLIED, STATUTORY OR OTHERWISE,

INCLUDING WITHOUT LIMITATION, IMPLIED

WARRANTIES OF MERCHANTABILITY, NON-

INFRINGEMENT, AND FITNESS FOR PARTICULAR

PURPOSE. THE REMEDIES IN THIS SECTION ARE

BUYER’S ONLY REMEDIES FOR BREACH OF

WARRANTY.

76 IV 11 TERMS OF PAYMENT

Kindly consider the below payment terms for supply:

1. 10% advance with PO against submission of ABG

of equivalent amount valid for 1 year.

2. 15% of the quoted rates shall be paid after data

sheet approval along with submission of the following

document

• Approved Data Sheet & QAP

• Equivalent amount Bank Guarantee valid for 1 year

3. 65% of the quoted rates shall be paid on receipt of

the material at site along with submission of the

following documents:

• Copies of invoices

• Vendor’s warranty Certificate

• Inspection Certificate

4. 10% of quoted rates shall be paid on completion of

installation & successful commissioning (Site

Acceptance Test completion). In case the SAT is not

completed within 3 months from last supply date or

Contractual Delivery Date (whichever is later) due to

reasons not attributable to the vendor including non-

availability of frontage for erection job, if any, then this

amount will be payable against submission of

Clause

CYBER SECURITY: Cyber security services will be

provided in professional and workmanlike manner.

Bidder makes no guaranty that the cyber security

products (“CS Products”), inclusive of equipment,

software and services will prevent or mitigate the

impact of any cyber-attack. Bidder’s sole liability, for

failure of the CS Products is replacement of the

defective product and/or re-performance of the

defective service, provided Buyer notifies Bidder of

the defects during the warranty period. Third Party CS

Product, if any, are provided to customer subject to

such Third Parties’ standard terms and conditions

(including software license terms) and Bidder has no

liability with respect to the performance or non-

performance of the same

In case Installation, Testing, Commissioning &

SAT could not be executed within 120 days from

the date of receipt of material at IGL's store, due to

reasons solely attributable to Owner (IGL), the

payment due on completion of installation, testing,

Commissioning & SAT shall be released against

submission of irrevocable BG valid till the warranty

/ defect liability period. BG will be released within

90 days from the date of completion of warranty /

defect liability period or completion of installation,

testing, commissioning & SAT whichever is

earlier."

We request the following modification to the clause:

In case Installation, Testing, Commissioning & SAT

attributable to Bidder, the payment due on

Defect liability period shall be 12 months from the

date of handing over the system to IGL i.e.

installation and commissioning of RTU panel unit

post SAT (Site Acceptance Test).

Request for the following amendment to be

considered:

Warranty of the complete system shall be 12 months

from the date of handing over site to the Owner after

successful erection testing & commissioning, site

acceptance test or 18 months from the date of last

supply, whichever is earlier.

PENALTY DURING DEFECT LIABILTY & CAM

PERIOD

Apart from the price reduction schedule mentioned

in the document for delay in completion of work

within the stipulated time period, following

penalties shall also be applicable for shortcomings

/deficiencies in the technical requirement. It is

required that fault shall be attended to / rectified

within a time span of 24 hours from the time of

reporting failing which a penalty shall be imposed

as follows:

Up to 24 hours from the time of intimation from IGL

: Nil

Delay beyond 24 hours to 36 hours: Rs. 10,000/-

per instance.

Delay beyond 36 hours: Rs. 20,000/- per instance.

In any case, penalty on account of shortcomings/

deficiencies in any month, as defined above, shall

not exceed 10% of total monthly AMC value.

However, a penalty deduction of 10% per month

for constantly 3 months or 6 months in a year will

be treated as poor performance and will be

sufficient ground to take suitable action against the

contractor including termination of contract and

forfeiting of CPBG.

We request for deletion of this clauses. TCP

83 - General

We understand that RTUs will be communicating with

existing centralized SCADA system of Hitachi India

Limited and TAS India Limited at ICC Kakanagar. For

the same, please note that any hardware / software /

services at SCADA end shall not be in Bidder's scope.

All the RTUs will be communicating with this SCADA

over DNP3 protocol.

Please confirm acceptance.

Vendor shall lay the signals cable from junction

Please note the for cyber securtiy, we have following

key features included in offered system:

- Role based access: we have role based user login

which resrtict / allow specific access.

- Anti-virus: taken as a default for all wrokstations

- Hardware hardening: Disabling of communication

ports not in use such as USB.

- Firewall for any external interface: For any interface

to 3rd party system, we mandatorily pass through

firwall and prefer VPN connectivity.

These are in line with various guidelines under IEC

62443/ISO 27001. Please confirm acceptance.
