CHAPTER 1 General Provisions
§11. PartIoftheRegulationsonOpening,HoldingandClosinganIntegratedBankAccountatmBankS.A.specifiestheprinciplesforopening,maintainingand
closingbymBankS.A.oftheintegratedcurrentandauxiliarybankaccountdenominatedinthezlotyandforeigncurrenciesforresidentsandnon-residentswhoareentrepreneurs,legalpersonsororganisationalunitswithoutlegalpersonalitybutwithlegalcapacity.
2. Theprinciplesofprovidingtheentitiesreferredtoinitem1withaccesstotheInternetelectronicbankingsystemanditsoptionalmodulesandtransactionplatforms,andtheprinciplesofaccesstofundsdepositedontheindicatedbankaccounts,understoodastheoptiontoobtaininformationconnectedwiththeaccounts(passiveaccess),disposeofthefundsdepositedontheaccountsandsetupotherinstructions(activeaccess)bymeansofwiredorwirelesscommunicationdevicesusedbytheCustomeraresetforthinthe“RegulationsonOpening,HoldingandClosinganIntegratedBankAccountatmBankS.A.–PartII–mBankS.A.InternetCustomerServiceSystemmBankCompanyNet”.
§2ThetermsusedinPartIoftheRegulationsonOpening,HoldingandClosinganIntegratedBankAccountatmBankS.A.shallbeunderstoodasfollows:1/ Bank–mBankS.A.,2/ payment instruction–theCustomer’sstatementcontainingtheordertodeposit,transferorwithdrawanyfunds,3/ business day–adayonwhichtheBankisopenforcustomers,i.e.eachandeverydayMondaytoFriday,exceptstatutoryholidaysordayspreviously
announcedasholidaysbytheBank,4/ IBAN ID–theInternationalBankAccountNumberusedforcross-bordersettlementsspecifiedintheOrderofthePresidentoftheNBPno.15/2010of15July
2010onthemethodfornumberingbankaccountsheldbybanks(OfficialJournaloftheNBP,no.9item9asamended),5/ NRB ID–theBankAccountNumberusedfordomesticsettlements,asspecifiedintheOrderofthePresidentoftheNBPno.15/2010of15July2010onthe
methodofnumberingbankaccountsheldbybanks(OfficialJournaloftheNBPno.9item9asamended),6/ payment cards–paymentcardsissuedbytheBank,7/ controller–thenaturalpersonspecifiedintheBankAccountAgreement,actingforandonbehalfoftheCustomer,authorisedtodefineandmodifythe
Customer’srightsintheInternetelectronicbankingsystem,inparticularauthorisedtodefineandchangetherightsofthesystemusers,8/ branch–anorganisationalunitoftheBankwhichholdsthebankaccountsreferredtoin§6,9/ optional module or transaction platform–additional,functionallyseparatedmoduleoftheInternetelectronicbankingsystemwhichisabankingproduct
orafunctionoftheInternetelectronicbankingsystemconnectedwithabankingproduct,broadeningtherangeofactivitieswhichcanbeperformedintheInternetelectronicbankingsystemwithintheframeworkofpassiveaccessoractiveaccess,inparticular:Cashmodule,Cardsmodule,TradeFinancemodule,FXplatform,

AgreementwiththeBank,12/ Regulations–“RegulationsonOpening,HoldingandClosinganIntegratedBankAccountatmBankS.A.–PartI–CurrentandAuxiliaryBankAccount;Cash

PartIIconsistsofthemBankCompanyNetRegulations,15/ debit balance–negativefundsintheaccount,16/ Bank Account Agreement / Agreement–anIntegratedBankAccountAgreementsignedbytheBankandtheCustomerunderthecurrentIBAARegulations,17/ user–anaturalpersonauthorisedtousetheInternetelectronicbankingsystemforandonbehalfoftheCustomer,indicatedintheAgreementorappointedby
theControllerwhoisdefinedinthemBankCompanyNetRegulations.
§31. BankaccountsareopenedandheldbyBankbranchesonthebasisofaBankAccountAgreement.2. TheBankAccountAgreementissignedbytheBankandCustomerswhosatisfytheconditionsrequiredforopeninganaccountontheprinciplesandinthe
mannerspecifiedintheIBAARegulations.
§41. TheIBAARegulationsconstituteanintegralpartoftheBankAccountAgreementandarebindingonbothitspartiesthroughoutthevalidityoftheAgreement.2. TheBankreservestherighttoamendtheIBAARegulations,althoughtheapplicationoftheamendedIBAARegulationstoAgreementssignedbeforethe
amendmentrequirestheCustomer’sconsentexpressedinthemannerandonprinciplesspecifiedinfurthersectionsoftheIBAARegulations.Therelevantprovisionsofthelaw,inparticularprovisionsoftheCivilCode,BankingLaw,ForeignExchangeLawandthePaymentServicesActapplytomattersnotgovernedbytheseRegulations,provided,however,thatthefollowingprovisionsshallnotapplytoanypaymentservicesprovidedunderanAgreement:ChapterIIofthePaymentServicesActandArticles34-37,sections3and4ofArticle40,Article45,sections2to5ofArticle46,Article47,Article48,Article51,andArticles144to146ofthePaymentServicesActor,ifallowed,anyotherlegalprovisionsthatwillamendormodifytheaboveprovisions.
§5ACustomerwhosubmitspaymentinstructionsmustobservetheprovisionsoftheforeignexchangelaw.
CHAPTER 2 Current and Auxiliary Bank Accounts
§6
1. UnderanAgreement,Customersmayopencurrentandauxiliaryaccounts.2. CurrentaccountsareusedtoaccumulatetheCustomer’sfundsandconductdomesticandinternationalmonetarysettlementsconnectedwiththebusiness
activitiesconducted.3. AuxiliaryaccountsareusedforconductingmonetarysettlementsthatareseparatedbytheCustomer.4. Fundsinthecurrentandauxiliaryaccountsarepayableoneverydemand.

CHAPTER 3 Interest on Funds in Bank Accounts
§71. FundsdepositedinthebankaccountsbearinterestaccordingtoacurrentvariableinterestrateappliedattheBank.2. TheBankmaychangethecapitalisationperiodsandthelevelofinterestduringthevalidityoftheBankAccountAgreementwithouttheneedtoterminatethe
Agreementifatleastoneofthefollowingcircumstancestakeplace:1/ interestratesarechangedbytheMonetaryPolicyCouncil,2/ interestratesarechangedbycentralbanksofthestatesinwhosecurrenciestheBankholdsaccounts,3/ changeininterestratesontheinterbankmoneymarket(WIBID,WIBOR,LIBOR,EURIBOR),4/ changeintherequiredreserveratio,5/ theprinciplesoftheNBPpolicychangeinamannerthatdirectlyaffectstheliquiditypositionofthebankingsector.
3. TheCustomershallbeinformedofcurrentinterestratesandchangesincapitalisationperiodsorinterestratesandthereasonsforthesechangesintheBank’soperatingroomsintheformofannouncementsorthroughthemBankGroupwebsite,undertheaddress:www.mbank.pl/aktualnosci/msp-korporacje.
§81. Interestonthedepositsispayableintheaccountcurrencyonthefollowingdates:
1/ ondepositaccountspayableondemand–monthly,2/ regardlessofthetypeofaccount(depositaccountspayableondemandaswellasotherbankaccounts,includingtermdepositsaccountspayableona
specificdate)–onthedayonwhichtheaccountisclosed.2. Interestshallappropriatelyaccruefromthedaywhenadepositismadetotheaccountuntilthedayprecedingwithdrawalorclosureoftheaccount.3. InterestdueonaccountspayableondemandisaddedtotheaccountbalanceunlesstheCustomerdecidesotherwise.
§9DetailedinformationonthelevelofinterestonthefundsintheaccountandtheprinciplesandprocedureforcalculatingandpayinginterestisprovidedbytheBank’sauthorisedemployeesrelyingontheappropriateordersofthePresidentoftheBank’sManagementBoard.
CHAPTER 4 Principles and Procedure for Entering into a Bank Account Agreement
§101. IntheBankAccountAgreement,theBankcommitsto:
1/ holdingthefundsentrustedbytheCustomerforthetermoftheAgreementandtoconductmonetarysettlementsontheCustomer’sinstructions,2/ providingtheCustomerwithaccesstothecashaccumulatedontheCustomer’sspecifiedbankaccountsthroughfixedlineorwirelesscommunications
devicesusedbytheCustomer,aswellastoprovidetheCustomerwithaccesstobankinginformationandtofulfiltheCustomer’sinstructions.2. ThroughtheBankAccountAgreement,theCustomerauthorisestheBanktodebithisbankaccountwiththeamountsfromthefulfilledpaymentinstructions,
aswellasthefeesandcommissionsduetotheBankfortheactivitiesperformedandservicesprovidedinconnectionwiththeservicingoftheaccount.3. ThisAgreementisenteredintoforanindefiniteordefiniteperiod.4. AllamendmentstothisAgreement,exceptfor:
1/ changesoftheIBAARegulationsandotherregulationsreferredtointheIBAARegulationsortheAgreement,and2/ changesofthetypeoramountoffeesandcommissionsspecifiedinthe“TariffofbankingfeesandcommissionsofmBankforSMEandCorporates”,Section
1,BankAccounts,mustbemadeinwritingunderthesanctionofinvalidity.
§111. TheBankAccountAgreementshallbesignedontheCustomer’srequestwhentheBankAccountAgreementissignedbypersonsauthorisedtomake
representationsontheproprietaryrightsanddutiesoftheparties.2. InordertoenterintotheAgreement,theCustomersubmitstotheBankthe“ApplicationtoOpen/ChangeanIntegratedBankAccount”,hereinafterreferredto
asthe“Application”.TheApplicationissubmittedinonecopy.3. TheCustomersubmitsalsoonecopyofthe“SpecimenSignatureCard”togetherwiththeApplication.4. TheAgreementissignedwithin7businessdaysfortheBankfollowingthedateofsubmittingtherequireddocuments,specifiedintheIBAARegulations.5. OnecopyofthesignedAgreementremainswiththeBank,whiletheCustomerreceivestheother(togetherwithacopyoftheIBAARegulations).6. TogetherwithacopyoftheAgreement,theBankprovidestheCustomerwiththefollowing,whicharesignedbytheBank:
1/ acopyoftheApplication,2/ acopyofthe“SpecimenSignatureCard”.
7. TheCustomercommitstothenon-disclosureofthedocumentsreferredtoinparagraph6tounauthorisedpersons.8. TheBankhastherighttorefusetoenterintotheBankAccountAgreementwithoutprovidingareason.
§121. WhensubmittingtheApplication,theCustomerpresentsthefollowingdocumentstotheBank:
1/ thecompany’sarticlesofassociationorby-laws–accordingtothelegalstatusandthenatureoftheapplicant’sactivities,2/ adocumentconfirmingthecommencementofbusinessactivitiesiftheCustomerisnotsubjecttotheobligationofbeingreportedtotheNationalCourt
RegisterortheCentralRegistrationandInformationonBusiness(CEIDG),3/ decisiononassigningthetaxidentificationnumberNIPunlesstheNIPhadbeenenteredintheNationalCourtRegister,andanyotherdocumentsrequiredbytheBank.
2. Incaseofbusinessactivityrequiringaconcession,permit,licenceorconsentofacompetentauthoritytoperformbusinessactivityoranentryinregulatedbusinessregister,theCustomershallmakethestatementonperformanceofsuchactivitiesintheApplication.Incasedescribedintheprecedentsentence,theconcession,permit,licenceorconsentofacompetentauthoritytoperformbusinessactivityorthecertificateofentryinregulatedbusinessregister,aswellasanyotherdocuments,ifsuchdutyarisesfromseparateregulations,mustbeattachedtotheApplication.
3. TheApplicantshouldattachdocumentsspecifyingthepersonsauthorisedtomakerepresentationsonproprietaryrightsanddutiesonhisbehalf.4. Non-residentsshouldsubmit:
1/ extractfromtheregisterofenterprisesfromtheirhomecountrytranslatedintothePolishlanguagebyasworntranslatorand,subjecttotheprovisionsof§16paragraph3,certifiedbyadiplomaticpostoftheRepublicofPolandrelevantforagivencountry,containingthefollowingclause“Certifiedtoconformtothelawsofthecountryofissue”,

2/ certificateofresidencestatingtheCustomer’staxresidence,issuedbyacompetenttaxauthorityofthecountryinwhichtheCustomer’sregisteredofficeislocated,inthecasewhentheCustomerhassuchacertificate,
3/ andanyotherdocumentsrequiredbytheBank.
§131. TheApplicationreferredtoin§11andthe“SpecimenSignatureCard”shouldbesignedbythepersonsauthorisedtomakerepresentationsontheApplicant’s
proprietaryrightsanddutiesinthepresenceofaBankemployee.2. TheBankconfirmstheidentitiesofthepersonssigningtheApplicationwiththeidentitydocumentspresentedbythesepersons.3. NosignatureisrequiredinthepresenceofaBankemployeebypersonswhosesignaturesandfeaturesoftheiridentitydocuments,aswellasauthorisationsfor
signaturehavealreadybeencheckedbytheBankortheauthenticityandvalidityofthesignatureshasbeenconfirmedbyauthorisedpersonsinanotherBankthatholdstheCustomer’scurrentaccount.
4. TheCustomershallbeliablefortheauthenticityandvalidityofthesignaturesoftheattorneys.
§141. Inordertoopenthebankaccount,theCustomerisobligedtopresentfurtherdocumentsinadditiontothoselistedin§12.2. DetailedinformationonthedocumentsrequiredforopeningtheaccountshallbeprovidedbytheBank’sauthorisedemployees.
§151. IftheBankAccountAgreementissignedwithalimitedliabilitycompanyintheprocessofformationorwithajoint-stockcompanyintheprocessofformation,
theAgreementshallbesignedforadefiniteperiodwithanoptiontoextenditsvalidityforafurtherdefiniteperiod(ortoconvertitintoanagreementsignedforanindefiniteperiodiftheCustomerpresentstheBankwiththerequireddocumentsaftertheregistrationofthecompany).TheBankAccountAgreementshallterminateiftheCustomerfailstosubmitanapplicationtotheNationalCourtRegistertoregisterthecompanywithinsixmonthsofthedateofsignatureofthearticlesofassociationorthedateofpreparationofthecompany’sby-laws.
2. TheCustomerreferredtoinparagraph1mayusefundsontheaccountuptothebalancelimit.
§161. Allthedocumentsrequiredtoopenanaccountshouldbesubmittedinoriginalornotarisedcopies.Documentsdrawnupinaforeignlanguageshouldbe
translatedintoPolishbyasworntranslator.2. Uponverifyingthedocuments,theBankmakesandauthenticatestheirphotocopies,andreturnstheoriginalcopiestotheapplicant.3. Withthereservationoftheprovisionsofparagraph4,entrepreneurswhooperateunderforeignlawsshallsubmitdocumentscertifiedbytheembassyor
consulateoftheRepublicofPolandforthegivencountryoftheapplicant’sregisteredofficecontainingtheclause“Certifiedtoconformtothelawsofthecountryofissue”.ThedocumentsmaybealsonotarisedbyaforeignnotarypublicwhoselicencemustbecertifiedbyanembassyorconsulateoftheRepublicofPolandinthecountryoftheapplicant’sregisteredoffice.
4. Entrepreneurswhoconductactivitiesunderforeignlawsthataresubjecttotheprovisionsofinternationallawthatoverridetherequirementforcertificationofforeignofficialdocumentsshallsubmitofficialdocumentscertifiedinaccordancewiththeseregulations.DetailedinformationonthisshallbeprovidedbytheBank’sauthorisedemployees.
§17Anattorneymayopenanaccountwhenthepowerofattorneyissubmittedwithnotarisedsignaturesofthepersonsauthorisedtomakerepresentationsonproprietaryrightsanddutiesoftheprincipal.Thepowerofattorneyshallcoveranauthorisationtoperformactivitiesofaspecifictypeoranauthorisationtoperformparticularactivities(i.e.tosignabankaccountagreement,includingthedesignationofindividualsauthorisedtousethefundsontheaccount).Fornon-residents,thedocumentmustbecertifiedinaccordancewiththeprinciplesspecifiedin§16,paragraphs3and4.
§181. TheCustomershallbeobligedtoimmediatelynotifytheBankinwritingofanychangestothedatacontainedintheApplicationandotherdocuments
submittedtotheBankinordertosigntheAgreement.ThenoticeshouldbesignedbypersonsauthorisedtosubmitrepresentationsontheCustomer’sproprietaryrightsandduties.
2. IntheeventofachangeintheCustomer’snameorlegalformfollowingamerger,split,transformationoranotherchange,theCustomershouldcommunicatesuchchangestotheBankandattachdocumentsthatconfirmsuchchangesandtheirextent,inparticular,alegallybindingdecisionofthecourtregardingthesechangesandotherdocumentsrequiredbytheBankinordertodecidewhethertokeeptheexistingaccountnumberorestablishanewnumber.
3. IfthechangeconsistsintheCustomertakingupbusinessactivitysubjecttoaconcession,permit,licence,consentofacompetentauthoritytorunsuchbusinessactivityorsubjecttoregistrationinthebusinessactivityregister,theCustomershallimmediatelypresenttheBankwithadocumentconfirmingthatsuchanactivityisperformedinaccordancewithlegalregulations(i.e.respectivelywithaconcession,permit,licence,consentofacompetentauthoritytoperformthebusinessactivityorwithabusinessactivityregistrationcertificate).
CHAPTER 5 Powers of Attorney to Administer the Funds in the Bank Account
§191. WiththereservationofprovisionsofthemBankCompanyNetRegulations,theCustomermayappointanattorney(attorneys)toadministerthefundsinthe
account.Thepowerofattorneymayonlybeissuedinwriting.Thepowerofattorneymaybepermanent,temporaryorone-time.2. UnlesstheCustomerdecidesotherwise,thepowerofattorneyshallbevalidforalloftheCustomer’scurrentandauxiliaryaccounts.
§20Apermanentpowerofattorneymaybegrantedas:1/ ageneralpowerofattorney(asunderstoodintheseRegulations)underwhichtheattorneymayoperatetothesameextentastheCustomer,includingcheque
operations,2/ aspecialpowerofattorney(asunderstoodintheseRegulations)underwhichtheattorneyisauthorisedtoadministertheaccountexclusivelytotheextent
specifiedbytheCustomerinthepowerofattorney,includingchequeoperations.
§21Theattorneyisnotentitledtograntfurtherpowersofattorneyunlessthecontentsofthepowerofattorneyspecifiesotherwise.

§221. ApowerofattorneymaybegrantedbytheCustomer:
1/ directlyattheBank’sbranchthatholdshisaccount,by:a/ enteringtheattorney’sdetailsintothe“SpecimenSignatureCard”.Inorderforthepowerofattorneytobevalid,theattorneymustsubmitaspecimen
signatureonthe“SpecimenSignatureCard”.ThepowerofattorneyshouldbeconfirmedbythesignaturesoftheattorneyandtheCustomer,placedonthe“SpecimenSignatureCard”inthepresenceofaBankrepresentative.Inabsenceofanythingcontrary,itisassumedthatthepowerofattorneygrantedbywayofentryinthe“SpecimenSignatureCard”isageneralpowerofattorney(withinthemeaningoftheseRegulations);
b/ submittingtotheBank’sbranchthatholdstheCustomer’saccountaCustomerinstructionauthorisingtheattorneytoperformspecificactivitiesintheaccountinaspecificperiodorjustonce.ThepowerofattorneyshouldbeconfirmedbythesignaturesoftheattorneyandtheCustomerinthepresenceofaBankrepresentative,
2/ correspondence–bysubmittingtotheBank’sbranchthatholdstheCustomer’saccountanotarialcopyofthenotarialdeedholdingthepowerofattorneytoperformspecificactivity/activitiesintheaccountinaspecificperiodorjustonce.
2. ApowerofattorneygrantedbytheCustomerwhoisanon-residentbycorrespondenceshouldbeexecutedbyrelevantforeignnotarywhosecompetenciesshallbeconfirmedbyPolishembassyorconsulatecompetentfortheapplicant’scountry.
3. TheBankshallnotifytheCustomerforthwithinwritingoftheacceptanceorrefusaltoacceptthepowerofattorney(andthereasonsforsuchrefusal)grantedbycorrespondence.
§23Thepowerofattorneyshouldcontaininparticularthefollowinginformation:1/ theattorney’sforenameandsurname,2/ thefeaturesoftheattorney’sidentitydocument(thePESELnumberforresidentsorthedateofbirthfornon-residents)andtheplaceofissueofsuch
document,3/ citizenship,4/ placeofresidence(country,postalcode,city/town,street,buildingorapartmentnumber),5/ typeofthepowerofattorney:generalorspecial(withinthemeaningoftheseRegulations)andthescopeofthepowerofattorneywhenitisspecial,6/ whetherthepowerofattorneyisone-offorisgrantedforaperiod“from...to...”,7/ theattorney’sspecimensignature.
§241. ThepowerofattorneymaybeamendedorrevokedbytheCustomeronhiswritteninstructionsconfirmedinthemannerspecifiedin§22,paragraph1.2. Therevocationofthepowerofattorneybecomeseffectiveonthedayfollowingthesubmissionorreceiptoftheinstructionatthebranchthatholdsthe
account.3. Thepowerofattorneyexpiresasaresultof:
1/ thediscontinuationoftheprincipal’slegalexistence,2/ thedeathoftheprincipalortheattorney,3/ theexpiryoftheperiodforwhichitwasgranted,4/ revocation.
CHAPTER 6 Specimen Signature Card
§251. The“SpecimenSignatureCard”constitutesanintegralpartoftheBankAccountAgreement.WiththereservationofthemBankCompanyNetRegulations,itisa
documentthatdefinestherightsofthepersonstoadministerfundsintheCustomer’saccount/accountsandisusedtorecordspecimensoftheirsignatures.2. The“Identitycardforpersonsauthorisedtousethebankaccount”constitutesanintegralpartofthe“SpecimenSignatureCard”.TheCustomerisresponsible

1/ leavetheword“Content”anddeletetheword“Specimen”,legiblyentertheexactcontentofthecompanysealusedorprinttheseal.Achangeinthefontortheinkoftheseal,whichdoesnotinvolveachangeinthecontentoftheseal,asspecifiedinthe“SpecimenSignatureCard”,doesnotrequireachangetothe“SpecimenSignatureCard”andisdeemedbythepartiestotheAgreementasinsignificantforacceptanceandfulfilmentoftheCustomer’sinstructionsbytheBank,
2/ deletetheword“Content”andleavetheword“Specimen”andincludeaprintofthecompanyseal.Fortheinstructionstobevalid,thedocumentcontainingtheinstructionmustthenbestampedwiththecompanyseal,whichiscompliantwiththespecimeninthe“SpecimenSignatureCard”,withthereservationthatthespecimenofthesealdoesnotinvolvethetypeofinkusedtomaketheprintoftheseal,
3/ deletethewords“Content”and“Specimen”andenter“noseal/stamp”.Insuchacase,theinclusionoftheCustomer’ssealshallnotberequiredontheinstructionforms.
§261. IftheCustomerdecidesthatinstructionsforhisaccountaretobesignedbymorethanoneperson,twoormoresignatureswillberequiredinthecombination
specifiedbytheCustomer.2. Thesignaturesofthepersonsnamedinthe“SpecimenSignatureCard”orthesignaturesoftheattorneysreferredtoin§22,paragraph1,item1letterband
item2arerequiredforthebankaccountinstructiontobevalid.
§271. The“SpecimenSignatureCard”isvaliduntilitisrevokedinwritingbytheCustomer.TherevocationiseffectiveonthedayfollowingthedatetheBankreceives
therevocationoronalaterdate,asspecifiedbytheCustomer.2. Thepersonsnamedinthe“SpecimenSignatureCard”losetherightstoadministerthefundsinthebankaccountonthedatesspecifiedinparagraph1onthe
basisofawrittennotice(revocation)senttotheBankandsignedbythepersonsauthorisedtomakerepresentationsontheCustomer’sproprietaryrightsandduties.
3. Intheeventofthefailuretonotifythebankofthefactreferredtoinparagraph2,theBankshallnotbeheldliableforanyresultingdamages.
§281. Achangeinthepersonsauthorisedtoadministerthefundsintheaccountrequiresthepreparationofanew“SpecimenSignatureCard”andthecancellationof
theexisting“SpecimenSignatureCard”.

Achangeinthepersonsauthorisedtoadministerthefundsintheaccountrequiresthepresentationofnewdocumentsfromwhichthechangearises.InexceptionalcasesandontheCustomer’swrittenrequest,theBankmayintroducethesechangesbeforecourtregistrationundertheconditionthattheBankispresentedtheoriginalsornotarisedcopiesofdocumentsfromwhichthesechangesarise.Provisionsof§16paragraph2areappliedaccordingly.
3. TheCustomershouldalsosubmitanew“SpecimenSignatureCard”ifthereisachangeto:1/ thecompany’snameoraddress,2/ thecompanyseal,3/ theCustomer’slegalform,
andotherreasonsthataffecttheadministrationofthefundsinthebankaccount.
CHAPTER 7 Administration of the Funds in the Bank Account
§291. TheCustomermayfreelyadministerthefundsuptothecurrentbalanceonthebankaccountwithintheframeworkoftheapplicableprovisionsofthelawand
subjecttotherestrictionsarisingfromtheagreementssignedbytheCustomerandtheBank.2. Ifinstructionscoincidewherefulfilmentofoneinstructionwhollyorpartiallyprecludesfulfilmentoftheother,theBankmaysuspendtheirfulfilmentuntilthe
receiptoftheCustomer’sfinaldecision.3. IftheCustomer’sinstructionisinconsistentwiththeRegulations,theBankAccountAgreementortheprovisionsofthelaw,theBankrefusestofulfilthe
instruction.4. IftheCustomer’spaymentinstructionwiththefeeorcommissionduetotheBankisnotcoveredbythefundsinthebankaccount,theBankmayrefuseto
fulfiltheinstruction.5. PaymentinstructionsnotcoveredbythefundsintheaccountsmaybefulfilledwiththeBank’sconsentattheamountandundertheconditionsindividually
laiddowninaseparateagreementwiththeBank.6. TheBankshallfulfilpaymentinstructionsinconformitywiththebankaccountnumberspecifiedbytheCustomerinagivenpaymentinstruction.7. IftheCustomerentersanincorrectNRBIDorincorrectIBANIDintheinstruction,theBankmayrefusetofulfiltheinstruction.AnincorrectNRBorIBANID
istheonethatisinconsistentwiththebankaccountnumberstandardspecifiedintheOrderofthePresidentoftheNBPno.15/2010of15July2010onthemethodofnumberingbankaccountsheldbybanks(OfficialJournaloftheNBPno.9item9asamended).
8. IncaseofdomesticorforeignincomingpaymentordersfulfilledbytheBank,theBankshallmakepostingsexclusivelywiththeuseofthebeneficiary’saccountnumberincludedintheincomingpaymentorder.TheBankshallnotverifythenameagainstthebeneficiary’saccountnumber.
9. TheBankmaywithholdfulfilmentoftransactionsontheaccountintheeventoffailureinthecomputersystemorofthetelecommunicationsystemwhichmaketheaccesstoaccountingrecordsandongoinghandlingofaccountsimpossible,untilsuchafailureisremedied.
10. TheBank’ssuspensionorrefusaltofulfiltransactionsforthereasonsspecifiedinparagraphs3,4,7and9shallnotbreachthetermsandconditionsoftheBankAccountAgreement.
§30TheCustomerisobligedtoobserveformsandprinciplesthatapplytomonetarysettlementsindomesticandinternationaltradingthatapplyintheBank.
§311. ApaymentinstructionshallbedeemedreceivedbytheBankuponreceivingbytheBankapaymentinstructionthatiscorrectlyfilledin,provided,however,that
iftheBankhasreceivedapaymentinstructiononanon-businessday,itshallbedeemedreceivedbytheBankonthefirstbusinessdaythereafter.2. IftheBankreceivesapaymentinstructionreferredtoinparagraph1afterthecut-offtimespecifiedbytheBankpursuanttoparagraph3,itshallbedeemed
receivedbytheBankonthenextbusinessdayfortheBank.3. Thedetailsrelatingto:
1/ cut-offtimesandfulfilmentdatesapplicabletotheCustomer’sinstructions,2/ theamountlimitofcashwithdrawalsabovewhichtheBankmustbeadvised(inperson,bytested(encrypted)faxtransmissionorviaelectronicbanking
systems),and3/ theformsandmethodsappliedbytheBanktocashsettlements,shallbenotifiedtotheCustomerbydisplayinginformationintheBank’soperatingroomsoronthemBankGroupwebsite.
§321. TheCustomermaysubmitpaymentinstructionswithafuturefulfilmentdate.2. Ifthedateforthefulfilmentoftheinstructionreferredtoinparagraph1isanon-businessdayfortheBank,theBankshallfulfiltheinstructionontheBank’s
firstbusinessdayfollowingthenon-businessday.3. TheCustomermaycancelthesubmittedpaymentinstructionuptothebusinessdayprecedingtheinstructionfulfilmentdateinclusive.
§331. TheBankcarriesoutpaymentinstructionsoftheCustomerdenominatedinthezlotyorinaforeigncurrencyincludedinthemBankS.A.ExchangeRates,
withthereservationthatpaymentinstructionsinvolvingincomingandoutgoingcashpaymentsarecarriedoutonlyincurrenciesnotifiedtotheCustomerbydisplayinginformationintheBank’soperatingroomsoronthemBankGroupwebsite.
2. Inthecasewhenitisnecessarytoconverttheinstructionamount,theBankeffectsthetransactionusingtheexchangerateofthecurrencyreferredtoinparagraph1,applicableattheBankatthetimewhenthepaymentinstructioniscarriedout.
3. Theprinciplesspecifiedinparagraphs1and2applyunlesstheprovisionsofseparateagreementsenteredintobetweentheCustomerandtheBankprovideotherwise.
§341. TheBankshallhavetherightto:
1/ fulfilinstructionsinanymannerthatisdeemedreasonableinthelightofspecificfeaturesofagiveninstruction,2/ fulfilinstructioninadifferentorderthantheorderoftheirsubmission.
2. Withthereservationofparagraph4,upontheCustomer’sorder,theBankmayfulfiltheinstructionto:1/ setthepriorityforfulfillinginstructions,2/ blockaspecificamount.
3. TheCustomer’sinstructionsshallnotsuspendanypaymentsofamountsduetotheBank.TheBank’sclaimsagainsttheCustomer,includinganyclaimsresultingfromanyotheragreementsbetweentheCustomerandtheBank,maybedeductedwithoutmakinganyotherstatementstotheCustomer.
4. TheabilityoftheCustomertoadministerthefundsintheaccountmayberestrictedfollowingawrittennoticesenttotheBankbyabailifforanadministrativeenforcementauthoritytoperformanenforcementseizureortoseizemonetaryclaimsfromthebankaccountinconnectionwithenforcementproceedingsorproceedingstosecureclaims.Sucharestrictionmayalsofollowthedecisionofanauthorisedbodyofstateadministration.InsuchcasestheCustomer’sinstructionshallbeineffective.

§35Afterhavingsignedseparateagreements,theCustomermayplacetheinstructions:1/ electronicallythroughanelectronicbankingsystemusedbytheBankotherthantheinternetbankingsystem,2/ usingtelecommunicationssystems.
§361. TheBankisliableforthepromptandcorrectperformanceofmonetarysettlementsprovidedthattheinstructionisplacedinamannerthatenablesitscorrect
fulfilment.TheBank’sliabilitydoesnotcoverdamagescausedbycircumstancesbeyondtheBank’scontrol,inparticular,forcemajeureordecisionsofthestateauthorities.Inanycase,theBank’sliabilityshallbelimitedtothelossandshallnotcovertheCustomer’slostbenefits.
2. TheBankshallpaydefaultinterestatthestatutoryinterestrateforeverydayofdelayinthefulfilmentoftheCustomer’scorrectinstructionforreasonsotherthanstatedintheseRegulations,whichshallbecalculatedontheamountoftheCustomer’sinstruction.
§371. TheCustomerauthorisestheBanktodebithisbankaccountbytheamountofpaymentinstructionsfulfilled.2. TheBankshalldebittheCustomer’saccountwhenthepaymentinstructionisfulfilledunlessotherwiseprovidedforbytheprovisionsofagreementssignedby
theCustomerandtheBank,includingtheBankAccountAgreement.3. Atthetimewhentheaccountisdebitedwiththeinstructionamount,theCustomerisobligedtohavefundsdepositedonhisbankaccounttotallingthe
instructionamountincreasedbyfeesandcommissionsduetotheBank.
§381. WiththereservationofprovisionsofthemBankCompanyNetRegulations,theBankfulfilsinstructionsfromthebankaccountthataresignedbythepersons
namedinthe“SpecimenSignatureCard”orbytheattorneysreferredtointheseRegulations.Theuseoffacsimilesinsteadofsignaturesisprohibited.2. UnlessthesignaturesontheinstructionsoftheCustomerorpersonsauthorisedtoadministerthefundsintheaccountcomplywiththespecimensignatures
placedwiththeBank,theinstructionsshallnotbeexecutedbytheBank.3. ThecontentorprintofacompanysealontheCustomer’sinstructionsmustcomplywiththecontentorspecimenofthestamponthe“SpecimenSignature
Card”.4. AnypaymentinstructionssubmittedtotheBankpursuanttoparagraphs1through3shallbedeemedauthorisedbytheCustomer.Theauthorisationofa
paymentinstructionshallbetantamounttotheCustomer’sconsenttothefulfilmentofsuchinstruction.
§39IntheeventthattheBankrefusestofulfilapaymentinstruction,theBankshallpromptlynotifytheCustomerofsuchrefusalandofthereasonforsuchrefusal.
CHAPTER 8 Forms Required for Administering the Funds in the Account
§401. TheCustomershallplaceinstructionsonformsissuedbytheBankorotherformsagreedwiththeBank.2. CashandclearingchequebooksareissuedbytheBankagainstareceiptontheCustomer’swrittenrequestsignedinaccordancewiththe“SpecimenSignature
Card”.3. ChequebooksareissuedtotheCustomerorpersonsauthorisedbytheCustomerbythebranchoftheBankthatholdstheaccountwhentheBankAccount
Agreementissigned.
§411. Thepersonwhocollectsthecashorclearingchequebookmustcheckthenumberofchequesinthebookandwhethertheyareproperlymarkedwhen
collectingthebookandinthepresenceoftheBankemployeewhoissuesthebook.TheCustomerbearstheriskrelatedtothefailuretocheckthenumberofchequesandtheircorrectmarking.
2. Ifthechequebookorblankorcompletedchequesarelostorstolen,theCustomerisobligedtonotifytheBank’sbranchforthwithinpersonorbytelephone,statingthequantityandnumbersofchequeandchequeamountsifany.Atelephonenotificationmustbeconfirmedforthwithinwriting.Thepersonreportingthelossortheftmustdeclareinthenotificationthatheassumesfullliabilityfortheconsequencesofsuspensionofthechequebeingcashedandfordemandingproofofidentityofthepersonpresentingthecheque.
3. TheBankshallstopthechequesreferredtoinparagraph2,whichcanonlybecancelledbytheCustomerinwriting.4. IftheBankisnotifiedofalossofthechequebookorblankorcompletedchequesatthebranch,theBankisliableforconsequencesofcashingthelostcheques
fromthemomentofreceiptofthewrittennotification.5. TheCustomerisobligedtocarefullystoreblankchequesandprotectthemfromdamage,lossorforgery.
CHAPTER 9 Monetary Settlement System
§421. TheBankperformscashsettlementsinthefollowingforms:
1/ chequesforcash,2/ cashdepositsandwithdrawalsusingtilldocuments,3/ cashwithdrawalsusingpaymentcards.
2. AchequeforcashisusedformakingcashpaymentstothepersonspecifiedbytheCustomeronthecheque(ordercheque)ortothebearer(bearercheque).3. TheBankcasheschequesforcash,which:
1/ comefromthechequebookissuedtotheCustomer,2/ havenotbeenblocked,3/ havebeenproperlycompleted(intheeventofdifferencesbetweentheamountsinfiguresandwords,theamountexpressedinwordsshallbedeemed
correct),4/ arepresentedforcashingwithin10calendardaysoftheirissuedate,5/ aresignedinaccordancewiththe“SpecimenSignatureCard”submittedtotheBank,6/ arecoveredbythefundsintheissuer’saccount(chequeswithoutcoverarereturnedwitha“bounced”annotation).

§431. Non-cashsettlementsareconductedintheformof:
1/ atransferinstruction,2/ anoutgoinginternationalpaymentinstruction,3/ adirectdebit,4/ aclearingcheque,5/ apaymentcards,andotherformsspecifiedinseparateregulations.
2. Ontherequestofthechequeissuer,theBankmayconfirmaclearingchequebyblockingtherespectiveamountintheaccounttocoverthecheque.Chequeconfirmationmaybecomplete(foraspecifiedamount)orincomplete(uptoaspecifiedamount).
§44TheBankverifiestheidentityofthepersonwhoperformsthefollowingactivities:1/ withdrawscash,2/ requestsconfirmationofaclearingchequeonbehalfoftheCustomer,3/ performsthetransactionsreferredtointheregulationsonthepreventionofmoneylaunderingandthepreventionoffinancingofterrorism.
§45TheCustomer,personswhosubmitpaymentinstructionsonbehalfoftheCustomerandpersonswhoadministerthefundsontheCustomer’saccountareobligedtopresentproofofidentityoneveryrequestoftheBankunderthesanctionoftheBank’srefusaltofulfilthetransaction.
CHAPTER 10 Closed Cash Deposits and Withdrawals
§461. TheCustomermayonlyusetheclosedcashdepositandwithdrawalserviceaftermakingtherelevantstatementsintheApplication.2. TheBankacceptsclosedcashdepositsfromtheCustomerontheprinciplesspecifiedinthe“RegulationsonClosedCashDeposits”andintheIBAARegulations.3. TheBankshallmakeclosedcashwithdrawalsupontheCustomer’sinstructionontheprinciplesspecifiedinthe“RegulationsonClosedCashWithdrawals”and
intheIBAARegulations.
CHAPTER 11 Term Deposits and Spot FX Transactions
§471. TheconclusionofatermdeposittransactionandaspotFXtransactionmaybeeffectedviatelephoneorthroughtheInternetelectronicbankingsystemby
personsauthorisedonbehalfoftheCustomerandtheBank.2. InordertocommencecooperationontermdeposittransactionsandspotFXtransactions,theCustomermustspecifythepersonsauthorisedtoconcludesuch
transactionsinthemBankCompanyNetSystemCustomer’sAccessRightsCard,referredtointhemBankCompanyNetRegulations.3. Asperparagraph2,theCustomerisobligatedtoindicateatleastonepersonauthorisedtoconcludetransactionsreferredtoinparagraph1.4. TheCustomerisresponsibleforthepersonauthorisedtoconcludetransactionsimmediatelyupdatingthepersonaldetailstotheextentspecifiedinthe“ID
Card”orinthe“IdentityCardtogetherwithinformationonpersonaldataprocessing”.
§481. TheBankopensandholdstermdepositaccountsfortheCustomersontheprinciplesspecifiedinthe“RegulationsonPLNandFXTermDepositsfor
InstitutionalClients”andintheIBAARegulations.2. TheCustomerandtheBankconcludespotFXtransactionsontheprinciplesspecifiedintheRegulations:“RegulationsonSpotFXTransactions”and“General
TermsandConditionsofCo-operationwithClientsinFinancialMarketTransactions”,aswellasontheprinciplesspecifiedintheIBAARegulations.
§49Inthecaseoftransactionsconcludedoverthetelephone,asufficientconditionforestablishingwhetherthetransactionwasconcludedonbehalfoftheCustomerbyanauthorisedpersonwillbethesubmissionofthefollowinginformationbythepersonindicatedbytheCustomerintheApplicationoronthemBankCompanyNetSystemCustomer’sAccessRightsCard,referredtointhemBankCompanyNetRegulations,asthepersonauthorisedtoconcludetermdepositandspotFXtransactionsoverthetelephone:1/ hisforenameandsurnameand2/ theCustomer’sname.
§501. Thepartiesshallagreethattelephonecallswillberecordedinconnectionwithtransactionsconcludedoverthetelephone.2. Therecordedcallsmaybeusedasaproofinthearbitrationorcourtproceedings.
CHAPTER 12 Payment Cards
§511. TheBankissuespaymentcardsontheCustomer’srequest.2. TheconditionsforissuingpaymentcardstotheCustomerinclude:
1/ CustomerandtheBankenteringintothe“AgreementonPaymentCardsforaCorporateCustomer”,2/ thesubmissionbytheCustomerofanapplicationforissuingpaymentcardconcerningaselectedtypeofcardorcards,3/ signingbytheCustomerastatementofsubmissiontoenforcementproceedingsinthecasewhensuchstatementisrequiredbytheBankinconnection
withthetypeofpaymentcardfortheissueofwhichappliestheCustomer.3. TheBankreservestherighttorefusetoissuethecardwithoutjustification.4. ThedetailedprinciplesofusingandsettlingpaymentcardsissuedbytheBankarespecifiedintheagreementreferredtoparagraph2item1andtherulesof
thosecards.

CHAPTER 13 The Unauthorised Debit Balance
§52Ifthereisanunauthoriseddebitbalanceonthebankaccount,theBankshallchargeinterestatthestatutoryinterestrate.Theinterestshallaccruefromthedateofthetransactionresultingintheunauthoriseddebitbalanceuntilthedateprecedingitsliquidation.
§531. PaymentsintotheCustomer’saccountwhereanunauthoriseddebitbalanceappearedshallbeappropriatedinthefollowingordertocoveroftheCustomer’s
liabilities:1/ interestduetotheBankfromthedebtthatemerged,2/ theamountofthedebttotheBank,3/ otherpaymentsdueonthedaythefundsarecredited(paid).
2. Wheneverthedebtduetounauthoriseddebitbalanceremainsunpaidafter7daysfromitsoccurrence,theCustomerauthorisestheBanktoset-offcontractuallytheBank’sdebtclaimduetounauthoriseddebitbalance,occurringundertheBankAccountAgreement,againstanydebtclaimwhichtheCustomermayhaveagainsttheBank(whethermaturedornot)underanycurrentaccountagreementorauxiliaryaccountagreement(notexcludingtheBankAccountAgreement)ortermdepositaccountagreement,attheBank’soption.Theset-offshallnotrequireanyadditionaldeclarationoftheBank.IftheaccountisheldinanyothercurrencythanPLN,thenthefundsaccruedonsuchaccountshall,forthepurposeofcoveringoftheCustomer’smatureddebt,beconverted,inrelevantportion,intoPLNattheexchangerategiveninthemBankS.A.ExchangeRatesasonthedayofrepaymentofdebtduetounauthoriseddebitbalance.
CHAPTER 14 Bank Statements and Balance Confirmation
§541. TheBankshalldeterminethebalanceaftereachchangeintheamountoffundsontheaccountbyprovidingbankstatementstotheCustomerasoftenas
specifiedintheApplication.2. Thebankstatementsincludeinformationonpaymentinstructionsfulfilled,aswellassettlements,andfeesandcommissionscollectedbytheBank.3. BankstatementsshallbesuppliedtotheCustomerelectronicallyintheformofelectronicfileswithintheinternetbankingsystem.4. BankstatementsmaybereceivedandviewedbythefollowingusersselectedbytheCustomerintheApplication:
1/ usersauthorisedbythecontrolleror2/ usersspecifiedbytheCustomerintheApplication.
5. StatementsprovidedbytheBankelectronicallyaredocumentsrelatedtobankingactivities,preparedonelectronicmedia.StatementsshallcontainidentificationdatasuchasthestatementdateandlasttwelvedigitsofthegivenCustomerbankaccountnumberforwhichthestatementwasgenerated.
6. Thedate,onwhichstatementsareprovidedtotheCustomerelectronically,asspecifiedinparagraph3,shallbethedateonwhichthestatementismadeavailabletotheCustomer.
7. TheCustomerisobligedtonotifytheBankforthwithofhislackofaccesstobankstatementsmadeavailablebytheBankelectronicallydespiteCustomer’sobservanceofrequirementssetforthinthemBankCompanyNetRegulations.
8. TheBankshallpreparecopiesofbankstatementsagainstafeeontheCustomer’srequest.
§551. Intheeventoffindinganincorrectbalance,theCustomershallreportthiswithin14daysofthereceiptofthebankstatement.TheBankshallreviewtheclaim,
providethenecessaryinformationandcorrect(reverse)theincorrectentryiftheerrorarosefromamistakebytheBank.Thefailuretosubmitobjectionstothestatementwithin14daysofitsreceiptmeanstheCustomer’sconfirmationofcomplianceoftheaccountturnoverandbalance.
2. TheBankisliablefortheprecisefulfilmentofinstructions.TheCustomerisliableforerrorsinthewordingoftheinstructionsissuedtotheBank.TheBankshallnotreverseanaccountasaresultofanerrorintheCustomer’sinstructions.AnypossiblerelateddisputesareresolvedbythepartieswithouttheBank’sparticipation.
§561. TheBankshallsendanoticeoftheaccountbalanceattheendofthecalendaryear.TheCustomershallsignanoticeinaccordancewiththe“Specimen
SignatureCard”submittedtotheBankandreturnitwithin14daysofthedateofreceiptofthenoticeasconfirmationofamatchingbalance.ThelackofreturnofthesignednoticebytheCustomerbythatdateisconsideredbytheBanktobeconfirmationofamatchingbalance.
2. Ifthebalancefiguresdonotmatch,theBankshallcheckthereasonforthemismatch.IfthemistakewasmadebytheBank,theBankshallmakethenecessarycorrectionandre-sendthenoticewiththecorrectedbalance.
§571. ThewithdrawaloferroneouslypaidorerroneouslypostedfundsshallresultintheCustomer’scivilliability.2. IfanincorrectaccountingentryismadeintheCustomer’saccountthroughthefaultofabankparticipatinginthetransactionortheBank,theBankreserves
therighttocanceltheentrywithoutCustomer’srequest.3. TheBanknotifiestheCustomerofthecorrectedentryontheaccount(debit/credit)onthebankstatement.
CHAPTER 15 Termination of the Agreement and Closure of the Bank Account
§581. EithertheCustomerortheBankmayterminatetheBankAccountAgreementbyprovidinganoticeperiodofonemonth.Thenoticeperiodofthetermination
shallstartonthedateonwhichthenoticeisdeliveredtooneoftheparties.2. AnAgreementthathasbeenconcludedforadefiniteperiodterminatesonthedeadlineuntilwhichitwasconcluded.3. TheBankmayterminatetheAgreementinaccordancewithparagraph1forvalidreasons,inparticular:
1/ aseriousbreachoftheprovisionsoftheBankAccountAgreementortheregulationsreferredtointheBankAccountAgreementortheseRegulationsbytheCustomer,
2/ useofthebankaccountagainstgenerallyapplicablelaws,3/ nofundspaidintoaccountforonemonthfromitsopeningandazeroaccountbalanceismaintained,

4/ noturnoverontheaccountformorethanthreemonths(excludinginterestaccrual),wheretheaccountbalancedoesnotcoverfeesandcommissionsforholdingtheaccount,
5/ unauthoriseddebitbalanceunpaid,withinterest,onthedatesetbytheBank,6/ theprovisionbytheCustomeroffalseinformationwhenenteringintotheBankAccountAgreement,7/ theCustomer’stakingactionsthatareharmfultotheBank,8/ apetitionisfiledfortheCustomer’sbankruptcyorliquidation,restructuringorenforcementproceedingsareinstitutedortheCustomer’ssolvencyisatrisk,9/ theCustomerdisclosesinformationontheoperationoftheInternetbankingsystem,thedisclosureofwhichmaycompromisetheeffectivenessofthe
mechanismsassuringsecurityoforders,10/ whentheCustomerisenteredinthelistpublishedontheofficialwebsiteofPolishFinancialSupervisionAuthority(KomisjaNadzoruFinansowego),suchlist
containingtheAuthority’spublicwarningagainstdishonestentrepreneurs(appliesalsowhentheCustomerisenteredinthelistpublishedontheofficialwebsiteoftheAuthority’sforeigncounterpart,suchlistcontainingthefinanceregulatoryauthority’spublicwarningagainstdishonestentrepreneurs).
4. Inthecaseofjointaccounts,theCustomerwhoisoneofthejointaccountholderscannotterminatetheBankAccountAgreementbysendingaterminationnotice.Insuchasituation,theterminationdocumentmustbesignedbyalljointaccountholders.AjointaccountholdermayeffectivelyterminatetheAgreementonlywithapowerofattorneygrantedbyallremainingjointaccountholders.
§591. TheterminationoftheBankAccountAgreementbyeitherPartyismadeinwritingandissignedbypersonsauthorisedtomakedeclarationsofwillinthe
scopeofproprietaryrightsanddutiesoftheparties.IntheeventthattheBankterminatestheAgreement,theCustomerisnotifiedofthereasonforthetermination.
2. AtthemomentofterminatingtheAgreementtheBankprovidestheCustomerwiththebalanceoftheaccount,requestsforfilinganinstructiontosettleitwithin14daysfromthedayofreceivingtheletterfromtheBankandforreturningthepaymentcardsandunusedchequesissuedbytheBank.
3. AtthemomentofterminatingtheAgreementtheCustomerisobligedtoreturnallpaymentcardstotheBankandtheunusedchequesissuedbytheBank,whiletheBankmayblockthepaymentcardsissuedtotheCustomer.
4. Intheeventofthelackofreturnof:1/ paymentcards–theBankmayimmediatelyblockthecards,2/ unusedcheques–theCustomerpresentstheBankwithawrittendeclarationprovidingthereasonforthisalongwiththechequenumbers.
5. AtthemomentofterminatingtheBankAccountAgreementtheBankclosestheCustomer’saccount.6. Beforeclosingtheaccount,theBankcalculatestheinterestduetotheCustomerandcollectstheinterest,commissionsandfeesduetotheBank.
§601. IftheCustomerfailstoadministerapositivebalanceonaclosedbankaccountbythedatespecifiedin§59,paragraph2,thebalanceshallbepostedtoan
interest-freesuspenseaccountandplacedattheCustomer’sdisposal.2. Iftheaccountisclosedbywayofacourtdecision,thebalanceoftheclosedaccountshallbetransferredinaccordancewiththeinstructioncontainedinthis
adjudication.3. Claimsforthewithdrawalofthebalanceonaclosedaccountexpireaftertwoyears.
§61TheCustomerisresponsibleforthefulfilmentofallliabilitiesthatemergedduringtheBankAccountAgreementandwhicharerelatedtoitsperformance.
CHAPTER 16 Commissions and Fees
§621. UndertheBankAccountAgreement,theBankchargescommissionsandfeesspecifiedinthe“TariffofbankingfeesandcommissionsofmBankforSMEand
Corporates”,Section1–BankAccounts,which,asanappendix,isanintegralpartoftheBankAccountAgreement.2. The“TariffofbankingfeesandcommissionsofmBankforSMEandCorporates”isintroducedbythePresidentoftheBank’sManagementBoardintheformof
anorder.3. Thetypesorlevelsofthefeesorcommissionsmaychange.Thechangesinthetypesorlevelsofcommissionsandfeesshalldepend,inparticular,onthe
transactionservicingcostsincurredbytheBank,includingthemarketparametersthataffectthecosts,suchasinflation,exchangeratesandreferenceinterestratesfixedbytheNBP.
4. Thenewappendixreferredtoinparagraph1maybedeliveredtotheCustomerbypublicationonthemBankGroupwebsite,undertheaddress:www.mbank.pl/aktualnosci/msp-korporacjeofatextcontainingtheamendedSectionIofthe“TariffofbankingfeesandcommissionsofmBankforSMEandCorporates”.TogetherwiththeamendedtextofSectionIofthe“TariffofbankingfeesandcommissionsofmBankforSMEandCorporates”,theinformationonthedateofpublicationandtheinformationontheeffectivedateofsuchchangeswillbemadeavailable.ThedayofdeliveryofthechangestoSectionIofthe“TariffofbankingfeesandcommissionsofmBankforSMEandCorporates”totheCustomerisconsideredtobetheeighthdayfromthedateofpublicationofsuchchangesonthemBankGroupwebsite.
5. TheCustomerundertakestoreadanyinformationforcustomerspublishedonthemBankGroupwebsite,undertheaddress:www.mbank.pl/aktualnosci/msp-korporacje,atintervalnotshorterthanoneweek.
6. IftheCustomerfailstosubmitawrittendeclarationofhisrefusaltoacceptthechangesintroducedwithin14daysofthedateofdeliveryoftheappendixreferredtoinparagraph4,thechangesshallbedeemedacceptedbytheCustomerandeffectiveonthepartiesasoftheeffectivedate.
7. TheCustomer’srefusaltoacceptthechangesinmBankS.A.’scommissionsandfeeswithinthedeadlinereferredtoinparagraph6shallconstitutetheCustomer’sterminationoftheBankAccountAgreement.Insuchcase,theprovisionsof§58paragraph1shallapplyaccordingly.
8. TheCustomersshallbeinformedofthecurrentratesofthe“TariffofbankingfeesandcommissionsofmBankforSMEandCorporates”andchangesinratesintheBank’soperatingroomsorthroughthemBankGroupwebsite(www.mbank.pl/aktualnosci/msp-korporacje).
§631. TheBankshallchargetheCustomer’saccountwithcommissionsandfeesforthefulfilmentofthepaymentinstructiononthedaytheinstructionisbeingfulfilled.2. Theprincipleexpressedinparagraph1appliesunlesstheprovisionsofagreements,includingtheBankAccountAgreement,signedbytheCustomerandthe
Bankprovideotherwise.
§641. Regardlessoftheaccountbalance,theBankreservestherighttochargetheCustomer’sbankaccountwithfeesandcommissionsduetotheBankunderthe
BankAccountAgreementandwithamountsfromfinancialmarkettransactionsenteredintowiththeBankonthebasisofseparateagreements.2. IntheeventwhentheBankAccountAgreementisterminatedtheBankreservestherighttochargetheCustomer’saccountwithafeeforadministratingthe
accountfortheentirecalendarmonthstarted.

CHAPTER 17 Amendments to the IBAA Regulations
§651. TheprovisionsoftheIBAARegulationsmaybeamendedduringthevalidityoftheBankAccountAgreement.2. TheBankshallsendthenewwordingoftheIBAARegulationsornoticespecifyingtheamendmentstotheIBAARegulationstogetherwiththedateofvalidity
oftheamendmentstotheCustomerbyrecordeddeliveryregisteredposttotheCustomer’saddresslastknowntotheBank,orshallhandtheCustomerthenewwordingoftheIBAARegulationsornoticespecifyingtheamendmentstotheIBAARegulations,againstconfirmationofreceipt.
3. ThenewwordingoftheIBAARegulationsorthenoticereferredtoinparagraph2mayalternativelybedeliveredthroughalink(hyperlink)onthepagesoftheInternetelectronicbankingsystemtothewebpagesofthemBankGroupwebsitecontainingthewordingofthechangestotheamendedIBAARegulations.Togetherwiththelink(hyperlink),thewebpagesoftheInternetelectronicbankingsystemshallcontaininformationonthedateofpublicationofthechangestotheIBAARegulationsonthewebpagesofthemBankGroupwebsiteandthedateofvalidityofthesechanges.ThedayofdeliveryofthechangestotheIBAARegulationstotheCustomerisconsideredtobetheeighthdayfromthedateofpublicationofchangestotheIBAARegulationsonthewebpagesofthemBankGroupwebsite.
4. TheCustomerundertakestoreadanyinformationpublishedonpagesoftheInternetelectronicbankingsystematintervalnotshorterthanoneweek.5. TheCustomer’srefusaltoacceptthenewtermsandconditionsoftheAgreementarisingfromtheamendmentstotheprovisionsoftheIBAARegulations
shouldbemadeinwritingwithin14daysofdeliveryofthenewwordingoftheIBAARegulationsorthenotice,andshallconstituteaterminationoftheBankAccountAgreement.Insuchcase,provisionsof§58paragraph1shallapplyaccordingly
6. TheBankshallacknowledgethelackofrepresentationacceptingthenewtermsandconditionsoftheAgreementwithin14daysofthedateoftheirdeliveryastheCustomer’sacceptanceofthenewtermsandconditionsoftheIBAARegulationsontheirvaliditydate.
CHAPTER 18 Final Provisions
§661. InrespectoftheprovisionofthedirectdebitservicetoCustomerswhoarepayers(debtors),the“RulesofDirectDebitSettlements”Regulations,publishedon
theBank’swebsite(www.mbank.pl/aktualnosci/msp-korporacje),shallapplyfrom24October2012on.2. TheCustomershallbeobligedtoknowthe“RulesofDirectDebitSettlements”Regulations.TheCustomershallhavetherighttocancelhisconsenttochargehis
accountunderthedirectdebitschemeifhedoesnotacceptstheprovisionsofthe“RulesofDirectDebitSettlements”Regulations.
§671. IfanenforcementbodyseizesliabilitiesfromthebankaccountofaCustomeragainstwhomenforcementproceedingsorproceedingstosecureclaimshave
beeninstituted,theBankshallapplyprovisionsoftheCivilProceduresCodeortheActonadministrativeenforcementproceedings.2. TheBankshallceasemakingpaymentsfromtheCustomer’saccounttothelevelofenforcedreceivablesandshallproceedinaccordancewiththeordersofthe
enforcementbody.
§68TheBankshallbefullyliableforthefundsdepositedandisobligedtoensuretheirdueprotection.TheBank’sliabilityshallnotincludedamagesarisingfromtheCustomer’sactionsordamagescausedbycircumstancesbeyondtheBank’scontrol,inparticular,actionsofforcemajeureoractionsofbodiesofstateauthorities.
§69ThetransferofanaccounttoanotherbranchoftheBankshallbecarriedoutupontheCustomer’swritteninstruction.
§701. Deposits(inzlotyorinothercurrency)ofthefollowingdepositorsaresubjecttoprotectionbytheBankGuaranteeFundontherulesspecifiedintheBank
GuaranteeFundActof14December1994(JournalofLawsof2009,No.84,item711,asamended):1/ individuals,2/ legalpersons,3/ organisationalunitswithoutlegalpersonalityiftheyhavelegalcapacity,4/ schoolsavingsfundsandworkers’mutualassistanceandloanfunds,
beingaPartyofthePersonalBankAccountAgreementorbeingliabletotheBankasaresultofbankingactivitiesconfirmedbydocumentswithpersonaldataissuedbytheBankorbypersonaldepositcertificatesreferredtoinArticle9section1oftheActdated29July2005onthetradeinfinancialinstruments(JournalofLawsof2010,no.211item1384,asamended)andpersonsreferredtoinArticle55section1andArticle56section1oftheBankingLaw,subjecttoprovisionsofArticle26qoftheBankGuaranteeFundActiftheirliabilitytotheBankbecameduebeforethefulfilmentoftheguaranteecondition(withinthemeaningoftheBankGuaranteeFundAct).
2. InthecasewheretheBankmaintainsoneaccountforafewentities(commonaccount),eachofthoseentitiesisadepositor–withinthelimitssetintheBankAccountAgreementandinthecasewhentherearenocontractualprovisionsorprovisionsinthisscope–inanequalpart.
3. InthecasewheretheBankmaintainsanaccountforaprivatepartnership,generalpartnership,professionalpartnership,limitedpartnershiporalimitedjoint-stockpartnership–thedepositoristhatcompany.
4. Guaranteedfundsaresubjecttomandatoryguaranteeschemefromthedaytheyaretransferredtothebankaccount,nolaterthanonthedayprecedingthemeetingtheguaranteecondition,andinthecaseofliabilitiesresultingfrombankingactivities,providingthattheactivitywascarriedoutprecedingthedaytheguaranteeconditionwasmet–uptotheamount(alongwithinterestaccrueduntilthedaytheguaranteeconditionismet,inaccordancewithinterestindicatedintheAgreementregardlessofitsduedate)inzlotyequivalentofEUR100,000.00–inl00%.
5. TheaverageexchangerateoftheNationalBankofPolandfromthedaywhentheguaranteeconditionismetistheconversionratefromtheeurotothezloty.6. ThezlotyequivalentofEUR100,000.00setsthemaximumlevelofthedepositor’sclaimstotheBankGuaranteeFund,regardlessoftheamountoffunds
collectedandnumberofaccountsheldorthenumberofreceivablesthedepositoriseligibleforfromtheBank.7. Claimsonguaranteescomeundera5yearsstatuteoflimitationfromthedayofmeetingtheguaranteecondition.
§71TheBankshallkeeptheturnoverandbalanceonthebankaccountsecret.TheBankshallprovidetheinformationontheturnoverandbalanceofthebankaccountexclusivelytotheCustomerandauthorisedentitiesinaccordancewiththeapplicableprovisionsofthelaw.
§72TheCustomerhastherighttoapplyfortheproductsofferedbytheBank,inparticularloansandguaranteesandlettersofcredit,ontheprinciplesspecifiedintheBank’sseparateregulationsandinaccordancewithseparatelyconcludedagreements.

§73TheBankshallnotbeliablefortheloss,distortionordelayinthefulfilmentofaninstructionarisingforreasonsbeyondtheBank’scontrolduringtransmissionoftheinstructionbymeansofanyfixedlineorwirelesscommunicationdevices.
§74Theregulationsonthevariableelements,inparticular,suchasinterestrates,datesoffulfilmentofinstructionsandotherinternalregulationsregardingbankaccountsarisingfromtheBank’snormativeactsshallbedisplayedintheBank’soperatingroomsorprovidedbytheBank’sauthorisedpersonnelattheCustomer’srequest.TheseregulationsarebindingontheCustomerfromtheirvaliditydateinalltransactionsconductedontheaccount.
§751. IftheCustomersubmitsaninstructionnottosendthecorrespondenceorprovidesacorrespondenceaddressotherthanthecompany’sregisteredoffice
address,theBankshallsendaletterofterminationorthenewtermsandconditionsoftheRegulationstotheaddressprovidedbytheCustomerintheAgreement.
2. IftheCustomerfailstonotifytheBankofthechangeinhisaddress,writtennoticessentbytheBankshallbedeemedeffectivelydeliveredifsenttotheCustomer’saddresslastknowntotheBank.
3. Thedeliverydateshallbedeemedtoincludethedateoffirstpostnoticeforregisteredmail,whichremainsundelivered,sentatthelastCustomer’saddressknowntotheBank.
4. TheBankisnotliablefortheconsequencesofactionsofthebankconsignmentforwarder(e.g.thepostoffice).
§761. mBankS.A.,withitsregisteredofficeinWarsaw,ul.Senatorska18,asapersonaldatacontroller,withinthemeaningoftheActof29August1997onPersonal
DataProtection,herebydeclaresthatthepersonaldetailsoftheCustomerandhisrepresentativesshallbeprocessedinthebankingpersonaldatafilingsysteminordertoperformanyagreementsconcludedbytheCustomerwiththeBank.
2. Furthermore,theBanknotifiesthat–inordertoexerciseandfulfilthestatutoryrightsandobligationsoftheBankconnectedwithperformanceofbankingactivities–theCustomer’spersonaldatamaybedeliveredtothe“SystemBankowyRejestr”(BankingRegisterSystem)–adatabasethepersonaldatacontrollerofwhich,withinthemeaningofthePersonalDataProtectionAct,isthePolishBankAssociation,havingitsregisteredofficeinWarsaw,whichdatabasehasbeenestablishedandoperatesundersections4,4aand4dofArticle105andArticle105aoftheBankingLaw,aswellastootherinstitutionsthatareempoweredbylawtograntcredits,inthecases,totheextentandforthepurposesspecifiedintheBankingLaw,andtobusinessinformationbureauxoperatingundertheBusinessInformationAccessandBusinessDataExchangeAct,totheextentandonthetermsandconditionsspecifiedinthatAct
3. InaccordancewiththeprovisionsofthePersonalDataProtectionAct,theCustomerandhisrepresentativesshallhavetherightto:1/ accessandcorrecttheirdata,2/ objecttotheprocessingoftheirowndataforpromotionalandmarketingpurposesrelatingtothepromotionoftheBank’sownproductsandservices.
§77TheBankaffirmsthatinconnectionwithmakinginternationalmoneytransfersviaTheSocietyforWorldwideInterbankFinancialTelecommunications(SWIFT),thegovernmentoftheUnitedStatesofAmericamayhaveaccesstopersonaldata.TheAmericanauthoritieshaveundertakentousethepersonaldataobtainedfromSWIFTonlyforthepurposeofcounteractingterrorism,respectingtheguaranteesprovidedforintheEuropeansystemofpersonaldataprotectionexpressedintheDirective95/46/ECoftheEuropeanParliamentandtheCouncildated24October1995ontheprotectionofindividualswithregardtoprocessingofpersonaldataandfreemovementofsuchdata.
§781. TheCustomerexpresseshisconsenttotheBanksendingtheCustomercommercialinformation,asdefinedbyArticle2,section2oftheActontheelectronic
provisionofservicesof18July2002(JournalofLawsNo.144item1204,asamended)throughmeansofelectroniccommunication,inparticulare-mail.2. Thecommercialinformationreferredtoinparagraph1maybesenttotheCustomer,inparticular,throughelectronicbankingsystemsmadeavailablebythe
BanktotheCustomerorinconnectionwiththeCustomer’suseofthemBankGroupwebsite.ThecommercialinformationmayincludenewsonproductsandservicesofferedbytheBankandtheBank’simage.
3. Theconsentreferredtoinparagraph1mayberevokedatanytimebytheCustomersubmittingawrittenstatementtotheBank.
§79AllcorrespondencerelatedtotheprocessingofpersonaldataorcommercialinformationshouldbesenttomBankS.A.,ul.Senatorska18,00-950Warsaw,withtheannotationof“Personaldata”or“Commercialinformation”.
§801. TheCustomermaylodgeacomplaintinconnectionwiththeBank’sprovisionofservicesundertheAgreement.2. ComplaintsmaybesubmittedtoanyorganisationalunitoftheBankthatcarriesoutcustomerserviceoperationsfortheCustomer.Thelistoforganisational
unitsoftheBank,includingtheiraddresses,ispublishedonthemBankGroupWebsite.3. Complaintsmaybelodgedthroughelectronicdistributionchannels,inwriting,inelectronicformat,bytelephoneorpersonallytotheBank’semployee.4. ComplaintsshouldbelodgedbytheCustomerpromptlyafteraneventjustifyinglodgingacomplaintisrevealed.5. TheBankshallexamineanycomplaintwithoutdelay,assoonaspossible,provided,however,thatthetimetoexamineacomplaintshouldnotexceed30
calendardaysfromreceiptofthecomplaintbytheBank.Inespeciallydifficultandcomplexcases,theabovetimelimitmaybeextendedupto90days.Iftheabove30-daylimitisexceeded,theBankwillnotifytheCustomerofthereasonforsuchdelayandoftheexpectedtimetocompletethecomplaintexaminationprocess.
6. Havingexaminedthecomplaint,theBankwillnotifytheCustomeroftheoutcomeofthecomplaintexaminationproceedings.ThereplytothecomplaintshallbedeliveredintheformatcorrespondingtotheformatinwhichthecomplaintwassubmittedtotheBankorinanotherformatagreedwiththeCustomer.
7. TheaboveprovisionsshallbewithoutprejudicetotheCustomer’srighttoenforceclaimsagainsttheBankundergenerallyapplicablelawsandregulations.8. Theprovisionsofparagraphs1through7shallnotprejudicetheCustomer’scomplaintsreferredtoinChapter14oftheRegulations“BankStatementsand
BalanceConfirmation”.
§811. TheIBAARegulationsshallbebindinginaccordancewiththeprovisionsofArticle384oftheCivilCodeandArticle109oftheBankingLaw.2. TheCustomershallconfirmhisacceptanceoftheprovisionsoftheIBAARegulationsbysigningtheBankAccountAgreement.

§ 84AllprovisionsoftheRegulationsreferringtothemBankCompanyNetsystemusersshouldbeappliedaccordinglytothemBankCompanyNetsystemcontrollers.
§ 851. TheCustomer’sordersreferredtoin§83point39arefulfilledbytheBanksolelyunderthetermsandinthescopesetforthintheseRegulationsunlessthese
Regulationsprovidethatspecificregulationsshallapply,andspecificallyregulationsreferredtoinprovisionsregardingthefulfilmentoforderswiththeuseofoptionalmodulesortransactionplatforms.
2. TheprovisionofmodulesortransactionplatformsbytheBank,orcommencementofexecutionoftheCustomer’sordersbytheBankwiththeuseofmodulesortransactionplatformsmayrequirethesigningofanadditionalAgreementbytheParties,orthefulfilmentbytheCustomerofotherrequirementsspecifiedinregulationsreferredtoinparagraph1.
3. InthecaseofconflictofprovisionsoftheseRegulationswithanyoftheregulationsreferredtoinparagraph1,provisionsofregulationsreferredtoinparagraph1shallapply.
CHAPTER 2 Principles of Providing the mBank CompanyNet system
§ 86InordertobeprovidedwiththemBankCompanyNetsystem,theCustomermustsigntheAgreementwiththeBankandfulfilconditionssetforthintheseRegulations.
§ 871. TheAgreementisaframeworkagreementwithinthemeaningofprovisionsofthePaymentServicesAct.2. ThefollowingprovisionsshallnotapplytoanypaymentsservicesprovidedunderanAgreement:ChapterIIofthePaymentServicesActandArticles34-37,
sections3and4ofArticle40,Article45,sections2to5ofArticle46,Article47,Article48,Article51,andArticles144to146ofthePaymentServicesActor,ifallowed,anyotherlegalprovisionsthatwillamendormodifytheaboveprovisions.
§ 881. SpecificationoftheparametersoftheconfigurationofthemBankCompanyNetsystemoccurs,throughsubmissiontotheBankofappendices,signedbythe
Customer,andtheirapprovalbytheBank.2. ForthepurposeofproperconfigurationofthemBankCompanyNetsystemparameters,theCustomerisobligedtosubmitthemBankCompanyNetSystem
Customer’sAccessRightsCardtogetherwithallrequiredappendices,andspecifically:1/ ThemBankCompanyNetSystemUserCard,foreachmBankCompanyNetuser.ItispossibletosimultaneouslyallocateidenticalrightstomultiplemBank
CompanyNetusersonthebasisofasinglemBankCompanyNetSystemUserCard,2/ AuthorizationSchemeCard,3/ AccountAuthorizationLimitCardsinthecasewheretheCustomerwishestodefineseparateauthorizationlimitsfortheindividualaccountsmadeavailable
underthemBankCompanyNetsystem,4/ IDCardincludinginformationaboutprocessingpersonaldataforeachuserwhoundermBankCompanyNetSystemUserCardwasgrantedrightsbythe
CustomertoauthorizeordersortousetheFXplatforminthescopestipulatedinparagraph5,5/ Applicationforpurchase/renewalofthecertificateunderthemBankCompanyNetsystemforusersofmBankCompanyNetusingthecertificatesservice
undermBankCompanyNet.3. AppendicessubmittedbytheCustomerbecomeanintegralpartoftheAgreementupontheiracceptancebytheBank.4. ThescopeofauthorityallocatedtothegivenmBankCompanyNetsystemuseronthebasisofsubmittedappendicesisthesoleresponsibilityoftheCustomer
whograntedthatauthority.TheBankshallnotberesponsibleforanylossesthatmayariseduetoactionsofmBankCompanyNetsystemuserormBankCompanyNetsystemcontroller,actinginlinewiththescopeoftheirauthoritydefinedinthecontentsoftheappendices.
5. WhentheCustomerauthorisesmBankCompanyNetsystemusertoconcludetransactionsintheFXplatform,byactingso,he/shealsoauthorisessuchausertoreviewtransactionsintheFXplatformoftheCustomerandtoopentermdepositsandconcludeFXtransactionsbyphone.
6. IftheaccessrightsofthemBankCompanyNetsystemuserdefinedinmultipleappendicesaredifferentorcontradictory,thedocumentsubmittedwiththelatestdateshallprevail.Ifthecontradictoryappendiceshavebeensubmittedatthesamedate,theBankrefusestheiracceptanceandreturnsthecardstotheCustomer.
7. TheBankcommencestheimplementationofthemBankCompanyNetsystemuponsubmissionbytheCustomerofalldocumentslistedinparagraph2andupontheiracceptancebytheBank.
8. AppendicesandotherdocumentstiedtobankingactivitiesmaybesubmittedtotheBankaselectronicdocuments,providedthatthePartieshaveearlieragreedsuchmannerforsubmissionofdocuments.TheagreementoftheappropriatemannershallbeunderstoodastheBankprovidingtherelevantfunctionalitiesofthemBankCompanyNetsystem,enablingthePartiestofulfilrequirementssetforthinArticle7oftheActdated29August1997–theBankingLaw(consolidatedtext:JournalofLawsof2012,no.1376,asamended).
§ 891. TheCustomerisentitledtochangethesystem’sconfigurationparametersduringthetermoftheAgreement.2. Changeofthesystem’sconfigurationparametersduringthetermoftheAgreementmustbemadeinwritingunderthesanctionofinvalidity.Theprovisionsof
§88areappliedaccordingly.3. DuringthetermoftheAgreementtheBankmaychangethespecimensofdocumentsreferredtoin§88.4. TheBankinformstheCustomerofanychangetothecurrentspecimensofdocumentsreferredtoin§88.5. AftertheCustomerreceivesnewspecimensofdocuments,inordertochangethemBankCompanyNetsystemconfigurationparameterstheCustomerisobliged
tousesolelythenewspecimensofdocuments.

§ 901. TheCustomermayobtainaccesstothemBankCompanyNetsystemviaamobiledevicereferredtoin§83paragraph34(mBankCompanyMobileservice).2. TheBankprovidestheCustomerwithaccesstothemBankCompanyMobileserviceunlesstheCustomerresignsfromtheservicebysubmittingthe“Application
forchangingrightsinthemBankCompanyNetsystem”availableinthemBankCompanyNetsystemorsubmitsawrittenstatementonresigningfromthemBankCompanyMobileserviceinthebranch.TheCustomermaysubmitthewrittenstatementofresignationatanytime,however,theauthorisationsarechangedbytheBankinthemBankCompanyNetsystemnolaterthanonthenextbusinessdayfollowingthedayonwhichtheBankreceivestheCustomer’sstatement.IftheCustomerresignedfromtheservice,inordertoreactivateithe/sheneedstoexpressintenttousetheservicebysubmittingthe“ApplicationforchangingrightsinthemBankCompanyNetsystem”availableinthemBankCompanyNetsystemorsubmittingawrittenstatementinthebranch.TheauthorisationsarechangedbytheBankinthemBankCompanyNetsystemnolaterthanonthenextbusinessdayfollowingthedayonwhichtheBankreceivestheCustomer’sstatement.
3. With themobile device the Customermay access the full or simplified version of themBank CompanyNet system (no possibility to authorise orders).CustomersmayobtainaccesstothesimplifiedversionofthemBankCompanyNetsystembyvisitingwww.m.companynet.com.plintheLITEversionuponpriorauthenticationwiththeuseofthetoken.
4. TheCustomerwhoexpressesanintenttousethemBankCompanyMobileserviceshoulddownloadthemBankCompanyMobileapplicationfromanappropriateon-lineshop(GooglePlay,AppStore,AppWorld,WindowsMarketplace),activateitinlinewiththerulespublishedonthemBankGroupwebsitesattheaddresswww.mbank.pl/msp-korporacje/bankowosc-elektroniczna/.LoggingintotheapplicationmaytakeplacebymeansofapasswordgeneratedbythetokenoramobilepassworddefinedbytheCustomer(aseriesofdigitswithnotlessthansixandnotmorethantwelvedigitsenablingonlypassiveworkinthemBankCompanyMobileapplicationwithoutthepossibilityofauthorisingorders).
5. TheBankchargesafeeforusingthemBankMobileCompanyNetserviceinaccordancewith§§159-161oftheRegulations.TheBankchargesthefeeforusingthemBankCompanyMobileserviceonlyiftheCustomerhasatleastonemobiledeviceregisteredandactivatedinthemBankCompanyNetsystem.
§ 911. In terms ofmBankCompanyNet systemand the accounting andfinancial systemof theCustomer, he/shemaygain access tomBank service -mBank
CompanyConnectPartnerPackage-thankstowhichthefollowingoperationsarepossible:1/ handlinginstructions,2/ downloadingbankaccountstatementsfromtheCustomer’sbankaccountsintheMT940format,3/ downloadingbankaccountstatementsfromtheCustomer’sbankaccountsinthehtmlformat,4/ downloadingcurrencyexchangeratesofmBankS.A.andtheNationalBankofPoland,5/ downloadingreportsontheturnoverintheCustomer’sbankaccounts,6/ collectingotherreportsspecifiedandagreedbetweentheCustomerandtheBank.
2. InordertousemBankCompanyConnectPartnerPackage,theCustomerhastosignanannextotheAgreement,withprovisionsprovidingforthetypeofrenderedservicesreferredtoinparagraph1,usemBankCompanyNetsystemwithatleastonecertificateortokenactivatedinthesystem,andhavethefollowing:1/ acomputerconnectedtotheInternetwithhardwareandsoftwarecompatiblewiththefinancialandaccountingsystem,2/ softwareofthefinancialandaccountingsystem(thelistofproducersofsoftware,systemsandversionswiththeBank’scertificates,thankstowhichmBank
CompanyConnectPartnerPackageservicemaybeused,isavailableatthemBankGroupwebsitesattheaddresswww.mbank.pl/msp-korporacje/bankowosc-elektroniczna/and,
3/ amodule(package)thankstowhichmBankCompanyConnectPartnerPackageservicemaybeused,ifthemodulehasnotbeenprovidedwiththesoftwareofthefinancialandaccountingsystem.
3. mBankCompanyConnectPartnerPackageserviceeachtimerequirestheuseofatokenorsecureelectronicsignatureverifiedbymeansofavalidcertificateactivatedinmBankCompanyNetsystem(inordertoconnectwiththeBank’ssystem,atokenorsecureelectronicsignaturehastobeused).
4. TheCustomerwhousesmBankCompanyConnectPartnerPackageisobligedtoupdate:1/ mBankCompanyConnectPartnerPackagesoftwareinlinewiththeBank’srecommendationspublishedatthemBankGroupwebsitesattheaddresswww.
mbank.pl/msp-korporacje/bankowosc-elektroniczna/and2/ thefinancialandaccountingsystem/theCustomerenterprisemanagementsysteminlinewithrequirementsorrecommendationsofproducersofthe
aforesaidsystems.5. TheCustomerisobligedtousemBankCompanyConnectPartnerPackageintheversionnolaterthanthepreviousversion,withtheprovisionthattheCustomer
mayuseasoftwareversionreleasednolaterthan12monthsagointhecasewhenthesoftwareisupdatedmorethantwiceayear.6. TheCustomerisobligedtosecuremBankCompanyConnectPartnerPackagesoftwareandfilessenttotheBankanddownloadedfromtheBankbyavalidanti-
virus,firewallandanti-spywaresoftwareetc.,withduediligenceandundertakesnottomakethesoftwareavailabletounauthorisedparties.7. TheCustomerisobligedtofamiliarizehimself/herselfwiththetechnicaldocumentationandusermanualsprovidedtohim/herbytheBankaswellaswiththe
functionalityofmBankCompanyConnectPartnerPackage.8. TomattersnotregulatedintheRules,separateprovisionsonmBankCompanyConnectservicesofferedbymBankS.A.apply.
CHAPTER 3 Identification of Users
§ 921. TheBankassignsapermanentIDforeachmBankCompanyNetsystemuserand mBankCompanyNetsystemcontroller.ThemBankCompanyNetsystemuser
andcontrollermayspecifyanalias.2. UnderthemBankCompanyNetsystem,theBankenablestheCustomertoobtainaContactCentreIDandContactCentrePINforeachsystemuserandsystem
controller.3. TheBankdeliversarequestednumberofPIN-protectedtokenstotheCustomer.4. AuthorizationofordersunderthemBankCompanyNetsystemisperformedwiththeuseoftokensandelectronicsignatures.5. TokensshallbedeliveredtothepersondesignatedbytheCustomer,authorisedtocollectthetokens,inthemanneragreedwiththeCustomer.6. Identificationofusersmaybeperformedalsoinanothermanner,agreedbythePartiesindividuallyintheAgreement.
§ 931. UponreceiptofthetokenstheCustomershallcheckwhethereachtokenacceptsthe“0000”PINcode.2. Intheeventthat:
1/ eachtokenacceptsthe“0000”PINcode,theCustomershouldcompleteandsignthetokenreceiptformprovidedwiththetokensandsubmitittothebranch,2/ atokendoesnotacceptthe“0000”PINcode,theCustomershouldimmediatelynotifytheBankinordertoreplacethetoken.
3. TheCustomershallsetanewPINcodethatdiffersfromthe“0000”PINcodeinordertoprotectthetokenfromunauthoriseduse.

CHAPTER 4 Security of the mBank CompanyNet system
§ 941. TheBankidentifiestheCustomerwithapermanentID,whilehisauthenticationisbasedonanaccesspasswordorone-timetoken-generatedpassword.The
Customerwhousesthe mBankCompanyNetsystemviaamobiledeviceisadditionallyidentifiedbytheBankbytheuniqueIDofthemobiledevice.2. AnaliasmaybeusedinsteadofthepermanentID.3. Duringatelephoneconversation,theBankidentifiestheCustomerwiththeContactCentreID,whilehisauthenticationisbasedontheContactCentrePIN.
§ 951. TheCustomerundertakestoprotectpermanentIDs,aliases,accesspasswords,tokens,PINcodes,ContactCentreIDsandContactCentrePINcodes,withthe
observanceofduecare,inparticularagainsttheirdisclosuretounauthorisedpersons.2. TheCustomerundertakestoprotectallthedevicesusedbytheBanktoexecuteelectronicbankingservices,includingmobiledevices,withduediligence,in
particularbymeansoftherelevantsoftwareandhe/sheundertakesnottoprovidethesedevicestounauthorisedpersons.3. TheCustomerisliableforincorrectoperationofthedevicesreferredtoinparagraph2inconnectionwiththeactivityofmalicioussoftwareinstalledinthose
devices.
§ 961. TheCustomerisobligedtoimmediatelynotifytheBankoftheloss,theft,appropriationorunauthoriseduseofatoken.TheCustomershallreporttheloss,theft
appropriationorunauthoriseduseofatokenbytelephone,callingtheContactCentreorbyelectronicmailunderthemBankCompanyNetorBRESOKsystems.2. Afterthenoticementionedinparagraph1issubmitted,theBankblocksaccesstothebankingsystemwiththetokentowhichthenoticerefers.3. TheBankhastherighttoblockatoken:
1/ forjustifiedreasonsotherthanthoseindicatedinparagraph1,relatedtosecurityofthemBankCompanyNetsystem,2/ duetothesuspectedunauthoriseduseofthemBankCompanyNetsystemorintentionalcausinganunauthorisedpaymenttransaction.
4. TheBankimmediatelynotifiestheCustomeroftheblockingofthetoken.
§ 971. Subject toparagraphs2-3, theBankunblocksthetokenordeliversanewtokento theCustomer,onthebasisof thetokenexchange/newtoken issuance
Instruction,ifthereasonsformaintainingtheblockadeceasedtoexist.2. Thenoticementionedin§96paragraph1shouldbeimmediatelyconfirmedbytheCustomerintheformofalettersubmittedinthebranch.3. PursuanttotheCustomer’swrittenconfirmationofloss,theft,appropriationorunauthoriseduseofthetoken,theBankissuesanewtokentotheCustomer.4. submittedintheBankbranch.
§ 981. TheCustomerisobligedtoforthwithnotifytheBankaboutaloss,theft,transferofownershiporunauthoriseduseofthemobiledevice.TheCustomerreportsthe
loss,theft,transferofownershiporunauthoriseduseofthemobiledevicebycallingtheContactCenterorbypersonallydeactivatingthemobiledeviceinthemBankCompanyNetsystem.
2. Afterthenotificationreferredtoinparagraph1hasbeensubmitted,theBankblocksaccesstotheBank’stransactionsystemviathereportedmobiledevice.3. TheBankhastherighttoblockaccesstothemBankCompanyNetsystemviaamobiledevice:
1/ duetojustifiedreasonsotherthanthosereferredtoinparagraph1,whichareconnectedtothesecurityofthemBankCompanyNetsystem,2/ inconnectionwithasuspicionofunauthoriseduseofthemBankCompanyNetsystemoranintentionalactionleadingtounauthorisedpaymenttransaction.
4. TheBankforthwithnotifiestheCustomerthataccesstothemBankCompanyNetsystemviaamobiledevicewasblocked.
§ 991. TheBankverifiestheIPaddressesbymeansofwhichtheCustomerconnectswiththeBank’ssystemusinginparticularthelistsincludingIPaddresseswhich
poseapotentialthreattotheBank’sorCustomer’ssecurity,especiallysuchIPaddressesthatareusedforphishing,sendingspamorforotherpurposescontrarytothelaw.
2. TheBankmayblocktheIPaddressusedbytheCustomerinthemannerdescribedinparagraph1aboutwhichtheBankinformstheCustomerifhe/shemaynotconnectwithmBankCompanyNetsystem.
3. TheIPaddressreferredtoinparagraph2isunblockedwithinamonthfallingafterthedatewhenitwasblockedbytheBank,oncetheCustomerhasverifiedtheblockedIPaddress,undertakenmeasurestoeliminatethethreatreferredtoinparagraph1andinformedtheBankinwritingthattheproblemwassolved.
§ 100TheCustomerisresponsibleforabreachofprovisionsof§§95-99oftheseRegulations;inparticular,theCustomershallbeliableforordersplacedinconnectionwithabreachoftheseprovisions.
CHAPTER 5 Rules for Processing Orders Authorised with the Use of Secure Electronic Signatures Verified by means of Certificate
§ 1011. TheBankmakesitpossiblefortheCustomerofthemBankCompanyNetsystemtouseasecureelectronicsignature.2. Secureelectronicsignature,verifiedbymeansofavalidqualifiedcertificate,identifiesthepersonplacingthesignature;itislegallyeffectiveasspecifiedinthe
Act.3. InthecasewhentheCustomerusesthesecureelectronicsignaturewithinthemBankCompanyNetsystem,theBankidentifiestheCustomerwithapermanent
ID,whilehisauthenticationisbasedonasecureelectronicsignatureverifiedbyavalidqualifiedcertificate.4. SecureelectronicsignaturemaybeusedbythemBankCompanyNetsystemusers:
1/ nexttoorinsteadofaccesspasswordtothemBankCompanyNetsystem,2/ nexttoorinsteadoftokens.
5. TheCustomermayobtainthecertificatedirectlyfromaqualifiedentityprovidingcertificationservices(withinthemeaningoftheAct):1/ directlyor2/ viatheagencyoftheBank–byfilingan“Applicationforpurchase/prolongationofthecertificatewithinmBankCompanyNetsystem”.

6. TheuseofthesecureelectronicsignatureinthemBankCompanyNetsystemispossibleoncethecertificateisactivatedinthatsystem.Inordertoactivatethecertificate,theCustomershouldsubmitacorrectlyfilledCardofthemBankCompanyNetsystemuserandindependentlyregisterthecertificateinthemBankCompanyNetsystem.
7. TheBankforthwithactivatesthecertificate,atthelatestonthenextbusinessdayfallingafterthedayonwhichtheuserregisteredthecertificateinthemBankCompanyNetsystem.
8. ThecertificatemaybepurchasedorrenewedwiththeagencyoftheBankonthebasisofthe“Applicationforpurchase/renewalofacertificate inmBankCompanyNet”submittedbytheCustomer,providedthatthedataenteredthereinarecorrect.
9. TheCustomerundertakesnottoregisterinthemBankCompanyNetsystemthecertificatesusedforverificationofsecureelectronicsignatures,whichinclude:1/ exclusivelyaliasofthepersoncreatingtheelectronicsignature(withoutspecifyingnameandsurnameofthisperson),or2/ alimitationonthevalidityofthecertificateexcludingitsuseundertheAgreement.
10. UndertheAgreementtheBankacceptsthehighesttransactionlimitasspecifiedinthecontentofthecertificate.11. TheCustomerundertakestopresentattheBank,eachtimeatitsrequest,thecertificationpolicyunderwhichthecertificateusedbytheCustomerwasissued
andtheagreementonprovidingcertificationservicesconcludedbetweentheCustomerandthequalifiedentityprovidingcertificationservices.12. TheCustomerundertakestosecure:
1/ datausedtocreateasecureelectronicsignature,and2/ secureelectronicsignature-creationdevices(withinthemeaningoftheAct),beingathis/hersoledisposal,priortomakingthemavailabletounauthorised
persons.13. TheCustomerisresponsibleforabreachoftheprovisionsofparagraph10andparagraph12,inparticulartheCustomerwillbechargedwiththetransactions
executedunderpaymentordersplacedinconnectionwithabreachoftheseprovisions.14. OrdersplacedwiththeuseofasecureelectronicsignaturewhichhasnotbeenpositivelyverifiedwithavalidcertificatearenotexecutedbytheBank.15. UndernocircumstancesdoestheBankexecuteorders:
1/ intheperiodduringwhichthecertificateusedforverificationofthesecureelectronicsignatureissuspended(alsowhensuspensionofthecertificateisrevoked),
2/ afterrevocationofthecertificate.16. TheBankexecutesorderssubmittedbymeansofasecureelectronicsignatureimmediatelyafteronehourfromthetimeofreceivingtheordersbytheBank
(provideditispossibleonagivenbusinessday),unlesstheyweretimestamped(withinthemeaningoftheAct)atthetimeofappendingthesecureelectronicsignature,thentheBankexecutestheordersforthwith,however,notearlierthanupononehourfromthetimeofperformingthetimestampingservicebyaqualifiedentityprovidingcertificationservices.
17. Inthecaseofordersplacedwiththesecureelectronicsignature,theexecutiondeadlinessubjecttotheprovisionsofparagraph16apply,unlesstheAgreementprovidesfordifferentexecutiondeadlines.
18. TheBankdoesnotbearresponsibilityfortheoperationofsecureelectronicsignature-creationdevices(withinthemeaningoftheAct)andtheoperationofelectronicsignature-verificationdevices(withinthemeaningoftheAct)thatareatthesoledisposaloftheCustomer.
19. TheCustomeracknowledgesandacceptsthefactthat:1/ aqualifiedentityprovidingcertificationservicesisthesolecompetentauthorityinallmattersrelatedtotheoperationofthesecureelectronicsignatures
andtherevocationorsuspensionofqualifiedcertificatesobtainedbytheCustomerfromaqualifiedentityprovidingcertificationservices (withinthemeaningoftheAct);theBankdoesnotacceptnotificationsreportedbytheCustomerinthisrespect,
2/ theBankisnotthecompetentauthorityinmattersrelatedtotheoperationofsecureelectronicsignature-creationdevicesandtheoperationofelectronicsignature-verificationdevices(withinthemeaningoftheAct)anddoesnotacceptnotificationsrelatedtoincorrectoperationofthosedevicesreportedbytheCustomer.
20. TheBankstatesthatinthescopeofexecutingordersauthorisedbysecureelectronicsignaturesverifiedbycertificatestheBankisliableexclusivelyforcorrectoperationofthemBankCompanyNetsoftwareandacceptsnotificationsconcerningtheaforesaidviaContactCentre.
CHAPTER 6 Access to Bank Information and Electronic Documents
§ 1021. ThroughthemBankCompanyNetsystemtheBankprovidestheCustomerwiththefollowinginformationonthebalanceasatagivendateandtimeandturnover
intheCustomer’sbankaccounts.2. ThroughthemBankCompanyNetsystemtheBankmayalsoprovidetheCustomerwithotherbankinformation,inparticularintheformofreports,orinformation
intheLiquiditymodule(optionalmodule).3. TheLiquiditymoduleprovidestheCustomerwithaccesstoinformationonhisliquidity,inparticularon:
1/ accountingandforecastbalance,2/ totalamountoforderssubmittedinthemBankCompanyNetsystemasatagivenday,dividedbyordertypes,3/ otheraccountingeventsaffectingtheforecastbalance,includingdataondepositsandloans,4/ eventsforecastbytheCustomer.
4. Documentscontaining thebank information referred to inparagraph1andparagraph2donot substitutebankdocumentsunless their contentsprovideotherwise.
5. Theforecastbalancereferredtoinparagraph3point1,calculatedbasedontheposteditems,itemstobeexecutedinthefutureanditemsresultingfromtheCustomer’sforecasts,istobeusedsolelyforanalyticalpurposes.
6. InthemBankCompanyNetsystemtheCustomermayusetheBusinessnewsmodule(optionalmodule),subjecttoparagraph7.7. TheBankprovidestheCustomerwiththeBusinessnewsmodule,unlesstheCustomerresignsfromtheservicebymeansof“ApplicationforachangeofmBank
CompanyNetsystemauthorisations”orplacesattheBranchawrittendeclarationaboutresignationfromtheBusinessnewsmodule.TheCustomermayresignfromtheserviceanytimeandthedeactivationoftheservicetakesplacethenextbusinessdayafterwhichtheCustomer’sdeclarationwasreceivedbytheBank.IftheCustomerresignsfromtheservice,he/sheneedstoinformabouttheintenttousetheserviceagainbymeansof“ApplicationforachangeofmBankCompanyNetsystemauthorisations”availableinthesystemorplaceawrittendeclarationattheBranch.TheserviceisactivatedagainonthebusinessdayfollowingthedateonwhichtheBankreceivedthedeclaration.
8. TheBusinessnewsmoduleprovidesaccesstoinformationotherthanthebankinformationindicatedinparagraphs1and2,inparticularthelatestdomesticandworldnews.NotificationsontheavailabilityofnewinformationintheBusinessnewsmodulemaybesentbytheBank,uponpriorconsentoftheCustomer,totheemailaddressindicatedbytheCustomeronwww.ib.companynet.com.pl,uponpriorauthorisationperformedbytheCustomer.
9. Informationmarkedas“PAP”publishedonwww.ib.companynet.com.pl,constitutesapartofthePAPService,whichisadatabaseproducedbyPolskaAgencjaPrasowaSpółkaAkcyjna(PolishPressAgency),withitsregisteredofficeinWarszawa,subjecttoprotectionundertheActof4February1994onCopyrightandRelatedRights(uniformtext:JournalofLawsof2006,No.90,item631asamended)andtheActof27July2001onDatabaseProtection(JournalofLawsof2001,No.128,item1402).TheaboveinformationisusedbytheBankunderarespectivelicenceagreement.Theusersofwww.ib.companynet.com.pl,areprohibitedfromusingtheinformationinanywaywhatsoever,savefortheexceptionsprovidedforinlaw,inparticularthepermissiblepersonaluse.
10. Theprovisionsofparagraph9applyaccordinglytotheinformationavailableintheBusinessnewsmodulesuppliedbyotherproviders.

11. TheCustomerisexclusivelyliableforthemethodandresultsofusingtheinformationmadeavailablebytheBank.12. InrespectofusingtheBusinessnewsmoduletheBankchargesfeesinaccordancewith§§159–161oftheRegulations,withareservationthatthefeesforusing
theBusinessnewsmodulearenotchargedduringthethreemonthsfollowingthedayonwhichthismoduleismadeavailabletoagivenCustomerforthefirsttime.
§ 103TheCustomermakesthecommitmenttotheBanktoreadthebankinginformationreferredtoin§102atleastonceaweek.
§ 1041. TheBankshallmaketheelectronicdocumentsavailabletotheCustomerthroughthemBankCompanyNetsystem.2. Thenatureandfunctionofagivendocumentarisesfromitscontent.
CHAPTER 7 General Principles of Fulfilment of Orders
§ 1051. PaymentordersplacedbytheCustomerwiththeBankareauthorisedbymeansofone-offpasswordsgeneratedbythetoken,orbymeansofthesecure
electronicsignature.2. TheBankfulfilsonlythosepaymentorderswhichareproperlyauthorisedbyusersofthemBankCompanyNetsystemwhomtheCustomerallocatedrightsto
authorizationonthebasisofthemBankCompanyNetSystemUserCard,theIdentityCardtogetherwithinformationonpersonaldataprocessingortheIdentityCard,andtheAuthorizationSchemeCard.
§ 1061. PaymentordersmaybesubmittedbytheCustomerbothonbusinessdaysandonnon-businessdays.2. ApaymentordershallbedeemedreceivedbytheBankuponreceivingbytheBankapaymentorderthatiscorrectlyfilledin,provided,however,thatiftheBank
hasreceivedapaymentorderonanon-businessday,itshallbedeemedreceivedbytheBankonthefirstbusinessdaythereafter.3. IftheBankreceivesapaymentorderreferredtoinparagraph1afterthecut-offtimespecifiedbytheBankpursuanttoparagraph4,itshallbedeemedreceived
bytheBank,withinthemeaningofthePaymentServicesAct,onthenextbusinessdayfortheBank.4. Detailed informationconcerningcut-off timesandorderexecutiondeadlines,aswellas formsandmethodsappliedbytheBanktocashsettlements,are

§ 1071. Subjecttoprovisionsof§106,theCustomermaysubmitpaymentorderswithafuturefulfilmentdate.2. Iftheorderexecutiondatementionedinparagraph1fallsonanon-businessday,itisassumedthattheBankreceivedthepaymentorderonthefirstbusiness
dayfollowingthenon-businessday.
§ 1081. TheBankcarriersoutpaymentordersoftheCustomerdenominatedinthezlotyorinaforeigncurrencyincludedinthemBankS.A.ExchangeRates.2. Inthecasewhenitisnecessarytoconverttheinstructionamount,theBankeffectsthetransactionusingtheexchangerateofthecurrencyreferredtoin
paragraph1,applicableattheBankatthetimewhenthepaymentorderiscarriedout.3. Theprinciplessetforthinparagraphs1-2applyunlesstheprovisionsofseparateagreementsenteredintobetweentheCustomerandtheBankprovideotherwise.
§ 1091. ApaymentordersubmittedbytheCustomerisfortheBank,subjecttoprovisionofparagraph2,afinalandbindingontheCustomerordertochargethe
Customer’sbankaccountmaintainedbytheBankand,withareservationoftheordertoexecuteapostalorderandHalCashtransfer,anordertocreditthebankaccountspecifiedinthecontentoftheinstruction.
2. TheCustomermaycancelthesubmittedpaymentorderuptothedayprecedingtheorderfulfilmentdateinclusive.3. TheBankhastherighttocollectafeeforcancellinganorder,referredtoinparagraph 2.Inthecasewhereafeeiscollected,itsamountisspecifiedinthe“Tariff
ofbankingfeesandcommissionsofmBankforSMEandCorporates”––SectionI–BankAccounts,constitutinganintegralpartoftheAgreement.
§ 1101. TheCustomerauthorisestheBanktodebithisbankaccountbytheamountofpaymentorderfulfilled.2. TheBankshalldebittheCustomer’saccountwhentheorderisfulfilledunlessotherwiseprovidedforbytheprovisionsofagreementssignedbytheCustomerand
theBank.3. Atthetimewhentheaccountisdebitedwiththeorderamount,theCustomerisobligedtohavefundsdepositedonhisbankaccounttotallingtheorderamount
increasedbyfeesandcommissionsduetotheBank.
§ 1111. TheBankconfirmsfulfilmentoforderswithbankstatements,pursuanttoprovisionsoftheAgreement.2. Thedocumentsreferredtoinparagraph1containinparticularinformationonfulfilledorders,settlementsrelatedtotheseorders,andonfeesandcommissions
chargedbytheBank.3. UnderthemBankCompanyNetsystemtheBankimmediatelyafterexecutionofpaymentorderprovidestheCustomerwithanelectronicconfirmationofitsfulfilment.
§ 112TheBankshallnotbeliablefortheloss,distortionordelayinthefulfilmentofaninstructionarisingforreasonsbeyondtheBank’scontrolduringtransmissionoftheinstructionbymeansofanyfixedlineorwirelesscommunicationdevicesorfortheeffectsoffulfilmentoftheCustomer’sinstruction.
§ 113TheBank’sliabilitydoesnotcoverdamagescausedbycircumstancesbeyondtheBank’scontrol,inparticular,forcemajeureoractionsofpublicauthorities.
§ 1141. Provisionsof§§105-107and§108paragraph1donotrefertodirectdebit,whosefulfilmentrulesaresetforthinaseparateagreement,orpaymentorders
fulfilledunderoptionalmodulesandtransactionplatforms,forwhichtheorderfulfilmentrulesaresetforthinseparateregulationsreferredtointhecontentsoftheseRegulations.

CHAPTER 8Special rules for executing Expres Elixir instant PLN transfers
§ 116AnExpresElixirtransferisadomestictransferexecutedinzlotyfromtheCustomer’sbankaccountmaintainedinzlotytothebeneficiarywhohasabankaccountmaintainedbyanotherentitywhichistheparticipantoftheExpresElixirsystem(asystemmaintainedbythePolishClearingChamber(KrajowaIzbaRozliczeniowaS.A.).ExpresElixirtransferscannotbemadetobankaccountsatmBankS.A.
§ 117ExpresElixirtransferorderresultsinexecutionofthistransferimmediatelyuponauthorisationofExpresElixirtransfer-providedthatboththeBankandtheentitywhichmaintainsaccountofthebeneficiaryofExpresElixirtransferareavailableatthesametime.
§ 118TheBankmakesthefollowingavailableundertheExpresElixirtransferorderformsinthemBankCompanyNetsystem:1/ informationconcerninghoursoftheBank’saccessibilityintheExpresElixirsystem,2/ currentlistofdomesticbankswhichareparticipantsoftheExpresElixirsystem,3/ informationconcerninghoursofaccessibilityofbanksmentionedinpoint2intheExpresElixirsystem.

§ 120FromthemomentofauthorisationoftheinstructionuntiltheCustomer’sbankaccountisdebited,theBankblocks–intheCustomer’saccount–cashintheamountoftheExpresElixirtransferplustheamountoffeecollectedfortheexecutionofthetransferinaccordancewiththeexisting“TariffofbankingfeesandcommissionsofmBankforSMEandCorporates”.
§ 121TheCustomermaycalloffanExpresElixirtransferauthorisedoutsidethesimultaneousaccessibilityofmBankS.A.(bankoftheentityissuingtheorder)andthebeneficiary’sbankintheExpresElixirsystem–untilthemomentofitsexecution.
CHAPTER 9 Specific rules for executing Blue Cash instant PLN transfers
§ 122BlueCashinstantPLNtransferisadomesticPLNtransferfromtheCustomer’sbankaccountinPLNtothebeneficiary’saccountoperatedbyotherentitybeingparticipantintheBlueCashPaymentSystem(maintainedbyBlueMediaS.A.).BlueCashtransferscannotbemadetobankaccountsatmBankS.A.
§ 123§§117-121applytoBlueCashinstanttransfersinPLN,however,eachtimereferencesaremadetherein:1/ toExpressElixirinstanttransfersinPLN,theyshouldbedeemedasBlueCashinstanttransfersinPLN,2/ toExpressElixirsystem,itshouldbedeemedasBlueCashPaymentSystem.
CHAPTER 10 Special Principles of execution of HalCash transfers
§ 1241. AHalCashtransferisadomestictransferexecutedinPLNfromthebankaccountoftheCustomermaintainedinPLNforthebenefitofthebeneficiary,whose
mobilephonenumberwasindicatedintheorder,andthetransferismadeviaanATMoraPOS.ThetransferwillbeexecutedundertheHalCashsystem(systemofHalCashtransfers)runbyHALCASHCEESpółkazograniczonąodpowiedzialnością.
2. TheprovisionsoftheRegulationsgoverningHalCashtransfers,inparticulartheprovisionsofthischapter,enterintoforceontheday indicatedbytheBankintheannouncementofthelaunchofHalCashtransferspublishedbytheBankonthemBankCompanyNetsystemloginsite.
§ 1251. WhenfilingtheHalCashtransfertheCustomerisobligedtoprovidethefollowinginformationintheorder:
1/ themobilephonenumberofthebeneficiaryoftheorder,2/ 4-digitcodeselectedindependently,whichwillbenecessarytomakeawithdrawalatanATMoraPOSbythebeneficiary,3/ theHalCashtransferamount,subjectto§126,4/ thevaliditydateoftheHalCashorder.
2. Providingcorrectdata,indicatedinparagraph1,isaconditionnecessarytoexecutetheorder.
§ 126MinimumandmaximumamountofasingleHalCashtransferismadeavailabletotheCustomeronthemBankGroupwebsitesattheaddresswww.mbank.pl/msp-korporacje/.TheHalCashtransferamountmustbePLN50oramultipleofPLN50.

§ 1271. FilingaHalCashtransferwillresultinforwardingthistransferbytheBankforexecutionundertheHalCashsystem.2. TransferringtheHalCashtransferforexecutionundertheHalCashsystemmakesitpossibletowithdrawtheamountintheorderbythebeneficiaryindicatedin
theHalCashtransferatadatesetbytheCustomer,inanetworkofATMsorterminalsservicingpaymentsoffundsfromtheHalCashsystem(onlyontheterritoryoftheRepublicofPoland).
§ 1281. FromthemomentoffilingtheHalCashtransferbytheCustomertheBankblocksthecashfunds-onthebankaccountoftheCustomer-intheamountof
theHalCashtransferuntiltheaccountoftheCustomerisdebitedwiththeamountoftheHalCashtransfer(whattakesplaceaftertheamountoftheorderiswithdrawnbythebeneficiary),increasedbythefeeamountcollectedforexecutingthetransferinaccordancewithanapplicable“TariffofbankingfeesandcommissionsofmBankforSMEandCorporates”.
2. InthecasewhenthebeneficiarydoesnotexecutetheHalCashtransferwithinitsexpirydateindicatedbytheCustomerinaccordancewith§125paragraph1point4,theHalCashtransferorderexpires,andtheblockadeofcashfundsintheamountoftheHalCashtransferislifted.
§ 1291. TheBankdebitstheaccountoftheCustomerwithfeesfor:
1/ filingaHalCashtransfer-onthedateoffilingtheorderoronthenextworkingday,providedthedayoffilingtheorderisaholiday,2/ executionoftheHalCashtransfer-immediatelyafterreceivingdatabytheBankonwithdrawingtheorderamountfromtheHalCashtransferorderbythe
beneficiary.2. Provisionsof§161paragraph2oftheRegulationsdonotapply.
§ 1301. TheBankpublishestheinformationon:
1/ themanneroffilingaHalCashtransferorder,2/ minimumandmaximumHalCashtransferamount,3/ contactandregistrationdataofHALCASHCEESpółkazograniczonąodpowiedzialnością,4/ mannerofexecutionofwithdrawalsfromtheHalCashsystembythebeneficiary,5/ ATMsorterminals,referredtoin§125paragraph1point2,6/ principlesandprocedureofhandlingclaimsbyHALCASHSpółkazograniczonąodpowiedzialnościąconnectedwithwithdrawalsfromtheHalCashsystem,atthemBankGroupwebsitesattheaddresswww.mbank.pl/msp-korporacje/.
2. TheBankisnotliableforthecontentoftheinformationreceivedfromHALCASHCEESpółkazograniczonąodpowiedzialnością,providedinparagraph1points3-6.

§ 132TheBankexecutesforeigntransferswiththefollowingcostdivisionoptions:1/ SHA – fees and commissions are divided respectively between the Customer (ordering party) and beneficiary (the Customer incurs the Bank’s fees and
commissions,andthebeneficiary,allotherfeesandcommissions),2/ OUR–feesandcommissionsarecoveredexclusivelybytheCustomer(orderingparty),3/ BEN–feesandcommissionsarecoveredexclusivelybythebeneficiary(theBankdebitstheCustomer’s(orderingparty’s)bankaccountindicatedinthecontents

2/ URGENT–orderexecutionprocedureonthevaluedateforthebeneficiary’sbankD+1,whereDmeansthedateofexecutionoftheCustomer’spaymentorderbytheBank,
3/ EXPRESS–orderexecutionprocedureonthevaluedateforthebeneficiary’sbankD,whereDmeansthedateofexecutionoftheCustomer’spaymentorderbytheBank.
2. Detailedinformationabouttheavailabilityofforeigntransferexecutionproceduresdependingonthecurrencyoftheordermaybefoundinthecurrent“TariffofbankingfeesandcommissionsofmBankforSMEandCorporates”.
§ 134TheCustomerauthorisestheBanktomodifyforeigntransfers(excludingtransfersdeliveredtothemBankCompanyNetsysteminfilessignedbythecertificatesupportedbytheBank)asregardsthecorrectdeterminationoftheorderexecutionprocedure(changeoftheSTANDARDproceduretoURGENT)andselectionofthecostoption(changeoftheBENoptiontoSHA)inordertoensurethecomplianceoftheorderwithprovisionsofthePaymentServicesAct–providedthattheforeigntransferoriginallysubmittedbytheCustomerisnotcompliantwiththoseprovisions.

§ 135TheCustomer,throughthemBankCompanyNetsystem,maysubmitanexecutionorderfor–withintheterritoryoftheRepublicofPoland:1/ (“standard”)postalorderdeliveredtoaspecifiedaddressinaccordancewiththeapplicableregulations,2/ aPosteRestantepostalorderwhichisissuedtotheaddresseeexclusivelyatthePostalOperator’spayingpostofficespecifiedbytheCustomer.PosteRestante
postalordersmustcontaintheforenameandsurnameorthefullnameofthepostalorderaddressee,andbecorrectlymarked(“PosteRestante”),togetherwiththepostalnumberofthePostalOperator’spayingpostofficetowhichtheaddresseeistoreportforthecollectionofthepostalorder.
§ 1361. Confirmationofthepostalorderfulfilmentorreturn,subjecttoprovisionsof§107oftheseRegulations,aresenttotheCustomeruponreceiptofthe“Recorded
delivery”slipofthepostalorderfromthePostalOperator,signedbytherecipientofthepostalorder,orreturndocument.Returnconfirmations“Recordeddelivery”andreturnsofthesentpostalordersaremadeavailabletotheCustomerbytheBankinareturnreport,whosestructureispresentedatthemBankGroupwebsitesattheaddresswww.mbank.pl/msp-korporacje/underthefilename“Struktura_raportu_przekazu_pocztowego”(Postal_order_report_structure).
2. TheBankdoesnotprovidetheCustomerwithactualpaperdocumentsofrecordeddeliveryorreturns.ThesedocumentsarestoredattheBankunderseparateregulations.
3. TheBankmayprovide theCustomerwithelectronic imagesof the recordeddeliveryor returndocuments,uponsubmissionby theCustomerofasigned“InstructiontoallocaterightstousethePostalOperator’swebsite(www.)andimagesofrecordeddeliveryandreturndocumentsofpostalorders”,andupontheCustomer’sapprovaltocovercoststiedtoprovisionofthisservice.
4. ElectronicimagesoftherecordeddeliveryorreturndocumentsaremadeavailableatthePostalOperator’swebsitefollowingtheapprovalandsigningoftheinstructionreferredtoinparagraph3.
5. TheCustomermayrequesttheBanktomakeavailabletheoriginalrecordeddeliveryorreturndocumentofthepostalorder.TheBank,within4businessdaysfromthedateofreceipttheCustomer’srequestsentbyelectronicmail,shalldelivertheoriginalrecordeddeliveryorreturndocumenttotheaddressindicatedbytheCustomer.TheratesoffeesarecompliantwiththepricelistpublishedonthemBankGroupwebsitesattheaddresswww.mbank.pl/msp-korporacje/.
§ 137Inthecasewhenthepostalorderisreturned,theCustomer shallreceivearefundoftheentireamountofthepostalordersenttothebankaccountfromwhichthepostalorderwassent.
§ 138TheCustomershallbechargedwiththepostalfeeforreturningthepostalordercollectedbytheBank,inaccordancewiththepricelistpresentedonthethemBankGroupwebsitesattheaddresswww.mbank.pl/msp-korporacje/.
CHAPTER 13 Specific Principles of Executing loan disbursement Orders
§ 1391. InthemBankCompanyNetsystemtheCustomermaysubmitanordertodisbursealoanwhichcanbeviewedbytheCustomerinthesystem.2. TheorderreferredtoinparagraphisexecutedbytheBank,subjectto§140,bymeansof:
1/ creditingtheloanamounttotheCustomer’sbankaccountwhichcanbeviewedinthemBankCompanyNetsystem,or2/ executingadomesticcredittransferoraforeigncredittransferusingtheloanamountinaccordancewiththeprovisionshereof.
3. Inordertoexecutethedomesticcredittransferortheforeigncredittransferreferredtoinparagraph2point2,theBankmaypartiallyusetheCustomer’sownfundsdepositedintheCustomer’sbankaccountwhichcanbeviewedinthemBankCompanyNetsystem.
§ 140TheBankdecidestoexecutetheloandisbursementorder,providedthattheCustomermeetsthefollowingconditions:1/ theCustomersubmitsacorrectlydraftedandauthorisedloandisbursementorderandfurnishestheBankwithsuchpaper-baseddocumentsrelatingtotheloan
asmayberequiredinthecreditagreementunderwhichtheorderissubmitted,2/ positiveresultoftheformalandcontent-relatedverificationofthecorrectnessandcompletenessofthesubmittedloandisbursementorderandthedocuments

§ 141TheBankconfirmstheexecutionoftheloandisbursementorderintheformofadomesticorforeigncredittransferbyprovidingtheCustomerwithelectronicconfirmationoftheexecutionoftheloandisbursementorderinthemBankCompanyNetsystem.
CHAPTER 14 Special Rules of Payment Orders Processing for Mass Payment and Mass Payment Plus
§ 1421. OnthebasisoftheAgreementoraseparateCustomerinstruction,approvedbytheBank,theBankprovidestotheCustomertheproductMassPaymentorMass
PaymentPlus.2. UndertheMassPaymentproducttheCustomermayfulfildomestictransferorderssolelyundertheCustomer’sowninstructions.3. UndertheMassPaymentPlusproducttheCustomermayfulfildomestictransferorders,includingtaxtransfersandsocialsecuritytransferssolelyunderthe

orinaseparateCustomerinstructionacceptedbytheBank.7. TheBankexecutesMassPaymentandMassPaymentPlusordersdenominatedsolelyinPLN.8. MassPaymentandMassPaymentPlusinstructionsareexecuteduptothelimitconstitutingthesumoftheMassPaymentaccountbalanceandanoverdraft
possiblygrantedunderseparateagreement.

9. TheMassPaymentaccountisdebitedwiththecombinedamountoffragmentaryordersincludedintheMassPaymentPlusorders,acceptedforexecutionbytheBank.10. FragmentaryorderscomprisingtheMassPaymentandMassPaymentPlusordersareexecutedontheexecutiondateofMassPayment indicatedbythe

7. TherangeofavailableinstructionsmaychangeasthemBankCompanyNetsystemisdeveloped.TheBankinformstheCustomereachtimethefunctionalitiesofthemBankCompanyNetsystemchange,throughanelectronicmessageprovidedtousersofthemBankCompanyNetsystem.
8. TheBankprovidestheCustomerwithreportsontheexecutionofinstructionssubmittedbytheCustomer,inparticular:1/ cardsrequests,2/ cardstop-ups.
9. ThereportsshallbeprovidedtotheCustomereachtimeinelectronicform,throughthemBankCompanyNetsystem.10. TheBankisliableforexecutionoftheCustomer’sinstructionaccordingtoitscontents.TheCustomershallbeliableforanyerrorsinthecontentsofinstruction
issuedtotheBank.11. TherulesforsubmissionbytheCustomerandexecutionbytheBankofinstructionsreferredtoinparagraph3aresetforthin:“AgreementonPaymentCardsfora
CorporateCustomer”orthe“AgreementtoissueandmanagePrepaidPaymentCardsofmBankS.A.”,andtheregulationsreferredtotherein,subjecttoprovisionsofparagraph12.

CHAPTER 18 Specific Principles of concluding selected financial market transactions under the FX platform
§ 1461. TheCustomerofthemBankCompanyNetsystemmaybegrantedaccesstotheFXplatform(optionalmodule),withinwhichshe/hemayconcludeselected
financialmarkettransactions.AuthorizationoftheCustomertothemBankCompanyNetTransactionPlatform,includingauthorizationofthemBankCompanyNetsystemusers,shouldbestipulatedasper§ 88.
2. ThemBankCompanyNetsystemuserisentitledtoconcludesingle-handedlyselectedfinancialmarkettransactionswithintheFXplatform,atthelatestonthethirdbusinessdayfromthedateofconclusionoforamendmenttotheAgreement,providingforgrantingthoseauthorizations.
§ 1471. TomattersnotregulatedinthisChapter,provisionsofthefollowingRegulationsapply:“GeneralTermsandConditionsofCo-operationwithClientsinFinancial
MarketTransactions”,“SpotFXtransactions”,subjectto§153paragraph2and“RegulationsonPLNandFXTermDepositsforInstitutionalClients”,subjectto§153paragraph3.
2. InthecaseofdiscrepanciesbetweentheprovisionsofthisChapterandtheprovisionsoftheRegulations,referredtoinparagraph1,theprovisionsofthisChaptertakepriority.
§ 148ProvisionsofthisChapterdonotapplytotheCustomerswhohaveobtainedauthorizationstotheFXplatformjointlybasedontheAgreement“MasterAgreementonCooperationRulesforFinancialMarketTransactions”andtheRegulation“FXplatform”.
§ 1491. TheCustomerauthorizestheBanktodebit/credithis/herbankaccount(SettlementAccounts)operatedbasedontheAgreementwiththeamountsresultingfrom
transactionsconcludedbytheCustomerwiththeBankviatheFXplatform.2. AstheSettlementAccountforthepurposesofaspecifictransactionanyofthebankaccountoperatedbytheBankfortheCustomer,basedontheAgreement,
maybeindicatedbythemBankCompanyNetsystemuser.
§ 1501. TheBank,viatheFXplatform,willmakeavailabletotheusersofthemBankCompanyNetsystem,authorizedtoconcludeselectedfinancialmarkettransactions
viathePlatform:1/ informationonthebalanceoffundsavailableintheSettlementAccountoftheCustomer,2/ informationontheAuthorizedNotionalAmountofFXTransaction(maximumamountforwhichtheCustomermayconcludethespotFXtransaction),
referredtoin§155.3/ reportsonthetransactionsconcludedviatheFXplatformandthetransactionsconcludedbyphone.
2. Viathe FXplatformtheBankwillprovidethemBankCompanyNetsystem users authorisedtoviewtransactionswithreportsontransactionsconcludedontheFXplatformandtransactionsconcludedoverthephone.
§ 1511. FinancialmarkettransactionsmaybeconcludedbytheCustomerviatheFXplatformonlyduringworkinghoursofthePlatformonBusinessDays(definedinthe
“GeneralTermsandConditionsofCo-operationwithClientsinFinancialMarketTransactions”),inwhichtheBankconductsoperationonthefinancialmarketandeffectssettlementsinthecurrenciesinwhichthetransactionisdenominated.
2. DetailedinformationontheworkinghoursoftheFXplatform,referredtoinparagraph1,ispublicizedontheInternetsitesoftheFXplatform.
§ 1521. ConclusionofselectedfinancialmarkettransactionsviatheFXplatformispossibleuponpreviousidentificationbytheBankoftheCustomerandtheuserofthe
mBankCompanyNetsystemauthorizedtoconcludetransactionswithintheFXplatform,undertheprinciplessetforthintheseRegulations.2. ConclusionoftransactionsoccursatthetimeofacceptingtheconditionsofthetransactionbytheuserofthemBankCompanyNetsystemandsendinga
message,confirmingtheconclusionofthetransaction,bytheFXplatform.3. ConclusionofthetransactiondoesnotrequireanadditionalauthorizationbytheuserofthemBankCompanyNetsystem.4. ConclusionoftransactionsisconfirmedbysendingastatementfromtheCustomer’sSettlementAccounttotheCustomer.5. SpecificprinciplesofconcludingtransactionsviatheFXplatformarespecifiedinthehelpavailableontheInternetsitesoftheFXplatform(“HELP”option).6. ConcludedtransactionsareregisteredbytheBankintheformofelectronicrecordwithintheFXplatform.7. InthecaseofinconsistenciesbetweentheconditionsoftransactionconcludedbytheBankandtheCustomerandtheconditionsgivenonthestatementfrom
theCustomer’sSettlementAccount,indisputablematterstheelectronicrecordoftheconditionsofthetransactionwithintheFXplatformwillbeconclusive.
§ 1531. TheBankprovidesinterestratesondepositsandforeigncurrencybuyandsellratesbasedoncurrentquotationsfromtheinterbankmarket.2. TheCustomeracknowledgesthatinthecaseofspotFXtransactionsthebuyorsellexchangeratemaydiffer(andbelessfavourabletotheCustomer)fromthe
ratefromthecurrentlyapplicablemBankS.A.ExchangeRates.3. TheCustomeracknowledgesthattheinterestratesonfixed-termdepositsmaydiffer(andbelessfavourabletotheCustomer)fromthebasicinterestrateson
depositspublishedintheoperatingroomsoftheBankoronthemBankGroupwebsites.
§ 154ConclusionoftransactionbytheCustomerisfortheBankaninstructionfinalandbindingontheCustomertodebitorcredittheCustomer’sSettlementAccounts,maintainedbytheBank,withtheamountsresultingfromsettlementoftransactionsconcludedbytheCustomerviatheFXplatform.

§ 1551. TheCustomermayconcludespotFXtransactionuptotheamountoftheAuthorizedNotionalAmountofFXTransaction.2. Normally,theAuthorizedNotionalAmountofFXTransactionisequaltotheamountoffundsavailableintheSettlementAccountindicatedbytheuserofthe
mBankCompanyNetsystem,heldinthecurrencysoldbytheCustomer.3. UponconclusionofthespotFXtransactiontheBankforthwithblocksintheCustomer’sSettlementAccountfundsintheamountsoldbytheCustomer.4. Onthesettlementday,theBankdebitstheCustomer’sSettlementAccountwiththeamountofthesoldcurrencyandcreditstheCustomer’sSettlementAccount
withtheamountoftheboughtcurrency.5. TheBankmaysettheAuthorizedNotionalAmountofFXTransactionaccordingtootherprinciplesthanthosereferredtoinparagraph2andrefrainfromthe
blockade,referredtoinparagraph3.6. InthecasewhentheBankhasrefrainedfromtheblockade,referredtoinparagraph3,andontheSettlementDayintheCustomer’sSettlementAccountthere
arenotenoughfundstosettlethespotFXtransaction,theBankexecutesclosingtransaction,undertheprinciplessetforthinthe“RegulationonSpotFXTransactions”.
7. MaximumamountoftheAuthorizedNotionalAmountofFXTransactionispublicizedonInternetsitesoftheFXplatform.
CHAPTER 19 Restrictions to Fulfilment of Orders
§ 156TheCustomermayfreelyadministerthefundsuptothecurrentbalanceonthecurrentorauxiliarybankaccountwithintheframeworkoftheapplicableprovisionsofthelawandsubjecttotherestrictionsarisingfromtheagreementssignedbytheCustomerandtheBank.
§ 1571. IftheCustomer’sinstructionisinconsistentwiththeAgreement,theRegulationsortheprovisionsofthelaw,theBankrefusestofulfiltheinstruction.TheBank
refusestoexecutetheloandisbursementorderwhichisinbreachofthecreditagreementunderwhichitissubmitted.2. IftheCustomer’sinstructionwiththefeeorcommissionduetotheBankisnotcoveredbythefundsinthebankaccount,theBankmayrefusetofulfilthe
instruction.3. TheBankmayrefusetofulfiltheinstructionsubmittedbymBankCompanyNetuserentitledtoauthoriseinstructionswhofailedtocomplywiththeobligation
todelivertothebranchthe“IdentityCardtogetherwithinformationonpersonaldataprocessing”.4. TheBankmayrefusetofulfiltheinstructionsubmittedbymBankCompanyNetuserentitledtoauthoriseinstructionsuntiltheendofthebusinessdayfollowing

5. IftheCustomerentersanincorrectNRBIDorincorrectIBANIDintheinstruction,theBankmayrefusetofulfilthisinstruction.AnincorrectNRBIDorincorrectIBANIDistheonethatisinconsistentwiththebankaccountnumberstandardspecifiedintheOrderofthePresidentoftheNBPwhichisreferredtoin§83points13and14.
6. If theexecutionofan instruction is refused,theBankshallnotifythemBankCompanyNetsystemuseroftherefusaltoexecutethe instruction.Incasesmentionedinparagraphs3-5,theinformationabouttherefusaltoexecutetheinstructionshallbesubmittedtothemBankCompanyNetsystemuserviaamessageavailableinthemBankCompanyNetsystem.ThemessageshallbedisplayedtothemBankCompanyNetsystemuserwhenheattemptstosubmittheinstruction.
7. TheBankhastherighttocollectafeeforthenotificationmentionedinparagraph6inthecasewheretherefusaltoexecutetheinstructionhasbeenjustified.Ifafeeiscollected,theamountofthefeeshallbedeterminedbythe“TariffofbankingfeesandcommissionsofmBankforSMEandCorporates”–SectionI–BankAccounts.
§ 158TheBankshallnotfulfilapaymentinstructionsubmittedwithanincorrectonetimepassword.
CHAPTER 20 Commissions and Fees
§ 1591. ForactionsspecifiedintheRegulations,theBankchargescommissionsandfeesspecifiedinthe“TariffofbankingfeesandcommissionsofmBankforSMEand
Corporates”–SectionI–BankAccounts.2. Fortheservicingofthepostalorder,theBankcharges,subjecttothefeementionedinparagraph1,postalchargesinaccordancewiththecurrentpricelistofthe
PostalOperator,publishedonthemBankGroupwebsitesattheaddresswww.mbank.pl/msp-korporacje/.3. ForexecutingapaymentinstructionwithintheMassPaymentandMassPaymentPlusproducts,theBankchargesfeesspecifiedintheAgreementorina
separateinstructionoftheCustomeracceptedbytheBank.4. TheBankchargesafeefortheexecutionoftheloandisbursementorderamountingtothefeefortheexecutionofadomesticorforeigncredittransferrespectively,
asindicatedinparagraph1,unlessthefeefortheexecutionoftheloandisbursementorderisspecifiedinthecreditagreementunderwhichtheorderisexecuted(ifthatisthecase,thefeespecifiedinthecreditagreementapplies).
5. TherulesforchargingfeesformBankCompanyConnectPartnerPackageservicesarestipulatedinthemBankCompanyNetAgreementortheIntegratedBankAccountAgreementandseparate,relevantprovisionsonmBankCompanyConnectservicesofferedbymBankS.A.
6. Feesandcommissionsconcerningmodulesandtransactionplatformsreferredtoin§83point21aresetinagreementsandregulationsreferredtoin§85paragraph1.
7. The“TariffofbankingfeesandcommissionsofmBankforSMEandCorporates”isintroducedbythePresidentoftheBank’sManagementBoardintheformofanorder.
8. Thelevelofthefeesorcommissionsmaychange.Thechangesinthelevelofcommissionsandfeesshalldepend,inparticular,onthetransactionservicingcostsincurredbytheBank,includingthemarketparametersthataffectthecosts,suchasinflation,exchangeratesandreferenceinterestratesfixedbytheNBP.
§ 160Thecurrentratesofthe“TariffofbankingfeesandcommissionsofmBankforSMEandCorporates”andinformationontheamendmentsinratesareavailableintheformofannouncementsintheBank’soperatingroomsorthroughthemBankGroupwebsitesattheaddresswww.mbank.pl/msp-korporacje/.
§ 1611. TheCustomerauthorisestheBanktochargehis/heraccountwithcommissionsandfeesduetotheBank,includinganycommissionsorfeesofabankactingas
intermediaryinthefulfilmentoftheinstruction.

CHAPTER 21 Final Provisions
§ 1621. TheCustomerisresponsibleforsubmittingthe“IdentityCardtogetherwithinformationonpersonaldataprocessing”orthe“IdentityCard”foreachuserofthe
mBankCompanyNetsystementitledtoauthorisepaymentinstructionsortousemBankFXplatformoropentermdepositsandconcludespotFXtransactions.2. TheCustomerisresponsibleforimmediateupdatingofpersonaldatabyeachuserofthemBankCompanyNetsystementitledtoauthorisepaymentordersorto
usemBankFXplatformoropentermdepositsandconcludespotFXtransactions,inthescopedefinedinthe“IdentityCardtogetherwithinformationonpersonaldataprocessing”.
3. Thepersonsreferredtoinparagraph1updatetheirpersonaldataatthebranch.Inordertoperformtheupdateitisnecessarytoproduceanidentitydocument.
§ 163TheCustomermakesthecommitmentnottodeliverillegalcontenttotheBankthroughthemBankCompanyNetsystem.
§ 1641. TheBankmaywithholdfromprovidingtheelectronicbankingserviceswiththeuseofthemBankCompanyNetsystemintheeventofafailureinthecomputer
systemorinthetelecommunicationssystemwhichmakeimpossibletheprovisionofsuchservices,untilsuchafailureisremedied.2. TheBank’swithholdingofservicesforreasonsspecifiedinparagraph1shallnotbreachthetermsandconditionsoftheAgreement.3. Ina situationwhen it is impossible to setupa telecommunicationconnectionallowing toobtain informationon theaccount status through themBank
CompanyNetsystem,mBankSAprovidesinformationontheaccountstatusoverthetelephone,uponearlieridentificationandauthenticationoftheCustomerthroughtheContactCentre.
4. Theinformationreferredtoinparagraph3isprovidedtomBankCompanyNetsystemusersorcontrollerssolelyinthescopecorrespondingtothescopeofrightsofthemBankCompanyNetsystemusersorcontrollers,definedonthebasisoftherelevantappendices,andinparticulartherighttoviewtheCustomer’saccountunderthemBankCompanyNetsystem.
§ 165TheBankreservestherighttoconductmaintenanceandupgradeworksofthemBankCompanyNetsystem.TheBankshallnotifytheCustomerappropriatelyinadvanceofthemaintenanceandupgradeworkandthetimingofthetemporarylackofavailabilityofthemBankCompanyNetsystem.TheinformationshallbepublishedonthewebsitesofthemBankCompanyNetsystemorotherwisecommunicatedtotheCustomer.
§ 1661. TheBank,pursuanttoArticle24paragraph1oftheActonPersonalDataProtectiondated29August1997(i.e.:consolidatedtext:JournalofLawsof2002,no.
101,item926asamended),herebydeclaresthattheCustomer’sdata,andthedataofhis/herrepresentativesandemployeesdesignatedbyhim/hertoservicethemBankCompanyNetsystemwillbeprocessedinthebankdatabaseinordertosatisfythetermsandconditionsoftheagreementssignedwiththeBank.
2. PursuanttotheprovisionsoftheActreferredtoinparagraph1theCustomer,his/herrepresentativesandemployeesdesignatedbyhim/hertoservicethemBankCompanyNetsystemareentitledto:1/ accessandcorrecttheirdata,2/ objecttotheprocessingoftheirdataforpromotionalandmarketingpurposesorforthepurposeofadvertisingthebankingproductsandservices.
§ 1671. IncasewhenthemBankCompanyNetsystemcontrollercannot,forreasonsbeyondthecontroloftheBank,performtheconfigurationchangestowhichhe/she
isentitled,itispossibletoinstructtheBanktoperformthesechanges,throughthedeliveryoftherelevantappendicesbytheCustomer.2. IncasewhenthemBankCompanyNetsystemcontrollercannot,forreasonsresultingfromfunctionalitiesofthemBankCompanyNetsystem,performthe
configurationchanges,itispossibletoexecutethemonthebasisoftheCustomer’sinstructionsubmittedinelectronicform,withtheuseofthecommunicationform“MessagetotheBank”,titled“Messagefromthecontroller”.
