BOTH PARTIES HEREBY AGREE AS FOLLOWS:
Effective Date
This Agreement shall be effectivefrom .............................................................................,
Termination
Both the parties can terminate for convenience this Agreement, at any time for anyreason upon written notice of one month to the other parties upon payment ofservices rendered till such date and other amount due.
Scope of Services
Based on the requirements of the Company for various positions, the Agency willidentify appropriate persons through either any one or a combination of meanssuch as external advertising, in house search of existing data bank andheadhunting. After in house assessments of the relevant skills and interviews, theAgency will send resumes of short listed appropriate candidates to the Company fortheir review. Based on the Companys input, the Agency would arrange for
interviews with Companys personnel.
To facilitate above the Company will: -
For all positions, define and provide the Agency, recruitment criterion for each ofthe job family
Designate an Executive who would be a person of authority, to facilitate day-to-day coordination
Provide a days induction to the Agency team designated to the account, toobserve the interviews and understand the job/ process requirements
Allocate one day of the week, for a detailed feedback on the candidatesforwarded by the Agency to the Company during that week
Provide the Agency a quarterly rolling plan of their staffing requirements, alongwith the job specifications at the beginning of every month
Inform the Agency of any duplication of candidates through any other source incompanys database within two days of receipt of the candidature
Professional Fee
Upon selection of the candidate recommended by the Agency, the Company willpay the Agency for the services rendered along terms as follows:

1. Sourcing fee for Operational /Executive level position personnel 8.33% +12.36% service tax of the annual total of monthly cost to company
2.Sourcing fee for Managerial level position personnel 10% + 12.36% services taxof the annual total of monthly cost to company
3.Sourcing fee for senior manager and above level position personnel 12% +12.36% service tax of the annual total of monthly cost to company
TERMS & CONDITIONS:
a) Gross Annual compensation would cover the employees total cost to companyincluding Basic, HRA/CLA, Fixed Allowances, LTA, Medical, Car relatedreimbursements, Retirals, Assured Performance Bonus. It would not include anycomponent of a Variable nature such as Company Bonus/Ex-gratia and VariablePerformance Incentives that may be decided by the management from time totime.
b) Taxes and levies if any, shall be charged extra
c) On selection, the Company must give the Agency a complete breakup of thecompensation offered to enable the Agency to bill the Company. (Agency shall keepthe CTC details in strict confidence)
d) In case some of the profiles are not short listed, the Company will inform theAgency of the same
e) All payments are to be made within 30 days of the Agency raising the invoiceafter the candidate joins the company
e) All requisitions and requests and other work related communication from thecompany would be in writing.
f) Unless otherwise agreed in writing, the company will not hire or solicit theemployment of the agencies personnel without mutual consent during the period ofagreement and six months thereafter for themselves.
g) In case of breach of above (pt.( f)) the company would be liable to pay theagency three months cost to company of the proposed candidate to the agency.
h) In case any employee recruited through the Agency leaves the Company within 3month of having been recruited, the Agency shall then recruit a new employee tofill such a position and for the same, the Agency shall incur the complete cost ofsuch recruitment.
Confidentiality
Both the agency and the company shall at all-time will keep the informationprovided by each other in complete confidence.
