I ndependent Beauty Consu l tan t Agreement Genera l Terms and
Cond i t ionsA. THE INDEPENDENT BEAUTY CONSULTANT AGREES:
1. To promote and sell Mary Kay products to ultimate consumers
and not to sell ordisplay those products in retail sales or service
establishments.
2. To provide each consumer with the written Mary Kay
Satisfaction Guaranteeand to promptly honour it upon request. I
understand that Mary Kay CosmeticsLtd. (Company) sponsors a
complete satisfaction or money-back guaranteeas to each Mary Kay
product sold by me to a consumer.
3. To maintain the highest standards of integrity, honesty and
responsibility in deal-ings with the Company, consumers and other
Beauty Consultants. To presentMary Kay products in a truthful and
sincere manner and hold the Companyharmless from damages resulting
from misrepresentations by me.
4. To protect the Mary Kay trademarks and trade name by
obtaining theCompanys written permission prior to my use in any
advertising (including butnot limited to the Internet) or
literature other than Company-published material. Iunderstand that
demonstration, display or sale ofMary Kay products in public,retail
or service establishments of any kind is inconsistent with the
terms of thisAgreement.
5. As an independent contractor, to assume sole liability for
all self-employment,income taxes, and other reports required by my
activities as an IndependentBeauty Consultant and to abide by all
federal, provincial, municipal and locallaws governing my Mary Kay
business.
6. To purchase the Starter Kit and all Mary Kay products only
from the Company.All orders submitted to Company shall be
accompanied by cash, certifiedcheque, credit card or money order
for the full amount due. I understand that allorders are subject to
acceptance by the Company and the terms of thisAgreement.Only
credit card charges for Mary Kay products will be submitted to
Companyfor processing through Companys Retail Credit Card
Reimbursement Service.
7. I am not a joint venturer with, or franchisee, partner, agent
or employee ofCompany. I have no power or authority to incur any
debt, obligation or liabilityon behalf of the Company. I understand
that all Independent BeautyConsultants, Independent Sales Directors
and Independent National SalesDirectors are independent contractors
and are subject to this provision.
8. When presenting Mary Kay business opportunities, to do so in
a truthful andsincere manner and to ensure that any prospective
Beauty Consultant recruitedby me is the age of 18 years or older
and receives education and materialsrelated to a Mary Kay business
upon submission of an Independent BeautyConsultant Agreement.
9. That no representations regarding my potential earnings as an
IndependentMary Kay Beauty Consultant have been made to me. I
acknowledge that myearnings as an Independent Beauty Consultant
will depend entirely upon myindividual efforts.
10. Company reserves the right to assure continued service to my
customers if Icease to be an active Beauty Consultant.
11. Company may release my name and telephone number in response
to a cus-tomers request for a Beauty Consultant in my area. If this
information is not tobe released, I agree to notify Company that I
do not want this informationreleased by written notice directed to:
Mary Kay Sales Force Support, 2020Meadowvale Blvd., Mississauga,
Ontario, L5N 6Y2.
12. Company shall process Beauty Consultants personal data
contained in thisAgreement and/or submitted to the Company by
Beauty Consultant in connec-tion with performance under this
Agreement. The Company is allowed toprocess the Beauty Consultants
personal data for the purposes related to theperformance of this
Agreement both by Beauty Consultant as well as by theCompany. The
data may also be used by the Company for the purpose ofcompiling
demographic information in conjunction with the development ofnew
cosmetic products and services. Beauty Consultants consent covers
anyoperations with her personal data including data transmissions
abroad. BeautyConsultant confirms that she is aware of the fact
that her personal data shall betransmitted to the affiliate company
of the Company located in the UnitedStates of America, which shall
process her personal data in compliance withthe instructions of the
Company.
13. This consent shall be valid for the whole term of this
Agreement and may bewithdrawn by Beauty Consultant. The Company
shall process BeautyConsultants data also after the expiry of this
Agreement to conclude the objectof this Agreement and if requested
so by law.
13. Beauty Consultant has the right to access her personal data
processed bythe Company as well as other rights set forth in
Personal Information Protection
and Electronic Documents Act (Canada), as amended, or any other
applicablelaws.
13. To comply with any changes to the General Terms and
Conditions of theIndependent Beauty Consultant Agreement that may
be made bythe Company.
