MEMORANDUM OF LEASE TERMINATION, dated as of May 27, 2020, by and

among EVERGY KANSAS CENTRAL, INC. (formerly known as Westar Energy,

Inc., formerly known as Western Resources, Inc.), a Kansas corporation (“Lessee”),

BANC OF AMERICA LEASING & CAPITAL, LLC, a Delaware limited liability

company, as successor to BA Leasing & Capital Corporation (“Owner

Participant”), and U.S. BANK NATIONAL ASSOCIATION, as successor to The

Connecticut National Bank, a national association, not in its individual capacity,

but solely as Owner Trustee (“Owner Trustee”, but when referred to in its individual

capacity “Trust Company). Capitalized terms used herein that are not defined

herein shall have their respective meanings ascribed thereto as set forth in the Lease

(defined below).

WHEREAS, Owner Trustee, as lessor, and Lessee, as lessee, entered into (i) that certain

Railcar Lease, dated as of November 30, 1992, whereby the Memorandum of Lease Agreement

was recorded with the Surface Transportation Board (“STB”) on November 30, 1992 at 12:20 p.m.

under Recordation No. 18015, (ii) Lease Supplement No. 1, dated November 30, 1992, whereby

the Memorandum of Lease Supplement No. 1 was recorded with the STB on November 30, 1992

at 12:20 p.m. under Recordation No. 18015-B, (iii) Lease Supplement No. 2, dated December 23,

1992, whereby the Memorandum of Lease Supplement No. 2 was recorded with the STB on

December 23, 1992 at 10:45 a.m. under Recordation No. 18015-D, (iv) Lease Supplement No. 3,

dated February 22, 1993, whereby the Memorandum of Lease Supplement No. 3 was recorded

with the STB on February 25, 1993 at 2:05 p.m. under Recordation No. 18015-F, and (v) Lease

Supplement No. 4, dated April 30, 1993, whereby the Memorandum of Lease Supplement No. 4

was recorded with the STB on April 30, 1993 at 11:10 a.m. under Recordation No. 18015-H (items

(i) through (v), collectively, the “Lease”), covering the Equipment described therein;

WHEREAS, effective the date hereof, the Lease is terminated with respect to the railroad

equipment described in Schedule I hereto (the “Terminated Units”); and

WHEREAS, the Parties wish to show for the public record the existence of the aforesaid

sale and assignment of the Terminated Units, and the respective interests therein of the Parties.

NOW, THEREFORE, to accomplish the foregoing, the Parties are filing this Memorandum

of Lease Termination with the STB pursuant to 49 USC section 11301(a).
