PRASAR BHARA TI1. INTRODUCTION. 1 Prasar Bharati (India's Public Service Broadcaster) is the only public service broadcaster in the
country, with Akashvani (All India Radio) and Doordarshan as its two constituents. It cameinto existence on 23rd November, 1997 with the mandate to organize and conduct publicbroadcasting services to inform, educate and entertain the public and to ensure a balanceddevelopment of broadcasting on radio and television.
1.2 From 01.04.2005, the accounts are initially compiled on cash basis at field unit level andsubsequently converted into accrual basis based on the information collected from both theDirectorate. Prasar Bharati Board however decided to give effect to complete switch over fromcash to accrual accounting at field unit/ level also by introducing accounting software.
1.3 Presently, the total number of Drawing and Disbursing Offices are three (3), two hundred'ninety six (296) and two hundred fifty three (253) in Prasar Bharati Secretariat, All India Radio(AIR) [including common/ support units] and Doordarshan (DD) respectively spread across allthe States and Union Territories of the country. These support units / common offices includeCivil and Construction Wing (CCW), Training Centres, Engineering Zonal Offices etc.
1.4 Prasar Bharati compiles Receipts and Payments Accounts on monthly basis through a webbased R&P A/c application. The financial statements of Prasar Bharati are audited by C&AG.The audited annual financial statements are forwarded to the Central Govt. for laying before theboth Houses of the Pari iament.
1.5 Procurement of accounting software is under active consideration and expected to beimplemented from forthcoming financial year.
l.6 The income from sales / services (including taxes) ofPrasar Bharati for financial year 2016-17is Rs. 1129.09 crore (unaudited). Besides, Prasar Bharati has also earned RsA.OS crores,Rs.124.72 crores and Rs.389.31 crores on account of Fees/ SUbscriptions, Interest earnings andother income respectively.
1.7 Prasar Bharati has two separate registrations for AIR and Doordarshan in each State/ UT.Under the GST regime, there are total 69 GST registration of Prasar Bharati in all over Indiaout of which 35 are of AIR (i.e. except Dadra and Nagar H'aveli) and 34 are of Doordarshan(i.e. except Lakshadweep and Darnan & Diu). The number of GSTINs may vary depending,upon the statutory requirement.
1.8 For each registration, Prasar Bharati has appointed separate State Nodal Officer for maintainingand updating the requisite records as per GST Acts by coordinating with the field units,Drawing and Disbursement Officers (DDOs), concerned directorates, Zonal Nodal Officers andconsultant firm.
1.9 Prasar Bharati hereby invites Expression of Interest (E01) for short listing Consulting Agencieshereinafter referred to as Consultant who would provide advisory to ensure GST compliances,assist in filing all related monthly as well as annual returns of GST within the stipulatedtimeline after ensuring availing of due Input Tax Credit (ITC) as per extant GST Acts and rulesmade there under and carry out audit as mandated under GST Acts and rules thereto. Post EOrprocess, the Request for Proposal (RFP) will be prepared and issued to short Iisted agencies.which will also include detailed Terms of Reference and Contractual terms.

,2 Broad Scope of Work and Services:
The Broad scope of work is as follows:

requisite format prescribed under the GST regime from time to time.
• Generating/ Filing all requisite periodical (monthly as well as annual) returns under theGST regime for all registrations covering assistance in outwards/inwards information of
I matching /un-matching transactions and reconciliation thereof.I
• Advise necessary checks to be implemented to ensure authenticity of data being received at, the centralised platform;
• Generating Challans for payment of GST on behalf of all State Nodal Officers by
concerned Directorate.
• On site assistance for both directorates on a month to month basis to ensure that the GST

laws are complied with. The Applicant shall engage FCA I FCMA for handholding for aperiod of one year to ensure that proper taxes are paid, credits in full are availed of andreporting & compliances envisaged in the GST laws are compiled with in toto.
• Ensure proper records as prescribed under GST Acts and rules made thereunder are being
maintained by the respective units and State Nodal Officers.
• Render advices and provide clarifications to Prasar Bharati on GST related issues.
• Time to time advice on other compliances to be undertaken by the Prasar Bharati under theGST regime and any other eventual queries that may arise along with timelyimplementation of any relevant circulars/ notifications/ amendments in Prasar Bharati,during the engagement of the consultant.
• Guide I advices for developing necessary tools for review, monitoring, reporting andcompliance with reports required in GST regime and preservation of related records indigital form.
• Assist Prasar Bharati and suggest suitable changes required under GST regime for
minimizing the tax burden, effective utilization of available Input tax credits (ITC) andsuggestion for review mechanism for availing all eligible input tax credits and utilization
under GST, etc.
• Provide guidance regarding valuation, classification and tax rate of transfer I permanentdisposal of assets, job works, goods used both for exempt and taxable services, etc. toensure availment of maximum eligible tax benefits under the GST regime.
• Highlight areas of potential non-compliance to regulation.
2. Identification of additional issues and render advice to Prasar Bharati thereon,Advise Prasar Bharati on issues arising out of or connected to subsumed tax laws and GST
Acts and rules made thereunder including ongoing litigation, assessment, etc. and on any
matter relating to GST considered important and significant according to the consultant and/or
as per the requirement of the Prasar Bharati. Handout on reconciliation procedure formonitoring Input! Outputl final monthly returns and guidance to track on Un-reconciledtransactions, etc.

3. Audit as mandated under GST Acts and rules theretoConduct of audit of all registrations ofPrasar Bharati as mandated under GST Acts and rulesthereto and issue of various certificates, if required, for GST compliance.
Note:The above-mentioned Scope of Work is inclusive and not exhaustive i.e. Terms ofreference shall include providing professional assistance fOI' all activities required forall the work relating to GST Rules, Notifications as and when issued by GOIlCBEC.

The entity should not have been. blacklisted for supply of any itemsor services to Prasar Bharati or anyother Government department/agency in India. A self-declarationto this effect should be provided bythe entity's Authorised Signatory inthe technical bid.The Entity's firm should not beowned or controlled by anyEmployee (or any of his/ herrelative) ofPrasar Bharati.

7 Re lated partydisclosure
Note:I. The successful entity has to ensure that all the key team members involved in the project
remain engaged in this project until successful completion of the project and deployedpersonnel on the project matches the job profile with the Scope of Work. Any change in keyteam members shall be done only with the consent of Prasar Bharati,
2. The entity shall submit necessary documentary proof showing that they meet the eligibilitycriteria along with their bid. All documents submitted will also be self-attested by the entity.
3. Eligibility criteria shall include the Entity along with its Affiliates/ Group companies/ memberfirms working under the common brand name and engaged in similar activity of accountingadvisory/ financial services, registered in India.
4. Documents to be Submitted With EOI:4.1 The requisite documentary evidence needs to be submitted by the entity for each of the
eligibility criteria. The following information/data shall be provided by the entities:(a) Letter of submission given in Annexure-I and Declaration Form given in Annexure-Z along
'with all supporting documents/ annexures.(b) No Deviation Certificate as per Annexure 3 - In case of any deviation with the terms and
conditions and Scope of work of the EOI document, the EOI shall be liable for rejection.

(c) Declaration on Non-Disclosure as per Annexure 4.(d) Copy ofGSTIN registration certificate.(e) Copy of PAN card.(f) Authorization (Power of Attorney) in support of Signatory of the EOr.(g) Request for changes and modification to EOr Document as per Annexure 5 (to be submitted
before pre-bid meeting).(h) Firm Details as per Annexure 6.(i) Relevant Work Experience of Entity along with supporting document as per Annexure 7.

4.2 For each identified element of the broad scope of work, the entity shall submit the category-wise intermediate manpower deployment proposed by them such as Partner, Senior Consultant,and Associates etc. or in similar categories as may be relevant for the assignment & entity.
4.3 CVs of key personnel likely to be deployed on the project. All key personnel deployed on theproject must necessarily possess adequate relevant experience.
4.4 Self-declaration needs to be signed by authorised signatory.

5.2 Entity shall. be under a duty to ensure that it fulfills the eligibility criteria and other essentialconditions.
5.3 The validity period of the EOI shall be till December 31, 2017.5.4 The Entity SUbmitting E01 proposals may also include its comments/suggestions on the
objectives and scope of work or service projected in EOT document.5.5 The E01 complete in all respects must be subrn itted together with requ isite information and
annexure(s). The EOr should be free fr0111ambiguity, change or interlineations. Incomplete E01,will not be considered and is liable to be rejected without making any further reference to theentity.
5.6 The E01 and any annotations or accompanying documentation I11UStbe in English language.5.7 The E01 shall be duly signed on each' page by an authorized person. Documents authorizing ,
.such person must accompany the E01. Prasar Bharati reserves the right to reject outright anyEOr unsupported by proof of the signatory's authority.
5.8 For any clarifications, if required, they may contact with the EOI proposal inviting Authority.5.9 A pre-bid meeting will be held on 4th September 2017 at Prasar Bharati House, Tower-C,

Submission of' EOI:No Applicant shall submit more than one application for the Consultancy.The entities are required to submit soft copies of their EOI electronically on the e-tenderingportal of Prasar Bharati Secretariat at http://tenderwizard.com/PB,using valid Digital SignatureCertificates (DSC). The instructions given herewith are meant to assist the entities in registeringand submitting their EOr on the e-tendering portal.To participate in the e-tendering submission, it is mandatory for the entities to get registeredtheir firm/company/ organisation with the e-tendering portal of Prasar Bharati SecretariathttR://tenderwizard.com/PB to have user ID & Password from M/s ITI Ltd. The annualregistration charges for vendor/supplier are Rs. 2280/- (Rupees two thousand two hundredeighty only).To participate in e-bid, entities shall be charged e-tendering processing fee @ 0.1 % of estimatedcontract value with minimum cap Rs. 750/- only and maximum cap Rs. 7500/- only excludingtaxes.For e-tendering, possession of valid Digital Signature Certificate (Class II or Class lTICertificates with signing key usage) is mandatory which can be obtained from SIFY/TCS/n-Code/e-Mudra or any Certifying Authority recognized by CCA India on e- Token/ Smart Card.Those who have already enrolled need not go through this step.The entity must log into the site well in advance for E01 submission so that he/ she uploads theEOl in time i.e. on or before the E01 submission date & time.The entity shall digitally sign and upload the required E01 documents one by one as indicatedin the E01 details according to specified cover.The entities shall note that the very act of using DSC for downloading the E01 document andupJoading their offers is deemed to be a confirmation that they have read all sections and pagesof the E01 documents without any exception and have understood the complete E01 documentsand are clear about the requirements of the E01 documents.Entities shall submit their E01s through online e-tendering system well before the E01submission end date & time (as per Server System Clock). . 6.10 The authority will not be held responsible for any technical snag or network failure during 011-
line submission of EOT. It is the entity's responsibility to comply with the system requirement,i.e. hardware, software and intern et connectivity at entity's premises to access the e-tenderingwebsite. Under any circumstances, Prasar Bharati shall not be liable to the tender for any direct! indirect loss or damages incurred by them arising out of incorrect use of the e-tenderer system \or internet connectivity failures.
6.11 An authorized representative! signatory of the applicant shall initial all pages of the EOIproposal. The proposal should include a copy of board resolution or power of attorney showingthat the signatory has been duly authorized to sign the EOI document. The signed EOIproposals shall be marked "original" and uploaded as instructed. •
6.12 All Annexures are to be filled in and a scanned copy of the same is to be uploaded with otherdocuments on http://tenderwizard.com/PB.
6.13 The EOlmust contain the name, designation, residence and place of business of the person orpersons making the offer .and must be duly signed and stamped on each page by the entity withhis usual signature.
6.14 The EOI by a partnership firm must be furnished with full names of all partners and be signedwith the partnership name, followed by the signature(s) and designation(s) of the authorizedpartner(s) or other authorized representative(s).
6.15 The Power of Attorney in the name of the person signing on behalf of the Consultant shall befurnished along with the EOr.
6.16 The entity's name stated on the proposal shall be the exact legal name of the firm! organisation.6.17 Erasures or other changes in the EOr shall be authenticated by the initials of the persons signing
the EO!.6.18 EOrs not conforming to the above requirements may be disqualified.6.19 Any amendment in the EOI document will be posted on website www.prasarbharti.gov.in. All
the applicants are therefore advised to regularly visit the website before submitting the EOr.
7. EOr Opening:7.1 The EO! shall be opened on September 15,2017 at 1600 HI'S (1ST).7.2 An authorized representative of the Entity carrying a copy of the authorization letter submitted
along with the EOr shall be entitled to be present at the time of EOI opening. Any person notcarrying the said authorization letter shall not be allowed to attend the EOr opening.
7.3 In case of an unscheduled holiday on the closing!opening day of EO I, the next working day willbe treated as the scheduled prescribed day of closing/opening of the EOI; the time notifiedremaining the same.

8. Clarifications of Proposals8.1 The EOI proposals shall be evaluated on the basis of the Proposal and the supporting documents
submitted by the Entity. Prasar Bharati Secretariat shall not be under any obligation to seek anyfurther information or clarifications.
8.2 Without prejudice to the above, in order to assist in the evaluation of proposal, Prasar BharatiSecretariat may, at its sole discretion, ask any entity for any clarification on its EOJ Proposal.Such clarifications shall be submitted within the time stipulated. The entity must also beprepared for a presentation of the offered proposal before the evaluation committee.
S.3 If the entity does not provide clarifications requested for by the date and time set forth to suchrequest for clarification, its proposal shall be evaluated based on the information submitted in \the EO! in the first instance and documents provided therewith.
8,4 It is clarified that the entity shall not have the right to submit any additional information ormaterial subsequent to the date of submission of EOr on its own and such material if any,submitted shall be disregarded. It is therefore essential to ensure that all the details are providedfully in the first instance. •

9. Evaluation/ Scrutiny of EOIs:9.1 EOr proposals received by the prescribed date and time shall be considered and evaluated by a
duly constituted committee as per the' norms ofPrasar Bharati Secretariat.
, 9.2 Evaluation/ Scrutiny ofE01s shall be based on:(i) Information contained in the E01, the documents annexed thereto and clarifications
provided, if any.(ii) Assessment of the capability of the entity based on past record.(iii) Offered concepts and plans as per 'Broad Scope of Work and Services' outlined above.(iv) The entity may be asked to make a presentation before the committee at Prasar Bharati
House at three working days' notice. The evaluation of E01 will also be based on suchpresentation given by the entity.
9.3 All applicants who fulfill the eligibility criteria will be shortlisted for calling bid in the secondstage of Request For Proposal.
9.4 PB Secretariat shall communicate acceptance of E01 by Evmail/Post/Fax. The invitation to sendE01 and the receipt of EO! would not constitute a contract between the patties.
10 Stage Subsequent to EOI: Entities short listed based on the above evaluation will be requiredto submit bids pursuant to RFP to be issued to such entities by inviting Request For Proposalunder the 'Two-Bids System" (Technical and Commercial Bids).

12 General Terms:Prasar Bharati reserves the right to verify information submitted by the entity. In case theinformation is found false/incorrect, the offer shall be rejected and shall also be liable for otheraction as per Prasar Bharati policy.
la) It is expressly made clear that mere submission of EOI by an Entity, whether eligible orineligible, shall not confer any right whatsoever on any such entity.
(b) Any EOr submitted by an entity, which fails to satisfy the eligibility requirements set outin the Clause 3 above, shall not be considered and would stand summarily rejected.
(c) Neither the issue of this Invitation for E01 nor any part of its contents is to be taken as anyform of commitment or acknowledgement on the part of Prasar Bharati Sec'retariat toproceed with EOI or any entity.
~d) Prasar Bharati Secretariat reserves the right to annul or terminate the process or reject anyor all E01 at any time or stage without assigning any reason.
le) Prasar Bharati Secretariat reserves the right and absolute discretion at any time and withoutany liability whatsoever, to amend, vary, waive and/or modify any or all of the terms andconditions of this Invitation for Eor without assigning any reason whatsoever.
It) Prasar Bharati Secretariat shall in no circumstance whatsoever, be responsible or liable inany manner whatsoever, for any costs or expenses incurred or any loss suffered by theentity, in connection with or in consequence of the preparation or delivery of any EOr, or

compliance with any of the requirements of the Invitation for EOI or Presentation made toPrasar Bharati Secretariat or in any other manner.
(g) Any suppression or misrepresentation of a material fact shall result in disqualification ofthe Entity.
(h) In case any clarification is sought by Prasar Bharati Secretariat after opening of EOIs. thereply of the Entity should be restricted to the clarification sought.
(i) Canvassing in any form shall render the EOr liable to be rejected.U) The Entity shall be deemed to have read and duly considered all terms and conditions of
this Invitation of EO I document and must acknowledge that it intends to submit an EOI in \accordance with the provisions of this document having accepted the terms and conditionsas have been incorporated herein and/or that may be incorporated by Prasar BharatiSecretariat through any Addendum (s).
(k) Each Entity irrevocably and unconditionally accepts and agrees that by submitting an EOT:(i) It agrees to be bound by the terms, conditions and obligations set out in this Invitation
for EOT document together with such other terms and conditions as Prasar Bharati •Secretariat may, in its sole discretion, require; and
(ii) It has read and understood, and agrees and accepts, the provisions and procedures. andterms and conditions (including the outcome) of this Invitation for EOl.
(iii)It agrees that the offer shall remain valid till the expiry of the validity period asspecified in this Invitation for EOI or any extension thereof.
