Welcome to the first edition of PTSG People – our new quarterly newsletter. The purpose of this important internal communication is to keep you informed about what’s happening at the centre of the business as well as what we’re doing in across the individual companies.

It is our way of sharing relevant and timely company information. It doesn’t replace the need for good face to face communication. It is merely designed to complement what is already in place. Going forward we hope to generate a combination of fun, morale-boosting features and useful corporate information.

This edition includes a round up on finance, information about what is happening in all of our divisions, a movers and shakers section and updates on policies and procedures.

Please take the time to read through the newsletter and if there’s anything you’d like to discuss, speak to your line manager or get in touch with me. It’s important that we continue to improve our workplace engagement. I look forward to receiving your feedback.

Focused investment, improving cash flow and increasing returns are our ongoing priorities – and our major focus in 2012.

Our distinctive strengths are our proven capabilities and long experience across all of our businesses. Our customers see this, day-in-day-out, and that is why we are fast becoming the company of choice for organisations ranging from household names to smaller businesses UK-wide. It is also for this reason that our financial position improved again in 2011. In the midst of a tough economic climate, we have continued to grow and prosper with more business acquisitions and improving performance in our existing companies. It is important that we continue to develop our strong points so that we can continue to invest.

Cash is king when it comes to the financial management of any growing company. The lag between the time we have to pay our suppliers and employees and the time we collect from our customers can be problematic. The solution is effective cash flow management.

At its simplest, this means delaying outlays of cash for as long as we can while encouraging anyone who owes us money to pay it as rapidly as possible. It is also about keeping our costs down. It is hugely important that we keep the PTSG £ in the PTSG bank. Please do all that you can to keep costs to a minimum whilst increasing revenue earning opportunities.

Maximising turnover to assist with cash flow and, importantly, making the most profit possible, are very important to us. It is often thought that making a profit is ‘wicked’ and that a large profit is somehow more reprehensible than a small one.

While the main aim of a business may be to bring a particular product or service to the market place no enterprise would ever get off the ground unless the entrepreneurs concerned foresaw a real prospect of making a reasonable return on their investment.Profits are necessary in order to attract both capital and to create jobs. They are essential to enable the payment of interest and rent as well as wages.

Profits will help us to expand and foster the development of new products and improvements to the quality of our existing products, thus assisting customers and creating job opportunities.

It is important that you know your numbers. It is equally important that you focus your efforts on the most profitable areas of your work, whilst spotting the potential in other areas of what you do.

Over the coming weeks and months your manager will be talking to you about these important issues so that you can continue to play an important role in our success today and in the future.

2011

Group Turnover £9.023m Gross Profit £5.320m Note on the above, 2011 showed an increase in turnover of 35.2% and an increase in gross profit of 20% - a huge well done to everyone. You all helped achieve this, thank you.

Our Budgeted Figures for 2012:

Group Turnover £13.47mGross Profit £7.44m This means that we must work well together to achieve these demanding but achievable numbers. The budgets are realistically set and have been developed and agreed with the Divisional Directors.

The company in numbers

To be able to achieve these budgets we must all remain focused and pay attention to detail. For example, better programming means better weekly KPIs and being able to achieve budget. If an engineer is spending time in the office, who is paying for him and what is he earning? We need to be mindful of productivity and all play our part remaining focused on the job in hand. The first quarter of 2012 was in front of budget and sets us in good stead for the rest of the year. Within the divisions, the following achieved against their budgets in the first quarter of 2012;

Thor £260k £310k Cradles maintenance £392k £396k Fall Arrest Testing £500k £510k Fall Arrest Installs £249k £232kCradles Installs £254k £252k Guardian Cradles £203k £154k Divisionally the budgets for 2012 are as follows;

SAFETY TESTING

SAFETY INSTALLATION

Fall Arrest Testing has delivered our first quarter slightly ahead of budget and is looking forward to a repeat performance in quarter 2 of 2012. The team has worked well in achieving the results whilst also undergoing a slight office restructure and refocus.

A busy first quarter, the division managed to complete all but a “few nuts and bolts”, on Brent Council phase 2 on time. The client has been so pleased with both phases, that they have advised there will be further works. During the quarter, we also surveyed, on behalf of the group, circa 260 further stores for M&S which we have not previously held. This is an excellent opportunity to further enhance our relationship with the client and increase the existing portfolio.

The division has also undertaken quite a large survey on Sheffield University campuses for future testing and repairs

The end of the first quarter also saw the group securing the retendered Marks and Spencer’s contract as well as an increased value DWP portfolio for the year. We are confident we can deliver the same again and will aim for an even better level of service to these clients to further build on our relationships with them.

We have strengthened our ‘men’ on the ground with the addition of a further engineer and we are currently interviewing for our first Apprentice in the division.

The division is excited about it’s future and looking forward to a challenging yet achievable quarter 2.

Q1 saw the Safety Installs division implement a north/south split with Wayne Adams taking responsibility for the southern area and Mark Whittaker the north. The division as a whole is ahead of the budget for Q1. The southern division has secured and commenced the Isle of Sheppey project which consists of almost 1km of freestanding guardrail. The northern division has secured and commenced the second phase of Lifescan Inverness consisting of walkways, mansafe and access equipment. The northern division has completed a survey of 119 buildings on behalf of Airbus UK and will be carrying out a presentation to the procurement and operations staff of Airbus with a view to installing fall protection equipment at their Broughton operation.

Who needs the London Eye?

Guardian Cradle Maintenance has made its transition into the group and is now showing signs of building into a great business. Many of the buildings we service are iconic buildings from 30 St Marys Axe (the Gherkin) to Heron Tower the tallest building in the city.

Both of these buildings on a clear day have fantastic views which reach out over the city. The machines we service have glass replacement units fitted. We have been tasked with aiding in the changing of the glass at St Marys Axe.

Being integrated into PTSG has highlighted many opportunities to progress the service delivery and ensure Guardian Cradle Maintenance grows in the same way as the other companies across the organisation.

Although we have finished Q1 slightly behind budget, we feel confident that at the half year mark, we can be back in line swiftly and we look forward to a prosperous Q3 and Q4.

ACCESS INSTALLATION

OCS Access Installations has had a busy first quarter both in new works secured and delivery of existing projects. Our sales team has secured two orders from Carillion including the supply of a Building Maintenance Unit on the Paddington Integrated Project and further work from Willmott Dixon for the installation of a travelling gantry system for Cambridge University. The project delivery team has been successfully installing façade access and safety systems on four buildings in the north of England and Scotland on existing buildings for the Royal Bank of Scotland which have all included the use of heavy lifting equipment - requiring precision co-ordination.

ACCESS MAINTENANCE

The first quarter has been very busy in Access Maintenance.

We’ve embarked upon a new relationship with NG Bailey and picked up a large chunk of work on Land Securities’ sites with them. This also seems to be spreading to other areas.

Installation and refurbishment works at lots of RBS sites is continuing and should be complete by the end of the summer.

Access Maintenance is the first division to use Protean and we are working through a successful implementation.

Thor Lightning Protection has delivered an encouraging first quarter enabling it to be brimming with confidence for the rest of 2012, as it has enjoyed significant wins both in the UK and Internationally.

Work began at Chemring Defence in Long Eaton requiring the upgrade of 150 buildings to comply with current standards; this has culminated in a three phase project that will run until the end of the year providing orders in excess of £150k.

Phase two of Diageo Belfast was completed by three Thor engineers over a three week program in Northern Ireland bringing the £48k project in on time and on budget.

Southampton University has engaged Thor Lightning Protection to undertake the Installation and Testing of their campus. The initial order value of £36k will be completed by May with two further phases to be released shortly.

Significant wins have been achieved on testing with the securing of Marks and Spencer, The Ministry of Justice and The Department of Work and Pensions, totalling some £65k in testing work.

Thor’s success in Qatar continues, with monthly visits to the new international airport, which is due to open within the next 12 months. Thor is the nominated third-party for the inspection of installations to ensure BSEN: 62305 compliance.

Further opportunities for the second quarter include Stonehenge, Tesco, The Olympics and King’s Cross Station.

The first quarter of 2012 saw several major contract wins which place us in a stronger position to achieve our targets in the forthcoming year. Some of the contract renewals have been achieved through consistent delivery and good customer service, making us the organisation of choice. Customer referrals linked to great service delivery and business positioning have resulted in new business as well. This is great news.

Some of the more notable achievements in the first quarter of this year include:

Marks and Spencer – (renewal and new)Renewal of our agreement with Marks and Spencer for a further three years is a tremendous accomplishment – especially as we have been asked to deliver even more work for them. Whilst we have previously undertaken testing and maintenance in the fall arrest and access equipment sides of the business, the good working relationship we have developed over the years with this important national client, has given them the confidence to award us a new three year testing contract of lightning protection. The previous supplier of lighting protection services to Marks and Spencer was in situ for around fifteen years so to prize the work away from them is a sign of how far we have come in recent times. Colleagues at Thor will now look to develop a long-lasting relationship that helps to consolidate our position.

GSH/Optimum - DWP portfolio (renewal)Having secured several new regions last year for DWP, in partnership with GSH, we have managed to agree a renewed arrangement with them in 2012. Once again, our ongoing relationship with this important client has played a key part in them deciding to continue working with us. It would seem that the level of service we have delivered over the previous twelve months has met expectations and, as a consequence, we have retained their business for a further year across all disciplines. This contract is worth £300k per year on PPM alone! GSH/Optimum are constantly offering new portfolios and tenders as they feel, as we do, our relationship works well. They are assured that they get the best level of service and have complete confidence in all that we do.

Contract wins - Marking us out from our competitors

NG Bailey - Land Sec London sites (new)We have been awarded a new contract with NG Bailey and we are delighted to be on board. We will be delivering Fall Arrest, Access Maintenance and Lightning Protection services for them covering some major city buildings. Their previous service providers had been in place for many years so again this is an exceptional result. The portfolio of work we have been allocated will give us the opportunity to tender for several other Land Sec regions along with retail sites. The current contract value is £105k and growing daily as more buildings are added.

Honeywell Controls - MOJ contract (new)Whilst only a relatively small contract in comparison to some, as it is only for lightning protection, this contract is the start of a new relationship with Honeywell. We are hopeful, once we can show them what we do, that there will be wider opportunities to deliver more services for them. The MOJ contract was split across several disciplines and several major suppliers. Honeywell chose us ahead of many major players in our industry.

Whilst the above are some of our larger key account wins, we must be mindful that ALL of our wins are equally important no matter how small or large.

Our relationships with all of our clients play a major part in our renewals and wins. The fact we are adaptable and that we embrace change is an important reason for our success.

Some of our recent contract successes stem from initial, smaller contracts to start with. We have been able to grow alongside our clients because of the relationships we develop. We work hard to gain trust and offer first class, adaptable services in all that we do.

We are developing a reputation for delivering a good and consistent level of service that is always safe – our philosophy being that if we can’t do it safely, we don’t do it. This reputation is deserved as we aim at excellence in all that we do and it is vitally important that we continue to do so now and in the future. That way, our existing clients will want to do more work with us and we will receive more referrals – the best form of marketing there is.

We need to continue looking for new business opportunities in Q2, 2012. Please help us by delighting our existing customers whilst trying to encourage new ones to join us.

Division Digest - Focus on Thor Lightning Protection Ltd

Thor Lightning Protection Ltd is the UK’s leading provider of lightning protection and earthing systems.

Since being acquired by PTSG in December 2010, the company has grown at a staggering rate.

The first year of operation saw a period of integration and consolidation alongside revenues being almost doubled. In 2011, the company produced a turnover of £1.4m, up from £750,000 in 2010.And there is no complacency either as the first quarter of this year has seen revenues tripled compared to the record breaking feats of last year.

Thor boasts two decades’ experience in designing, installing and servicing lightning protection and earthing systems on a wide variety of buildings and structures – from the local village church through to some of the UK’s most iconic buildings.

One of the highlights for the company since coming under the PTSG umbrella was the winning of a contract with Doha International Airport in Qatar.

Managing director Andrew Dack said: “We are aiming for a turnover of £1.8m for 2012 – it is well achievable and will provide the basis for further expansion and growth.

“There is one path we are taking and it is upwards – within five years we will be the second largest lightning protection firm in the UK and intent to grow the revenue to around £10 million.”

Thor Lightning Protection Ltd can provide everything from standard installation through to bespoke systems supported with layout drawings and plans produced to meet architect, consultant and contract engineer specifications.

Andrew said: “We’ve got a vastly experienced team who deliver first rate schemes for all our clients – the already fantastic reputation is growing and we can only go from strength to strength.”

Thor Lightning Protection Ltd

Five things you didn’t know about Thor

• Nottingham is the city which is most struck by lightning in the UK

• Thor was previously run by the Colley family for more than 20 years

• The success of Thor will provide the blueprint for four more firms which we will acquire in the coming years

News in Brief

Warm congratulations to Lorien and John on the birth of Charlotte who entered the world on 8th January 2012, weighing 6lb. Lorien is currently still on maternity leave and due to return to her role of Labour Controller, Access Maintenance in October this year. Lorien’s role is currently been covered by Nick Harrop whilst she is away. We wish the family well and look forward to seeing Lorien later in the year.

• We are mid-way through plans to open a Nottingham office for our proposed, expanded, lightning protection service. To complement the new office, we are looking to acquire a further business in this industry. Nottingham is the ‘life blood’ of the lightning protection industry and we feel it is necessary to be amongst our competitors in this area. We’ll keep you informed of our progress.

• Following the acquisition of Guardian Cradles Maintenance late last year, we are pleased to see its continued development and integration into our group of companies. Guardian plays a key role in servicing buildings inside the M25 corridor and has a large portfolio of prestigous buildings.

• We welcome on board a new Key Account manager, Amanda Snook. Amanda’s aim will be to ensure our key accounts are monitored and serviced correctly and that we meet our clients’ needs.

• National Cradle Maintenance has secured the British Safety Council’s seal of approval to add to our ever growing list of accreditations. Well done, again, to Terry Wilcock who worked very hard to achieve this for us.

We are delighted to announce that we have been awarded a ROSPA GOLD award. This is the first time that we have applied for this prestigious accolade and we are really pleased that we managed to achieve such a high ranking. It is testament our team, the company and Terry Wilcock who spent many hours completing paperwork, filling out application forms and providing evidence of our competence. A huge WELL DONE goes out to Terry - we could not have achieved this fantastic outcome without his efforts and persistence. Thanks too to all of you who assisted Terry during the application process.

Thor is very proud to inform you that Simon Cooper has been named ‘Apprentice of the Year’. This is the third consecutive year that the company has achieved this tremendous accolade. Historically, one apprentice has been nominated each year. The company’s track record is very impressive and yet again our team stands out head and shoulders above the other major players in the lightning protection industry.

This is, in a large part, down to our recruitment of the right people and their hard work and determination. But it is also due to the brilliant support offered by people like Anthony Colley. Anthony takes the training of apprentices very seriously and offers them a huge amount of support. He sees ‘home grown’ talent worth the effort with many former apprentices going on to full time positions. Thank you for your continued commitment to this important programme Anthony.

Congratulations Lorien and John

Movers and shakersWe are delighted to welcome the following team members to the business. We asked them about their new job and what they feel they will bring to the team.

Amanda Snook, Service Delivery Manager I see the main part of my job being an account manager and it is vitally important I look after our bigger clients.

I’m really enjoying the job and although I am still settling in, I have had a great time.

I’m trying to build up knowledge of the company before setting about really trying to make a difference.

I can definitely see that this business is going places and I want to be part of that growth.

Nick Harrop, Labour Controller I can see big things on the horizon and many opportunities.

I am looking forward to getting involved in the work and being able to see jobs through from the beginning to the end. I can see how that would be professionally satisfying.

Dealing with clients will be important and keeping the relationships on track so their expectations and requirements are fully met throughout the life span of the jobs I work with them on.

Dave Willetts Operations Manager, Thor I joined the company because I can sense it is at a point of what is expected to be exponential growth.

It is an exciting prospect to be part of a company knowing it is on the cusp of something really quite fantastic.

I wouldn’t have come on board if I didn’t think there were fantastic opportunities to be had. I am not here to keep the status quo, I’m here to make a difference.

Sarah Cooper Fall Arrest Contract Renewal Manager (Promotion) I joined the company two years ago from Masternaut, a vehicle tracking company. Starting out in a telesales role, I was recently appointed to the post of Fall Arrest Contract Renewal Manager. An important part of my job is to work with existing clients to ensure that contracts are renewed before their expiry date as well as talking to lapsed clients to convince them to come back to us. I like working at PTSG. It’s a nice place to work. The people are friendly and the work is interesting. It’s also great that there are career progression opportunities. I am really pleased that I have been able to move up the ladder in a relatively short period of time. Every day is different and it’s very fast-paced which makes it all the more enjoyable.

My job (this is what I do...)

Paul Evans, Fall Arrest Division Director

My role within the Group is Fall Arrest Testing Divisional Director and I work with a team of 5 office based staff and 11 engineers covering the whole of the UK and Ireland.

Previously working off shore on oil rigs, I moved into Fall Arrest testing some 15 years ago and retrained in all areas of installation and testing of fall arrest and fall restraint. I initially started out as an on the road engineer and progressed through to senior technician. In 2007, I joined NCM as Fall Arrest Manager and as the division grew quickly, into my current role as Fall Arrest Testing Divisional Director.

One of my key strengths is my ability to offer a great value service, often the cheapest in the industry, yet generate good profit for my part of the business, and ensure that my division is one of the leading divisions within PTSG in terms of our group contribution.

My role is very diverse and varied and no two days are alike, but my main focus is to drive the division forward and oversee staff and engineers alike to ensure we meet our budgets. Whilst meeting our budgets is important, my role is to also ensure we grow the division year on year. Whilst i have the responsibility of ensuring this happens, I often find I have also to “roll my sleeves” up and join engineers on site to ensure jobs are completed on time.

I would describe myself as a proud person who is passionate about his work and responsibilities. I always want the best from my staff and I try to help them wherever I can. I see the division as mine - one for me to nurture and take forward. The role is interesting and challenging, but I thrive on this and even now am still learning new things daily.

I feel my clients, no matter how small or large, are all equally important to us as a company and I have many excellent working relationships with them.

I recognise that the key to the department’s success is both my staff and engineers hard work and determination. Turning out first class work and delivering on time is also key as keeping the clients happy means they return year on year.

The most satisfying thing for me is when we win and deliver a larger contract and the client is left feeling happy that they have both received value for money and a quality job. I take personal satisfaction from a job well done and within budget.

POLICY

Policies, procedures and Health & Safety

New policy – Drug and Alcohol

Following a risk assessment review, PTSG believes it is necessary to introduce a more substantial drugs, substance and alcohol screening policy and process to achieve a lowering of potential risk to employees from possible drug, substance and alcohol use. The ultimate goal of this policy is to balance our respect for individual privacy with our need to keep a safe, productive, drug-free environment. All screening and testing is performed in a confidential and discreet manner to respect employee confidentiality.

Control of Asbestos Regulations 2012, [revised regulation 3(2)]

Under the revised regulations there will effectively be three categories of work with asbestos:

a) Licensed, to which all requirements apply, and for which there is no change

b) Non-licensed, which is exempt, as now, from the requirements to notify work with asbestos to the relevant enforcing authority

c) A new category of non-licensed work, which will be exempt from the requirements to hold a licence. For clarity, this new category of work will be referred to as ‘Notifiable Non-Licensed Work’ (NNLW).

Specific risk assessment will still be a requirement when working with asbestos contained materials to determine the hazards associated with the predicted scope of works and which category of work will be most applicable

Reporting of Injuries, Diseases and Dangerous Occurrences Regulations 2012

From the 6 April 2012, the over-three-day reporting requirement for people injured at work will change to more than seven days. From then, the group will have to report injuries that lead to an employee being incapacitated for more than seven consecutive days as the result of an occupational accident or injury

Tech Forum

We continue to work closely with the Specialist Access Equipment and Maintenance Association (SAEMA) the UK trade association for suspended access equipment. Current focus is on developing accredited training schemes for both installers and operators of suspended access equipment and also for duty holders who are ultimately responsible for the safe use, operation and maintenance of access equipment.

Remember! If we can’t do it safely, we don’t do it!

Order Process The order process is vitally important to the business and is used as a control measure for all costs incurred by the company.

All business purchases need to be supported with an order number which is issued by the accounts team.

To obtain a purchase order number, submit the request detailing purchase required and reason to your line manager, please remember to enclose all supporting information as required, i.e. for tyres, a tyre report must be included with the request.

Your line manager will then submit a formal PO request to the accounts department.

Upon approval by senior management, a PO number will be issued directly back to the line manager who requested in the first place within 24 hours of the request being received by accounts.

If there is a query, the request will be denied with reasons for doing so and / or a request for further substantiating information.

Once you have the order number from the accounts department, the purchase should be made by you.

If at this point any changes to value are to be made, an order uplift/ amendment would need to be submitted again.
