What is a Service Provider? Provide your customers with direct
or indirect access to products such as hosted websites or LOB
applications through Microsoft server products Offer your customers
software services that interact with Microsoft Products. In this
scenario, you, not your customer, are the licensee. Provide your
customers with access to and use of any application as a software
service, Microsoft or otherwise, and the application is running on
a server and interacts with a Microsoft product on that server
Facilitate your customers business, including business transactions
with third parties, through software services that interact with
Microsoft Products Offer other service providers platform
infrastructure services to use and run any Microsoft or third party
application. This, in turn, allows these other service providers to
offer Microsoft applications as a software service to their end
customers through their own SPLA Service providers offer a variety
of software services to customers. You are a service provider if
your organization provides customers direct or indirect access to
products that interact with Microsoft server or application
products and that are offered as software services. A Service
Provider may do the following:

The SPLA makes offering software services easier because you are
the licensee, not the customer.

Is a SPLA right for your business? With the SPLA, service
providers can license Microsoft products on a monthly basis during
a three-year agreement term. They can use these products to provide
software services and hosted applications to their customers The
SPLA may be right for you if you have one of the following business
models: *If you are an ISV, you can offer software services built
on your intellectual property (IP) to your customers through
servers connected to the Internet or a private network. If
Microsoft products are used to provide these services, they can be
licensed through your own internal-use Volume Licensing agreement,
with the requirements as described in the Product Use Rights (PUR)
document **Some products under SPLA cannot be streamed to

Enroll in the Microsoft Partner Network (MPN) Designate a SPLA
reseller Comply with the Services Provider Use Rights (SPUR)
Provide monthly reporting on software licenses Submit a monthly
invoice payment Abide by copyright guidelines, the use of
trademarks, and antipiracy obligations; affiliates must also follow
these requirements. Provide technical support to your customers on
the Microsoft products you offer Agree to participate in Microsoft

You are required to submit either a monthly use report of at
least $100 and payment, or Zero Use Report on the date agreed to
with your reseller. You must submit a Zero Use Report if no fees
are due that month. You may submit consecutive zero usage reports
for the first six months immediately following the signing of your
SPLA agreement. After the first six usage months you must begin
reporting at least U.S. $100 per month to keep your SPLA agreement
active. You must report the name and address of all end users with
more than U.S.$1,000 per month revenue in Microsoft products.

Licenses acquired under the SPLA are monthly nonperpetual
licenses that customers can use during the agreements term The
Microsoft licensed products included in the program are available
for licensing through three models Note: Not all products are
available in all licensing models. SPLA Licensing models

A SAL is required for each individual user or device that is
authorized to access or otherwise use the software. A SAL is
generally required for each individual who is authorized to use the
software in any given month When using the SAL option, a separate
Server License is not needed Not all products are available to be
licensed in the SAL mode. Examples of products licensed with a SAL
include Microsoft SQL Server, Microsoft Exchange Server, Microsoft
Office, and Microsoft Dynamics business software Benefits of the
Per Subscriber model include: Subscribers can access any number of
servers Service providers can scale out Service providers have
minimal start-up costs Per Subscriber - Subscriber Access

Each Per Processor License (PL) allows an unlimited number of
users to access the software that is installed on that processor
for products licensed through a per-processor model. Not all
products are available to be licensed in the PL model. Examples of
products licensed through a per-processor model include the Windows
Server operating system and SQL Server. Benefits of the Per
Processer model include: Processor licenses are easier to monitor
and count Processor licenses do not require SALs for
internal/external users Processor licenses are economical across a
variety of business scenarios where the use of the software can

Each Core License (CL) allows an unlimited number of users to
access the server software installed on the server with a
determined number of physical cores for products licensed through
the per-core model. Not all products are available to be licensed
in the CL mode. Examples of products licensed through a per-core
model include Microsoft SQL Server and Microsoft BizTalk Server.
Benefits of the Core Processer model include: Core licenses are
easier to monitor and count on physical and/or virtualized
environments Core licenses do not require SALs for
internal/external users Core licenses are flexible across
virtualization scenarios Per Core License

After successfully enrolling in the SPLA program, the following
are the key steps for participation: Obtain master copies of the
Microsoft products. You can either download the media through the
Microsoft Volume Licensing Service Center (VLSC) or purchase media
fulfillment kits from your reseller for a minimal cost Provide
software services that interact with Microsoft products to your
customers Ensure that your customers have agreed to and are
provided the required Microsoft customer license terms and use
rights Sign the License Mobility Addendum if you plan to become an
Authorized Mobility Partner. Your organizations name will be added

Partners (AMP) can offer infrastructure as a service to Microsoft
Volume Licensing customers who purchased Software Assurance with
their applications and server licenses to be hosted For additional
