IntroductionWhat is a Brand? A brand is not simply a recommended pool or spa chemical treatment program or solution. Instead, a brand is an experience in a consumer’s mind, an idea to build something better, to make something more enjoyable, to save money, and to make life easier. In short, a brand is a consumer shortcut to a purchasing decision, a promise made and kept about our company’s products.

The BioGuard® brand conveys to consumers that we are the pool lifestyle brand that makes their water sparkle and protects their pools and their families. Consumers can expect great pool experiences, because our professional dealers carry dependable, high quality, innovative products, and have extensive training and knowledge about proper pool care. Everything that we do, from advertising to answering the phone, reflects our pride in our brand.

Why Brand Guidelines? Consumer expectations, delivered upon again and again, build strong emotional connections and familiarity, which, in turn, give people reason to buy BioGuard and to recommend it to their friends. We have taken great care to develop standards that preserve and define the BioGuard image. Though we cannot address every communication scenario, these guidelines will help us present a consistent brand identity to consumers.

How to Use These GuidelinesThe purpose of the One Source Fund program is to help you develop and implement strategies to improve the effectiveness of your advertising and promotions while working towards increasing your sales. Our goal is to support your efforts and help you successfully market and advertise BioGuard products by sharing in the cost of your qualifying advertising. Please refer to these guidelines when planning future advertising and marketing initiatives.

General Program Information FundingYour One Source Fund account is based on purchases of eligible BioGuard products and is earned at a rate of 5% monthly. Ineligible products include, but are not limited to, Pro Guard®, non-resalable products such as lab supplies, merchandising elements, etc. Please consult your BioGuard District Sales Manager for a complete listing of ineligible products.

Your fund will be credited monthly with your earnings from October 1st through September 30th each year. The initial deposit will be made into your One Source Fund account during January and thereafter additional deposits will occur on or before the 15th of the month following your purchases. Funds will be available for use once the initial deposit is completed. For example: If you purchase $20,000 of eligible products in April, you will earn $1,000 in One Source Fund deposits. This amount will be deposited into your account by May 15th.

You may use up to 100% of funds accrued through the BioGuard One Source Fund program for advertising and expenses related to the purchase of (excluding taxes and freight charges): ALEX® software and relicensing; Smart Lab™, Accu-Scan®2, Accu-Demand30

®, Back Up® test kit, and other merchandising displays as designated by Bio-Lab, Inc. (“BioLab”). Your reimbursement of eligible claims will be provided in the form of a credit to your BioLab account. Reimbursement rates vary by media type and usage.

Your BioGuard Platinum Dealer account must be active and in good standing to participate in the One Source Fund program or funds will be forfeited at BioLab’s sole discretion.

Expiring Funds

What does this mean?Each year in January, 50% of your remaining balance of One Source Fund deposits accrued during the previous year will automatically be transferred to the current fund year. These funds will expire at the end of the program year into which they were transferred. The roll-over balance will be determined after all claims have been processed from that year. Please refer to the Program Period section of these guidelines for more information on filing claims.

How do you calculate what is expiring and what will move into the new year?Log-on to One Source Connect and look at your One Source Fund account. You will see a screen similar to this example below:

• The Accrual column reflects all accrual earnings for the current fund year

• The Adjustments column reflects the funds rolled over from the previous fund year

• The Paid column reflects the total of what has been paid year-to-date

• The Balance column reflects Accrual + Adjustments – Paid

To determine roll-over:• Deduct the paid claims from the adjusted amount: $1,441 - $285 = $1,156; this is the total that will expire

• Deduct the expiring total from the balance: $5,901 - $1,156 = $4,745

• $4,745 x 50% = $2,372.50

• $2,372.50 is the total that will roll to the next year fund account

An easy at-a-glance solution – compare the paid column to the adjustments column, if the paid column is greater than the adjustment column – all current year funds have been spent. In the example below, the paid column is less than the adjustments – use the calculation above.

In the example below, the paid column is greater than the adjustment – no funds are expiring and 50% of the available balance will roll forward after deducting any pending or submitted claims.

The term “funds expire” simply means that the unused funds will not roll into the next year fund account. You can file claims up until November 15th of the current year for reimbursement from all funds in your account. The expiration calculation will not be performed until all claims have been processed.

Program Period The One Source Fund program runs from October 1st through September 30th of the following year, and you may advertise at any time during this period.

Year-end Deadline: Claims for activities should be submitted on or before November 15th. Please plan accordingly as a there will be no exceptions made to the program year-end deadline of November 15th. All claims must be postmarked on or before November 15th.

Approved One Source Fund Media Reimbursement will be provided for the below media when submitted in accordance with guideline standards. Self-designed ads placed with any of the media below require prior approval to qualify for the One Source Fund program.

Any review and approval by BioLab or its authorized agents of materials submitted by a dealer under the One Source Fund program is limited to effectuate the purpose of the program and shall not be considered any representation or admission by BioLab or its authorized agents that advertising or other marketing materials created by you comply with applicable laws or that they do not infringe the intellectual property of a third party. Each dealer is solely responsible for its advertising and marketing practices.

Prior ApprovalsPrior approval must be obtained for any advertising medium utilized outside of the approved media categories. Prior approvals are also required for any advertising that is created outside of the Dealer Marketing Resource Center. This includes all self-designed ads even if for an eligible media. Ads that are downloaded from the Dealer Marketing Resource Center and unaltered do not require prior approval. Prior approvals are valid only for the One Source Fund year in which the approval is granted. All advertising that is run anytime after the year it was approved thereafter must be pre-approved again.

Reimbursement rates for prior approvals will be based on the guidelines set forth for each media category. Allow up to a 72-hour approval turnaround time to avoid problems and/or missed deadline dates. Please submit the Prior Approval Form along with a sample or copy of the proposed advertising piece to Ansira Engagement Marketing. Prior Approval forms are available online at the One Source Fund link at BioGuard One Source Connect and in the Dealer Marketing Resource Center.

Claims ProcedureCredit memos will be issued upon receipt of a properly prepared and supported BioGuard One Source Fund claim form. Claims submitted without proper documentation are subject to denial. All documentation requirements are included on the claim forms. Please allow up to four weeks for credit memos to be issued on all completed claims. Claim forms are available online on the One Source Fund Getting Started page at BioGuard One Source Connect and in the library of One Source Connect and also in the forms section of the Dealer Marketing Resource Center.

All claim forms should be signed by the person submitting the form to signify that he or she has read and understands the One Source Fund program offered by BioGuard and is submitting the claim in accordance with the program’s requirements. He/she understands also that a credit memo will be received to be applied against existing/future invoices as payment for claim.

In the event that submitted claims are unable to be fully processed due to lack of available funds, the existing funds will be applied and credit issued in that amount. Unpaid claims may be resubmitted as additional funds are earned for the current fund year but will not be carried forward to the next program year. Contact Ansira Engagement Marketing with the claim number to request reprocessing.

Send prior approval requests to Ansira Engagement Marketing: The signed/stamped approved Prior Approval forms must be submitted with the claim to Ansira Engagement Marketing to be considered for reimbursement.

E-Claim SubmissionYou may submit the following claim types via email. All claim documentation must be scanned and readable in order to be acceptable for processing. A claim form must accompany documentation.

How to Set-up Your Advertising RepresentativeYou may provide access to the Dealer Marketing Resource Center for your advertising representative by contacting Ansira Engagement Marketing with their name and contact information. Ansira Engagement Marketing will issue a log-in and password to a protected site that only allows the representative to access the advertising materials available in the Dealer Marketing Resource Center. The representative will not be able to view your available One Source Fund account detail as that is confidential information.

You will need to provide your advertising representative with the current program guidelines so that he or she is aware of the requirements for receiving reimbursement. Ad materials that are downloaded and used in self-designed media created by your representative must receive prior approval for you to receive reimbursement. Your advertising representative may file the prior approval form on your behalf. Claim forms are not permitted to be submitted by your advertising representative and must be filed by the dealer. Contact information for Ansira Engagement Marketing is available in the Prior Approval section of the guidelines.

Navigating the One Source Fund Getting Started Page:1) Where do I see my balance? Click on “Accounts” located in the left column of the Getting Started Page. After clicking on

“Accounts”, you will see the following format for your locations. Click on One Source Accrual to see your balance and fund information. For more details on your account, click on ONEXX from the accrual screen

2) How can I find out what claims have been processed? Access the below screen and click on Claims. This will allow you to see the status of all claims submitted for the current program period. For complete details on each claim, simply click on the claim number.

a. Entered – Ansira Engagement Marketing has received your claim and the audit process has begun

b. Open – The claim has completed the auditing process

c. Closed – The claim has completed the auditing process and a credit request (as appropriate) has been submitted to BioGuard.

Please note: It is best to assume that any media not listed above will not be eligible for reimbursement, unless you receive prior approval from BioLab.

Ineligible Media While these may be appropriate for your market area, we believe the best use of your BioGuard One Source fund is on the media types listed above. Please note the following are ineligible.

• Advertorial, i.e. articles promoting your business or services

• Business cards, stationery, envelopes

• Cash register receipt advertisements

• Fraternal publications

• Lawn or business signs

• Religious bulletins

• Restaurant menus or placemats

• Shopping cart advertisements

• TV trailers or crawlers

• Sponsorships including but not limited to: ball teams, golf tournaments, race cars, boats, etc.

• In-store TV monitor advertising

• Mall and home shows

• Service contracts

Ineligible Costs and Activities The following items do not qualify for One Source Fund reimbursement:

• Agency fees for production of broadcast ads, photo shoots

• Costs of printing and production of sales literature and other printed materials other than approved direct mail or BioGuard literature

• Media purchases made through trade or barter

• Monthly management or maintenance fees

• Sales tax*

• Freight charges

• Rush charges

• Shipping and handling charges

• Talent fees

• Commissions of any type

• Special or preferred position charges

• Ads that contain competitive products appearing on the same page or on facing pages or included in scripted media

• Rates that exceed the published costs of print or broadcast advertising

• Claims not submitted to Ansira Engagement Marketing prior to November 15

• Any ad that does not comply with the stated guidelines

• Bulk mail permit fees

• Third party, space broker, advertising agency and special co-op invoices, contracts or space orders

• Modification of logo or product claims

• Production charges (may be submitted as a prior approval request)

Media Descriptions 1. Direct Mail You may advertise via direct mail pieces mailed to residences in your trading area. Direct mail components include postcards, catalogs, flyers and BioLab approved media. The One Source online Dealer Marketing Resource Center provides many forms of direct mail options from which you may choose . Any form of direct mail outside of the provided materials will require prior approval.

Requirements: • The most current BioGuard logo must be displayed prominently and must be a minimum of 30% equal in size to your dealer logo on

any size ad space and used in accordance with the graphic standards set forth.

• The ad must contain an identifiable BioGuard product and/or include product information or description. Also acceptable are the following BioGuard references: BioGuard® Pool & Spa Products; BioGuard® Chemicals, BioGuard® Pool Chemicals, SpaGuard™ Products, SpaGuard™ Chemicals.

• Directly competitive products may not appear on the same or opposite page (OMNI® is considered a competing brand).

• If non-competitive products or services are included in the ad, then BioGuard products must be featured separately and distinctly from other products and services.

• Ads containing only the BioGuard logo will be denied reimbursement.

Reimbursements: • Ads created using the Dealer Marketing Resource Center without alteration (addition of dealer information is permitted) will be

reimbursed 100% for eligible charges up to the limit of your available One Source fund. No prior approval is needed.

• If non-competitive products or services are included in the ad created online at the Dealer Marketing Resource Center, then reimbursement will be based solely on the portion devoted to BioGuard that is comprised of the original ad format up to 100%.

• If you create any other type of ad outside of our online tools, you may be reimbursed up to 100% of the total net space devoted to BioGuard products, up to the limit of your available One Source fund. Prior approval is necessary.

Additional Eligible Charges:• Production charges (may be submitted as a prior approval request)

• Postage

• Printing

Claim Documentation Requirements for Direct Mail: • Original sample of the mailing piece.

• Detailed printer invoice showing number of copies printed.

• Postal receipt verifying the zoning area and postage amount paid. A certificate of mailing, signed and stamped by a postal official should be available from your post office even when bulk or metered mail is used.

• If the above is not available, submit a receipt for postage purchased or a copy of a canceled check for your own postage meter.

• You will receive a credit of $.05 per copy if you use your own copy machine. Please note, if you are claiming in-house printing, an official certificate of mailing outlining number of pieces mailed is required to verify eligible quantity to be reimbursed.

• Copy of prior approval (if applicable).

Utilization of On-Target Mailers You will receive 100% reimbursement for the BioGuard portion of the On-Target mailer. Directly competitive products may not appear on the same or opposite page of the On-Target mailer in order to qualify for reimbursement. Documentation requirements include On-Target Invoice, postage receipt and sample of mailer.

Direct Mail FAQ:

Am I required to use the printing services offered by Ansira Engagement Marketing? No. You may download your finished template and submit that to your printer of choice.

However, if you elect to have Ansira print your direct mail, then you will be able to have your claim submitted automatically for reimbursement through your One Source Fund account.

Am I required to pay Ansira Engagement Marketing for my printed material? Yes. All vendor services are paid directly to the vendor. You then file your claim to receive reimbursement in the form of a credit to your BioLab account.

Can Ansira Engagement Marketing print my materials and ship them to me for mailing? Yes. You will indicate on your order how you would prefer delivery for your printed pieces.

Print-On-Demand All Direct Mail (postcards, catalogs, tri-fold mailer, etc.) shown in the One Source Fund Dealer Marketing Resource Center are available by print-on-demand and are not available for immediate shipment. Please allow a minimum of two weeks for printing.

2. Digital Prospector Programs (local Search Engine Marketing)You may advertise using our Local Search Engine Marketing (SEM) program. The SEM program is setup in cooperation with ReachLocal®.

The Digital Prospector program includes search marketing, display ads, custom tracking and reporting, and phone call tracking.

Requirements:• Sign up directly with ReachLocal’s national office

• Opt in to the BioGuard® Co-Op campaign

• Make payment directly to ReachLocal

Reimbursements:• You will receive 100% reimbursement for all activity in the BioGuard Co-Op campaign, up to the limit of your available

One Source fund

• ReachLocal will submit monthly activity directly to BioLab for Co-Op claim processing

• Claims will be processed automatically.

Claim Documentation Requirements:• No Claim form submission is required

• No Prior Approval form is required

3. Newspaper You may advertise in any general interest daily or weekly newspaper published in your local trading area, in either the regular editorial pages, or in advertising supplements, circulars, and inserts.

Requirements: • The most current BioGuard logo must be prominently displayed and must be a minimum of 30% equal in size to your dealer logo on

any size ad space and used in accordance with the graphic standards set forth.

• No competitive products may be mentioned in the ad (OMNI® is considered a competing brand).

• Audio Portion — When creating your own script, the BioGuard name must be included: 1 time — in less than 30 second spot 2 times — in 30 second spot 3 times — in 60 second spot

Reimbursements: • If you are using an unaltered (dealer tagging is acceptable) BioGuard supplied radio script you will be reimbursed 100% for eligible

charges up to the limit of your available One Source fund. No prior approval is needed.

• If non-competitive products or services are included in the BioGuard-supplied radio script available online at the Dealer Marketing Resource Center, then reimbursement will be based solely on the portion devoted to the original BioGuard ad format up to 100%.

• If you create your own script for radio that contains other non-competitive products/services, you may be reimbursed up to 100% of the total net space devoted to BioGuard products, up to the limit of your available One Source fund. Prior approval is necessary.

• No reimbursement for broadcasts between midnight and 5:00 AM.

• Live remote broadcasts are ineligible for reimbursement.

Billboard FAQ:

Am I required to use the printing services offered by Ansira Engagement Marketing? No. You may download your finished template and submit that to your printer of choice.

However, if you elect to have Ansira print your billboard, then you will be able to have your claim for printing submitted automatically for reimbursement through your One Source Fund account.

Am I required to pay Ansira Engagement Marketing for my printed material? Yes. All vendor services are paid directly to the vendor. You then file your claim to receive reimbursement in the form of a credit to your BioLab account.

Can Ansira Engagement Marketing print my materials and ship them to me? Yes. You will indicate on your order how you would prefer delivery for your printed pieces.

Other types of Internet advertising require prior approval in order to determine reimbursement.

• Must include the BioGuard or SpaGuard® logo.

Reimbursements: • You will be reimbursed up to $300 per qualifying Yellow Pages Internet service.

• Dealer may customize by adding its company information and logo.

• Must promote BioGuard exclusively; no other logos or brand names are permitted.

Reimbursement: • If you purchase through an authorized fulfillment company without alteration (addition of dealer information is permitted), you

will be reimbursed 100% for eligible charges up to 15% of your available One Source fund. No prior approval is needed.

All products available on the site are eligible for One Source Fund reimbursement.

Orders for these products will be placed online with Aislelogic. A credit card will be required and payment made to Aislelogic at the time of order placement.

16. BioGuard Store Design Program:BioLab offers a store design program to aid you in the redesign of your existing store or a customized design for a new store. Contact your DSM for further details on how to get started. Only certain aspects of the program are eligible for One Source Fund reimbursement. You may be reimbursed for the following items included in the design and build-out process:

• Store design performed in the BioLab Store Design Program.

• Graphics for the pool/spa chemical area.

• Mobile water testing counter.

• BioGuard product shelves (must be new and per the specification of to the store design program).

Exception:• Graphics for SWAS (Store within a Store) and existing gondolas are eligible for One Source Fund reimbursement if you choose not to

participate in the full BioGuard Store Design program.

Reimbursements:• You will be reimbursed up to 100% of the invoiced price of the above listed products or services up to the limit of your available One

Source Fund.

• Tax and freight charges are eligible for reimbursement, as this offering does not have a BioLab approved vendor.

BioGuard Education Conference You may use up to 50% of the total funds deposited into your account for the current program year fund through the BioGuard One Source program on the BioGuard Education Conference. Instructions for calculating available funds will be provided with the event announcement and on the event registration form.

Funds available to apply towards the BioGuard Education Conference include the amount carried forward from the previous year (adjustment) and earned throughout the current program period (accrual). Your contribution to the Conference may not exceed 50% of the total funds deposited into your fund prior to the event. Actual applied funds will be based on the available fund balance prior to the event. Only one program year may be used for each event. A quick reference tool has been provided within your One Source Fund account information available online. When viewing your account information, simply click on “ONEXX” to view a media summary chart. An example of this chart is below:

In this example, the chart shows that the cap for the media group is 50%; the Cap $ is $3,078; and the available to spend is $3,078. If any funds have been applied to an event, it would appear under Paid by Media Group and would reduce the available to spend. You may apply the funds that are available towards the event cost provided this total does not exceed the current balance of your account. The Cap $ and Available to Spend is subject to change as accruals are added to your account throughout the current program year.

The BioGuard Education Conference is restricted to active BioGuard Platinum Dealers in good standing and their employees. You must be a Platinum Dealer and at least 18 years or older to participate in the Conference. At least one person occupying each room must be an employee of the attending dealer location. Your BioLab account must be current as well. The BioGuard Education Conference is a great way to meet your fellow Platinum Dealers in a relaxed and fun atmosphere. It is designed to help you improve your business, employee relations and your bottom line. If you do not have the required funds available to participate in the Conference, you may pay the difference between your fund availability and the cost of the Conference. Funds will be deducted from your account upon receiving your registration. Your registration form will serve as your claim form.

Graphic Standards:Visual and Verbal Guidelines The following copy and art guidelines apply whenever the BioGuard® brand or logo is featured in any advertising medium regardless of eligibility for One Source Fund reimbursement. All current BioGuard Brand logos can be found in the Dealer Marketing Resource Center.

Ad Content Requirements • The most current BioGuard logo and/or tag line must be prominently displayed. Please note the current eligible tagline is

“Guarding More Than Your Pool.”

• BioGuard product names, and trademarks must be presented as per BioLab’s instructions. PLEASE DO NOT alter any of the graphic elements.

• The BioGuard logo cannot be faded or used as a watermark.

• Directly competitive products may NOT appear on the same or opposite page.

Art and Copy Restrictions • Your advertising must contain only statements that comply with the product performance and quality statements made by BioLab.

• Your advertising must be factual and cannot make statements that cannot be supported, i.e. biggest, largest, leader, best or better provider of BioGuard products.

• Do not run any advertising that conflicts with or damages the established reputation of BioLab and its brands.

• Do not use photos without the consent of the people depicted therein.

Logo Usage Please use all BioGuard logo art as is, without altering the swimmer logo or BioGuard typeface. In addition, to protect BioGuard trademarks, the logo should only be used in its entirety, with both the swimmer logo and the word BioGuard, along with the ® in the location shown in these examples. There are multiple variations for logo usage and all current logos are available in the DMRC.

Preferred BioGuard Logo • The preferred BioGuard logo features an oval shape

containing the swimmer and wave graphic. This is known as the “medallion logo.”

• The logo may also have a shadow behind the medallion, but that treatment should be reserved for video or signage.

Clear SpaceClear space in the area surrounding the identity must be kept free of any elements such as text, graphics, borders or other logos. The tagline, web site address or corner treatment are the only exceptions.

The minimum required clear space is measured in relation to “X,” which equals one-third of the width of the oval. Clear space should be equal to or greater than “X” on all four sides of the BioGuard identity.

Trademark SymbolThe BioGuard logo has a registered trademark “®” embedded into the design that should never be deleted or obscured in any way. The overall medallion or tagline does not require additional trademark symbols.

Color VariationsThe BioGuard® logo should be reproduced as 4-color process whenever possible, but there are 2-color PMS, grayscale, black/white and white-only variations that can be used to suit reproduction needs.

The 2-color version is PMS 2915 (light blue) and PMS 281 (dark blue).

The preferred background for the logo is white in any and all applications. A dark blue background is a secondary option, but it must be dark enough to provide contrast from the oval border. If the 4-color version cannot be used, then the white logo variation may be used.

Minimum SizeThe BioGuard identity must always appear clearly and legibly. The minimum size is the smallest dimensions that it can be reproduced without jeopardizing the legibility.

The minimum size is 0.75” wide (based on the width of the oval) for print applications and 60 pixels wide for onscreen use.

Algae-Free GuaranteeThis BioGuard dealer-led program logo helps signify the importance of the “guarantee” and to draw attention in communications. It always appears in 4-color and has a “texturized” treatment for enhanced uses.

Mineral Springs®

This saline chlorination system uses specialized packaging and imagery. The preferred logo has the bubble elements (PMS 2945, but can be used without them if space is at a premium. Always use the formatted electronic versions and never typeset it anew.

SilkGuard® TechnologyThis feature logo is used whenever communicating about products containing SilkGuard. The circular treatment should never be used on its own without connection to a BioGuard sanitizer.

Soft Soak®

The logo is for the line of chlorine-free products used for spas/hot tubs and always has the words “by SpaGuard®” below it. The color used with this sub-brand is PMS 667.

SoftSwim®

The black and white logo is for the line of chlorine-free products used for pools. It should never be typeset anew.

SpaGuard®

The companion spa brand with its own unique packaging and brand color (PMS 294).

SaltScapes®

This salt-specific product line is designated by the playful script font on a weathered sign. The SaltScapes sign logo always appears in 4-color and the logo should be accompanied by the gray BioGuard logo in the upper left whenever possible.

Soft Soak® TRIO®

This logo is for the three step treatment kit designed for spas. The word TRIO should not be separated from Soft Soak. The logo always appears in 4-color and the logo should be accompanied by BioGuard logo in the upper left when possible.

General Trademark Usage Guidelines• A trademark is always a proper adjective that describes a specific person, place or thing. Use the trademark as a proper adjective

(not a noun or verb). Never use a mark as a verb.

• Do not pluralize a trademark or make it possessive. Do not join a trademark to other words, symbols, or numbers, either as one word or with a hyphen. Do not abbreviate a trademark.

• Use the proper spelling and the proper trademark symbol and attribution. The ™ or ® designation is needed only the first time a trademark is referenced in a document, unless you are citing or listing a series of product titles. In that case the symbols should be used appropriately with each name. Additionally, in newsletters, brochures, or publications consisting of several articles or chapters, use the ™ or ® designation with the first use of the trademark in each article or chapter.

• At the end of the entire publication, include the following trademark paragraph:[List of trademarks used] are trademarks of Bio-Lab, Inc.For books or manuals, the trademark statement above may be printed on the copyright page that follows the front cover.

Referential Trademark UsageBioLab does not object to making referential use of trademarks or product names in marketing and promotional materials, books and other printed matter, conferences, applications, demonstrations, and on internet locations, provided such use complies with the guidelines set forth below:

• The use of all BioLab trademarks must comply with all the visual and copy guidelines.

• Dealer must not use any BioLab trademarks, logos or designs other than those listed on the BioLab trademark list on the previous page or otherwise authorized by BioLab in writing.

• Dealer shall not incorporate any BioLab trademarks in its business name or business logo, e.g. “Smith BioGuard Pool Supply.”

• Dealer must not make any claims about BioLab, its products or services, other than presenting current information, which has been published or approved by BioLab.

• Dealer shall not register domain names comprised of any BioLab trademarks, or words that are confusingly similar to such trademarks, without the prior consent of BioLab. In any event, all such permitted domain name registrations shall be made in the name of, and solely owned by BioLab and/or its affiliated entities. In the event that the dealer is no longer part of the Platinum Dealer program or a BioLab customer, Dealer shall promptly cease use of such domain names.

• If Dealer uses a website or other means of advertising and promoting its business via the Internet, Dealer agrees to inform BioLab of the domain name used for that purpose. Although Dealer may refer to BioLab trademarks and products on its business website, Dealer must maintain the integrity of the BioLab brands. Specifically, Dealer may not offer BioLab’s products for sale on a “page” or within an area of Dealer’s website where other manufacturers’ brands and products are offered for sale. In addition, Dealer may not use any BioLab trademarks as “headings” or titles of pages unless BioLab products are the only products promoted on that page.

• By using BioLab’s trademarks, Dealer acknowledges that BioLab is the sole owner of those trademarks and Dealer promises to not interfere with the trademark rights of BioLab, including challenging BioLab’s use of, registration of, or application to register such trademarks, alone or in combination with other words, anywhere in the world, and Dealer will not harm, misuse, or bring into disrepute any BioLab trademarks. Dealer shall not seek to register, or assist others in registering, any BioLab trademarks or any trademarks confusingly similar to such trademarks. The goodwill derived from using any BioLab trademarks exclusively inures to the benefit of and belongs to BioLab.

BioGuard® Platinum Dealer ProgramDealer PledgeIt is understood and agreed that in order for the Dealer to become and remain a BioGuard Platinum Pool and Spa Care Center in good standing, the Dealer pledges to:

1. Maintain, operate and use regularly, a complete operational BioGuard Water Analysis system, including a Laboratory/Accu-Scan® and AccuDemand30

® with specifications and compliance certified by a BioGuard Disrict Sales Manager and ALEX® Pool Care system software.

2. Accept and honor all coupons issued by BioGuard to consumers.

3. Actively promote a BioGuard Sanitizing System and BioGuard ancillary support chemicals and products as the primary line of swimming pool and spa maintenance chemicals. Minimum requirements are:

a) Designate BioGuard branded products to not less than 80% of the store’s total chemical products display space.b) Dealer’s total annual purchases (measured in dollars) of BioGuard branded pool and spa products must not be less than

$25,000 or $10,000 for SpaGuard only accounts. 4. Participate in and offer in your retail locations all BioGuard marketing programs and promotions created by BioLab.

Annual Platinum Dealer ReviewEach year, your District Sales Manager will conduct a review of your store(s) and participation in the BioGuard Platinum Program. This review will consist of a review of the qualifications compliance, your annual purchases, and participation in the One Source Fund program. Another important component of the Annual Review is receiving your feedback on our performance for the year by completing the Annual Dealer Review of BioGuard. This feedback helps us to improve our services and programs so that you will receive the greatest benefits. In the event that you do not meet the qualifications of the Platinum Program, a transition agreement will be required. This transition agreement will outlay the areas that need to be addressed in order to maintain your Platinum status. Bio-Lab, Inc. Minimum Advertised Price PolicyEffective: October 1, 2013

Purpose and ScopeBio-Lab, Inc. (“BioLab”) has unilaterally adopted this Minimum Advertised Price Policy (“MAP Policy”) with respect to each of the BioGuard®

and SpaGuard® products designated from time to time by BioLab as covered by this MAP Policy (the “Products”). This MAP Policy has been established in order to maintain the quality and brand image of the Products.

This MAP Policy applies to all resellers of the Products in the United States, including BioGuard Platinum Dealers and other dealers. As used in this MAP Policy, dealers and other resellers are referred to as “Dealers.”

This MAP Policy may be amended or altered by BioLab from time to time, in its sole discretion.

This MAP Policy is non-negotiable, and no employee of BioLab is authorized to modify or alter this Policy for any Dealer.

Each Dealer is free to independently decide whether or not to follow this MAP Policy. Each Dealer also remains free to set the prices at which it resells the Products. However, if a Dealer elects not to comply with this MAP Policy, BioLab may, in its sole discretion and without incurring any liability, take the steps referred to below under “BioLab’s Rights.”

Application1. National minimum advertised prices (“National MAP”) and in some regions regional minimum advertised prices (“Regional MAP”) for

the Products have been established by BioLab to maintain the quality and brand image of the Products. The MAP may be adjusted by BioLab from time to time in BioLab’s sole discretion.

2. For purposes of comparing (a) the MAP and (b) a Dealer’s advertised prices for the Products, “price” includes all price promotions or discounts of any sort related to the Product. By way of example, and not limitation, this includes all coupons, rebates, gift cards, discounts to special groups, quantity discounts, the use of any Products as a premium or as a qualifier for discounts on other or future purchases of Products or other bundling of products.

3. This MAP Policy applies to all advertisements of Products in any and all media, including, without limitation, internet or similar electronic media including websites, email, pop-ups, pop-unders, Internet auctions, any other form of Internet sales, newspapers, magazines, catalogs, mail order catalogs, flyers, inserts, mailers, coupons, posters, television, radio and public signage. The listing of the MAP Price with a strike-out or similar legend, or the listing of a specified price with a statement that the price is a “Minimum Advertised Price,” “List Price,” or the like, is a violation of this MAP Policy. In addition, any online method which gives a purchaser instant access to a price (i.e. “Click for Price” or instant email verification systems) is also a violation of this MAP Policy. However, the phrases “Request a Quote via Email,” “Email for a Quote” or other similar phrases followed by an email to the consumer’s inbox which contains pricing below the MAP Price is acceptable.

4. Where a Regional MAP has been established to meet local market conditions, the Regional MAP will govern all local advertisements of BioLab Products, but the National MAP shall be applicable to all advertisements that are not regional including, without limitation, Internet or similar electronic media for Internet sales, mail order catalogs, and newspapers, magazines, catalogs, flyers, inserts, mailers, coupons, posters, television, and radio that are not limited to the region.

5. Notwithstanding the foregoing, the following activities are not violations of this MAP Policy:(a) The Dealer may offer free shipping and handling.(b) The MAP Policy does not in any way limit the ability of any Dealer to advertise that it has “the lowest prices,” or that it “will meet

or beat any competitor’s price,” or that consumers should “call for a price” or the like, so long as the price advertised for the products is not less than MAP.

(c) Prices listed on customer invoices, website “shopping cart” displays, or written or electronic correspondence in response to a request for a price quotation for a specified Product, are not subject to this MAP Policy.

(d) Nothing in this MAP Policy shall prevent a Dealer from advertising a price in excess of the MAP.

BioLab’s Rights1. BioLab has sole discretion in determining whether this MAP Policy has been violated. BioLab also has sole discretion in enforcing this

MAP Policy.

2. BioLab’s failure or refusal to enforce this MAP Policy against a Dealer does not constitute, and should not be construed as, a waiver of this MAP Policy with respect to that Dealer or any other Dealer.

3. If BioLab determines that any Product is being advertised by any Dealer in a manner that contravenes this MAP Policy, including, without limitation, advertising any Product below the MAP, BioLab reserves the right to:(a) Give notice to such Dealer requesting that it cease and desist from further activities in violation of this MAP Policy within 48 hours; and(b) If the Dealer fails to cure its violation within such 48 hour period, BioLab may in its sole discretion, and without incurring any liability:

(i) reduce the Points or funds available to any such Dealer that is a BioGuard Platinum Dealer participating in BioGuard’s One Source Fund program, (ii) cease supplying the Products to the Dealer for a specified period of time as determined by BioLab, (iii) immediately cancel all orders from the Dealer, (iv) refuse to accept any future order from the Dealer, or (v) any combination of the foregoing.
