    INTRODUCTION

    FOUNDING &HISTORY

    Realising the need to develop local human capital in a post-Web 2.0 world, our founding

    President, Mr. Aldric Tinker, gathered a few bright minds who are dedicated to the short-, mid-

    and long-term development of fellow Sarawakians. Tired of the brain drain and lack of

    opportunities for locals to grow and develop, Cerava Industries was found to bring those

    opportunities to East Malaysia while serving foreign markets for sustainable growth and

    development.

    This bold journey began on October 13th, 2010 and now sees a thriving company dedicated to

    meeting the needs of the shareholders through the utilisation of information technology and a

    competitive edge.

    SIZE,RANKING

    Cerava Industries is managed by a senior management team of 10 individuals and supported by

    5 executives and a growing number of freelancers, professionals and independent contractors.

    Our policy on cost structure requires us to keep overhead expenses to a minimum and

    outsourcing any tasks that can be outsourced, paid on project basis instead of a fixed recurring

    cost which has a potential of increasing with time.

    MANAGEMENT FUNCTIONS

    EXECUTIVECHAIRMAN &PRESIDENT

    The executive chairman is appointed by and reports to the board of directors.

    y Preside over board or executive committee

    y Supply vision and imagination at the highest level

    y Take chair at general meetings, within which: to ensure orderly conduct; fair and

    appropriate opportunity for all to contribute; suitable time allocation per item;

    determining order of agenda; directing discussion towards consensus; clarifying and

    summing up actions and policies

    y Act as the organisation's representative in its dealings with the outside world

    y Play a leading part in determining composition of board and sub-committees, so as to

    achieve harmony and effectiveness

    y Take decisions as delegated by the board and where required chair board meetings.

    y Execute the responsibilities of a company director according to lawful and ethical

    standards.

    As company President, the roles and responsibilities include:

    y Identify, develop and direct the implementation of business strategy

    y Plan and direct the organisation's activities to achieve stated/agreed targets and

    standards for financial and trading performance, quality, culture and legislative

    adherence

    COMPANYSECRETARY

    y The Company Secretary should ensure the well-being and growth of the company, its

    Board of Directors and all Stakeholders.

    y The Company Secretary should make sure that the procedure for appointment of

    directors is followed properly. She should also ensure that the newly-appointed senior

    managers and directors have a proper induction and special training organized, if the

    need be.

    y She should also provide all types of support and guidance to the directors, helping them

    in discharging their duties.

    y The Company Secretary should ensure that all statutory and regulatory requirements are

    properly complied with. They play a key role in ensuring that the decisions of the Board on

    the whole are properly implemented and communicated within the organization. They

    should advise the company and its board of Directors on business ethics and corporate

    governance.

    y The Company Secretary should also ensure that the interest of the stakeholders are

    safeguarded and should communicate with them on regular basis.

    In addition to those roles, the Company Secretary has the following functions:

    y Responsible for organizing board meetings, informing board of directors about the

    impending meeting, formulating the agenda of the meeting with Chairman and/or Chief

    Executive, compiling the minutes of the meeting and maintaining minute books.

    y Ensure that Annual General Meetings (AGM) are held as per the Companies Act and the

    companies Article of Association. She is responsible for issuing notices of meetings,

    distribution of proxy forms, helping directors update themselves and getting prepared in

    case any shareholder ask questions, helping directors prepare briefing material and

    ensuring that security arrangements are done for the meeting. During the meeting, she

    has to ensure that proxy forms are processed properly, voting is carried out properly and

    recording the minutes of the meeting.

    y Ensures that the Memorandum and Articles of Association is properly complied with. In

    case any amendments are issued, they have to make sure that they are implemented in

    the right manner.

    y Ensures that the company complies with the legal and best practices requirements and it

    properly implements the model code and/or company code regarding the companys

    securities.

    y Responsible for maintaining the statutory registers regarding the members, company

    charges, directors and secretary, directors interests in shares and debentures, interests

    in voting shares and debenture holders.

    y Responsible for filing annual reports, amended Memorandum and Articles of Association,

    return of allotments, notices of appointments, removal and resignation of directors and

    the secretary, notices of removal or resignation of the auditors, change of registered

    office and resolutions in accordance with the Companies Act with the Registrar of

    Companies.

    y Responsible for the publication of the companys annual report and accounts.

    y Maintain the companys register of members, deal with questions of the shareholders

    and transfer of share-holding etc.,

    y Regularly communicate with shareholders both individual and institutional -- through

    circulars and notices, and ensure the payment of dividends and interest. They have to

    keep an eye on register of members in case any stakeholder is aiming at taking over the

    company.

    y Key role in implementing acquisitions, disposals and mergers. She has to make sure that

    proper documentation is in place and proper commercial evaluation is done.

    EXECUTIVEVICEPRESIDENT &CHIEFOPERATING OFFICER

    The EVP & COO reports to the President and is responsible, generally, for the overall performance

    and support functions of Cerava Industries, including:

    y Plan, develop and implement strategy for operational management and development so

    as to meet agreed organisational performance plans within agreed budgets and

    timescales (covering relevant areas of operation - e.g. manufacturing, distribution,

    administration, whatever falls within remit according to organisation's structure)

    y Establish and maintain appropriate systems for measuring necessary aspects of

    operational management and development

    y Monitor, measure and report on operational issues, opportunities and development plans

    and achievements within agreed formats and timescales

    y Manage and develop direct reporting staff

    y Manage and control departmental expenditure within agreed budgets

    y Liaise with other functional/departmental managers so as to understand all necessary

    aspects and needs of operational development, and to ensure they are fully informed of

    operational objectives, purposes and achievements

    y Maintain awareness and knowledge of contemporary operational development theory

    and methods and provide suitable interpretation to directors, managers and staff within

    the organisation

    y Contribute to the evaluation and development of operational strategy and performance in

    co-optation with the executive team

    y Ensure activities meet with and integrate with organisational requirements for quality

    management, health and safety, legal stipulations, environmental policies and general

    duty of care.

    SENIOR VICEPRESIDENT&CHIEFFINANCEOFFICER

    The SVP & CFO reports to the President. Among others, the following are this SVPs roles and

    responsibilities:

    y Business and financial strategy and planning, monitoring, management and reporting,

    including management and development of policies, systems, processes and personnel

    involved.

    y Reporting and accounting as per regulatory and legal requirements including taxation,

    dividends, annual report and accounts.

    y Management of strategy for and liaison with stock market, business press and business

    analysts community.

    y Financial staff management, motivation, training, recruitment and selection.

    y Contributing to strategic planning and development as a member of executive team, and

    probably keeping and distributing notes and records, reports to executive and

    management team.

    y Other areas of potential responsibility: company insurance, import/export administration,

    licensing, contracts and agreements, legal areas and activities, corporate level

    negotiations (e.g. premises, plant, trading, acquisitions and divestments, disposals),

    major supplier/customer/partner relationships, regulatory bodies relationships and

    strategies, approvals and accreditations.

    SENIOR VICEPRESIDENT,MARKETING,PR AND COMMUNITYOUTREACH

    The SVP, Marketing, PR & Community Outreach reports to the President.

    The purpose of the role is to plan and implement sales and marketing activities in order to meet

    company targets for retention growth and profitability, and to contribute, as a board member, to

    the executive management of the company.

    In addition to that, this role also ensures that Cerava Industries maintains a positive relationship

    with the communities the company is exposed to through the planning, execution and revision of

    community-oriented activities such as scholarships, donations etc.

    y Plan and implement marketing strategy, including advertising and PR.

    y Plan and implement sales and customer retention and development.

    y Plan and manage sales and marketing resources according to agreed budgets.

    y Contribute to formulation of policy and strategy as a board member.

    y Recruit, manage, train and motivate direct reporting staff according to company

    procedures, policy and employment law.

    The Vice President, Talent Management reports to and is responsible to the EVP & COO. Her roles

    and responsibilities include:

    y Plan, develop and implement strategy for HR management and development (including

    recruitment and selection policy/practices, discipline, grievance, counselling, pay and

    conditions, contracts, training and development, succession planning, morale and

    motivation, culture and attitudinal development, performance appraisals and quality

    management issues - add others if relevant)

    y Establish and maintain appropriate systems for measuring necessary aspects of HR

    development

    y Monitor, measure and report on HR issues, opportunities and development plans and

    achievements within agreed formats and timescales

    y Manage and develop direct reporting staff

    y Manage and control departmental expenditure within agreed budgets

    VICEPRESIDENT,LOGISTICS

    The VP, Logistics handle processes involved in a supply chain, liaising with a variety of parties

    including suppliers of raw materials, manufacturers, retailers and consumers. The VP, Logistics

    reports to the EVP & COO.

    Among the managerial functions of this office are:

    y Coordinate processes to ensure customer satisfaction.

    y Transportation, stock control, warehousing, and ensuring structures are in place to

    monitor the flow of goods and materials.

    y Monitoring the quality, quantity, cost and efficiency of the movement and storage of

    goods;

    y Coordinating and controlling the order cycle and associated information systems;

    y Analysing data to monitor performance and plan improvements and demand;

    y Allocating and managing staff resources according to changing needs;

    y Liaising and negotiating with customers and suppliers;

    y Developing business by gaining new contracts, analysing logistical problems and

    producing new solutions.

    BANKS

    Cerava Industries selects Citibank as its principal banking provider. Maybank Bhd is selected for

    local transactions, including payroll, payment of bills and contractors.
