Terms of Reference

The Terms of Reference (TOR) explains the objectives, scope of work, activities, tasks to be

performed, respective responsibilities of the Client and the Consultant, and expected results and

deliverables. Adequate and clear TOR is essential for the understanding of the assignment and its

correct execution by the Consultant. It also helps reducing the risk of ambiguities during the

preparation of proposals by the Consultant, contract negotiation, and execution of the services.

Terms of Reference normally contain the following sections:

Background of the project;

Objectives of the assignment;

Scope of Services;

Transfer of Knowledge (training) (when appropriate);

List of reports, Schedule of deliveries, period of performance;

Data, personnel, facilities and local services to be provided by the Client, and

1. Assignment Background

1.1 Pragoti Industries Limited (PIL) is a well reputed Govt. organization for its pioneering role in the

transport sector of Bangladesh. It was established in 1966 as “Gandhara Industries Limited”

belonging to private ownership and having technical collaboration with General Motors

Overseas Distributors Corporation (GMODC) of England. After liberation war of Bangladesh, in

1972 it was nationalized and brought under administrative control of Bangladesh Steel and

Engineering Corporation (BSEC) under Ministry of Industries, Govt. of Peoples Republic of

Bangladesh.

1.2 Since its inception in 1966 it has assembled and marketed more than 53,000 vehicles such as

cars, Jeeps, Buses, Trucks, Pickup, Ambulance, Tractors etc. of multiple models by importing

CKD (Complete Knocked Down) kits. Factory is located on the Dhaka-Chattogram highway at

Barabkund, Sitakund, which is only 42.5 Km faraway from port city Chattogram and established

on 25 Acres of land with the capacity of 2000 Vehicles in a single shift per year.

1.3The Factory is equipped with the all essential machineries and equipments for Fabrication,

Assembling, Body Building, Painting, Inspecting and Testing of automotive. Most of machinery

and equipment are more than 50 years old. So, efficiency and production capacity of this plant is

decreased.Nowadayspassenger cars are built up from CKD and commercial vehicles from CKD

condition. Within the general expansion strategy PIL is currently planning to increase its

production capacity of the existing assembly line and to establish a full CKD production facility

with state of the arttechnology.

1.4 The production site in the surroundings of Chattogram has a total area ofabout 25 acres

(101170m²) which presently occupies about 12.5 acres (50585m²)for the existing assembly and

about12.5 acres (50585m²)are vacant land for the future set up.

1.5A production facility will be established in this site which will be utilized for a CKD production

with an initial overall output ranges from 25,000 to 50,000of vehicles. Because, PIL's current

goal is to fulfill the vehicle's full demand in all areas of Bangladesh. The future vehicles mix

categoryare assumed as followed:

• SUV (7500-15000 Units/a)

• Pick-up (15000-30000 Units/a)

• Commercial Vehicles (2500-5000 Units/a)

1.6 CKD kits will be importedfrom FodayAutomobile (China), Mahindra&TATA (India), Mitsubishi

(Japan)& etc.

1.7As a manufacturing contractor for various OEMs the targeted manufacturing system shall be

characterized with the ability of highest flexibility and changeability adjusting efficiently to

future changes of number of vehicles per hour, OEMs manufacturer specifications, platform and

body variants as well as drive units.

1.8The CKD facility shall consist on all for the production of highquality vehicles necessary

production segments as Press Shop, Body Shop, Machine Shop, Paint Shop, Assembly Lines,

Maintenance & repair Shop, Utilities services and Logistic Areas.

2. Objective of the Assignment

2.1 The consulting Firm will carry out a comprehensive technical and commercial feasibility

study,project planning, layout, detail drawing & design, cost calculation for establishing a modern

customized Automatic CKD-Assembly Plant along with necessary production segments as Press

Shop; Body Shop; Machine Shop; Paint Shop; Assembly Lineincluding Chassis Line, Trim Line,

Final Line, Quality Control; Research & Development Facility with necessary technology,

equipment& software for Research, Innovation, Development Work, Working Drawing; Testing Lab

for testing material & equipment; Logistic Areas; maintenance &repair shop; utilities facilities such

as fuel pump station, power station, water pump station including reservoir, etc at Factory premises

of Pragoti Industries Limited (PIL) at Barobkunda, Sitakunda, Chattogram (By the side of Dhaka-

Chattogram Highway and Railway) in PIL’s own land measuring of about 25 acres which presently

occupies 12.5 acres for the existing assembly plant and 12.5 acres are vacant land.

2.2 For Commercial feasibility the consulting firm has to perform financial analysis/IRR, ERR

calculation & NPV (Net profit viability) analysis and also market/demand analysis which includes as

follows: Market Access, SWOT (Strengths, Weaknesses, Opportunities and Threats) Analysis, Local

Market Analysis, Regional Market (Nepal, Bhutan, Sri Lanka, India &Myanmar) Analysis, other

Market Competition PricingCriteria of Unit Cost & Case Scenarios, Strategy of Sales &Marketing

etc.

2.3 Prepare a Feasibility Report (technical and commercial) which consist of a Project Brief, Plant

Layout considering the logistics, body and material flow for the Chattogram Plant; Project Planning;

Details drawing & design of infrastructure according to the layout plan; Necessary tools & equipment

relating to operation of the assembly plant; Financial and Market/Demand Analysis; Total estimated

cost of the project etc.

2.4After Feasibility study, a concrete Development Project Proposal(DPP) will be submitted for final

approval to the Government of Bangladesh by PIL authority.

3. Scope/Description of Work

3.1 Project Brief

In order to kick-off and perform the feasibility study, different information regarding product,

process and production strategy per shop are necessary and will be collected in the Project Brief

Document by utilization of all available information. Following definitions will be jointly discussed,

prepared and defined with the PIL – Production Management Team. Consultant may get necessary

information and support and discussion from PIL’s experts and product development team. The

overall workshop moderation and organization is in responsibility of Consulting as well as collecting

of results.

3.1.1 Body Line – Basic Data

During this planning phase the basic data for the shop-concepts will be provided by PIL. And

assumptions will be made accordingly.Consultant may get necessary information and supportand

discussion from PIL’s experts and product development team. Consulting owes overall workshop

moderation, organization, collection ofresults, tracking of open tasks and documentation. Consulting

will support in resultconsolidation if required.

The Consulting Firm will have to determine the type; list of machinery and equipment; detail

drawing and design; cost estimation etc of Machine Shop according to the type and nature of

Assembling Plant.

3.1.7 Maintenance &Repair Shop-Basic data

The Consulting Firm will have to determine the type; list of machinery and equipment; detail

drawing and design of infrastructure; cost estimation etc of Maintenance &Repair Shop according to

the type and nature of Assembling Plant.

3.1.8 Utilities facilities

The consulting firm will have to determine the utilities facilities for running the project

smoothly. Give necessary information such as list of equipment and machinery&also cost estimation.

Thesefacilitieswill be included in the layout plan.

3.1.9 Research & Development Facility

In order to development Research, Innovation, Development Work, Working Drawingetc are

essential. In this purpose Consultant will have to provide necessary information about technology,

equipment, software and cost estimation to establishResearch & Development Facility.

3.1.10 Testing Lab

It is important to check/test the material& equipment for production of quality products. In

this purpose Consultant will have to provide necessary information about technology, equipment,

software and cost estimation to establish a Testing Lab.

3.2 Plant Layout

The task is to work out and define a schematic plant layoutconsidering Material flow, Car

body flow, worker flow and Building arrangement for all major shops.Consultant will create an

initial, indicative shop & site layout (block Layout,preliminary scheme) on the basis of those data,

which are developed, summarized andconfirmed in the Project Brief.

According to the data Consultant will makereasonable assumptions.The initial site layout

shall be basis for further planning activities, discussions and thedialogue with authorities and project

partners as architect, infrastructure planners etc.

The initial site layout is done in appropriate software and consists on an in - scale arealayout

of the site, in- scale shops (building cubatures) and additional areas e.g.canteen, parking lots, waste

centre, on site roads, etc.

In the initial plant layout will be modified andoptimized according to the results of the shop

planning and the input fromauthorities, building and infrastructure planners.

3.3 Architectural and Structural Drawing

Consultant will have to provide Architectural and Structural Drawing & design and cost

estimation of infrastructure for this project.

3.4 Major Things of the Assembling Plant

The Consulting Firm will have to submit detail drawing and design of infrastructure, list of

equipment and machinery, Layout Plan, Cost Estimation etc of following shops, utilities facilities,

logistic areas, etc according to the type of Assembling Plant:

1. Press Shop

3. Machine Shop

4. Paint Shop

5. Assembly Lines

6. Maintenance & Repair Shop

7. Testing Lab

3.5 Training of Existing manpower

In order to develop skillnessand productivity training is essential. Related training of existing

manpower (Engineers, Officers, Staffs and Workers) is needed in order toexecution and maintenance

of this project. Consultant will suggest necessary training and number of trainee in related for this

project in-house and abroad. Also,they will givecost estimation for training purposeto PIL.After

training trained manpower may be able toexecution and maintenance of this project smoothly and

productively.

3.6 Clarificationof On-Site Facilities

Consultant will give suggestion and opinion to PIL forclarification and provisionsof on-site

facilities for future production facilities.Production Facilities include Press Shop, Body Shop, Paint

Shop, Assembly Lines, Logistic Store, Body Storage, Quality and Measuring etc and Other Facilities

include Power Station,Waste Centre, Administration / Offices, Development/ Engineering Centre,

Finished Cars Park, Staff Parking Area, Bicycle Area, Gates (Staff, Visitors, Logistics, Finished

Cars), other infrastructures etc.

3.7Initiative Price Indication/Cost Estimation

Initiative Price Indication/Cost Estimation includes –

1. Press Shop equipment

2. Body Shop equipment

3. Machine Shop equipment

4. Paint Shop equipment

5. AssemblyLinesequipment

6. Logistics and utilities

3.9 The Consulting Firm has to determine the necessary tools & equipment relating to operation of

the assembly plant.

3.10 The Consulting Firm has to determine the total manpower with their qualification which

includes engineers, technicians, workers etc are be needed in order to run the project.

3.11Format clear conceptual framework of this study;

3.13Submit a draft report to PIL for feedback;

3.13Incorporate comments to create a final draft of the report for PIL in addition to providing all raw

data collected during the study in electronic format.

3.14Provide data sets and final reports/analysis to PIL for preparation of DPP for this project in

future;

3.15Provide summarized report.

4. Consulting Firm/Organization’s Qualification&Experience:

4. 1. General Experience of the consulting firm should have at least twentyfive years and specific

(automobile sector) experience is twenty years in conducting feasibility study in similar nature

project such as establishing CKD-assembling plant and having excellent analytical skills and

adequate experience in conducting field study and surveys etc.

4.2. Consulting firm with experience in Asia/South-East Asia region will be considered as a special

qualification.

4.3. The consulting firm should have an adequate financial resource/ capability to perform the

assignment in due time & manner.

4.4. The firm should have a well conversant team of specialist and having strong and proven

orientation towards automobile sector for establishing automobile plant such as establishing CKD-

assembling plant.

4.5. Eligible consulting firms are to indicate interest in providing the above mentioned services.

Interested consultants must provide information indicating that they are qualified to perform the

services (such as: brochures, description of similar assignments, experience in similar conditions,

availability of appropriate skills among staff, proposed methodology, work plan etc)

4.6. The financial capability should be shown as Financial Turnover supported by audited financial

reports for the last Three years.

4.7. The lead firm shall be liable for the entire study obligations under the contract.

5. Personnel Requirements/ Team Composition:

1 The Senior Expert shall havea Bachelordegree in

Automobile/Mechanical Engineering with at least 12

years or Diploma degree in Automobile/Mechanical

Engineering with at least 17years experience in the

internationalautomotive industry, plant and mechanical

engineering with excellent analytical skills. S/he

should have experience to neutrally and professionally

examine, analyze and evaluate processes with a view

to technological efficiency and cost effectiveness. S/he

should have knowledge about modern automobile

technology and machinery. S/he should be familiar

with the latest available software applications in the

field of study and use of monitoring and evaluation

techniques.

3. Expert for Paint Shop 1 The Expert shall havea Bachelordegree in

Automobile/Mechanical Engineering with at least 10

years or Diploma degree in Automobile/Mechanical

Engineering with at least 15years experiencein

international consulting work, with extensive know-

how and a sound technological background in the

automotive industry, paint shop as well as systematic

competence of standard methods in project

management, process optimization and lean

manufacturing.

4. Engineer for Factory

6. Engineer for Structural

Drawing and Design of

Project

1 An Engineer should have an at least Bachelor in

Civil/Structural Engineering with at least 10 years or

Diploma degree in Civil/Structural Engineering with at

least 15 years experience in planning and designing of

factory building construction with excellent analytical

skills. S/he should have knowledge about

establishment and cost estimation of civil structures in

various projects including automobile assembling

projects. Also s/he should have knowledge about CAD

software such as auto CAD for drawing.

7. Expert for Utility Services

of Project

1 An Engineer should have an at least Bachelor in

Mechanical/Electrical/Related Engineering with at

least 10 years or Diploma degree in

Mechanical/Electricalor Relevant Engineeringwith at

least 15 years experience in conducting utility services

such as lighting, HVAC, I&C, fire and environmental

protection, compressed air, sub-station etc in various

projects including automobile assembling projects with

excellent analytical skills. S/he should have knowledge

about modern technology and machinery of various

utility systems of various projects.

8. Economist/Marketing

Specialist

1 The Economist/Marketing Specialist should have at least

Masters degree in Economics/Marketing/Statistics/MBA or

Relevant Subjects with excellent analytical skills and at

least 15years experience in demand/commercial analysis,

which includes as follows: Market Access, SWOT

(Strengths, Weaknesses, Opportunities and Threats)

analysis, Local Market analysis, Regional Market (Nepal,

Bhutan, Sri Lanka, India, Myanmar etc) analysis, Other

Markets analysis, Market Growth, Competition, Pricing

Analysis, Criteria of Unit Cost & Case Scenarios, Strategy

of Sales &Marketing, financial analysis/IRR, ERR

calculation & NPV analysis etc. S/he should have

knowledge about commercial feasibility study in the field of

automobile sector in Asia/South East Asia region. S/he

should be familiar with the latest available software

applications in the field of study and use of monitoring and

9. Project Professional for

Documentation

1 Shall have at least a graduate degree. Have at least

three to five years of work experience in the field of

industrial or management consulting.

N.B – The Consulting Firm may add or subtract or change experts/consultants/personnel of

above-mentioned team composition in order to actual requirement if they determine fit and proper.

6. Duration, Terms, and Conditions:

6.1 The assignment should be completed within Six months (24 weeks) from the date of signing

the contract. PIL will offer a suitable remuneration package in line with TOR and experience. The

Firm will work in close co-operation with the Managing Director of PIL, BSEC and other staff. They

will be solely responsible and accountable to the Managing Director, PIL for their services and

activities. As the contract is performance based, so the task will have to be completed within the

stipulated time frame. Payments for the assignment will be payable on a report submitted reflecting

the key outputs.

7. Reporting Requirements / Deliverables:

1. During the contract, the consultant will report to the Managing Director of PIL or his

designated representative(s). Updates on data collection and analysis should be provided

once every two weeks. The final deliverable includes:

a. Inception report: submit a detail outline of the proposed timing and methodology

(including proposed techniques; data collection methods; method of data processing,

analysis, including detail of the statistical analysis etc.)

b. Final methodology and field work itinerary

c. Regular updates on progress and any problems encountered to PIL

d. Debriefing of the studies with major findings; and

e. A publishable report reviewing the analysis and highlighting the major findings for

PIL managemente.g. Project Brief, Project Planning; Plant layout; Details drawing &

design of infrastructure according to the layout plan; Necessary tools & equipment

relating to operation of the assembly plant; Financial and Market/Demand Analysis;

Total manpower for running the project; Necessary training; Total estimated cost of

the project etc.

f. Consulting Firm will have to submit soft copy in CD & DVD along with hard copy of

the final Feasibility (Technical and Commercial) report.

8. Final Outputs Required of the Consultant and Delivery Schedule

8.1. The assignment should be completed within 24 weeks of signing the contract. PIL will provide

required project related documents after signing of the contract. The delivery schedule after that will

be:

10. Duration

10.1. The expected duration of the assignment is 6 months (24 weeks)

11. Applicable Law

The Agreement shall be construed and interpreted in accordance with the laws of Bangladesh

and the country of the Consulting Firm excluding the rules for the choice of law.

12. Terms of Cost and Financial Transactions

12.1 AllCost and Financial Transactions will be done by US Dollar.

12.2 Payment of VAT &TAX will be done according to the laws of Bangladesh and the

country of the Consultant Firm excluding the rules for the choice of law.

12.3 Consultant Farm will present Cost Estimation with detail breakdownin US Dollar.

13. Data, Services and Facilities to be provided by PIL.

1. PIL will provide only relevant Data, Services and Facilities.

2. PIL will provide office facilities with Internet, Laptop, Telephone, Fax, local

transportation& etc.

14. Documentation

The project documentation and presentations will be created with the following software:

Documentation: MS-Word®/Similar kind of Software Calculations: MS-Excel®/Similar kind of Software Presentations: MS-Power-Point®/Similar kind of Software Layouts: MS Visio® /AutoCAD/Similar kind of Software

Documentation will be done in English. Documents will be handed over to PIL by Hard/softcopy

with DVD/CD format.

15. Procedure for Review of Progress Reports, Inception, Status, Final Draft and Final

Reports/Outcomes (to be included if applicable)

1. TheManaging Director of PIL, or authorized representative(s), will review, provide

comment and approve final versions of all deliverables.
