PHALANX INTERNATIONAL, LLC LEASE TO OWN PROGRAM

WHO QUALIFIES

Any certified police officer serving a local, state or federal law enforcement agency automatically qualify for Phalanx

International, LLC Lease to Own Program. This includes but may not be limited to police officers, deputy sheriffs, federal

agents, constables, corrections officers etc. If your title isn’t listed please contact us to verify your qualification. A copy

of your official identification card is required.

MINIMUM PURCHASE

Any Four Hundred Dollar ($400.00) or more order qualifies. Previous orders do not qualify.

INSTALLMENT

Prior to taking possession of the Equipment, an installment of ninety nine dollars ($99) is required before Phalanx

International, LLC will ship the equipment. Lease to Own orders greater than two thousand dollars ($2,000) require a

10% deposit of the total order value including shipping.

LEASE TERM

Your Lease to Own Order Term will begin once Phalanx International, LLC receives your installment payment. The term

shall end once payment of total order including shipping has been received by Phalanx International, LLC.

LEASE PAYMENTS

Buyer shall provide a valid credit card to be kept on file at Phalanx International, LLC’s Fairmont WV office in a locked file

cabinet. Buyer’s card will be charged $20 or 5% (orders $2000 or more) a week until the complete order including

shipping is paid in full.

LATE CHARGES

Should the credit card initially provided by the buyer to Phalanx International, LLC decline for any reason a period of 12

days will be allotted to allow buyer to send new payment instructions. Once the 12 day period is up a late fee of $25 per

month will be applied to the buyers order. One late payment fee may be waived per year for emergency circumstances.

DELIVERY

Buyer pays actual shipping cost to take delivery of goods. Shipping will be added to the order total and paid in the same

manner as above. In stock items will ship within 3 business days after installment and verification is made.

DEFAULTS

Failure to make payments per this agreement will default and buyer shall return all equipment to Phalanx International,

LLC within 7 business days of notice of default.

USE OF EQUIPMENT

Buyer may use equipment to fullest of its abilities however buyer shall comply with all laws, rules, ordinances, statutes

and orders regarding the use, maintenance of and storage of the Equipment.

CONDITION OF EQUIPMENT AND REPAIR

Lease to Own Program purchases are covered by Phalanx’s Life Time Warranty unless otherwise stated.

MAINTENANCE, DAMAGE AND LOSS

Buyer shall at his/her sole expense, keep and maintain the Equipment clean and in good working order during the Lease

Term. In the event the Equipment is lost or damaged beyond repair, buyer shall pay Phalanx International, LLC the

replacement cost of the Equipment; in addition, the obligations of this Agreement shall continue in full force and effect

through the Lease Term.

ENCUMBRANCES, TAXES AND OTHER LAWS

Buyer shall keep the Equipment free and clear of any liens or other encumbrances, and shall not permit any act where

Phalanx International, LLC’s title or rights may be negatively affected. Buyer shall be responsible for complying with and

conforming to all laws and regulations relating to the possession, use or maintenance of the Equipment. Furthermore,

buyer shall promptly pay all taxes, fees, licenses and governmental charges, together with any penalties or interest

thereon, relating to the possession, use or maintenance of the Equipment.

OWNERSHIP

The Equipment is and shall remain the exclusive property of Phalanx International, LLC until the final payment is made in

full.

SEVERABILITY

If any part or parts of this Agreement shall be held unenforceable for any reason, the remainder of this Agreement shall

continue in full force and effect. If any provision of this Agreement is deemed invalid or unenforceable by any court of

competent jurisdiction, and if limiting such provision would make the provision valid, then such provision shall be

deemed to be construed as so limited.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of West Virginia.

CUMULATIVE RIGHTS

Phalanx International, LLC and buyer’s rights under this Agreement are cumulative, and shall not be construed as

exclusive of each other unless otherwise required by law.

WAIVER

The failure of either party to enforce any provisions of this Agreement shall not be deemed a waiver or limitation of that

party's right to subsequently enforce and compel strict compliance with every provision of this Agreement. The

acceptance of lease by Phalanx International, LLC does not waive its right to enforce any provisions of this Agreement.

INDEMNIFICATION

Except for damages, claims or losses due to Phalanx International, LLC’s acts or negligence, buyer, to the extent

permitted by law, will indemnify and hold Phalanx International, LLC and Its property, free and harmless from any

liability for losses, claims, injury to or death of any person, including buyer, or for damage to property arising from buyer

using and possessing the Equipment or from the acts or omissions of any person or persons, including buyer, using or

possessing the Equipment with buyer’s express or implied consent.
