(OUTSIDE THE STATE) I ELIGIBILITY CRITERIA FOR PARTICIPATION IN THE TENDER

CUM OPEN AUCTION :

Holders of val id actual users Licence for possession and usage issued by the concerned Distr ict Collector or State Government alone are eligible to participate in the tender cum open auction.

II SUBMISSION OF TENDER :

Tender should be submitted in two parts i.e. Part-I and Part-I I (Price bid).

A. PART-I

Part-I of the tender should contain the following documents.

1. Terms & Conditions duly signed and sealed by the Tenderer / Bidder.

2. EMD should be given with details of Demand Draft and amount.

3. Attested copies of the licence issued by the concerned Distr ict Collector / State Government for possessing and usage of molasses / manufacturing l icence and renewed for the year 2011-12 valid upto 31.03.2012.

4. In case any tenderer/bidder is represented by any agent, a letter of authorizat ion should be submitted by the tenderer / bidder.

5. If any tenderer fails to submit the above documents along

with Part-I, his tender wil l be rejected summarily. B PART-II. 1 The Part-II of the tender document should contain quantity and

price offer in the prescribed format. 2 The tenderer / bidder should offer rate per tonne for a

minimum quantity of 1000 MTs per sugar mil ls / quantity available in a mill whichever is less. The Tenderer / Bidder may inspect the stock and checkup the quality of molasses before quoting the rates. Withdrawal of offer based on quality will not be permitted. In case, the total quantity offered at the highest price is lesser than the quantity available for sale, and the H1 tenderer does not exercise option to l if t the entire quantity at the time of f inalizat ion of tender, the other tenderers in decending order ie. H2, H3, H4 etc. wil l be given an opportunity to match the H1 rate for purchasing the balance quantity.

3 Tender should be submitted in the prescribed form purchased

from Tamil Nadu Cooperat ive Sugar Federation Ltd., in a sealed cover superscribed as “TENDER FOR SALE OF MOLASSES OUTSIDE THE STATE DUE ON 08.09.2011 “

4 The tender should be submitted either by Registered Post or

delivered in person at the Tamil Nadu Coop. Sugar Federation Ltd., Periyar EVR Building, Vth Floor, 690, Anna Salai, Nandanam, Chennai – 600 035.

5 Tenders sent through FAX wil l not be considered. If the

tender opening day is declared as holiday, the tender will be opened on the subsequent working day. The Tamil Nadu Coop. Sugar Federation Ltd., wil l not be held responsible for postal and other delays. Tender received after the due date and time wil l not be considered.

6 The tender should reach the Fedeation before 11.00 AM on

08.09.2011.

7 The tenders who are submitt ing the valid documents as prescribed in Part-I along with the EMD alone will be allowed to participate in the auction.

8 The negotiat ion wil l be conducted only with H-1 tenderer.

III. OPENING OF TENDER AND CONDUCTING AUCTION :

1 Part-I tender wil l be opened by the Molasses Sales Committee on 08.09.2011 at 11.30 AM in the presence of the tenderers or their representatives chosen to be present at the time of opening.

2 After evaluation of Part-I tender by the Molasses Sales Committee, the eligible tenderers wil l be declared and afterwards open auction will be conducted on the same day at 12.00 noon. The eligible tenderers alone will be allowed to participate in the open auction.

3 Eligible sealed tender (Price bid) wil l be opened after the end of the open auction in the presence of the available tenderers/bidders.

IV. EARNEST MONEY DEPOSIT (EMD) :

1 EMD should be paid at the rate of Rs.100/- per MT of the tendered quantity.

2 The EMD should be remitted by way of Demand Draft in favour of Tamil Nadu Coop Sugar Fedn Ltd payable at Chennai.

3 EMD shall be given with details of D.D.No., Date and Amount.

4 The EMD remitted for earlier tender wil l not be considered for this tender.

5 Tenders without EMD will be summari ly rejected.

6 EMD of the un-successful tenderer / bidder wil l be refunded and it wil l not carry any interest.

V. SECURITY DEPOSIT : 1 The successful tenderers should remit the Security Deposit with the Tamil Nadu Cooperative Sugar Federation Ltd on receipt of intimation of al lotment of molasses @ 25% of the basic price per MT excluding the EMD of Rs. 100/- per MT. The security deposit should be remitted within five working days from the date of confirmation of the quantity and the rate by the Tamil Nadu Cooperative Sugar Federation, fai l ing which, allotment of molasses wil l be cancelled and EMD will be forfeited.

2 The EMD and Security Deposit wil l be refunded only after satisfactory completion of the contract / agreement.

VI RIGHTS OF THE MOLASSES SALES COMMITTEE :

1 The Molasses Sales Committee reserves the right to accept or reject the price and quantity quoted by the tenderers / bidders or to negotiate or to fix an open rate or to delete or include any mil ls in the tender or to increase / decrease the quantity notified and the decision of the committee shall be final.

2 The Molasses sales committee reserves the r ight to accept

the whole or part of the offer or to reject a part or the whole of the offered quantity at its discretion, without assigning any reason therefor.

VII ACCEPTANCE OF TENDER :

i) The Sales Committee shall have power to accept or reject the price quoted by the tenderers / bidders or to negotiate or to f ix an open rate and the decision of the committee in this respect will be f inal. Negotiation will be conducted only with the H-1 tenderer for each mill. However, the committee reserves the right to negotiate with any other tenderers, if negotiation with H1 tenderer fails. Also the committee reserves the right either to make full al lotment or to spli t the quantity.

i i ) Acceptance of tender and issue of sale orders to the tenderer /

bidder are subject to the issue of export permit by the Commissioner of Prohibit ion and Excise..

i i i) On acceptance of the tender/bids, the successful tenderer /

bidder should submit the following documents :

♦ Original Import permit and NOC from the Excise Authorit ies of the concerned States subject to verif ication.

♦ Undertaking by the tenderer/bidder to the effect that excise verif ication certif icate wil l be obtained from the excise authority and submit to the Mills within the period mentioned in the export permit. Failure to produce the above documents will lead to forfeiture of EMD & SD.

VII DUTIES & TAXES :

In addition to the price, the successful tenderer / bidder shal l also remit the Administrative Service fee, duties, taxes and other charges at the rate applicable at the time of despatches.

VIII PAYMENT & DELIVERY : 1 The purchaser shall remit the amount ( Price accepted for

Steel Tank Molasses and duties, taxes, administrative service fee as appl icable at the time of despatch of molasses for export and other levies ) for molasses by way of Demand Draft in favour of concerned Mills at the mill 's counter during the office working hours of the mills and lift the Molasses within the lift ing time mentioned in the Sale Order.

2 Steel Tank Molasses will be del ivered subject to avai labil i ty of

stock ( as is where is condition) only to the successful tenderers / bidders or his authorised agent at mill site.

IX LIFTMENT OF MOLASSES :

The successful tenderer / bidder should l ift the molasses within the time limit stipulated in the sale order.

X EXTENSION OF TIME FOR LIFTMENT :

1. Sanction of extension will be considered on genuine factors.

2. An additional rate of Rs.50/- (Rupees fifty only) per

tonne per month will be levied for the unlifted quantity of molasses till the next tender.

3. Each extension is limited to 30 days, in addition to the

original order of 60 days and there shall be not more than three extensions.

4. If there is an upward revision in the rate of molasses

during the extended time limit, the revised price approved in subsequent tenders or the price fixed in the last extension (exclusive of the Administrative Service fee, duties, taxes and other charges) whichever is higher will be applicable for the unlifted quantity of molasses.

XI NON-LIFTMENT :

1 If the successful tenderer / bidder fai ls to l ift the allotted quantity of molasses within the stipulated time as per the sale order / extension order, the Earnest Money Deposit and Security Deposit remitted by them / him, stands forfeited and the quantity un-li fted wil l automatically get lapsed.

2 In case of failure to l ift the Molasses on or before the due date specif ied in the Sale order, the member factories / Tamil Nadu cooperative Sugar Federation shall have the right to dispose the unlifted quantity of molasses and the loss incurred, if any, by the factories, on account of re-sale of this molasses and differential price wil l be recovered from the tenderer / bidder who failed to l ift the molasses.

3 If there is any deterioration in the quality of molasses due

to non-liftement of molasses within the stipulated time, the loss to be incurred by the mills will be borne by the allottee

4 In case of failure on the part of the tenderer to remit the

amount claimed towards loss within one week from the date of receipt of the claim, Tamil Nadu Cooperative Sugar Federation / concerned Mill wil l initiate action to recover the amount of loss sustained by each member Mill .

5 Non liftment of al lotted quantity of Molasses from the Mill 's premises within the stipulated time in the sale order / extension order wil l be the conclusive evidence for failure to perform the contract / agreement.

XII COMPLIANCE WITH STATUTORY AND OTHER REGULATION :

The successful tenderer shall, in all matters arising in the li ft ing of molasses, conform, at his own expenses, with the provisions of all Central and State Statute, ordinances or laws and the rules, regulations or byelaws of any local or other duly constituted authority and shal l keep the sugar mills indemnif ied against all penalties and liabil ities of every kind of breach of any law statute, ordinance, rule, regulation or byelaw by the Tenderer / their Agent.

XIII AGREEMENT :

The successful tenderer/ bidder should enter into an agreement with the Tamil Nadu Cooperative Sugar Federation. The cost of registering the agreement shall be borne by the tenderer / bidder

XIV GENERAL :

i. The molasses should be used for actual use permitted in the l icence issued to the tenderer and it should not be diverted for any other purposes. For contravention of the l icence conditions, successful tenderer wil l be responsible to the authorities concerned.

i i. The Federation reserves the right to sel l the unlif ted

quantity of Molasses in any manner, as it deems f it.

i i i. The tenderer should keep the tender val id upto

08.11.2011

iv. Unless otherwise stated , the date & t ime wherever

occurs including sale order, means the date or day that will close by 5.00 p.m.

v. The jurisdict ion of the court for dispute, if any, arising

out of this contract shall be Chennai City only.

vi. The tender is governed by the Acts and Rules of the

State and Central Governments.

Tender should be submitted in two parts i.e. Part-I and Part-I I (Price bid). B. PART-I

Part-I of the tender should contain the following documents.

4 Attested copy of the ML-2 or its equivalent l icence for

dealer issued by the concern Distr ict Collector / State Government.

6. In case any tenderer/bidder is represented by any agent, a letter of authorizat ion should be submitted by the tenderer / bidder.

7. The exporter should have a reasonably suff icient storage capacity of molasses either on own or on lease at the Port through which he intends to export to foreign countries by ship. Attested copy of ML-2 licence for Tamil Nadu or equivalent l icence for tenderer from other states in their name for storage of molasses at the port should be produced.

8. If any tenderer fails to submit the above documents along with Part-I, his tender wil l be rejected summarily.

B PART-II. 1 The Part-II of the tender document should contain quantity and

price offer in the prescribed format.

1 The Molasses Sales Committee reserves the right to accept or reject the price and quantity quoted by the tenderers / bidders or to negotiate or to fix an open rate or to delete or include any mil ls in the tender or to increase / decrease the quantity notified and the decision of the committee shall be final.

2 The Molasses sales committee reserves the right to accept the whole or part of the offer or to reject a part or the whole of the offered quantity at its discretion, without assigning any reason therefor.

VII ACCEPTANCE OF TENDER :

I) The Sales Committee shall have power to accept or reject the price quoted by the tenderers / bidders or to negotiate or to f ix an open rate and the decision of the committee in this respect will be f inal. Negotiation will be conducted only with the H-1 tenderer for each mill. However, the committee reserves the right to negotiate with any other tenderers, if negotiation with H1 tenderer fails. Also the committee reserves the right either to make full al lotment or to spli t the quantity.

II) Acceptance of tender and issue of sale orders to the tenderer /

bidder are subject to the issue of export permit by the Commissioner of Prohibit ion and Excise..

III) On acceptance of the tender/bids, the successful tenderer /

bidder should get necessary Export permit from the Commissiner of Prohibit ion and Excise, Chennai and ML-5 from concerned District Collector.

VII DUTIES & TAXES :

In addition to the price, the successful tenderer / bidder shal l also remit the Administrative service fee, duties, taxes and other charges at the rate appl icable at the time of despatches.

VIII PAYMENT & DELIVERY : 1 The purchaser shall remit the amount ( Price accepted for

Steel Tank Molasses and duties, taxes, administrative service fee as appl icable at the time of despatch of molasses for export and other levies ) for molasses by way of Demand Draft in favour of concerned Mills at the mill 's counter during the office working hours of the mills and lift the Molasses within the lift ing time mentioned in the Sale Order.

2 Steel Tank Molasses will be del ivered subject to avai labil i ty of

stock ( as is where is condition) only to the successful tenderers / bidders or his authorised agent at mill site.

IX LIFTMENT OF MOLASSES :

The successful tenderer / bidder should l ift the molasses within the time limit stipulated in the sale order.

X EXTENSION OF TIME FOR LIFTMENT :

1 Sanction of extension will be considered on genuine factors.

2. An additional rate of Rs.50/- (Rupees fifty only) per

tonne per month will be levied for the unlifted quantity of molasses till the next tender.

3. Each extension is limited to 30 days, in addition to the

original order of 60 days and there shall be not more than three extensions.

4. If there is an upward revision in the rate of molasses

during the extended time limit, the revised price approved in subsequent tenders or the price fixed in the last extension (exclusive of Administrative Service fee, duties, taxes and other charges) whichever is higher will be applicable for the unlifted quantity of molasses.

XI NON-LIFTMENT :

1 If the successful tenderer / bidder fai ls to l ift the allotted quantity of molasses within the stipulated time as per the sale order / extension order, the Earnest Money Deposit and Security Deposit remitted by them / him, stands forfeited and the quantity un-li fted wil l automatically get lapsed.

2 In case of failure to l ift the Molasses on or before the due date specif ied in the Sale order, the member factories / Tamil Nadu cooperative Sugar Federation shall have the right to dispose the unlifted quantity of molasses and the loss incurred, if any, by the factories, on account of re-sale of this molasses and differential price wil l be recovered from the tenderer / bidder who failed to l ift the molasses.

3 If there is any deterioration in the quality of molasses due

to non-liftement of molasses within the stipulated time, the loss to be incurred by the mills will be borne by the allottee

4 In case of failure on the part of the tenderer to remit the amount

claimed towards loss within one week from the date of receipt of the claim, Tamil Nadu Cooperative Sugar Federation / concerned Mill wil l initiate action to recover the amount of loss sustained by each member Mill.

5 Non liftment of allotted quantity of Molasses from the Mill 's premises within the stipulated time in the sale order / extension order wil l be the conclusive evidence for failure to perform the contract / agreement.

XII COMPLIANCE WITH STATUTORY AND OTHER REGULATION :

The successful tenderer shall, in all matters arising in the li ft ing of molasses, conform, at his own expenses, with the provisions of all Central and State Statute, ordinances or laws and the rules, regulations or byelaws of any local or other duly constituted authority and shal l keep the sugar mills indemnif ied against all penalties and liabil ities of every kind of breach of any law statute, ordinance, rule, regulation or byelaw by the Tenderer / their Agent.

XIII AGREEMENT :

The successful tenderer/ bidder should enter into an agreement with the Tamil Nadu Cooperative Sugar Federation. The cost of registering the agreement shall be borne by the tenderer / bidder

XIV GENERAL :

I. The molasses should be used for actual use permitted in the licence issued to the tenderer and it should not be diverted for any other purposes. For contravention of the licence conditions, successful tenderer wil l be responsible to the authorities concerned.

II. The Federation reserves the right to sell the unlif ted quantity

of Molasses in any manner, as it deems f it.

III. The tenderer should keep the tender valid upto 08.11.2011 IV. Unless otherwise stated , the date & t ime wherever occurs

including sale order, means the date or day that will close by 5.00 p.m.

V. The jurisdict ion of the court for dispute, if any, arising out of

this contract shall be Chennai City only.

VI. The tender is governed by the Acts and Rules of the State and

Central Governments.
