WHEREAS, the Manatee County Board of County Commissioners/Manatee County Area Trans it (MCAT) has the authority to app ly for and accept grants and make purchases and/or expend funds pursuant to grant awards made by the Florida Department of Transportation as authorized by Chapter 34 1, Florida Statutes and/or by the Federal Transit Adm inistration (FT A) Act of 1964, as amended; and

WHEREAS, the Florida Department of Transportation (FOOT) has the authority to adm inister FTA Section 53 10 Program funding as the Des ignated Recip ient for the Sarasota/Bradenton urbanized area (UZA).

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MANATEE COUNTY, FLORIDA:

I. This resolution applies to Federal Program(s) under U.S .C. Section(s) 53 10 Formula Grants for the Enhanced Mobili ty of Seniors and Individuals with Disabilities.

2. The Chairperson or in their absence, the Vice Chairperson, is hereby authorized to sign the application and accept the grant award, and sign a J oi nt P art i c i patio n Agreeme n t ( JPA) for both capital and operating assistance funding ; and upon JPA execution, staff is authorized to proceed with purchase of vehicles/equipment and/or expenditure of capital/operating grant funds pursuant to a grant award, and approval for FY 201 7/ 18 Section 53 10 funding , unless specifically rescinded.

3. The BOARD authorizes the Transit Division Manager to sign any and all assurances, reimbursement invoices, warranties, certifi cations and other documents whi ch may be required in connection with the application or subsequent agreements.

CURRENT SYSTEM DESCRIPTION

The Manatee County Board of County Commissioners (BOCC) serves as the Community Transportation Coordi nator (CTC) for Manatee County. The BOCC was originall y designated as the CTC in October 1990 and gave authori ty to Manatee County Area Transit (MCAT) for carrying out the day-to-day implementation activities. MCAT continues to serve in the CTC implementing role and the BOCC recently signed a new Five-Year Memorandum of Agreement (MOA) with the Florida Commi ssion for the Transportation Disadvantaged (FCTD).

The Transit Di vision is under the jurisdiction of the Manatee County BOCC, and the Transit Di vision Manager reports to the Director of the County's Public Works Department. The attached sheet provides an organizational chart of the CTC and Florida Commi ssion for Transportation Disadvantaged (FCTD) process. While MCAT is considered a partial broker, it functions as a sole source provider for transportation under the Transportation Disadvantaged (TD) program. As the CTC, Manatee County also contracts with local pri vate nonprofit agencies that have their own vehicles for the primary purpose of transporting agency special needs clients; and many times, specialized staff counseling and assistance is provided by the agency staff during transport, to effecti vely deal with the special needs of agency clients; all of these "brokered" trips are part of the Transportation Disadvantaged (TD) "coordinated system."

As the CTC implementing agency, MCAT performs the required elements of program oversight and coordination for the Transportation Disadvantaged (TD) Program in Manatee County, e.g., Service Planning, Public Information and Marketing, Call Intake, Eligibility Certi ficati on, Reservati ons, Scheduling, Service Provision, Reporting, Cost­Sharing, and Informati on Sharing. In fact, MCAT staff just recently initiated the Public Engagement process for the major update to the Transportation Disadvantaged Service Plan (TDSP); and staff continues to receive public input as part of the plan update process.

On March I , 2005, the Manatee County BCC elected to di scontinue the coordination of non-emergency Medicaid transportation services under the CTC. As of April 30, 2005, non-emergency Medicaid transportation is sponsored by the FCTD; and the FCTD entered into a contract with Transportation Management Services, Inc. (TMS) to provide Medicaid transportation services for Manatee County residents that require transportation service in order to access Medicaid-compensable medical services; and other agencies serve in thi s capacity today.

Presently, MCAT is the major public transportation provider in Manatee County and stri ves to improve the quality of life for County residents and visitors by providing, in a cost effi cient manner, a readily-accessible, intermodal means of mobility, and by providing alternative means of transportation to minimize impacts of traffic congestion on major roads in Manatee County. Presentl y, MCAT operates 23 buses in peak service on its fixed route system including the Island Trolley system, which uses four (4) Trolley vehicles.

Recently added fi xed route services include the North County ConneXion service route, connecting Palmetto to Rubonia, via the US Highway 4 1 corridor; Route 12 service along the SR 70 corridor from the DeSoto Transit Station to the Wai-Mart at Interstate 75; and new limited stop, express Regional Transit Service (RTS) connecting Manatee and Pinellas County, via Interstate 275. This new RTS is known as the Skyway ConneXion, and provides transit system connectivity between the MCAT and Pinell as Suncoast Transit Authority (PSTA) transit systems. Effecti ve November 12, 2016, service frequency improved along the Manatee A venue (Route 3) corridor, to provide 30-minute service frequency for weekday and Saturday service, and facilitate development for the "core network" of fi xed routes, which carry approximately 72 percent of system ridership. Commensurate with the service enhancement for Route 3 on November 12th , MCAT interlined all of the Palmetto area routes, so that all of these routes provide connectivity with the downtown Bradenton Transit Station; previously, passengers coming from Palmetto/Ruboni a!Ellenton had to make a transfer connecti on at the Palmetto Station or along Business US Highway 41 to cross the Manatee Ri ver and access Downton Bradenton . Finally, MCAT initiated

the US 30 I ConneXion service as a paratransit "feeder" service for access to the new Manatee County T ransi t Fleet Facili ty (MCTFF) along US Highway 301 in southern Manatee County; and passengers schedul e US 301 ConneXion rides using next-day scheduling services, and fi xed route access to/from the ConneXion is available at either the Goodwill off-street transfer point on 15th Street East or the off-street transfer poi nt at the Sarasota­Bradenton International Airport.

Complementary paratransit service is provided in the larger urbanized area which includes Bradenton, Palmetto, Anna Maria, Holmes Beach, and Bradenton Beach utilizing 22 Handy Buses in peak service. T he entire MCAT fl eet is equipped with wheelchair lifts or ramps that are compliant with the Americans with Disabilities Act (ADA) implementing regulations. Additional TD paratransit service is provided throughout the remaining porti ons of unincorporated Manatee County . MCAT's objecti ves are to maintain and improve the availability and effi ciency of service, upgrade passenger service and amenities, properl y maintain transit facilities and equipment though ongoing preventati ve maintenance programs, offer advanced technology, marketing, transportation planning coordination, and ensure adequate funding and public involvement processes.

Presently, Manatee County maintains a total fl eet of 37 fi xed route/troll ey vehicles and 32 paratransit (i. e ., H andy Buses). T here are 89 approved transit operator positons in the FY 2016/1 7 Operating Budget; and each transit operator completes a comprehensive six-week trai ning program, and each operator is cross-trained to have the capabili ty to work the full array of transit, trolley and paratransi t vehicles and services; and all Operators have a current Florida Commercial Driver's License (CDL). All operators are required to have a complete physical exam every two years and all such operating and safety implementing regulations are audited by the Florida Department of Transportation (FDOT) on a two-year cycle to ensure ongoing compli ance.

EXHIBITB PROPOSED PROJECT DESCRIPTION

The proposed project consists of replacement of two (2) paratransit handy bus vehicles and one (1) high top van at the conclusion of thei r useful life all owing Manatee County Area Transit (MCAT) to mai ntain the existi ng level of service to clients by placing more reliable vehicles into service.

The vehicles requested for replacement are two (2) 2 1' Chevrolet 12,300# GVWR gas buses wi th li fts that have an ambulatory seating capacity of 8-10 and 1-2 wheelchair positions; and one ( I ) Ford 1 0,360# GVWR gas high top van with lift that has an ambulatory seating capaci ty of 5 and 2 wheelchair positi ons. The vehicles purchased would replace older units which will exceed their useful li fe standard. The project, when awarded, will reti re three (3) vehicles put into service in 20 I 0 and 20 II. Each of the three vehicles would have over 200,000 miles, and would have exceeded the FDOT minimum service li fe for mileage and/or years in operation when replaced.

Transportation di sadvantaged services are available to elderly persons and persons with disabilities from approxi mately 5:30am to 7:30pm, six days per week. Complementary ADA paratransit services are ava ilable consistent with the with MCAT fixed-route service, seven days a week. In 201 6, there were 1,37 1 persons served through the Handy Bus paratransit program, and over 99,882 trips were provided to eligible clients. MCAT also prov ides coordinated services with local non-profit agencies through coordination agreements.

Manatee County Area Transit (MCAT) vehicles are maintained by the Manatee County Fleet Services Di vision. Transit fl eet maintenance occurs at the same location as the transit operati ons and admini strati ve center. The Fleet Services Di vis ion consists of a highly recognized staff and operation, and has received many awards for their exceptional ability in maintaining the vehicle fl eet. The vehicle Preventive Maintenance program is designed to extend vehicle life, reduce the frequency of unscheduled repairs, and capture the maintenance cost to assist with evaluating the total operating cost. Most importantly, all Transit and Paratransit vehicles are maintained to prevent interruptions in service.

Manatee County Area Transit (MCAT) is a di vision of the Public Works Department in Manatee County Government, and provides service to the cities of Bradenton, Holmes Beach, Anna Maria Island, Bradenton Beach, Palmetto and unincorporated Manatee County. Manatee County does not discriminate in the service it provides to passengers. Service is provided to minority and low-income segments of the population with the same level of service that is provided to other clients.

MCAT does not use lessee or private operators under contract to provide service. MCAT is the Community Transportation Coordinator (CTC) for Manatee County, Florida and assumes all responsibil iti es pursuant to Chapter 427 Florida Statutes and Rule Chapter 4 1-2 F.A.C.

Section 5310 Grant Application- Evaluation Criteria

Question Related to All Requesting Capital Funds:

1. How will the grant funding be used? Will more hours of service be provided? Will it expand service to a larger geographic area? Will this funding provide shorter headways? How many more trips will be provided? Please explain in detail. If this capital request is not for a vehicle, please describe the purpose of the request.

The proposed project consists of replacement of two (2) paratransit handy bus vehicles and one ( I ) high top van which have reached the end of their useful life . Replacement of those vehicles will allow Manatee County Area Transit (MCAT) to maintain existing levels of client service to clients by placing more reliable vehicles into service.

Between FY 20 14 and FY 2015, ridership levels on the MCAT Handy Bus service increased by 12 percent. When compared to FY 20 13, ridership levels in FY 20 15 increased over 20 percent. The demand for paratransit services in Manatee County has put a strai n on the Handy Bus operation and the ability to maintain high customer sati sfacti on levels has become increasingly difficult . Average weekday ridership level s rose to over 400 daily trips in October 20 15 and the agency incurred large overtime costs in order to meet demand. To alleviate some of the burden on operators and staff, MCAT implemented stri cter trip prioritization and TD eligibi li ty procedures in FY 20 16. Given the constrai nts on personnel resources, it is imperative that staff is operati ng the most reliable vehicles as any given road call or breakdown could exacerbate delays, scheduling conflicts, and other operational issues.

2. If a grant award will be used to maintain services as described in Exhibit A, specifically explain how it will be used in the context of total service.

Over the last two years, MCAT has expanded service on the fixed route bus network and new "feeder" paratransit service was added. In fact, new service was added along US Highway 41 in northern Manatee County and along SR 70 from DeSoto Station to a Walmart near I-75 , new MCAT Route 12. Growth in the fixed-route service network has increased the ADA complementary paratransit service area. Thi s grant will help to meet the growing ADA service needs in that larger service area and wi ll also enhance the avai labi lity of vehic les in our fleet for daily pull-out. As indicated, demand for Handy Bus service continues to grow and there are times where spare vehicles are insufficient and modifications in daily pick up/drop off schedules are needed due to unscheduled fl eet repairs.

3. Give a detailed explanation of the need for the vehicle and provide evidence of the need.

T hi s request is for $345,458 to replace two (2) paratransit Handy Bus vehicles and one ( I ) high top van which will exceed the FDOT minimum service life for mileage and/or years in operation when replaced. Replacement of these vehicles at the conclusion of their useful life wi ll all ow Manatee County Area Transit (MCAT) to maintain the existing level of service to clients and ensure re liable service delivery for clients.

As indicated, between FY 13 and FY 15, demand for Handy Bus service increased by over 20 percent. Also, the MCAT ADA service area is much larger due to the expansion of fi xed route services. Lastly, vehicles in the paratransit fl eet are nearing the end of their useful Iifecycle and, over time, unscheduled repairs are increasing which impacts the avai lability of vehicles to meet the service demand.

4. Will a grant award be used to replace existing equipment or purchase additional vehicles/equipment? Provide details.

Yes the grant wi ll be used to replace existing equipment (Vehicles). This request is for $345,458 to replace two (2) paratransit Handy Bus vehicles and o ne (1) high top van which exceed the FDOT minimum service life for mileage and/or years in operation when replaced.

5. Identify vehicles/equipment being replaced and list them on the "Current Vehicle and Transportation Equipment Inventory" form, provided elsewhere in this manual.

The applicant is a government authority. The Manatee County Transit Di vision is an operating divi sion of the Public Works Department and the governing board is the Manatee County Board of County Commissioners. MCAT is a divi sion of the County Public Works Department and provides public transportation for residents and vi sitors in Manatee County. The County also serves as the designated recipient of Ff A Section 5307/5339 funding and serves as the Community Transportation Coordinator (CTC), providing fixed-route and demand response public transportation services throughout Manatee County, inclusive of Title VI communities , services for veterans to Veterans hospital s in Manatee, Pinellas, and Hill sborough Counties.

8. Agencies receiving Section 5310 funds must collect both quantitative and qualitative data (detailed in the Threshold Criteria section on page 7) to capture overarching program information as part of the Section 5310 annual report, Please outline how your agency will collect the quantitative and qualitative data required as a Section 5310 recipient. i.e What will the time frame be and how will it be incorporated into program operations? What tools will be used to collect the data?

Data is collected through paratransit software programs and can be collected upon request, within a two­week period and up to a thirty (30) day time frame, depending on the level of detail. The tool s which are utilized to collect this data are exported and then formatted in an Excel spreadsheet or data-specific reporting tools. All data is collected/transmitted via Wi-Fi connection on vehicles including trip manifest documentation, vehicle/trip mileage, trip type, funding source, and communicated to/from dispatch via Mobile Data Terminals.

As the CTC for Manatee County, an Annual Operating Report (AOR) is prepared by MCAT staff for submittal and review by the Transportation Disadvantaged Local Coordinating Board (TDLCB) which consists of a number of social service organizations whose clients require trips through the coordinated network of services managed by MCAT, as well as state funding agencies. Those reporting requirements are comprehensive and inclusive of a variety of service and financial data that wi ll be used to support Section 5310 reporting requirements.

9. Fully explain Your Transportation Program

a. Service hours, planned service, routes and trip types

Service hours for ADA and Agency trips are a complement to fixed route services , and each trip request conforms to the days/hours of fixed route service availability. The paratransit service currently consists of an average of twenty-two (22) daily routes. Trip types include Medical, Dialysi s, Life-Sustaining, Casual , School, Work, Adult Day Facility, Manasota Lighthouse, Food and Nutrition.

In Fi scal Year (FY) 2015/16, MCAT provided a total of 99,885 passenger trips . The vast majority of these trips are split up between ADA and Transportation Disadvantaged (TD) eligible clients, with ADA receiving approximately 44 percent of the trips and 30 percent transportation disadvantaged. The remaining 26 percent of trips benefits sponsoring agencies including: Vocational Rehabilitation, Community Care for

the Elderly, and Manasota Lighthouse. Manatee County also provides local funding for area Veteran requiring medical treatment.

In FY 2015/16, 97% of MCAT trips were provided to the elderly and persons with disabilities. The remai ning 3% of trips serve area Veterans requiring medical services at area Veterans Admini stration (VA) Hospitals in St. Petersburg and Tampa. While some of these Veterans also include the elderly and persons with disabilities, this service is funded by Manatee County as a public service to assist veterans irrespecti ve of age or disability status, in appreciation for their dedicated service to the Country.

b. Staffing-include plan for training on vehicle equipment such as wheelchair lifts. Etc.­Staffing includes

The MCAT Fiscal and Managerial oversight features dedicated and competent staff with numerous years of experience in the operation and administration of Paratransit service. The organizational structure includes a Transit Divi sion Manager with over 30 years of experience.

A Paratransit Operations Superi ntendent oversees dai ly Paratransit operations and provides management and program admi ni stration . Three (3) Operations Supervisors provide direct field oversight for 27 Paratransit operators. A Paratransit Coordinator, Scheduler, and Di spatcher serve to support daily service provision. A Transit Mobility Coordinator provides eligibility certification, in-person assessments and transit training assistance for ADA and TD non-sponsored service applicants.

A Grant Admi nistrator, Senior Fiscal Analyst and a Safety and Training Coordinator are also dedicated to the Transit Division, as well as a Logistics Manager and Systems Analyst. A Planning Manager and Transit Planner also provide support and serve to ensure that the Paratransit secti on has an opportunity to compete for di scretionary grants, and accurately complete various operating and fi nancial reports, such as those required by the National Transit Database (NTD) .

All operators are required to complete a six-week comprehensive trammg program which includes classroom time and in-field supervi sed driving time. Operator traini ng consists of vehicle equipment, customer service, sensitivity, blood-borne pathogens, defensive driving, CPR, driver's manual, and as needed training throughout the year. In addition, MCAT is proactively implementing an eight-hour annual "refresher" training courses for all operator supervisors and operators which cover safety training and ADA policies and procedures.

c. Records maintenance- who, what methods, use of databases, spreadsheets etc.

Records on system performance are maintained by the paratransit admi nistrative team with the support of the Paratransit Coordinator and customer service staff. Data is generall y tracked using scheduling software and needed information not available through a standard reporting tool is extracted and maintained in separate spreadsheet and database formats. Quality control of the data is performed daily and activity is summarized in monthly, quarterl y, and annual reports, some of which are used in presentations to the TDLCB and Manatee County Board of County Commi ssioners.

d. Vehicle maintenance- who, what, when and where. Include a section on how vehicles will be maintained without interruptions in service.

capture the maintenance cost to assist with evaluating the total operating cost. Most importantly all transit and paratransit vehicles are maintained to preclude an interruption in service.

Maintenance is provided through the Manatee County Fleet Services Divi sion. The Fleet Services Division uses a preventative maintenance program that is designed to be performed on rolling stock, with the intent of maximizi ng the lifecycle of the fl eet, reducing unscheduled repairs, and capturing all cost within the maintenance management system. The PM (Preventative Maintenance) cycle intervals vary between 4,000 to 6,000 miles. All PM inspections are scheduled I ,000 miles ahead of time to allow for a grace period.

e. CDL requirements-

All Operators are required to have current Florida Commercial Dri vers Licenses.

f. Transportation Operating Procedure (TOP)

g. Drug Free work place

The current Drug Free Workplace and Drug and Alcohol Program complies wi th FTA implementing regul ations for recipients of federal funding and is administered by the Manatee County Human Resources Department.

10. How do you currently fund the operations of your transit program?

Operations fu nding for the current Manatee County Transit Division program includes local tax revenues, state, and federal funding sources including the state Transportation Di sadvantaged program, FT A Section 5307, and farebox collections.

11. If your agency does not receive its entire capital request, can you still proceed with your transit program?

The program will continue but will not be able to fully meet the number of non-sponsored demand response trip requests. As a result, trip denials may increase and a procedure for prioritizing trips wi ll be required. It is anticipated that prioritizing trips will impact the ability of some Handy Bus clients to complete their needed everyday life-sustaining acti vities.

12. Who will drive the vehicle, number of drivers, CDL certifications?

All MCAT operators have CDL certifications and are required to complete a six-week comprehensive training program which includes classroom time and in-field supervised driving time. All interested parties are hereby advised that the Manatee County Board of County Commissioners is preparing to apply to the Florida Department of Transportation for capital and operating assistance grants under Section 5310 of the Federal Transit Administration (FTA) Act of 1964, as amended. The capital assistance grant application is for the purchase of two (2) replacement buses 2 1' Chevrolet SPT 12,300 GVWR that have an ambulatory seating capacity of 8-10 and 1-2 wheelchair positions; and one (1) Ford High Top Van 10,360 GVWR that has an ambulatory seating capacity of 5 with 2 wheelchair positions . Funding for these capital and operating assistance grants are provided through the FTA Enhanced Mobility of Seniors and Individuals with Disabi lities Program, for a total amount of $845,458; and will be used for the provision of public transit services within the Manatee County Area Transit (MCAT) service area.

Barriers to Coordination

Based on a review of environmental characteristics and constraints, existing funding, and federal, state,

and local governmental policies, the following barriers to coordination of transportation services in

Manatee County were identified :

• Limited funding and budget reductions are an issue for MCAT, Medicaid, and social agencies

that provide transportation for their clients. The FY2011 and FY2012 FCTD Manatee County

Annual Performance Reports indicate that expenses have exceeded revenues for the provision

of TO services. While the existing MCAT Handy Bus expenses already exceed the revenues,

there is a need for additional Handy Bus operators and the provision of additional passenger

trips.

• Development patterns are occurring on the east side of the county, where limited or no transit

services are available.

• Currently, MCAT and SCAT systems have adopted fare polices that are not consistent. Therefore,

passengers must pay two different fares when transferring between the systems.

• Inconsistent eligibility processes and different agency trip reimbursement rates creates a lack of

coordination between human services agencies.

• Uncertainty about the TO Trust Fund and local funding constraints create barriers to providing

transportation services.

Goals, Objectives, and Strategies

The goals of the TDSP focus on the four major areas identified during the TDSP development process:

funding, coordination, effective and efficient provision of transportation services, and accessing and

transitioning to fixed-route services. The objectives support the completion of the goal. Strategies are

the actions that need to occur to complete the objective and achieve the overall goal. The following

goals, objectives, and strategies have been adopted to guide the provision of ADA and TO services over

the next five years.

Goall: Efficiently and effectively serve the mobility needs of the Transportation Disadvantaged

population in Manatee County within the available funding constraints.

Objective 1.1: Match appropriate transportation services with the identified needs of the TO

population.

Objective 1.2: Maximize the use of the fixed-route system as an alternative to door-to-door

paratransit service.

Objective 1.3: To the extent possible, manage, operate, and maintain transportation services

in a cost-effective manner.

Objective 1.5: Explore opportunities to provide incentives to encourage ADA and TD

passengers to transition to the fixed-route system.

Strategies

• Continue to emphasize the availability of fixed-route discount tickets/passes for agencies

and schools.

• Explore the possibility of requiring the use of fixed-route service for all TD non-sponsored

trips having an origin and destination within the fixed-route service area and a person not

incapable of using the system due to physical or mental impairment. Encourage and allow

dual eligibility for TO clients who can also qualify for ADA-funded paratransit trips when trip

origins and destinations are within %-mile of fixed-route service.

• Continue to work with Trapeze Systems for upgrades and improvements to intake/dispatch

and management systems for paratransit service.

• Increase revenue through advertising, promoting the voluntary dollar option on vehicle

registration renewals, fuel tax refunds, etc.

• Conduct a fare analysis to review the potential revenue generation and impacts of a fare

increase for ADA and TD services.

• Conduct a bus pass analysis to review the potential impacts of implementing a Medicaid and

TO bus pass program.

• Annually review the availability of other transportation providers in Manatee County that

may meet existing needs and gaps in transportation services.

• Disseminate Meals on Wheels transportation service information to residents inquiring

about transit services on the east side of the county and passengers with trips that do not

qualify under the TO program.

• Continue to explore multi-loading opportunities such as group trips to major attractors.

Goal 2: Efficiently and effectively coordinate existing and planned transit service for the

Transportation Disadvantaged population in Manatee County and out-of-county.

Objective 2.1: Coordinate inter-county ADA and TD services with surrounding counties, with

special attention to SCAT Plus service.

Objective 2.2: Explore opportunities to expand the number of agencies that have signed

coordination agreements with the CTC.

Strategies

• Continue intake and screening for mandatory use of fixed-route versus demand response

service.

• Continue to coordinate with large nursing home facilities to group TD trips to grocery stores

and other destinations.

• Review operating and financial information on a monthly basis for completion of the Annual

Operating Report (AOR) and Service Plan.

• Monitor transportation services provided by social service agencies and churches and

identify additional opportunities for coordination and/or vehicle sharing.

• Continue to offer annual training sessions for coordination contractors on reporting data for

the AOR.

• Notify Coordination Contractors of available TD, FDOT, and Rural Transit Assistance Program

training opportunities.

• Continue to offer technical assistance to agencies in completing and reviewing their

applications for vehicles through the Section 5310 program offered annually by USDOT.

• Establish regularly-scheduled meetings with SCAT to review opportunities for coordination

oftransportation services.

• Contact three human services agencies each year to discuss potential coordination contract

agreements.

Objective 3.1: Maintain a paratransit fleet that can meet the TD demand and provide quality

service.

• Ensure active and ongoing implementation of the System Safety Program Plan.

Objective 5.1 : Provide opportunities for ADA and TD passengers to safely access multimodal

transportation options.

Strategies

• Maximize the effective transfer of ADA and TD passengers to the fixed-route system through

the use of functional assessments, travel training, and other efforts to make fixed-route

service accessible to more people.

• Develop incentives, including discounted bus passes, to encourage ADA and TO passengers

to transition to the fixed-route system.

• Use a 100 percent accessible fleet.

• Complete an inventory of existing bus stops and review each stop for possible ADA

accessibility improvements.

• Ensure that new bus stops are accessible to persons with disabilities and meet ADA

Accessibility Guidelines (ADAAG) compliance requirements .

• Implement consistent signage with larger lettering to accommodate persons with visual

impairments.

Implementation Plan

Manatee County's Five-Year Implementation Plan was derived from the goals, objectives, and strategies

described. The implementation schedule includes the strategy/improvement to be implemented, the

responsible party for accomplishment, the anticipated beginning and ending dates, and any known

costs. The costs are derived based on MCAT previous expenses and average industry costs, as

appropriate . The costs shown are for the actual items listed and do not include staff cost related to

implementation. The improvements are presented in Table 20 in chronological order.

STATE OF FLORIDA COMMISSION FOR THE TRANSPORTATION DISADVANTAGED

MEMORANDUM OF AGREEMENT

This Memorandum of Agreement is between the COMMISSION FOR THE TRANSPORTATION DISADVANTAGED, hereby referred to as the "Commission," and Manatee County Board of County Commissioners. 1108 26th Avenue E. Bradenton, Florida, 34208. the COMMUNITY TRANSPORTATION COORDINATOR, designated pursuant to Chapter 427, F.S., to serve the transportation disadvantaged for the community that includes the entire area of Manatee County(ies), and hereafter referred to as the "Coordinator."

This Agreement is made in consideration of the mutual benefits to both parties; said consideration acknowledged hereto by the parties as good and valuable consideration.

The Parties Agree:

I. The Coordinator Shall:

A. Become and remain totally apprised of all of the Transportation Disadvantaged resources available or planned in their designated service area. This knowledge will be used to plan, coordinate, and implement the most cost effective transportation disadvantaged transit system possible under the economic and other conditions that exist in the designated service area.

B. Plan and work with Community Transportation Coordinators in adjacent and other areas of the state to coordinate the provision of community trips that might be handled at a lower overall cost to the community by another Coordinator. This includes honoring any Commission-approved statewide certification program that allows for intercounty transportation opportunities.

C. Arrange for all services in accordance with Chapter 427, Florida Statutes, and Rule 41-2, FAG, and as further required by the Commission and the local Coordinating Board approved Transportation Disadvantaged Service Plan.

D. Return any acquired profits or surplus funds originating through the course of business as the Coordinator that are beyond the amounts(s) specifically identified and approved in the accompanying Transportation Disadvantaged Service Plan. Such profits or funds shall be returned to the Coordinator's transportation system or to any subsequent Coordinator, as a total transportation system subsidy, to be applied to the immediate following operational year. The Coordinator will include similar language in all coordination contracts to assure that transportation disadvantaged related revenues are put back into transportation disadvantaged services.

E. Accomplish this Project by:

1. Developing a Transportation Disadvantaged Service Plan for approval by the local Coordinating Board and the Commission. Coordinators who are newly designated to a particular service area shall submit a local Coordinating Board approved Transportation Disadvantaged Service Plan, within 120 calendar days following the execution of the Coordinator's initial memorandum of agreement with the Commission, for approval by the Commission. All subsequent Transportation Disadvantaged Service Plans shall be submitted and approved with the corresponding memorandum of agreement. The approved Transportation Disadvantaged Service Plan will be implemented and monitored to provide for community-wide transportation services for purchase by non-sponsored transportation disadvantaged persons, contracting social service agencies, and other entities that use local, state, or federal government funds for the purchase of transportation for the transportation disadvantaged.

2. Maximizing the use of available public school transportation resources and public fixed route or fixed schedule transit services and assuring that private or public transit, paratransit operators, and school boards have been afforded a fair opportunity to participate to the maximum extent feasible in the planning process and in the development of the provisions of the Transportation Disadvantaged Service Plan for the transportation disadvantaged.

3. Providing or arranging 24-hour, 7 -day per week transportation disadvantaged service as required in the designated service area by any Federal, State or local Government agency sponsoring such services. The provision of said services shall be furnished in accordance with the prior notification requirements identified in the local Coordinating Board and Commission approved Transportation Disadvantaged Service Plan.

4. Complying with all local, state, and federal laws and regulations that app!y to the provision of transportation disadvantaged services.

5. Submitting to the Commission an Annual Operating Report detailing demographic, operational, and financial data regarding coordination activities in the designated service area. The report shall be prepared on forms provided by the Commission and according to the instructions of said forms.

F. Comply with Audit and Record Keeping Requirements by:

1. Utilizing the Commission recognized Chart of Accounts defined in the Transportation Accounting Consortium Model Uniform Accounting System for Rural and Specialized Transportation Providers (uniform accounting system) for all transportation disadvantaged accounting and reporting purposes. Community Transportation Coordinators with existing and equivalent accounting systems are not required to adopt the Chart of Accounts in lieu of their existing Chart of Accounts but shall prepare all reports, invoices, and fiscal documents relating to the transportation disadvantaged functions and activities using the chart of accounts and accounting definitions as outlined in the above referenced manual.

2. Assuming the responsibility of invoicing for any transportation services arranged, unless otherwise stipulated by a purchase of service contract or coordination contract.

3. Maintaining and filing with the Commission, local Coordinating Board, and all purchasing agencies/entities such progress, fiscal, inventory, and other reports as those entities may require during the period of this Agreement.

4. Providing copies of finance and compliance audits to the Commission and local Coordinating Board as requested by the Commission or local Coordinating Board.

G. Retain all financial records, supporting documents, statistical records, and any other documents pertinent to this Agreement for a period of five (5) years after tennination of this Agreement. If an audit has been initiated and audit findings have not been resolved at the end of five (5) years, the records shall be retained until resolution of the audit findings. The Coordinator shall assure that these records shall be subject to inspection, review, or audit at all reasonable times by persons duly authorized by the Commission or this Agreement. They shall have full access to and the right to examine any of the said records and documents during the retention period.

H. Comply with Safety Requirements by:

1. Complying with Section 341 .061, F.S., and Rule 14-90, FAC, concerning System Safety; or complying with Chapter 234.051, F.S., regarding school bus safety requirements for those services provided through a school board; and

2. Assuring compliance with local, state, and federal laws, and Commission policies relating to drug testing. Conduct drug and alcohol testing for safety sensitive job positions wrthin the coordinated system regarding pre-employment, randomization, post-accident, and reasonable suspicion as required by the Federal Highway Administration and the Federal Transit Administration.

I. Comply with Commission insurance requirements by maintaining at least minimum liability insurance coverage in the amount of $200,000 for any one person and $300,000 per occurrence at all times during the existence of this Agreement for all transportation services purchased or provided for the transportation disadvantaged through the Community Transportation Coordinator. Upon the execution of this Agreement, the Coordinator shall add the Commission as an additional named insured to all insurance policies covering vehicles transporting the transportation disadvantaged. In the event of any cancellation or changes in the limits of liability in the insurance policy, the insurance agent or broker shall notify the Commission. The Coordinator shall insure that contracting transportation operators and coordination contractors also maintain the same minimum liability insurance, or an equal governmental insurance program. Insurance coverage in excess of $1 million per occurrence must be approved by the Commission and the local Coordinating Board before inclusion in the Transportation Disadvantaged Service Plan or in the justification of rates and fare structures. Such coverage may be provided by a self-insurance program established and operating under the laws of the State of Florida and written verification of insurance protection in accordance with Section 768.28, Florida Statutes, shall be provided to the Commission upon request.

J . Safeguard information by not using or disclosing any information concerning a user of services under this Agreement for any purpose not in conformity with the local, state and federal regulations (45 CFR, Part 205.50), except upon order of a court, written consent of the recipient, or his/her responsible parent or guardian when authorized by law.

K. Protect Civil Rights by:

1. Complying with state and federal laws including but not limited to laws regarding discrimination on the basis of sex, race, religion, age, disability, sexual orientation, or national origin. The Coordinator gives this assurance in consideration of and for the purpose of obtaining federal grants, loans, contracts (except contracts of insurance or guaranty), property, discounts, or other federal financial assistance to programs or activities receiving or benefiting from federal financial assistance and agreeing to complete a Civil Rights Compliance Questionnaire if so requested by the Commission.

2. Agreeing that compliance with this assurance constitutes a condition of continued receipt of or benefrt from federal financial assistance, and that it is binding upon the Coordinator, its successors, subcontractors, transferee, and assignees for the period during which such assistance is provided. Assure that all operators, subcontractors, subgrantee, or others with whom the Coordinator arranges to provide services or benefits to participants or employees in connection with any of its programs and activities are not discriminating against those participants or employees in violation of the above statutes, regulations, guidelines, and standards. In the event of failure to comply, the Coordinator agrees that the Commission may, at its discretion, seek a court order requiring compliance with the terms of this assurance or seek other appropriate judicial or administrative relief, to include assistance being terminated and further assistance being denied.

L. To the extent allowed by Section 768.28, Florida Statutes, and only to the monetary and other limitations contained therein, indemnify and hold harmless tt"te Commission and all of the Commission's members, officers, agents, and employees; purchasing agency/entity officers, agents, and employees; and the local, state, and federal governments from any claim, loss, damage, cost, charge or expense arising out of any act, action, neglect or omission by the Coordinator during the performance of this Agreement, whether direct or indirect, and whether to any person or property to which the Commission or said parties may be subject, except that neither the Coordinator nor any of its sub-contractors will be liable under this section for damages arising out of injury or damage to persons or property directly caused or resulting from the sole negligence of the Commission or any of its members, officers, agents or employees; purchasing agency/entity, officers, agents, and employees; and local, state, or federal governments. Nothing herein is intended to serve as a waiver of sovereign immunity by any agency/entity or Coordinator to which sovereign immunity may be applicable. Nothing herein shall be construed as consent by a state agency/entity or political subdivision of the State of Florida or the federal government to be sued by third parties in any matter arising out of any Agreement or contract. Notwithstanding the foregoing, pursuant to Section 768.28, Florida Statutes, no agency or subdivision of the state shall be required to indemnify, insure, or assume any liability for the Commission's negligence.

M. Comply with standards and performance requirements of the Commission, the local Coordinating Board approved Transportation Disadvantaged Service Plan, and any purchase of service contracting agencies/entities. Failure to meet the requirements or obligations set forth in this MOA, and perf.ormance requirements established and monitored by the local Coordinating Board in the approved Transportation Disadvantaged Service Plan, shall be due cause for non-payment of reimbursement invoices until such deficiencies have been addressed or corrected to the satisfaction of the Commission.

N. Comply with subcontracting requirements by executing or negotiating contracts for transportation services with Transportation Operators and Coordination Contractors, and assuring that the conditions of such contracts are maintained. The requirements of Part 1, Paragraph E.5. through M are to be included in all contracts, subcontracts, coordination contracts, and assignments made by the Coordinator for services under this Agreement. Said contracts, subcontracts, coordination contracts, and assignments will be reviewed and approved annually by the Coordinator and local Coordinating Board for conformance with the requirements of this Agreement.

0. Comply with the following requirements concerning drivers and vehicles:

1. Drivers for paratransit services, including coordination contractors, shall be required to announce and identify themselves by name and company in a manner that is conducive to communications with the specific passenger, upon pickup of each rider, group of riders, or representative, guardian, or associate of the rider, except in situations where the driver regularly transports the rider on a recurring basis. Each driver must have photo identification that is in view of the passenger. Name patches, inscriptions or badges that affix to driver clothing are acceptable. For transit services, the driver photo identification shall be in a conspicuous location in the vehicle.

2. The paratransit driver shall provide the passenger with boarding assistance, if necessary or requested, to the seating portion of the vehicle. The boarding assistance shall include opening the vehicle door, fastening the seat belt or utilization of wheelchair securement devices, storage of mobility assistive devices, and closing the vehicle door. In certain paratransit service categories, the driver may also be required to open and close doors to buildings, except in situations in which assistance in opening/closing building doors would not be safe for passengers remaining on the vehicle. Assisted access must be in a dignified manner. Drivers may not assist wheelchair up or down more than one step, unless it can be performed safely as determined by the passenger, guardian, and driver.

3. All vehicles shall be equipped with two-way communications in good working order and be audible to the driver at all times to the base.

4. All vehicles providing service within the coordinated system, shall have working air conditioners and heaters in each vehicle. Vehicles that do not have a working air conditioner or heater will be scheduled for repair or replacement as soon as possible.

P. Comply with other requirements as follows:

1. Transport an escort of a passenger and dependent children as locally negotiated and identified in the local Transportation Disadvantaged Service Plan.

2. Determine locally in the Transportation Disadvantaged Service Plan, the use, responsibility, and cost of child restraint devices.

3. Transport with the passenger at no additional charge, passenger property that can be carried by the passenger and/or driver in one trip and can be safely stowed on the vehicle. Additional requirements may be negotiated for carrying and loading rider property beyond this amount. Passenger property does not include wheelchairs, child seats, stretchers, secured oxygen, personal assistive devices, or intravenous devices.

4. Provide shelter, security, and safety of passengers at vehicle transfer points.

5. Post a local or other toll-free number for complaints or grievances inside each vehicle. The local complaint process shall be outlined as a section in the local Transportation Disadvantaged Service Plan including advising the dissatisfied person about the Commission's Ombudsman Program as a step within the process as approved by the local Coordinating Board.

6. Provide out-of-service-area trips, when determined locally and approved by the local Coordinating Board, except in instances where local ordinances prohibit such trips.

7. Keep interior of all vehicles free from dirt, grime, oil, trash, torn upholstery, damaged or broken seats, protruding metal or other objects or materials which could soil items placed in the vehicle or provide discomfort for the passenger.

8. Determine locally by the local Coordinating Board and provide in the local Transportation Disadvantaged Service Plan the billing requirements of the Community Transportation Coordinator. All bills shall be paid to subcontractors within 7 calendar days after receipt of said payment by the Coordinator, in accordance with Section 287.0585, Florida Statutes.

9. Maintain or have access to a passenger/trip database on each rider being transported within the system.

10. Provide each rider and escort, child, or personal care attendant adequate seating for paratransit services. No more passengers than the registered passenger seating capacity shall be scheduled or transported in a vehicle at any time. For transit services provided by transit vehicles, adequate seating or standing space will be provided to each rider and escort, child, or personal care attendant, and no more passengers than the registered passenger seating or standing capacity shall be scheduled or transported in a vehicle at any time.

11 . First Aid shall be determined locally and provided in the local Transportation Disadvantaged Service Plan.

12. Cardiopulmonary Resuscitation shall be determined locally and provided in the local Transportation Disadvantaged Service Plan.

II. The Commission Shall:

A. Recognize the Coordinator as the entity described in Section 427.011(5), Florida Statutes, and Rule 41-2.002(4), F.A.C.

B. Attempt to insure that all entities with transportation disadvantaged funds will purchase transportation disadvantaged services through the Coordinator's system.

Ill. The Coordinator and the Commission Further Agree:

A. Nothing in this Agreement shall require the Commission to observe or enforce compliance with any provision thereof, perform any other act or do any other thing in contravention of any applicable state law. If any of the provisions of this Agreement is found by a court of law to violate any applicable state law, the purchasing agency/entity will at once notify the Commission in writing in order that appropriate changes and modifications may be made by the Commission and the Coordinator to the end that the Coordinator may proceed as soon as possible with the provision of transportation services.

B. If any part or provision of this Agreement is held invalid, the remainder of this Agreement shall be binding on the parties hereto.

C, Termination Conditions:

1. Termination at Will - This Agreement may be terminated by either party upon no less than thirty (30) days notice, without cause. Said notice shall be delivered by certified mail, return receipt required, or in person with proof of delivery.

2. Termination for Breach - Unless the Coordinator's breach is waived by the Commission in writing, the Commission may, by written notice to the Coordinator, terminate this Agreement upon no less than twenty-four (24) hours notice. Said notice shall be delivered by certified mail, return receipt requested, or in person with proof of delivery. Waiver by the Commission of breach of any provision of this Agreement shall not be deemed to be a waiver of any other breach and shall not be construed to be a modification of the terms of this Agreement, and shall not act as a waiver or estoppel to enforcement of any provision of this Agreement The provisions herein do not limit the Commission's right to remedies at law or to damages.

D. This agreement .will expire unless an extension is granted to the Coordinator in writing by the Commission, in accordance with Chapter 287, Florida Statutes.

E. Renegotiations or Modifications of this Agreement shall only be valid when they have been reduced to writing, duly approved by the Commission, and signed by both parties hereto.

CURRENT SYSTEM DESCRIPTION

The Manatee County Board of County Commi ssioners (BOCC) serves as the Community Transportation Coordinator (CTC) for Manatee County. The BOCC was origi nally designated as the CTC in October 1990 and gave authori ty to Manatee County Area Transi t (MCAT) for carrying out the day-to-day implementation activities. MCAT continues to serve in the CTC implementing role and the BOCC recently signed a new Five-Year Memorandum of Agreement (MOA) with the Florida Commission for the Transportation Disadvantaged (FCfD).

The Transit Di vision is under the jurisdiction of the Manatee County BOCC, and the Transit Di vision Manager reports to the Director of the County's Public Works Department. The attached sheet provides an organi zational chart of the CTC and Florida Commi ssion for Transportation Disadvantaged (FCTD) process. While MCAT is considered a partial broker, it functions as a sole source provider for transportation under the Transportation Disadvantaged (TD) program. As the CTC, Manatee County also contracts with local pri vate nonprofit agencies that have their own vehicles for the primary purpose of transporting agency special needs clients; and many times, specialized staff counseling and assistance is provided by the agency staff during transport, to effectively deal with the special needs of agency clients; all of these "brokered" trips are part of the Transportation Disadvantaged (TD) "coordinated system."

As the CTC implementing agency, MCAT performs the required elements of program oversight and coordination for the Transportati on Disadvantaged (TD) Program in Manatee County, e.g., Service Planning, Public Information and Marketing, Call Intake, Eligibility Certification, Reservations, Scheduling, Service Provision, Reporting, Cost­Sharing, and Information Sharing. In fact, MCAT staff just recentl y initiated the Public Engagement process for the major update to the Transportation Disadvantaged Service Plan (TDSP); and staff continues to receive public input as part of the plan update process.

On March 1, 2005, the Manatee County BCC elected to discontinue the coordination of non-emergency Medicaid transportation services under the CTC. As of April 30, 2005, non-emergency Medicaid transportation is sponsored by the FCTD; and the FCTD entered into a contract with Transportation Management Services, Inc. (TMS) to provide Medicaid transportation services for Manatee County residents that require transportati on service in order to access Medicaid-compensable medical services; and other agencies serve in thi s capacity today.

Presently, MCAT is the major public transportation provider in Manatee County and stri ves to improve the quality of life for County residents and visitors by providing, in a cost effi cient manner, a readily-accessible, intermodal means of mobility, and by providing alternati ve means of transportation to minimize impacts of traffi c congestion on major roads in Manatee County. Presently, MCAT operates 23 buses in peak service on its fi xed route system including the Island Trolley system, which uses four (4) Trolley vehicles.

Recentl y added fi xed route services include the North County ConneXion service route, connecting Palmetto to Rubonia, via the US Highway 4 1 corridor; Route 12 service along the SR 70 corridor from the DeSoto Transit Station to the Wai-Mart at Interstate 75; and new limited stop, express Regional Transit Service (RTS) connecting Manatee and Pinellas County, via Interstate 275. Thi s new RTS is known as the Skyway ConneXion, and provides transit system connecti vity between the MCAT and Pinellas Suncoast Transit Authority (PSTA) transit systems. Effecti ve November 12,2016, service frequency improved along the Manatee Avenue (Route 3) corridor, to provide 30-minute service frequency for weekday and Saturday service, and facilitate development for the "core network" of fi xed routes, whk h carry approximately 72 percent of system ridership. Commensurate with the service enhancement for Route 3 on November 12th, MCAT interlined all of the Palmetto area routes, so that all of these routes provide connecti vity with the downtown Bradenton Transit Station ; previously, passengers coming from Palmetto/Rubonia/Ellenton had to make a transfer connection at the Palmetto Station or along Business US Highway 41 to cross the Manatee River and access Downton Bradenton . Finally, MCAT initiated

the US 30 1 ConneXion service as a para transit "feeder" service for access to the new Manatee County Transit Fleet Facility (MCTFF) along US Highway 301 in southern Manatee County; and passengers schedule US 301 ConneXion rides using next-day scheduling services, and fi xed route access to/from the ConneXion is available at either the Goodwill off-street transfer point on 15th Street East or the off-street transfer poi nt at the Sarasota­Bradenton Internati onal Airport.

Complementary paratransit service is provided in the larger urbanized area which includes Bradenton, Palmetto, Anna Maria, Holmes Beach, and Bradenton Beach utili zing 22 Handy Buses in peak service. The entire MCAT fleet is equipped with wheelchair li fts or ramps that are compliant with the Americans with Disabilities Act (ADA) implementing regulati ons. Additional TD paratransit service is provided throughout the remaining portions of unincorporated Manatee County. MCAT' s obj ecti ves are to maintain and improve the availabili ty and efficiency of service, upgrade passenger service and amenities , properl y maintain transit facilities and equipment though ongoing preventative maintenance programs, offer advanced technology, marketing, transportation planning coordination , and ensure adequate funding and public involvement processes.

Presently, Manatee County maintains a total fl eet of 37 fi xed route/trolley vehicles and 32 paratransit (i.e. , Handy Buses). There are 89 approved transit operator positons in the FY 201611 7 Operating Budget; and each transit operator completes a comprehensive six-week training program, and each operator is cross-trained to have the capability to work the full array of transit, trolley and paratransit vehicles and ervices; and all Operators have a current Florida Commercial Driver's License (CDL) . All operators are requi red to have a complete physical exam every two years and all such operating and safety implementing regulations are audited by the Florida Department of Transportati on (FDOT) on a two-year cycle to ensure ongoing compliance.

EXHIBITB PROPOSED PROJECT DESCRIPTION

The proposed project, consisting of operating ass istance to support ADA complementary paratransit service provi sion, supporting those eligible Transportation Disadvantage (TD) services which are not currently funded through the Florida Commission for the Transportation Disadvantaged (CTD), maintains the existing level of service to clients by Manatee County Area Transit (MCAT), and provides for mobility management through the Handy Bus client eligibility and certification process.

Transportation di sadvantaged services are available to elderly persons and persons with disabilities from approximately 5:30am to 7:30pm, six days per week. Complementary ADA paratransit services are avai lable consistent with the with MCAT fixed-route service, seven days a week. In 2016, there were 1,371 persons served through the Handy Bus paratransit program, and over 99,882 trips were provided to eligible clients. MCAT also provides coordinated services with local non-profit agencies through coordination agreements.

Manatee County Area Transit (MCAT) vehicles are maintained by the Manatee County Fleet Services Division. Transit fleet maintenance occurs at the same location as the transit operations and admini strative center. The Fleet Services Divi sion consists of a highly recognized staff and operation, and has received many awards for their exceptional ability in maintaining the vehicle fl eet. The vehicle Preventi ve Maintenance program is designed to extend vehicle life, reduce the frequency of unscheduled repairs, and capture the maintenance cost to assist with evaluating the total operating cost. Most importantly, all Transit and Paratransit vehicles are maintained to prevent interruptions in service.

Manatee County Area Transit (MCAT) is a di vision of the Public Works Department in Manatee County Government, and provides service to the cities of Bradenton, Holmes Beach, Anna Maria Island, Bradenton Beach, Palmetto and unincorporated Manatee County. Manatee County does not di scriminate in the service it provides to passengers. Service is provided to minority and low-income segments of the population with the same level of service that is provided to other clients.

MCAT does not use lessee or private operators under contract to provide service. MCAT i the Community Transportation Coordinator (CTC) for Manatee County, Florida and assumes all responsibilities pursuant to Chapter 427 Florida Statutes and Rule Chapter 4 1-2 F.A.C.

Section 5310 Grant Application- Evaluation Criteria

Questions Related to All Agencies Requesting Operations Funds:

1. Is the project to continue the existing level of services, to expand present service, or to provide new service? How will a grant award be used? How many more hours of service will be provided? Will it expand service to a larger geographic area? Will it be used to reduce head ways? If so, please specify). How many more trips will be provided? Please explain in detail.

This request is for $500,000 operating assistance to support ADA complementary paratransit service provision , supporting those eli gible Transportation Disadvantage (TD) services which are not currently funded through the Florida Commission for the Transportation Disadvantaged (CTD), maintains the existing level of service to clients by Manatee County Area Transit (MCAT), and provides for mobility management through the Handy Bus client eli gibility and certification process.

Between FY 2014 and FY 2015 , ridership levels on the MCAT Handy Bus service increased by 12 percent. When compared to FY 2013 , ridership levels in FY 20 15 increased over 20 percent. The demand for paratransit services in Manatee County has put a strain on the Handy Bus operation and the ability to

maintain high customer sati sfaction levels has become increasingly difficult. Average weekday ridership levels rose to over 400 daily trips in October 201 5 and the agency incurred large overtime cost in order to meet demand. To alleviate some of the burden on operators and staff, MCA T implemented stricter trip prioritization and TD eligibility procedures in FY 201 6.

2. If a grant award will be used to maintain services as described in Exhibit A, specifically explain how it will be used in the context of total service.

Over the last two years, MCAT has expanded service on the fi xed route bus network and new "feeder" paratransit service was added. In fact, new service was added along US Hi ghway 4 1 in northern Manatee County and along SR 70 from DeSoto Station to a Walmart near I-75, new MCAT Route 12. Growth in the fi xed-route service network has increased the ADA complementary paratransit service area. This grant will help to meet the growing ADA service needs in that larger service area and will al so enhance the availability of vehicles in our fl eet for daily pull-out. As indicated, demand for Handy Bus service continues to grow and there are times where spare vehicles are insufficient and modifications in daily pick up/drop off schedules are needed due to unscheduled fl eet repairs.

3. Provide a brief description of the projects which includes the counties served, whether the applicant shall service minority populations and whether the applicant is minority-owned.

The applicant is a government authority. The Manatee County Transit Division is an operating division of the Public Works Department and the governing board is the Manatee County Board of County Commissioners. MCAT is a divi sion of the County Public Works Department and provides public transportation for residents and visitors in Manatee County. The County also serves as the designated recipient of FT A Section 5307/5339 funding and serves as the Community Transportation Coordinator (CTC), providing fi xed-route and demand response public transportation services throughout Manatee County, inclusive of Title VI communities, services for veterans to Veterans hospitals in Manatee, Pinellas, and Hill sborough Counties.

4. Agencies receiving Section 5310 funds must collect both quantitative and qualitative data (detailed in the Threshold Criteria section on page 7) to capture overarching program information as part of the Section 5310 annual report, Please outline how your agency will collect the quantitative and qualitative data required as a Section 5310 recipient. i.e What will the time frame be and how will it be incorporated into program operations? What tools will be used to collect the data?

Data is collected through paratransit software programs and can be collected upon request, within a two­week period and up to a thirty (30) day time frame, depending on the level of detail. The tools which are utili zed to collect this data are exported and then formatted in an Excel spreadsheet or data-specific reporting tools. All data is collected/transmitted via Wi-Fi connection on vehicles including trip manifest documentation, vehicle/trip mileage, trip type, funding source, and communicated to/from dispatch via Mobile Data Terminals.

As the CTC for Manatee County, an Annual Operating Report (AOR) is prepared by MCAT staff for submittal and review by the Transportation Disadvantaged Local Coordinating Board (TDLCB) which consists of a number of social service organizations whose clients require trips through the coordinated network of services managed by MCAT, as well as state funding agencies. Those reporting requirements are comprehensive and inclusive of a variety of service and financial data that will be used to support Section 5310 reporting requirements.

a. Service hours, planned service, routes and-trip types

Service hours for ADA and Agency trips are a complement to fi xed route services, and each trip request conforms to the days/hours of fixed route service availability. The paratransit service currentl y consists of an average of twenty-two (22) daily routes . Trip types include Medical, Dialysis, Life-Sustaining, Casual, School, Work, Adult Day Facility, Manasota Lighthouse, Food and Nutrition.

In Fiscal Year (FY) 201 5/1 6, MCAT provided a total of 99,885 passenger trips. The vast majority of these trips are split up between ADA and Transportati on Disadvantaged (TD) eligible clients, with ADA receiving approximately 44 percent of the trips and 30 percent transportation di sadvantaged. The remaining 26 percent of trips benefits sponsoring agencies including: Vocational Rehabilitation, Community Care for the Elderl y, and Manasota Li ghthouse. Manatee County also provides local funding for area Veterans requiring medical treatment.

In FY 2015/16, 97% of MCAT trips were provided to the elderly and persons with disabilities. The remaining 3% of trips serve area Veterans requiring medical services at area Veterans Administration (VA) Hospitals in St. Petersburg and Tampa. While some of these Veterans also include the elderly and persons with disabilities, thi s service is funded by Manatee County as a public service to assist veterans irrespecti ve of age or di sability status, in appreciation for their dedicated service to the Country.

b. Staffing-include plan for training on vehicle equipment such as wheelchair lifts. Etc.­Staffing includes

The MCAT Fiscal and Manageri al oversight features dedicated and competent staff with numerous years of experience in the operation and admini stration of Paratransit service. The organizational structure includes a Transit Division Manager with over 30 years of experience.

A Paratransi t Operations Superintendent oversees daily Paratransit operations and provides management and program admini stration. Three (3) Operati ons Supervisors provide direct fi eld oversight for 27 Paratransit operators. A Paratransit Coordinator, Scheduler, and Dispatcher serve to support dail y service provision. A Transit Mobility Coordinator provides eligibility certificati on, in-person assessment and transit training assistance for ADA and TD non-sponsored service applicants.

A Grant Administrator, Senior Fiscal Analyst and a Safety and Training Coordinator are also dedicated to the Transit Division, as well as a Logistics Manager and Systems Analyst. A Planning Manager and Transit Planner also provide support and serve to ensure that the Paratransit section has an opportunity to compete for discretionary grants, and accurately complete various operating and financial reports, such as those required by the National Transit Database (NTD).

All operators are requi red to complete a six-week comprehensive trammg program which includes classroom time and in-field supervised dri ving time. Operator training consists of vehicle equipment, customer service, sensiti vity, blood-borne pathogens, defensive dri ving, CPR, driver's manual, and as needed training throughout the year . In addition, MCAT is proactively implementing an eight-hour annual "refresher" training courses for all operator supervisors and operators which cover safety training and ADA policies and procedures.

c. Records maintenance- who, what methods, use of databases, spreadsheets etc.

Records on system performance are maintained by the paratransit administrative team with the support of the Paratransit Coordinator and customer service staff. Data is generally tracked using scheduling software and needed information not available through a standard reporting tool is extracted and maintained in separate spreadsheet and database formats. Quality control of the data is performed daily and acti vity is

summarized in monthl y, quarterly , and annual reports, some of which are used in presentations to the TDLCB and Manatee County Board of County Commissioners.

d. Vehicle maintenance- who, what, when and where. Include a section on how vehicles will be maintained without interruptions in service.

The vehicle Preventive Maintenance program is designed to extend vehicle life, reduce the frequency of unscheduled repairs, and capture the maintenance cost to assist with evaluating the total operating cost. Most importantly all transit and paratransit vehicles are mai ntained to preclude an interruption in service.

Maintenance is provided through the Manatee County Fleet Services Di vision. The Fleet Services Di vision uses a preventati ve maintenance program that is designed to be performed on rolling stock, with the intent of maximizi ng the lifecycle of the fl eet, reducing unscheduled repai rs, and capturing all cost within the maintenance management system. The PM (Preventati ve Maintenance) cycle intervals vary between 4,000 to 6,000 miles. All PM inspections are scheduled I ,000 miles ahead of time to allow for a grace period.

e. CDL requirements-

All Operators are required to have current Florida Commercial Dri vers Licenses .

f. System safety plan

An update toMCAT' s System Safety Plan (SSPP) was completed in February 2016. The updated SSPP includes revisions to the emergency evacuation process, HIPAA requirements, and privacy codes and procedures among other changes.

g. Drug Free work place

The current Drug Free Workplace and Drug and Alcohol Program complies with FTA implementing regulations for recipients of federal funding and is administered by the Manatee County Human Resources Department.

6. How do you currently fund the operations of your transit program?

Operations funding for the current Manatee County Transit Division program includes local tax revenues, state, and federal funding sources including the state Transportation Disadvantaged program, FT A Section 5307, and fare box collections.

7. Why are Operating Funds being requested?

The demand for paratransit services in Manatee County has put a strain on the Handy Bus operation and the ability to maintain high customer sati sfaction levels has become increasingly difficult. Average ridership levels have increased to over 400 daily trips and the agency has been incurring large overtime costs in order to meet demand. To alleviate some of the burden on operators and staff, MCAT is considering stricter trip prioritization and TD eli gibility procedures. Thi s grant award will support the existing demand for paratransit services.

Thi s request is for 17.95% of the Manatee County Area Transit (MCAT) Paratransit operating deficit of $2,784,250 which is $500,000. As noted, at thi s funding level, MCAT can continue to provide the current level of service.

8. If this grant is not fully funded, can you still proceed with this program?

The program will continue but will not be able to full y meet the number of non-sponsored demand response trip requests. As a result, trip deni als may increase and a procedure for prioritizing trips will be required. It is anticipated that prioritizing trips will impact the ability of some Handy Bus clients to complete their needed everyday life-sustaining activities.

Barriers to Coordination

Based on a review of envi ronmental characteristics and constraints, existing fund ing, and federal, st ate,

and local governmental policies, the following barriers to coordinat ion of transportation services in

Manatee County were identified :

• Limited funding and budget reductions are an issue for MCAT, Medicaid, and social agencies

that provide transportation for thei r clients. The FY2011 and FY2012 FCTD Manatee County

Annual Performance Reports indicate that expenses have exceeded revenues for the provision

of TO services. While the exist ing MCAT Handy Bus expenses already exceed the revenues,

there is a need for addit ional Handy Bus operators and the provision of additional passenger

trips .

• Development patterns are occurring on the east side of the county, where limited or no transit

services are available.

• Currently, MCAT and SCAT systems have adopted fare polices that are not consistent. Therefore,

passengers must pay two different fares when transferring between the systems.

• Inconsistent eligibility processes and different agency trip reimbursement rates creates a lack of

coordination between human services agencies.

• Uncertainty about the TO Trust Fund and local funding constraints create barriers to provid ing

transportation services.

Goals, Objectives, and Strategies

The goals of the TDSP focus on the four major areas identified during the TDSP development process:

funding, coordination, effective and efficient provision of transportation services, and accessing and

transitioning to fixed-route services. The objectives support the completion of the goal. Strategies are

the actions that need to occur to complete the objective and achieve the overall goal. The following

goals, objectives, and strategies have been adopted to guide the provision of ADA and TO services over

the next five years.

Goall: Efficiently and effectively serve the mobility needs of the Transportation Disadvantaged

population in Manatee County within the available funding constraints.

Objective 1.1: Match appropriate transportation services with the identified needs of the TO

population.

Objective 1.2: Maximize the use of the fixed-route system as an alternative to door-to-door

paratransit service.

Objective 1.3: To the extent possible, manage, operate, and maintain transportation services

in a cost-effective manner.

Objective 1.4: Maximize revenue generation through various sources.

Objective 1.5: Explore opportunities to provide incentives to encourage ADA and TD

passengers to transition to the fixed-route system.

Strategies

• Continue to emphasize the availability of fixed-route discount tickets/passes for agencies

and schools.

• Explore the possibility of requiring the use of fixed-route service for all TD non-sponsored

trips having an origin and destination within the fixed-route service area and a person not

incapable of using the system due to physical or mental impairment. Encourage and allow

dual eligibility for TD clients who can also qualify for ADA-funded paratransit trips when trip

origins and destinations are within %-mile of fixed-route service.

• Continue to work with Trapeze Systems for upgrades and improvements to intake/dispatch

and management systems for paratransit service.

• Increase revenue through advertising, promoting the voluntary dollar option on vehicle

registration renewals, fuel tax refunds, etc.

• Conduct a fare analysis to review the potential revenue generation and impacts of a fare

increase for ADA and TD services.

• Conduct a bus pass analysis to review the potential impacts of implementing a Medicaid and

TD bus pass program.

• Annually review the availability of other transportation providers in Manatee County that

may meet existing needs and gaps in transportation services.

• Disseminate Meals on Wheels transportation service information to residents inquiring

about transit services on the east side of the county and passengers with trips that do not

qualify under the TD program.

• Continue to explore multi-loading opportunities such as group trips to major attractors.

Goal 2: Efficiently and effectively coordinate existing and planned transit service for the

Transportation Disadvantaged population in Manatee County and out-of-county.

Objective 2.1: Coordinate inter-county ADA and TD services with surrounding counties, with

special attention to SCAT Plus service.

Object ive 2.2: Explore opportunities to expand the number of agencies that have signed

coordination agreements with the CTC.

Strategies

• Continue intake and screening for mandatory use of fixed-route versus demand response

service.

• Continue to coordinate with large nursing home facilities to group TD trips to grocery stores

and other destinations.

• Review operating and financial information on a monthly basis for completion of the Annual

Operating Report (AOR) and Service Plan.

• Monitor transportation services provided by social service agencies and churches and

identify additional opportunities for coordination and/or vehicle sharing.

• Continue to offer annual training sessions for coordination contractors on reporting data for

the AOR.

• Not ify Coordination Contractors of available TD, FOOT, and Rural Transit Assistance Program

training opportunities.

• Continue to offer technical assistance to agencies in completing and reviewing their

applications for vehicles through the Section 5310 program offered annually by USDOT.

• Establish regularly-scheduled meetings with SCAT to review opportunities for coordination

of transportation services.

• Contact three human services agencies each year to discuss potential coordination contract

agreements.

Goal 3: Provide safe, reliable, timely, and courteous transportation services.

Objective 3.1: Maintain a paratransit fleet that can meet the TD demand and provide quality

service.

Objective 3.2: Provide amenities at bus stops fo r riders using the fixed-route service.

Objective 3.3: Continue ongoing driver training.

Objective 3.4: Maximize customer safety and comfort.

Objective 3.5: Increase avenues for customers to access information on the coordinated

transportation system.

• Review vehicle and equipment information in the AOR and Service Plan and develop

strategies to respond to issues and declining performance measures.

• Maintain an adequate vehicle replacement program for paratransit vehicles and equipment,

with a goal average fleet age offive years.

• Acquire new and upgraded paratransit vehicles and equipment, as funding permits.

• Ensure active and ongoing implementation of the System Safety Program Plan.

• Measure and analyze performance standards as a basis for evaluating quality assurance.

• Implement a passenger shelter program for the placement of shelters at major trip

generators and attractors, including grocery stores, retail locations, and medical facilities.

• Install bus stop benches at an angle that allows the rider to see when the bus is arriving but

also provides the maximum amount of safety.

• Meet with the dialysis centers to provide education on the operations process and how

delays affect the overall system performance.

• Continue to secure funding for five additional operator positions to be hired in 2014.

• Continue to apply for Section 5310 program and Shirley Conroy grant funds for new and

replacement vehicles.

• Explore opportunities to secure funds to increase frequencies to 30 minutes on existing

fixed-route services.

• Continue to train operators to communicate pertinent traffic information or delays to the

dispatchers who will relay the information on a universal channel to all operators.

• Train operators to communicate late connection information to passengers.

• Increase communication between MCAT and SCAT operators and supervisors .

• Meet or exceed the 95 percent on-time performance goal set for CTC service delivery.

• Update the Ride Guide, as necessary.

• Conduct travel training workshops and training to organizations that serve persons with

disabilities.

Goal 4: Encourage land use development patterns that support transit services for the provision of a

more cost-effective and efficient transportation system.

Objective 4.1: Improve local knowledge of the benefits of transit-friendly land uses.

• Encourage the expansion of the development review process to include the consideration of

impacts on the multimodal transportation system and infrastructure.

regulation that encourages transit patronage through transit-oriented development (TOO).

• Support land development regulations that require transit amenities to be provided in new

developments.

Goal 5: Improve pedestrian accessibility to multimodal transportation options in Manatee County.

Objective 5.1: Provide opportunities for ADA and TD passengers to safely access multi modal

transportation options.

Strategies

• Maximize the effective transfer of ADA and TD passengers to the fixed-route system through

the use of functional assessments, travel training, and other efforts to make fixed-route

service accessible to more people .

• Develop incentives, including discounted bus passes, to encourage ADA and TD passengers

to transition to the fixed-route system.

• Use a 100 percent accessible fleet.

• Complete an inventory of existing bus stops and review each stop for possible ADA

accessibility improvements.

• Ensure that new bus stops are accessible to persons with disabilities and meet ADA

Accessibility Guidelines (ADAAG) compliance requirements.

• Implement consistent signage with larger lettering to accommodate persons with visual

impairments.

Implementation Plan

Manatee County's Five-Year Implementation Plan was derived from the goals, objectives, and strategies

described. The implementation schedule includes the strategy/improvement to be implemented, the

responsible party for accomplishment, the anticipated beginning and ending dates, and any known

costs. The costs are derived based on MCAT previous expenses and average industry costs, as

appropriate. The costs shown are for the actual items listed and do not include staff cost related to

implementation. The improvements are presented in Table 20 in chronological order.

STATE OF FLORIDA COMMISSION FOR THE TRANSPORTATION DISADVANTAGED

MEMORANDUM OF AGREEMENT

This Memorandum of Agreement is between the COMMISSION FOR THE TRANSPORTATION DISADVANTAGED, hereby referred to as the "Commission," and Manatee County Board of County Commissioners. 1108 26th Avenue E. Bradenton, Florida, 34208. the COMMUNITY TRANSPORTATION COORDINATOR, designated pursuant to Chapter 427, F.S., to serve the transportation disadvantaged for the community that includes the entire area of Manatee County(ies), and hereafter referred to as the "Coordinator."

This Agreement is made in consideration of the mutual benefits to both parties; said consideration acknowledged hereto by the parties as good and valuable consideration.

The Parties Agree:

I. The Coordinator Shall:

A. Become and remain totally apprised of all of the Transportation Disadvantaged resources available or planned in their designated service area. This knowledge will be used to plan, coordinate, and implement the most cost effective transportation disadvantaged transit system possible under the economic and other conditions that exist in the designated service area.

B. Plan and work with Community Transportation Coordinators in adjacent and other areas of the state to coordinate the provision of community trips that might be handled at a lower overall cost to the community by another Coordinator. This includes honoring any Commission-approved statewide certification program that allows for intercounty transportation opportunities.

C. Arrange for all services in accordance with Chapter 427, Florida Statutes, and Rule 41-2, FAC, and as further required by the Commission and the local Coordinating Board approved Transportation Disadvantaged Service Plan.

D. Return any acquired profits or surplus funds originating through the course of business as the Coordinator that are beyond the amounts(s) specifically identified and approved in the accompanying Transportation Disadvantaged Service Plan. Such profits or funds shall be returned to the Coordinator's transportation system or to any subsequent Coordinator, as a total transportation system subsidy, to be applied to the immediate following operational year. The Coordinator will include similar language in all coordination contracts to assure that transportation disadvantaged related revenues are put back into transportation disadvantaged services.

E. Accomplish this Project by:

1. Developing a Transportation Disadvantaged Service Plan for approval by the local Coordinating Board and the Commission. Coordinators who are newly designated to a particular service area shall submit a local Coordinating Board approved Transportation Disadvantaged Service Plan, within 120 calendar days following the execution of the Coordinator's initial memorandum of agreement with the Commission, for approval by the Commission. All subsequent Transportation Disadvantaged Service Plans shall be submitted and approved with the corresponding memorandum of agreement. The approved Transportation Disadvantaged Service Plan will be implemented and monitored to provide for community-wide transportation services for purchase by non-sponsored transportation disadvantaged persons, contracting social service agencies, and other entities that use local, state, or federal government funds for the purchase of transportation for the transportation disadvantaged.

2. Maximizing the use of available public school transportation resources and public fixed route or fixed schedule transit services and assuring that private or public transit, paratransit operators, and school boards have been afforded a fair opportunity to participate to the maximum extent feasible in the planning process and in the development of the provisions of the Transportation Disadvantaged Service Plan for the transportation disadvantaged.

3. Providing or arranging 24-hour, 7 -day per week transportation disadvantaged service as required in the designated service area by any Federal, State or Local Government agency sponsoring such services. The provision of said services shall be furnished in accordance with the prior notification requirements identified in the local Coordinating Board and Commission approved Transportation Disadvantaged Service Plan.

4. Complying with all local, state, and federal laws and regulations that app!y to the provision of transportation disadvantaged services.

5. Submitting to the Commission an Annual Operating Report detailing demographic, operational, and financial data regarding coordination activities in the designated service area. The report shall be prepared on forms provided by the Commission and according to the instructions of said forms.

F. Comply with Audit and Record Keeping Requirements by:

1. Utilizing the Commission recognized Chart of Accounts defined in the Transportation Accounting Consortium Model Uniform Accounting System for Rural and Specialized Transportation Providers (uniform accounting system) for all transportation disadvantaged accounting and reporting purposes. Community Transportation Coordinators with existing and equivalent accounting systems are not required to adopt the Chart of Accounts in lieu of their existing Chart of Accounts but shall prepare all reports, invoices, and fiscal documents relating to the transportation disadvantaged functions and activities using the chart of accounts and accounting definitions as outlined in the above referenced manual.

2. Assuming the responsibility of invoicing for any transportation services arranged, unless otherwise stipulated by a purchase of service contract or coordination contract.

3. Maintaining and fi ling with the Commission, local Coordinating Board, and all purchasing agencies/entities such progress, fiscal, inventory, and other reports as those entities may require during the period of this Agreement.

4. Providing copies of finance and compliance audits to the Commission and local Coordinating Board as requested by the Commission or local Coordinating Board.

G. Retain all financial records, supporting documents, statistical records, and any other documents pertinent to this Agreement for a period of five {5) years after termination of this Agreement. If an audit has been initiated and audit findings have not been resolved at the end of five (5) years, the records shall be retained until resolution of the audit findings. The Coordinator shall assure that these records shall be subject to inspection, review, or audit at all reasonable times by persons duly authorized by the Commission or this Agreement. They shall have full access to and the right to examine any of the said records and documents during the retention period.

H. Comply with Safety Requirements by:

1. Complying with Section 341 .061, F.S., and Rule 14-90, FAC, concerning System Safety; or complying with Chapter 234.051, F.S., regarding school bus safety requirements for those services provided through a school board; and

2. Assuring compliance with local, state, and federal laws, and Commission policies relating to drug testing. Conduct drug and alcohol testing for safety sensitive job positions within the coordinated system regarding pre-employment, randomization, post-accident, and reasonable suspicion as required by the Federal Highway Administration and the Federal Transit Administration.

I. Comply with Commission insurance requirements by maintaining at least minimum liability insurance coverage in the amount of $200,000 for any one person and $300,000 per occurrence at all times during the existence of this Agreement for all transportation services purchased or provided for the transportation disadvantaged through the Community Transportation Coordinator. Upon the execution of this Agreement, the Coordinator shall add the Commission as an additional named insured to all insurance policies covering vehicles transporting the transportation disadvantaged. In the event of any cancellation or changes in the limits of liability in the insurance policy, the insurance agent or broker shall notify the Commission. The Coordinator shall insure that contracting transportation operators and coordination contractors also maintain the same minimum liability insurance, or an equal governmental insurance program. Insurance coverage in excess of $1 million per occurrence must be approved by the Commission and the local Coordinating Board before inclusion in the Transportation Disadvantaged Service Plan or in the justification of rates and fare structures. Such coverage may be provided by a self-insurance program established and operating under the laws of the State of Florida and written verification of insurance protection in accordance with Section 768.28, Florida Statutes, shall be provided to the Commission upon request.

J. Safeguard information by not using or disclosing any information concerning a user of services under this Agreement for any purpose not in conformity with the local, state and federal regulations (45 CFR, Part 205.50), except upon order of a court, written consent of the recipient, or his/her responsible parent or guardian when authorized by law.

K. Protect Civil Rights by:

1. Complying with state and federal laws including but not limited to laws regarding discrimination on the basis of sex, race, religion, age, disability, sexual orientation, or national origin. The Coordinator gives this assurance in consideration of and for the purpose of obtaining federal grants, loans, contracts (except contracts of insurance or guaranty), property, discounts, or other federal financial assistance to programs or activities receiving or benefiting from federal financial assistance and agreeing to complete a Civil Rights Compliance Questionnaire if so requested by the Commission.

2. Agreeing that compliance with this assurance constitutes a condition of continued receipt of or benefrt from federal financial assistance, and that it is binding upon the Coordinator, its successors, subcontractors, transferee, and assignees for the period during which such assistance is provided. Assure that all operators, subcontractors, subgrantee, or others with whom the Coordinator arranges to provide services or benefits to participants or employees in connection with any of its programs and activities are not discriminating against those participants or employees in violation of the above statutes, regulations, guidelines, and standards. In the event of failure to comply, the Coordinator agrees that the Commission may, at its discretion, seek a court order requiring compliance with the terms of this assurance or seek other appropriate judicial or administrative relief, to include assistance being terminated and further assistance being denied.

l. To the extent allowed by Section 768.28, Florida Statutes, and only to the monetary and other limitations contained therein, indemnify and hold harmless the Commission and all of the Commission's members, officers, agents, and employees; purchasing agency/entity officers, agents, and employees; and the local, state, and federal governments from any claim, loss, damage, cost, charge or expense arising out of any act, action, neglect or omission by the Coordinator during the performance of this Agreement, whether direct or indirect, and whether to any person or property to which the Commission or said parties may be subject, except that neither the Coordinator nor any of its sub-contractors will be liable under this section for damages arising out of injury or damage to persons or property directly caused or resulting from the sole negligence of the Commission or any of its members, officers, agents or employees; purchasing agency/entity, officers, agents, and employees; and local, state, or federal governments. Nothing herein is intended to serve as a waiver of sovereign immunity by any agency/entity or Coordinator to which sovereign immunity may be applicable. Nothing herein shall be construed as consent by a state agency/entity or political subdivision of the State of Florida or the federal government to be sued by third parties in any matter arising out of any Agreement or contract. Notwithstanding the foregoing, pursuant to Section 768.28, Florida Statutes, no agency or subdivision of the state shall be required to indemnify, insure, or assume any liability for the Commission's negligence.

M. Comply with standards and performance requirements of the Commission, the local Coordinating Board approved Transportation Disadvantaged Service Plan, and any purchase of service contracting agencies/entities. Failure to meet the requirements or obligations set forth in this MOA, and performance requirements established and monitored by the local Coordinating Board in the approved Transportation Disadvantaged Service Plan, shall be due cause for non-payment of reimbursement invoices until such deficiencies have been addressed or corrected to the satisfaction of the Commission.

N. Comply with subcontracting requirements by executing or negotiating contracts for transportation services with Transportation Operators and Coordination Contractors, and assuring that the conditions of such contracts are maintained. The requirements of Part 1, Paragraph E.S. through M are to be included in all contracts, subcontracts, coordination contracts, and assignments made by the Coordinator for services under this Agreement. Said contracts, subcontracts, coordination contracts, and assignments will be reviewed and approved annually by the Coordinator and local Coordinating Board for conformance with the requirements of this Agreement.

0. Comply with the following requirements concerning drivers and vehicles:

1. Drivers for paratransit services, including coordination contractors, shall be required to announce and identify themselves by name and company in a manner that is conducive to communications with the specific passenger, upon pickup of each rider, group of riders, or representative, guardian, or associate of the rider, except in situations where the driver regularly transports the rider on a recurring basis. Each driver must have photo identification that is in view of the passenger. Name patches, inscriptions or badges that affix to driver clothing are acceptable. For transit services, the driver photo identification shall be in a conspicuous location in the vehicle.

2. The paratransit driver shall provide the passenger with boarding assistance, if necessary or requested, to the seating portion of the vehicle. The boarding assistance shall include opening the vehicle door, fastening the seat belt or utilization of wheelchair securement devices, storage of mobility assistive devices, and closing the vehicle door. In certain paratransit service categories, the driver may also be required to open and close doors to buildings, except in situations in which assistance in opening/closing building doors would not be safe for passengers remaining on the vehicle. Assisted access must be in a dignified manner. Drivers may not assist wheelchair up or down more than one step, unless it can be performed safely as determined by the passenger, guardian, and driver.

3. All vehicles shall be equipped with two-way communications in good working order and be audible to the driver at all times to the base.

4. All vehicles providing service within the coordinated system, shall have working air conditioners and heaters in each vehicle. Vehicles that do not have a working air conditioner or heater will be scheduled for repair or replacement as soon as possible.

P Comply with other requirements as follows:

1. Transport an escort of a passenger and dependent children as locally negotiated and identified in the local Transportation Disadvantaged Service Plan.

2. Determine locally in the Transportation Disadvantaged Service Plan, the use, responsibility, and cost of child restraint devices.

3. Transport with the passenger at no additional charge, passenger property that can be carried by the passenger and/or driver in one trip and can be safely stowed on the vehicle. Additional requirements may be negotiated for carrying and loading rider property beyond this amount. Passenger property does not include wheelchairs, child seats, stretchers, secured oxygen, personal assistive devices, or intravenous devices.

4. Provide shelter, security, and safety of passengers at vehicle transfer points.

5. Post a local or other toll-free number for complaints or grievances inside each vehicle. The local complaint process shall be outlined as a section in the local Transportation Disadvantaged Service Plan including advising the dissatisfied person about the Commission's Ombudsman Program as a step within the process as approved by the local Coordinating Board.

6. Provide out-of-service-area trips, when determined locally and approved by the local Coordinating Board, except in instances where local ordinances prohibit such trips.

7. Keep interior of all vehicles free from dirt, grime, oil, trash, tom upholstery, damaged or broken seats, protruding metal or other objects or materials which could soil items placed in the vehicle or provide discomfort for the passenger.

8. Determine locally by the local Coordinating Board and provide in the local Transportation Disadvantaged Service Plan the billing requirements of the Community Transportation Coordinator. All bills shall be paid to subcontractors within 7 calendar days after receipt of said payment by the Coordinator, in accordance with Section 287.0585, Florida Statutes.

9. Maintain or have access to a passenger/trip database on each rider being transported within the system.

10. Provide each rider and escort, child, or personal care attendant adequate seating for paratransit services. No more passengers than the registered passenger seating capacity shall be scheduled or transported in a vehicle at any time. For transit services provided by transit vehicles, adequate seating or standing space will be provided to each rider and escort, child, or personal care attendant, and no more passengers than the registered passenger seating or standing capacity shall be scheduled or transported in a vehicle at any time.

11. First Aid shall be determined locally and provided in the local Transportation Disadvantaged Service Plan.

12. Cardiopulmonary Resuscitation shall be determined locally and provided in the local Transportation Disadvantaged Service Plan.

II. The Commission Shall:

A. Recognize the Coordinator as the entity described in Section 427.011(5), Florida Statutes, and Rule 41-2.002(4), F.A.C.

B. Attempt to insure that all entities with transportation disadvantaged funds will purchase transportation disadvantaged services through the Coordinator's system.

Ill. The Coordinator and the Commission Further Agree: ·

A. Nothing in this Agreement shall require the Commission to observe or enforce compliance with any provision thereof, perform any other act or do any other thing in contravention of any applicable state law. If any of the provisions of this Agreement is found by a court of law to violate any applicable state law, the purchasing agency/entity will at once notify the Commission in writing in order that appropriate changes and modifications may be made by the Commission and the Coordinator to the end that the Coordinator may proceed as soon as possible with the provision of transportation services.

B. If any part or provision of this Agreement is held invalid, the remainder of this Agreement shall be binding on the parties hereto.

C, Termination Conditions:

1. Termination at Will - This Agreement may be terminated by either party upon no less than thirty (30) days notice, without cause. Said notice shall be delivered by certified mail, return receipt required , or in person with proof of delivery.

2. Termination for Breach - Unless the Coordinator's breach is waived by the Commission in writing, the Commission may, by written notice to the Coordinator, terminate this Agreement upon no less than twenty-four (24) hours notice. Said notice shall be delivered by certified mail, return receipt requested, or in person with proof of delivery. Waiver by the Commission of breach of any provision of this Agreement shall not be deemed to be a waiver of any other breach and shall not be construed to be a modification of the terms of this Agreement, and shall not act as a waiver or estoppel to enforcement of any provision of this Agreement The provisions herein do not limit the Commission's right to remedies at law or to damages.

0. This agreement .will expire unless an extension is granted to the Coordinator in writing by the Commission, in accordance with Chapter 287, Florida Statutes.

E. Renegotiations or Modifications of this Agreement shall only be valid when they have been reduced to writing, duly approved by the Commission, and signed by both parties hereto.

F. Notice and Contact:

Action Requested Adoption of Resolution R-16-175 which authorizes the execution and submittal of capital and operating assistance grant applications to the Florida Department of Transportation (FDOT) for FY2017/18 Federal Transit Administration (FTA) Section 5310 Funding. Enabling/Regulating Authority Chapter 341, Florida Statutes; Rule 41-2, Florida Administrative Code; Plan 6.0 Mass Transit Element. Background Discussion

● The Federal Transit Administration (FTA) Section 5310 Formula Grant Program is a FTA program which provides funding to support transportation services to meet the special needs of the elderly and persons with disabilities.

● The 5310 grants are used by Manatee County for capital and/or operational expenditures to support MCAT Paratransit (i.e. Handy Bus) services. The FDOT serves as the "Designated Recipient" for the FTA Section 5310 Program and eligible applicants must apply to the FDOT for FTA Section 5310 program funding.

● The MCAT FY 2017/18 capital assistance application is a request for three (3) replacement Paratransit/Handy Bus vehicles to replace existing vehicles, at the conclusion of their useful life. The total capital cost is $345,458, which reflects a cost sharing comprised of $276,366 in FTA funding (80%); FDOT, $34,546 (10%); and Manatee County Transit, $34,546 (10%).

● The FY 2017/18 Section 5310 operating assistance application is a request for operational assistance funding with a total value of $500,000 to support the Paratransit/Handy Bus service provision. The total dollar value reflects a cost sharing with FTA comprised of $250,000 (50%) and local share (50%) required to meet grant criteria. The local funding budgeted for Paratransit operations is used for the Manatee County share of costs. Typically, the local share is offset by in-kind eligible expenditures (i.e. Paratransit Operator salaries).

● The FTA operating funding awarded to Manatee County has ranged between $156,000 and $271,000, beginning with the FY 2014/15 grant award. Typically, capital funding is the FDOT funding priority. Any operating assistance grant award will be utilized for Handy Bus operating expenses.
