SUBJECT OF THIS AGREEMENT

This agreement describes the provision of � rooms for conferences, meetings and banquets � hotel rooms � further required services

by Hotelbusiness Zug AG for a given event. RESPONSIBILITIES OF THE EVENT ORGANIZER

NUMBER OF PARTICIPANTS

Please note that we will invoice you for the number of participants which you informed us of. We gladly receive changes to the number of participants up through 12:00 noon on the day preceding your event. LAST-MINUTE CHANGES

In case of later cancellations we offer the following reductions: � Events up to 50 people: max. 3 cancellations free of � Events of 51 to 100 people: max. 6 cancellations free of charge.� Events of over 100 people: max. 10 cancellations free of charge.

RESERVATION OF HOTEL ROOMS

If hotel rooms are required in conjunction with an event, the Hotelbusiness Zug AG must receive the definitive list of required rooms five days prior to the event. In case the event organizer overbooks the agreed number of rooms, Hotelbusiness Zug AG reserves the right to dislodge the guests to an equivalent hotel at the expense of the event organizer. PAYMENT CONDITIONS

The invoiced amount falls due 30 days from the invoice date. Interest on late payments shall be charged at 5%. Hotelbusiness Zug AG reserves the right to request an appropriate prepayment at the time of contract signing or any other agreed point of time. LIABILITY FOR PAYMENT

If the purchaser and the event organizer are not the same person, the purchaser shall be jointly liable with the organizer for the entire invoice

amount. This liability also includes any additional goods and services used by event attendees unless direct payment was explicitly agreed. CONTRACT CANCELLATION BY THE EVENT ORGANISER

The event organizer agrees to pay the following costs in case of cancellation: CANCELLATION OF SEMINAR AND BANQUET ROOMS

� 40 - 50 days prior to the planned event: 30% of the booked services� 30 - 39 days prior to the planned event: 50% of the booked services� 11 - 29 days prior to the planned event: 70% of the booked services� 0 - 10 days prior to the planned event: 100% of the booked services

CANCELLED HOTEL ROOMS

� For reservations of 10 to 20 rooms, up to 10 days prior to arrival:Free of charge.

� For reservations as from 20 rooms, up to 19 days prior to arrival:Free of charge.

� From the written option date until the 5th day prior to scheduled arrival: 50% of the room rate.

� From the 5th to the 3rd day prior to arrival: 75% of the room rate.� From the 3rd day previous until the day of arrival: 100% of the room

rate. These cancellation conditions are valid for the entire booking duration.

SURROGATE TENANT

If a surrogate tenant can be found for the above mentioned rooms, the event organizer will be released from the duty of replacement. However the event organizer will be liable for any service provided.
