9:30 am Thursday, July 23rd, 2015 Present: Dave McGarrah, Spencer Aggus, Seth Dermott, John Yaple, Ron Franklin, Chris Nickle, Jennifer Reaves, Judy Lowe, Brandi Haddock, Danny Ross, and Carol Ferguson. Staff Present: Kim Cox Roll call was taken by sign in. Meeting was called to order by Dave McGarrah, President. Motion was made to approve the minutes from the June BOD meeting. Motion was made to approve Agenda as emailed.

Received financials for June 2015 as emailed. Motion made and approved to accept financials for June 2015. Motion made to approve spending up to $600 for an upgrade to OGAR’s website, to be mobile responsive. Motion made to approve a $250 donation to Art Feeds Children’s Program and be a recognized sponsor. Discussed auction properties; Motion made to approve a way to “highlight” auction listings within the MLS for agents to see. Motion made to add this verbiage to the MLS Rules and Regs: “If a listing is subject to online auction sites you must select “Yes”, for auction in the MLS”.

In receipt of MREC complaint confirmation for non-Missouri licensee with Joplin listing. VOW’s; Kim has second conference call with NAR attorney Ralph Holman on August 4th, and Joe Denkler of MREC.
Spencer Aggus, President-Elect’s Report
Strategic Planning – No meeting this month. Finished for the year. Program & Events –No meeting this month. Governing Documents – Reviewed minutes. All recommendations/motions as listed below were approved and seconded:
a. Recommendation to add this to the Association Executive Duties in Policy Manual. b. Recommendation made to ask Flex to separate the “Withdrawn(s)” into “Withdrawn w/Conditions” and “Withdrawn w/o Conditions” and leave “Cancelled”, also asking them to leave them there indefinitely; removing the 3 year rule of being purged from the system; change any rules in MLS Rules & Regs or Policy re-garding this change of time frame. c. Policy addition: Recommendation to add verbiage from NAR: “LFRO is for REALTORs that have separate referral companies on the side to send in a list of names of their licensees once a year; NAR uses this to monitor that these agents are not acting as REALTORS but just as licensed agents doing referrals; these agents should NOT show up in NAR’s member database as active. d. Sold Signs recommendation to update verbiage to: “sold…shall mean that the title to the real estate has been transferred or that the real estate has come subject to a bona fide sale contract or purchase agreement”. A “note” will be added to this section: As to the question of when a sold sign may be used, the time frame will begin when that arms-length sale contract exists. It does NOT say that the licensee can post the sold sign regardless of what the seller says – common courtesy (and probably fiduciary/statutory duties) would say that a seller can direct when the sold sign gets posted and a licensee should get the consensus of the seller that a sold sign should/can be posted. While it’s not required by anything in MREC Statute or other parts of the license law, it would always be better to have something in writing rather than not. e. Recommendation to update Policy and Bylaws to ask that membership applicants apply in person; at least one photo taken for the listing MUST be taken by the Listing Agent or another licensed agent in that office; all square footages on the agent’s listings MUST be measured by the Listing Agent or another licensed agent in that office. f. Recommendation to change verbiage from “Seller’s Concession” to “Buyer’s closing costs paid by seller” in MLS Rules and Regs. g. Recommendation to delete the entire section about Sold Books, in MLS Rules and Regs, as we no longer have them as an option. h. Recommendation to remove the line “if allowable, to purchase comparable statistical information books quarterly at a cost determined by the BOD” out of the Bylaws as this is no longer an option. i. Recommendation to change Bylaws Section 3: Dues for new members shall be computed from the first day of the month in which a member is notified of elec-tion and shall be prorated for the remainder of the year. j. Recommendation to change Bylaws Section 4: Change the word membership to member services; as they are different things. k. Recommendation to change that the President appoints an election committee of three AFFILIATE Realtors members to conduct the election. l. Recommendation to remove MREF from Bylaws; as this committee no longer exists at MR. m. Recommendation to add verbiage change as written: “The Board of Directors Association shall cause MLS established by it pursuant to this Article to conform its corporate charter, constitution, bylaws, rules, regulations, policies, practices and procedures at all times to the Constitution, Bylaws, Rules and Regs and Policies of the National Association of REALTORS” in Bylaws. n. Recommendation to approve any MLS Rules and Regs data be moved from Bylaws to MLS Rules & Regs to eliminate duplication in all of OGAR’s governing docs. o. Recommendation that the word Association be changed to “Association(s) throughout Bylaws to cover both the singular form and plural forms of the word. p. Recommendation is to change the verbiage on the Key Lease Agreement to: In the event this agreement shall be faithfully kept, the Key Card/Electronic Lock Box deposit shall be refunded to the Broker for any outstanding balances owed. All lockboxes registered to the agent MUST be returned to the MLS within 15 days. q. Recommendation to change “Sentrilock” or “Electronic” verbiages to “Association-Owned” keyboxes in all governing docs.
Auction Task Force – Committee met yesterday. Two motions brought forward for approval: Discussed auction listings; Motion made to approve a way to “highlight” auction listings within the MLS for agents to see. Motion made to add this verbiage to the MLS Rules and Regs: “If a listing is subject to online auction sites you must select “Yes”, for auction in the MLS”.
Membership & Community Services – See attached minutes. A motion was made and seconded to approve the conditional memberships as listed below. Seth Dermott, Vice President’s Report Awards – No meeting this month. RPAC – No meeting this month. RPAC stats came out though and OGAR met 3 out of the 4 goals. Technology & Teaching – No meeting this month; however, they did hold an RPR class, taught by Forrest Stodghill. Nominating – No meeting this month.
Recurring Business: Accounts past due presented.
New Business:
More discussion was had regarding the sale of sold books to affiliates as a request from several affiliates; After further review, the ruling stays the same: No longer will OGAR make available any sold data for affiliates, you MUST be a Realtor or an Appraiser to obtain sold data from within the MLS; books are no longer an option to anyone.
Carthage Board of Realtors contributed funds to OGAR after their dissolving, the funds are to be spent on education only. All the above motions passed with majority vote. Meeting adjourned.
