1. Minutes Part 1 of the Minutes of the meeting of the Council held on 10 April 2018 was confirmed. 2. Disclosures of Interest There were no disclosures by a member of Council for any items on the

agenda. 3. Senate The Council received Communications from the Senate, dated 18 April

2018 and 30 May 2018, and APPROVED recommendation relating to: (a) Academic Programmes;

(b) Academic Dress Statute 2011 amendment; (c) New International Agreements and Renewal of Existing International

Agreements.

4. Finance and Budget Committee The Council received

5. International Student Tuition Fees for 2018

The Council received recommendations from the Deputy Vice-Chancellor (External Engagement), for International Student Tuition Fees for 2019, dated 26 April 2018 and

APPROVED (i) the schedule of 2019 international fees for all international students;

(ii) any new subjects not included in the schedule to have a fee assigned

that is consistent with the same subjects in the domestic funding category.

6. Capital Development Committee

The Council received

(i) Part 1 of the Minutes of the meeting of the Capital Development Committee held on 22 May 2018;

(ii) a Capital Development Project Report for the period ended 30 April 2018.

7. Vice-Chancellor’s Business

The Council received a report from the Vice-Chancellor, dated 7 June 2018, highlighting topical issues, Divisional updates, volunteering, events, speaking engagements and awards received by staff and students. In addition the Vice-Chancellor commented on the following: Winter Symposia

The Vice-Chancellor will attend the University’s Winter Symposia event being hosted by the Hon David Clarke at Parliament on 13 June 2018. The format for the event is a conversation with Professors Tony Ballantyne and Robert Patman to be facilitated by journalist Guyon Espiner.

World’s Challenge Challenge

The University of Otago team, representing New Zealand, have won this competition in Canada where they competed against 15 teams from eight different countries.

8. Chancellor’s Business

Visit to the University by the Prime Minister of Samoa on 5 June

2018.

The main criteria for selection of students for available places in papers and programmes with limitations on enrolment shall be academic merit and suitability for the paper or programme. The following criteria have been deemed not to require special approval:

1. Additional selection criteria and processes as outlined in programme regulations (which have previously been approved by Senate).

2. Additional selection criteria falling under the standing approval provisions of clause 3(d) in the Limitation of Enrolment for Specific Papers andProgrammes Procedure

3. Additional selection criteria which fall under suitability for the course, including:- Enrolment or intended Enrolment in a type of programme where relevant (e.g. preference for students enrolled in a research programme for alimited Enrolment research methods paper)

PREAMBLE The Scholarships and Prizes Committee has recommended the following new and amended prizes and scholarships and disestablished scholarship to proceed to the Senate for consideration. 1. NEW PRIZE

a) Sebastian Glasson Memorial Prize

• Department: Philosophy • Value: $500 • Background: To be established in memory of Sebastian (Buster) Girard

Riwai Glasson, an exceptional student of Philosophy, Politics and Economics. Sebastian earned a Bachelor of Arts (2015) and a Bachelor of Arts with Honours First Class (2016). He was pursuing a Master's degree in Philosophy when he died in 2017.

Sebastian Glasson Memorial Prize

Established in 2018 in memory of Sebastian (Buster) Girard Riwai Glasson, an exceptional student of Philosophy, Politics and Economics (PPE). Sebastian earned a Bachelor of Arts (2015) and a Bachelor of Arts with Honours First Class (2016) in PPE. He was pursuing a Master of Arts degree in Philosophy when he died in 2017. Sebastian's work was characterised by extraordinary intellectual curiosity and keen persistence in the pursuit of truth. The Prize will be awarded annually to the Philosophy, Politics, and Economics student who writes the best essay in a 300-level paper in the major. Nominations will be solicited from staff in October of each year and the prize awarded later that year.

• Department: Otago Medical School • Value: $5,000 • Background: The Barbara Heslop Memorial Scholarship was established in

2014 in memory of the late Professor Barbara Heslop who graduated from Otago Medical School in 1948 and had a forty year career at Otago in the Departments of Pathology and Surgery, specialising in transplantation research. The purpose of the scholarship is to assist students (New Zealand Citizens or Permanent Residents) by providing stipends and/or fees for one-year research degrees – BMedSc(Hons) for medical students, BSc(Hons) or BBiomedSc(Hons) students. Biomedical Science with Honours, or Bachelor of Science with Honours studying a Pathology or Immunology discipline within a department of the Otago Medical School at any of its three main campuses (Christchurch, Dunedin, Wellington).

Value The scholarship comprises a $5,000 stipend and the coverage of tuition fees for one year. Tuition fees will be paid at the beginning of the course, and a stipend will then be paid monthly for ten months. The final stipend payment will be paid after the thesis is submitted. Tenure

• The scholarship will be held for one year while the candidate is enrolled in the Honours degree.

• The scholarship must be taken up in the year for which it is awarded.

Publicity The University of Otago reserves the right to use the names, photographs and details of successful applicants for the purposes of advertising and publicity. The scholarship holder must agree to be reasonably available to participate in interviews and promotional activities if requested by the University. Application and Selection Process Candidates will be invited to apply after approval for admission to the Honours degree. Every candidate must submit an application with a covering letter explaining career aspirations, and a CV by 1st October in the year prior to commencement of their Honour’s study. The Selection Panel will convene to determine the award of the scholarship in mid-October each year.

The selection panel, which will comprise the:

• Dean of the Otago Medical School • Dean of the Dunedin School of Medicine • Dean of the School of Biomedical Sciences • Dean of the University of Otago Christchurch • Dean of the University of Otago Wellington

or their nominees, shall consider the following factors in awarding the Scholarship: • the candidate’s previous academic results, and • the candidate’s potential to succeed in their proposed career path.

b) The Brian Hardy Memorial Scholarship

• Department: Otago Medical School • Value: $5,000 • Background: Professor Brian Eric Hardy graduated from the University of

Otago Medical School in 1964 and died in January 2013. He completed his surgical training in Dunedin, spending considerable time in immunological research with Dr Barbara Heslop. He subsequently completed a urological fellowship at the University of California Los Angeles and a further fellowship at the Peter Bent Brigham Hospital and the Boston’s Children’s Hospital. His first academic appointment was at the University of Toronto Sick Children’s Hospital. During his 30 year career as Chief of the Division of Paediatric Urology at the Los Angeles Children’s Hospital he built his division into one of the leading paediatric urological programmes in the United States. Many of his contributions were not well known in New Zealand but he retained a firm commitment to the country and his educational heritage. 3. AMENDED PRIZES

a. Spirit of RMIP Prize

• Department: General Practice and Rural Health, Dunedin School of

Medicine, Otago Medical School, Division of Health Sciences • Value: $500 • Background: The amendment reflects a change in sponsorship arrangements

with Mobile Surgical Services declining further financial support and Dr Branko Sijnja, Course Director Rural Medical Immersion Programme (RMIP) agreeing to fund the prize. Additional changes clarify eligibility and awarding criteria, particularly around discretion to award only if candidates are of sufficient merit and that the prize may be held concurrently with other awards.

Sciences Current Regulations

Mobile Health Prize for the student who best exemplifies the value of the Rural Medical Immersion Programme (RMIP) Established in 2014 by the University Council to recognise the fifth-year MB ChB student who best exemplifies the values of the Rural Medical Immersion Programme. Funding for the prize is provided by Mobile Surgical Services New Zealand Limited trading as Mobile Health. Mobile Health collaborates with RMIP in teaching fifth-year medical students immersed in rural communities through facilitating access to distance learning and surgical services that it provides for rural communities.

The Mobile Health Prize for the student who best exemplifies the values of the Rural Medical Immersion Programme is awarded by the University Council on the recommendation of the Director of the Rural Medical Immersion Programme to the student who has been nominated by the regional coordinators of the programme and selected by a majority decision of the RMIP Curriculum Subcommittee. The values to be recognised for this award are a commitment to self-directed learning, immersion in the rural community, contribution to small group learning and a high standard of academic achievement.

Amended Regulations Spirit of RMIP Prize Established in 2014 as the Mobile Health Prize and amended in 2017 to the Spirit of RMIP Prize to reflect a change of sponsorship, the prize recognises the student who best exemplifies the values of the Rural Medical Immersion Programme. The RMIP is aimed at providing opportunity for students to learn through experiential encounters while immersed for the whole academic year in a rural community. The prize is awarded annually by the University on the recommendation of the Director of the Rural Medical Immersion Programme to a 5th year MB ChB student who has been nominated by the regional coordinators of the programme and selected by a majority decision of the RMIP Curriculum Subcommittee. The Awardee shall be deemed to best exemplify the values of the RMIP. The values to be recognised for this award are a commitment to self-directed learning, immersion in the rural community, contribution to small group learning and a high standard of academic achievement. An award will not be made in any year in which there are no candidates of sufficient merit. The Award may be given concurrently with other awards. The prize is valued at $500.

b) Critchlow Associates Prize in Surveying • Department: School of Surveying • Value: $500 • Background: This application amends the name of the award. It also deletes a

restriction whereby only BSurv students can be the recipient of this prize. The Prize will now be awarded to a specific GIS paper that is a core (or list elective) paper for Surveying degrees. As a result more students will be eligible for the award.

Amended Regulations Critchlow Prize in Surveying Established in 1998 by Critchlow Associates, a Geographic Information Systems consulting company, founded by a former Surveying Graduate of the University of Otago, Mr S I Critchlow. The prize is awarded annually by the University Council on the recommendation of the Pro-Vice-Chancellor (Sciences), after consultation with the Dean of the School of Surveying to the student who attains the highest standard of achievement in SURV319 Spatial Analysis and Programming.

c) Harrison Grierson Prize in Surveying • Department: School of Surveying • Value: $750 • Background: This prize was established in 2001. There have been

amendments made to the School’s curriculum since that time, where paper names and numbers have changed. The amendments correct the papers named so they align with the current curriculum.

Harrison Grierson Prize in Surveying Established in 2001 by Harrison Grierson Consultants Limited to support and encourage the pursuit of excellence in surveying in the School of Surveying at the University of Otago. The prize is awarded by the University Council on the recommendation of the Dean of the School of Surveying in consultation with Harrison Grierson Consultants Limited, to the student enrolled for the Bachelor of Surveying or the Bachelor of Surveying with Honours, who gains the highest aggregate mark in either PMAN401 (Project Management), SURV425 (Advanced Urban Design) or SURV418 (Professional Studies), SURV421 (Advanced Survey Methods) and SURV427 (Advanced Cadastral Surveying).

4. AMENDED SCHOLARSHIPS

a) Chris Burks Memorial Bursary at the University of Otago • Department: Campus and Collegiate Life Services • Value: $3,000 • Background: An amendment is required to the original regulations due to

confusion over referee requirements. Over time the requirement for an academic referee has changed to naming two nominated referees. The regulations state that “Candidates should also ensure that their two referees send their confidential references to the Doctoral and Scholarships Office”. This process is no longer required by the selection panel; however, provision of the names for two nominated referees remains a requirement. The position of the “Application Process” section has also been moved from page one to the end of the proposed amended regulations.

Chris Burks Memorial Bursary at the University of Otago Christopher George Burks (1973-1999) was a student at Carrington College from 1992 until 1996. Chris was Vice President of the Students’ Association from 1993 to 1995 and President in 1996. He graduated from the University of Otago in 1996 with a BSc in Information Science and in 1997 with a BA in Psychology. Throughout his time at Carrington College Chris put himself second. His commitment first and foremost was to the Hall and all other residents. This generous spirit earned him the respect of both staff and students who came to realise his motives and actions were unselfish and always for the good of the Carrington community. Carrington College and the University of Otago are pleased to be able to offer this award to assist second year students with their academic progress at the University of Otago.

Eligibility Candidates must be: In their second year of residence at Carrington College Considered to have made an exceptional contribution to the welfare of other

students of Carrington College Enrolled full time for a first undergraduate degree at the University of Otago Under 25 years of age on the first day of February in the year of application

History of contribution to other student’s welfare, personality, and academic and leadership qualities will be the primary criteria by which recipients are selected.

The bursary may be held for one year only. The selection panel may, in exceptional circumstances, consider an extension of the award to more than one year provided that the scholar continues to be resident at Carrington College and makes satisfactory progress in all respects. This progress must include passing a minimum of 108 points each year unless there are mitigating factors that the Selection Panel may consider.

Each bursary must be taken up in the year in which it is awarded. The Chris Burks Memorial Bursary may be held concurrently with another award,

with approval of the Selection Panel.

Requirements

The scholarship holder must: Agree to participate in the University of Otago mentoring programme Agree to act as a role model for his/her College community during the tenure of

the bursary Submit a report on the progress of his/her studies to the Undergraduate

Scholarships Officer by 1 December of the year they hold the bursary.

Current Regulations

5. DISESTABLISHED SCHOLARSHIP

a) The Buddha’s Light International Association South Island New Zealand Scholarship • Department: Graduate Research School • Value: $3,000 • Background: Established in 2016 by the University of Otago Council from

donations by Fo Guang Shan Buddhist Temple Christchurch and the Buddha’s Light International Association (BLIA), an affiliate of Fo Guang Shan Buddhist Order, founded by Venerable Master Hsing Yun in 1967. The scholarship was created to promote the values of Humanistic Buddhism through cultural development, education, and charity and Buddhist practice and recognises students who show acts of compassion and service to others. The donor organisation has advised it will no longer support the scholarship.

This report provides a commentary on the University’s financial performance and cash flows for the period ended 31 May 2018, and the University’s financial position at that date.

The report and the attached management accounts relate to the financial performance and financial position of the University (as distinct from the consolidated University group) for the period ended 31 May 2018.

The operating surplus for the five months ended 31 May 2018 was $116.7 million, which was $5.8 million higher than the budgeted surplus of $110.9 million. The graph below shows the new surplus pattern through the year following the changes made to revenue being recognised as the students enrol, rather than being spread evenly throughout the year. The year end budgeted surplus is $18.1 million.

The primary contributors to the positive variance against budget were increased tuition-related income from higher enrolment numbers than budgeted and increased investment income due to higher cash balances from delayed capital expenditure.

Total year to date income was $409.9 million, which was $6.8 million higher than budget. The major favourable variances for the year to date were: Domestic Tuition Fees Actual $78.7 million, budget $77.0 million, variance $1.7 million (2%) higher than budget. Domestic Tuition Fees were above budget due to higher domestic student enrolments. Investment Income Actual $2.7 million, budget $1.1 million, variance $1.6 million (145%) higher than budget. Investment income was higher than budget mostly due to a larger cash balance resulting from capital project expenditure tracking behind budget.

Sundry Income Actual $10.9 million, budget $9.5 million, variance $1.4 million (15%) higher than budget. Sundry Income is higher mainly due to a bequest received in Health Sciences and increased conference income. Vote Education Actual $170.8 million, budget $169.2 million, variance $1.5 million (1%) higher than budget. Vote Education income is higher due to additional eligible enrolments in the first part of the year. This income has been capped at 2% over the TEC’s 2018 EFTS funding allocation to Otago in line with the TEC funding model. Externally Funded Research Actual $51.8 million, budget $50.5 million, variance $1.3 million (3%) higher than budget. Externally Funded Research income is higher due to additional unbudgeted research activity.

Total year to date expenditure was $293.2 million, which was $1.0 million higher than budget. The major unfavourable expenditure variances were as follows: Salaries – Academic Actual $89.0 million, budget $87.2 million, variance $1.8 million (2%) more than budget. Academic salaries were higher than budget due to unbudgeted academic positions being filled, predominantly in Health Sciences which are partially offset by additional research income.

Depreciation Actual $27.5 million, budget $25.9 million, variance $1.6 million (6%) more than budget. Depreciation was higher than budget as a result of the building revaluation increase effective 31 December 2017. This variance will continue to increase through to the end of the year. These unfavourable variances were partially offset by: Consumables and General Actual $52.8 million, budget $54.5 million, variance $1.8 million (3%) less than budget. The variance was timing-related, and expenditure is expected to increase to budgeted levels during the year.

COMMENTS FROM THE DIVISIONS The following comments have been provided by the Pro-Vice-Chancellors and Service Division Heads.

Commerce The Division had an unfavourable variance of $1.1 million (19%) for the period ended May 2018. This was due to lower than forecast undergraduate enrolments partly offset by increased postgraduate enrolments. Salaries were overspent due to teaching cover for long term sick leave and an impending retirement. Additional funding for the Business Case competitions and higher than anticipated level of funding from the Research Committee has reduced the unfavourable variance. Health Sciences The Division had an unfavourable variance of $297k (3%) for the period ended 31 May 2018. The unfavourable variance was due to additional academic salaries and consumables (partially offset by additional research income), additional consumables and maintenance costs in the Hercus Taieri Research Unit – HTRU, less Dental Clinic income (optimistic budget), and less Otago Genomics & Bioinformatics Facility - OGBF income (NZGL has ceased trading). These variances were partially offset by additional tuition-related income. Humanities The Division had a favourable variance of $211k (89%) for the period ended 31 May 2018. This was mainly due to higher than expected enrolments across the Division. Sciences The Division of Sciences reported a favourable budget variance of $880k (32%) for the period ended 31 May 2018. Student related income is $650k favourable due to increased EFTS across most departments. Growth in externally funded research has also increased, but is partly offset by higher than expected scholarship payments. Academic The Academic Division had a favourable variance of $958k (3%) for the period ended 31 May 2018. This was mainly due to staff vacancies, and timing-related savings in consumables expenditure.

Campus and Collegiate Life Services The Division had a favourable variance of $974k (19%) for the period ended 31 May 2018. Accommodation operational income was favourable due to increased sundry income during the summer period: Summer School; “Hands on Otago” programmes and Masters Games. Occupancy levels in the Residential Colleges and the University Flats are close to 100%. Additional income has also been received within campus catering outlets and Recreation Services. External Engagement The External Engagement Division had an unfavourable variance of $59k (1%) for the period ended 31 May 2018. This was primarily due to additional commissions for higher numbers of international students and unbudgeted scholarships for study abroad students. These variances were partially offset by amendments and updates to the 2018 marketing schedule, the timing of a payments relating to international marketing and the 150th Anniversary, and some savings in professional and consulting fees. Financial Services The Division had an unfavourable variance of $182k (7%) for the period ended 31 May 2018. This variance was mainly due to the establishment of the Finance Advisory team as part of the Support Services Review recommendations. This new team will be funded by movement of staff from other areas of the University later in the year. Human Resources The Division had an unfavourable variance of $173k (5%) for the period ending 31 May 2018. This was mainly due to higher IT software licence costs and unbudgeted legal costs. These variances were partially offset by timing-related savings in staff related costs and other consumables. Information Technology Services The Division had a favourable variance of $352k (2%) for the period ended 31 May 2018, with the main contributing factors being favourable depreciation (primarily representing unexpended depreciation on the delayed NeSI refresh procurement) and also a favourable general staff leave movement and delayed recruitment of two vacant positions to support NeSI activity. Property Services The Division had an unfavourable variance of $1.6 million for the period ended 31 May 2018. the maintenance period; • A project overspend of approximately $900k

is predicted. Portobello Improvements • Project is overspent by $1.1 million due to

additional costs related to unfavourable ground conditions, additional health and safety related work and higher audio visual equipment costs;

• The project has been completed and handed over to the department for use.

Routine Capital Works Property Purchases • $24.2 million unfavourable variance relates

to the purchase of the Caroline Freeman College. Two thirds of this purchase will be offset in the University Group results as it relates to the University’s interest in the Dunedin City Accommodation Trust which formerly owned the college. The remaining third of the Trust was owned by Otago Polytechnic.

Statutory Work • $458k favourable variance for the year due to

the timing of projects not yet underway in a number of labs.

Adaptions • $153k unfavourable variance for the year due

to projects from 2017 still being completed in the current year;

• The following projects are near completion: Biochemistry level 3 remodelling, Student Health balcony enclosure; Richardson 4th floor (north) reconfiguration.

Preventative Maintenance • $355k favourable variance for the year due to

scheduled projects delayed, progressing slower than budget, or projects going out of scope of this budget as they are over the $250k limit such as the Science II exterior.

Fixed assets at 31 May were $1.747 billion, compared to the budget of $1.555 billion. The variance ($192.0 million) was largely due to the revaluation of land and buildings which was partially offset by delays in the capital expenditure.

Capital expenditure was 288% of depreciation for the year. This was lower than the budget of 348% and higher than the 183% reported at the same time last year. The increase on last year continues to reflect the increase in capital project activity. Capital expenditure as a percentage of the surplus plus depreciation was 55% compared to the budget of 66%.

Total cash on hand at the end of May was $189.6 million, $71.0 million (60%) greater than budget and $15.6 million less than was on hand at the same time last year. The net cash inflow from operating activities for the year to date was $123.5 million, which was greater than budget by $21.5 million (21%). The main items making up this variance were: • Income from student fees ($10.3 million) due

to increased enrolments and earlier receipts due to the free fees scheme.

• Higher externally funded research grants received ($8.7 million)

• Additional accommodation income ($1.7 million).

Cash outflow from investing activities was ($55.5 million) compared to the budget of ($91.9) million, a favourable variance of $36.4 million. This variance was mainly due to delays in capital works projects. Overall, total cash flow for the period was an inflow of $68.0 million. This was $57.9 million better than budget and $2.7 million less than at the same time last year.

CONCLUSION Increased student enrolments have led to a strong surplus performance for the first part of the year. Capital expenditure is close to target for the year, and the slower delivery of capital projects has been offset by the purchase of the Caroline Freeman College. Liquidity continues to be strong and cash reserves are sufficient to meet the significant expenditure on major projects planned for 2018. Looking beyond 2018, approval of new major capital projects will rely on an increase in the University surplus to fund the additional capital expenditure. DATE: 2 July 2018 RE: Council Standing Orders Background Council’s Standing Orders were last reviewed in 2000. It is timely to update the existing Standing Orders so as to:

reflect amendments to relevant legislation, including by introducing provision for participation in meetings by electronic means;

better align the Standing Orders with current practice and to introduce some additional flexibility in administrative matters;

remove unnecessarily detailed provisions in relation to formal meeting procedure; generally improve the clarity and usability of the Standing Orders through increased

plain-language drafting, and the reordering and reformatting of existing material.

Under clause 23(b) of its existing Standing Orders the Council is empowered to amend its standing orders provided that notice of the intention to do so has been included in the notice of the meeting at which the matter is considered. The revised draft Standing Orders attached to this Memorandum have been prepared in consultation with the University Solicitor and take into account the relevant provisions of the Education Act 1989 and the Local Government Official Information and Meetings Act 1987. Recommendation That pursuant to clause 23(b) of its Standing Orders the Council adopts in substitution for those Standing Orders new Standing Orders in the form of the draft circulated to the meeting.

STANDING ORDERS OF THE COUNCIL

1. STANDING ORDERS

1.1 These Standing Orders reflect relevant provisions of the Education Act 1989 and the Local Government Official Information and Meetings Act 1987 and shall be interpreted and applied in a manner consistent with that legislative framework.

1.2 Any matter of interpretation of these Standing Orders, and any matter of procedure not fully covered by them, shall be determined by the Convenor of the meeting at which the matter arises.

1.3 Except where to do so would conflict with a legislative requirement, these Standing Orders:

(a) may be suspended for the purposes of a meeting with the unanimous consent of that meeting;

(b) may be amended by ordinary resolution of the Council, so long as the proposed changes have been included in the notice of meeting for the meeting at which the resolution is put.

2. CONVENORSHIP OF THE COUNCIL

2.1 The Convenor of the Council is the Chancellor. In the absence of the Chancellor, the Pro-Chancellor shall preside.

2.2 In the absence of both Chancellor and Pro-Chancellor, the members of the Council present shall elect a member to preside. For the purpose of such election the Registrar and Secretary to the Council shall take the Chair.

2.3 The Pro-Chancellor or other person authorised to preside in respect of a meeting in the absence of the Chancellor may exercise the powers of the Chancellor under these Standing Orders for the purposes of that meeting.

3. ELECTION OF CHANCELLOR

3.1 The Chancellor and Pro-Chancellor shall be elected by members of the Council each year.

3.2 The elections for Chancellor and Pro-Chancellor shall be conducted by such process as the Registrar and Secretary to the Council shall determine with

the election of Pro-Chancellor to proceed after the outcome of the election of Chancellor has been declared.

4. CALLING OF MEETINGS

4.1 Ordinary meetings of the Council shall be held according to a schedule determined by the Council from year to year.

4.2 Notice of these meetings shall be sent to all members not less than three days before the day of the meeting.

4.3 The Chancellor may cancel an ordinary meeting for lack of business or other exceptional reason.

4.4 The Chancellor or, if he or she is not available, the Pro-Chancellor:

(a) may call a special meeting of the Council at any time;

(b) shall call a special meeting of the Council on receiving a request in writing from three members stating the business to be transacted.

4.5 Notice of any special meeting shall be sent to all members not less than three days before the day of the special meeting, except in cases of emergency when the notice is to be given as circumstances permit.

4.6 The Chancellor may:

(a) approve one or more members participating in a meeting by means of audio or audio-visual; or

(b) may direct that a meeting be held entirely by such means so long as every member who wishes to participate has access to the technology needed to participate in the meeting.

5. AGENDA

5.1 Every notice of meeting will be accompanied by an agenda specifying the business to be transacted at the meeting.

5.2 The agenda shall be compiled by the Registrar and Secretary to the Council in consultation with the Chancellor and Vice-Chancellor, provided that any member may call for an item to be included in the agenda for a meeting by giving notice in writing to the Registrar and Secretary to the Council not less than seven days before the meeting is to take place.

5.3 An item of business that is not on the agenda may be dealt with at a meeting if the Council so resolves, and if the Convenor explains, in the public part of the meeting:

(a) the reason the item is not on the agenda; and

(b) why discussion of the item cannot be delayed until a subsequent meeting.1

5.4 A minor matter relating to the general business of the University that is not on the agenda may be discussed at a meeting if the Convenor advises the Council at the beginning of the public part of the meeting that the item will be discussed, but the Council may not make any resolution, decision or recommendation about the item except to refer it to a subsequent meeting2.

6. EXCLUSION OF THE PUBLIC

6.1 The Convenor may move that the public be excluded from the whole or any part of the proceedings of a meeting if the public conduct of those proceedings would be likely to result in the disclosure of information for which good reason for withholding it would exist.3

6.2 Any business or documents to be considered by the Council in the absence of the public shall be regarded as confidential unless and until:

(a) the Council resolves that the matter shall become public;

(b) the matter has been dealt with by Council and the Chancellor, Vice-Chancellor or Registrar and Secretary to the Council has determined that good reason for withholding the information has ceased to operate.

6.3 Matters considered or to be considered in the absence of the public may be discussed only amongst Council members and with University Officers to whom relevant confidential information is already available as part of their role.

7. MINUTES

7.1 The Registrar and Secretary to the Council shall ensure that minutes are kept of all business transacted at meetings of the Council and meetings of Committees of the Council.

7.2 At every ordinary meeting of the Council, the minutes of the previous meeting of the Council shall be submitted for approval as a correct record before any further business is transacted.

8. ABSENCE

8.1 Any member unable to attend a meeting of the Council shall notify the Registrar and Secretary to the Council as soon as practicable before that meeting.

9. QUORUM

9.1 No business may be transacted at a Council meeting unless a majority of Council members then holding office are present.4 Business may be progressed between meetings by email communication but must be ratified by resolution at the next Council meeting.

10. CONFLICT OF INTEREST

10.1 The Registrar and Secretary to the Council shall maintain a register of interests.

10.2 Members with an interest in a matter being considered or about to be considered must (whether or not the interest is reflected in the register of interests) declare that interest at a Council meeting as soon as possible after relevant facts raising the conflict have come to the member’s knowledge.5 All such disclosures of interest shall be recorded in the minutes of the meeting.

10.3 Unless the Council decides otherwise, a member disclosing an interest:

(a) must withdraw from any meeting of the Council or its Committees when the matter in which that member has the interest is under discussion; and

(b) must not take part in any deliberation or decisions on such a matter.6

11. RULES OF DEBATE

11.1 Every member shall address the Convenor when speaking. A person who is not a member may be invited to speak at a meeting at the discretion of the Convenor.

11.2 A member shall not, other than with the leave of the Convenor, speak twice to the same motion or amendment except to ask a question or to explain some matter upon which the member has been misunderstood.

11.3 Notwithstanding 11.2, a member who proposes any motion or amendment shall be entitled to reply to the debate before the motion or amendment is put to the vote.

11.4 The Convenor may put to the vote any motion that he or she thinks fit. All other motions (including procedural motions) must be moved by one member and seconded by another.

11.5 The mover of a motion may speak in support of the motion either before or after it has been seconded but if it is not seconded it shall lapse and shall not be discussed further.

11.6 If an amendment to a motion under consideration is proposed the debate shall, until the amendment is put, be addressed to the amendment and not to the original motion.

11.7 No amendment to an amendment can be proposed, but a member may give notice during the debate of intention to move a further amendment to the original motion at the conclusion of the debate on the first amendment.

11.8 The debate on any motion or amendment may be interrupted:

(b) by a motion for the reading of any document relevant to the matter.

11.9 The debate on any motion or amendment may be superseded by a procedural motion that:

(a) the Council adjourn; or

(b) the question be put; or

(c) the Council proceed to the next business, or

(d) the matter be referred or referred back to the relevant Committee or official.

11.10 Procedural motions will be put to the vote immediately without discussion or debate.

12. VOTING

12.1 All business of the Council shall be decided by resolution moved by a member of the Council and seconded if required, and agreed to by a majority of the votes of the members present.

12.2 A motion of any kind being put shall be determined in the affirmative or the negative by a majority of the voices ‘aye’ or ‘no’.

12.3 The Convenor shall call first for the ‘ayes’ then the ‘noes’ and shall then state whether the ‘ayes’ or ‘noes’ have it. Unless a division is called for, that decision shall be conclusive.

12.4 If a division is called for, the Convenor shall require a show of hands calling for ‘aye’, ‘no’, and ‘abstain’, and a majority of those voting shall determine the decision.

12.5 In the case of an equality of votes, the Convenor shall have a deliberative and casting vote7.

12.6 While in the usual course the number of votes, and the way members have voted, shall not be recorded in the minutes, any member of the Council may ask for the way he or she has voted to be so recorded.

13. COMMITTEES

13.1 The Council may from time to time appoint standing or special Committees:

(a) referring to those Committees such matters as it thinks fit; and

(b) delegating to any such Committee any of its powers and duties as it determines, other than any power and duty which the Education Act 1989 requires that the Council itself exercise.

13.2 The Convenor of a Committee of Council shall be the person appointed by the Council or in the case of unavailability of that person an alternate appointed by the Registrar and Secretary to the Council.

13.3 Council Committees shall operate under procedures which conform as closely to these Standing Orders as circumstances allow.

13.4 Council Committees shall report to the Council on their business at such intervals as the Council may decide.

3 The Secretary to the Council and Registrar shall keep minutes of all business

transacted at meetings of the Council, and meetings of Committees of the Council.

6 Any notice of meeting required by these Orders shall be sent to each member at the

address which the member has supplied to the Secretary of the Council and Registrar.

7 ( a ) The business to be transacted at any meeting shall be specified in the notice of the

meeting and, except with the agreement of the Council, no other business shall be

transacted.

( b ) A member may initiate any matter for discussion by giving notice in writing to the

Secretary of the Council and Registrar not less than seven clear days before the

meeting at which the matter is to be considered.

Confidentiality

8 Any business or documents to be considered by the Council in the absence of the

public shall be regarded as confidential unless and until the Council resolves that the

matter shall become public. Matters and documents designated as confidential shall

be discussed only amongst Council members and with University Officers to whom

the documents are available.

Order of Business

9 The Council may, at any time during a meeting, agree to vary the order of business.

ABSENCE

10 Any member unable to attend a meeting of the Council shall submit an apology for

absence. Failure on the part of a member to attend three consecutive meetings

without having given prior notice shall result in disqualification as a member.

11 If a member is disqualified or resigns during the term of appointment, a casual

vacancy shall be declared, and appropriate steps shall be taken to fill the vacancy for

the balance of the unexpired term of office.

PROCEDURAL

Quorum

12 The quorum for a meeting of the Council shall be a majority of members then

holding office.

Confirmation of Minutes

13 At every ordinary meeting of the Council, the Minutes of the previous meeting of the

Council shall be submitted for approval as a correct record before any further

business is transacted.

Disclosure of Interest

14 ( a ) Individual members of the Council and the Council itself have responsibility for

being alert to possible conflict of interest. Members should be familiar with the

legislative provisions which require (subject to the Council granting leave to the

contrary) that a member -

( i ) must withdraw from any meeting of the Council or its Committees when

a matter in which that member has a direct or indirect pecuniary interest

is under discussion;

( ii) must not take part in any deliberation or decisions on such a matter;

( iii ) should withdraw from a meeting or participation in proceedings where

the member could be reasonably perceived to be affected by bias.

direct a member to leave the meeting or refrain from participation, but may -

( i ) discuss any matter of conflict raised by a member, whether regarding his

or her own position or that of any other member;

( ii) resolve to record in the Minutes the Council’s view as to existence of

conflict, and the appropriate action for the member concerned to take;

( iii ) agree to adjourn discussion of an item to allow a member to address

whether a conflict exists.

Speaking, Motions and Amendments

15 ( a ) Every member when speaking shall address the Chair and shall not, without the leave

of the Convenor, speak twice to the same motion or amendment except to ask a

question or to explain some matter upon which the member has been misunderstood.

( b ) However, a member who proposes any motion or amendment thereto shall be entitled

to reply to the debate before the motion or amendment is put to the vote.

( c ) The mover of a motion may speak in support of the motion before or after it has been

seconded, but if it is not seconded it shall lapse and shall not be discussed further.

( d ) After a motion has been accepted by the Convenor and seconded it may not be

withdrawn without the unanimous consent of the meeting. If a motion is withdrawn a

similar motion may be moved at the same meeting.

( e ) A motion to rescind a resolution passed at an earlier meeting of the Council may not

be proposed unless notice of the intention to do so has been given in the notice

convening the meeting.

( f ) A question that has been determined by the meeting may be recommitted by a

majority vote later in the same meeting. Unless the question is so recommitted, no

motion or amendment may be proposed which is the same in substance as any

question which has already been determined during the meeting.

( g ) No amendment shall be proposed which is a direct negation of the proposal under

consideration.

( h ) A person who is not a member may be invited to speak at a meeting at the discretion

of the Convenor.

16 ( a ) If an amendment to a motion under consideration is proposed, the debate thenceforth

shall be addressed to the amendment and not to the original motion.

( b ) No amendment to an amendment can be proposed, but a member may give notice

during the debate of intention to move a further amendment to the original motion at

the conclusion of the debate on the first amendment.

consideration of the matter before the Council. Any question of order or procedure

not fully covered in these Standing Orders shall be determined by the Convenor by a

ruling.

18 The debate on any motion may be superseded by a motion that -

the Council adjourn; or

the question be put; or

the Council proceed to the next business.

Voting

19 All business of the Council shall be decided by resolution, moved by a member of the

Council and agreed to by a majority of the members voting and present.

20 A motion of any kind being put shall be determined in the affirmative or the negative

VICE- CHANCELLOR’S REPORT TO THE UNIVERSITY COUNCIL (Part 1)

Topical Issues • Having already provided outstanding leadership over the past 18 months, Professor

Richard Barker’s appointment as Pro-Vice-Chancellor, Sciences, has been extended, enabling him to serve a full five-year term.

• Professor Paul Brunton commenced his appointment as Pro-Vice-Chancellor, Health Sciences from 2 July 2018.

• Two key appointments have been made to strengthen Otago’s innovation sector: Mr David Christensen has been appointed as the new Chief Executive Officer of Otago Innovation Ltd; and Dr Martin Gagnon has been appointed as the new Director of Research and Enterprise.

• The Government has announced that the seven-year borrowing loan cap limit has been pushed out to 10 years for medical students and others doing long courses such as dentistry, optometry or veterinary science. The new loan cap will take effect from January 2019.

• As part of the annual funding round, almost $19 million of Health Research Council funding has recently been awarded to Otago researchers for projects with the potential to vastly improve the health of New Zealanders.

• Abbey College, New Zealand’s only fully catered postgraduate residential college, celebrated it’s 10 year anniversary in May 2018. Comprising 75 rooms, and residents from 36 countries, the College is a community for postgraduates.

• The Campus Development Division was recognised at the recent Property Council New Zealand Awards, winning a National Excellence Award in the Education Facilities category for the Otago Business School building. The judges were impressed with the high quality vision for the $18.5 million redevelopment over three levels, which has transformed the building. • There has been a 20% increase in students accessing the services provided by Disability, Information and Support compared to the same time last year. The increase is likely due to increased awareness across the University. Otago is a leader in the field of disability support in the tertiary education sector, with many

• For the first time a University of Otago residential college has run a New Zealand

Sign Language course. About 20 students and staff at University College recently finished the six-week course, taught by University of Otago sign language teacher Josje Lelijveld.

Divisional Updates Health Sciences • As part of the campus’ Hauroa Māori curriculum, 90 Christchurch campus medical

students visited Te pa o Rakaihautu to give health checks to children and be immersed in a Te Reo Māori environment.

• A number of staff shared their expertise at an evening of public health talks about health research in Canterbury, organised by the Christchurch Health Precinct.

Sciences • As part of its 70th Anniversary, the School of Physical Education, Sport and

Exercise Sciences (SPESES) is holding an event to coincide with the annual PENZ Conference which is being held in Dunedin from 9-11 July 2018. SPESES will be hosting a display entitled “Movement through time” curated by fourth year Bachelor of Physical Education student, Sinead Ford. The display looks back at some fascinating ‘Phedder’ memorabilia spanning the past 70 years.

• Held every two years in Dunedin, New Zealand’s premier public science event, the New Zealand International Science Festival will run from 6-15 July 2018, with the University as one of the event’s principal sponsors. This year’s theme “Go Beyond” will bring many visiting scientists to meet or speak with University staff and inspire others in their field.

Humanities • The 53rd Otago Foreign Policy School, “Asia-Pacific Diplomacy in Transition:

Ideas, Issues and Institutions”, was held from 29 June to 1 July 2018, bringing together an international team of scholars, policy practitioners and observers for robust discussion and debate. The Acting Prime Minister and current Minister of Foreign Affairs and Trade, the Rt Hon Winston Peters spoke at the School’s opening.

They will use the $60,000 prize to develop the technology further. Scientific Committee of Antarctic Research Otago’s Professor Gary Wilson (Marine Science) has been appointed to a four-year term as Vice-President of the Scientific Committee of Antarctic Research by 32 voting nations and a number of International Science Unions. Prime Minister’s Scholarship for Asia Arts student Rachel Mitchell received a Prime Minister’s Scholarship for Asia, which will enable her to further her studies at Fudan University in Shanghai for a year. The scholarships are aimed at strengthening New Zealand’s ability to engage with key Asian trading partners and improve the skills of the workforce.
