The EB-5 Program The U.S. Immigrant Investor Program (EB-5 Program) is a

Congressional Program designed to attract investment to the US and create jobs

EB-5 offers qualified foreign investors a Conditional Visa for that investor, the investor’s spouse and each of the investor’s children under the age of 21

The EB-5 Investor must reside in the US $1,000,000 investment required unless the project is in Targeted

Employment Area (TEA ) or Rural area If the project is in a TEA or Rural area, the investment is

$500,000. TEA’s are areas with unemployment equal to or greater than

150% of the national unemployment average

Each investment must produce 10 jobs

The jobs must be full time (35 hours; no FTE)

The 10 jobs must be proven within 27-30 months after their temporary green card (the I-526) is approved

The investor hires and pays for his/her own attorney

The time from the I-526 application to approval of a temporary green card is approximately a year

The EB5 Investor must move to the US and live in the US at least 6 months and 1 day per year until awarded a permanent green card.

EB-5 Investor Requirements:

• No minimum level of education is required

• No prior business experience is required

• Proficiency in English is not required

• No requirement to manage your investment daily

• No waiting list in the EB-5 category

• Spouse and immediate family under age 21 are eligible

• May live anywhere in the US

• As a resident, lower in-state tuition is available

• Source of funds and path of funds must be legitimate

Advantages of the EB-5 program• Distinguished from all other visa programs because it

produces JOBS for the US • It brings substantial investment into the US• The investment fills a void in the capital markets• Works for college age and gives them a permanent green

card and citizenship for use after college• Provides opportunity for wealthy to send family ahead of

them• Underused by Middle East and S. America, giving

What is a Regional Center? A company regulated and approved by the United States

Citizenship and Immigration Service (USCIS)

Providing an investment partnership through which foreigners (EB5 Investors) seeking US Visas may invest and obtain visas

Widely accepted in the marketplace; the “norm” for EB5 Visas

Providing more investment through broader job creation utilizing using econometric modeling to show direct, indirect and induced jobs

Contrast with a direct EB-5 Investment, outside a Regional Center, where an individual invests directly and must create 10 DIRECT, FULL TIME jobs with no indirect or induced jobs.

A Regional Center: Seeks high quality projects with proven developers; Obtains Econometric study showing job count; Utilizes experienced EB-5 attorney to produce USCIS & SEC compliant

documents

tracks job creation and reports to the USCIS on each EB5 Investor reports to the EB5 Investors regularly and reports annually to the USCIS guides the EB5 Investor through the permanent green card process (I-

Orlando EB5 Investments

CommerCenters EB5 Regional Center Investments, LLC, “Orlando EB5 Investments”, or “ORC” is:

• a Florida limited liability company approved as a Regional Center by the Federal Government of the U.S. to provide qualifying projects for investment by international investors seeking US Visas

• managed by CommerCenters LLC, a Florida limited liability company with a very experienced Board of Managers

• focused on Central Florida but can fund projects anywhere in Florida and, through its relationships, in most jurisdictions across the U.S.

EB-5 Investment Process1. ORC reviews, approves and presents a project meeting USCIS requirements to EB-

5 Investors

2. Investor selects ORC’s project and completes eligibility questionnaire

3. Investor contacts recommended or preferred EB-5 Attorney to prepare Conditional Visa Petition (I-526).

4. Investor transfers EB-5 investment into approved escrow account

5. Investor submits USCIS form I-526 (Conditional Visa Approval); approval obtained within 4-13 months

6. Consulate interview completed; Conditional Visas (Green Cards) issued; Investor, Spouse and immediate family under age of 21 enter the United States

7. Within 24 months Investor submits USCIS form I-829 seeking Permanent Visa Approvals

8. After approval of all I-829’s for the Project, EB-5 principal investment return is required from Developer, usually in the fifth year, unless extended

9. Within 5 years from Conditional Visa issuance Investor & Family can apply for full U.S. citizenship – shortest, most secure route

• ORC’s Board Member, Mr. Rich Whaley of MAS Properties, has extensive apartment development experience and is a Founding Trustee of Atlantic Housing Foundation (AHF) a not-for-profit company which owns and operates an affordable housing portfolio consisting of nearly 8,000 units in over 30 apartment communities in 22 cities and three states

• In conjunction with Mr. Whaley, MAS Properties and AHF, ORC is capable of analyzing and identifying the best apartment opportunities backed by the best developers

• LVI’s management has overseen the management and development of over 50,000 units of ALF/MC

• ORC’s management, in conjunction with LVI’s management will analyze and evaluate ALF/MC projects for inclusion in the EB-5 program

• ALF/MC projects are some of the most secure real estate related projects and offer unusually good exit strategies

Hotels: In association with American Dream Fund (ADF), two EB-5 hotel

projects have been sold to EB-5 Investors:

• The “W” Hotel project at the corner of Hollywood and Vine, in Hollywood, California with a total of 33 EB-5 investors and $16,500,000; and

• The Sahara Casino and Resort in Las Vegas, Nevada, with a total of 300 EB-5 investors and $150,000,000, which at this time is the single largest successful EB-5 Investor project

ORC and its staff and real estate advisors and consultants constitute a very strong team for evaluation of hotels as EB-5 Projects
