MISSION STATEMENTThe mission of Kairos Prison Ministry, Inc. is to bring

Christ’s love and forgiveness to all incarcerated individuals, their families, and those who work with them, and to assist in the transition of becoming a

productive citizen.

HISTORY OF KAIROSIn 1975, Tom Johnson, a lawyer and Catholic Cursillista from Miami, Florida, attended an ecumenical Cursillo gathering in Atlanta, Georgia. Though delegates came from several denominations doing Cursillo weekends, this Atlanta gathering was heavily Lutheran.Tom Johnson had been imagining a Cursillo program in prison for some months. When he heard some of the delegates actually planning a prison weekend in Iowa, Tom approached the Iowa delegate, Pastor Gene Hermeier and sought permission to attend. One week later, Tom was observing a Cursillo weekend in an Iowa prison and knew that he found a calling. He returned to Miami determined to begin weekends in Florida prisons.The first weekend was held at Union Correctional Institution at Raiford, Florida in the fall of 1976. It was presented ecumenically and was called Cursillo, even though Cursillo soon determined that all Cursillos, free world or in prison, should be done denominationally.By 1978, six or seven states were doing Cursillo in prison. The national Cursillo office in Dallas, Texas surveyed these prison Cursillos and determined that they should be presented ecumenically. Given their own policy against ecumenical presentations, Cursillo determined that the prison version should be under a completely separate central authority and that the format should be significantly altered to better meet the needs of those in prison. Cursillo asked the Florida group to design a program for that particular application, call it something other than Cursillo and refrain from using Cursillo specific terms. After the first Kairos was presented in 1979, Cursillo requested those who were doing Cursillo in prison to quit the practice. Most of those districts became associated with Kairos.Kairos dates its history back to that first weekend at UCI at Raiford, Florida. As of June 2003 Kairos is active in 32 states, Australia, Canada, England, and South Africa. The ministry is active in 260 prisons and has 24 Kairos Outside ministries for wives and mothers. More than 100,000 incarcerated men and women have been introduced to the Christian community that is Kairos and the current rate of introduction exceeds 20,000 per year.Kairos is widely recognized as the most effective program available to positively change basic attitudes of the incarcerated. Kairos Outside, first presented in 1990, is designed to minister to female relatives/friends of the incarcerated. In 1997 the Kairos Torch program began to minister to young offenders (25 and under) in adult or youth facilities, utilizing one to one mentoring to expose participants to a Christian model.

DESCRIPTION OF THE MINISTRY

MEN’S AND WOMEN’S KAIROS MINISTRIESKairos is an interdenominational Christian ministry whose programs are designed to be presented in state and federal men’s and women’s correctional institutions in the U.S. with adaptations for other countries and languages. This ministry is governed by the national board of Kairos Prison Ministries, Inc with headquarters in Winter Park, Florida. The ministry is conducted, in cooperation with the chaplains of correctional institutions, by teams of laity and clergy who are selected and trained by state chapter committees of Kairos and approved by correctional institutions as citizen volunteers.Kairos Prison Ministry is a ministry by persons drawn from a broad range of denominational churches. Kairos volunteers have experience in renewal movements within their churches which focus on small group dynamics, share and prayer groups, personal witness and vulnerability in Christian community. It is a continuing ministry. The primary objective of the 3-day short course is to prepare selected residents for life in an ongoing Christian community.There are two Greek words for time. One of them, with which we are all familiar, is "kronos," meaning linear time ... hours, days, weeks, etc. The other is "kairos," used in the sense of a time set by God for a particular occurrence. "KAIROS" was found to be a word of very special significance in the environment of the correctional institution where the word "time" carries so many special connotations.The Purpose of KairosThe purpose of Kairos is to establish strong Christian communities among the populations of correctional institutions. This is done through the impact of small, 3-to-5 person share and prayer groups of leaders resident in the institutions. These groups are to meet weekly to share their lives on a deep spiritual level and to pray for one another, for other residents and staff in the institutions.Kairos is a ministry of the church ... a ministry of the apostles whom Jesus, the Christ, has called into community and sent forth into the environment of the correctional institution. Kairos has been called the best example of the early church in existence today.The objective of Kairos is to impact the correctional environment through the action of the leaders, as apostles of Jesus Christ, in all areas of human activity in the prison.The Essence of KairosThrough a systematic, structured program, the residents of correctional institutions are given the opportunity to experience a religious renewal and to accept God's call to a life of Christian witness and service to one another during their stay in the institution and beyond.The Kairos strategy is to identify leaders from the key environments of the institution, leaders who have the greatest potential to impact their environments with the message of Christ's love. These leaders are then invited to attend a

3-Day Short Course in Christianity where they are introduced to the Kairos community.Stability and predictability are very important to the prison environment and to the security staff who are our hosts. For that reason, it is important that changes be considered and accepted by the national leadership and incorporated into the protocol of the manual in an orderly way before application in the community. In like manner, it is extremely important for all branches of Kairos to follow the guidelines set forth by Kairos manuals.Continuing MinistryKairos weekends have but one purpose: the formation of resident leaders in correctional institutions into small share and prayer groups. The residents, once they have experienced the 3-Day Short Course in Christianity, are ready to attend an Instructional Reunion and learn how to participate in and enjoy the life of the church. This life is neither automatic nor easy.At the conclusion of the short course, the participants return to the compound where the Christian community is usually a minority, and find themselves largely dependent for Christian fellowship on those residents who have already participated in a Kairos weekend. Many residents soon find themselves missing that deeper fellowship with other Christians, which they enjoyed during the weekend. Most will avoid establishing vulnerable relationships with other residents. A relationship established with someone from the street requires little or no real vulnerability on the part of the resident. One established with another resident requires a great deal of vulnerability if it is going to be a viable relationship in which they can love one another.The job of the Kairos volunteer is not to become the primary support person for any resident. It is not even to become one of several principle support persons. Anything Kairos volunteers do to make residents more dependent on them than upon the other residents among whom they live in the institution is a disservice to the resident.So, we must encourager residents to enter into community with each other rather than with ourselves. This is the goal and purpose of the Kairos continuing ministry, which consists of the Journey program, the Instructional Reunion, small groups, monthly Kairos reunions, and Kairos 2-day retreats.The Journey program is an adaptation from Disciples of Christ in Community, and adds another dimension to the Kairos experience by allowing the Table Families formed during the weekend to continue to meet on a weekly basis in an environment conducive to ongoing community and individual spiritual growth. Journey begins during the Kairos weekend and continues for a period of about 17 weeks, with three-hour-long meetings held one night each week. Just as the weekend is an experience in Christian love, the Journey is an experience in ongoing Christian community. Journey incorporates Christian community into an educational program that provides a broad understanding of the basics of Christianity. Journey then becomes an extension of the Kairos program and an incredible fourth day experience.The Instructional Reunion is designed to be held one week after each introductory short course to the Kairos community. The purpose of the short course is to encourage the participants to become part of a share and prayer group, the basic structure underlying the Kairos community. The Instructional Reunion is the bridge between the short course, where they received a broad vision of Christian

community, to life in a small family of Christian brothers/sisters that will be their share and prayer group. The Instructional Reunion is conducted during one 6-hour day.The participants on Kairos weekends and Instructional Reunions are encouraged to form small groups, or prayer and share groups, to help them provide support and accountability as they walk their walks inside the prison. Everything done in the Kairos ministry points toward, encourages, and supports the formation and maintenance of these small groups. Groups should be 3-5 individuals who meet weekly and review their walk with one another. A specific format for the group meeting is provided and taught to help the participants with this critical activity.Kairos volunteers from the outside return to the prison at least monthly to take part in a reunion with the Kairos community inside the prison. The monthly reunion is a 3-4 hour time of fellowship, prayer, singing, and sharing designed to encourage and support the small groups in their walk with Christ. Kairos monthly reunions are planned and led by the inside Kairos community; the outside community are guests.Two-day retreats for residents in correctional institutions were developed to give those not yet grouping some intimate experience in the process of becoming vulnerable to another person. All residents who have made a weekend are allowed to attend these retreats, which are held midway between scheduled weekends. Retreats usually employ much smaller teams than weekends and have considerably less preparation time and logistics. For all residents who have made a Kairos weekend, whether grouping or not, the retreat offers some reinforcement of the concepts imparted to them during their weekend.

KAIROS TORCHCrime among youthful offenders is the most rapidly growing segment of corrections. Kairos has developed Kairos Torch to facilitate ministry to youthful offenders.The goals of Kairos Torch are:

1. To provide a safe place to the youthful offender for spiritual exploration.2. To offer unconditional love and acceptance in a Christian setting.3. To encourage the sharing of life journeys and help the youthful offender find

a full life.4. To foster spiritual growth and to promote participation in the long term

mentoring process which provides spiritual and emotional support in order to enhance positive self-esteem and promote constructive life choices.

These goals are accomplished through the vehicle of a weekend Christian retreat followed up by a continuing ministry that includes weekly one-on-one mentoring of the youth by Kairos volunteers and monthly group reunions with the Kairos community. The most important element of Torch is the establishment of a mentoring relationship between each of the youth and a mature, Christian volunteer. The mentoring program goes on for a minimum of 6 months or until the youthful offender is released, whichever occurs first.The mission of Kairos Torch on the introductory weekend is to encourage the participants to remove their masks so the real person, rather than who they pretend to be, can shine forth. We create a safe environment for them to begin to

show themselves and learn what life can be like in a loving, caring and trusting community. We challenge the participants to risk being vulnerable. We love them unconditionally as demonstrated by Christ. Then, it is up to them, with the help of their mentor, to begin to break through their own walls.The mission of the weekend is also to show participants it is safe to make friends, the importance of positive support groups, as well as how to form groups themselves. Groups (as opposed to gangs) give the participants a viable option to isolation. Participants need someplace where they can be themselves and are accepted after the weekend.

Kairos OutsideKairos Outside is designed to support the women whose lives have been impacted by incarceration. These women support those incarcerated in the country's state and federal correctional facilities, as well as county jails and youth offender programs. The spouses, parents and other relatives of the incarcerated often "do time" right along with their loved ones. It is important for them to know that they are not alone and that there is a Christian community that cares.This support is first provided in a safe environment with Christian people during a Kairos Outside weekend. During this weekend, the guests will also have a chance to interact with other women who are in similar situations and learn how to form small groups to support and give them strength in their life’s journey.It is expected that the majority of Kairos Outside weekends will be conducted for female family or loved ones of those incarcerated. Therefore, this manual is written for that application. When conducted for male family or loved ones, those using this manual should make the appropriate gender adjustments. Purpose of Kairos OutsideThe purpose of Kairos Outside is to demonstrate God's grace and love through Christian support for women who have loved-ones who are or who have been incarcerated.Goals of Kairos OutsideThe goals of Kairos Outside are:

1. To provide a safe place;2. To offer unconditional love and acceptance in a Christian setting;3. To encourage the sharing of life’s journey;4. To foster spiritual growth; 5. To promote participation in support groups;6. To create an opportunity for a relationship with God.

The weekend is a series of talks by women sharing their life’s journey. Each guest has the opportunity to review the talk in small family groups. However, sharing in the small family group is voluntary. The program is interspersed with music, prayer, fun activities and general pampering. We expect those in attendance to stay for the entire program. The weekend is Christian in nature, although no religious affiliation is necessary to attend.

Kairos HorizonKairos Horizon is not technically a Kairos ministry, but is supported by Kairos. In its simplest sense, Kairos Horizon is a faith-based, residential dormitory or prison wing, designed to unite a nearby faith community with the prison in an effort to sustain a change of heart or the inner transformation experienced in the Kairos Weekend. It is designed to prepare inmates to live responsibly with others in mutual support, trust and respect, inside and/or outside the walls.The heart of the program is a large group of volunteers who present programs and serve as “Godparents” visiting on a weekly basis. Volunteer-led programs stress accountability and mutual respect in emotional, social, cognitive and spiritual development.A separate corporation, Kairos Horizon Communities, was formed to sponsor these communities, which are supported by Kairos Prison Ministry in collaboration with others. An Inside Coordinator is hired to oversee the daily programs and provide counseling. Funding for Kairos Horizon Communities is accomplished by collaboration with governmental agencies, non-profit organizations, or private donors.

ORGANIZATION OF THE MINISTRY

GENERALKairos Prison Ministry, Inc., is the parent organization of a body of ministries addressing the spiritual needs of incarcerated men, women and youth, their families, and those who work in the prison environment. Kairos sprang from the Cursillo movement and is supported by volunteers from Cursillo and those other movements that consider Cursillo as their root. Kairos has been specifically designated to promote 4th Day activity for Cursillo, National Episcopal Cursillo, Presbyterian Cursillo, Lutheran Via de Cristo, The Upper Room’s Walk To Emmaus, and independently ecumenical Tres Dias. Kairos Prison Ministry is a ministry rather than a movement. Kairos Prison Ministry, Inc., is governed by a national board of directors in which rests absolute authority for the administration and content of the ministry. Kairos Prison Ministry, Inc., is a corporation operated by its board of directors. The board of Kairos Prison Ministry is made up of one representative for each state and each foreign country, at-large members, and ex-officio members representing various environments important to the ministry. Ex-officio members are without vote on the Board. Representatives are individually elected to specific terms by the board in accordance with the by laws.Kairos Prison Ministry, Inc., is a not-for-profit corporation chartered in the State of Florida and has become known as Kairos Prison Ministry. The words, Kairos Prison Ministry, are repeated in the Kairos logo, a registered trademark. Kairos Prison Ministry, Inc., authorizes state chapter committees to present Kairos ministries within their states, following directions contained in Kairos manuals, which are updated as specific needs arise. Kairos manuals are copyrighted. All rights are reserved.National OfficeKairos maintains a National Office consisting of the Executive Director and appropriate staff to run the day-to-day operations of the corporation, and to support and enable the operations of the ministry as conducted by the volunteers in the field. The Board has delegated certain responsibilities to the Executive Director as indicated in the by laws and the authorized Kairos documents. The National Office is the source of supply of all Kairos authorized documents and other Kairos supplies and materials. The National Office is also responsible for the publication and distribution of the national Newsletter, and for providing administrative and logistical support to all Kairos activities in the field, particularly relating to the establishment of new ministry activities.

National OrganizationBoard of DirectorsThe Kairos Prison Ministry Board of Directors is made up of state and international representatives, at large members, and ex officio members. State and international representatives are selected by the active Kairos states of the United States and authorized foreign countries in accordance with the terms and

provisions of the by laws, state chapter and international agreements. At large members and ex officio members are selected and invited by the executive director to provide particular skills, many of whom also have extensive Kairos experience. The board is representative of the ministry in both size and demographics, as required by its by laws. The entire Board meets twice a year.The Kairos Board is called upon to guide the direction of the ministry. Its makeup continually changes to include members representing the diverse geographical regions of the ministry and from less familiar denominations. Some of the denominations providing able and talented volunteers for the Kairos ministry today were not even existent when Kairos was born in 1976. Such is the reality of Christianity. The Body of Christ here on earth has ever been and always will be changing. And yet we fear change, even though we know fear is a sin.The Kairos board of directors has an immensely challenging role and they deserve the prayers of the entire ministry on a continual basis. They are called upon to lay down their private agendas, die to themselves, and serve with all their heart and mind until their term is up. Then they must again die to themselves to await new roles.Early in the formation of the ministry, Dick Day, a brilliant industrialist, a deeply spiritual being and one of the founders of Kairos, warned the board about stagnation and control. He challenged the "nine old men" to find replacements on the board in an orderly manner and to resign for the good of the ministry. He volunteered himself to be the first and resigned forthwith. Dick still serves on Kairos teams in Central Florida on a regular basis and remains supportive of the ministry.State and International RepresentativesState and International representatives to the Board of Directors are selected from and by the affiliated State and International Committees. They have the full authority and responsibility to speak and vote as representatives at all meetings of the Board. Each state and international committee is responsible for providing a qualified representative to serve a term on the Board in accordance with the by laws. The actual method of selection of each state and international representative is left to the by laws of that state or country.Executive CommitteeThe Executive Committee is made up of the President of the Board, and ten members of the board. The treasurer and executive director serve on the Executive Committee without vote. The Executive Committee meets monthly or as required to conduct the day-to-day business of the corporation. Executive Committee duties and responsibilities are found in the by laws.CommitteesThe Board has established the following standing committees to conduct the routine business of the corporation:

In addition to the above, ad hoc committees may be established by the President as required to address specific issues.

THE MINISTRYAdvisory Councils Advisory councils should be established for each institution where Kairos has an active ministry and for each Kairos Outside and Kairos Torch ministry. The Advisory Council is the primary footing for the Kairos organization. The Advisory Council runs the operative end of the ministry under the leadership and authority of the state committee. Whereas a ministry is launched in a new state through an ad-hoc committee which derives its authority from Kairos Prison Ministry, Inc., it is sustained and ultimately shaped through the work of the Advisory Council. As the ministry in a given state matures, retiring state committee members are replaced by leadership sent by advisory councils. Thus the Kairos organization grows and perpetuates itself, based in the body of Christ, actively carrying the ministry.Makeup and Health of the CouncilThe Advisory Council is composed of active volunteers in the particular Kairos, Kairos Outside, or Kairos Torch ministry which the council represents. The Advisory Council should be balanced ecumenically. Each 4th Day movement providing volunteers should be represented fairly by those people whom the groups themselves consider to be their best representatives. It is imperative to the vitality of each advisory council to maintain a strong ecumenical makeup. When an advisory council looks around at its membership and finds that they are all from one denomination, they are witnessing one of the earliest signs of a council headed for trouble. Also, if one half or more of the council is made up of the same people who were there three years previously, there is a very good indication that their particular ministry is stagnating. If so, they are likely finding it difficult to provide teams of adequate size and it is probably burdensome to finance the activities of the ministry. A constant supply of new people coming into the ministry avoids these pitfalls. New blood maintains the vitality of the ministry.The council must continually encourage participation of experienced team members in the role of telling the Kairos story regularly and continuously in the free world, and by making room for new team members attracted to the ministry.Each Advisory Council should identify those among them who can tell the story with sufficient passion to be heard by the Church. These story tellers are not necessarily gifted speakers, but they can relate what they have seen and heard in the prison, with a compassion for residents and staff, and witness to the power of the Holy Spirit active behind the walls. These stories must be told in every possible setting and they must be told constantly. By doing so we are faithfully fulfilling our commission to make the needs of the ministry known, that the Spirit may send forth financial and personnel support for the work.As new volunteers come forth, the Advisory Council must insure they are given every opportunity to become a part of the Kairos community. It is good to encourage rectors/leaders to assign meaningful jobs to new volunteers. Even though they have no experience with Kairos ministries, they may give talks, work on tables, etc. We should never forget that on the first weekend, none of us had experience and the miracles still happened. Our job is not to stage the best production ever staged, but to facilitate ministry. The composition of the council

itself must continually change, making room for those of less experience, but retaining a few of the more experienced for the sake of corporate memory.It is interesting to note that some of "The Nine Old Men" who shaped the ministry are still serving on Kairos teams, usually as servants. None of the nine assume any leadership role. They continue to tell the story of Kairos at every opportunity in an effort to encourage new volunteers.Duties of the CouncilThe duties of the Advisory Council are to advise and make recommendations to the Kairos State Committee, or Area Committee if that structure is employed. Also, the council should provide:

Recommendations for State/Area Committee membership from among their own ministry group.

Recommendations for rectors/leaders of their upcoming weekends. (The State Committee has the ultimate responsibility for authorizing rectors/leaders of weekends. Usually they follow the recommendations of the Advisory Council.)

The Institutional Liaison Person. This person should develop a rapport with the administration and in view of that requirement, should serve for substantial length of time. No job should become the sole and lifetime terrain of any given person, however, no matter how effective they may be.

Data on Kairos community, both inside and outside the institution. Name, DOC number and date of participation should be kept on each resident in case the institution later wants to initiate an effectiveness study. Names and date of team service is kept on volunteers for use by subsequent rectors in recruiting teams.

Provide the National Office systematic updates regarding the names of their chairmen, Outreach Chair, and other key officers or personnel, as well as dates, weekend numbers and rector names for future weekends.

Leadership for weekend support, including:1. Agape2. Food3. Fourth Day volunteers4. Outreach Coordinator5. Fund raising6. Data base

Maintain a list of institutional and DOC regulations regarding volunteers.Leadership of the CouncilLeadership of the council should rotate among those of the various movements and/or denominations represented on the council. Any qualified Kairos volunteer, male or female, who has served on at least one weekend, and is not a state committee representative, should be eligible to serve as chairperson. The chairperson should be elected at the first meeting of the year. A chairperson may be reelected for a subsequent term, but should not serve in that capacity for more than two years.Kairos is a lay led ministry, but a clergy may serve as chairperson, if he or she can devote the required time to the job. Qualifications to serve as chairperson are not

as important as rotating the job among those the group feels they can love and follow for a prescribed term.Duties of the ChairpersonIt is the duty of the chairperson to learn about the Kairos State/Area committee agenda well in advance of their meetings and relate that agenda to the advisory council for their deliberation and advice. He/she may call council meetings at least one week prior to each state committee meeting to prepare recommendations of the council for action by the State/Area committee.Other meetings may be called by the chairperson or in accordance with the advisory council by laws to answer the needs of the programs under their charge.The chairperson shall be a communications link between the institutional Kairos community and the State/Area leadership and shall be an ex officio member of the State/Area Committee. This is normally in addition to the Advisory Council's representative member to the State/Area Committee.Almost every advisory council, at some stage, investigates the possibility of establishing a team selection committee. Such committees are usually traps which attract controlling members of the council, much to the detriment of the healthy growth of the ministry. Advisory councils should not see their obligation to monitor compliance of restrictions on persons unqualified to serve because of proven instability as an invitation to establish a team selection committee.Advisory Council ResponsibilityTo help avoid misunderstandings, the advisory council of the particular ministry which recruits the volunteer should provide each and every new volunteer with a team application and a packet containing the items listed below. The team application shall contain the three statements as shown in the policy section of this manual.

1. Manual2. Kairos Policy3. A statement on Insurance. (Kairos does not provide personal insurance for

volunteers.)4. A statement on Confidentiality5. A statement on Boundaries (involvement with family, aftercare, etc. These

boundaries may vary from prison to prison.)6. A statement on Dress codes (T-shirts, etc.).

Many headaches and huge quantities of time diverted from ministry can be avoided by making the above available to each volunteer and making sure that each becomes acquainted with their contents and purpose. It is the advisory council which recruits and nurtures volunteers for Kairos. It is in the local ministry that volunteers gain the experience to serve on state committees or move to some other service within the Kairos structure. It is important for advisory councils to maintain a nurturing attitude and position. All of Kairos is eventually directed by the service of those who have been nurtured through the advisory councils.

State Chapter CommitteesState Chapter committees originate with representatives from the 4th Day movements in the state such as Cursillo, Walk to Emmaus, Tres Dias, Via de Cristo, etc. Every effort should have been made to provide both ethnic diversity and representation commensurate to the proposed geographic area of ministry. State Chapter committees are initially made up of representatives of the movements from which volunteers working in the ministry are drawn. As states mature and grow, initial committee representatives are replaced by representatives from the advisory councils providing ministry within their state. State Chapter committees operate under the authority of the national board.Members of the State Chapter committee should be grouping and worshipping regularly in their denominational churches. None should be titular head of the governing board of their 4th Day movement.After completion of the first Kairos, Kairos Outside or Torch weekend held in the state, the “ad hoc” committee automatically becomes the State Chapter committee and begins to organize in such a way as to facilitate growth and maintenance of Kairos ministries within the state. The chairperson of the ad hoc committee becomes the chairperson of the State Chapter committee and will normally continue in this position for three years unless removed voluntarily or for cause. The primary reason for this is to give each new state a period of security from political manipulation during its formative years. It removes the temptation for state committee members to build power bases instead of concentrating on building a servant community among the committee.On the other hand, if a majority of the state committee calls for an election, any officer of the state may be replaced for cause. Sometimes, the talents that were needed to launch the ministry are not the same as those gifts needed to maintain the ministry and facilitate growth.It should be the business of the State Chapter committee to encourage growth and vitality of the ministry by limiting the term of all the committee offices. The most serious problems which have been encountered in Kairos state organizations stem from an inability on the part of original organizers of the ministry to turn loose the reins of control.State Chapter committees and each foreign country committee elect a representative to the Kairos national Board of Directors, who will serve a three-year term. It is the responsibility of these representatives on the Kairos board to keep the state committee and foreign country committee informed of the policies and procedures of the Kairos Board.In all the State Chapter committee does, it must remember that it is a servant group to direct and support the work of volunteers engaged in the mission of the Kairos ministry.This committee shall take no action in contradiction to the policies, by laws, manuals, etc. of Kairos Prison Ministry, Inc. Each committee member should be familiar with the contents of all official Kairos publications.The whole purpose of this committee is to see that the support systems structured by Kairos Prison Ministry, Inc. are developed and employed to the fullest possible extent. This is a commitment to Jesus Christ, who is the leader of this ministry. The work of the State Chapter committees will be done under the conditions and in

the manner set forth in the State Chapter and International Agreements and Kairos Board Policy.Kairos is a powerful, yet very vulnerable ministry. The misbehavior of a single volunteer could result in serious damage to the ministry everywhere. It is the responsibility of the State Chapter committee to know the institutional policies relative to volunteers, to be familiar with the Institutional Agreement and the Kairos State Chapter Agreement.Kairos is a ministry of great complexity. In its formative years, a new state will be in frequent communication with the staff in the Kairos national office.State ChairThe Chair of the State Chapter Committee is the person responsible to the Board for all volunteers from the state, including state committee members. The chair is responsible for seeing that weekends are registered with the Kairos national office, rector/leader reports are submitted expeditiously, and all financial and accounting obligations are met. It is the state chairperson who will vouch to the prison administration for volunteers engaged in the ministry. If a questionable situation arises regarding the suitability of a given volunteer, it would be wise for the chairperson to seek the support of the committee before making a decision. CommitteesThe State Chapter committee will need to form the following committees and name chairpersons for them.

1. Agape: This person will encourage prayer for the ministry in the state. He or she will coordinate agape activities of the advisory councils, encouraging written expressions, both incoming and outgoing, to and from all Kairos ministries. He/she will keep the state Kairos community informed of Kairos activities elsewhere, urging them to prayer, to acts of sacrifice and written expressions of Agape for upcoming Kairos and 4th Day Short Courses.

2. Lay Volunteer Recruitment: Though the rector/leader of the Short Course makes the final choice of team members, it will be the assignment of this person to coordinate the development of a list of volunteers qualified to work in the ministry. As nearly as possible, the list should be balanced among the 4th Day movements. Ideally, at least 100 potential volunteers for the first Short Course will be identified and the list should grow with every weekend.

3. Clergy Volunteer Recruitment: A clergy member of the State Chapter committee should help recruit clergy for the Short Courses. There is a clergy person in each table family (one clergy for each six resident participants) at a Kairos Short Course and these positions are traditionally the most difficult to recruit. Kairos Outside uses two clergywomen on their weekends. These women must be from two different denominations. Kairos Torch uses at least one clergy person on their weekends.

4. Church Liaison or Speaker's Bureau: If the ministry is going to have the support necessary to accomplish its mission, the committee must keep "the church" informed of its work. This person will coordinate activities of the state’s advisory council Outreach personnel, maintaining communication with "the church" and with those movements from which Kairos volunteers are drawn. The job also entails telling the Kairos story whenever the

opportunity presents itself, keeping other denominations informed through requests for spiritual and temporal support. General community awareness is the responsibility of this person, providing speakers for service clubs, etc. Church communication should take place on the parish, diocesan, conference or state level as well as among the churches not represented by Kairos volunteers. Each Kairos committee member and each Kairos volunteer should tell the story wherever and whenever possible, but significant presentations should be brought to the attention of the Speakers Bureau, so they can encourage those areas of interest.

5. Newsletter : One person on the committee should be responsible for the publication of a state newsletter. This newsletter is published to keep the volunteers and supporters in the state informed of the ministry's work and responses to it. The newsletter should be exchanged with other states and the Kairos national office. The newsletter is not directed at residents in correctional institutions. A copy of the newsletter may be provided to the Chaplain, who then can determine where it goes from there.

6. Secretary: The secretary keeps minutes of the meetings of the State Chapter committee, assists the national board representative to register weekends with the Kairos national office, and help coordinate state correspondence.

7. Treasurer: This committee member will be responsible for the maintenance of all financial records, maintain the ministry's checking account, pay its bills, collect its accounts payable as per the state chapter agreement, and assist its fund raising efforts.

8. Fund Raising: This function will become more and more important to the ministry as it matures. The easiest approach to fund raising is to ask the team members to donate a proportional part of the cost of the ministry, and this is also the most destructive in terms of support burnout. By reaching beyond the team for funds, the Kairos story is continually told to new audiences. This serves to educate the free world concerning the truth as to who we encounter in prison as opposed to the prevailing image promoted by the media. It also allows a wider opportunity for involvement by the church.

The lay volunteer recruitment, fund raising, and speaker’s bureau functions are often combined as an Outreach Coordinator.Initially, the State Chapter committee will also need to appoint the following committees to function until institutional advisory councils can take over the functions and duties of the committee for their individual ministries.

1. Institutional Liaison: One member should function as the liaison between the committee and the chaplain, warden, security chief and other administrative and security personnel for each institution. This person should become acquainted and comfortable with the chain of command. This person is also responsible for the maintenance of a high level of concern for good security and a full knowledge of the institution's security expectations for volunteers in the ministry. All communications with the institution will be initiated through this person. The liaison person maintains a current list of all regulations affecting volunteers in the institution and a complete list of items considered contraband.

2. Kitchen and Housing Facilities: This person is responsible for identifying available kitchen and housing facilities in the area, "shopping" among them

for those best suited to serve the needs of the ministry. An up-to-date list of church, camp, armory, etc. housing facilities and kitchen facilities together with a full description of the facility, including rental cost, if any, should be maintained for coordinators.

3. Equipment, materials, food and beverages: The job of this committee member is to keep an up-to-date list of sources for all items needed in the ministry. Special food sources, sources for ice, photographers, poster board, fresh vegetables, crosses, candles, vans, trucks, rental tables, chairs, sound systems, etc. This will be used by the kitchen head, the coordinator and the chief steward. The storage and maintenance of all equipment owned by Kairos and all staple food is supervised by this person as is disposition of leftover food and perishable items which might be used in orphanages or halfway houses, etc. People filling this position should have served, or be serving, as a coordinator on a Kairos weekend.

The duties described above are simply suggestions, beginning points for the division and assignment of some of those tasks that must be assumed by the state committee.State Policy and Procedure GuideA sample State Policy and Procedure Guide is provided at Appendix C as a guide for actual organization of states. Variations will occur by state or country, but the essential elements provided for in the model should be the goal of any Kairos state.Area CommitteesIn some large states, which have many correctional institutions, more than one Kairos Outside ministry or more than one Torch ministry, or where complex ministry situations exist, the State Chapter committee may allow various advisory councils to pass their authority to area committees. The State Chapter committee may then consist of a mix of advisory council and area committee representatives. Kairos InternationalKairos ministries outside the United States have, under the direction of the Kairos board of directors, been encouraged to separately incorporate in their home country and execute an international licensing agreement with Kairos Prison Ministry, Inc. Ministries in countries outside the United States claim eight percent of the total Kairos ministry as of January 2003. Projections indicate that the international sector of Kairos ministries will grow faster than ministry within the United States and could easily grow to become numerically the larger of the two within twenty years.Kairos HorizonFaith-based dormitory initiatives require contractual arrangements that do not fit with basic Kairos philosophy of all volunteer ministry, and the Kairos board of directors therefore caused to be formed a new and separate corporate structure to promote and manage those initiatives. The new corporation is called KAIROS HORIZON COMMUNITIES CORP. A founding board has been elected and is actively working toward promotion of the model among corrections.Kairos communities will support Kairos Horizon projects where they may come into being. Built into the Kairos Horizon model are stipulations that the inside and the

ESSENTIALS OF KAIROS

KAIROSThe Kairos Prison Ministry endeavors to build strong Christian communities inside correctional institutions having populations stable enough for those communities to positively affect the environment of the prison.Kairos relies on the Holy Spirit, working through the power of small prayer and share groups which meet weekly under the authority of the Institution's Kairos community to fulfill the admonition and promise of James 5:15-16, “...and anyone who has committed sins will be forgiven. Therefore confess your sins to one another, and pray for one another, so that you may be healed."Kairos has learned that the most effective way to break through the almost impenetrable resistance to Christian community in prison is through an intensive Short Course in Christianity, teaching God's unqualified and unconditional love for us through grace. These teachings are presented in a forty-hour, three and one-half day format. The Kairos Short Course is simply called "the weekend." Although the three days are referred to as "the weekend," the three days of the "Kairos weekend" need not include Saturday and/or Sunday. The "Kairos weekend" may be held on any three consecutive days of the week.During the cloistered weekend, after a safe and loving community has been created, residents are invited and encouraged to join a small group of his/her own choosing for continued support, prayer and encouragement.In order to ensure consistency, effectiveness and stability within the Kairos ministry, to include the Kairos Outside and Torch ministries, all Kairos states must conform to certain essential aspects of the program. It is the conformity to these essentials which Kairos uses as criteria for affiliation of states to the Kairos ministry. It should therefore be the policy of state organizations to comply with these Essentials. Practices of local states which deviate from these Essentials must be reviewed on an individual basis by the executive director and are subject to the approval of the Kairos board of directors.The MinistryKairos is a Christian ministry. All volunteers who work in this ministry must be strongly founded in the Christian faith. Kairos uses participation in approved free world Short Courses as basic certification for its volunteers. Each volunteer must also be active in his/her local church and actively participate in a small share-and-prayer group.Kairos is an ecumenical ministry. Each team entering an institution in the name of Kairos and each state governing committee which has authority over such team will seek the broad participation of Christian denominations and ethnic groups in their state.Kairos is a lay-led ministry; however, the active participation of the clergy is both essential and encouraged.Kairos Prison Ministry, Inc. is a not-for-profit corporation. Kairos states should pursue prudent fiscal policies. They should avoid accumulating assets beyond what is required to carry out their part in the ministry for the foreseeable future.

Each state shares in the responsibility to maintain a national office, the minimum requirement being payment of a fee consistent with board policy as set forth in the State Chapter and International License Agreement.Kairos shall not assume the role of a denomination. Kairos is not a church substitute; rather, it encourages Christians to worship and serve in their home congregations.Kairos encourages its volunteers to participate in other worthy endeavors, particularly those ministering to people who suffer from the ravages of crime and its punishment, but Kairos organizations shall limit their activities to carrying out the Kairos and Kairos Outside ministries and programs. We are non-political; we are advocates for Christ not prisoners.The ProgramThe Kairos program is composed of three phases: Preparation, the Introductory Short Course, and the Kairos Continuing Ministry. The objective of the preparation phase is to seek and prepare God's team for participation in the Short Course. The purpose of the Short Course is to prepare God's candidates within the institution for participation in active Christian community as offered through Kairos programs and the prison chapel.PreparationEvery effort should be made to identify and invite leaders in the prison environments to attend the Short Course "weekend." These individuals are assigned sponsors and are prayed for daily prior to the Weekend.The Introductory Short Course (The Weekend)The weekend has the following characteristics:An experience of living in a Christian community which includes carefully developed activities and teachings designed toward a personal commitment to Christ, but a conversion experience is not the overt objective.It embodies personal witness, but it is not a revival.It employs theological instruction that encourages the participant to study God’s word, but it is not a course in doctrine.It asks for basic faith, openness and a seeking attitude on the part of the participant, but involves dedication to discipline, prayer and careful planning on the part of the team.It is an encounter with the Holy Spirit, but Kairos is not a "charismatic" movement.The weekend is a tool of God, not an end in itself. The weekend will not produce a permanent effect without post weekend activity!The team participates in meetings prior to the weekend to build community and receive instructions on the dynamics of the weekend.The Kairos weekend is an intensive three-day event totaling forty program hours. The team and participants are cloistered together for the entire forty hours.Diversity of age, race and experience is attempted in formation of table families.The doctrinal position of each participant is respected.

A safe Christian environment is developed and fostered during the weekend, as opposed to a coercive or manipulative environment. Confidentiality is strictly maintained.The schedule should provide for informal personal exchange between team and participants.The closing should be as well prepared as other activities of the weekend.The Continuing MinistryAn Instructional Reunion takes place as soon after the weekend as practical and introduces the participants to small group dynamics. The entire day is spent in practice of sharing with and praying for one another.Share and Prayer groups of residents meet weekly under the direction of the chaplain or his/her assigns.A Monthly Reunion is held on one specified day each month. Each team member is committed to participate in twelve reunions following team service. Monthly reunions follow the outline provided in the Kairos manual.A Two Day Retreat follows each Kairos weekend by approximately three months. A Retreat Leader is approved by the advisory council or area committee to run the retreat under the guidelines set forth in the Kairos Continuing Ministry Manual.A weekly Kairos Journey program is encouraged and recommended for those prisons where it is appropriate and feasible.

TORCH ONLYTeamThe primary qualification for team members in Torch is that the volunteer have a heart for youth ministry. Completion of a “street weekend” is desirable and encouraged, but it is not the primary qualifying criteria as it is for a regular Kairos weekend team.Torch teams may be either single sex or co-educational. The decision of which to use will consider the age and sex of the participants, the facilities available for the weekend, and the requirements of the institution. There will be at least one clergy Spiritual Director on the team for the weekend.Team formation will normally consist of a minimum of 40 hours of training. The manual presents a model for team formation that includes five meetings, to be conducted as close to the start of the weekend as possible. Mentor training will be included as one of the team meetings.Program DifferencesWhereas the primary goal of a normal Kairos weekend is to establish a strong Christian community inside the prison, the goal of Torch is to establish a strong one-on-one mentoring relationship between the participants and Kairos volunteers that will continue after the weekend. This mentoring process should consist of weekly contact between the mentor and mentee for a period of at least six months or until the participant is released or moved, whichever comes first. The continuing ministry aspect of Torch is the one-on-one mentoring process, plus monthly Kairos reunions at the institution.

The weekend program for Torch has been modified to make it better suited for presentation to youth. Torch uses the vehicle of masks to encourage the youth, and the team, to “get real” and become vulnerable. The program is presented in 2½ days, has fewer and shorter talks, relies heavily on ice-breaker type activities to encourage participation by the youth, and has strong emphasis on music more suited to the age group of the participants.

KAIROS OUTSIDE ONLYTeam and GuestsEach team member sponsor will follow up with her Guest for six to twelve months after the weekend.Remember that the reason the guests are present is that they have someone incarcerated, it does not depend on their religion, faith or where they are on their spiritual journey.A secret life: Distrust of everyone and fear of rejection are common. This is common to one degree or another to all women having someone on the inside.Each Guest is giving up opportunities to visit those in prison. This will be an important issue for these women.Do not expect that these Guests will find a church community when they return home. They may have been rejected or greatly hurt by their church community.The weekend is conducted in a relaxed manner. All Guests are treated with respect and a gentleness rarely experienced in their living community.There are very serious issues of privacy and confidentiality which need to be respected and guarded to assure that lives on the inside are not put in danger.Because of the fear factor, the amount of communication with the women prior to the weekend is increased. Phone calls to Guests are made by the leaders and team contacts, who will also greet the women when they arrive.Team contacts are to stay in touch with the guests for at least 6 months after the Kairos Outside weekend.Program Differences of Kairos OutsideGuests are spread out geographically. They may come from great distances to attend a weekend program.They may not have an opportunity to meet on an ongoing basis in Prayer and Share groups. This is not a requirement of the continuing ministry.A time factor: Individuals on a 3-Day Kairos have more time to build trust. Women on Kairos Outside must do this more quickly as they have only a two-and-a-half day program.Guests receive agape gifts such as flowers, bed gifts, entertainment, and etc.Individuals attending a Kairos weekend receive lots of letters from the team members. Women attending the Outside program receive one letter from their loved one who is incarcerated.Talks and meditations are an essential part of the Outside program.

GOVERNING DOCUMENTSBasic Kairos policy is contained in the following documents, accepted and approved by the Board. The entire content of those documents, where they specify instructions, conduct and/or procedures, constitute policy. Those documents are:

DELEGATION OF AUTHORITYThe board of Kairos Prison Ministry, Inc. delegates the authority to inaugurate and maintain the ministry to the State Chapter committee based upon:

1. The Kairos, Kairos Outside, and Kairos Torch manuals;2. Kairos policy including the State Chapter Agreement;3. Training workshops.

This authority to maintain compliance with these practices, procedures and policies is, in turn, delegated by the State Chapter committee to the rector/leader during the 3-Day Short Course and to the retreat master during the 2-Day Residents' Retreat. Area committees and advisory councils are designed to support the authority of the State Chapter committee and to aid and encourage presentation of the ministry.No State Chapter committee, committee member, national board member, rector or retreat master has the authority to vary from the practices, procedures and policies set by the board of directors of the Kairos Prison Ministry, without the written permission of the Executive Committee of Kairos Board of Directors, or as otherwise provided in the by laws of the corporation.Anyone desiring a change in the way the ministry is operated must first present a written request to the State Chapter committee describing the change and outlining the reasons for seeking such change. If the committee, after due consideration, approves the request, it is then presented to the president of the Board of Directors of Kairos Prison Ministry for further consideration.If, after due consideration, the Board finds merit in the change, it is then referred to committee for study and consultation with the staff.

That committee will then make a recommendation to the Board of Directors at their next meeting. If the Board then approves the change, the change will take place as soon as the staff can make the necessary adjustments and notify all states.Experimentation with methods and content, etc., will only take place under the direction of the Executive Director. States originating successful requests for changes will not necessarily be the state in which the experimentation with the change will take place. Experimentation may originate with the Executive Director since program development and maintenance is a responsibility of that office.Volunteers participating in the ministry do so under the authority and direction of the State Chapter committee.

KAIROS PRISON MINISTRYKairos is developed for presentation in maximum and medium security level prisons only. Permission must be granted by a vote of the Kairos Board to enter any institution of lesser security level.Kairos volunteers attending an adult men’s or women’s weekend shall have attended an approved 3-Day Short Course on the 4th Day model , participated at a qualifying table on an approved Kairos short course or attended a Kairos qualification course before serving on a Kairos team. Exceptions may only be allowed by written permission from the Executive Director. Kairos Torch is the only Kairos ministry that does not have the above requirement because the nature of the ministry requires volunteers who have a heart for youth and experience working with that age group.Each volunteer should sign a team application containing the statements below:

1. After becoming familiar with the program, I agree to support in good faith the activities done on the weekend, as well as the theological and scriptural content of the talks as outlined in the Kairos manual.

2. I will abide by all state and institutional rules and procedures required as a condition of our entry into the institution.

3. I will abide by the rules of confidentiality as set forth in the Kairos manuals.Each volunteer shall have a current Kairos manual.It is Kairos policy to encourage volunteers to remain active in their sponsoring movements.A rector/leader may repeat the leadership job for any Kairos program only with the consent of the Executive Director.States must be sensitive to the needs of local movements and not allow Kairos to raid their leadership.Kairos shall be intentional in pursuit of minority team members and local minority leadership representation.Kairos does not use coed teams inside any institution. Kairos Torch may use coed teams inside the institution on the weekends.Alcohol will not be a part of any Kairos function.

No volunteer may be on a visitor list for any inmate in the institution in which he/she serves as a volunteer.Residents may not be assigned talks on a weekend.Residents may not be used as table workers. An exception will be made for those Journey trained facilitators who will continue with the weekly Journey program.Eucharist/Communion will not be a part of any Kairos team or weekend event.The Kairos national office shall work toward funding from affiliation fees, grants and contributions from national charitable foundations and special events organized for the purpose by States.State Chapter accounting and financial responsibilities are determined by national board policy and as per the State Chapter agreement.All published materials (Manuals, Songbooks, Freedom Guides, Grouping Cards) will be purchased through the national office. Kairos shall practice only those things which the denominations have in common but respect those things which are different.Kairos is a narrowly focused ministry. Our primary work is in support of residents inside prisons having relatively stable populations. Ministry in minimum security prisons is allowed only with the consent of the Board of Directors.Inmate participants may not have previously made a Kairos Weekend.Clergy are qualified to teach and serve as Spiritual Counselors on the weekend.Kairos weekends are single-sex, non-coed programs inside the prison. Those of opposite sex may work outside the prison. Some exceptions may be made for clergy in women's institutions by prior approval of the State Chapter committee.The Kairos short course in Christianity (3-Day weekend) will be presented approximately every six months in each institution where the ministry is active.Rectors/leaders are lay persons and responsible for all aspects of the weekend under the authority of the State Chapter committee. Rectors/leaders must have completed an Advanced Training Seminar approved by the national office.Events of the weekend are presented in the sequence specified by the manual. All talks and meditations must be included and follow the dynamics and outlines provided in the Kairos manuals. TORCH ONLYTorch is designed to be presented to youthful offenders. It is appropriate for use among both long-term and short-term populations, in both Youthful Offender facilities and Youth Detention Centers. The program targets youthful offenders 25 years and under.The primary qualification for Torch team volunteers is a heart for youth ministry. Attendance at an approved 3-day short course is desirable and encouraged, but not mandatory.Torch teams may be either single sex or coed. The Torch manual gives guidance on which type to select.Torch teams do not include resident members.

LAUNCHING A NEW MINISTRY

IN A NEW STATEChecklist for Launching Kairos, Kairos Outside or Kairos Torch

1. Initial inquiry made through the Executive Director of Kairos.2. The national office sends out an Ecumenical Notice Letter to appropriate

State Clergy.3. Under the guidance of the national office, the initial volunteer group

Initial InquiryAll inquiries into launching a Kairos ministry in a new state or country must be directed to the Executive Director of Kairos Prison Ministry, Inc., located in Winter Park, Florida.People learn of the ministry through friends and acquaintances who have a history of working in the ministry. It is appropriate for those active in Kairos to offer to help in organizing a new ministry, but the national office must be notified immediately upon demonstration of interest by any new state. Many Kairos volunteers have helped launch new 4th day movements without the help or influence of the leadership concerned with their particular movement, but such is not the case with Kairos. Because of the unique circumstances of the environment in which we work and the ecumenical nature of the ministry, far more discipline

and conformity to a standard is required of Kairos states than is true for most of the 4th Day movements.The Kairos national office will provide the guidance and manuals necessary to begin the ministry. If friends in Kairos from other states have been instrumental in raising the interest to inquire about launching the ministry, those same friends will normally be invited by the national office to help launch the ministry, but guidance to launch the ministry will continue to be under the direction of the national office with help from the supporting state.Initial inquiry may come from an institution that is interested in having a Kairos program offered in their institution, from clergy, a chaplain or a church organization interested in seeing the ministry offered in their area, or from an individual who is currently active in prison ministry.The key factor in having an initial inquiry move ahead is to have a dedicated layperson step forward and volunteer to do whatever is necessary to launch the ministry. No substantive move can be made toward the organization of the ministry until that key person, male or female, steps forward.The Kairos national office will try to assist the volunteers to launch the ministry through proper inquiry of existing potential support. If there is reason to believe sufficient support exists or can be developed, the judicatorial heads of the 4th Day movements and appropriate state clergy are sent an ecumenical notice letter of our intention to initiate Kairos ministry.Ecumenical Notice LetterHeads of the 4th Day movements and appropriate state clergy are sent a notice letter of our intention to initiate Kairos ministry for a twofold purpose. The Letter states that we will invite members of their movements to participate in Kairos, and it gives them the respect and notice they deserve as we initiate Kairos ministry within their jurisdiction.In practice, the layperson who is heading up the effort to organize the ministry may be uncomfortable in approaching the bishop of another denomination to seek his or her agreement to help organize the ministry. For this reason, the national office will undertake the task of properly notifying appropriate clergy in the new state. After the approach is made, a bishop or other senior denominational representative will quite often want to name persons in that particular denomination who are known to have an interest in prison ministry to the launch committee. One bishop may contact other bishops on behalf of the launch committee. The bishops will frequently offer financial support in launching the ministry in their diocese or conference.Kairos can trace much of the impact of the ministry to its ecumenicity. One of the great surprises for every new resident participant is that the team comes from virtually all denominations, and they obviously love one another and work in concert rather than in conflict. The prison environment fosters such a proprietary and judgmental view of religion that what they are seeing does not fit with their preconceived ideas of Christianity. Thus, our ecumenical approach serves to make the ministry far more dramatically effective than it would be if the team came from a single denomination.From a simple mathematics point of view, it is also important for us to remember that historically only about 5% of those who attend a free world 4th Day movement weekend will ever respond to a call to prison ministry with Kairos.

Those Cursillo-like ministries in prison, which have begun as single denomination ministries, have almost universally failed to be able to sustain themselves.Conversely, the spiritual uplift to team members who step outside the confines of their own denomination to serve with other committed Christians in a ministry, joining in purpose and heart in a common cause, is such a rewarding experience that this singular aspect of the ministry attracts team members without number. It is often repeated that the spiritual lift from team formation in the ecumenical setting is worth all of the effort even if that were an end unto itself. One of the great secrets of Kairos, one of which we never speak but is no less real, is the affect it has on the team members. Many of us can attest to the fact that our own spiritual maturity took a giant leap forward only when we began ministry to others. Team members are blessed through ecumenical ministry presentation.Perhaps surrendering our personal theological agendas may allow us to truly be servants to the unlovable rather than to our egos. As we die to ourselves, the Holy Spirit floods our being to make us more than we were.Kairos has never had a “statement of faith.” Not by oversight, but by design. The Kairos board has addressed the issue on several occasions and the collective wisdom has always come around to a realization that such a statement would satisfy our desires for uniformity, control and position but would diminish ecumenical participation. The entire Kairos program represents our statement of faith.OrganizationYou will not always be fortunate enough to have every 4th Day movement provide members for the original launch committee. Many of the movements are quite young and have their own growth issues to deal with before they can help Kairos. And, some of those appointed by the heads of the movements will not be motivated to be as much help as you would like. The rule to remember is to make it as ecumenical as possible and to have a minimum of seven members, one chairman and six others. From that number, sufficient enthusiasm and talent should arise to be able to carry the project to completion of the first weekend, when the launch committee automatically becomes the Kairos State Chapter committee.One task of the launch committee is to assist the national office in the process of registering Kairos Prison Ministry, Inc. to do business in your state. Your state government will normally require a statement of good standing from the State of Florida dated within 30 days of when we file, and the national office will need the name and address of a person in the new state to accept any legal documents if suit where ever filed.After the first Kairos weekend, the chairperson of the new state or a duly elected representative will represent the state as a non-voting delegate to the national board. The State Chapter committee is allowed a voting representative to the national board one year after the first Kairos weekend.There is a lot of work to be done. Committee chairs must delegate responsibility and authority in matters of raising volunteer support, communications with the institution and Chaplain, fund raising, etc.

Observe A Kairos WeekendAfter deciding who will lead the first weekend in your state, and obtaining permission for that person from the Kairos Executive Director, make arrangements with the executive director for several launch committee members to observe a Kairos weekend. The Executive Director will try to choose a weekend, which is known to be well prepared and stable, fit into the time frame of the new organization, and is reasonably nearby.Institutional AgreementThe warden, superintendent or governor of the institution, together with the chaplain, must have signed an Institutional Agreement with the Kairos launch committee before team meetings begin for a short course in an institution. A sample Institutional Agreement is found in the Appendix.The primary obligation of all employees of a department of corrections is the security of residents of the institution. That consideration must be foremost in their minds as they make any decision regarding residents. All team members must understand and support that fact in order to be effective members of a team in this ministry.It must be remembered that the terms of this agreement obligate Kairos to the performance of stated acts as fully as it commits the institution to permitting those programs to be performed as stated. We must always remember, the institutions concern for security must be completely respected, regardless of what the agreement says. We are their guests. We are there to conduct ministry, and we should always be a blessing not a hindrance to the institution.All team members are, of course, committed to faithful adherence to Kairos manuals and institutional rules. Violation of even a minor institutional rule will result in your immediate suspension from Kairos ministry. It is a commitment made by the State Chapter committee in order to protect the ministry and the safety of all concerned.Institutional Preparation for Short Course or RetreatWhen a launch committee is planning to launch the new ministry, their first institutional contact may be with the chaplain. When the chaplain decides that the ministry is right for the institution, arrangements must be made to discuss the ministry with the warden, deputy wardens and the security chief.An appointment for this, together with all subsequent appointments with the institution, will be arranged through the Chaplain. The Chaplain is the link with the institution, and it is through the Chaplain that Kairos always works. In a few institutions which do not maintain chaplains on staff, Kairos works through the programs director or a responsible party designated by the warden. Whatever the case, proper reference to the chain of command is of significant importance.The Executive Director of Kairos, or someone whom he selects, will come to the state or country for this meeting to accompany the launch committee chairman, and will be the primary spokesman for Kairos Prison Ministry. The Executive Director will describe the ministry and explain the Institutional Agreement which must be signed before the ministry begins in the institution. The person who is going to be coordinator for the first weekend should accompany them.A person designated by the Executive Director will advise the warden and Chaplain of the advantages and disadvantages of inviting Kairos to minister in the

institution, calling their attention to the additional load on security forces, and the fact that some of Kairos' most powerful team members are ex-offenders who will be entering the institution.Following this meeting, the chairperson should send a letter of appreciation to the warden or his counterpart and the chaplain.The Chaplain will be urged to attend a 4th Day movement weekend before Kairos begins in the institution. It is not required that the Chaplain do this, but it is strongly urged. The Chaplain's experience of a 4th Day weekend will not only give the Chaplain basic insight concerning the program that the residents of the institution will experience, but it will provide an opportunity for free world spiritual support for the Chaplain, which is all too often absent. If there is not a convenient 4th Day movement weekend offered, the Chaplain may observe a Kairos weekend anywhere a Kairos is scheduled. This can be arranged by the national office, and will give insight concerning the program, but has the disadvantage of not affording a free world support community for the Chaplain.Workshop for VolunteersAfter a sufficiently large group of potential volunteers has been raised to present the ministry, the Kairos national office will arrange for a one-day special workshop for volunteers. This workshop is normally presented on a Saturday and lasts all day, from approximately 9:00 a.m. until 4:00 p.m. It should be presented no less than one week and not more than two months before the first team meeting.The workshop for volunteers clearly reveals to them what they are committing themselves to do and a little of how they will be expected to conduct themselves. They will all want to be doing their street weekend in the prison. The purpose of this workshop is to help eliminate in advance many of the problems that are brought to the ministry by volunteers who do not understand that Kairos is different and distinct from their street weekend. After the volunteer workshop, the rector/leader may proceed with team formation for the first weekend in the new state.State Chapter AgreementA State Chapter Agreement is signed with Kairos which authorizes presentation of the weekend and subsequent ministry. The State Chapter Agreement is signed by the governing committee of the state who are responsible for all Kairos activities within that state. The State Chapter Agreement format is found at Appendix B. Team FormationIt is important for all team members to attend team formation meetings. They will be in the process of building a Christian community over approximately forty hours of team meetings. Scott Peck, in A Different Drum, says that community happens somewhere between thirty and forty hours. Kairos has found this to be true. Team members who do not attend the team meetings find it difficult to feel a part of the community. Once team formation starts, any change in the dynamics of the structure slows the formation of the community. Those who attend sporadically not only hurt their own absorption into the community, they handicap everyone else's progress as well.

Merchandising AgreementIf an outside vendor or business intends to use the Kairos Trademark (Logo) for promotional purposes, such as apparel and other goods, they must execute the “Merchandising Agreement”, found at Appendix B.Advisors for the First WeekendThe Kairos national office will provide experienced volunteers to work the first weekend as advisors to the team.The Executive Director or someone appointed by the Executive Director will act as advisor to the rector/leader. Someone will also be appointed to be the advisor to the servant community who is extremely well experienced in all facets of the ministry. The same process is followed for both the first men’s institution and the first women’s institution in the state.

IN A NEW INSTITUTIONAfter a ministry is established in the initial institution of a state, subsequent institutions may be initiated by having the Kairos State Chapter committee take the role of the Kairos national office for the advisory council formed for the new institution.The Kairos State Chapter committee will:

Authorize the advisory council to be formed. Provide a workshop for their volunteers. Provide advisors for their first weekend. Organize and oversee all of their accounting and financial issues.

KAIROS PEOPLE

VOLUNTEERSVolunteers are God's gift to the incarcerated and those suffering from the ravages of crime and its punishment. Though the volunteers themselves would have a hard time acknowledging the fact, they are the gift that God offers the participants through the Kairos program.Each of us, as a volunteer, wants to think that it is the program which is the gift, since we do not see much power in our lives. We know ourselves too well and secretly suspect we could not be God's gift to anyone, but we are! We are God's gift! The Kairos program is simply the best-known way to package the gift for the participants.Each new volunteer brought into the ministry comes with expectations which may be inaccurate. Certainly, as we come into the ministry from our 4th day movements, we all expect that what we will be doing in prison has some connection with the movement, which moved our hearts to volunteer for Kairos. And, since we have some knowledge of our 4th day communities, we think we know what we will be doing in prison and how we will be doing it. Very often, these assumptions are wrong and lead to actions which are a surprise to the rector and potentially harmful to the ministry. The huge majority of those drawn into Kairos ministry possess servant hearts and do their assigned job with dispatch, dignity and competence. They continue to grow in the Lord as they move from service to service. These volunteers may be given any responsibility with little concern for the outcome. Almost everyone serving on their first team is awed by the presence of God, experienced as never before. A few of them, like Peter at the Transfiguration, are overcome by the palpable vision of Christ and feel compelled to begin building fences around it, making the ministry theirs rather than God’s. These volunteers become rebellious, controlling and manipulative. They want everyone to see God the way they see God. They will seek key positions to help them control the ministry. It is important for advisory councils to recognize this type individual and use their gifts but discourage them from service in areas of greater responsibility, where they might do serious damage.We love to quote Henri Nouwen and call ourselves “wounded healers”. That’s an appropriate term for us and for what we do. However, both words are subjective ideas. How “wounded” is wounded enough to become a healer without being too wounded to work with others? How “healed” do we need to be to be a healing influence on those around us?Each volunteer has a story to tell. Some are more dramatic than others, but we all have a story to tell. Most of the stories are a poignant recounting of deliverance’s from the powers of destruction. It is critical that these stories include an honest account of a current life in recovery from those problems. Volunteers must be healed enough to give an honest account. Without current recovery, the rest of the story is a fable and actually detracts from a person's ability to be an example of healing to others.

CLERGYClergy are absolutely essential for the success of the Kairos ministries. Kairos weekends, in particular, rely heavily on participation by clergy. It is very important to insure that the ecumenical nature of the Kairos ministry be upheld, and this requires not only that the clergy come from a variety of denominations, but also that the clergy who participate refrain from activities that are unique to their particular denomination while serving as a Kairos volunteer. Kairos is not non-denominational, we are ecumenical. We do not ask volunteers to give up Christian practices that they hold dear, but we do require that they do not use those Christian practices which are not universally held dear by all denominations while working in the ministry. Kairos does not permit, in team formation or during the weekend: Alter calls, communion, speaking in tongues, slaying in the spirit, baptism, sacrament talk, or other such practices which are not held in common by the Christian community. We present only broad-based, mainstream Christian teachings, built primarily around Christ’s love. We do not present a bible study or try to be a final authority on Christian doctrine. As volunteers, our lives have been transformed by Jesus Christ, and we seek with a servant’s heart to share our experience and faith with inmates. Clergy who participate in Kairos must be willing to support and uphold the ecumenical nature of Kairos.The Kairos Board of Directors has established the following qualifications for clergy to serve on Kairos weekends:

1. Should have received formal training by their respective denominations.2. Be officially ordained or licensed.3. Recognized as clergy in good standing of religious orders.4. Be actively engaged in, or retired from, full or part-time ministry in the

church.5. Able to work effectively in an ecumenical setting.

We recognize the ordination of clergy varies by denomination. We frequently find clergy who are well “qualified”, but find it difficult to work in an ecumenical setting and without the particular practices of their denomination. Ultimately, the decision as to whether a clergy person is suited to work in Kairos is left to the good judgment of the Kairos State Chapter committee.Because clergy on Kairos teams are often involved in discussions with inmates that should only be conducted under the protection of “pastor/parishioner confidentiality” privilege, Kairos volunteers are urged to understand the limits of this privilege in the state or institution where they are working.Selection of clergy to serve as team members should also take into account their ecumenical spirit and outlook. It is critical that every team member accepts the principles and goals of Kairos, and is willing to work cooperatively with other brothers and sisters in the Lord.

TEAMS In recruiting people for Kairos ministry, special attention should be given to certain categories of volunteers. If Kairos could imagine it possible to meet the demand for ministry, Kairos would need more volunteers than we could ever find. Volunteer recruitment should take place in the broadest possible effort. Still, it is

worth whatever additional effort it takes to seek those with special gifts for the ministry, and to use discretion in discouraging too many potential risks.Kairos needs an abundance of those who bring special gifts, and Kairos will always have a few of those who present special risks to the ministry. We will never be able to recruit enough of the former and, because of the nature of the human condition, we will never be free of the latter. We can improve our performance on both ends of the spectrum by learning to love one another better and be servant focused.Those who bring special gifts:

Minorities. Educationally or physically handicapped. Persons of authority who can become real people to the residents. Convicted felons who have overcome the odds. Those who can testify to a life of recovery from addictions.

Those who present special risks to the ministry: Those who demonstrate rebellion:

Against their church authority. Against prison authority. Against the rector.

Those who demonstrate promiscuity: Heterosexual Homosexual Relational

Those who demonstrate controlling tendencies: Toward the leadership. Toward the team. Toward the participants of a program. Toward the institution, administration or Chaplain.

Kairos looks best in the eye of the observer, feels best to the volunteer and participant, and performs best for our Lord if we take just enough caution to avoid perpetual problems generated by a relatively few individuals. It is unfortunate when the ministry becomes focused on the negative rather than the ministry itself.Kairos does not want to prohibit all who represent risks to the ministry from serving the ministry. We all have sinned, and all in one way or another share in the responsibility of a risk to the ministry. Our energies should be toward ministry rather than correction. Our energy is best spent when we strive together toward a wholly representative body for ministry.In every team formation sequence, in every single Kairos weekend, we hear and contemplate upon the story titled "One Body, Many Parts" as found in 1 Corinthians, beginning at 12:12. Our hearts know it is right, but it is difficult to carry it with us when we want to claim the ministry as our own.

DISCIPLINEAny ministry that has been active for a period of time will inevitably face a trial of conflict between volunteers, or activity on the part of one or more volunteers which may be seen as inappropriate. When those things occur, it is good to have a plan to apply rather than leave the outcome up to the pressures of the moment. All volunteers whether in leadership or not serve in Kairos Prison Ministry as a

privilege not a right. Kairos Prison Ministry, because of the security needs inherent in this ministry, always reserves the complete right and discretion to decide which volunteers may serve on teams or otherwise represent this ministry.The only disciplinary action that can be applied to Kairos volunteers who are in rebellion or conducting themselves inappropriately is to prohibit or suspend their participation in ministry activities. Consistent with Kairos operational policies, the responsibility and authority for discipline of volunteers is primarily delegated by the Kairos Board of Directors to the State Chapter committees, and where possible any such activities should be conducted at the level of the ministry closest to the actual circumstances of the problem. Any disciplinary activity should be processed under the following:

1. Kairos recognizes that diversity among Kairos volunteers is one of the great strengths of the ministry. We also understand that all parts of the ministry serve under the authority of the Board of Directors. The Board of Directors has delegated certain authority to the respective State Chapter committees to supervise the Kairos ministry in their state. The State Chapter committee guides and supervises the volunteers, advisory councils or area committees in their state.

2. Authority for the Kairos weekend is vested in the weekend's rector under provisions stated in the Kairos Manual. Authority includes team selection, formation and conduct of the weekend. The rector, under the guidance and support of the State Chapter committee, is the primary authority on all matters related to the team.

3. Primary authority over volunteers in the continuing ministry of Kairos should be the journey or retreat leader. Where no leader is specifically designated, primary authority lies with the Advisory Council.

A Rector or Retreat Leader has primary authority over the team. Any complaint against a team member should be lodged with the Rector or Retreat Leader, who should attempt to solve the problem as soon as possible in a manner which is as discrete and loving as possible. The leader should first attempt to counsel with the parties to the complaint in a loving and judicious manner, but ultimately has authority to remove any person from the team whose conduct is patently disruptive to the retreat or appears likely to be disruptive.In the event a Rector or Retreat Leader removes a volunteer from a team or deems further counseling is necessary for that volunteer, such removal or recommendation for counseling should be communicated to the Advisory Council chairperson as soon as practicable following the weekend or retreat. The communication should state why the volunteer was removed from the team or is being recommended for further counseling. The Advisory Council should attempt to resolve the problem promptly, or if deemed necessary, refer the matter to the State Chapter committee, following the procedure outlined below. The Advisory Council can temporarily suspend a volunteer for conduct which conflicts with Kairos manuals and policies, but permanent suspension must come from the State Chapter committee.In the case of a non-team or non-retreat matter, any complaint should be lodged directly with the chairperson of the Advisory Council. The Advisory Council would seek to resolve the problem in consultation with the volunteers involved. If resolution is not possible, the Council should refer the complaint to the State Chapter committee chairperson. The complaint should be described in writing with

a synopsis of efforts taken by the Council to resolve the problem, and the Council's recommendation for sanctions, if any.When a disciplinary matter has been referred to the State Chapter committee Chairperson, the chairperson will invite a response from the volunteer whose conduct has been questioned as inappropriate. The volunteer's response must be in writing and address the specifics of the complaint.The chairperson will then forward to each State Chapter committee member copies of all communications germane to adjudicating the complaint. After a reasonable length of time for due consideration, the chairperson will poll the committee for reactions and recommendations. The chairperson will communicate the committee's collective decision to the volunteer, including a description of any sanctions the committee is placing against the volunteer. The decision will also be communicated to the Advisory Council's chairperson and, if necessary, to the prison administration.The State Chapter committee may decide any of the following:

1. A finding of no inappropriate behavior.2. A reprimand, with assurance from the volunteer that the inappropriate

conduct will not happen again.3. Suspension of the volunteer from service in the Kairos ministry for a definite

period of time.4. Suspension of the volunteer from service in the Kairos ministry until notice

by the State Chapter committee that the volunteer may resume service.5. Permanent suspension of the volunteer from Kairos ministry activities.

The State Chapter committee's decision is final. The written decision and accompanying documentation will become part of the confidential portion of the committee's records. No sanctions will be placed by any Kairos leader against a volunteer without following the process outlined above.Explicit in the process described above is the necessity to resolve questions of conduct as quickly and judiciously as possible. Recommendations from leaders of Kairos activities, and any subsequent recommendations from Advisory Councils, should be given immediate and serious consideration.The Apostle Paul probably said it best. In his admonition to the Christian community in Colossea, he wrote, “You are the people of God; he loved you and chose you for his own. So then, you must clothe yourselves with compassion, kindness, humility, gentleness, and patience. Be tolerant with one another and forgive one another whenever any of you has a complaint against someone else. You must forgive one another just as the Lord has forgiven you. And to all these qualities add love, which binds all things together in perfect unity.”Under the by laws of Kairos Prison Ministries, Inc., disciplinary action may be taken immediately by the Executive Committee of the national Board or by the Kairos Executive Director when the committee or the Executive Director determines the volunteer’s conduct: (1) may jeopardize the security of an institution, or (2) has acted dishonestly, or (3) whose actions or statements are contrary to the mission statement and manuals of Kairos Prison Ministry, or (4) whose actions or statements substantially hinder or are detrimental or contrary to the work of the Kairos ministry and others engaged in it.

ARTICLE INAME AND LOCATION OF CORPORATION

Section 1.The name of this Corporation is, Kairos Prison Ministry Inc. The principal office is located at 130 University Park Drive, Suite 170, Winter Park, FL 32792.

ARTICLE IIPURPOSE

Section 1.The purpose of this Corporation is to transact any lawful business under the laws of the State of Florida and to assist properly constituted authorities in the building of strong Christian communities within penal institutions, classified as medium, close, and/or maximum security, which have stable, long-term populations. The Executive Committee of the Board of Directors shall resolve any questions concerning the interpretation of the Article.

ARTICLE IIIORGANIZATION

Section 1.The affairs of Kairos Prison Ministry, Inc shall be operated and governed by its Board of Directors in accordance with all applicable State and Federal law, the Articles of Incorporation and its By-Laws. The local ministry will be operated by State Chapters and National Committees organized into nine regions established under the authority and with the approval of Kairos Prison Ministry, Inc., as granted from time to time. All board members, staff, State and National Chairpersons, and all other ministry volunteers are to conduct themselves in a manner consistent with the Kairos Mission Statement, Kairos Manuals, and all other policies and actions as promulgated by the Board of Directors of Kairos Prison Ministry, Inc.

Region 1: Maine, New Hampshire, Vermont, Massachusetts, Rhode Island, Connecticut, New York, Pennsylvania and New Jersey.

Region 2: Ohio, West Virginia, Kentucky, Indiana, Illinois, Michigan and Wisconsin.

Region 3: Virginia, Tennessee, North Carolina, South Carolina, Delaware and Maryland.

ARTICLE VBOARD OF DIRECTORS

Section 1. Number and Qualifications. The affairs of the Corporation shall be governed by a Board of Directors composed of one representative from each state and each foreign country who has had continuous approved ministry for no less than one year from their initial Adult, Torch, or Outside weekend. These representatives will be elected by their respective state or national committee by majority vote. They will have full voting privileges and serve three-year terms. In addition, there will be at-large and ex-officio members of the board.There will be no fewer than 10, nor more than 15 at-large members. The at-large members will be nominated by the Kairos Executive Director, and approved by the Board of Directors. At-large members will have full voting privileges, and serve three-year terms like all other voting Directors.Ex-officio members may be nominated by the Kairos Board President or the Kairos Executive Director and shall be approved by the board. Ex-officio members will be selected because they possess unique or special skills which will support the ministry and program activities of the board. Ex-officio members will serve two-year terms, but have no voting rights. The immediate past board president and executive director will continue as ex-officio members of the board for two years following their retirement, if they are not otherwise serving as an appointed or elected board member. The absence of ex-officio members shall not be considered for purposes of determining a quorum.Board members so elected shall take office at the annual winter board meeting, upon the adoption of this by-law, in February of 2003.No salaried employee of the ministry shall serve as a voting member of the Board of Directors. Whenever a vacancy occurs, the state or foreign country may replace their board representative by majority vote of their state or national committee. The replacement board member will finish the term of the vacated board member. When a vacancy occurs and a replacement is selected, the state or national chairperson will promptly notify the National Office.Each voting board member shall have one vote. The casting of that vote must be in person by the board member at the board meeting. There is no proxy voting nor may another person exercise a board member’s vote.Section 2. Governing Powers. The Board of Directors shall have all the powers and duties necessary or appropriate for the administration of the affairs of this Corporation and may do all such acts and things as are not prohibited by law or by the Articles of Incorporation or by these Bylaws.Section 3. Election and Term of Office. Board members except for at-large and ex-officio will be elected by majority vote of their state chapter or national chapter committee. Voting board members which includes at-large members will serve three-year terms. They may serve two consecutive terms, and after an interval of at least one year may be re-elected to the national board for an additional two terms. After four terms, they may only serve upon approval of the board as an ex-officio non-voting member. New board

members will be acknowledged and recognized upon receipt at the national office of a letter by the state chapter or national chapter chairperson stating the board member’s selection. The new board member will be installed at the annual winter board meeting. Board terms will be staggered so that approximately one-third of the Board member’s terms will expire each year. The term of each state representative or national representative in effect at the time of the adoption of these by-laws in February of 2003 shall continue as presently constituted to provide such stagger.Section 4. Vacancies. Vacancies in the Board, except for at-large or ex-officio, shall be filled by majority vote of the board member’s state chapter or national chapter committee. The new board member is acknowledged and qualified upon receipt at the national office of a letter by the state chapter or national chapter chairperson stating the board members selection. The new board member will be seated at the next regularly scheduled board meeting, and will complete the remaining un-expired term of the board member they are replacing. The board member filing a vacancy is eligible for re-election, but in no event can serve more than a total of twelve years. Vacancies for at-large members will be filled by recommendation of the executive director and approved by the board at the next regularly scheduled board meeting. Vacancies of ex-officio members will be filled by recommendation of the Board President or Executive Director and approved by the board at the next regularly scheduled board meeting. New at-large and ex-officio board members will have new terms of three and two years respectively, but may not serve more than a total of twelve years.Section 5. Removal of Directors or State and National Chairpersons. At any regularly scheduled or special board meeting called with at least sixty (60) days notice, any one or more of the Board of Directors or state chapter chairperson(s) or national chapter chairperson(s) may be removed by a majority vote of the board where a quorum is present. A cause for removal may include, but is not limited to, (1) conduct which is dishonest, or (2) jeopardizes security at an institution, or (3) whose actions or statements are contrary to the mission statement and manuals of Kairos Prison Ministry, Inc., or (4) whose actions and statements substantially hinder or are detrimental or contrary to the work of the Kairos Prison Ministry and others engaged therein.Any such action for removal may only be initiated by a board member, by sending a petition for removal to the Board President with a copy to the impacted board member or state chapter or national chairperson. The Board President with at least sixty (60) days notice will schedule the petition for removal on the agenda of the next regularly scheduled meeting or may call a special meeting. At the Board President’s discretion, the impacted person will have an opportunity to speak in their own behalf.In the event a board member (except ex-officio) fails to attend three (3) consecutive meetings of the board, that board member’s seat shall automatically be considered vacant. A new board member shall be selected as per section four.Section 6. Compensation. No compensation shall be paid to Directors for their services in acting as Directors. Directors may undertake special assignments under contract with advance Board

approval. Directors may be reimbursed for necessary travel expenses to attend board meetings and national planning or national training workshops with prior permission of the board. Section 7. Annual Meetings. The Board of Directors shall have at least two (2) meetings annually, and such other special meetings as the board or executive committee shall direct.Section 8. Regular Meetings. The two regular meetings of the Board of Directors may be held at such time and place as shall be determined by a majority of the Board, but not less than twice a calendar year. Notice of the meetings of the Board of Directors shall be given by mail, telephone or electronic means at least thirty (30) days in advance. All board meetings shall be conducted by rules of order as the Board may adopt by majority vote.Section 9. Special Meetings. Special meetings of the Board of Directors may be called by the president on ten (10) days notice to each Director, given personally or by mail, telephone or telegraph, which notice shall state the time, place and purpose of the meetings. Special meetings of the Board of Directors shall be called by the President or Secretary in like manner and on like notice on the written request of at least three (3) Directors.Section 10. Waiver of Notice. Before or at any meeting of the Board of Directors, any Director may, in writing, waive notice of such meeting, and such waiver shall be deemed equivalent to the giving of such notice. Attendance by a Director at any meeting of the Board shall be a waiver of notice by him of the time and place thereof. If all the Directors are present at any meeting of the Board, no notice shall be required and any business may be transacted at such meeting. To the extent permitted by law, any lawful action of the Board of Directors may be taken without a meeting if written consent to such action is signed by all the Directors and filed with the minutes of the Board.Section 11. Quorum. At all meetings of the Board of Directors, a majority of the voting directors shall constitute a quorum for the transaction of business. The acts of the majority of the voting directors present at a meeting at which a quorum is present shall be the acts of the Board of Directors, except where a larger number is required by law, Articles of Incorporation or these bylaws. Voting board members each have one (1) vote, and no proxy voting is permitted.

ARTICLE VIEXECUTIVE COMMITTEE

Section 1. Designation. The Board of Directors by majority vote may select an Executive Committee made from active voting members of the Board. The Executive Committee shall consist of ten (10) persons plus the acting President of the Board of Directors who will preside over the meetings.

Each executive committee member shall have one (1) vote, and the Board President will only vote in the event of a tie vote. In addition, the treasurer and executive director will serve as non-voting members. Executive committee members will serve one (1) year terms, but may be re-elected for an additional two (2) terms, if they remain on the board.At the annual winter board meeting, the nominating committee will present a slate of ten (10) persons from the active voting members of the board. This slate will include at least two (2) at-large members of the Board. Each nominated person must be voted upon individually. If a nominated person is not selected by majority vote of the Board, the nominating committee, will present an additional individual until a full executive committee is selected.The designation of such Executive Committee, and the delegation of authority herein granted, shall not operate to relieve the Board of Directors or any member thereof of any responsibility imposed by law. No member of the Executive Committee shall continue to be a member thereof after he/she ceases to be a voting member of the Board of Directors. The Board of Directors may fill vacancies to the executive committee or change any member except for the Board President by majority vote.Section 2. Powers. During the intervals between meetings of the Board of Directors, and subject to such limitations as may be provided by law, these bylaws, or by resolution of the Board of Directors, the Executive Committee shall have and may exercise all authority of the Board of Directors in the management of the Corporation, including, but not limited to:

a) Authority with respect to the preparation and publication of all Kairos literature, including, without limitation, the talks for the weekend, the manual rules, regulations, and suggestions with respect to the weekends and the operations of Kairos in the various regions and states.

b) The registration and protection of the trademark and trade name of Kairos.c) Admission of new states to Kairos and the setting of standards for their

admission.d) Realignment of regional boundaries.e) Disciplining or terminating states.f) Immediately remove or suspend any ministry volunteer who the committee

determines (1) may jeopardize the security of an institution, or (2) has acted dishonestly, or (3) whose actions or statements are contrary to the mission statement and manuals of Kairos Prison Ministry, or (4) whose actions or statements substantially hinder or are detrimental or contrary to the work of the Kairos ministry and others engaged therein.

The Executive Committee shall make a full report of all actions at the next meeting of the Board of Directors, and minutes of all such meetings and a record of actions taken shall be distributed beforehand.Section 3. Meetings. Meetings of the Executive Committee may be held at such time and place as may be determined by the Executive Committee upon the giving of notice, personally or by mail, telephone or telegraph at least ten (10) days prior to the date of the

meeting. Notice may be waived if all members of the committee concur. No proxy shall be permitted at Executive Committee meetings. Conference calls may be used for meetings under appropriate circumstances.Section 4. Quorum. A majority of the entire Executive Committee shall be necessary to constitute a quorum for the transaction of business, and the act of the majority of the members present at such meeting at which a quorum is present shall be the act of the Executive Committee.

ARTICLE VIICOMMITTEES

Section 1. Standing Committees. The following permanent Standing Committees are established and the Chairperson of each committee will be appointed and or removed by the President of the Board of Directors.

a) Finance Committee - responsible for oversight of the fiscal planning and operations of the Corporation.

b) Training Committee - responsible for the planning, development, and oversight of the execution of all training conducted within the Corporation.

c) Long Range Planning Committee - responsible for the planning, development, and oversight of all current and future programs of Kairos prison ministry, to include program content.

d) Conference Committee - Responsible for the strategic planning and operational oversight of the annual Summer Conference of the Corporation, and any other national conferences of the Corporation as directed by the President.

e) Nominations Committee - This committee shall be responsible for preparation of nominations for the election of officers of the corporation and securing nominations for the executive committee, to be presented to the Board of Directors for vote at the Board’s Annual Winter meeting. The nominating committee will also provide nominations for vacancies as required. The nomination committee should consider nominations which will adequately represent the diversity of volunteers and programs within the Kairos Prison Ministry.

Section 2. Ad hoc Committees. The President shall appoint ad hoc committees as required to assist in the conduct of the affairs of the Corporation. Committees may include both directors and non-directors.Section 3: Committee Procedures.

(a) Purpose: The purpose of Board Committees is to assist in accomplishing the business of the Board of Directors. Committees are responsible for bringing various aspects of the business of the ministry before the Board for deliberation and final action. Committees, except the executive committee, may not themselves establish Board policy or implement procedures for the ministry without board approval. Committee recommendations requesting

board action must be brought initially before the Board in the form of a written motion, which thereafter during deliberations may be amended, modified or otherwise altered by oral motions by voting board members.

(b) Membership: Each committee shall have a voting membership of between three (3) and thirteen (13) members. Each voting committee member will have one vote and proxy voting is not permitted. Members of each committee, with the exception of the Chairperson, shall be appointed by the committee chairperson. Nominations or suggestions for committee membership may be made by board members to the committee chairperson. The committee chairperson shall inform the Secretary of the Board and the National Office of the names of the committee members. The Secretary of the Board will be responsible to maintain a roster of current committee membership.

(c) Chair: The President of the Board of Directors shall appoint the chairperson of each Board Committee from the active voting membership of the Board, except for the Chairperson of the nominating committee who shall be the immediate past President of the Board. In the event the immediate past president is unable to serve, the Board President may appoint any present or former board member to Chair the nominating committee.

(d) Sub-Committees: A committee Chairperson with the Board President’s approval may appoint sub-committees of appropriate size and membership to assist the work of the committee.

(e) Committee Meetings: All committee meetings will be open to all active Kairos volunteers, and, if in the opinion of the committee Chairperson time permits, the committee may receive information from volunteers present. A decision to bring a matter before the Board for consideration shall be the result of a majority vote of the voting membership of the committee.

ARTICLE VIIIOFFICERS

Section 1. Designation. The principal officers of the Corporation shall be a President, one or more vice-presidents, a Secretary and a Treasurer, all of whom shall be elected by the Board of Directors. No two offices, except those of Secretary and Treasurer, may be held by the same person. The Directors may appoint an assistant secretary and assistant treasurer and such other officers as in their judgment may be necessary.Section 2. Election of Officers. The officers of the Corporation shall be elected annually by the Board of Directors at its annual meeting and, unless sooner removed by the Board, the officers shall serve for a term of one year and until there successors are elected and shall qualify. They may be reelected to serve additional terms in office. Any vacancies occurring in offices shall be filled by the Board of Directors. The Board of Directors may appoint temporary or acting officers as may be necessary during the temporary absence or disability of the regular officers. The treasurer may be elected from ex-officio members of the Board. All other officers shall be elected from the voting membership of the Board.

Section 3. Removal. Upon an affirmative vote of a majority of the members of the Board of Directors, any officer may be removed, either with or without cause, and his successor elected at any meeting of the Board of Directors.Section 4. President. The President shall preside at all meetings of the Board of Directors. He shall have all the general powers and duties which are usually vested in the office of President of a corporation, including the power to appoint committees to assist in the conduct of the affairs of the Corporation. Committees may include both directors and non-directors.Section 5. Vice-president. There shall be one or more Vice-presidents, as the Board of Directors shall from time to time determine. One of these will be designated First vice-president. In the absence or disability of the President, the First Vice-president shall perform the duties and exercise the powers of the President. The Vice-presidents shall also perform such other duties as shall be prescribed by the Board of Directors.Section 6. Secretary. The Secretary shall keep the minutes of all meetings of the Board of Directors and of the Executive Committee. He shall supervise the custody of the seal of the Corporation, and have oversight responsibility of such other books and records of the Corporation as the Board of Directors may provide. He shall perform the duties and functions customarily performed by the secretary of a corporation together with such other duties as the Board of Directors may prescribe.Section 7. Treasurer. The Treasurer shall have oversight responsibility of the corporate funds and securities, and shall be responsible for full and accurate account of all receipts and disbursements in books belonging to the Corporation and shall oversee the deposit all moneys and other valuable effects in the name of and to the credit of the Corporation in such depositories as may be designated by the Board of Directors. The Treasurer shall oversee the disbursement of the funds of the Corporation as may be ordered by the Board of Directors, taking proper vouchers for such disbursements, and shall render an account of all the transactions as Treasurer and of the financial condition of the Corporation whenever called upon to do so. If the Treasurer is not already serving as a duly elected member of the Board of Directors, the Treasurer shall be appointed as an ex-officio member, without vote.Section 8. Executive Director.

(a) The Executive Director is the Chief Executive Officer of the Corporation and is responsible for giving leadership to the organization, its staff and volunteers.

(b) The Executive Director is responsible to the Board of Kairos, Inc., for the operations of the Kairos Prison Ministry and the fulfillment of its mission statement.

(c) The Executive Director is an ex-officio member of all standing and appointed committees.

(d) The Executive Director will be responsible for responding to inquiries concerning the establishment of Kairos Ministries in new states and countries.

(e) The Executive Director will choose those states and institutions which are to be approved as models for observers.

(f) The Executive Director will nominate at large members for approval by the Board.

(g) The Executive Director or his designee will guide Kairos Ad Hoc Committees in new states through the steps that have been approved by the Kairos Board of Directors for beginning a Kairos ministry in a new state.

(h) The Executive Director will be responsible at his own discretion or at the direction of the Executive Committee for auditing Kairos weekends and retreats in any Kairos state and for reviewing adherence to the Kairos manuals and agreements made by both state leaders and institutional administrators.

(i) The Executive Director is authorized to waive, temporarily, adherence to the manuals and guidelines in instances which the Executive Director may deem necessary, pending Executive Committee approval for a variance.

(j) The Executive Director will report to the Board of Directors or the Executive Committee on adherence to the manuals in Kairos states. The Executive Director will be responsible for making recommendations concerning variances to be allowed to such ministries.

(k) The Executive Director will maintain ties with the national organizations of movements offering 3-day short courses in Christianity from which Kairos volunteers are drawn. The Executive Director should also periodically attend their national meetings, representing Kairos.

(l) The Executive Director will be directly responsible for all written materials for use in the Kairos manuals or other publications, subject to review by the editorial committee and program review committees and subsequent approval of the Board of Directors. At the Executive Director’s discretion, writing may be delegated to volunteers or to office staff.

(m) The Executive Director shall be responsible for submitting an annual budget, drawn in cooperation with the treasurer to the Board of Directors. The Executive Director will be responsible for setting employees’ salaries and benefits. The Executive Director is responsible for establishing adequate internal controls to insure proper use and protection of Kairos, Inc.’s financial resources.

(n) The Executive Director will be responsible for the employment and supervision of persons to fill all staff positions authorized in the budget, and for the employment of any temporary help which may be deemed necessary. All employees will be responsible to the Executive Director for job assignments.

(o) While the Executive Director is responsible to the Board of Directors and is responsible for such duty assignments as are made by the Board, it is also understood that the Executive Director is to work under the sole supervision and at the sole direction of the President.

(p) The Executive Director will prepare all materials necessary for the President’s proper exercise of the office.

(q) The Executive Director shall, as a result of accumulated knowledge of persons involved across the country, be required to sit as an ex-officio member of the nominating committee.

(r) The Executive Director will be expected to advise the Board of Directors and the Executive Committee for fund-raising ideas and concepts and to implement fund-raising procedures directed by the Board.

(s) All expenses incurred on behalf of Kairos, Inc., by the Executive Director in carrying out assigned duties shall be reimbursed by the ministry in accordance with budgeted allowances.

(t) The Executive Director’s work shall be reviewed annually by the President. Results of the review shall be reported to the Executive Committee at the last meeting prior to the annual meeting.

(u) The Executive Director may be removed, for good and sufficient cause, by a two-thirds vote of the membership of the entire Board

(v) The Executive Director may temporarily suspend any ministry volunteer whose conduct: (1) may jeopardize the security of an institution, or (2) has acted dishonestly, or (3) whose actions or statements are contrary to the mission statement or manuals of the Kairos Prison Ministry, or (4) whose actions or statements hinder or are detrimental or contrary to the work of the Kairos ministry and others engaged therein. Such action by the Executive Director shall be brought by the Executive Director to the next meeting of the executive committee for final action.

ARTICLE IXAMENDMENTS

Section 1.Except as otherwise required by law, these bylaws may be amended at any regular meeting of the Board of Directors or at any special meeting called for that purpose, provided that written notice of the proposed amendment shall have been given at least thirty (30) days prior to such meeting. Such amendment shall require an affirmative vote of two-thirds of the members of the Board of Directors present at such meeting.

ARTICLE XCORPORATE SEAL

Section 1.The Board of Directors shall provide a suitable corporate seal containing the name of the Corporation, which seal shall be in the charge of the Secretary. If so

directed by the Board of Directors, a duplicate seal may be kept and used by the Treasurer or any assistant secretary or assistant treasurer.

ARTICLE XIFISCAL MANAGEMENT

Section 1. Fiscal Year. The fiscal year of the Corporation shall begin on the 1st day of January of every year. The commencement date of the fiscal year herein established shall be subject to change by the Board of Directors.Section 2. Books and Accounts. Books and accounts of the Corporation shall be kept under the direction of the Treasurer of the Corporation in accordance with the requirements of the Articles of Incorporation, these Bylaws, the Board of Directors, or any applicable statute.Section 3. Auditing and Reports. At the closing of each fiscal year, the books and records of the Corporation shall be examined by an Audit Committee or in such other manner as may be designated by the Board. The Executive Director of the Corporation shall cause to be prepared annually a full and correct statement of the affairs of the Corporation, including a balance sheet and financial statement of operations for the preceding fiscal year, which shall be submitted at the annual meeting of the members and filed with the Secretary of the Corporation.Section 4. Execution of Corporate Documents. The Executive Director, as the Chief Executive Officer, shall have the authority to execute all notes, contracts and checks on behalf of the Corporation unless the Board of Directors specifically directs otherwise.Section 5. Indemnity. Each officer, Director or employee of the Corporation shall be indemnified by the Corporation to the maximum extent permitted by the law against expenses reasonably incurred by him in connection with any action, suit or proceeding to which he may be made a party by reason of his being or having been an officer, a Director or employee of the Corporation, except in relation to matters as to which he shall be finally adjudged in such action, suit or proceeding to have been derelict in the performance of his duty as officer, Director or employee.

Appendix B - State Chapter AgreementTHIS STATE CHAPTER AGREEMENT (the “Agreement”) is made effective as of the _____ day of _______________, 20____ (the “Effective Date”), by and between Kairos Prison Ministry, Inc., a Florida not-for-profit corporation, herein referred to as (“Kairos”), the members of the supervisory board, and their successors, (the “Members”) for Kairos operations in the State of _________________ (the “State”) and _____________________, as the Treasurer of Kairos operations in the State, and their successors, (the “Treasurer”).

BackgroundA. Kairos has established and operates through its Board of Directors an international, ecumenical Christian ministry whose programs are designed to be implemented in correctional institutions. Kairos’ ministry programs (the “Programs”) are conducted by teams of volunteers, who are selected and trained by boards exercising supervision over Kairos ministry activities in various States. The Members, as such may exist from time to time, form the supervisory board of all Kairos ministry activities in the State. Within the State, groups known as advisory councils and area committees coordinate Programs and volunteers at particular correctional institutions.B. Kairos owns and has expended and may in the future expend considerable resources in developing and promoting the trademark “Kairos Prison Ministry (and design),” which is registered with the United States Patent and Trademark Office as Registration No. 1299957 and other trademarks, service marks and logos (collectively, the “Trademarks”). Kairos desires to control the use of the Trademarks in each State in connection with their activities on behalf of Kairos.C. The parties desire to enter into this Agreement in order to set forth their various obligations to one another with respect to the operations of the Kairos Programs in the State, the Trademarks and the other matters set forth herein.

AgreementIn consideration of the promises and covenants described herein, Kairos, the Members and the Treasurer agree as follows:General. Kairos hereby authorizes the Members to select, train and supervise volunteers to conduct the Programs in the State during the term of this Agreement, according to the terms and conditions of this Agreement and the written guidelines set forth in the manuals and policies provided from time to time to the Members by Kairos (the “Manuals and Policies”). The Members shall be authorized to act on behalf of Kairos in the State, but only in accordance with, and as specifically set forth in this Agreement and the Manuals and Policies.Obligations of the Members. During the term of this Agreement, the Members shall:

a) Select and train volunteers in accordance with the Manuals and Policies, and supervise all activities of advisory councils, area committees and volunteers in the State, to the extent undertaken for or on behalf of Kairos.

b) Subject to the Kairos Bylaws, select a representative to serve on the Board of Directors of Kairos and to attend meetings of the Board of Directors of Kairos.

c) Cooperate with Kairos in connection with any local, state or federal filings required to be made by Kairos.

d) Deliver to the State Treasurer or, as directed or permitted by the Treasurer, any other person for use by Kairos in the State, all Receipts (as defined in paragraph 3(a) below) received by any Member from a contributor, patron or a volunteer.

e) Notify Kairos of any unauthorized use, misuse or infringement of the Trademarks or the Programs, or any trademarks, names, or programs that are similar to the Trademarks or the Programs.

f) Require newly elected or appointed members of the State supervisory board to execute a Joinder to this Agreement in the form attached hereto as Exhibit A, and to deliver all such executed Joinders to the Kairos national office promptly upon execution.

g) Not publicly distribute or disclose the contents of the Program materials and the Manuals and Policies, other than in connection with the conduct of the Programs for Kairos.

h) Not use the Program materials or any Trademark or conduct the Programs, except on behalf of Kairos and in accordance with the Manuals and Policies.

i) Report to the State Treasurer any and all Proceeds received, and any and all disbursements made, in connection with a Program or to or by Kairos.

j) Comply with all requirements and restrictions set forth in the Manuals and Policies and Bylaws of Kairos, and accept and comply with any changes in the Manuals and Policies or Bylaws implemented by Kairos from time to time.

k) Not have any authority to bind or obligate Kairos to any debt, obligation or contract, except as may be specifically approved in the Manuals and Policies or upon consent of the Board of Directors of Kairos.

l) Perform his or her duties for Kairos in good faith and in a manner reasonably believed to be in the best interests of Kairos.

m) Not permit the disposition or transfer of Kairos property without the consent of Kairos, except for property disposed of in the normal course of performing Programs for Kairos in the State.

n) Not permit the use of any Kairos automobiles, trailers, vans or other vehicles unless and until such vehicle has been insured for liability.

o) Not permit any cash or property to be used for the personal benefit of any Member or volunteer, including for loans to such Member or volunteer.

p) Supervise and monitor the obligations and activities of the Treasurer, as set forth herein, and, as necessary, appoint replacement Treasurers.

q) Appoint and, as necessary, remove those individuals who are authorized signatories on Kairos bank accounts in the State.

Obligations of the Treasurer. During the term of this Agreement, the Treasurer shall:

a) Supervise the collection of all payments and donations of cash and property made to, for the benefit of, or in connection with the activities of Kairos in the State and received by or through the Members or any volunteers in the State, including any amounts received in connection with sales of goods (collectively, the “Receipts”).

b) Maintain accurate financial records, as prescribed from time to time by the Kairos Board of Directors, with respect to all Funds received and disbursed in the State.

c) Open, monitor and/or maintain one or more bank accounts in the State in the name of Kairos Prison Ministry, Inc.

d) Act as an authorized bank signatory, and supervise other appointed signatories, for Kairos bank accounts in the State, and deposit or require the deposit of all cash and payments received into such accounts on behalf of Kairos.

e) Assure that monies are expended or disbursed in the State in a reasonable manner, in accordance with the Manuals and Policies, and only in connection with legitimate and necessary expenses of Kairos, in connection with the operation of Programs or as otherwise permitted by the Manuals and Policies.

f) Transfer to Kairos, on a quarterly basis, the Affiliation Contribution (as defined in paragraph 5 below) and deliver to Kairos, along with the Affiliation Contribution, a written report detailing the Treasurer’s calculation of the Affiliation Contribution.

g) Prepare (or have prepared) and deliver to Kairos on a quarterly basis a profit and loss statement and a balance sheet for Kairos activities in the State, along with such other financial reports as shall be required by the Board of Directors of Kairos, and cooperate with Kairos in the preparation of Kairos’ tax returns.

h) In the event the Treasurer resigns or is terminated pursuant to paragraph 7 below, cause all receipts and accounting records to be delivered to the succeeding State Treasurer, the State board chairperson or Kairos.

i) To satisfy IRS requirements, Kairos reserves the right to request the transfer to Kairos, upon and in accordance with a written request from Kairos, funds requested by the Board of Directors of Kairos in addition to the Affiliation Contribution.

j) Comply with all of the obligations applicable to a Member.Obligations of Kairos. During the term of this Agreement, Kairos:

a) Shall provide the Members, at an appropriate cost, with copies of the following materials for distribution to volunteers in the State:

i. Manuals and Policies, as such exist and may be amended from time to time, and

ii. Any Program materials (including songbooks, crosses, guides, manuals, tapes, CD’s and grouping cards), as such exist and may be amended from time to time.

b) Shall provide advice and support to the Members in connection with the training of volunteers and the operation of Programs in the State.

Affiliation Contribution; Ownership of Funds.a) On a quarterly basis during the term of this Agreement, the State Treasurer

shall forward to Kairos the Affiliation Contribution (as defined below). The “Affiliation Contribution” shall be equal to the greater of (1) fifteen dollars ($15) for each inmate or, in the case of the “Kairos Outside” Program, each guest who completes a Program in the State during the quarter, or (2) ten percent (10%) of all Funds received in the State during such quarter. For purposes of this Agreement, the term “Funds” shall mean all cash donations, the net receipts on goods sold (after deducting the cost of goods sold), fees paid in connection with programs, or other activities, and all receipts from the sale of donated property.

b) The Members and the Treasurer acknowledge and agree that all “Funds” collected in the State shall belong to Kairos and that use of the “Funds” shall, at all times, be subject to the direction of the Board of Directors of Kairos.

Use of Trademark.a) The Members may, as representatives of Kairos, use the Trademarks in

connection with their obligations hereunder only for those purposes, and only in the manner, described in this paragraph 6, and all of its sub-parts.

b) The Members may use the Trademarks solely in connection with the Members’ activities on behalf of Kairos, in a manner consistent with the use of the Trademarks by Kairos on a national basis and any policies, guidelines or restrictions published from time to time by Kairos. Prior to selling or distributing any goods bearing any of the Trademarks, the Members must first submit the proposed goods to Kairos for its approval. The Members agree that the nature and quality of services rendered and/or goods sold by the Members in connection with the Trademarks shall not, in the reasonable judgment of Kairos, fall below acceptable standards. The Members agree to use the Trademarks only in the form and manner and with the legends prescribed from time to time by Kairos.

c) The Members may not use any of the Trademarks except as expressly authorized herein, in any Manuals and Policies or with the written consent of Kairos. Each Member agrees not to apply for any registration of copyright, trademark or trade name that in any way concerns, mentions or uses the Trademarks or any similar marks or names without the express prior written consent of Kairos.

d) The Members acknowledge and agree that Kairos is the sole and exclusive owner of all right, title, and interest in and to the Trademarks, and that Kairos shall retain all trademark rights in the Trademarks. Each Member further agrees that he or she will take no action inconsistent with such ownership and that all use of the Trademarks by the Members shall inure to the benefit of and be on behalf of Kairos. The Members agree that nothing in this Agreement shall give the Members any right, title or interest in the Trademarks other than the right to use the Trademarks as set forth herein.

e) Kairos shall maintain and defend all actions with respect to protection and maintenance of the Trademarks, as it deems appropriate. The Members shall fully and completely cooperate with Kairos in the protection of the Trademarks and in any investigation, maintenance, defense and resolution

of any action taken by Kairos and shall supply Kairos with such information and materials requested by Kairos in connection therewith.

Additional Rights and Obligations.a) Kairos, upon action by the Board of Directors, shall have the right to

preclude any Member, volunteer or the Treasurer from representing Kairos, conducting or participating in Programs and using the Trademarks at any time, in the exclusive discretion of Kairos. Members, volunteers and the Treasurer shall not have any rights to own, possess or use any of the assets or properties of Kairos or to participate in the control or operation of the business of Kairos, except as may be specifically permitted from time to time by Kairos. No individual shall have any authority to represent Kairos, or act on behalf of Kairos, as a Member or Treasurer unless they and Kairos have executed this Agreement or the Joinder attached hereto as Exhibit A.

b) Kairos shall be the owner of, and, in addition to signatories appointed by the Members to satisfy the requirements of the IRS, reserves the right to appoint one or more signatories to all bank accounts into which “Funds” are deposited in the State.

c) Kairos may, at any time and from time to time and in its exclusive discretion, modify, amend or replace the Manuals and Policies and any Program materials.

d) All real and personal property acquired (whether by purchase, donation or otherwise) by or in the name of Kairos shall be owned exclusively by Kairos and, to the extent titled (such as land or vehicles), shall be titled in Kairos’ name. Any and all such property may be used by or at the direction of the Members for Kairos activities in the State, unless otherwise directed by Kairos. The Members shall promptly notify Kairos upon receipt of any property that will be used in connection with the activities of Kairos in the State or that otherwise cannot or will not be sold for cash within thirty (30) days. As to all such real and personal property, the Members shall promptly provide Kairos proof of adequate insurance for, or all information necessary to allow Kairos to insure, any insurable property, such as land or vehicles. If such insurance is obtained by the Members on behalf of Kairos, the Members shall notify Kairos at least thirty (30) days prior to the cancellation of such insurance.

e) Upon request by Kairos, the State Treasurer shall transfer to Kairos an amount equal to all insurance, license fees and other costs incurred by Kairos in connection with property used in the State or activities in the State.

Term and Termination.a) This Agreement shall commence on the Effective Date and shall continue

indefinitely, subject to the termination provisions set forth herein.b) Kairos, upon majority vote of the Board of Directors of Kairos, may terminate

the right of any particular Member or the Treasurer to act on behalf of, and as a volunteer for, Kairos, in the exclusive discretion of Kairos, upon notice to such individual by Kairos.

c) A Member or the Treasurer may resign from participation as a Kairos volunteer at any time by giving Kairos written notice.

d) Upon termination or resignation of a Member or the Treasurer in accordance with Section 8(b) or (c) above, (i) such Member or Treasurer shall immediately cease all use of the Trademarks, as well as any and all confusingly similar names and marks, in any medium whatsoever and shall return to Kairos all materials containing the Trademarks, including but not limited to letterhead and brochures, (ii) such Member or Treasurer shall immediately cause the Transfer to the Treasurer, new Treasurer, State chairperson or Kairos, as the case may be, of all “Funds” in such Member’s or Treasurer’s possession, and (iii) such Member or Treasurer shall continue to be bound by the applicable terms and conditions of this Agreement.

Indemnification. Kairos agrees to indemnify and hold each Member and the Treasurer harmless from and against any cost, expense, damage or liability (including reasonable attorneys fees) incurred by any such Member or the Treasurer as a result of or arising out of any services performed for the benefit of, or at the discretion of, Kairos, provided such services were performed in accordance with this Agreement and the Manuals and Policies in existence on the date such services were performed, and further provided that Kairos shall have no indemnification obligation to any Member or the Treasurer on account of any conduct or action by such Member or Treasurer that is illegal or outside the scope of their authority or duties with Kairos. In connection with any claim, demand or action against any Member or the Treasurer for which this indemnification obligation may apply, the Member or Treasurer must give prompt notice to Kairos of such claim, demand or action and Kairos shall have the right, at its option, to assume the defense of such claim, demand or action on behalf of such Member or Treasurer. Failure of a Member or Treasurer to give prompt notice to Kairos of any claim, demand or action will relieve Kairos of the indemnification obligation set forth herein.Miscellaneous.

a) The Members and the Treasurer acknowledge and agree that Kairos may inspect the books and records relating to the operation of Kairos and/or the Programs in the State.

b) Except as otherwise provided in paragraph 9 above, each Member and the Treasurer shall be liable for all of his or her own acts and nothing contained herein shall be construed as creating the relationship of employer and employee, nor principal and agent, between Kairos and the Members or the Treasurer.

c) This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.

d) The parties hereto submit to the jurisdiction of Florida courts and federal courts located in Florida. The parties agree that exclusive venue for any suit concerning this Agreement shall be Orange County, Florida.

e) No modification of this Agreement shall be binding unless it is in writing and signed by an authorized representative of the party against whom enforcement of the modification is sought.

f) Any notice required or permitted under this Agreement shall be in writing and delivered in person or sent by certified mail, return receipt requested, with proper postage affixed, overnight delivery or any other method in which delivery can be confirmed, to 130 University Park Drive, Suite 170,

Winter Park, Florida 32792, if to Kairos and to the last address known by Kairos, if to a Member or Treasurer. Notice shall be effective upon receipt.

g) In the event that any of the terms of this Agreement are or become or are declared to be invalid or void by any court or tribunal of competent jurisdiction, such term or terms shall be null and void and shall be deemed severed from this Agreement, and all the remaining terms of this Agreement shall remain in full force and effect.

h) This Agreement constitutes the entire agreement of the parties hereto with respect to the subject matter of this Agreement and supersedes any and all previous agreements between the parties, whether written or oral, with respect to such subject matter.

i) This Agreement shall be binding upon and shall inure to the benefit of the parties and their heirs, personal representatives, successors, and assigns (as the case may be) except as otherwise expressly provided for herein.

j) This Agreement may be signed in two or more counterparts, each of which shall be considered an original and all of which shall constitute one and the same instrument.

Books and accounts are to be kept under the direction of the Treasurer. At the close of each fiscal year, the books and records are to be examined by an Audit Committee or comparable manner as directed by the State Chapter Committee and/or the Kairos Prison Ministry Executive Director.The following financial policies are designed to facilitate orderly and accurate bookkeeping and to ensure that the financial needs of the organization are met in a timely manner. Policies have been reviewed by the State Finance Committee and were adopted by the Kairos State Chapter Committee on _________________ (date).Expense Reimbursement

1) The Kairos State Chapter Committee will reimburse volunteers for reasonable expenses necessary for the Kairos program, as described in the Kairos Manuals. See Reimbursable and Non-reimbursable items listed below.

2) Written documentation shall be required for reimbursement of all Kairos-related expenses. Examples include a cash register receipt, cancelled check, signed vendor statement, credit card form, or a paid invoice. A statement that the expense was incurred but the receipt is lost is inadequate and insufficient for reimbursement.

3) An Expenditure Reporting Form should be completed and forwarded to the Treasurer, along with the supporting written documentation.

4) The Treasurer normally will issue a check within two to three days of receipt.Advisory Councils

1. The Advisory Council for each facility is expected to have a financial representative. Representatives may be invited to serve on the State Finance Committee. Meetings of the Finance Committee normally are held ______________________. (For example, quarterly, via conference call or on an as needed basis.)

2. Advisory Councils, the financial representative, and weekend rector/leaders should plan ahead and coordinate with the Treasurer for payment of purchases needed on weekends.

3. Advisory Councils are encouraged to work with the Finance Committee and the Treasurer to develop a budget for weekend events.

4. Advisory Councils are encouraged to raise funds for their weekends and to cover the expenses of Advanced/Leader Training and sending National representatives to committee meetings.

5. Advisory Councils may submit requests to the State Chapter Committee for payment of expenses that are normally non-reimbursable.

Cash Advances1. The State Chapter Committee does not provide cash advances to

individuals, other than petty cash. (See Petty Cash.)2. Those responsible for purchases should work with the Advisory Council, the

financial representative and the Treasurer to develop a plan to address purchasing needs, so that a cash advance is not necessary.

3. In an unusual situation and when no other satisfactory payment can be developed, the Treasurer may issue a cash advance to a rector to cover the cost of groceries or other purchases. Requests for such an advance must be made in writing by the rector, who agrees to assume responsibility for providing a full accounting of the funds expended to the Treasurer at the close of the weekend but at least within two weeks following conclusion of the weekend event. The Chair of the Advisory Council or Advisory Council finance representative for the weekend also must endorse the cash advance.

4. The Treasurer shall deny future cash advance payments to any person or organization, when the responsible party fails to adequately account for cash purchases and unused funds in a timely manner.

Checks Prepared in Advance of Delivery or Pick-up1. When a check will be needed at the time of delivery or pick-up, the

volunteer is unwilling or unable to pay for the purchase out-of-pocket and be reimbursed, and a credit or charge account has not been established, volunteers may request a check be prepared in advance of pick-up or delivery.

2. When the vendor is able to calculate the total cost of the purchase prior to the date of delivery or pick-up, request a written invoice, purchase order or statement of the total purchase price in advance of the pick-up or delivery date.

3. An Expenditure Reporting Form should be completed to request the issuance of a check.

4. Checks may be written on-site, by either the Treasurer or one of the other authorized check signers, if arrangements have been made in advance.

5. If there is sufficient lead-time, the vendor’s purchase order, along with the Expenditure Reporting Form, may be mailed to the Treasurer in advance, along with specifics on delivery or pick-up of the check.

Petty Cash1. A check for up to $__________ “petty cash” will be issued to the kitchen

manager or the outside coordinator for emergency purchases on a four-day weekend, upon request to the Treasurer.

2. Upon recommendation of a facility’s Advisory Council financial representative, the rector/leader for a four or three day weekend will be issued a check for petty cash up to $__________ during the team formation process.

3. Requests for petty cash should be made to the State Treasurer on an Expenditure reporting Form at least _____ weeks prior to the weekend, to ensure the check can be delivered in a timely manner.

4. Recipients of petty cash must complete an Expenditure Reporting Form and provide written documentation of any purchases at the close of the weekend but at least within two weeks following conclusion of the weekend.

5. Unused petty cash shall be returned to the Treasurer following the weekend.6. The Treasurer shall deny future petty cash payments to individuals who fail

to adequately account for petty cash purchases and unused funds in a timely manner.

Monetary Donations1. All monetary donations to Kairos (cash and checks) should be forwarded to

the Treasurer, in a timely manner, for proper recording and deposit.2. Advisory Councils may designate one or more persons to collect donations

for a specific facility, prior to being forwarded to the Treasurer.3. Cash should not be used to reimburse anyone for out-of-pocket expenses.4. The names of cash donors and their addresses should be forwarded to the

Treasurer, whenever practical, so that donors may be acknowledged.5. The Treasurer will ensure that all donors receive a letter acknowledging

their contribution. In-Kind Donations

1. Persons, making an in-kind donation or choosing not to seek reimbursement for a Kairos-related purchase, are requested to submit documentation of their expenses to the Treasurer, so an accurate accounting of all costs associated with the Kairos program can be maintained. (Note: this is optional. “Insignificant” in-kind contributions do not need to be reported.)

2. The Treasurer will ensure that in-kind donors receive a letter acknowledging their contribution.

Facility Costs1. Churches that host the team and permit the use of kitchen facilities during a

weekend event normally are paid $________ for a four-day event. Payment rates for other events are: ________ (list) ________. A higher fee may be paid when negotiated with the institution by the rector/leader or other person making the facility arrangements or when housing and kitchen responsibilities are split between two facilities. Amounts in excess of $_________, must be approved in advance by the State Treasurer.

2. The rector, leader or other person making the facility arrangements should complete an Expenditure Reporting Form to request payment to the facility. The form may be prepared prior to or following the weekend.

3. Unless instructions to the contrary are provided, the check will be mailed to the rector/leader for inclusion in a letter of thanks from the rector/leader to the host institution.

Authorized Check Writers1. The Treasurer, State Chairperson and ___________________ (other State

Chapter Committee members) will be authorized signers on the checking account. Additional persons may be authorized as signers by the State Chapter Committee, as necessary to meet the needs of Kairos.

2. Individuals are encouraged to pay their own way or to raise the funds to cover Advanced Training and attendance at National meetings. [Note: Personally paid expenses associated with volunteer activity are tax-deductible on Schedule A, to the extent allowable by the IRS. The Treasurer will provide an in-kind acknowledgement, upon submission of adequate documentation of Advanced/Leader Training or National meeting expenses for official National Board, Advisory Council or National committee members.]

3. Payment of the registration fees and travel expenses for the National Representative to attend the summer and winter Board meetings are reimbursable, upon request.

4. Upon the request of the Advisory Council, the Kairos State Chapter Committee will pay the Advanced/Leader Training registration fee for an individual who has been approved as a future Rector or Leader who is unable to cover the cost. The Advisory Council chair should request payment of the fee, in writing, directly from the Treasurer.

5. The Kairos State Chapter Committee will pay the registration fee for Committee-approved, Torch, and Kairos Outside representatives to attend National Torch and Advisory Council meetings, whenever the Advisory Council has raised the funds or a third party donation was made specifically to cover the expenses.

6. The Kairos State Chapter Committee normally does not pay for transportation costs associated with Advanced/Leader Training. In the case of approved future rectors/leaders unable to cover travel costs to Advanced/Leader Training, Kairos State Committee will reimburse for airfare or out-of-pocket gasoline expenses and tolls for out-of-state travel, upon meeting all of the following requirements: a) request by the Advisory Council and Committee approval; b) submission of receipts for airfare or gasoline and tolls; and c) the availability of funds, raised by the Advisory Council or other third party donor source specifically to cover transportation costs.

ARTICLE IName and Location of Ministry

Section 1.The name of this Ministry is ________________________. The principal office is located at _____________________________. This Ministry is affiliated with Kairos Prison Ministry, Inc., with its principal office located at 130 University Park Drive, Suite 170, Winter Park, FL 32792.

ARTICLE IIPurpose

Section 1.The purpose of this Ministry is to provide the ministry directed by the manuals and policies of Kairos Prison Ministry, Inc., our parent organization, and to assist properly constituted authorities in the establishment and maintenance of Christian communities within and without penal institutions in this state which have long term, stable populations. These institutions may be under local or federal authority. Any questions concerning interpretation of this Article shall be resolved by the Board of Directors of Kairos Prison Ministry, Inc.

ARTICLE IIIState Committee

Section 1. Formation and Size The organizing launch Committee shall automatically become and constitute the governing State Committee upon completion of the first Short Course presented in the state. As the terms of those members expire and they rotate off the committee, they should be replaced by representatives of any new institutions which have been added to the scope of the ministry. Every effort should be made to maintain denominational balance on the committee as it evolves in number and composition. The State Committee should be made up of at least seven (7) members. As the ministry grows and launch committee members are replaced by Advisory Council representatives, the State Committee will increase in size.Section 2. Selection At least one layperson is to be chosen to serve on the State Committee from each Area, if used, and/or each Kairos, Kairos Outside, or Torch Advisory Council ministry within the state. Nominees for State Committee representation shall be recommended by their Advisory Council. State Committee Representatives shall meet these qualifications: (1) active in a local church, (2) participating in a share and prayer group, and (3) prior experience of serving on a Kairos, Kairos Outside, or Torch team. This requirement shall not be held to prevent original launch committee members from serving on the state committee until their terms expire.

Section 3. Governing Powers The State Committee shall have all the powers and duties necessary or appropriate for the administration of the affairs of this organization, save those powers reserved to the Board of Directors of Kairos Prison Ministry, Inc...Section 4. Term of Office The terms of the representatives currently serving shall expire when their successors have been elected and have been duly qualified. Except in the case of elections to fill an unexpired term, or in the case of newly created positions, lay representatives shall be elected for a three (3) year period. The term of office of approximately one-third (1/3) of the committee shall expire each year. No member shall be eligible to serve as a representative again until one full year has elapsed after serving two full terms as a representative. He/she may be reelected after one year. A new term of office for a Representative shall begin on January 1. Representatives shall hold office until their successors have been elected and qualified. The term of office for the State Representative to the National Board shall be three years.Section 5. Scheduled Meetings Scheduled meetings of the State Committee may be held at such time and place as shall be determined by a majority of the committee at the first meeting of each calendar year, but not less than three times during that year. Written notice of regular meetings of the State Committee shall be given to each representative at least thirty (30) days prior to the date named for such meeting.Section 6. Special Meetings Special meetings of the State Committee may be called by the chairman or by one-third of the committee on ten (10) days written notice to each representative. Such notice shall state the time, place, and purpose of the meeting.Section 7. Quorum A majority of the members present, either in person or by proxy, will constitute a quorum.

ARTICLE IVOfficers

Section 1. Designation The principal officers of the ministry shall be a chairperson, a vice-chair, a representative to the Kairos Prison Ministry board, a secretary and a treasurer, all of whom shall be elected by the State Committee. All officers shall be members of the State Committee, with the possible exceptions of the secretary, treasurer and the representative to the Kairos Prison Ministry Board of Directors. These three officers may or may not be State Committee members. If the secretary, treasurer or the representative to the Kairos Prison Ministry Board is not a committee member, then that officer is an ex officio member of the State Committee. The offices of Secretary and Treasurer may be held by the same person. The representative to the Kairos Prison Ministry Board may also hold another office. Otherwise, no other two offices may be held by the same person.

Section 2. Chairperson The chairperson shall be the chief executive officer. This officer shall preside at all meetings of the State Committee. The chairperson shall have all the general powers and duties which are usually vested in the office of president, including the power to appoint committees from time to time as (at his/her discretion) he/she may deem appropriate to assist in the conduct of the affairs of the ministry.Section 3. Vice-Chair In the absence or disability of the chairperson, the vice-chair shall perform the duties and exercise the powers of the chairperson. The vice-chair shall also perform such other duties as shall be prescribed by the chairperson.Section 4. Secretary The secretary shall keep the minutes of all meetings of the State Committee and the Executive Committee. The secretary shall perform the duties and functions customarily performed by the office of secretary, together with such other duties as the State Committee may prescribe.Section 5. Treasurer The treasurer shall have custody of the organization's funds and securities, shall keep full and accurate account of all receipts and disbursements in books belonging to the organization and shall deposit all moneys and other valuable effects in the name of and to the credit of the organization in such depositories as may be designated by the State Committee. This officer shall disburse the funds of the organization as may be ordered by the State Committee, taking proper vouchers for such disbursements, and shall render an account of all transactions as treasurer and of the financial condition of the organization whenever called upon to do so.Section 7. State Representative to the Kairos Prison Ministry Board of DirectorsThe State Representative to the Kairos Prison Ministry Board shall represent the State Committee at meetings of the Kairos Board of Directors, and should be elected for a three-year term. This person may be elected to serve a second three-year term and, after an interval of one year, may be reelected as the State Representative. This person must be willing to serve as a member of the Kairos Board of Directors.Section 8. Election of Officers The officers of the organization shall be elected annually by the State Committee at its first meeting of each calendar year, and unless sooner removed by the committee, the officers shall serve a term of one year and until their successors are elected and shall qualify. An officer may serve more than one consecutive term. The chairman however, may not serve more than three (3) years.A nominating committee, including the immediate past Chairperson shall be used. Nominations for officers from the floor of the committee shall be allowedAny vacancies occurring in offices shall be filled by the State Committee from time to time. The State Committee shall appoint such temporary or acting officers as may be necessary during the temporary absence or disability of the regular officers.

Section 9. Removal At a duly called meeting of the State Committee any one or more of the representatives may be removed for cause by a majority vote. Any member who has three consecutive unexcused absences shall automatically be considered to have resigned.

ARTICLE VExecutive Committee

Section 1. Designation The chairperson and at least two members appointed by the State Committee shall constitute an Executive CommitteeSection 2. Powers During the intervals between meetings of the State Committee, and subject to such limitations as may be provided by resolution of the State Committee, the Executive Committee shall have and may exercise all the authority of the State Committee in the management of the organization with regard to the conduct of a Kairos Short Course, a Kairos Outside weekend, a Torch weekend, a Kairos retreat, or a Kairos reunion. The Executive Committee shall make a full report of all actions to the next meeting of the State Committee.

ARTICLE VIFiscal Management

Section 1. Fiscal Year The fiscal year of the organization shall be from January 1 through December 31.Section 2. Books and Accounts Books and accounts of the organization shall be kept under the direction of the Treasurer of the organization in accordance with the requirements of these guidelines, the State Committee and Kairos national office.Section 3. Reports At the closing of each fiscal year, the chairman of the organization shall cause to be prepared a full and correct statement of the affairs of the organization. All reports are due at Kairos national office by January 15 annually.

APPENDIX E - SAMPLE INSTITUTIONAL AGREEMENTSINSTITUTIONAL AGREEMENT

INSTITUTION: _____________________________________KAIROS STATE COMMITTEE: _______________________Preface: Kairos is a prison ministry that is designed to be done in any prison in the country without any change in format or substantive change in procedure. It is operating very successfully in prisons across the nation with long term, stable populations. Kairos is a continuing ministry, which is initiated by a 3½-day retreat (called the “weekend”) and is followed-up by various activities, including, as a minimum, a 3 to 4 hour monthly “reunion” of inmates and Kairos volunteers. The goal of Kairos is to establish a strong Christian community inside the prison. To conduct the ministry inside a prison requires certain specific stipulations to the normal day to day, business as usual activities of the prison. The following stipulations are basic to the ministry and we seek agreement to them before plans are made to enter the institution.

1. Kairos team members and guests commit themselves to the support of the Chaplain as the chief pastor of the institution, agreeing to conduct themselves in conformance with institutional regulations and Kairos guidelines for volunteers entering correctional institutions. We will be prompt in our obedience to the directions and requests of correctional officers and staff members, keeping always in mind the fact that our first obligation to the institution is the security of the residents. We agree to perform the work of this ministry as detailed in the Kairos manuals and as set forth by the policies established by the board of directors of Kairos, Inc., under whose authority we agree to operate.

2. Kairos will be allowed to conduct a minimum of two SHORT COURSES in the institution within the first six months of the ministry. Short courses will be offered approximately every six months thereafter. The short courses will be conducted by teams of approximately 55 volunteers for classes of 42 residents. They will begin by 4:45 p.m. on Thursday and continue through 9 p.m. on Sunday. Residents attending the weekend will be released to the chaplain by 7:45 each morning (Friday, Saturday and Sunday) and permitted to remain with the Kairos team until at least 8 p.m. Friday and Saturday and 9 p.m. Sunday. Thursday hours will be 4:45 p.m. to 8 p.m. Kairos agrees to abide by the schedule established above as well as other institutional schedules (counts, meals, etc.).

3. A six to seven-hour INSTRUCTIONAL REUNION will be allowed about one week following each short course. It will be open to all residents who attended the short course immediately preceding it. A team of approximately 20 volunteers will be admitted to hold the Reunion.

4. All residents who have attended a weekend will be permitted to attend 3-hour Kairos MONTHLY REUNIONS in the institution as long as Kairos is ministering in the institution. Kairos will meet all security requirements, in the time frame required, to gain access for all volunteers participating in the reunion.

5. A two-day residents' RETREAT will be allowed about three months after each weekend, running from 8 a.m. to 8 p.m. Saturday and from 8 a.m. to 4

p.m. Sunday. All residents in the institution who have attended a Kairos short course will be permitted to attend each retreat. A team large enough to supply one volunteer for each four to six residents present, plus 5 other volunteers, will be allowed for the retreats. Kairos will conduct the retreat in accordance with the above schedule and in the format provided to the chaplain prior to the retreat.

6. A support group of up to 100 persons, from movements offering similar short courses on the street, will be allowed to attend a closing for Kairos short courses. These are to be held on Sunday evenings beginning at approximately 6 p.m. Kairos will meet all security requirements, in the time frame required, to gain access for all volunteers participating in the closing.

7. All residents who attend a Kairos weekend will be permitted to GROUP for at least an hour each week in small, 2-to-5 person groups. The entire purpose of the ministry centers in the creation and support of these groups.

8. All residents attending the short course will be allowed to receive written expressions of prayer and sacrifice from support communities and individuals from around the world. This material will be channeled through a team member or members who will be responsible for its contents and distribution. It will consist only of written expressions and cloth banners reinforcing the action of the ministry. Kairos will screen all written material to insure it is appropriate and does not contain return addresses. Kairos will make all material available to prison officials prior to distribution, if desired.

9. The team will be allowed to bring in cookies, which have been made by members of Kairos support groups, for Kairos weekends. Kairos will regulate and supervise distribution of cookies in accordance with institution guidelines.

10.The Chaplain will adhere, whenever possible, to the environmental penetration plan described by Kairos for selection of participants for Kairos short courses. The institution Security Chief, together with other members from his staff shall participate in the selection process by helping to identify the top leaders (both negative and positive) in the institution. The Chaplain shall choose the residents who will participate in the weekend from this group. Kairos will be given a list of residents to participate in the short course, plus ten alternates, at least a month prior to the weekend, with their DOC numbers, work assignments, age and dormitory assignment in order to facilitate seating of tables and solicitation of prayer support.

11.The team will be allowed to furnish meals for the candidates at lunch and dinner, Friday, Saturday and Sunday. These meals will be prepared by the team in a nearby church kitchen, armory, or other available facility, or in the institution kitchen.

12.Residents who have attended a Kairos weekend will be allowed to serve as team members on Kairos weekends and retreats if invited to do so by the Kairos weekend rector or retreat master with approval of the Chaplain. The same requirements of grouping and regular attendance at worship services demanded of free-world team members will be required of resident team members.

13.The chief chaplain of the institution is encouraged to attend a similar short course in Christianity on the street before the Kairos ministry is launched in the institution. Kairos will assist the chaplain make administrative

arrangements for attendance at a street weekend, if desired, and will also provide financial assistance where necessary.

14.In order to aid and support the Kairos program, the Institution agrees to give Kairos Prison Ministry, Inc., access to statistical data concerning recidivism of those who have participated in Kairos, and the annual violence rate within the institution beginning with the year preceding introduction of the Kairos program. This information will be used by Kairos to measure the impact of the program, if any, on the institution.

15.Individual items of this agreement may be deleted or altered to suit the individual requirements of institution with the agreement of the Executive Director of Kairos.

INSTITUTIONAL AGREEMENTKAIROS TORCH

INSTITUTION:

KAIROS DISTRICT: Note: Kairos Torch is a prison ministry that is designed to be presented to

youthful offenders in either juvenile facilities or adult institutions. The mission of Kairos, Inc., is to bring Christ’s love and forgiveness to all incarcerated individuals, their families, and those who work with them, and to assist in the transition of becoming a productive citizen. The following stipulations are basic to this ministry and we seek your agreement to them before plans are made to enter your institution.

1. The chief chaplain of the institution is encouraged to attend a similar short course in Christianity on the street before the Kairos Torch ministry is launched in the institution.

2. Kairos will be allowed to conduct a minimum of two SHORT COURSES in the institution within the first six months of the ministry. Short courses will be offered approximately every six months thereafter. Residents will be invited to participate in the short course, and will be organized into table groups of six residents per table group. Typically, 36 residents, will attend each short course, but the number could go as high as 42 or as low as 18. The number of volunteers on the team will be one volunteer per resident, plus at least two support volunteers. They will begin by 4:00 p.m. on Friday and continue through 4:30 p.m. on Sunday. Residents attending the weekend will be released to the chaplain by 7:45 each morning (Saturday and Sunday) and permitted to remain with the Kairos team until at least 8:00 p.m. Saturday and 4:30 p.m. Sunday. Friday hours will be 4:00 p.m. to 8:45 p.m.

3. Continuing ministry. Kairos volunteers on the team will establish a mentoring relationship with the residents who attend the short course. Mentors will be allowed to return to the institution at least weekly to meet with the resident or residents they are mentoring for a period of at least six months or until the youth is released, whichever comes first. Contact with the resident(s) will take place inside the institution, at a time and place approved by the institutional authorities. Mentoring may take place in a one-on-one or group setting. Mentors will be permitted to bring written resource materials into the institution during their mentoring visits. Mentors are also encouraged to stay in contact with the resident they are mentoring by mail and/or telephone if possible and permitted.

4. A support group of up to 100 persons from Christian communities offering similar short courses on the street will be allowed to attend the closings for the Kairos Torch weekend retreats. These are to be held on Sunday afternoons beginning at approximately 2:30 p.m.

5. All residents attending the short course will be allowed to receive written expressions of prayer and sacrifice from support communities and individuals from around the world. This material will be channeled through a team member or members who will be responsible for its contents and

7. The team will be allowed to take a 35mm slide face portrait of each resident attending the short course for use during a weekend presentation regarding their place in creation. Slides will be taken only upon written permission of each resident, and will be taken and processed approximately one week before the short course begins. Slides will be left in the possession of the chaplain for appropriate disposition after the weekend is over.

8. The team will be allowed to bring in cookies, which have been made by members of Kairos support groups, for Kairos Torch weekends.

9. The team will be allowed to bring necessary equipment and supplies, to include musical instruments and audio/visual equipment, into the institution for the conduct of the short course. The team will provide a list of equipment and supplies to the institution prior to the weekend.

10. The team will be allowed to furnish meals for the residents attending the short course at lunch and dinner on Saturday and lunch on Sunday

11. Kairos team members and guests commit themselves to the support of the chaplain as the chief pastor of the institution, agreeing to conduct themselves in conformance with institutional regulations and Kairos guidelines for volunteers entering correctional institutions. We will be prompt in our obedience to the directions and requests of correctional officers and staff members, keeping always in mind the fact that our first obligation to the institution is the security of the residents. We agree to perform the work of this ministry as detailed in the Kairos manuals and as set forth by the policies established by the board of directors of Kairos, Inc., under whose authority we agree to operate.

12. Individual items of this agreement may be deleted or altered to suit the individual requirements of the institution with the agreement of the Executive Director of Kairos.

APPENDIX G - SAMPLE MERCHANDISING AGREEMENTAGREEMENT by and between KAIROS PRISON MINISTRY, INC., a Florida corporation, hereinafter referred to as Licensor, and ___________________, a ________________, hereinafter referred to as Licensee,WHEREAS, Licensor has adopted and is using “KAIROS” as a Trademark for goods throughout the United States and elsewhere and is the owner of U.S. Trademark Registration and Trademark Applications, hereinafter collectively referred to as the “Trademark”; andWHEREAS, Licensee is desirous of using said Trademark for apparel goods in the United States, hereinafter referred to as the “Territory.”NOW, THEREFORE, in consideration of the manual covenants of the parties and the sum of Ten Dollars ($10.00) herewith paid by Licensee to Licensor, the receipt and sufficiency of which is hereby acknowledged by said Licensor, the parties hereby agree as follows:1. License. Licensor grants to Licensee the right to use under the common law

and under the auspices and privileges provided by any of the Registrations covering the same during the term of this Agreement, and Licensee hereby undertakes to use the Trademark “KAIROS” in the Territory in connection with the rendition of Apparel Goods, the permitted goods being hereinafter referred to as “Goods.”

2. Royalty. Licensee shall pay Licensor a royalty equal to the greater of $1.00 per item or five percent (5%) of the money received from all sales by Licensor of goods bearing the licensed mark. The royalty shall be paid to Licensor quarterly, with an accounting setting forth in reasonable detail the sales during the period reported.

3. Quality of Goods. Licensee shall use the Trademark only with the Goods sold by or for the Licensee in accordance with the guidance and direction furnished to the Licensee by the Licensor, from time to time, if any, but always the quality of the goods shall be satisfactory to the Licensor as specified by it. The Licensor shall be the sole judge of whether or not the Licensee has met or is meeting the standards of quality so established.

4. Inspection. Licensee will permit duly authorized representatives of the Licensor to inspect the premises of Licensee using the Trademark as all reasonable times, for the purpose of ascertaining or determining compliance with Paragraphs 1, 2, and 3 hereof.

5. Use of Trademark. Licensee shall provide Licensor with samples of all goods, and advertising material prepared by the Licensee, and Licensee shall obtain the approval of the Licensor with respect to all advertising material bearing the Trademark prior to the use thereof. Licensee undertakes to comply substantially with all laws pertaining to Trademarks in force at any time in the Territory, including compliance with marking requirements.

6. Extent of License. The right granted in Paragraph 1 hereof shall be non-exclusive. Licensor shall have the right to use the Trademark and to license its use to any other designee in the Territory. The License herein granted shall not be assignable, sublicensable, or transferable in any manner whatsoever, except by prior written consent of the Licensor.

7. Indemnity. Licensor assumes no liability to Licensee or to third parties with respect to the performance characteristics of the Goods sold by the Licensee under the Trademark, and the Licensee shall indemnify Licensor against losses incurred to claims of third parties against Licensor involving sale of the Licensee’s Goods.

8. Termination.a. This agreement shall remain in full force and effect, but is terminable at

the will of Licensor upon no less than thirty (30) days written notice to Licensee.

b. If Licensee makes any assignments of assets or business for the benefit of creditors, or a trustee or receivers appointed to conduct its business affairs, or it is adjudged in any legal proceeding to be either a voluntary or involuntary bankruptcy, then the rights granted herein shall forthwith cease and terminate without prior notice or legal action by Licensor.

9. Ownership of Trademark. The Licensee and all parties to this Agreement acknowledge Licensor’s exclusive right, title and interest in and to the Trademark and any Regulations that have issued or may issue thereon, and will not at any time do or cause to be done any act or thing contesting or in any way impairing or tending to impair part of such right, title and interest. In connection with the use of the Trademark, neither Licensee nor any other party hereto shall in any manner represent that he or it has any ownership in the Trademark or registrations thereof, and all parties acknowledge that use of the Trademark shall enure to the benefit of the Licensor. On termination of the Agreement, the Licensee will cease all use of the Trademark in any way and will deliver up to the Licensor, all material and papers upon which the Licensor’s prior written consent, and work or mark which is likely to be similar to or confusing with the Trademark.

10. Notice. Any notices required or permitted to be given under this Agreement shall be deemed sufficiently given if mailed by registered mail, postage prepaid, addressed to the party to be notified at the address shown below, or at such other address as may be furnished in writing to the notifying party.
