TASK ORDER TERMS AND CONDITIONS

A.1 CONSIDERATION AND OBLIGATION--COST-PLUS-FIXED-FEE (AUG 2011) ALTERNATE I (AUG2011)

(a) The total estimated cost to the Government for full performance of this contract is $251,284.65, of which the

sum of $209,203.43 represents the estimated reimbursable costs, and of which $14,223.66 represents the fixed-fee.

(b) There shall be no adjustment in the amount of the Contractor's fixed fee.

(c) The amount currently obligated by the Government with respect to this contract is $20,000, of which the sum of$18,800.00 represents the estimated reimbursable costs, and of which $1,200 represents the fixed-fee.

(d) It is estimated that the amount currently obligated will cover performance for the first 42 days.

(e) This is an incrementally-funded contract and FAR 52.232-22 - "Limitation of Funds" applies.

(f) In accordance with FAR 52.216-8 - Fixed Fee, it is the policy of the NRC to withhold payment of fee afterpayment of 85 percent of the fee has been paid in order to protect the Government's interest. The amount offixed-fee withheld from the contractor will not exceed 15 percent of the total fee or $100,000, whichever is less.Accordingly, the maximum amount of fixed-fee that may be held in reserve is $2,133.55.

A.2 PACKAGING AND MARKING (AUG 2011)

(a) The Contractor shall package material for shipment to the NRC in such a manner that will ensure acceptance bycommon carrier and safe delivery at destination. Containers and closures shall comply with the SurfaceTransportation Board, Uniform Freight Classification Rules, or regulations of other carriers as applicable to the modeof transportation.

(b) On the front of the package, the Contractor shall clearly identify the contract number under which the product isbeing provided.

(c) Additional packaging and/or marking requirements are as follows:

A.3 BRANDING (AUG 2011)

The Contractor is required to use the official NRC branding logo or seal on any publications, presentations,products, or materials funded under this contract, to the extent practical, in order to provide NRC recognition for itsinvolvement in and contribution to the project. If the work performed is funded entirely with NRC funds, then thecontractor must acknowledge that information in its documentation/presentation.

A.4 TASK/DELIVERY ORDER PERIOD OF PERFORMANCE (AUG 2011)

The period of performance for this task order is 18 months commencing on the date of task order award.

A.5 ELECTRONIC PAYMENT (AUG 2011)

The Debt Collection Improvement Act of 1996 requires that all payments except IRS tax refunds be made byElectronic Funds Transfer. Payment shall be made in accordance with FAR 52.232-33, entitled "Payment byElectronic Funds- Central Contractor Registration".

To receive payment, the contractor shall prepare invoices in accordance with NRC's Billing Instructions. Claimsshall be submitted on the payee's letterhead, invoice, or on the Government's Standard Form 1034, "Public Voucherfor Purchases and Services Other than Personal," and Standard Form 1035, "Public Voucher for Purchases Otherthan Personal - Continuation Sheet." The preferred method of submitting invoices is electronically to the Departmentof the Interior at [email protected]. If the contractor submits a hard copy of the invoice, it shallbe submitted to the following address:

A.6 COMPLIANCE WITH U.S. IMMIGRATION LAWS AND REGULATIONS (AUG 2011)

NRC contractors are responsible to ensure that their alien personnel are not in violation of United Statesimmigration laws and regulations, including employment authorization documents and visa requirements. Each alienemployee of the Contractor must be lawfully admitted for permanent residence as evidenced by Permanent ResidentForm 1-551 (Green Card), or must present other evidence from the U.S. Department of Homeland Security/U.S.Citizenship and Immigration Services that employment will not affect his/her immigration status. The U.S. Citizenshipand Immigration Services provides information to contractors to help them understand the employment eligibilityverification process for non-US citizens. This information can be found on their website, http://www.uscis.gov-portal/site/uscis.

The NRC reserves the right to deny or withdraw Contractor use or access to NRC facilities or itsequipment/services, and/or take any number of contract administrative actions (e.g., disallow costs, terminate forcause) should the Contractor violate the Contractor's responsibility under this clause.

A.7 SECURITY REQUIREMENTS RELATING TO THE PRODUCTION OF REPORT(S) OR THE

PUBLICATION OF RESULTS UNDER CONTRACTS, AGREEMENTS, AND GRANTS (AUG 2011)

Review and Approval of Reports

(a) Reporting Requirements. The contractor/grantee shall comply with the terms and conditions of thecontract/grant regarding the contents of the draft and final report, summaries, data, and related documents, to includecorrecting, deleting, editing, revising, modifying, formatting, and supplementing any of the information containedtherein, at no additional cost to the NRC. Performance under the contract/grant will not be deemed accepted orcompleted until it complies with the NRC's directions. The reports, summaries, data, and related documents will be

considered draft until approved by the NRC. The contractor/ grantee agrees that the direction, determinations, anddecisions on approval or disapproval of reports, summaries, data, and related documents created under thiscontract/grant remain solely within the discretion of the NRC.

(b) Publication of Results. Prior to any dissemination, display, publication, or release of articles, reports,summaries, data, or related documents developed under the contract/grant, the contractor/grantee shall submit themto the NRC for review and approval. The contractor/ grantee shall not release, disseminate, display or publish articles,reports, summaries, data, and related documents, or the contents therein, that have not been reviewed and approvedby the NRC for release, display, dissemination or publication. The contractor/grantee agrees to conspicuously placeany disclaimers, markings or notices, directed by the NRC, on any articles, reports, summaries, data, and relateddocuments that the contractor/grantee intends to release, display, disseminate or publish to other persons, the public,or any other entities. The contractor/grantee agrees, and grants, a royalty-free, nonexclusive, irrevocable worldwidelicense to the government, to use, reproduce, modify, distribute, prepare derivative works, release, display or disclosethe articles, reports, summaries, data, and related documents developed under the contract/grant, for anygovernmental purpose and to have or authorize others to do so.

(c) Identification/Marking of Sensitive Unclassified Non-Safeguards Information (SUNSI) and SafeguardsInformation (SGI). The decision, determination, or direction by the NRC that information possessed, formulated orproduced by the contractor/grantee constitutes SUNSI or SGI is solely within the authority and discretion of the NRC.In performing the contract/grant, the contractor/grantee shall clearly mark SUNSI and SGI, to include for example,OUO-Allegation Information or QUO-Security Related Information on any reports, documents, designs, data,materials, and written information, as directed by the NRC. In addition to marking the information as directed by theNRC, the contractor shall use the applicable NRC cover sheet (e.g., NRC Form 461 Safeguards Information) inmaintaining these records and documents. The contractor/grantee shall ensure that SUNSI and SGI is handled,maintained and protected from unauthorized disclosure, consistent with NRC policies and directions. Thecontractor/grantee shall comply with the requirements to mark, maintain, and protect all information, includingdocuments, summaries, reports, data, designs, and materials in accordance with the provisions of Section 147 of theAtomic Energy Act of 1954 as amended, its implementing regulations (10 CFR 73.21), Sensitive UnclassifiedNon-Safeguards and Safeguards Information policies, and NRC Management Directives and Handbooks 12.5, 12.6and 12.7.

(d) Remedies. In addition to any civil, criminal, and contractual remedies available under the applicable laws andregulations, failure to comply with the above provisions, and/or NRC directions, may result in suspension, withholding,or offsetting of any payments invoiced or claimed by the contractor/grantee.

(e) Flowdown. If the contractor/grantee intends to enter into any subcontracts or other agreements to perform thiscontract/grant, the contractor/grantee shall include all of the above provisions in any subcontracts or agreements.

A.8 WHISTLEBLOWER PROTECTION FOR NRC CONTRACTOR AND SUBCONTRACTOREMPLOYEES (AUG 2011)

(a) The U.S. Nuclear Regulatory Commission (NRC) contractor and its subcontractor are subject to theWhistleblower Employee Protection public law provisions as codified at 42 U.S.C. 5851. NRC contractor(s) andsubcontractor(s) shall comply with the requirements of this Whistleblower Employee Protection law, and theimplementing regulations of the NRC and the Department of Labor (DOL). See, for example, DOL Procedures onHandling Complaints at 29 C.F.R. Part 24 concerning the employer obligations, prohibited acts, DOL procedures andthe requirement for prominent posting of notice of Employee Rights at Appendix A to Part 24 entitled: "Your RightsUnder the Energy Reorganization Act".

(b) Under this Whistleblower Employee Protection law, as implemented by regulations, NRC contractor andsubcontractor employees are protected from discharge, reprisal, threats, intimidation, coercion, blacklisting or other

employment discrimination practices with respect to compensation, terms, conditions or privileges of their employmentbecause the contractor or subcontractor employee(s) has provided notice to the employer, refused to engage inunlawful practices, assisted in proceedings or testified on activities concerning alleged violations of the Atomic EnergyAct of 1954 (as amended) and the Energy Reorganization Act of 1974 (as amended).

(c) The contractor shall insert this or the substance of this clause in any subcontracts involving work performedunder this contract.

A.9 GREEN PURCHASING (JUN 2011)

(a) In furtherance of the sustainable acquisition goals of Executive Order 13514, "Federal Leadership inEnvironmental, Energy, and Economic Performance" products and services provided under this contract/order shall beenergy- efficient (Energy Star or Federal Energy Management Program (FEMP) designated), water-efficient,biobased, environmentally preferable (e.g., Electronic Product Environmental Assessment Tool (EPEAT) certified),non-ozone depleting, contain recycled content, or are non-toxic or less toxic alternatives, where such products andservices meet agency performance requirements. http://www.fedcenter.gov/programs/eo13514/

Developing the Technical Basis for Regulatory Guides (RG)related to Inservice Inspection(ISI)of Posttensioned Containments.

I. BACKGROUND

Regulatory context: This work is needed to develop guidance for testing of the prestress levels in containment tendonsof future containments that may use new types of materials, as well as the methods for monitoring of thesecontainments by instrumentation. The results will also be used to improve accuracy in predicting and measuring theprestress level of tendons in current concrete containments. This work will be included in the next revision to theseismic and structural research plan. The result of this work is the technical basis for future revisions to RegulatoryGuide (RG) 1.35, "Inservice Inspection of Ungrouted Tendons in Prestressed Concrete Containments," RG 1.35.1,"Determining Prestressing Forces for Inspection of Prestressed Concrete Containments," and RG 1.90, "InserviceInspection of Prestressed Concrete Containment Structures with Grouted Tendons."

Technical context: This work focuses on assessing the methods and criteria used to ensure that the safety margins ofnewer posttensioned containments that use higher strength material (concrete and steel) are not reduced underoperating and environmental conditions. This work may also enhance knowledge of monitoring and testing currentposttensioned containments.

In the United States, there are thirty seven (37) posttensioned concrete containments that use ungrouted (greased)tendons, and one (1) that uses grouted tendons. Therefore, operating experience data for containments with groutedtendons is limited. The new Evolutionary Power Reactor (EPR) design under review by the Nuclear RegulatoryCommission (NRC) staff uses grouted tendons, so additional information is needed for containments with groutedtendons. Internationally, some other countries have used grouted tendons for concrete containments for over 30years. In addition, the monitoring of containment deformation and loss of prestress using instrumentation is common inother countries, and relies on sufficient numbers of instruments installed at the time of construction of the containment.Knowledge developed by research and operating plant experience that is available in the USA and internationally willbe the basis for revising NRC's Regulatory Guides.

The containment system of a nuclear power plant provides a key part of the overall plant's engineered-safety features.The structure serves as the final barrier against release of any radioactive fission products to the environment.Maintaining the required prestressing force levels in post-tensioned concrete containments is important in helpingassure that the containment retains adequate margins with respect to structural and leak-tight integrity.

Operating experience has demonstrated that an overall program of periodic inspection, maintenance, and repair iseffective in verifying that an acceptable level of reliability for a containment structure is maintained over its service life.Determining the existing performance characteristics and extent and causes of any observed distress is accomplishedthrough a structural condition assessment that generally involves general visual inspections, leakage-rate tests, anddestructive and nondestructive examinations. Time-dependent changes, such as changes in material properties, mustbe evaluated over time to assess containment reliability.

Examinations performed at specified intervals provide information and data on post-tensioning tendons: lift-off force,wire/strand strength and ductility, sheathing filler chemical properties, and corrosion of metallic components.Information related to post-tensioning system inspection and acceptance standards is available in the latest version of"American Society of Mechanical Engineers (ASME) Boiler and Pressure Vessel Code, Section XI" as incorporated byreference into 10 CFR 50.55a. Subsection IWL "Rules for Inservice Inspection of Nuclear Power Plant Components."

In the United States it is required that the condition and functional capability of the posttensioning systems of

prestressed concrete nuclear power plant containments be periodically assessed. This is accomplished, in part,

systematically through an inservice tendon inspection program which must be developed and implemented for eachcontainment. To maintain nuclear power plant safety it is important that NRC regulatory review criteria be assessed,evaluated and kept up to date.

II. OBJECTIVES

The overall objective of this work is to assess the methods and criteria used to ensure that the safety margins ofcontainment structures are not reduced under operating and environmental conditions. This work applies tocontainments for both newer plants that use higher strength material (concrete and steel) and current plants.

The plan to achieve the objective is to evaluate operational experience in containment In service Inspection (ISI);review and evaluate industry developments including research results, and: codes and standards (both national andinternational) with regard to post-tensioning systems. The knowledge gained will be used to review existing staffcriteria, and in the development of revised or new criteria if warranted.

The monitoring of containment deformation and loss of prestress using instrumentation is common in other countries,and relies on sufficient numbers of instruments installed at the time of construction of the containment. A specificobjective is to assess the latest international practices and technology, and use it to develop the basis for any newregulatory guidance.

For both current and newer plants, the work includes a review and assessment of ISI-related codes and standards (i.e.ASME, ETC-C, RCC-G and others) as well as a review of the latest developments and experience, to prepare thetechnical basis for a revision to RG 1.35.1, RG 1.35, and RG 1.90. This work builds on the previous work listed asreferences in the RGs, including NUREG/CR-2719, and NUREG/CR-4712 that form part of the technical basis for theexisting versions of RG 1.35 and 1.35.1 and "Concrete Containment Posttensioning System Aging Study," preparedfor NRC by D.J. Naus and Howard T. Hill, Oak Ridge National Laboratory. A specific objective is to improve theaccuracy and precision for predicting and measuring the prestress level of concrete containments, particularly forproposed new materials that may be used in future containments.

Ill. WORK SCOPE FOR THIS TASK

The scope of work consists of the following three tasks:

A. Task 1- Review of Research and Current Regulatory Guides

1. Review industry research, manufacturer's test data and peer reviewed literature and summarize theavailable data supporting the causes of loss of prestressing force in posttensioned concrete containmentstructures. Include the losses considered in section B.2 and C.2 in RG 1.35.1. Include a review of higherstrength materials (concrete and steel) that may be used in newer designs. Summarize this informationfor containments with (i) grouted tendons and (ii) ungrouted (greased) tendons.

2. Using the results from a) above, review the existing basis of the methods and criteria in RG 1.35, RG1.35.1, and RG 1.90. Provide an assessment of the adequacy of the guidance to effectively monitorposttensioned containment structures with (I) grouted tendons and (ii) ungrouted (greased) tendons.

3. Review the methods and criteria used by other countries for posttensioned containments. Compare thesemethods and criteria to RG 1.35, RG 1.35.1, and RG 1.90. List the differences and describe theadvantage(s) and disadvantage(s) of alternate approaches.

4. Review selected reports of the inspections performed by licensees and evaluate the effectiveness of theinservice inspection methods to identify the loss of pre-stressing force. The NRC Project Officer willprovide reports from the representative plants (approximately three plants). Identify the deficiencies, ifany, in the inspection program(s) practiced by the licensees and suggest any needed changes toregulatory guidance.

5. Identify the applicable codes and standards (Le. ASME, ETC-C, RCC-G, and others) for determiningprestress loss, and submit a list of these codes and standards to the NRC for approval before commencinga review. Upon approval of the list by NRC, conduct a review of the codes and standards, and describethe applicability of the codes to RG 1.35.1, RG 1.35 and RG 1.90. Provide specific suggestions formodifications to the RGs, including the justification for the suggested changes.

6. Submit a letter report summarizing the results of Task 1.

B. Task 2- Review of Methods of Monitorinq of the Containments by Instrumentation

1. Review the state-of-the-art procedures and instruments that are used for monitoring the prestress level ofposttensioned containment structures with grouted tendons and ungrouted (greased) tendons.

Information for containments with grouted tendons shall be gathered from US and three or four othercountries including France, UK, and Finland. The contractor shall identify the appropriate way to gatherinformation from other countries. The contractor shall submit the list of suggested countries withjustification to the NRC for approval before commencing the work. NRC will contact and coordinate with theregulators of other countries, if needed.

Investigate types of instruments, number and locations of the instruments, and the reliability andinterpretation of the instrument readings. For containments with grouted tendons, present the technicalbasis for the sample size of the ungrouted test tendons.

2. Contractor shall identify the applicable codes and standards (i.e. ASME, ETC-C, RCC-G, and others) toassess the ISI by instrumentation, and submit a list of these codes and standards to the NRC for approvalbefore commencing a review. Upon approval of the list by NRC, conduct a review of the codes andstandards, provide a discussion of the ISI instrumentation in each, and describe the applicability to RG1.35.1, RG 1.35 and RG 1.90.

3. Provide sample monitoring plans of the containment structure with (i) grouted tendons (ii) ungroutedtendons identifying the procedures, the types, numbers, and locations of instruments, the frequency oftesting and data collections/analysis (as applicable), reportable conditions, and other relevant criteria:

(i) by using permanently installed instrumentation, and

(ii) by pressure testing.

4. Submit a letter report covering Task 2.

V. REPORTING REQUIREMENTS

The reports to be generated shall not contain any proprietary (including the unit specific NPRDS data), confidential orcopyrighted material without written permission from the institutions and organizations to which the information maybelong.

The contractor shall submit a draft final NUREG/CR report three months prior to the expiration date of the contract.The NRC shall review the report and provide comments 40 days after submittal of the draft final.

The timeline and the frequency is provided in "DELIVERABLES/SCHEDULES AND/OR MILESTONE" section.

Monthly Letter Status Report.

A Monthly Letter Status Report (MLSR) is to be submitted to the NRC Project Manager by the 2 0 th of the monthfollowing the month to be reported with copies provided to the following:

The MLSR will identify the title of the project, the job code, the Principal Investigator, the period of performance, thereporting period, summarize each month's technical progress, list monthly spending, total spending to date, and theremaining funds and will contain information as directed in NRC Management Directive 11.1. Any administrative ortechnical difficulties which may affect the schedule or costs of the project shall be immediately brought to the attentionof the NRC project manager.

VI. RESEARCH QUALITY

The quality of NRC research programs are assessed each year by the Advisory Committee on Reactor Safeguards.Within the context of their reviews of RES programs, the definition of quality research is based upon several majorcharacteristics:

It is the responsibility of the contractor to ensure that these quality criteria are adequately addressed throughout thecourse of the research that is performed.

The NRC project manager and technical monitor will review all research products with these criteria in mind.

VII. REQUIRED EXPERTISE

Special expertise on Inservice Inspection of posttensioned concrete containment and related codes, standards,regulations and familiarity with containment design by the Principal Investigator is required to perform the proposedresearch. Site access or unescorted site access is not anticipated at this time, however, it may be considered as aspecial need. Contractor may suggest any requirement with the proposal which the PO will review and accept asnecessary. If site access or unescorted site access is needed, necessary instructions on acquisition of the siteaccess authorization will also be provided by the PO.

VIII. MEETINGS AND TRAVEL

One 1-day kickoff meeting and two 1-day meetings for one traveler to Rockville, Maryland, to discuss progress of thework as anticipated for the project. Investigators may participate in meetings at other U.S. locations to attend industrycode meetings or obtain source material for this program if needed. One foreign trip (5 days to Europe or Canada)may be needed to obtain data or other information for this program.

A monthly teleconference may be required to discuss the work status and the schedule will be mutually decidedbetween NRC Project Manager, Technical Monitor and the Contractor.

Contractors may also suggest or propose addition, deletion, or substitution of meetings and/or trips. Such proposedchanges to the NRC's Statement of Work (SOW) should be considered and evaluated by the Project Manager in lightof what is required to perform the work as described in the SOW. These trips should have prior approval from theproject officer prior to taking place.

Foreign travel must be addressed separately and approval must be obtained by processing NRC Form 445, in additionto being provided as part of the approved proposal.

IX. PUBLICATIONS NOTE

RES encourages the publication of the scientific results from RES sponsored programs in referred scientific andengineering journals as appropriate. If the laboratory proposes to publish in the open literature or present theinformation at meeting in addition to submitting the required technical reports, approval of the proposed article orpresentation should be obtained from the NRC Project Manager. The RES Project Manager shall either approve thematerial as submitted, or approve it subject to NRC suggested revisions, or disapprove it. In any event, the RESProject Manager may disapprove or delay presentation or publication of papers on Information that is subject toCommission approval that has not been ruled upon or which has been disapproved. Additional information regardingthe publication of NRC sponsored research is contained in NRC Management Directives 3.7, "NUREG SeriesPublications," and 3.9, "NRC Staff and Contractor Speeches, Papers, and Journal Articles on Regulatory andTechnical Subjects."

If the presentation or paper is in addition to the required technical reports and the RES Project Manager determinesthat it will benefit the RES project, the Project Manager may authorize payment of travel and publishing costs, if any,from the project funds. If the Project Manager determines that the article or presentation would not benefit the RESproject, the costs associated with the preparation, presentation, or publication will be borne by the contractor. Forany publication or presentations falling into this category, the NRC reserves the right to require that such presentationor publication will not identify the NRC's sponsorship of the work.

X. NEW STANDARDS FOR CONTRACTORS WHO PREPARE NUREG-SERIES MANUSCRIPTSThe U.S. Nuclear Regulatory Commission (NRC) began to capture most of its official records electronically on January1, 2000. The NRC will capture each final NUREG-series publication in its native application. Therefore, please submityour final manuscript that has been approved by your NRC Project Manager in both electronic and camera-readycopy.

All format guidance, as specified in NUREG-0650, Revision 2, will remain the same with one exception. You will nolonger be required to include the NUREG-series designator on the bottom of each page of the manuscript. The NRCwill assign this designator when we send the camera-ready copy to the printer and will place the designator on thecover, title page, and spine. The designator for each report will no longer be assigned when the decision to prepare apublication is made. The NRC's Publishing Services Branch will inform the NRC Project Manager for the publication ofthe assigned designator when the final manuscript is sent to the printer.

For the electronic manuscript, the Contractor shall prepare the text in Microsoft Word, and use any of the following filetypes for charts, spreadsheets, and the like.
