PRESIDENT’S CORNER

Were you at home glued to the TV, watching the storm news or were you desperately seeking

higher ground? I lived in New Orleans during hurricane Betsy where many areas suffered high water flooding that took months to recede. I went through Hurricane Camille that destroyed the Mississippi Gulf Coast just as Katrina did 26 years later.

Although much younger at the time, the immediate scare of the storm and the months of recovery marks a time that I will never forget. We had Red Cross back then but FEMA didn't exist for another 10 years. The first flood insurance policy was sold in June of 1969, just 2 months before Camille hit the Gulf Coast, but not soon enough to cover any of that storm damage.

Spending 3 days watching hurricane Harvey coverage reminded me of those times. If you haven't suffered high water flooding, it is hard to imagine the devastation and work it takes to get back to normal - as so many Houstonians are now learning.

What I didn't remember was the massive volunteer effort during the storm to rescue victims from raising water. All it took was Judge Emmitt pleading for boats and high water vehicles for Houstonians to spring into action. This brings me to my point; the outpour of volunteer help, services and financial aid has been amazing. So many individuals, faith based groups, and both private and government organizations quickly made resources available to ease the pain and are continuing to do so.

ASA Houston Chapter has been busy coordinating relief to many, which include our ASA member shops and their employees. Second Baptist Church has also been a help to ASA with demolition of the flood damage, house cleanup, disinfection, food, etc. ASA Texas and ASA National have asked to be kept informed of the flood impact to our member shops and their employees. An ASA National Harvey Relief donation website has been setup. On-line donations may be made to help fellow ASA Members in need, http://asashop.org/ . If you know of an ASA Houston shop or employee that suffered substantial loss

from the storm, be sure to email [email protected].

Brenda Edwards is a Vice President of Commercial Lending at Allegiance Bank. Brenda's career spans 20 years in the banking industry. Her entire career has been devoted to assisting small business owners with their nancing and banking needs. She

specializes in commercial loans and managing the company's cash through a variety of depository and cash management tools.

She began her career in Michigan upon graduating from college, moving to Houston a few years later to continue that career here. With the exception of a few years internationally working for ING Bank in Asia, she has served the small business owners of Houston. She is a graduate of Central Michigan and University of Houston.

The decision to transition the business via a third party sale or to an insider starts long before you sign that engagement to list it for

sale. Do you know what Buyers and Banks will request to make their purchasing/nancing decision? Do you understand how to present the business in the best possible light in order to maximize the selling price and increase the ease with which your buyer can secure nancing? From preparing the business for sale to “I've just signed the transfer documents” – now what? It's important to understand the sales process.

Dominick Caravella, III, President of Del Lingco International, Inc., one of the oldest and most respected Business Brokerage companies in Houston will discuss what information is critical for getting top dollar and clearing the path for a smooth transaction; what is the marketing process and how is condentiality maintained; what constitutes a qualied buyer and how to negotiate the best deal, and continued involvement after the sale.

Dominick Caravella, III started his career in the 1970's as an independent Business Broker specializing in the sale of small, Houston based businesses. In 1981 he joined Del Lingco Business Brokers as a Broker/Associate and in 1985 lead a team of investors to purchase the business eventually becoming the sole owner.

Dominick founded and published DBA Magazine, has served as host and Executive Producer of DBA-TV which debuted as HOUSTON'S BUSINESS SOURCE on KHOU-TV Channel 11 and continues today to founder of Business New Networks producing commercials and corporate videos.

For the owners of most small to mid-size businesses, virtually all their current income and 85% to 95% of their net worth is

associated with their businesses. Transitioning out of their business will be, by far, the single largest nancial event of their lives. The outcome of that transition will be profound, decisively impacting their ability to meet their personal goals. For many, those goals will include one or more of the following: (1) living comfortably and securely in retirement; (2) providing a nancial head start for children and/or grandchildren; (3) supporting the causes or institutions they care deeply about and; (4) protecting the legacy they have spent a life-time creating for their employees, customers, suppliers and the community.

Exiting a business is a multi-faceted endeavor. It involves, among other things, business valuation, personal nancial planning, thinking through whether to transition the business via a 3rd party sale or a transfer to an insider, tax and legal considerations, preparing the business' systems and management team for transition, expectation setting with respect to timing, developing a satisfying vision about what life looks like post-transition and implementation of the transition plan. The most effective weapon in ensuring a successful transition is advanced planning. Interestingly, fewer than 1 in 6 business owners have mapped out an actionable plan.

This presentation will provide an overview of the multiple considerations owners face with a business transition, provide a frame work to approach the planning and execution of their transition plan and provide some clarity about how to get started.

Dave Tolson has been serving clients for the past 12 year. Prior to those activities, he spent approximately 10 years involved in strategic transactions including mergers, acquisitions, divestitures, joint ventures and capital formation as both an advisor and a principal.

Dave holds a bachelor's degree in Mechanical Engineering from Purdue University, an MBA from Southern Methodist University and is a Retirement Income Certied Professional from the American College of Financial Services.

NOVEMBER MEETING SPEAKER

Victor was born and raised in El Paso, TX. He began his automotive career in the mid 70's working for his father, and at an automotive machine shop. He has worked in the Dallas and

Fort Worth, TX area since 1987 as a technician, shop foreman/manager and as the owner of Vic's Mobile Diagnostic's and Repair Business. He has also worked for several independent repair shops, a couple of chain stores, Snap-on Tools, and a Ford Dealership.

Victor spends a large amount of time staying involved with auto repair shops, diagnosing vehicles and learning new techniques. He stays involved with industry associations such as i-ATN and Indentifix.

Victor is an A.S.E. Certified Master and L1, L2, and L3 Technician. He began his training career in 2000 as an independent instructor for Snap-on Tool Dealers in the Texas, Oklahoma and New Mexico areas. His total experience in the Automotive Industry is 40+ Years.

Victor has been married to my wife Allison for 27 years and have 2 children, daughter Amy and son Victor. He is also blessed with 5 granddaughters.

month's monthly meeting.

We have a full time administrative assistant that takes care of the monthly duties so the time commitment required is minimal. We usually meet twice a month for a board meeting which is the first Tuesday of the month and our monthly ASA meeting on the second Tuesday of the month. Probably less than 6 hours per month.

Please seriously consider, your chapter depends upon volunteers to function. You can make a difference! Don't want to be president? No problem, we are always looking to fill general board positions.
