CALL TO ORDER

President Lane called the meeting to order at 5:00 p.m.

ROLL CALL

Alicia Ramirez, City Secretary, certified a quorum with the following Council Members present:

President Todd Ruge Vice President Ann Miller

Director Eileen Altmiller Director Wiley Hopkins

City Manager Kenneth Williams

Director George Haehn was absent but arrived to the meeting at 5:13 p.m.

City Staff in attendance: Interim Assistant City Manager Chance Sparks, Corporation Secretary Alicia Ramirez, and Finance Director June Ellis.

PUBLIC COMMENTS

None.

REGULAR AGENDA

APPROVAL OF THE JANUARY 19, 2016 DUPRE LOCAL GOVERNMENT CORPORATION (LGC) AND JANUARY 19, 2016 TAX INCREMENT REINVESTMENT ZONE (TIRZ) SPECIAL MEETING MINUTES

City Secretary Alicia Ramirez presented background information. Ms. Ramirez explained since the TIRZ board was created as a result of the Dupre Local Government Corporation, the minutes will be presented together for approval.

Motion, to approve the minutes, as presented, was made by Altmiller and seconded by Hopkins. Motion carried unanimously.

APPROVAL OF DESIGNATING JUNE ELLIS AS CORPORATION TREASURER

City Secretary Alicia Ramirez presented background information. She explained due to the resignation of Sidonna Foust, newly hired Finance Director June Ellis will resume those duties. The appointment and selection of officers will formalize the executive committee.

Motion, to designate June Ellis as Corporation Treasurer, was made by Altmiller and seconded by Ruge. Motion carried unanimously.

AUTHORIZATION OF CERTAIN MEMBERS AND OFFICERS TO SIGN CHECKS ON ALL RECOGNIZED ACCOUNTS HELD BY THE CORPORATION

City Secretary Alicia Ramirez presented background information. She explained due to the resignation of Sidonna Foust, the board may authorize newly hired Finance Director June Ellis as well as another Director

to provide the necessary available designees. Ms. Ramirez also noted Director George Haehn and former Finance Manager Sidonna Foust have been named as signatories but no formal action could be found designating such authority.

Motion, to designate June Ellis, Eileen Altmiller, and Wiley Hopkins, was made by Ruge and seconded by Altmiller. Motion carried unanimously.

ADOPTION OF A RESOLUTION AUTHORIZING REDEMPTION OF A PORTION OF THE DUPRE LOCAL GOVERNMENT CORPORATION'S CONTRACT REVENUE BONDS, SERIES 2004 AND OTHER RELATED MATTERS

Richard Donoghue, Bond Counsel, McCall Parkhurst & Horton LLP presented background information regarding the sale of land for the Mavericks Development.

Motion, to adopt the Resolution, as presented, was made by Ruge and seconded by Altmiller. Motion carried unanimously.

ADJOURNMENT

Motion, to adjourn the meeting, was made by Ruge and seconded by Hopkins. Motion carried unanimously.

There being no further business, the meeting was adjourned at 6:12 p.m.

1. Background/History The executive officers were appointed on the following dates. Per the By-Laws, Section 8, the board may designate three (3) or more Directors to constitute an executive committee. Officers serve for one year (Art. III, Sec. 1). The Corporation may consider revising the term expiration from July 31st to January 31st. Current executive committee: Todd Ruge, Corporate President (appointed 1/19/16) Ann Miller, Corporate Vice President (appointed 1/19/16) Alicia Ramirez, Corporate Secretary (appointed 1/19/16) June Ellis, Corporate Treasurer (appointed 9/29/16)

Article III Officers Section 1. Titles and Term of Office. The officers of the Corporation shall be the President, the Vice President, a secretary, a treasurer, and such other officers as the City Council may from time to time elect or appoint. One person may hold more than one office, except that one person shall not concurrently hold the offices of President and Secretary. The term of office for each officer shall be one (I) year with the term of office expiring on July 31 of each year. Officers may be re-elected.

Subject: Consider and approval to submit 2016 Tax Increment Finance (TIF) Registry Annual Report

1. Background/History State Law (Section Sec. 311.016, Tax Code) requires the governing body of a municipality or county, on or before the 150th day following the end of its fiscal year, to submit a report on the status of a reinvestment zone created by the municipality or county to the chief executive officer of each taxing unit that levies property taxes on real property in the zone. A copy of this annual report along with this form must be submitted to the Texas Comptroller of Public Accounts.

2. Findings/Current Activity Annual Report is required every year. This information provides the

Comptroller information on the entity initiating the tax increment reinvestment zone and a contact person for the annual report.

3. Financial Impact N/A 4. Action Options/Recommendation Staff recommends approval to submit report.
