ANNEXURE A INTRODUCTION: MAK® is a leading lubricant brand of BPCL. BPCL is second biggest oil marketing public sector enterprise of India with global presence in exploration and downstream petroleum business. BPCL has 4 lubricant plants in India located in 4 different regions. The intention of this tender is to invite bids from manufacturers of commercial forklift trucks under two part bid system (technical/commercial) for supplying 5 number forklifts to our Wadilube Installation in Mumbai and 3 number forklifts to our Lubricant oil blending plant in Budge Budge near Kolkata SCOPE OF WORK: Design, manufacture, inspection / testing and supply of 2 Tonns capacity Forklift at 500 mm load centre, with indigenous engine (Bharat stage – III or better) compliant - 4 cylinder Industrial engine having rated power 48 B H.P. or above as per IS 10000 @ 2000 RPM , Indigenous automatic torque convertor twin speed (2 speed forward and 2 speed reverse) transmission, gradeability 24% or better with full load, 2 wheels in front, pneumatic tyres, 1100 mm long forks, head & tail lights, load back rest, standard tool kit and 3 stage clear view mast (As per attached technical specification for 2tonnes capacity forklift) Factory acceptance test (FAT) to be carried out at Vendor’s plant, and supply of forklifts as per the detailed technical specification/ scope of work, supply and terms and conditions mentioned herein. 1. Party will contact BPCL officials for Factory acceptance test (FAT) at their site..and make

arrangement to deliver the forklifts to BPCL, Wadilube Installation, Malet Rd., Wadibunder, Mumbai – 400 009, with warrantee / guarantee of parts/service for a period of one year.

2. At the time of delivery of forklifts, party will load & unload the forklifts at their own cost and commission the forklifts.

3. Training on safe driving of forklift to be arranged by the party at the plant. Day to day operation and maintenance of the forklift to be covered in the training.

SCOPE OF SUPPLY: 8 number forklifts as per required specifications BY THE CONTRACTOR: Party will supply the forklifts to Wadilube Installation/Budge Budge Installation at their own cost. All the material / labour / tools and tackles for modification, fitment, assembly, and commissioning of equipment to be done by the Party. Safety helmet, shoes, hand-gloves etc. if required to be suipplied by the Party.

TECHNICAL SPECIFICATION FOR 2TONNES CAPACITY FORKLIFT ENGINE : 4 Stroke, 4 cylinder water cooled diesel engine with heavy duty dry type air cleaner, dual fuel filter, lubrication oil filter and protect fuel filter cap. TRANSMISSION : Automatic transmissions suited for variable speed – variable load applications. Torque multiplication at lower speeds results in faster acceleration giving excellent grade ability. Direction reversal is possible with the flick of a lever. This eliminates manual clutching and declutching resulting in reduced operator fatigue and allows the operator to focus completely on the load. DRIVE AXLE : The drive axle to be designed in such a way that final gear reduction is through fully enclosed ring gear and pinion. Axle end gear reduction within the drive axle assembly must develop maximum torque at the drive wheel. Reduced torsional forces in differential and pinion shafts give increased life and reliability to the drive line. Braking torque multiplication to result in quick responsive braking with reduced pedal effort. FRAME : The durability, stability and power of a machine are derived from the strength of its structural frame work. Rugged, compact, monologue frame construction with integral fuel and hydraulic tank to provide a very stable platform for the complete forklift. MAST : A high-strength, low-deflection mast with variable retainment mast rollers to easily accommodate off centre loads. OVERHEAD GUARD : Driver’s overhead guard developed with Finite Element Technique to ensure operators safety on Forklift Trucks. It should protect the driver from falling objects and also provide excellent upward visibility. ERGONOMICS

Tilting of the mast to control by a counter balanced valve be built into the main hydraulic valve to prevent the mast from over-running in the forward direction while carrying and tilting the load.

Please note that evaluation of the bid would be done on the basis of total cash outflow including the maintenance cost quoted for 1 year after expiry of warranty. Hence AMC condition is binding on the bidder

vi. Price Bid will not be opened for vendor who is not qualified as per technical evaluation.

Decision of BPCL would be final and binding on the bidders and no communication in this

regards would be entertained.

vii. Bids from vendors who are not manufacturers or authorized distributors of manufacturers

will not be considered for evaluation

viii. Technical qualification of the bidders would be decided as per the documents submitted by

the bidder. Decision of BPCL authorities in this regards would be final

ANNEXURE-B COMMERCIAL TERMS & CONDITIONS 1. Party is required to quote as per Schedule of Rates attached. 2. Firm Price: Price will be firm and no escalation will be entertained on any ground except

statutory levies applicable on the tendered items. 3. Packing & Forwarding: The materials should be properly packed so as to withstand all transit

hazards. 4. Freight: Materials shall be dispatched by the vendor to the location on freight paid door delivery

5. Delivery Period: Delivery period of materials complete at site will be maximum of eight weeks from date of P. O. / L. O. I

6. Earnest Money Deposit:The parties who are not registered with BPCL are required to submit along with their quotation a bank Demand draft in favour of Bharat Petroleum Corporation Ltd. for a sum equivalent to 5 % of total tendered value as Earnest Money Deposit (EMD) subject to minimum of Rs.5000/- and maximum of Rs.100000/-.EMD will be returned to the unsuccessful tenderers within one month after due date from opening the tender. The EMD of successful tenderer will be retained till the commencement of the work. Thereafter the tenderer may opt to adjust the EMD against security deposit or request return of the EMD. The EMD details should be filled on the envelop in which the parties offer is enclosed. In case if you are registered under Small Scale Industries (SSI) / NSIC, EMD is not required. Vendors registered with BPCL are required to submit valid registration certificate with BPCL and valid SSI / NSIC certificate for in case you are not giving EMD.

7. PAYMENT TERMS : a) 100% payment against supply will be released after satisfactory supply of all the material at

site and necessary certificates and submission of necessary documents including PBG of 20% of total PO value. (NO ADVANCE PAYMENT IN ANY SORT WOULD BE MADE, PLEASE DO NOT ASK IN THE QUOTATION ALSO).

8. Documentation All documents listed below (in duplicate) should be submitted to respective plants along with consignment and payment shall be released only after receipt of these documents. i) Invoice ii) Challan iii) Guarantee / Warranty certificate iv) Lorry Receipt/GR v) BPCL Inspection Release note alongwith Test Certificates. vi) Gate Pass and other relevant documents vii) PBG of 20% of PO value viii) Operation & maintenance manual

9. Validity: The rates quoted against this tender shall be valid for a period of six months from the date of opening of the tender.

10. Risk Purchase Clause: We reserve the right to curtail or cancel the order either full or part there of if you fail to comply with delivery schedule and other terms & conditions of the order. BPCL also reserves the right to procure same or similar materials equipment through other sources at your entire risk, cost and consequences.

11. Guarantee/Warranty: Material shall be guaranteed against manufacturing defects, materials,

workmanship and design for a period of 18 months from the date of dispatch or 12 months from the date of commissioning, whichever is earlier. Any part found non functional or damaged during normal operation shall be replaced/ repaired without any extra cost to BPCL. The party has to service the equipment as per checklist of the equipment in time. Change of oil, filter and consumables cost have to be born by the supplier/manufacturer.

12. PBG: Vendor will have to provide Performance Bank Guarantee for 20% of the basic value of the order along with the dispatch documents and invoices of the materials, which will be valid for 18 months from the date of dispatch or 12 months from the date of commissioning whichever is earlier, with an invocation period of 6 months thereafter, on a Rs.100/- value stamp paper. Vendor shall submit Performance Bank Guarantee as per the format which will be given to successful bidder.

13. Force majeure: Only the following shall be considered as ‘Force Majeure’ if they intervene before the contractual delivery date and impede performance: Acts of God, Wars, Revolutions and Official strikes.

14. Liquidated damages :If the successful tenerer does not complete the work in the stipulated time company reserves the right to recover liquidated damages at the rate of 0.5 % of the contract value per week subject to maximum 5% of the total contract value until the work is satisfactorily completed and handed over.

15. Supplying & commissioning: Vendor will have to supervise and arrange their workmen for the timely supply & commissioning of all the materials/equipment at BPCL site and produce a Site Acceptance Report from BPCL sites as a proof of successful commissioning of materials/equipments.

16. Cenvat benefit: BPCL intends to take Cenvat benefit for the supply portion. Vendor to confirm that the Cenvat benefit will be passed on to BPCL. All the necessary documents will have to be submitted by the vendor.

17. The equipments and their components shall be fully guaranteed against any manufacturing defects / poor workmanship / inferior design or quality etc. for warranty period. During this period, vendor will arrange to repair / replace any defective parts free of cost or replace complete set, if required. Party to give warranty for 18 months from date of supply or 12 months from date of commissioning whichever is earlier.

18. For delay in commissioning due to party’s fault, the warranty date will be accordingly adjusted 19. Inspection / Testing / Trial Runs / Training: The supplier will contact BPCL,Wadilube to his plant

for inspection and testing of the equipment. The party has to arrange a training programme for safe driving of the equipment.

20. Equipment will be subject to inspection by BPCL or nominee of BPCL before dispatch to our sites. Vendor shall explain/demonstrate all queries to the satisfaction of BPCL officials during FAT. Successful SAT to be completed after the commissioning.

21. Vendor shall have to test and prove the performance of the equipment in presence of BPCL’s engineer in-charge against offered parameters at site. Vendor shall have to conduct the trials and provide the training to BPCL’s operators for effective operation and maintenance of the machine at site. Quote rates for design, manufacture, supply & commissioning shall be inclusive of all these elements. No extra payment will be made on any account.

22. GENERAL:

a) BPCL reserves the right to accept/ reject the whole or part of any tender without assigning any reason.

b) Before quoting visit site to get the idea of the job and site conditions. c) Tenders not conforming to the terms and conditions prescribed in the tender documents

will be rejected. d) BPCL enjoys CENVAT on GST setoff benefits hence assessment of quotation will be done

on net landed cost of the job. e) Any new terms and conditions included by the tenderer shall not be considered and will

not be binding on the corporation. f) Details of tenderer’s relationship with B P C L’s directors should accompany the offer in

the format enclosed (refer ANNEXURE D). g) We shall evaluate the process capability, manufacturing capacity and quality systems at

the supplier’s unit at any time during the contract and would take appropriate action including termination if it is found that the process /systems are not as per our requirement.

h) In case of non-performance, Corporation retains the right to re-allocate the quantity in part or full to meet the requirements.

i) The Corporation will have the right to reject any offer, which in our opinion is below the estimated rate worked out for any type of package included in the tender.

j) Forming cartel and quoting rates in groups would disqualify the tenderer. k) Performance of the supplier during the contract would be a criterion for issuing future

tenders. l) After completion of guarantee period, vendor or his authorized representative will be

given AMC on payment basis.

ANNEXURE-C ARBITRATION CLAUSE: a) Any dispute or difference whatsoever arising out of or in connection with this Agreement,

including any question regarding its existence, validity, interpretation, application, meaning, scope, operation or effect or termination there, shall be referred to ad finally resolved by arbitration by a Sole Arbitrator, who will be appointed by Director (Marketing) BPCL and such proceedings shall be conducted in accordance with the Arbitration and Conciliation Act 1996 for the time being in force or as amended from time to time. The award made in pursuance thereof shall be final and binding on the parties. The parties hereby agree that the Courts in the city of Mumbai alone shall have jurisdiction to entertain any application or other proceedings in respect of anything arising under this agreement and any award or awards made by Sole Arbitrator hereunder shall be filed ( if so required) in the concerned Courts in the city of Mumbai only. The arbitration shall be conducted in English language.

b) The award shall be made in writing and published by the Arbitrator within two years after entering upon the reference or within such extended time not exceeding further twelve months as the Sole Arbitrator shall be writing under his own hands appoint. The parties hereto shall be deemed to have irrevocably given their consent to the Arbitrator to make and publish the award within the period referred to herein above and shall not be entitled to raise any objection or protest thereto under any circumstances whatsoever.

c) The arbitrator shall have power to order and direct either of the parties to abide by, observe and perform all such directions as the arbitrator may think fit having regard to the matters in difference i.e. dispute before him. The arbitrator shall have all summary powers and may take such evidence oral and / or documentary, as the arbitrator in his absolute discretion thinks fit and shall be entitled to exercise all powers under the Arbitration Act 1940 including admission of any affidavit as evidence concerning the matter in difference i.e. dispute before him.

d) The parties against whom the arbitration proceedings have been initiated, that is to say, the Respondents in the proceeding shall be entitled to prefer a cross-claim, counter-claim or set off before the Arbitrator in respect of any matter an issue arising out of or in relation to the agreement without seeking a formal reference of Arbitration to the Director(Marketing) for such counter-claim, cross-claim or set off and the arbitrator shall be entitled to consider and deal with the same as if the matters arising there from has been referred to him originally and deemed to form part of the reference made by the Director (Marketing).

e) The arbitrator shall be at liberty to appoint, if necessary any accountant or engineering or other technical person to assist him, and to act by the opinion so taken.

f) The arbitrator shall have powers to make one or more awards whether interim or otherwise in respect of the dispute and difference and in particular will be entitled to make separate awards in respect of claims or cross-claims of the parties.

g) The arbitrator shall be entitled to direct any one of the parties to pay the costs of the other party in such manner and to such extent as the arbitrator may in his discretion determine and shall also be entitled to require on or both the parties to deposit funds in such proportion to meet the arbitrators expenses whenever called upon to do so.

h) The parties hereby agree that the courts in the city of Mumbai alone shall have jurisdiction to entertain any application or other proceedings in respect of anything arising under this agreement and any award or awards made by the sole arbitrator hereunder shall be filed in the concerned courts in the city of Mumbai only.

TERMINATION CLAUSE Not withstanding anything to the contrary herein contained, BPCL shall also be at liberty at its entire discretion to terminate this agreement forthwith upon or at any time after the happening of any of the following events namely:

a) If you commit a delay, breach or default of any of the terms, conditions, covenants and stipulations contained herein.

b) Upon death or adjudication as insolvent if you are individual (this clause is to be suitably modified if business is carried on by partnership or by limited company or by a co-operative society).

c) If any attachment is levied and continued to be levied for a period of seven days upon your effects.

d) If you are involved in any criminal offence relating to Moral Turpitude. e) If a receiver is appointed of any of your property or assets. f) If the License issued to you by the relevant statutory authorities is cancelled or revoked. g) If you have made default in payment of any money of the BPCL without formal approval of

the BPCL in writing. h) If you fail to adhere to the instructions issued to you by the BPCL from time to time in respect

of the business condition herein. i) If you contaminate or tamper with the quality of BPCL’s product given in you. j) If the ownership / tenancy of the premises from which you are carrying on the business if

transferred / terminated for any reason whatsoever. k) If you, yourself or to your servant or agents commit or suffer to committed any act which in

the opinion of the Executive Director (Lubes) of the BPCL is prejudicial to the interest or good name of BPCL or its products. Executive Director (Lubes) shall not be bound to give reasons to such decisions.

l) The BPCL’s right to terminate the contractual obligations under this clause shall be without prejudice to and without affecting any of its rights and remedies against you.

In the event of BPCL terminating this agreement under the provisions of this clause it shall not be liable to pay for any loss or compensation in respect of such termination. Without prejudice to the foregoing provisions or anything to the contrary herein contained either or the parties hereto namely you and BPCL shall be entitled to terminate this agreement on giving 90 days written notice to the other parties without assigning any reasons for such termination.
