A_ INSTRUCTIONS FOR TENDER

I. The office of the Directorate of Income Tax (R) New Delhi, invites open tendersfrom licensed re pu ted pa rt iea / firm s j com paniea/ agencies well experienced inp roviding Multi Ta skin g Staff (semi skilled) and unskilled worker in Oovt.j Semi­Oovt. officesJPSUs etc. for the office of Directorate of Income Tax (RI. 6 lh Floor,Mayur Shawano Connaugh t Circus, New Delhi - 110001.

2 . The contract is to be made for One Year w. e. t , 01.03.2016 to 28.02.2017The pe riod of the contract may be fu rther exte nded a fte r the co m plet ion ofco n t ra c t at that time if this office requires to continue with the presentarrangement for providing Multi Tasking Staff (semi skilled) a nd unskilledworker and is satisfied with the service o f Multi Ta sking Sta ff (semi sk illed ) a n du nskilled worker or may be c u rtailed / terminated before the contract periodowing to deficiency in service or substandard quality of service by the selectedCompany / Firm / Agency .

3 . The tendering Company/Finn /Agency is required to enclose photocopies of thedocu men ts, as per the req uire m en ts of Technical Bid as given in the Annexure -I ,failing which their bids shall be summarily / out rightly rejected and will not beco n sid e red any further .

4 . Conditional bids shall not be entertained and will be out rightly rejected at thevery first instance.

5 . AU entries in the tender fonn should be legible and filled up clearly. If the spacefor fu rnishing of information is insufficient, a separate sheet m ay be a ttached .No overwriting or cutting is permitted in the Financial Bid Form. In s u c hcases, the bid shall be summarily rejected . However , the cu ttin gs , if any, inthe Tech nical Bid Ap plication must be init ia led by the pe rson authorized to signthe tender bid s . All th e pa ge s of t he b id shall be signed by the authorizedsignatory in ink with rubber stamp of the agency.

6 . The envelope containing Technical Bid shall be opened first on the scheduleddate and time , in Room no. 613, 6 th Floor office of the Directorate of Incom e Tax(R) Mayur Sha wan, Connaught Circu s , New De lhi- t 1000 l in the presence of theduly authorized representatives of the bidders , if any, who wish to be p re sen t onthe spot at that time. Financial bids of o n ly technically qualified , eligible biddersmeeting all the req u is ite criteria shall be opened in presence of short listedcontractors or their authorized representatives.

-3 -B. TECHNICAL REQUIREMENTS FOR THE TENDERING COMPANY I FlRMI AGENCY

The tendering Service Provider Company I Firm I Agency should fulfill the followin gtech nical specifications:

1. Th e Registered Office or one of the Branch Offices of the Service Provider Company IFinn I Agen cy should be loca ted within the National Capital Territory of Delhi.

2 . The Service Provider Company / Firm l Agency should be registered with thea ppropriate regis tration authority with rega rd to providing manpower to theGovernment offices .

3 . Service Provider Company I Finn{ Agen cy should have at lea s t five years! experience inprovidin g sim ilar services to private/public sector Company / Banks I GovernmentDepartments etc.

4 . Service Provider Com pany I Firm I Agency should have its own Bank Account.5 . Service Provider Com pany I Firml Agency should exist on the records of Income Tax

and Service Tax Departments.6 . Service Provider Compa ny / Finn / Agency shou ld be registered with a ppro pria te

au thorities under Employees Provident Fund and Employees State In su rance Acts.7 . The Service Provider Company / Finn / Agency should have co mpleted at least one

service cont ract of value not less than Rs.20 lakh or two service contract of 10 lakheach per annum related to providing similar services.

8 . The Service Provider Company / Finn / Agency must have a turnover of Rs.1 crore pe r year during th e la st three financial years i.e. F.Y. 20 12- 13, 2013- 14 &20 14- 15 .

9 The Service Provider Company / Finn / Agency shall submit a ffidavi t on Non- JudicialStamp Paper of Rs.IO / - stating that the agency is / ha s not been black list ed /previouscon tract penalized by Central Government / State Government / any PSU etc in any ofits previous contract.

Non compliance with any of the above conditions by the Service ProviderCompany / Firm I Agency will amount to non-eligibility for the services for whichtender has been noated and it. tender will be ignored summarily.

C. FRAUD AND CORRUPT PRACTICES

1. The a pplicant and their respective officers , employees, age nts and advisers shall observet he h ighes t standard of ethics during the Bidding Process. Notwithstanding anything tothe con tra ry con tained herein , the Office may reject an Application without be ing liable inany manner whatsoever to the Applicant if it determines that the Applicant has, directlyor indirectly or through an agent, engaged in corrupt practice, fraudulent practice,coercive practice, u ndesirable practice or restrictive practi ce in the Bidding Process.

2 . With ou t prejudice to the rights of this Office under Cla use 1. hereina bove, if an Applica n tis found by the Office to have directly or indi rectly or through an agent, engaged orindu lged in a ny corrupt practice , fraudulent practice, coercive practice, undesirablepractice or res trictive practice during the Biddi ng Process, such Applicant shall not beeligible to participate in a ny tender issued by thi s Office during a period of 2 (two) yearsfrom the date such Applicant is found by the Office to have directly or indirectly orthrough an agent, engaged or indulged in a ny corru pt practice, fraud ulent practice,coe rcive practice , undesirable practice or restrictive practice as the case may be.

3 . For the purposes of this clause 1., the following terms shall have the meaning h ereinafterrespectively assigned to then:

"Corrupt practice- means (I) the offering, giving, receiving, or soliciting, directly orindirectly, of anything of value to influence the a ctions of any person con nected with theBidding Process or (II) save and except a s permitted, engaging in any manner whatsoever,whether during the Bidding Process or after the issue of the LOA or after the execution ofthe Agreement, as the ca se may be, any person in respect of any matter relating to theProject or the LOA or the Agreement. who at a ny time has been or is a legal, financial ortechnical advisor of the Authority in relation to any matter concerning the Project;

5 . ' fraud ule nt practice- means a misrepresentation or omission of fact s or suppression offacts or di sclosure of incomplete fact s, in order to influence the Bidding Process;

6 . "coerc ive practice" means impairing or harming or th rea tening to impair or harm, directlyor indirectly, any person or property to influence to any person's participation or action inthe Bidding Process;

7 . "u ndes irable practice" means {II establishing con tact with any person con nected with oremployed or engaged by th e Authority with the objective of canva ssing, lobbying or in anymanner influencing or a ttempting to influence the Bidding Process ; or (II) having aConflict of In teres t; and

8. "re s trictive practice" means forming a ca rtel or a rriving at any u nderstanding ora rrangement among Applicant with th e objective of restricting or manipulating a full andfair com pe tition in th e Bidding Process;

D. LEGAL

The Service provider shall be re sponsible for compliance of all statu to ry provis ions relatingto Min im u m Wages, Employees Provident Fund , Em ployees State Insurance, Service Taxand any other Laws! Taxes! Acts ! Rules etc. Govern ing th e matter! issues etc. If at anypoint of time it is noticed that the Contractor is awaying from any procedures! taxes! Acts!Rules th en that will be met ou t , ou t of the Performance Security Deposit made by th econ tracto r .

I. The Se rvice provider shall also be liable for depositing all taxes, levies , Cess etc. onaccou n t of service rendered by it to th e office of the Directorate of Income Tax {RI, 6thFloo r , Mayur Bhawan, Connaught Circus, New Delhi- llOOO l to concern ed tax collectiona u thori ties from time to time a s pe r extan t rules and regulations on the matter.

i i . Th e Service provider shall maintain a ll sta tu tory registers under the applicable laws. TheAgency shall produce th e same, on demand, to the concerned authority of this Office orany other authority under Law.

iii. The Tax Deduction at Source (T.O.S.) shall be done a s per the provisions of Income Taxlaw, as amended from time to time and a certifica te to this effect shall be provided to theAgency by this Office.

iv. In ca se, the tendering Agency fails to com ply with any statutory provision ! taxationliability u nder appropriate law and a s a result thereof the Office is put to any loss,!obligation, monetary or otherwise. the Office will be en titled to get itself reimbursed out ofthe ou ts tand ing bills or the Performance Secu ri ty Deposit of the Agency . to the extent ofth e loss or obligation in monetary terms .

E_ FINANCIAL

1. The Technical Bid should be accompanied with an Earnest Money Deposit (EMDI.refundable, of Rs .50,OOO/ - (Rupees Fifty Thousand only) for Multi Tasking Staff (semiskilled) and unskilled worker in the form of Demand Draftl Pay Order drawn in favour ofthe ZAO/CBDT, New Delhi failing which the tender s hal l be rejected out rightly .

2 . The EMD in respect of the Agen cy which does not qualify the Technical Bid (First Stage)I Financial Bid (Second competitive stage! shall be returned to it without any interest.However , the EMD in respect of the successful te nderer shall be returned aftersubmission of the Performance Security Deposit towards the Performance SecurityDeposit. Further, if the Agency fails to provide services against the in itial requirementfrom requisite date, the EMD as well as performance security deposit shall standforfeited without giving any further notice.

3. Bids, offering rates which are lower than the minimum wages (as applicable for the NCTof Delhi) for the pertinent ca tegory, would be rejected.

4 . The successful tenderer will have to deposit a Performance Security Deposit for a sumof Rs. 1,00,0001· (Rupees One Lakh on ly) for Multi Tasking Staff (semi skilled) and unskilledworker within 2 days of the receipt of the formal order. The performance security will befurnished in the form of the Account Payee Demand Draft or Bank Guarantee drawn infavour of the ZAO/ CBDT, New Delhi. The performance security shou ld rema in valid fora period of 60 days beyond the date of completion of all the con tractua l obligations ofthe supplier. The Department shall not pay a ny interest on the Performance Secu rityDeposit.

5. In case of breach of any terms and conditions stipulated in th e contract, theperformance security Deposit of the Agency will be liable to be forfeited by this Officebesides annulment of the con tract .

6 . The Agency shall raise the bill, in triplicate, along with attendance sheet to the Divisionunder whom th e ou tso u rced personnel has been deployed by the 3 rd of the succeedingmonth. The concerned office/officer will send the bills d uly verified to the office ofDirectorate of Income Tax (R), 6 th Floor, Mayur Bbawan, Connaught Circus, New Delhi ­110001 for sanction and payment. As far as possible the payment will be released afterreceipt from the Accounts Officer, DlT's Field Pay Unit, New Delhi.

7 . Th e Claims in bills regarding Employees State Insurance, Provident Fund, and ServiceTax etc. should be necessarily accompanied with documentary proof pertaining to theprevious month bill. A requisite portion of the bill l whole of the bill amount shall beheld up till the proof is furnished, at the discretion of this Office. The copies / taxreceipts / tokens deposited in respective offices should be shown to this office onmonthly basis.

8 . Settlement of disputes will be as per India n Arbitration and Conciliation Act-1996 andvenue will be the Office of the Addl . DG(R) 6 th Floor , Mayur Bhawan, Connaught Circus,New Delhi-l1000 1. It is clarified that the sole arbitrator to adjudicate any disputesarising out of the proposed con tract shall be nominated I appointed by the Addl.Director General (RI, New Delhi and he / she shall

not be a person below the rank of DIT (Director of Income Taxi/CIT (Commissionerof Income Taxi.

9 . The Office of the Add!. D.G. of Income Tax (R) New Delhi, 6 tl1 Floor, Mayu r Bhewan,Connaught Circus, New Delhi -1IOOOl reserves the right to withdraw! relax any of theterms and co nd itions me n tioned in the tender document so as to overcome any problemencou n te red a t a ny stage.

SCHEDULE-l

SCOPE OF WORK OF THE MULTI TASKING STAFF (SEMI SKILLED) AND UNSKILLEDWORKER

A. Multi Tasking Staff (Semi-skilled)

I) PERSONNEL REQUIRED,

1.1) Th e person nel to be depl oyed shou ld have so u ndmedical fitness . good phys ique. moralcha rac ter, experience and training to handle any type of Multi Tasking Staff work .

1.2} Proper u niform a nd identification cards must be provided to the Multi Tasking Staff andSu pe rviso r. If any.

2) DUTIES OF MULTI TASKING STAFF,

Th e Cont ractor shall undertake all type s of work via.. general clea nline ss of the office, nonclerical work , watch and ward duties, outdoor work such as delivery of dak files etc and anyother work assigned by the office /superior authority from time to time.

12.1) EMERGENCY WORR/ WEEKEND WORR:

The Con tractor shall provide the requ ired Multi Tasking Staff to this office as and whenrequired by the authority. He shall a lso provide Mul ti Tasking Staff on Saturday, Sunday anda ny other Gaz. Holid ays , if requ ired by any offices under Directora te of Income Tax (R).

General Conditions :.

i] The minimum qualification of all the Multi Tasking Staff shall be 10thpass/Matriculate.

ii) The d uties of the Mul ti Tasking Staff would broadly include general clean liness of th eoffice , non-clerical work, watch a nd wa rd duties, outdoor work such as delivery of dak,files etc., a nd a ny oth er work assigned by the office / s upe rior authority from time totime.

iii) The con tractor / bidder shall be required to provide Multi Tasking Staff havin g a fairknowledge of readin g and writi ng English and Hindi. They sh ould be able to work tilllate hours .

B. Un-Skilled Workers

i} The mi nimum qualification of all the Un -skilled worker sh all be non-matriculate /belowIO s tandard.

ii) They should have fluency and fair knowledge of Hindi language.iii) They shall be responsible for clean liness and maintenance of office.

TERMS AND CONDITIONS OF THE CONTRACT OF MULTI TASKING STAFF (SEMI SKILLED) ANDUNSKILLED WORKER :-

1. The work shall be done on all working days and payment will be made on the basis ofattendance of persons, and pro-rata deduction shall be made in absence of a ny pe rson onany day/part of the day.

-2 . The working hours will be from 09.30 hours to 06.00 hrs daily. with Y, hrs lunch timebreak .

3 . The relationship between the customer/Directorate of Income Tax (RI. New Delhi and thecontractor/bidder would be tha t of the Customer and a Service Provider and none of theemployees or agent of the contractor /bidder shall ever be treated as deemed to have beenthe employee of the Income Tax Department. The contractorf bidder shall explain thisna ture of relationship to all his employees or agents before de ploying them for services tobe rend ered to the customer/Directorate of Income Tax IR). New Delhi. As a token of theiragreement for such a relationsh ip , a signed declaration from the employee/agen t shall beobtained by the con tractor/ bidder and be produced as and when called. upon to do so bythe cu s tomer/ Directorate of Income Tax (RI, New Delhi.

4 . All existing statutory regulations of both the State as well as the Cen tral Governments, ifa pplicable, shou ld be strictly adhered to by the Service Provider and paid by him in time onhis own account. The evidence of compliance to this effect shall be submitted to thecus tomer/ Directorate of Income Tax [R] New Delhi by the contractor / bidder every montha long with the bill, failing which the payment of the bill may be withheld or stopped. Thecu stomer/ Directorate of Income Tax (R) New Delhi will, in no way be responsible for orassociate itself with payment of a ny statutory liabilities or the sa lary paid or payable to theMTS(Semi Skilled & Un-Skilled) by the con tractor/ bidder . Any failure to comply with any ofthe above regula tions or any deficiency in service will render t his con tract liable forimmed iate termination without any prior notice.

5 . The service provider is responsible for payment of mon thly salary includi ng leave salary,bonus, gratuity etc. to the pe rsonnel as applicable to them u nder law. The Service providershould ensure that salaries are paid in time every month.

6 . The contractor/bidder ahould ensure that the saJariea/wagea are paid to the workenon 7 1" of every month without deduction of aervlce charge of any kind from minimumwegee, Only atatutory deduction ahould be done of work force deployed. The billshou ld be put up by the service provider to this Directorate by the 3"' of the followingmonth . The payment shall be made to the Service Provider only after su bmission of the billand the receipt of cheque in this office from the Govt. Accou n ts office. Thecon tractor/ bidder shall be liable to submit along with the bills , the certified copies of Bankpass books reflecting therein entries of the payment made to MTS (Skilled & Un-Skilled) inaccordance with the Min imu m Wages Act prescribed by the Govt. Bills not accompaniedwith the copies of the pass books shall not be entertained for payment. Non compliance tothis effect may even lead to termination of services and agreement thereof.

7 . The con tractor /Service Provider shall indemnify a nd keep this office indemnified against ~llacts of omission, negligence, dishonesty or misconduct of the personnel engaged and thisoffice shall not be liable for any damages or compensation to any personnel or third party.

8 . All damages caused by the personnel to the property of the office shall be recovered fromthe Service Provider.

9 . The contractor /bidder shall be duty bound to immediately replace any MTS whose servicesa re not found satisfactory by this Directorate. In ca se any Mrs is absent. the contractorshould provide a n immediate subs titute failing which the paym en t will be deductedaccordingly .

10. Department /office will not involve in any d ispute between the service provider andworkers / employees of the service provider.

II . Not....-it h stand ing anything con tained herein, th is office reserves the right to terminate theserv ices of the Contra cting Agencyf Service Provider a t any time after giving a notice of onemonth. The letter comm u n ica ting such termination of the contract shall be served on theco n t ra c tor/ bid d er in person o r by regis tered pos t at the a d d res s m entioned in the con tracto r a t the last known address. .

12 . Th e number of MTS (Skilled & Un-Skilled) may increase or decrease on requisition of theAuthority.

13 . The persons supplied by the service provider shou ld not have any adverse policerecord s /crimina l cases a gainst them. The se rvice provider sho uld make adequate enqui riesabout the character a nd anteced ents of th e pe rsons whom they provide for executingoutsourced services.

14. Th e servi ce provider's personnel shall not divul ge or disclose to any persons any details ofoffice ope ration process, technical know-how, MTS arrangem ents ,administrative /organizational matters a s all a re confiden tia l/ secret in natu re .

15 . The service provider's personnel should be polite, cordia l, positive and efficient whilehandling the ass igned work and their ac tions shall promote goodwill and enhance theimage of the customer. The service provider shall be responsible for a ny act of ind isc iplineor otherwise on the part of persons deployed by him.

16 . The Service Provider shall ensu re proper cond uct of hi s persons in office premises andenforce prohibition of consumption of a lcoholic drinks , paan, tobacco , gutka, smok ing,loitering without work etc.

17_Th e Minimum Wages pa id to the service provider will be the amou nts notified underMinimum Wa ges Act by the Competent Authority (Govt . Of NCT/Delhi) . Whenever thewa ges / statutory payments are enhanced or reduced by notification the service providershall bring th e same to th e notice of the customer. If it is found that the service providerhas paid wages to any workers lower than the minimum wages notified by the Com peten tAuthority (Governmen t of NCT/ Delh i) then the con tract is lia ble to be terminated .

18 . The service provider shall a rrange for a substitu te well in advance if there is any probabilityof the person leavin g the job due to his /her own personal reason . The payment in re spect ofthe overlapping period of the substitute shall be the responsibility of the service provider .

19 . Th is department shall not be liable for any loss, damage, th eft , burglary or robbery of anypersonal belongings, equipment or vehicles of the personnel of the service provider.

20. The con tractor / service provide r shall indemnify and keep this office indemnified against a llacts of omiss ion , negligence , di shonesty or misconduct of the personnel engaged and thisoffice sha ll not be liable for any damages or com pensation to a ny pe rson nel or th ird party.If the cu s tomer su ffers any loss or damage on account of negligence, default or theft orotherwise due to any act of omi ssion/ commission of the employee/ agen ts of the serviceprovider , then the service provider shall be liable to reimburse this department for thesame. The service provider shall keep this department fully indemnified against any suchloss or damage. The amount of loss so quantified shall be adj usted against any billspending for payment to the service provider.

22. The service provider sh all not assign, transfer, pledge or sub con tract the performance ofservic e without the prior written conse n t of this department.

23. H any false /incorrect/wrong/ inconsis tent / su p pressed / part information is noted and ha sbeen provided /not provided (as th e case m ay be) by the service provider under thisagreement or lead ing to this agreement, it shall render this agreement liable to becancelled .

24 . Any chan ge in the constitu tion or ownersh ip of th e concern of the con trac tor shall benotified forthwith by the con tracto r in writing to the % the Directorate of Income Tax (RI.New Delhi a nd su ch ch an ge shall not relieve any former mem ber of the concern from anylia bility u nder the con tract. No new perso n shall be accepted into the concern by thecont ractor in respect of th is contract unless he/they agree to abide by all the instructionsand terms and co nditions of the contract.

Th e workers provided by the con tra c to r shall have no privity of contract with Incom e TaxDepartment a nd they shall not be trea ted employees / part time workers of licensees of th ede partment i.e. the Income Tax Department in any manner whatsoever for the purpose ofwages/ paymen ts of any nature / or statutory obligations as per law of the land.
