Business Meeting Minutes – Wrightsville Beach, NC

July 18, 2016

Call to Order - President Lisa Saunders called the meeting to order at 12:00 p.m. President Saunders introduced the other board members and thanked everyone for attending.

First Time Attendees: There were two first-time attendees at the business meeting. In addition, all past presidents in attendance were recognized.

Resolutions in Recognition of Retirees: Secretary Will Massie presented resolutions to Lisa Smith (28 years), Janet Stoner (29 years), and Carolyn Glasgow (33 years) in appreciation of retired finance officer’s professional services. All three qualify as lifetime members. Motion to accept resolutions was made, seconded and unanimously approved.

Approval of the Minutes: President Saunders presented the minutes from the March 3, 2016 Spring Conference business meeting, which had been distributed the previous week. A motion to accept the minutes was made, seconded, and unanimously approved.

Treasurer’s Report: Treasurer John Frye presented the treasurer’s report. Motion to accept the report was made, seconded and unanimously approved.

Committee Reports

Certification: Greg Allison was not present. Lisa Saunders reported on the activity of the Certification Committee.

GFOA: Jessica Brown-Linton encouraged younger members to get involved in the national GFOA. One focus area in the coming year was succession planning to maintain our organizations’ fiscal management. She also encouraged participation in GFOA standing committees.

Old Business: There was no old business.

New Business:

Policy Adoptions: Treasurer Frye reported that as he was preparing the NCGFOA annual Form 990, he became aware that we did not have several organizational policies that are recommended. The Board of Directors had adopted these policies. He presented a Conflict of Interest Policy, Whistleblower Policy, and Document Destruction Policy.

Incorporation as a NC Non-Profit: Secretary Massie reported that the NCGFOA was currently an unincorporated and unregistered member association. The officers would be evaluating our options over the next few months and make a recommendation on our organizational structure at the Spring 2017 conference.

New Business (concluded)

NC Finance Connect: Kara Millonzi presented a preview of the new and improved listserve, which will be available later this year.

North Carolina Government Finance Officers Association Proposed Resolution To Incorporate as a Nonprofit Corporation Business Meeting March 2, 2017 Research Triangle Park, North Carolina Whereas, there has been a need for local government finance officers in North Carolina to meet and discuss issues of mutual interest, and Whereas, government finance officers require regular education to keep informed on a variety of financial reporting, budgeting, legislative and related matters that affect their statutory responsibilities, and Whereas, the North Carolina Public Finance Officers Association was created on October 19, 1953 as an informal group of professionals with a common interest in finance issues, and Whereas, the name of the association was changed on May 5, 1994 to the North Carolina Government Finance Officers Association, and Whereas, the North Carolina Government Finance Officers Association and the North Carolina Association of County Finance Officers merged together on March 3, 2011, and Whereas, the North Carolina Government Finance Officers Association has continued to operate as an informal group of government finance professionals, and Whereas, the purpose of the organization has evolved to become increasingly complex, and Whereas, the Association is affiliated with the NC League of Municipalities and the NC Association of County Commissioners, but is not part of those organizations, and Whereas, the members of the North Carolina Government Finance Officers Association desire to document the existence of the organization in a more permanent manner, Whereas, the existing bylaws of the North Carolina Government Finance Officers Association are appropriate regardless of the legal status of the organization, and Now therefore the North Carolina Government Finance Officers Association resolves to file with the North Carolina Secretary of State, articles of incorporation to establish itself as a non-profit corporation.
